Ferit F. ŞahenkChairmanFerit F. Şahenk is the Chairman of DoğuşGroup and also the Chairman of GarantiBank. Formerly, he served as the founder andVice President of Garanti Securities, CEO ofDoğuş Holding and Chairman of DoğuşOtomotiv. Mr. Şahenk is a Board Member ofthe Foreign Economic Relations Board (DEİK)of Turkey. Previously, he served as theChairman of the Turkish-German BusinessCouncil; the Chairman of the Turkish-American Business Council; Vice Chairman ofTurkish-United Arab Emirates BusinessCouncil and Executive Board Member ofTurkish-Greek Business Council of DEİK. Mr.Şahenk is an active member of the WorldEconomic Forum and the Alliance ofCivilizations Initiative. He serves on theRegional Executive Board of MassachusettsInstitute of Technology (MIT) Sloan School ofManagement for Europe, Middle East, SouthAsia and Africa and Advisory Board of theMiddle East Centre of London School ofEconomics. Süleyman SözenVice ChairmanA graduate of Ankara University Faculty ofPolitical Sciences, Süleyman Sözen worked in
the Ministry of Finance and theUndersecretariat of the Treasury as a ChiefAuditor. Since 1981, he has worked in theprivate sector in various posts especially infinancial institutions. A Certified PublicAccountant, Mr Sözen has worked at DoğuşHolding since 1997 and presently serves asthe Vice-Chairman of Garanti Bankası. Healso sits on the boards of other Doğuş Groupcompanies as Chairman or Vice-Chairman.
Hüsnü AkhanCEO of Doğuş GroupHüsnü Akhan was born in Birecik/Şanlıurfa onthe 23rd of January, 1953. He completed hisprimary and secondary education at BirecikHigh School. Hüsnü Akhan is a graduate ofMiddle East Technical University, Departmentof Business Administration and earned hisMaster’s degree in Economics from Universityof Miami (USA). Akhan served at variouspositions of the Central Bank of the Republicof Turkey. He served as Representative atLondon Office and Assistant GeneralManager at the Foreign RelationsDepartment of the Central Bank of theRepublic of Turkey. He joined Doğuş Group in1994. After serving as the Executive VPresponsible for Treasury, Operations andForeign Relations at Garanti Bank, he wasassigned as the General Manager ofKörfezbank in 1998. Akhan was a board
member of Doğuş Holding and CFO during2001-2005. Since January 2006, he has beena board member of Doğuş Holding and theCEO. Additionally, he currently serves as theChairman of the Board for Dogus Real Estate,Related Digital Marketing, DogusPhotography, Dogus Sports, Fashion andMedia Services, Dogus Healthy Life, KörfezAviation, Doğuş Planet Electronics &Informatics Services and as a board memberfor TUVTURK, Dogus Construction.
Aclan AcarBoard MemberAclan Acar started his career in 1974. Afterworking for the state-owned Halkbank forthree years, he joined the Central Bank ofTurkey in 1978 where he served in differentdepartments until 1990. During this periodMr. Acar undertook several managerialresponsibilities including establishing tradingroom, managing open market account fordomestic operations, reorganizing andmanaging foreign exchange transactionsdivision of money markets and treasurydepartment of the Central Bank. Mr. Acar hasbeen continuing his career within the DoğuşGroup, one of the leading conglomerates ofTurkey, since September 1990. First, hestarted at Garanti Bank, one of the leadingprivate banks in the country, as the ExecutiveVice President in charge of Treasury and

Between 1994-1996 period, he served asthe President and Chief Executive Officer ofBank Ekspres, then owned by the Group.Following acquisition of Ottoman Bank, theoldest and one of the most respected banksof the country, by the Doğuş Group in June1996, Mr. Acar was appointed as the Presidentand Chief Executive Officer of the Bank. SinceApril 2000 he serves as a Member of Boardand the Executive Committee of DoğuşGroup. Between the years 2001-2005 heserved as the Chairman of Tansaş and in themeantime as the Chairman of GarantiInsurance and Garanti Pension Company. Şehmuz Ahmet Sedid KurutluoğluMemberAhmet Kurutluoğlu obtained hisundergraduate degree from Faculty of Law,his MBA degree from the Business
Administration Faculty, and his Master’sdegree in Labour Legislation from the Facultyof Law, İstanbul University. He joined DoğuşGroup in 1981 and has been in charge for thelegal affairs as a Legal Counsel for DoğuşHolding and Doğuş Construction. Mr.Kurutluoğlu is currently a member of theBoard of Directors of Doğuş Holding and incharge for the legal affairs as the Chief LegalCounsel of the Group.
Naci BaşerdemMemberBorn in Aksaray, 1957. Graduated in 1981 fromBoğaziçi University, Faculty of Economics andAdministrative Sciences, Department ofManagement. Worked at variousmanagement levels in both bank and privatesector companies and participated to DogusGroup in 1998. He executed different roles atDogus Media, Food Retail and ConstructionGroups. He worked on privatization process of“Vehicle Inspection Services in Turkey” andafter the privatization, he was appointed asthe CEO of the joint venture companybetween German Tüv Süd, English BridgePoint and Dogus.Naci Başerdem, is the chairman of DMS,Doğuş Tourism and Doğuş Retail Groups, andhe is in the Doğuş Board of Managementsince 2014.
Erman YerdelenMemberErman Yerdelen was born in İstanbul andgraduated from high school also in İstanbul.He has visited Münster University, Germany,where he attended the School of BusinessAdministration. In 1966, he graduated fromthe Finance and Business AdministrationFaculty of İstanbul School of Economy andCommerce. He received his Master’s degreein 1996 from Marmara University, İstanbul.After various managerial posts in the privatesector, in 1992, Mr. Yerdelen became theChairman of the Board of Turkish Airlines. Heparticipated in the founding of NTV NewsChannel in 1996 and has been acting as itsChairman of the Board since then. He is also amember of Doğuş Holding Board of Directorsrepresenting Doğuş Media Group. Mr.Yerdelen speaks both English and German.
Gönül TaluMemberGönül Talu is a graduate of İstanbul TechnicalUniversity with a Master of Sciences degree incivil engineering. He joined Doğuş Group in1969 and has held various managerialpositions in Doğuş Construction. Since 1991,he serves as the CEO and the Chairman of theBoard of Directors of Doğuş Construction. Heis also a member of the Board of Directors ofDoğuş Holding.

Prof. Dr. Muhsin MengütürkMemberProf. Dr. Muhsin Mengütürk is a member ofthe Board of Directors of Doğuş Holding. Heserved as the Chairman of the Capital MarketsBoard of Turkey from 1997 to 2000 and hehas held numerous executive roles in thefinance sector. Prior to 1990, he taught atBosphorus University and İstanbul TechnicalUniversity (İTÜ). Prof. Mengütürk is a graduateof American Robert College in İstanbul wherehe completed his undergraduate degree inMechanical Engineering. Dr. Sadi GöğdünMemberSadi Göğdün graduated from İstanbul HighSchool of Economics and CommercialSciences and obtained his doctor’s degree ineconomics and commercial sciences in 1971.He joined Doğuş Group in 1976 and hasworked as a member of the Board in variouscompanies of the Group. Furthermore, heserved as a member of the Board of GarantiBank. THE RISK COMMITTEE AND AUDIT COMMITTEE
The Doğuş Holding Risk and Audit Committees are established by the Doğuş Group Board of Directors to assist the Board in itsoversight of risk and risk management across the Group and Group Companies. They exist to support the Board in its responsibilityfor ensuring that a sound system of internal control exists. They meet regularly prior to the Group Board meetings, and no less thanfour times a year. The Committees are supported by Doğuş Holding Risk Management and Internal Audit departments.
Risk Committee’ s responsibilities include:• Reviewing the design, completeness and effectiveness of the risk management framework relative to the Group sectors’ activities;
reviewing the adequacy and quality of the risk management function; reviewing the effectiveness of risk reporting (includingtimeliness and risk events),
• Reviewing regular information flow from Group sectors and evaluating risk information as well as Group strategies, business plans,budgets and investments,
• Reviewing management’s view of emerging and potential risks; and reviewing the management actions, if any, required inresponse to changes in the risk profile and emerging or potential risks,
• Reviewing Group risk levels to ensure that they are in line with shareholder risk preferences,• Providing guidance to the Doğuş Holding Risk Management Department.
Audit Committee’s responsibilities include:• Overseeing the efficiency of actions taken by Group companies in response to the results of financial, operational, and information
technology audits performed by the Doğuş Holding Internal Audit Department,• Evaluating the efficiency of the internal control processes of Group companies and advising on ways to improve the internal
control environment,• Overseeing the efficiency of financial control and internal audit activities within the Group,• Overseeing the security, efficiency and effectiveness of the information systems used by Doğuş Group companies and reviewing
and approving their contingency plans,• Assisting the Board of Directors in order to ensure that the business activities of Group companies are in compliance with the
requirements of applicable laws and regulations.

THE HUMAN RESOURCES COORDINATION COMMITTEE
The Human Resources Coordination Committee is established to assist the Board in fulfilling its oversight responsibilities inthe field of human resources. The Committee’s primary focus is with respect to the development, succession planning andcompensation of senior executives and the identification, oversight and management of risk related to the human resourcespolicies and practices of all group companies.
The Major Responsibilities of the Committee include:• Developing, implementing and sharing human resources best practices within Group companies,• Sharing within the Group information about vacant positions and potential candidates,• Developing common projects to increase employee engagement.
THE LEGAL ADVISORY COUNCIL
The Legal Advisory Council’s responsibilities include:• Evaluating legislation-related issues with a forward-looking view,• Advising on the legal processes to be followed and the measures to be taken in such matters.

The main responsibility is to seek and provide assurance that the risks and opportunities across Doğuş Group Companies areidentified and risk topics are properly measured, managed and actioned upon to ensure the shareholder value is sustained.
By working closely with the Group’s risk management departments, the focus of the Risk Management function is tostrengthen risk culture, penetrate risk management activities across the Group, obtain and generate sound, timely riskintelligence into its decision-making processes.
Risk Management function is also responsible for the oversight and strategy for risk retention and transfer through designand procurement of corporate insurance cover with relevant insurance policies.
Doğuş Group, with diverse business operations in different regions and countries, is cognizant of its need to monitor andmanage various risks.
Risks monitored by the Group include financial, strategic, business and operational risks as well as emerging ones.
The risks related to the Group, including but not limited to following issues, are listed as below:
Macroeconomic indicators such as balance of payments, GDP growth and domestic consumption are key risk factorsfor the Group.
Foreign currency and interest rate volatility can also have an effect on the Group’s funding costs. The Group holds adequate credit lines and ability to close out market position in order to minimize liquidity risk. Fire, flood, wind, earthquake and other catastrophes are some of the standing transferred risks of the Group. Branding is a key matter for all Doğuş companies. Branding brings with it a reputation risk that is pervasive across all
business lines bearing with it a contagion effect. Health and Safety, Security and Food Safety procedures well defined are set in all businesses to minimize the

Doğuş Group, one of the leading conglomerates in Turkey, is active in seven core businesses including automotive,construction, media, tourism and services, real estate, energy and food & beverage, sustaining its growth with its newinvestments in the areas of technology, sports, and entertainment along with its current operations.
The Group has become a global player in the services sector in virtue of the followed investment route in the recent years,value of its brands and strong commitment to maintaining the highest standards of customer service. The ultimate strategy ofthe Group is to maximize shareholder value by sound growth on the basis of sustainable profitability and enterprise wide riskmanagement.
The growth strategy for the near future includes exploring opportunities mainly in Tourism and F&B sectors in which theinvestments in the recent years were concentrated.
On the F&B sector, the intention is to expand the unique brand umbrella both in Turkey and globally from Gulf Region to FarEast, from Europe to US in line with the strategy being a global player representing Turkey and the Doğuş brand. Therestaurant management company of Doğuş Group (d.ream) has been growing rapidly by expanding existing brands,developing new, innovative concepts and introducing local brands to the international arena. D.ream has further strengthenedits position in the restaurant business by establishing strong partnerships in Turkey and abroad. D.ream currently operates in 10countries with 58 brands and more than 170 outlets and its continuous growth keeps its pace mainly by organic ways.
Doğuş Tourism Group had a rapid expansion with a number of new investments both in Turkey and abroad, including EdenRock – St. Barths, Murat Reis Ayvalık and D-Resort Sibenik hotels in 2015. The growth process in the tourism and hotel industrycontinued with the acquisitions of Madrid’s iconic hotel “Villa Magna”, 5-star hotel “Aldrovandi Villa Borghese” in Rome, “AthensHilton” in Greece and “The Raleigh”, prime hotel of Miami South Beach in 2016. Astir Palace project, “crown jewel" of theAthenian coastline is one of the main investment areas with a total project area of ~300,000 sqm including luxury hotels,residentials, private beaches and a marina. Further to the partnership with Chenot Group in 2015, which is one of the world’svery well-known health, wellness and well-being companies, the Group started working on a medical spa center in the GulfRegion in 2016. Besides, Chenot Group widened its operations as being the operator of a well-known hotel in Gabala,Azerbaijan. Another addition to Chenot Group locations in near future will be the Park Weggis Hotel in Lucerne Canton,Switzerland. Following renovation and expansion works scheduled to end by 2018 year end, the iconic historical hotel on theshores of Lake Lucerne will commence operations under Chenot Group’s management.D

On the new initiatives; Galataport, is one of the most important projects of the Group, is a city Project with a master plancoherent with the neighborhood texture of the Karaköy region and İstanbul. The project aims to develop high synergy betweenexisting sectors; Tourism, Entertainment, Retail, Real Estate and Construction. The Project includes enhancement of existingCruise Terminal and development of a Luxury Hotel together with equity partner Peninsula Hotels Group, A+ offices andoutdoor retail areas. Galataport is planned to be operational in 2019.
On the other hand, D-Marin Marinas Group, serving with 10 marinas and 2 refit & maintenance shipyards in Turkey, Croatia,Greece, Spain and France. The aim is to increase the marina capacity in order to evaluate the available demand in the regionswhere the Group has marina investments and be able to offer superior services to larger masses. The Group acquired 70percent stake in Marina Barcelona 92 (MB’92), a specialized company dedicated to service-refit, repair and maintenance ofsuper yachts.
Doğuş Retail Group, which has several luxury brands such as Armani, Gucci, Loro Piana and Crate & Barrel under its umbrellahas extended its portfolio by adding new global brands “Kiko” and “Under Armour”.Doğuş Group also continued to grow in media sector. The Group strengthened its position in the market by the partnership inTV8. The online TV platform of Doğuş Group “Puhu TV”, which the Group believes to be one of the pioneers of Turkish mediaand technology sector, is launched in the early 2017.
Strongly believing in the capacity, potential and the future of Turkey, Doğuş Group has also been active in technology-aimedNew Initiatives, partnerships and acquisitions besides the operations and activities in the main business lines. On May 16, 2013, Doğuş Group placed the highest offer for the privatization of the İstanbul Salıpazarı Cruise Port, with a $702 million bid, winning the right tooperate the port area for 30 years. In January 2014, BLG Capital, the real estate private equity arm of Bilgili Holding, acquired 19% of the shares in the companyformed to develop the project leaving the remaining 81% with Doğuş Group. Following the signing of the Transfer of Operating Rights Agreement with TheTurkish Maritime Administration in February 2014, the Company took over the management of the pier and started its operations.
Galataport Project is a city project with a master plan coherent with the neighbourhood texture of the Karaköy region and İstanbul. With the new port, theKaraköy coastline, which is currently closed to public access, will be transformed into a promenade open to public, connecting the city with the sea. Through small streets planned between the buildings, visual and physical access to the Bosphorus will be enabled. The maximum height of the new buildings will be lower than the heights of the current ones.
Tophane Public Square, to be reconfigured into a total area of 30,000 sqm with the public park located next to it and its arms going down to the Bosphorus, is expected to become one of the most popular public squares in İstanbul. Furthermore, the historical buildings within the port area will be restored as part of theproject and will thereby regain their importance as historical monuments of İstanbul.
The Cruise Passenger Terminal in the pier area will also be redesigned as part of the project in line with global standards and the pier will continue to operate as the main gateway to İstanbul and Turkey from the sea. The new terminal is planned underground in order to make the residents and visitors of İstanbul enjoy thepromenade without any interruption during cruise operations. An underground carpark is also among the project plans aiming to solve the parking problem in the neighbourhood.
Hosting the İstanbul Modern Museum and Mimar Sinan Fine Arts University Painting and Sculpture Museum within its premises, Turkey’s best practices in contemporary arts, Galataport Project will become the new arts and culture center of İstanbul. The public and open spaces throughout the port area will also be used for open air exhibitions and installations.
