The Maltese Islands, with seven thousand years of history, two hundred generations of civilisation and 300 days of sunshine, were just a decade ago, best known as a holiday destination. While tourism remains a key pillar of the Islands’ economy, Malta is building a deserved and enviable reputation as one of Europe’s most dynamic and innovative business and investment locations. The smallest country in the European Union, in terms of size, population and economy, the Islands’ decisions to join the EU in 2004 and adopt the euro in 2008 have proved pivotal to its development as a major international business centre. High-value activities like financial services, logistics and life sciences are now attracting record levels of investment from blue-chip multinationals and high-net-worth individuals alike. Malta is now punching very much above its weight.

With a population of just over 400,000, this small but highly ambitious nation has a long and fascinating history that has seen a succession of foreign conquerors ruling the island until 1964, when Malta gained independence from Britain after 160 years. making a mark

Its natural beauty and its people are Malta’s greatest natural resources. From the mid-sixties to the mid-eighties, Malta sold itself as a low-wage manufacturing base for products like textiles. By the end of the eighties it was recognised that educating and broadening the skills of the workforce would attract higher value-added products and services to the island.

In the years since, Malta’s leaders have set about restructuring the entire economy and have laid the foundations for the development of a world-class, knowledge-based economy. Financial services, science and technology, high-value manufacturing, health, tourism, education, maritime services and creative industries are now the prominent features of Malta’s economic landscape. The Islands’ small, open economy has proven to be remarkably resilient in the face of the global economic downturn, registering GDP growth of 3.7 per cent in 2010. This underlines the solidity of the foundations upon which Malta’s economic transformation has been based.

Today, tourism remains a key pillar of the economy, contributing 25 per cent of GDP. However, the island has been very successful in diversifying its economy. International financial services now accounts for 12 per cent of GDP and is expected to rise to 25 per cent, eGaming, ICT, digital media, creative industries and pharmaceuticals, are joining the traditional economic generators and creating a solid base of diverse operations from which Malta is competing at international level. Attracting foreign direct investment to the island remains a priority for the government with a focus on higher value activities and services that can avail of the excellent, state-of-art IT and telecoms infrastructure, a highly-skilled, English-speaking workforce and the strategic potential of the island.

thE right EnvironmEnt

Malta offers a low-risk, pro-business environment that allows investors to establish operations quickly and efficiently. To support high performance industries locating to Malta, the government has introduced business-friendly policies underpinned by a legal and regulatory framework that is fully harmonised with EU legislation. Malta has also invested heavily in modern telecommunications and transport infrastructure, while also providing a full package of incentives that range from fiscal benefits, including an effective tax rate of 5 per cent to the provision of custom-built production facilities. Malta offers a very attractive environment for investors and is now ranked as one of Europe’s most profitable investment locations. The World Economic Forum’s Global Competitiveness Report 2010-11 ranks Malta 11th out of 139 countries for financial market development. Malta is also ranked eighth for auditing and reporting standards and 10th for the soundness of its banks.

Malta is rapidly emerging as one of the fastest growing international financial centres in the world and attracting ever-increasing international attention from global corporations and advisors. The Maltese authorities’ efforts over the last few years have successfully attracted a large number of international banks such as Deutsche Bank, HSBC, Banif Bank and FIMBank, while insurance companies such as Munich Re, Aon and Marsh have all set up operations in Malta. The pharmaceutical sector currently enjoys an exemption from international patent law. This gives Maltese-based pharmaceutical companies a competitive advantage over EU-based rivals by allowing the development of generic drugs in advance of patent expiry. With another 30 years to run, the exemption is proving to be a major advantage in attracting FDI from generic medicine manufacturers. Malta now aims to attract companies from the wider field of life sciences. In addition to a strong patent law and intellectual property rights, by 2013 a new 20 million euro bio-technology park, or Life Science Centre, within easy access of the university is due to be completed.

Malta offers one of the most progressive environments in the world for IT, eGaming and eBusiness and digital media activities. Investment in this area is increasing at a rapid pace. Malta’s commitment to establishing the country as a centre of excellence is also paying off in other areas of the economy. The small island state has moved up the international ICT league table as data speeds have increased and connectivity has improved. This has attracted a large number of ICT companies to its shores. With the construction of SmartCity, an IT village, by Tecom, the developers and operators of Dubai Internet City, the sector will receive its largest single investment of $300m. The first companies to take advantage of opportunities in the sector were the eGaming companies, of which over 250 have already established a presence on the island. It is logical that Malta is now focussing on digital games development. Providing research and development incentives, information security and intellectual property rights, Malta is eager exploit its advantages as an established ICT centre. Committed to the expansion of the sector, the country is also looking into the establishment of an entire creative and entertainment district. Malta has now set its sights on attracting business such as disaster recovery, data processing, software development, data storage, payment gateways, database management, supply chain management centres and a variety of related services.

EnErgy hub

Located within a region of offshore oil and gas activity, Malta already serves as a base for the major oil operators, drilling contractors and pipe laying contractors in and offshore North Africa. While Malta does not currently possess oil or gas resources of its own, the government announced that new licences for oil exploration will be issued soon. Malta’s government sees great potential for foreign investment in the area of renewable energies and is mindful of China’s leading role in the development of alternative technology and renewables.

Over the past couple of decades, Malta has emerged as one of the major logistics providers in the Mediterranean, providing a gateway to North Africa and Europe for third-party country goods, especially those from the Far East and North America. The country’s logistics providers offer a full suite of regular and customised services that range from simple duty-free storage of products to facilitating custom cleared, last-minute ordering in European markets. The island now hopes to replicate the success of its maritime flag in the further development of its aircraft register, and has recently introduced new legislation to update the current framework and meet the requirements of this growing industry sector through the new Aircraft Registration Act.

The country offers a large network of 60 double taxation treaties – the treaty with China was updated in 2010 – which further strengthens the Islands’ position as a key business centre.

Charged with the task of attracting foreign investment to the island, Malta Enterprise is a government agency that offers assistance to foreign investors thinking of setting up in Malta. The country offers investors a comprehensive package of incentives under the Malta Enterprise Act. Malta’s growing interest in doing business with

China lead to the formal launch of the Maltese Chinese Chamber of Commerce (MCCC) in early 2011. While Malta has been pro-active in developing closer ties with Chinese business over the years, the establishment of the MCCC is expected to play a vital role in enhancing business-to-business contacts and facilitating trade, investment and co-operation between the two countries.

Established on the initiative of the Malta China Friendship Society, which has been actively fostering Sino-Maltese cultural relations for over 37 years, and supported by the Malta Chamber of Commerce, Enterprise and Industry, the MCCC was set up on 31 January, 2011, the anniversary

of the establishment of diplomatic relations between Malta and China.

Conscious of the enormous potential offered by enhanced business ties, the Chamber assists companies and businesspeople from both countries in understanding the relevant cultures in which each operates, thus enabling the development of a more smooth working relationship. The MCCC also aids both Maltese and Chinese companies in locating suitable business partners for trade and investment, acknowledging the fact that high-value contacts are especially important for companies seeking to enter the Chinese market. Malta and China enjoy a warm relationship, which has blossomed over the years. Malta was one of the first countries in the world to establish diplomatic relations with the People’s Republic of China in 1972. After gaining independence from Britain in 1964, Malta was faced with the task of rebuilding its economy practically from scratch. China embraced Malta at this time, providing investment in manufacturing, loans and financial and technical assistance with essential infrastructural projects like upgraded port facilities. This assistance laid the foundations for the close relationship enjoyed by both countries today.

moving to nEw hEights

Celebrating the 40th anniversary of the establishment of bilateral relations in January 2012, Malta’s political leaders are determined to push their relations to new heights. The present Maltese government considers China as one of its most important strategic partners and a high priority market for trade and investment. The two countries share an active, diversified and expanding bilateral relationship that is expected to be strengthened by forthcoming meetings on trade, investment and economic collaboration.

Co-operation has been continuous and consistently positive, as reflected in the long list of senior Chinese leaders who have visited Malta over the years, including President Li Xian-Nian, President Jiang Ze-Min and, more recently, Vice President Xi Jinping. Maltese

leaders regularly travel to China, maintaining high-level exchanges that have led to the conclusion of various bilateral agreements. Malta has always been supportive of the “One-China” policy and as a member of the European Union, is keen to play a greater role in the development of China’s relations with fellow EU countries. Malta’s recent assistance in evacuating 5,000 Chinese nationals from Libya has further copper fastened the friendship between the two countries.

conFucius lEads cultural diPlomacy Culturally, too, Malta has benefited enormously from the relationship. In the late 1990s, the Chinese government assisted in the building of the Serenity Garden in Malta, a Chinese garden that attracts thousands of visitors every year. Cultural ties were strengthened in 2003 with the opening of the China Cultural Center in Malta, one of only three such centres in Europe and nine worldwide. Further promoting Chinese language and culture in Malta, in 2009, the Confucius Institute was established at the University of Malta in co-operation with Xiamen University. The Mediterranean Regional Centre of Chinese Traditional Medicine was established in Malta in 1994. Traditional Chinese medicine (TCM)-treatments are also offered in Malta’s state hospital, a first in Europe when the TCM clinic was opened. The exhibition of China’s Terracotta Warriors in 2007 marked a high point in Malta’s increased interest in China and its rich cultural heritage.

Bilateral trade has shown a marked growth in recent years, but is still far below its true potential. During 2010, exports from Malta to China increased significantly. According to Malta’s National Statistics Office, exports reached 61.2 million euro, an increase of over 125 per cent on 2009. Imports from China to Malta have remained stable during the past two years. While trade with Hong Kong has been promising, there remains significant scope for growth. While Malta and China have enjoyed deep cultural ties, the two countries are now seeking to promote trade and investment across a range of target sectors, taking advantage of Malta’s strategic location, investment-friendly policies and access to the large European and North African markets.

Malta’s participation in the Shanghai World Expo in 2010 raised Chinese awareness of business opportunities in Malta. The International Investment Association of Shanghai recently opened a regional representative office in Malta to assist Chinese businesses and investors seeking to use the island as a base for doing business in Europe and the Mediterranean region. Malta Enterprise, the agency responsible for promoting trade and investment with Malta, has opened a dedicated office in China to promote investment and trade between the two countries.

Sino-Maltese relations have not only stood the test of time, but over the last forty years, have continued to develop and diversify. There is every reason to believe that both countries will continue along this path into the future. n

Malta and China will celebrate the 40th anniversary of diplomatic relations in 2011. What is your general evaluation of the Sino-Maltese relationship? Malta was one of the first countries to recognize China after it was admitted to the United Nations. Since we gained independence in 1964, China has accompanied Malta throughout its political, economic and social development. In the years immediately following independence, China provided investment and technical assistance, with a particular focus on our shipyards. All in all, I can describe the relationship between Malta and China as a very strong, positive and friendly one.

What is the most powerful driver of Foreign Direct Investment into Malta?Competitiveness and investment attractiveness are key areas in my Government’s economic vision. Malta continues to attract new investment to its shores as well as increased commitment from current investors. Malta’s taxation system and numerous double taxation agreements, coupled with our skilled labour force and investment aid packages, underpin our attractiveness as an investment location. This has been further enhanced by our EU membership and the adoption of the euro.

How is Malta seeking to develop its business relationship with China?We are focusing on attracting business and investment from China in a number of areas including financial services, high-value-added manufacturing, ICT, education services, transport and logistics. Pharmaceutical production, aircraft maintenance and eGaming are all niche areas in which Malta is becoming a world leader. We are now focusing on developing creative industries such as digital games development.

I would argue that Malta has the most competitive freeport in the Mediterranean and is well-placed to serve as a logistics centre for Chinese companies. Our EU membership and strategic location in the Mediterranean position Malta as an ideal hub or staging post for companies to enter two giant but totally different markets: the European Union and the vast developing African market.

What is Malta doing to further develop its capacity?We plan to build a life sciences park, which should take the already successful pharmaceutical industry a step further. The construction

of an aviation park is on-going. We are also developing a business park, Corporate Village, while SmartCity, an IT and media hub, is becoming a reality. All of these projects are helping to increase Malta’s attractiveness as an international investment location.

Tourism is a key sector of Malta’s economy, what is being done to attract more Chinese visitors? Tourism from China is an area we would like to develop further. While Malta is one of a select number of countries that has been awarded approved destination status by the Chinese Government, in order to see this business sector grow, we need to streamline the current visa application procedures. I raised this issue at a European level and the EU understands its importance.

Which particular sector do you see as being most interesting in terms of future growth?This has to be the financial services sector, which grew by 30 per cent in 2010 alone. The growth of the sector can be attributed to a number of factors including a robust yet flexible regulatory regime, and Malta’s highly skilled and qualified workforce. EU membership and our extensive network of double tax agreements have allowed us to develop as an international business centre. Chinese investors can avail of an English-speaking jurisdiction which is of the highest standard, an advantageous tax system recognised by the OECD and the EU and excellent professional services at competitive costs.

Malta has earmarked a number of major infrastructure projects for development. What opportunities are there for collaboration with Chinese companies? We have an open tender procedure and are seeking to attract investment right across the economy. The energy sector is of particular interest, given Chinese expertise in green technology, especially in offshore wind farms. Malta does not have space to build onshore wind farms, so the only viable option is to go offshore. We have also announced that we will be laying an interconnector cable to Sicily that will connect us to the European grid, allowing us to reduce our dependence on oil. In addition, we are examining the feasibility of laying a gas pipeline and would certainly welcome investment from China in any of these projects. Malta is also exploring the concept of becoming a hub for an Africa-EU energy cable, which would transport electricity produced by desert-based solar energy plants.

What would you highlight as Malta’s key business attractions?Malta offers a low cost base, along with the advantages of EU and euro zone membership. We have a well-educated, flexible workforce and can offer exceptional quality of life, while being very accessible to investors, employees and their families. In addition, our economy facilitates trade and investment through multiple systems and treaties of which it forms a part, including Schengen, the Single European Payment System, US Visa Waiver Programme and a multitude of double taxation agreements.

Do you have a personal message for the Chinese business community?The relationship between Malta and China is strong and has grown over 40 years. Now that Malta is part of the EU, new opportunities have arisen. Malta is open for business and it will be a pleasure to see more Chinese investment coming here. n

Malta, a small island state at the heart of the Mediterranean, has been a melting pot of civilisations for over 7,000 years. Dubbed “Malat”, meaning safe haven, by the Phoenicians, the island lies at the crossroads of Europe and North Africa. Modern Malta, officially known as the Republic of Malta, was founded in 1964 after gaining independence from Great Britain. Just over 316 square km in area, the Maltese Islands, comprising Malta, Gozo and Comino, lie midway between Europe and North Africa, 93 km south of Sicily and 290 km north of Libya. Malta’s location at the heart of the Mediterranean has made it a melting pot of civilisations for over 7,000 years. Throughout the centuries, Malta has been a coveted possession of the dominant nations in the region. The rich architectural heritage that Malta’s many masters left behind them forms a physical backdrop to a history as fascinating as it is long.

Malta’s 410,000 inhabitants are among the most cosmopolitan of peoples, whose history has seen a succession of foreign rulers from the Phoenicians, to the Carthaginians, Romans, Byzantines, Arabs and Spanish. In 1530 the Islands come under the control of the knights of St John, who ruled for 250 years before being ousted by the French in 1798. Their short-lived rule lasted until 1800, when the islanders asked the British for help in liberating the country, thus setting the scene for 160 years of British rule until 1964, when Malta gained independence from Britain. In 1974, Malta was declared a republic. The country joined the European Union in 2004 and the eurozone in 2008.

gEograPhy and climatE

The main island, Malta, has an area of 246 square km and is 27 km long, measuring 14.5 km at its widest point. It takes just 45 minutes to cross the island, just one of many examples of the high quality of life to be found there. Gozo, with an area of just 67 square km, offers visitors and residents a less developed and more rural environment.

The capital city Valletta is both the administrative and business centre of the country. The Islands’ other main towns include the popular sea-side towns of Sliema and St. Julian’s on the west coast, the inland towns of Mosta and Hamrun, and Paola, situated in the south of the island. While some 90 per cent of Maltese live in urban areas, there are numerous small villages that still typify the traditional Mediterranean, rural way of life.

A rocky Mediterranean island with a dry and sometimes windy climate, Malta enjoys 300 days of sunshine per year. With average summer temperatures of around 30 C and winter temperatures ranging from 15 C to 20 C, Malta’s mild, warm climate is considered to be the best in the world according to the 2011 ranking of International Living magazine. Surrounded by some of the clearest and cleanest waters in the Mediterranean, the country’s landscape is characterised by tiny terraced fields carved out of any available agricultural land, supported by laboriously constructed rubble walls.

The Maltese Islands are a rocky formation, composed chiefly of limestone, rising from east to northeast to a height of 240 m, while the 252 km coastline is indented with deep harbours, bays, creeks and rocky coves. Some 38 per cent of the Islands’ land is considered to be arable, and Malta produces around 20 per cent of its own food requirements. Although there are some small rivers at times of high rainfall, there are no permanent rivers or lakes on Malta, and over 50 per cent of the Islands’ water is produced at desalination plants situated on the coast, with the remainder being extracted from natural underground wells.

The official languages are Maltese and English, with 90 per cent of Maltese being totally bilingual. English is used predominantly in business, education, entertainment and newspapers, while Maltese is more commonly used in the home. Most people easily switch between the two languages. Maltese is a Semitic language believed to have developed during the Arab occupation of the islands (870 – 1090 AD), and it is still the only Semitic language to be written in a Latin script.

Most Maltese have a good command of Italian, while French and German are also widely spoken. Over the last few decades Malta has also become a highly popular destination for the study of English as a foreign language. Over 50,000 international students come to Malta every year to learn the language.

rEligion

Family life and religious traditions are two major influences on the everyday culture of the Maltese. The Church plays an active role in most communities on the Islands. This is reflected in the large number of churches to be found in Malta; 365 in all – one for each day of the year. Close to 98 per cent of the Maltese population is Roman Catholic. Malta’s adoption of the Christian religion dates back to AD 60, when St. Paul evangelised the island. Other religious denominations are also represented and include Jewish, Muslim and Hindu communities.

Quality counts

Malta is renowned for its excellent quality of life and, with its small size and well-balanced rhythm, is one of the few places where you canenjoy‘eighthoursofwork,eighthoursofplayandeighthoursof rest.’ The Islands’ Mediterranean cuisine, based on seasonal fresh produce and infused with aromatic herbs, is one of the healthiest and tastiest in the world. Malta lies in a convenient time zone for doing business across the world, one hour ahead of GMT, meaning office hours coincide with Asia in the morning, Europe throughout the day and the US in the afternoon.

Political FEvEr

Malta’s population is one of the most politically active in Europe, with elections seeing voter turnout regularly exceeding 90 per cent and more. The island gained independence from Britain in 1964 and inherited much of its political structure from its former colonists. Today Malta is a democratic republic, in which executive powers rest with the Prime Minister, while the President acts as titular head of state. Political allegiances in Malta have traditionally been commanded by the two main political parties, the Nationalist party (PN) and the Labour Party (LP), which enjoy roughly equal levels of support.

The dominance of the two main parties was confirmed once more during the last general election held in March 2008, when the incumbent Nationalist Party, led by Prime Minister Lawrence Gonzi, won a third consecutive term by a narrow margin. The Labour Party is led by Joseph Muscat, while the current President is George Abela, also from the Labour Party.

Malta has enshrined military neutrality in its constitution and the cornerstone of its foreign policy is its membership of the EU. Malta is keen to see a further strengthening of the EU’s Common Foreign and Security Policy and supports the continued enlargement of the EU. Malta’s accession to the eurozone in 2008 also constitutes an important guarantee of political and economic stability.

Economic Foundations

Before gaining independence in 1964, Malta’s economy was characterised by a reliance on the British armed forces. The majority of the Maltese workforce was either employed directly by the British forces or in industries servicing the military. In the decades since gaining independence, Malta has transformed itself into a modern economy based on knowledge industries and powered by a highly-educated, professional workforce.

Malta moved from low-cost manufacturing and package tourism to a focus on high-value activities and services from the late 1980s, when the Maltese government began to invest heavily in education, infrastructure and communication systems. EU accession in 2004 and euro adoption in 2008 brought further restructuring, leading to the liberalisation of markets, privatisation of state-owned companies and the consolidation of government finance. The government then identified seven key industry sectors for development: financial services and support; international educational services; tourism; advanced manufacturing; the creative industries; transportation, advanced logistics; and life sciences.

Today, services, including financial intermediation, business services, tourism and real estate, underpin the Maltese economy, accounting for 75 per cent of GDP, while industry accounts for 23 per cent and agriculture for just two per cent. Businesses like aircraft maintenance, pharmaceuticals, semiconductor manufacturing and IT services are expanding rapidly, while tourism remains strong, contributing close to 25 per cent of GDP. The financial services sector, which grew by 30 per cent in 2010 alone and already accounts for 12 per cent of GDP, is quickly catching up, producing both high value and employment.

rEsiliEnt and strong

Malta’s economy was one of the least hard-hit by the recent financial crisis and experienced one of the shortest recession periods in the EU. While Malta’s GDP contracted by 1.9 per cent in 2009, this was followed by a strong rebound in economic activity in 2010. Last year, Malta was able to post GDP growth of 3.7 per cent. Malta registered the fourth lowest unemployment rate at 6.3 per cent in the EU as well as the fastest increase in employment growth in 2010. The recovery has been driven by growth rates for exports, mainly based on the recovery in manufacturing, but also tourism and the success of Malta’s financial services industry. On the fiscal front, Malta was one of only three EU countries to reduce its fiscal deficit and the government is confident that it will be able to reduce it to below the EU limit of 3 per cent by the end of 2011.

Malta’s government remains confident that its diversified economy, based on new, knowledge-based industry sectors such as IT, financial and professional services, as well as high value-added manufacturing and tourism, is resilient enough to withstand shocks such as those resulting from the international recession. Malta’s strengths lie mainly in the resilience and ambition of its people, tempered over the centuries by an often turbulent history that makes Malta so fascinating.

With bank resilience still a concern for corporations and investors, Malta’s banking sector is starting to attract attention

as a secure location to manage wealth and assets. The country’s banks suffered no systemic shocks or failures during the financial crisis. While the sovereign debt crisis in Europe and renewed concerns about the global economic outlook have once again put the spotlight on bank safety, Malta’s banking system has been ranked as the 10th soundest in the world by the World Economic Forum’s Competitiveness Index 2010-2011, up two positions from the previous report. growth and stability

The Maltese banking sector has changed significantly over the last 15 years, having been transformed from a tightly controlled, publicly owned sector into one characterised by liberalisation and foreign ownership. The banking landscape has developed from four retail banks serving the local population to an EU-compliant industry sector of world-class sophistication, with 25 foreign or privately-owned credit institutions. Bank assets surged from about 20 billion euro in 2004 to more than 50 billion euro at the beginning of 2011.

Banks in Malta are regulated and supervised by the Banking Act, 1994 and licensed by the Malta Financial Services Authority (MFSA), with transparency being a key element of regulation. In 2010, the MFSA also signed a Memorandum of Understanding (MoU) with the China Banking Regulatory Commission (CBRC),

Malta has a deep-rooted, conservative approach to banking which further supports the stability of the sector. Bank funding in Malta depends on retail deposits rather than wholesale borrowing. Over the years, the conventional banking approach, based on old fashioned intermediation between retail depositors and borrowers has been maintained. Throughout the financial crisis, the sector has not relied on wholesale funding to support lending and maintains substantial liquidity, adequate capital and prudent lending policies.

ProFitablE sEctor

Not surprisingly, Malta’s retail banking sector is one of the most consistently profitable elements of the economy. With Maltese domestic deposits of some 10 billion euro for a population of 410,000, the Maltese are extremely cash rich. The domestic banking landscape in Malta is dominated by Bank of Valletta (BOV) and HSBC Malta. In addition to HSBC and BOV, the Maltese banking sector includes APS Bank, which is owned by the local Catholic Church, and Lombard Bank, whose largest shareholder is Marfin Bank from Cyprus. Both operate a small number of branches on the island. Among the more recent newcomers are the Portuguese retail bank, Banif Bank, which in January 2008 entered the domestic retail and commercial market, and Mediterranean Bank, which is targeting high-net-worth wealth management, savings and investments.

stratEgic location

Fast growing and dynamic, Malta-based banks currently hold total international deposits of 28 billion euro. This has drawn some of the most highly respected names in institutional finance to establish operations in Malta and use the islands’ strategic location as a base for future expansion into Europe, Africa and the Middle East. Over the past decade or so, institutions from some 15 countries including Australia, Austria, Bahrain, Belgium, Greece, Portugal, Turkey, Cyprus, Finland, Italy, Kuwait, Saudi Arabia, Switzerland and the UK, have set up operations in Malta, with the most recent arrival being the German giant, Deutsche Bank. This influx has lent an increasing dynamism to Malta’s thriving financial services industry.

oPtimistic outlook

As growth continues, so does the expansion in the range of products and services being offered in and from Malta. These include commercial banking, wealth management, private banking, trust business, investment banking, treasury operations, syndicated loans and trade finance. Malta also makes provision for so-called ‘standalone’ electronic money institutions, which are regulatedby the Electronic Commerce Act, 2001 and the Electronic Money Institutions Directive.

Malta’s banking leaders now believe the sector is primed for significant growth. Foreign financial institutions benefit from low costs for back-office functions, easy access to the regulatory and supervisory authorities, as well as a competitive tax regime, featuring low tax rates for dividend payments and backed by extensive double-taxation treaties. n

While the Malta Stock Exchange (MSE) may be small by international standards, it is determined to become a conduit

for small cap and non-European issuers to access the wider EU capital market. Established in 1992, the Exchange has in the past operated mainly on the domestic market, but has been growing steadily. The MSE operates two markets: the regular market, consisting of equities, corporate bonds and government bonds, and the treasury bill market. The Exchange constantly seeks to improve its service offering and aims to become a major player in niche areas.

PositivE rEsults

While, like many other exchanges, the MSE felt the effects of the financial crisis, confidence in the market did not decrease significantly. In fact, the Exchange has been experiencing an increase in listings in recent years, with 2009 marking a major milestone, by local standards, when it attracted a record 12 corporate bonds, one equity issue, two roll-overs and 11 issues of government stocks raising more than 800 million euro. This was excluding government T-Bills, which alone accounted for 1.6 billion euro. Last year was equally successful: the MSE attracted one equity issue, 12 issues of government stocks and 15 corporate bonds, among others.

The MSE Share Index closed in positive territory for the second successive year in 2010 and the Index gained 9.3 per cent. Market capitalisation reached 8.4 billion euro, an increase of 0.9 billion euro on the previous year. Total trading turnover stood at around 515 million euro at the end of 2010, though there were many ups and downs during the year with shares outperforming bonds. This trend has also continued at the beginning of 2011. The MSE has also recorded a steady stream of enquiries from potential issuers in and outside the EU in the first few months of this year. In addition to government bonds and treasury bills, the MSE currently has more than 20 listed equities, around 50 corporate bonds and more than 300 funds.

Products and sErvicEs with PotEntial

The MSE has been seeking to develop its service offering. The Exchange entered into a process to replace its trading system and is looking at providing a cutting-edge technology infrastructure that will act as a business enabler. Obtaining a licence to operate a central securities depository in 2007, the MSE has now expanded its depository services and has moved from offering a purely registrar service base to offering custodial and related services, also to non-listed companies. The MSE also developed a new in-house product that allows shareholders of listed companies to take part in AGMs electronically.

co-oPEration and intErnationalisation

Although the Maltese internal market is restricted by the country’s small size, the MSE has sought to counter this through innovative and ambitious plans aimed at broadening its relevance. The Exchange is keen to maximise the opportunity EU membership presents to encourage companies from other EU and non-EU member states to list on the MSE. It is also developing strategic partnerships. The inclusion of Malta’s equity market within the FTSE’s Global Equity Index Series (GEIS) in September 2010 is considered a positive step towards the Exchange’s internationalisation by raising its profile. In April 2011, Clearstream, the global liquidity provider of Deutsche Börse Group, also included the Malta Stock Exchange in its settlement network.

stEPPing stonE to nEw markEts

The MSE wants to build on its progress to date and improve its connectivity with other exchanges to develop partnerships. The small size of the MSE means it is able to provide a more intimate, flexible and fast service at very competitive fees, particularly to companies which might be too small to list on the large exchanges or choose Malta as a first step to gain initial experience before seeking an eventual listing on the larger exchanges. The MSE is also looking to issuers outside the EU to use Malta as a gateway to European investors by using the EU Prospectus Directive to access the wider EU capital market. Opportunities also await the fund industry. While the MSE has been successful in listing retail collective investment schemes, interest from the hedge and alternative fund sector has picked up in recent months. The MSE is confident that as fund promoters seek to widen their investment base, listing a fund on the MSE adds an enhanced veneer of credibility and regulation to that fund. n

Malta offers one of the world’s most business-friendly settings for establishing corporate structures. An ideal vehicle for

international business, investment and financial services, a Malta company can be used for a variety of activities, ranging from property ownership and management to eCommerce and licensed financial services provision. Regulated by the Companies Act, 1995, a Maltese company can be a valuable international tax planning tool, offering the possibility of an effective tax rate of under 5 per cent.

FavourablE tax rEgimE

Approximately 50,000 companies are registered in Malta, with 2010 seeing 2,900 companies being incorporated. Malta companies come in various forms, including limited liability companies, general partnerships, co-operatives and limited partnerships. The most commonly used vehicle for international business is the limited liability company, which offers the possibility of minimising tax leakage. While the company pays tax at the normal corporate rate of 35 per cent, shareholders enjoy a refund of the Maltese tax paid on the distribution of dividends. The amount of the tax refund is set at 6/7ths of the advance corporation tax paid by the company (5/7ths in the case of passive interest and royalties). The refund is reduced to 2/3rds where the distributing company claims double taxation relief.

doublE taxation trEatiEs

The use of Malta’s network of almost 60 double taxation agreements also provides for some useful structuring opportunities. In 2010, China and Malta agreed on a new double taxation treaty, which replaced the existing agreement between Malta and China, signed in 1993. The new agreement offers better conditions for investment in Malta or China. The withholding tax rate for dividends for a holding of at least 25 per cent of the company paying the dividends has been established at 5 per cent as opposed to 10 per cent under the existing treaty and the withholding tax rate for certain royalties has been reduced effectively from 10 per cent to 7 per cent. Malta is also in discussions with Hong Kong on signing a double taxation agreement.

Malta’s favourable tax regime – one that has been approved by both the European Commission and the OECD – is giving the islands’ financial services centre its cutting-edge advantage over competing locations, and continues to be instrumental in bringing large volumes of new business and investment into Malta. In addition, Malta is also attractive to companies involved in mergers and acquisitions (M&A). With its attractive corporate law and regulatory environment, as well as the advantageous fiscal treatment of locally registered companies used as vehicles for cross-border acquisitions, the volume of M&A activity structured through Malta is today increasing steadily.

EFFEctivE rEgulation

In its efforts to ensure that the regulatory framework reflects the changing demands of the industry and remains in line with EU requirements, the Malta Financial Services Authority (the regulator) maintains constant vigilance of market requirements and developments. The Maltese legal structure is a hybrid system of Civil and Common law. While it is based on the civil law pattern of continental Europe, most administrative and fiscal legislation is constructed on the British model. This offers Malta a particular advantage in company formation and M&A, as practitioners have a cultural affinity with both systems and can easily bridge the gap between continental European and Anglo legal frameworks.

thE right PackagE

With its consistently updated regulatory framework, its confirmed and favourable tax regime and the easy access to EU markets conferred by Malta’s accession to the EU in 2004, Malta is an attractive jurisdiction for company formation, mergers and acquisitions and corporate restructuring. As more international advisers perceive Malta as a stable and attractive base in which to establish a company or undertake cross-border acquisitions, activity in this sector is poised to grow at the same pace as the country’s international reputation. n

Malta is one of the few jurisdictions that caters for both trusts and foundations. While trusts are peculiar to legal systems based on common law and are not generally found in civil law countries, Malta, a civil law country, is an exception to this rule. The Malta trust provides settlors the peace of mind that comes with a highly-regulated, EU environment, while remaining faithful to the original concept of a trust. And, with legislation now in place to regulate the setting up of foundations, through which settlors are able to maintain a level of control on the direction of the estate, Malta is ideally placed to cater for a wide range of requirements. The regulator, the Malta Financial Services Authority, has already licensed over 100 Maltese and international fiduciary companies to offer trust and trustee services in the country, reflecting the growing importance of this segment of financial services in Malta.

soPhisticatEd trust lEgislation

The Maltese Trust and Trustees Act came into force in January 2005 as part of the revision of the legislative framework. The Act creates a streamlined and simplified trust regime and permits the holding of any property for any person, eliminating ring fencing and discrimination based on residence and nationality. The trust law identifies a number of commercial situations within which the use of trusts would attract more favourable treatment. These include security trusts, unit trusts or collective investment schemes and securitisation, among others. In addition, trusts can also be used in shipping and aircraft finance.

Malta’s advantageous taxation regime also enhances the attractiveness of this financial instrument, though naturally, the actual impact of taxation on trusts depends on a number of issues, including the type of assets and the residence status of the beneficiaries. Provided that all of the beneficiaries of a trust are not resident in Malta and that all of the income attributable to a trust does not arise in Malta, there should be no tax due from the trust or the beneficiary in Malta because non-residents are not subject to tax on income derived from elsewhere.

Malta’s legislation also caters for the setting up of foundations, which continental Europeans generally prefer to trusts because they allow the founder to continue to maintain a level of control on the direction of the estate. Unlike trusts, foundations have a legal personality and the foundation itself becomes the legal owner of the foundation estate. Based on Maltese company law principles and Italian and French civil law provisions, Maltese foundations, like trusts, require the appointment of trustees, who are responsible for the administration of the foundation’s property, and these are regulated under the Trustees Act. Foundations can also be converted into trusts and vice versa. Following legislative changes in summer 2010, a foundation is now treated as a company for tax purposes, subject to the normal corporate rate of tax, and can benefit from Malta’s full imputation system.

ProtEction and sEcurity

Offering a high level of protection and regulation, Malta trusts and foundations benefit from a number of advantages when compared to traditional trust jurisdictions such as Switzerland, Lichtenstein, Luxembourg and the United Kingdom. These include Malta’s specific trust legislation that creates a highly regulated environment for the establishment of a trust. The fact that in Malta a trustee has to be licensed by the Malta Financial Services Authority offers settlors a higher degree of assurance. The legal framework surrounding Malta trusts also allows for the creation of customised solutions for each individual trust established. This includes the option to have the trust governed by the laws of a country other than Malta.

Malta also offers lower set up and administrative costs. On average, setting up a trust in Switzerland will cost a minimum of 5,000 euro; in Malta the cost of setting up a fully-fledged trust is around 1,500 euro. Professional fees in Malta, including trust management fees, legal and audit fees, are also significantly lower than in other jurisdictions, while the international reputation of the country’s professional service providers is second to none. n

Malta’s fund industry has undergone a radical transformation in recent years. Fund managers are increasingly moving

their operations to the EU’s smallest member state, from offshore jurisdictions such as the Cayman, Channel and the British Virgin Islands, but also from traditional finance hubs like London. The country has clearly established itself as a credible fund domicile and provides the ideal springboard into Europe.

EmErging domicilE

While the value of funds administered on the island was just 1 billion euro in 2004, by the end of 2010, Malta-domiciled funds reached a combined net asset value of just under 8 billion euro. The total number of licensed collective investment schemes also continued to increase. At the end of 2010, 410 active funds (including sub funds) were registered with the industry regulator, the Malta Financial Services Authority (MFSA), around 20 more than in 2009, with growth being seen across the entire scope of fund business. This demonstrates that Malta is emerging as one of the European domiciles of choice both for UCITS-type products licensed under the EU regime for investment funds, as well as for alternative investment funds, known as professional investor funds (PIFs) in Malta.

In fact, with the advent of EU legislation establishing passporting rights for UCITS-certified funds, Malta is well-positioned as a serious contender for cross-border and international business. The country has already seen the development of a dynamic fund administration and management sector catering for the needs of foreign investors.

ucits and PiFs

Membership of the EU, as well as the MFSA’s membership of the Committee of European Securities Regulators, guarantees a sound regulatory and legislative framework. The MFSA is the sole regulator for the financial services industry. The principal legislation regulating the funds industry is the Investment Services Act and subsidiary legislation. This provides for the establishment of UCITS and non-UCITS retail funds as well as for PIFs. The MFSA has the power to issue investment services rules regulating among others, hedge funds, private equity funds, property funds and other funds that pursue alternative investment strategies.

Both PIFs and UCITS funds need a collective investment scheme licence prior to launch. The PIF regime caters for three classes of funds targeting experienced investors, qualifying investors or extraordinary investors. This means the level of oversight and protection offered to investors is limited, the assumption being that the professional investor is well aware of the risks involved in investment markets and is in a position to take a decision to participate on well-founded grounds. PIFs targeting experienced investors are subject to a minimum investment amount of 10,000 euro and to certain investment, borrowing and leverage restrictions. PIFs targeting qualifying investors are subject to a minimum investment amount of 75,000 euro and 750,000 euro for extraordinary investors.

agrEEmEnt with chinEsE rEgulator

With the signing of the memorandum of understanding between the MFSA and the Chinese Securities Regulatory Commission (CSRC) in 2010, Chinese-Qualified Domestic International Investors (QDII) are able to invest on behalf of Chinese investors into Maltese domiciled funds which are licensed as either retail UCITS-schemes or PIFs. Furthermore, companies licensed by the MFSA will also be able to access the Chinese Qualified Foreign Institutional Investor status and invest directly in the China A share market, subject to certain foreign exchange flow and disclosure requirements.

PoisEd For growth

Over recent years, Malta has set‐up the necessary infrastructure to service the needs of the fund industry. The majority of funds in Malta have, thus far, been professional investor funds. However, a number of UCITS schemes have been established and are successfully distributed in other EU countries, making use of the passporting rights to other member states. Practitioners expect that Malta will further benefit from a number of EU directives such as the UCITS IV Directive and the Alternative Investment Fund Managers Directive (AIFMD), which set stricter compliance requirements for non-EU funds and fund managers to enter the EU market and effectively increase the attractiveness of EU jurisdictions. n

Companies around the world are increasingly looking to captive insurance as an essential and cost effective risk management

tool. As a result, the Maltese insurance market has rapidly expanded during recent years, from a handful of insurance companies servicing the local market to an international industry providing insurance services across 27 EU countries and beyond. To date, 52 insurance vehicles are operating from Malta, of which 37 are insurance principals, ten are captive insurance or affiliated insurance companies, and five are protected cell companies. In addition, 13 insurance managers have set up in Malta.

PassPorting rights

Malta’s European Union membership has been a major growth driver of the industry, which is recording steady progress as global giants such as AON, March, and Munich Re chose the island as both a captive and reinsurance location. They were quickly followed by the main players on the international captives market. Due to the EU single passporting regime, Malta has developed as a centre for ‘directwriters’,attractingfully-fledgedinsurancecompanieswhichare writing third-party business throughout Europe from Malta.

Following the implementation of the EU Insurance Mediation Directive it is now possible for brokers and other intermediaries to avail themselves of the European single passport in much the same way as insurers. All insurance companies are licensed and regulated by the Malta Financial Services Authority (MFSA).

uniQuE lEgislation

As the only EU domicile with enacted protected cell company (PCC) legislation, Malta offers cells and their owners the opportunity to write EU based risk at lower costs and with full protection of cellular assets from any liabilities of the PCC’s core or of other cells in the structure. The cellular structure allows companies smaller than the typical captive owner to benefit from self-insurance. In addition, legislation on the establishment of Incorporated Cell Companies (ICC) came into force in February 2011, in which individual cells are able to transact business with each other. This is expected to further add to Malta’s attractiveness as an insurance domicile.

Maltese PCC and ICC structures provide a direct writing facility into Europe avoiding fronting costs and collateral requirements. Owners of non-EU reinsurance captives could therefore establish protected cells to eliminate the need for fronting arrangements.

With the advent of Solvency II, introducing risk based capital requirements for the insurance industry, EU facing captives around the globe may struggle under the increased regulatory and compliance burden. Malta as the only EU domicile with PCC legislation and EU passporting rights could become the domicile of choice for captives seeking to convert to an EU PCC structure where capitalisation and compliance requirements may not be as threatening.

Malta boasts a sophisticated ICT infrastructure with practically unlimited bandwidth. International connectivity is guaranteed by three operators providing international gateway services via fibre-optic cables to mainland Europe, ensuring the companies have sufficient redundancy. This provides considerable security to relevant sectors such as eGaming and eCommerce that rely heavily on being connected 24 hours a day. With 100 per cent of public services for citizens and enterprises accessible via the internet or mobile phone, the country has become a leader in Europe and is ranked first in the 2010 EU eGovernment Benchmarking Report, which measures public sector performance in the deployment of eGovernment in 32 countries. Maltese businesses also enjoy the third best level of broadband connectivity in Europe, and the majority of eBusiness indicators are above the EU average.

smartcity: nEw homE For thE ict clustEr

The advent of SmartCity Malta, a fully-fledged ICT and media hub, based on the model developed in Dubai Internet City, will transform the knowledge-based industry in Malta, acting as a European hub for ICT companies. The first building was inaugurated in October 2010. Once completed in 2021, SmartCity Malta is projected to be a self-sustained entity that will cater for a vibrant knowledge-based community, creating more than 5,600 jobs and contributing almost 700 million euro a year to Malta’s GDP. In recent years, Malta has placed a strong emphasis on the acquisition of ICT skills through higher education in order to ensure a sufficient stream of graduates to fill new positions as they open up. Multiple programmes have been introduced and the country can now generate some 1,500 ICT graduates annually.

Malta has established itself as Europe’s eGaming capital, registering year-on-year growth as the most prestigious

European tier one jurisdiction for eGaming companies. Built on a solid foundation of legislation, services and technology infrastructure, Malta now hosts some of the world’s largest and most profitable online gaming companies.

Malta was the first EU country to fully regulate eGaming operations. Following the establishment of a regulator for the industry, the Lotteries and Gaming Authority (LGA), Malta introduced its new Remote Gaming Regulations in 2004 under the Lotteries and Other Games Act. More than 380 licences are currently held by over 250 companies that are authorised under these regulations to operate in Malta and provide online offerings such as casino-style games, lotteries or sportsbooks.

ProFitablE industry

The sector already employs some 3,700 people with more than 2,000 others providing ancillary services such as web hosting, security audit, certificate agencies or legal work. In 2005 the industry, then consisting of just 20 operating companies, yielded just under five million euro in taxes to the Treasury, while in 2010 the Maltese government collected 19.6 million euro in revenue from the gaming sector. Already seeing a total turnover of over two billion euro a year, the eGaming sector in Malta is one of the most dynamic new industries on the island.

The reasons for Malta’s success are various. Primary among these is the role played by legislation and a strong regulatory regime, which offer operators a stable and secure framework in which to carry out their business, adding weight to their reputation and giving them an advantage in dealing with banks, financial institutions and investors. In addition, the LGA’s quest to keep criminality out of gaming and to adequately safeguard players is paramount.

rEsPEctEd jurisdiction

While the legality of online gaming is currently at the centre of a debate in the European Union, Malta is of the opinion that in the absence of a specific EU directive, Articles 49 and 56 of the EU Treaty should apply which guarantee to EU companies the freedom to establish themselves in any member state of the EU and to provide services on the territory of another EU member state, effectively giving licensees the added benefit of being located in a regulated jurisdiction that forms part of the EU’s single market.

As a globally respected international financial centre, Malta has an established, state-of-the-art telecommunications infrastructure. This is capable of hosting and delivering 24-hour connectivity. In addition, through industry support services such as online payment processors, security auditors and gaming software developers, the island gives gaming companies a top-tier location from which to base their operations. Malta offers the benefit of low corporate taxation and a gaming tax that is capped at 466,000 euro per year, along with a network of double taxation agreements and a declared government commitment to encourage and develop the industry. Education is a sector in which Malta aims to earn the accolade “Centre of Excellence” and the country has been quick to grasp

the potential of attracting foreign students from around the world to study English or follow a university degree course.

Recognising the potential of the education sector, Malta invested heavily in providing the teaching infrastructure required for a world-class educational centre, spending 5.5 per cent of GDP on education, higher than the EU average of 5.2 per cent.

Malta is one of the few countries in the EU where English is the official language while Malta’s university, the oldest in the Commonwealth outside of Britain, offers a broad range of degree courses across all disciplines including Bachelor, Masters and Doctorate level. Playmobil toys, ST Microelectronics’ chips and Trelleborg’s oil rings are just some of the world-renowned products wholly or

partially manufactured in Malta. An island nation with no natural resources bar its people, Malta has over the last two decades moved away from labour-intensive industries towards manufacturing of higher-value-added products, which now form the core of the country’s manufacturing output.

Just over 2,890 manufacturing and distribution companies have operations in Malta, employing some 15 per cent of the country’s labour force. The industry is made up of niche market leaders and hi-tech specialist producers that have built a strong international reputation. Their operations include precision engineering, pharmaceuticals, medical devices and electronics among others.

Despite the recession, industry has continued to see investment, with Malta Enterprise, the agency charged with attracting foreign direct investment (FDI) into Malta, approving more than 20 foreign projects in the past two years, with a total capital investment of over 90 million euro. These enterprises, together with other investments that were made without state assistance, are spread across a range of sectors including manufacturing (medical devices, printing, electronics, machinery and furniture), maritime, ICT and aviation.

Malta has a long tradition of serving Europe’s health and pharmaceutical sectors. The Knights of St. John built a hospital in 1574 which was considered to be the most advanced in Europe in its time. This tradition continues today with the islands’ pharmaceutical industry, which is mainly composed of generics manufacturers, producers of active pharmaceutical ingredients and producers of healthcare products and services. While this is a relatively new sector in Malta, it is already one of the islands’ greatest success stories. The sector currently employs well over 1,000 people and around 90 pharmaceutical companies have set up in Malta, among them the Actavis Group, Arrow Pharmaceutical Group, Siegfried Holdings from Switzerland, the Spanish Combino Pharm and the Indian generics manufacturer Aurobindo.

All of those companies have been primarily attracted by the country’s legal framework. Malta’s patent legislation is strong and the intellectual property environment provides all of the necessary safeguards for the development of innovative medicines and products. However, because of the small size of the domestic market, Malta falls outside the patent jurisdiction of a number of pharmaceutical products. Malta’s patents and designs legislation incorporates the “Bolar” provisions, which clearly define the circumstances in which the proprietors of a patent cannot prevent third parties from performing development work that would otherwise be protected under the patent legislation. Because of this legislation, generic manufacturers are able to develop their new drugs – conduct tests and trials on patented pharmaceuticals in support of filing applications for marketing authorisation – while the originator product is still under patent. They will then be ready to market it immediately when the patent expires, gaining up to a year on manufacturers in countries without the Bolar exemption.

uniQuE bEnEFits For a growing industry

While the industry reported a decline in 2009, the pharmaceuticals sector saw a strong recovery in 2010, and the value of exports topped 208.7 million euro, a 32 per cent increase on the previous year. With the Life Sciences Centre, further growth is expected in the coming years as it will attract FDI to Malta and sustain the local industrial base. The centre will encompass the whole innovation life cycle and supply chain process, from development of the process and the start-up of new businesses to ongoing growth within the centre. While the Park is due to be completed by 2013, a number of other incentives already exist in Malta, all of which are tailor-made to attract life sciences companies to establish on the island.

Fiscal benefits, the provision of custom-built industrial premises at low rates of rent, preferential loan financing, loan guarantees and assistance of up to 80 per cent of the costs involved in training of employees are part of the package on offer to companies migrating to Malta. Investors can also benefit from a well-stocked pool of qualified personnel. A steady stream of university-educated graduates and a selection of highly-trained personnel, experienced in using sophisticated, high-precision machinery are available to the industry. In addition, as the world economy progresses, and complexity and speed are becoming fundamental to development, Malta’s excellent overall infrastructure, with international transport connections giving access to EU member states and developing markets in North Africa and the Middle East, gives companies a great competitive advantage. n

With ever increasing volumes in freight transport, Malta has emerged as one of the major players in the Mediterranean,

providing a gateway to North Africa and Europe. The country’s strategic position in the centre of the Mediterranean has long made it a natural regional maritime and logistics centre, a point not lost on the Maltese authorities. Consistent investment in relevant, high-end infrastructure has given Malta a competitive advantage against its competitors in the Mediterranean basin.

Previously regulated individually by the Malta Maritime Authority, the Malta Transport Authority and the Department of Civil Aviation, the transport sector now falls under the authority of a single state agency. The move to merge the three supervisory bodies dealing with transport was designed to harmonise policy, reduce bureaucracy and enhance the performance of the sector.

Malta is uniquely located on the main east-west trade routes through the Mediterranean from the Suez Canal to Gibraltar. This is the route chosen by many of the liner services from the Far East to Europe, and makes the island a key player in the global warehousing and logistics chain and an ideal base for transhipment services around the Mediterranean. There are two main ports in Malta.

Established in 1988, the Malta Freeport is now one of the largest transhipment and logistics centres in the Mediterranean, handling close to three million TEU per annum. The terminal management was privatised in 2004, and is now operated by Terminal Link, after CMA CGM, a French line was awarded a 65-year concession on the port. Between 2004 and 2010, Malta Freeport invested around 170 million euro in expansion and upgrading of facilities.

Connected to around 130 ports worldwide, among them eleven ports in China, including Hong Kong and Shanghai, just 5 to 8 per cent of the Freeport’s traffic is cargo originating in or destined for Malta. The container traffic is transhipment business as it focuses on the‘hub’concept,wherebycargoisdischargedfromlargemothervessels and relayed to a network of regional ports by regular and frequent feeder vessels.

Malta also houses the largest oil bunkering facility in the Mediterranean. The oil terminal, with a storage capability of 360,000 cubic metres, is operational around the clock and has an annual handling capacity of around two million metric tonnes of products. Products handled include gasoline, jet fuel, feedstocks, industrial alcohols, heavy fuels, crude oil and other products.

Establishing Malta as a transhipment and logistics hub can also result in increased profitability and competitiveness for companies. EU legislation provides for a number of procedures which can benefit Chinese or other non-EU companies. For instance, non-EU companies exporting goods to the EU can take advantage of the Onward System Relief (OSR) mechanism, whereby the payment of VAT which is due might be deferred in Malta if the goods are intended for another EU country, resulting in cash-flow advantages.

By placing imported goods within Processing under Customs Control (PCC) arrangements, traders can also obtain relief from customs duty. For goods imported from outside the EU, all customs charges are suspended if they are processed in Malta. When the goods are put in free circulation, the company only needs to pay duty at the rate which applies to the processed products rather than the import goods.

Inward Processing Relief (IPR) is another method of obtaining relief from customs duties and VAT charges. The relief applies to goods imported from outside the EU and processed and exported to non-EU countries. The processing allowed under IPR can be anything from repacking to high-value manufacturing processes. This system might benefit the cash-flow of Chinese companies exporting to Africa, in addition to the advantages conferred by proximity to the customers’ market and reduced risk of delays in shipments due to Malta’s excellent transhipment services.

Furthermore, customs warehousing allows non-EU goods to be stored in a designated location within the EU without being subject to import duties. Duty becomes payable when the goods are released for free circulation. This is especially beneficial for companies which are re-exporting to the EU and Africa and/or are uncertain about the final destination and required quantities of their goods.

Once goods are cleared, they are free for circulation in the EU, while using Maltese companies can reduce transit times. The strategic location of the Maltese Islands, at the heart of the Mediterranean Sea, makes them an ideal place to service the

shipping industry – the ports are just six nautical miles off the main East-West shipping lane from Port Said at the Mediterranean end of the Suez Canal and the Straits of Gibraltar, gateway to the Atlantic. The country also has a well-established network of shipping agents and maritime lawyers servicing the international shipping trade, a long standing and sophisticated maritime legal framework, and a reputable shipping register.

thE malta Flag

Surprisingly, however, the Malta flag is relatively young: the register was only opened in the early 1970s. Since then it has gone from strength to strength and is now the second largest flag fleet in Europe, after the Greek flag. Since accession to the EU in 2004, the pace of development in the industry has picked up considerably. In 2010, the fleet expanded by 6 per cent, with just over 39 million tons of shipping and 5,543 vessels registered under its flag.

The Malta flag is today a flag of confidence, not one of convenience. Dedicated legislation, tighter registration criteria and improved regulation, all in line with EU directives and IMO conventions, have spearheaded Malta’s determination to protect the reputation and image of the shipping register. Since 2006 Malta has been on the Paris MoU “White List”, which represents quality flags with a consistently low detention record. A significant development over the last few years has been the introduction of a sliding fee structure that provides a reduction on registration fees and tonnage tax to young vessels, while a surcharge is applied to vessels over 15 years old. This policy is now paying dividends with the average age of vessels being registered reduced to just over seven years.

shiP rEgistration and taxation

All types of vessels, from pleasure yachts to oil rigs, may be registered in the name of legally constituted corporate bodies or entities, irrespective of nationality, or by EU citizens – there are no trading restrictions. However, ships of 15 years and over, but under 20 years, must pass an inspection by an authorised flag state inspector before or within a month of provisional registration. Ships of 20 years and over but less than 25 years must pass an inspection by an authorised flag state inspector prior to being provisionally registered. As a rule, trading ships of 25 years and over are not registered. Maltese law provides both for bareboat charter registration of foreign ships under the Malta flag and also for the bareboat charter registration of Maltese ships under a foreign flag. Such registered vessels enjoy the same rights and privileges, and have the same obligations as any other ship registered in Malta.

Shipping companies are subject to corporate tax at the normal rate. However, under the Merchant Shipping Act, all gains or profits of a Malta company derived from the operation and ownership of a Maltese-registered vessel are exempt from income tax. This tax benefit applies to companies owning registered vessels of not less than 1,000 net tons engaged in the carriage of goods and passengers and is also administratively extended to most vessels of under 1,000 net tons.

vat incEntivEs For (suPEr) yacht ownErs

Malta is also an attractive base for super yachts. The owners of more than 260 super yachts (vessels over 30 metres in length) have already chosen Malta as base for their yachts in order to take advantage of the location of the country and the cost-effective services provided by marinas and ancillary companies, as well as the favourable tax regime for boat ownership, which makes registering a new yacht over 10 metres in length under the Malta flag an attractive proposition.

Yacht owners can also benefit from two other incentives. The first one being the provisions of the recently revised Commercial Yacht Code and the second one the guidelines issued by the VAT department regarding yacht leasing. Under the Commercial Yacht Code, yachts which do not carry cargo and do not carry more than 12 passengers, can be registered as commercial yachts. The commercial yacht code also gives super yacht owners the opportunity to have their yachts registered as commercial vessels, meaning they pay an annual tax on the tonnage of their yacht instead of income tax on earnings. As far as yachts which are not commercially registered are concerned, the Maltese guidelines provide for the payment of VAT on the lease of the yacht which is considered as a supply of services. The amount of VAT that is payable in relation to this supply of services is calculated on the basis of the percentage of time spent by the yacht in EU waters – based on the assumption that the larger the yacht, the less time it stays there – and enables owners to receive a VAT-paid certificate at the end of the process provided that all the conditions established by the VAT department have been satisfied. For example, a 24 metre sailing boat or motor yacht is presumed to spend only 30 per cent of its time in EU waters and thus, VAT (at 18 per cent) should only be calculated at 30 per cent of the lease fee paid.

Malta also made important changes to its legislation in January 2009 to protect super yacht financiers from defaulters. These enable any person with an executive title to obtain a court-approved sale. The Merchant Shipping Act also entitles the mortgagee to take possession of the yacht and to sell it privately to a third party – usually for much more than he/she would get from a judicial sale. Vessels/yachts have been sold by mortgagees in a matter of a few weeks from the date of the arrest.

Malta has a flourishing international shipping centre. Transport Malta, the government authority regulating the sector, offers a 24/7 service for registration. It has technical staff on hand to guide ship owners and managers through whatever problems might arise and ensure that vessels are not delayed longer than necessary. The development of the shipping register has encouraged the establishment of several Malta-based international ship-management and ship-owning companies, supported by numerous shipping-related service providers, including maritime lawyers, accountants and banks offering comprehensive services to the owners and operators of ships worldwide. Malta’s shipping industry now ranks among the world’s best and is an economic and efficient centre for the ownership and management of all types of ships. n

Malta’s aviation industry is spreading its wings. The island has been developing the sector for the last couple of years,

and today it offers a wide range of services from aircraft repair and maintenance to airline call centres, management and support services. Malta is actively planning to continue the sector’s development by creating one of the biggest aircraft registers in Europe.

nEw lEgislation For aircraFt rEgistration

Currently regulated by Transport Malta, the Maltese aircraft register was first established in the 1960s. Since that time aircraft of all types have been registered in Malta; including the aircraft of the islands’ national carrier, Air Malta. Currently, there are 97 aircraft on the register and the numbers are expected to grow considerably in the near future due to the new Aircraft Registration Act that entered into force on 1 October 2010.

The new act establishes a defined legal framework to regulate and streamline aircraft registration in Malta. It also widens registration possibilities for aircraft not used for air service and implements the Cape Town Convention, now widely recognised as a market standard in aircraft finance transactions. The legislation also gives specific consideration to fractional and trustee ownership of aircraft in addition to creating the possibility of registering an aircraft while it is still under construction when it becomes uniquely identifiable. Updating and widening the scope of the regulation, while introducing innovative concepts, the new laws are intended to make Malta even more attractive to the aviation industry.

Malta already boasts a thriving maintenance repair and overhaul (MRO) sector, hosting facilities for major international companies such as Lufthansa Technik and SR Technic. Prior to 2003, apart from Air Malta, the two most renowned companies operating in this sector were Medavia and Aeromaritime. The arrival of Lufthansa Technik in 2003 heralded fresh impetus in the sector. The company expanded its operations within a few years of arrival, constructing a new 55-million-euro hangar complex to set up new aircraft maintenance facilities. The initial success of Lufthansa Technik led other companies to establish in Malta, among them also SR Technics, the Swiss-based aircraft maintenance company, which set up operations in 2010. Their first major client in Malta is popular low-cost airline easyJet.

aviation clustEr gaining momEntum

To accommodate the industry, an aviation park spanning 20 hectares and costing the government 17 million euro is currently under construction. The Safi Aviation park, with two-bay hangars and associated ancillary infrastructure, will be completed in 2011, further adding to Malta’s aviation cluster. In addition, on the IT side, companies like Megabyte have been designing and implementing custom IT projects for Air Malta, Cyprus Airways and Etihad Airways among other airlines, while specialist airline reservation call centres such as Centrecom, which forms part of the World Aviation Group, have set up on the island. To promote the sector, the government is offering an attractive package of both fiscal and non-fiscal incentives while also investing in sector-specific education and training to ensure sufficient numbers of suitably qualified graduates are produced to fill the new jobs the industry is creating.
