Indemnity As customer and applicant in this documentary credit transaction, we are bound and committed under the same restrictions as DNB Bank ASA, hereafter named as “the Bank”, and is under an obligation to compensate the Bank for any liability and or responsibility which may be imposed on the Bank as a result of foreign laws, customs and practice. The customer commits themselves to pay all commission and charges, also those outside the Bank, if the seller refuses to pay such. The customer is bound by these conditions until the documentary credit is fully disposed of. In the event of part disposal only, the customer is bound until the Bank is released from their obligations from all parties in this transaction. By issuance of documentary credits, the latest version of the Uniform Customs and Practice for Documentary Credits issued by the International Chamber of Commerce, Paris will apply.Proforma invoices and Contracts Proforma invoices, sales contracts etc. attached to the documentary credit application, are provided solely as information to the Bank, and should not be considered as an integral part of the documentary credit. The Bank is in no way affected by or liable for such proforma invoices, sales contracts etc., even if the documentary credit includes references to such.Licences and other permits We hereby assume responsibility for ensuring that any licences or other permits required by foreign and or Norwegian regulations are available from the Authorities concerned.Documents and security We are, upon request, committed to pay the Bank the amount of the documen-tary credit plus interest and expenses. Until such payment has been effected, all documents and goods will serve as collateral for the amount we owe under the documentary credit.The Bank is hereby granted authority, on our behalf, to endorse or give receipt of documents issued to our order. This also applies to any insurance documents/agreements issued in our name and in our favour utilized in this documentary credit transaction. In the event that the customer does not fulfil their payment obligation, the Bank is entitled, for the customer’s account and risk, to dispose of the goods repre-sented by the documents presented. Such realisation will be carried out for our account, with no obligation whatsoever on the part of the Bank, and with no consideration to any other party with claims in the same goods.The Bank has the right to offset any past due claims that have occurred under this documentary credit transaction with any claims the customer has in the Bank, including deposits on any account the customer may have in the Bank. The right to offset shall apply regardless of whether the Bank’s requirements and customer’s requirements are in different currencies, and the Bank will for offset purposes have the right to convert each claim at the prevailing rate determined by the Bank at any time.Counter claim and Debiting of account The Bank has the right to, without previous notice to the customer, to debit any account the customer have in the Bank for any overdue claims the Bank has against the customer that have occurred under this documentary credit trans-action. The right to debit such accounts shall apply regardless of whether the Bank’s requirements and customer’s requirements are in different currencies, and the Bank shall for such purpose have the right to convert their claim towards the customer at the prevailing rate determined by the Bank at any time.Interest/overdraft commission by negative balance on the account is determined by the terms of the account agreement that applies to the current account. If the interest rate/overdraft is not regulated in the terms of the account concerned, the interest rate for overdue payment shall be calculated at the “all time” prevai-ling rate for interest on overdue payment in accordance with Norwegain Law of December 17th, 1976 number 100 (The delay interest rate law) covering interest for overdue payment, will be used.Lost documents The customer is familiar with their obligation to pay any demand by the Bank upon claim from sellers bank, or an other bank who have received the documents called for in the credit, even if the documents presented are not received by the Bank, whether this is the result of delay or other circumstances, including that the documents presented have been lost and can not be obtained. We hereby confirm that the named beneficiary has been verified by the means that we answer for his non-registration in any catalogue of sanctions, inclusive all kind of penal provisions carried into effect by the FN, the European Union and the USA. This also applies towards his eventual subcontractors, any freight forwarders, agents or freight carriers in question and or others influence as a third party actor. We hereby confirm, to the best of our knowledge, that the above mentioned companies are not involved in any kind of tax haven, offshore company or companies with an unclear kind of ownership arrangement.

In the same way, we hereby confirm that the stated goods description, complete or part of such, is not by any manner produced, whole or partially, in a country which is involved by such sanctions.

Transport insurance When the terms of the credit are such that the customer, in accordance with prevailing act of law, prevailing Incoterms in force, or equivalent, is the party who is to insure the goods stated, the customer is responsible to the effect that necessary transport insurance is issued. Minimum terms to be covered are: “All risks, A-terms with additional coverage for strike and war. Minimum amount of coverage must be the credit amount with the addition of 10%, irrespective of percentage.Examination of documents As customer in this documentary credit transaction we are responsible for examination of the documents immediately upon receipt. Should the documents contain discrepancy(ies) unacceptable by us, we will immediately return the documents in question to the Bank, pointing out the errors/omissions that are not acceptable.If the customer fails to act in this manner, the customer will be precluded from claiming that the documents are not in compliance with the terms and condi-tions of the credit.If the customer receives the required documents direct from the seller, sellers bank or from an other bank, the customer is under an obligation to forward the documents immediately to the Bank for processing.Content and wording in the documents With regard to the documents that are to be presented under the credit, the customer is aware that the Bank will assume no liability or responsibility for the wording or content in any document presented, nor for the solvency, perfor-mance or standing of the consignor, the carriers, the forwarders, the consignees or the issuers of the goods, or any other person whomsoever as stated in the documents presented to us under this documentary credit transaction. Release and disposal of goods In the event that the goods concerned arrive at the place of delivery stipulated in credit previous to the arrival of documents called for in the credit, the customer are agrees that a possible release of the goods against a guarantee, letter of indemnity or the like in favour of the carrier, their agent or freight forwarder, will be for the customer’s full risk and responsibility.Any later complaint raised against any document presented under the credit will consequently be precluded.Unless the terms and conditions in the credit gives particular consent, the customer is aware of the situation, that when the goods in question are taken in hand or disposed of, the customer will lose all possible claim with regards to the documents presented. This signifies, without regards to conditions of the documents at the time of presentation, that the customer is committed to accept the documents in the condition as presented.Lack of fulfilment by the seller of the credit terms In the event of the beneficiary not being able to fulfil the terms of this docu-mentary credit, neither we, nor the Bank are in any way obligated to pay against documents presented under this credit.Sanction clause As the applicant in this documentary credit transaction we are bound by and subject to the applicable national and international laws and regulations in force at all time, regarding boycott, money laundering, the terrorist and drug legisla-tion, including all kind of economic sanctions. Current leislation may vary slightly with the relevant terms and conditions in the documentary credit. Presentation of documents that violate or conflict with any applicable law and regulations is not acceptable. Such documents will be returned immediately and will not be considered as presented in accordance with the terms and conditions in the documentary credit.We hereby confirm that the named beneficiary has been verified by the means that we answer for his non-registration in any catalogue of sanctions, inclusive all kind of penal provisions carried into effect by the FN, the European Union and the USA.
