Abstract

This overall study is about the management concepts that are followed in an engineering industry and to gain practical knowledge in various functional departments. The main objective is to have a real time exposure in the organization and to study the culture and environment adopted by them; the day to day activities are monitored and matched to the management concepts that we studied theoretically.

INTRODUCTION

INTRODUCTION

In 1911 organization started its activities as road transport and one can with proud

say that Sri. T.V Sundaram Iyengar was the first person to run rural bus service.

This transport grows into a big network .In 1919 TVS started an automobile spare

parts and service unit in Madurai. This diversified the religious city into a variety

of trading and service activity center. In 1929 General Motors was able to

recognize the greatness of TVS group and appoint them as authorized agents. This

was a major breakthrough in the evolution of automobile industry. Mr.Sundaram

Iyengar’s trip to U.S needs special mention; in this trip he made practical studies

on agriculture activities and implemented them in hometown. This shows that he is

not a mere mechanical minded person but also lover of nature.

The year 1946 is a milestone in the transport service in South India. During this

period TVS merged transport companies and formed Southern Road Ways, which

transported not only people but also commercial articles through their parcel

service. Due credit will always come to great people. In the year 1960 the

greatness of TVS group reached all the important cities of India and through the

formation of Sundaram Finance, thus TVS became an all India organization.

The TVS Group is one of India's largest industrial conglomerates. TV Sundaram

Iyengar and Sons Limited, is the largest automobile distribution company in India

with a turnover exceeding US$ 450 million (over RS 15000 million). The company

gives life to thousands of family by employing nearly 5000 employees.

The company is the leading logistics solution provider specializing in the Auto

Vertical and has set up state-of-Art warehouses across the country for this purpose.

The Logistics Business Unit has created a special name for their excellence in the

Inbound Logistics. It has now extended providing the supply chain solutions across

the globe for the Indian Auto Component manufacturers which include a wide

array of value added services. Currently the Logistics Business Unit is the lead

logistics provider for almost all the leading Automobile Companies in India.

Two-wheelers, cars and trucks. The range includes lifts, A/c management system,

paint booths, Engine analyzers and other workshop equipments. Customers include

all OEMs /Dealers. With service availability round the clock and countrywide

The country has also diversified into marketing and providing support for special

products such as construction and material handling equipments, Man lifts, Air

compressors, Bus Air Conditioners representing leading names from India &

Overseas. The business provides unique solutions under pioneering concept called

“Own and Operate”.

Recently, the company has launched ‘My TVS’, a unique concept of providing

three services under single umbrella brand for car users viz., 24x7 Emergency

services, All Car services and quality used cars. This integrated service covers

expectations of car customers over the entire life span and provides comfort of

TVS care, speed & value for money under one roof.

setup state-of-the-art warehouses across the country. The logistics division has tied

up with leading consultants across the globe and provides logistics support to

almost all the leading automobile manufacturers in India. TVS & Sons has recently

manufacturers.

TVS & Sons distribute heavy-duty commercial vehicles, jeeps and cars .It

represents premier automotive companies like Ashok Leyland, Mahindra &

Mahindra ltd., and Honda. It also distributes automotive spare parts for several

leading manufacturers.

TVS & Sons has grown in to leading logistics solutions provider and has set up a

state of warehouse all over the country. It has also diversified into distribution

garage equipment that ranged from paint booths to engine analyzers and industrial

equipment products.Underlying the success of the group is an ethos of

Audit Committee

The primary objective of the Audit Committee is to monitor and provide effective supervision of the management's financial reporting process with a view to ensure accurate, timely and proper disclosure and transparency, integrity and quality of financial reporting.

Brief description of terms of reference:

The Audit Committee of the Company is entrusted with the responsibility to supervise the Company's internal control and financial reporting process and inter alia performs the following functions:

a. Over viewing the Company's financial reporting process and the disclosure of financial information.

b. Reviewing with the management quarterly and annual financial statements before submission to the board for approval with particular reference to the matters specified in the Listing Agreement.

c. Reviewing the statement of related party transactions and transactions with companies in which one or more director(s) of the Company is / are deemed to be interested / concerned.

d. Discussing the nature and scope of audit including internal audit prior to the commencement of the audit and areas of concern, if any, arising post audit.

e. Reviewing the reports of internal auditors and ensuring that adequate follow-up action is taken by the management on observations and recommendations made by the internal auditors.

f. Reviewing the findings of any internal investigations by the internal auditors into matters of suspected fraud or irregularity or a failure of internal control systems, of a material nature, if any.

g. Recommending to the board the appointment / re-appointment / replacement of the statutory auditors and the fees payable for audit and approving the payment for any other services rendered by the statutory auditors.

h. Reviewing with the management, the annual financial statements before submission to the board, in particular:

1). Any change in accounting policies and

practices;

2). Major accounting entries passed, based on

exercise of judgment by management;

3). Significant adjustments arising out of audit;

4). Compliance with accounting standards;

and

5). Disclosure of contingent liabilities.

m. Approving the appointment of the Chief Financial Officer after assessing the qualifications, experience, background, etc. of the candidate.

Role of personnel manager

Personnel manager is the head of personnel department. He performs both

Managerial and operative functions of management. His role can be summarized

as:

1) Personnel manager provides assistance to top management the top

management are the people who decide and frame the primary policies of

the concern. All kinds of policies related to personnel or workforce Can be

framed out effectively by the personnel manager.

2) He advices the line manager as a staff specialist personnel manager acts

Like a staff advisor and assists the line managers in dealing with various

personnel matters.

3) As a counselor- as a counselor personnel manager attends problems and

grievances of employees and guides them. He tries to solve them in best of

his capacity.

4) Personnel manager acts as a mediator-he is a linking pin between

management and workers.

5) He acts as a spokesman- Since he is in direct contact with the employees, he

is required to act as representative of organization in committee appointed

Personnel functions

The term personnel department refers to the function of the organisation that is

responsible for the management and motivation of people in the workplace.

Increasingly today the term Human Resource Management has come to replace

personnel - because personnel management is seen as an old fashioned way of

managing people, giving priority to organisational rather than individual

development needs.

Typically personnel work is concerned with:

1. The recruitment and selection of new employees, e.g. helping to prepare job

advertisements and job descriptions for new posts, and helping to organise the

interview process.

2. The induction of new employees where they are introduced to the company, and

aspects of the job they will be doing as well as essential requirements such as

health and safety training.

3. Training and development. Training focuses on the needs of the organisation

whereas development is more concerned with identifying and meeting the needs of

individual employees.

4. Organising the appraisal process to identify development needs of employees.

5. Representing the organisation as a go between on disciplinary issues e.g. when a

worker has continuously been late for work. Dismissing and making workers

redundant where necessary.

6. Managing payment systems, although this will probably be the responsibility of

a separate payroll section.

7. Taking responsibility for the motivation of employees by outlining motivational

work practices.

8. Organising the termination of work, and retirement of employees, as well as job

redundancies where appropriate.

Nowadays the emphasis is on the Human Resources Department providing a

service, which enables many of the activities to be carried out by relevant

departments within an organisation but with support and guidance from Human

Resources.

HUMAN RESOURCE DEVELOPMENT

The Company focuses on attracting the best talent through strategic recruitment from reputed Engineering Colleges and

Business Schools across the country. Managers are developed through structured foundation programs in association with

reputed institutions. The Company sponsors managers to overseas and inland universities for developing their capabilities to

handle new technologies and management practices. They are also deputed to international conferences and seminars to gain

global exposure. Leadership development programs have been institutionalized as part of career development for senior

executives. Career development workshops help identifying the high potential talents. This is reinforced with robust

development plans supported by reward and recognition system. The Company has developed a blueprint for creating Centers

of Excellence in the key business processes. These Centers of Excellence build competencies required for the present and the

future to provide competitive advantage. The Company continues to maintain its record on industrial relations with not a single

day of work being lost because of labor unrest. As on 31st March 2008, the Company had 4,284 employees on its rolls

ENVIRONMENT, HEALTH & SAFETY

An integrated EHS Management System is instituted both at Hosur and Mysore units. Both the

sites have been certified under ISO 14001 for Environment Management System and

under OHSAS 18001 for Occupational Health Safety Management System. The Company

continues to excel in key environmental performance areas, achieving a 35% reduction in fresh

water consumption, 45% per unit reduction in land fill waste disposal and 33% reduction in

paint sludge generation. In line with the World Environment Day. 2008 theme

g Kick the Habit - Towards Low Carbon Economy, the Company is making a conscious

effort to reduce its Carbon Foot print. Accordingly, it has taken various energy conservation

measures like the use of waste heat from central power plants, use of energy efficient motors,

use of CFL lighting systems, use of natural lights, special V Belts in machine drives etc. The

eventual goal is to become a Carbon Neutral Manufacturing Company.

COMMUNITY DEVELOPMENT AND SOCIAL RESPONSIBILITY

Srinivasan Services Trust (SST) is a trust co-sponsored by TVS Motor Company with the

vision of building self-reliant rural communities. SST extended its coverage to 363 villages,

serving a population of 3.71 lakhs. Some of the significant achievements are :

➢ Regular income of over Rs.4,000/- per month for 14,446 families

➢  No case of Infant and maternal mortality in the project areas.

➢ Morbidity caused by poor sanitation & hygiene reduced from 37% to13%.

➢ 100% enrolment of children in Balwad is and Schools.

➢ 1,12,000 hectares of degraded forest land reforested.

➢ 5,830 hectares were covered under Watershed Program.

Performance Appraisal

An organization’s goals can be achieved only when people put in their best efforts. How to ascertain whether an employee has shown his or her best performance on a given job? The answer is performance appraisal. Employee assessment is one of the fundamental jobs of HRM. But not an easy one though.

TVS Motors is the third largest automobile manufacturer in India next to Hero

Moto Corp and Bajaj auto. TVS motors is belongs to TVS group which is $ 2.2

billion. It is the first company to produce indigenous moped and enter into 100 cc

two wheeler markets with collaboration of Suzuki. The 19 year old relation with

Suzuki was to engage in technology transfer and design suiting to Indian market.

In 2001, they had a strain in relationship in continuing the joint venture which led

to a separation.

Though TVS motors have the above said strength, it has to look in to the grey areas where it has to given keen importance. At present company has no variety or model in the premium  bike segment.As of now Two-wheeler segment is one of the most growing industries. It has to expand its operational wings to international market by export of bikes to the untapped international markets.
