favor of the Plaintif-fs according tt) the following tenus.

of the United Statcs Copyright Act ( 1 7 U.S.C.. j 1 06).
Thc C'omplaint in this action shall bc decm cd amcnded nunc yp/'f? tunc frolu thc
coml-neneemcnt of this action to include Paramount Picturcs Comoration as a Plaintiff.
Detkndants acknowlcdge that each of thcln been propcrly and validly serk'cd with
thc Summons and Complaint in this action.
Judgmcnt shall bc cntercd against the Dcfcndants and in tbvor of Plaintiffk on
Plaintiffk' claim of vicarious copyright infringcmcnt, and damagcs shall bc awardcd to Plaintiffs
in thc amount of US$80,000,000.
Dcfendant Hotfile Corp.-s C-ountcrclailn against W arner Bros. Entcrtainmcnt Inc.
shall be dismissed in its cntircty with prcjudicc.
Defendants, and each of them, and including thcir rcspective oftscers. agcnts.
scrvants. cmploycess and attonlcys. and such othcr pcrsons who are in activc conccrt or
participation with any of the forcg oing:
Shall bc permanently restraincd and enjoined from int-ringing, by any means,
directly or indirectly, any exclusivc rights undcr thc C'opyright Act in thc Copyrightcd
W orks.
svithout lilniting the generality of the forcgoîng, within twenty (20) days fron) thcdate of this Ordcr. shall ccasc al1 opcration of the I Iotf-ilc Systeln and shutdown thc l-lottilc
System cntirely, unlcss and until Dcfendants havc incorporatcd into the Ilotfllc System statc-
of-the-art contcnt idcntification and tsltcring technology, fiom reliable third party tcchnology
providcrs, that prcvcnts inliingcmcnt ofthc Copyriglltcd W orks to thc greatest extcnt
allowablc by availablc technology. Stlch contcnt identitication and filtcring technology shall
bc based on digital fingcmrinting tcchnology unlcss and until a diffbrent tcchnology has bcen
provcn to bc Inorc effcctivc at prcventing infringclnent of the Copyrightcd W orks.
Delkndants shall fully cooperate with Plaintiffs to improve thc filtcring currently deployed inthe l'lotfile Systcm to cnsurc that the Gltering tcehnology is implementtd and operatcd to
achievc maximum cffcctiveness in prcventing infringement of thc Copyrightcd W orks.

publicly, distributing, transfcrring. or giving away, for considcration or otherwise, any sourcc
codc, objcct code. other technology, domain namcs, tradcmarks, brands, asscts, or goodwill
in any way relatcd to the l'lottsle Systcm. except i 1 compliance with paragraph 8 below.
This Permanent Injtlnction shall not apply to any uses of thc Copyrighted Works
for which a Dcfcndanl hag obtained a written licensc from thc appropriate entity that owns or
centrols the rig. hts to such work. for thc use of thc work at issuc. to thc extcnt the liccnsc rcm ains
in forcc and valid.
lf any Defendants scll, leasc, liccnsc, convcy, givc away, or otherwise transtkr or
assign. any part ofthc source code, object code, other technology (excluding generic hardware,
e.g,, computer scrvcrs). domain namcs, tradclnarks, brands, asscts, or goodwill in any way
related to the Hottilc Systcm. or otherwisc cause or allow. to occur a changc of control ofthc
busincss. opcrations. cquity, or assets of llotfile Corp., (collectivcly, a S:-rransfkr''), thcy will
require, as a condition of any such Transtkr. that cach purchascr, lcgsce, or othcr transfcrcc or
assignee (collcctively, a *sl-ransfcrcc'') (a) stlbmit to this Court's J'urisdiction and venue and fullywaivc and rclinquish any argunwnt that vcnue or-jurisdiction by this Court is improper or
inconvcnicnt, (b) agrec to bc bound by thc injunctive terms hcrcin, and (c) apply to the Court for
an order adding thcm as a party to thc permanent injunction cntercd by thc Court against the
Dcfcnfln nts. Thc Dcfcndants shall not pcrmit any 'l'ranstkr to closc tlnless and until the Court has
cntered such an order as to the Transfcrec. Detkndants further ghall not cngage in a Transfcr
with or to any pcrson whom Dcfendant know's to be engagcd in. or intending to be engaged in.
conduct that would violate thc ten'ns of Paragraph 6 abovc.

Injunction to cach of their ofûcers, dircctors, agcnts, scrvants, employecs, assigns, partncrs,
owncrs. alter cgos, aftsliatcs, a11 cntitics through which thcy conduct business, reprcgcntativcg,
succcssors. liccnsces, and a1l those acting in concert or participation with cach or any of thcm.
Thc Defcndants consent to continuillgjurisdiction of thc Court tbr purposcs of
cnforccmcnt of thc Judgmcnt and Pcrmancnt lnjunction. and in-cvocably and fully waivc and
rclinquish any argumcnt that vcnue orjulisdiction by thid Court is improper or inconvcnient.
The Court shall maintain continuing jurisdiction over this action for the purposc of cnforcing thc
final Judgmcnt and Pcrmancnt lnjanction.
For thc purposes of clarity, as thc Court has hcld that it has pcrsonal jurisdiction
over Dctkndants and has concludcd that thc conduct ot' thc Dcfendants amounts to vicarious
infringement of thc Copyrighted W orks in the Unitcd States undcr the copyrigh laws of thc
United Statcs, this Pcnnancnt lnjunction enjoins thc conduct of Defendants wherever thcy may
bc found, including. without limitation, outsidc of thc United States.
Thc Dcfcndants irrcvocably and fully waivc any and a11 right to appcal thc
Judgmcnt and Pcrmanent Injunction, to havc it vacated or set asidc, to scek or obtain a ncw trial
thercon, or othcrwise to attack in any way, dircctly ()r collatcrally, its validity or cnforccability.
Nothing containcd in the Judgmcnt and Pcnnancnt Injunction shall limit thc right
of any Plaintiff to recovcr damages for any and all infringelncnts by the Dcfendants of any
Copyrighted W orks occtlrring ahcr thc datc the Dcfcndants cxccutc this Stipulation and
(Proposedl Judgmcnt and Pennancnt Injunctioll.
Thc Dctkndants acknowlcdge that thcy havc read this Stipulation and gproposcdl
Judgmcnt and Pcnnanent lnjunction and havc had it cxplaincd by counscl of their choosing, and
fully understand it and agrec to bc bound thcreby, and will not dcny the truth or accuracy of any
term or provision hcrein.
1 6. The Plaintiffs shall not be rcquircd to post any bond or sccurity, and the
Dcfendants pcnnancntly, irrcvocably. and fully waivc any right to rcqucst a bond or any othcr
sccurity.
