WHEREAS the Owner is in the process of "Appointing of Project ManagementAgency for assisting TANGEDCO in implementation of Integrated PowerDevelopment Scheme (IPDS), Gol Schemes,

a. Covering five hundred twenty two (522) towns in TANGEDCO's thirty seven(37)Electricity Distribution Circles (EDCs) l.e. Chennai North (Chennai),Kanchipuram, Chengalpet, Vellore, Tirupattur, Dharmapuri, Krishnagiri,Salem, Erode, Mettur, Namakkal, Gobi (Gobichettipalayam), CoimbatoreNorth (Coimbatore), Coimbatore South (Coimbatore), Nilgiris(Ooty). Tirupur,Udumalpet, Villupuram, Tiruvannamalai, Cuddalore, Kallakurichi. Trichy Metro(Trichy). Perambalur, Karur, Thanjavur, Tiruvarur, Nagapattinam,Pudukkottai, Sivaganga, Ramnad (Ramanathapuram), Dindigul, Madurai,Theni, Virudhunagar, Tirunelveli, Tuticorin and Kanniyakumari for IPDS.

(herein after to be referred as "Project")AND WHEREAS the Owner invited bids viz., Specification No. CE(R-APDRP)IOT.No.1/2016-2017, to appoint an experienced and qualified Consultant who hasundertaken similar projects and is capable of providing consultancy services inconjunction with other specialist consultants and personnel as Project ManagementAgency (PMA) for providing "Services" and advice in regard to the"ProjectManagement Agency Service Package" for the Project.

AND WHEREAS the Consultant, have represented to the Owner through their offerviz Letter No. WAP/COMMUTANGEDCOIPMAlIPDS&DDUGJY/2016 dated 21.09.16,which they have the requisite experience, professional skills,adequate manpower andtechnical resources and personnel, to render the Services required by the Owner in atimely and efficient manner. . .

AND WHEREAS based on above representations ofthe Consultant, the Owner hasaccepted the Bid of the Consultant for the supply of those Related Services in thesum of Rs. 10,92,00,000/- + Service Taxas per clause 2.5 of Section lI(a) of tenderspecification CE(R-APDRP)/OT No. 01/2016-2017 (hereinafter Called "the ContractPrice") and has agreed to appoint the Consultant to render services on the terms andconditions hereafter contained:

NOWTHEREFORETHIS AGREEMENTWITNESSESTHAT, IN CONSIDERATIONOFTHEPROMISESAND THE MUTUAL COVENANATSHEREIN CONTAINED, IT IS AGREEDBETWEENTHE PARTIESAS FOLLOWS:

1.0 GENERAL PROVISIONS

1.1 Definitions

Unless the context otherwise requires, the following terms whenever used inthis Contract, Appendices, Schedules and Exhibits shall have the followingmeanings:

(a) "Approvals" 'shaf mean all consents, licenses and approval of any local,: municipal, State or National Authority necessaryto carry out the servicesfor each and every phaseof the Project.

(b) "Contract" means this Contract together with allAppendices,Attachments, Exhibits and Schedules and including allmodifications made in accordance with the provisions of Clauses 12hereof between the Owner and the Consultant.

(c) "Consultant" meansWAPCOS Limited fA Government of IndiaUndertaking - Ministry of Water Resourc'es, River Development andGanga Rejuvenation) Company and also includes any other consultantsor Consultants as may be appointed by the Consultant herein with thewritten approval of the owner, for providing of the services to the Ownerin execution of the Project.

(d) "Confidential Information" means any material, proprietary, non-publicinformation acquired, developed, disclosed or exchanged among theparties pursuant to this Agreement.

(e) "Effective Date" means the date on which this Contract comes into forceand effect pursuant to Clause3.1 hereof;

(f) "Personnel" means persons hired by the Consultant or by his Sub -consultant as employees, for the purposesof rendering servicesor anypart thereof; Personnel includes:

(i) "Local Personnel"mean such personswho at the time of beingso hired have their domicile in India and;

(ii) "Foreign Personnel"mean such personswho at the time ofbeing so hired had their domicile outside India

(g) "Parties" means the Owner or the Consultant, as the case may be;

(h) "Contract time" means the duration of time of the Contract as referredto Clause5.

(i) "No claim Certificate" means certificate issued by the Owner after theContract has expired and the consultant has performed all his Servicesas per the terms and conditions envisaged in this Contract and allundisputed payments of remuneration and reimbursable expenditurespayable by the Owner to the Consultant has been made.

U) "Project" means "Appointment of Consulting Organization as ProjectManagement Agency ePMA)for assisting TANGEDCOin implementationof Integrated Power DevelopmentScheme(IPDS), Gol Schemes,

(k) "Services" means the works to be provided/performed by the Consultantand/or, the Consultants for completion of various tasks as described inAppendix A hereto;

(I) "Starting Date" means the date referred to in Clause3.3 hereof;

(m) "Sub Consultant" means any person/entity to whom the Consultantsubcontracts for any part of the Services in accordance with theprovisions of Clause 5.5 hereinafter; and

(n) ''Third Party" means any person or entity other than the Owner, theConsultant or his Consultant.

2.0 LOCAnON FOR PERFORMANCEOFTHE SERVICES:

(a) The Consultant shall render/perform services at Chennai and at therespective Project site at circles of TANGEDCO/TANGEDCO".

(b) The Consultant also undertakes to perform/render services at other ~:l':?tionor elsewhere as required for the execution of project or as specified by theOwner from time to time. The Owner shall not bear any extra expenses/costif, any, incurred by the consultant for providing services at other location.

3.0 COMMENCEMENT,COMPLETION, AND TERMINATION OF CONTRACT

3.1 Commencementof Contract

This contract shall come into force from the date of receipt of Letter of Intent(LoI).

3.2 Terminationof Contractfor Failureto BecomeEffective

a) If this Contract has not become effective within 15 days from effectivedate the Owner has the right to declare the same to be null and VOid,andin the event of such a declaration the consultant shall not have any cairnagainst the Owner.

b) In case the contract is rendered null and void on account offailure/inaction on the part of the consultant, the consultant shall be liableto pay damages to the Owner.

3.3 Commencement of Services

The Consultants shall begin carrying out the Services immediately viz. fromthe date of receipt of Letter of Intent (the "Starting Date"), or on such dateas the Parties may agree in writing.

3.4 Expiration of Contract

Unless terminated earlier pursuant to Clause 10 hereof, this Contract shallexpire after the consultant has performed all his Services as per the termsand conditions envisaged in this Contract and the Owner has issued a "Noclaim Certificate" to the Consultant.

The Owner shall issue the "No claim certificate" after being satisfied thattheConsultant has performed/rendered all the services to the satisfaction ofthe Owner, as per the contract and all undisputed payments of remunerationand reimbursable expenditures payable by the Owner to the Consultant hasbeen made.

4.0 Contract

4.1 The consultant will have to furnish a Security Deposit of five (5) percent ofthe total value of the Contract after adjusting the EMD amount alreadyremitted for the faithful performance of the Contract in accordance with theterms and conditions specified in the Contract.

4.2 The Security Deposit shall be remitted by crossed Demand Draft! Banker'sCheque drawn in favour of ''TANGEDCOCollection Account " payable atChennai /irrevocable & unconditional Bank Guarantee in the prescribedproforma obtained from a Nationalised/ Scheduled bank of India or anyreputed Foreign Bank having branches in India and

4.3 The above Security Deposit shall be furnished within 15 days from the dateof receipt of LoI failing which the EMDpaid by the bidder would be forfeitedbesides cancellation of Contract. In the event of acceptance of SecurityDeposit on delay, the interest at i~1erate of 22% for the delayed period shallbe ~aid by the tenderer.

4.4 Failure of the consultant to comply with the requirements under this Sectionshall constitute scfflctent grounds for cancellation of the award and forfeitureof the Bid Security.

4.5 If TANGEDCOincurs any loss or damage on account of breach of any clausementioned above or any other cause arising out of the Contract thatbecomes payable by the Contractor to TANGEDCOthen TANGEOCOwill inaddition to such other rights that they may have under law appropri~_t~the

whole or part of the Security Deposit and such amount that is appropriatedwill not be refunded to the Contractor.

4.6 The Performance Guarantee will be returned to the Contractor without anyinterest at the end of the Guarantee Period.

5. 0 Obligations of the Consultants

5.1 Standard of performance

The Consultant shall perform the Services and carry out his obligationshereunder with all due diligence, effiCiencyand economy, in accordance withgenerally accepted techniques and practices used withprofessionalengineering and consulting standards recognized by professionalbodies, and shall observe sound management, and technical and engineeringpractices, and employ appropriate advanced technology and safe andeffective equipment, machinery, materials and methods in execution ofproject. The Consultant shall always act, in respect of any matter relating tothis Contract or to the Services;.as faithful advisers to the Owner, and shallat all times support and safeguard the Owner's legitimate interests in anydealings with Consultants/Consultants or Third Parties.

5.2 Compliancewith Rulesand Regulations

The Consultant agrees that it shall be responsible and liable to comply withand also undertakes to ensure and be responsible for compliance by the Subconsultants, agents of the Consultants and Consultants and Personnel, withall the rules and regulations of various concerned government authorities anddepartments for the services rendered under this agreement.

5.3 Conflict of interest

The consultant shall hold the Owner's interest paramount, without anyconsideration for future work, and strictly avoid conflict with otherassignments or their corporate interests and in accordance with theprovisions of tender specification.

5.4 Benefit from Commissions,Discounts etc.

Payment to the Consultant shal! constitute the Consultant's only payment inconnection with this Contract or the Services, and the Consultant shall notaccept for their own benefit any trade commission, discount, or similarpayment in connection with activities pursuant to this Contract or to theServices or in the discharge of their obligations under the Contractt and theCcnsultant shall use their best efforts to ensure that the Personnel, any

Consultants, and agents of either of them similarly shall not receive any suchadditional benefits.

5.5 Consultants and Affiliates not to be otherwise interested in Project

The Consultant agrees that, during the term of this Contract, the Consultant,Sub Consultant, Personnel and/or any entity affiliated with the Consultant orConsultant shall not provide services resulting from or directly related totheConsultant's Services for the preparation or implementation of the projecttoany third party. In the event of breach of the aforesaid condition the Ownershall be entitled to disqualify such Consultant or the Sub Consultant or any oftheir Personnel from providing services to the Owner and further claimdamages for breach.

5.6 Prohibition of Conflicting Activities

The Consultant shall not engage, and shall cause their Personnel as wellastheir Consultants and their Personnel not to engage, either directly orindirectly, in any business or professional activities which would conflict withthe activities assigned to them under this Contract.

5.7 Insuranceto be taken out by the Consultant

The Consultant shall take out and maintain, and shall cause its Consultants totake out and maintain, at their own cost, insurance against risks etc.

5.8 Liability of the Consultants

The Consultant and each of his Members (consultant personnel, Consultant,Consultant personnel) shall be jointly and severally liable to the Owner forthe performance of the Services under this Contract and further for any losssuffered by the Owner as a result of a default of the Consultant or hismembers in such performance, subject to the following limitations:

(a) The Consultant shall not be liable for any damage or injury caused by orarising out of the act, neglect, default or omission of any persons otherthan the Consultants, its Consultants or the Personnel of either of them;and

(b) The Consultant shall not be liable for any loss or damage caused byor arising out of circumstances of Force Majeure.

5.9 Consultant Action RequiringOwner's Prior Approval

The Consultant shall obtain the Owner's prior approval in writing beforetaking any of the following actions:

(a) appointing personnel to carry out any part of the Services, includingthe terms and conditions of such appolntment :

(b) entering into a subcontract with the Sub consultant fortheperformance of any part of the Services, it being understood:

(i) That the selection of the Consultant and the terms and conditionsof the subcontract shall have been approved in writing by theOwner prior to the execution of the subcontract, and

(ii)That the Consultants shall remain fully liable for the performanceof the Services by the Consultant and its Personnel pursuant tothis Contract;

5.10 Reporting Obligations

The Consultant shall submit to the Owner the reports and documentsspecified in Appendix B hereto, in the form, in the numbers and within thetime periods set forth in the said Appendix, including any supportingdatarequired by the Owner.

5.11 Documents Prepared by the Consultants to Be the Property of theOwner

All plans, drawings, spedflcattons, designs, reports and other documentsprepared by the Consultants in performing the Services shall become andremain the property of the Owner, and the Consultant shall, not later thanupon termination or expiration of this Contract, deliver all such documents tothe Owner, together with a detailed inventory thereof.

5.12 Service Level Agreement:Apart from this agreement, a serviceLevelAgreement shall be executed by PMA.The purpose of SLA is to clearlydefine the level of service to be provided by PMA to TANGEDCOfor theduration of this contract or until this SLA has been amended. SLA shall beexecuted between PMA and TANGEDCOseparately as per Section IV ofTender Specification No.CE(R-APDRP)/OTNo. 01 /2016-2017and it forms anintegral part of this agreement.

6.0 Consultants Personnel

6.1 Agreed Personnel

The Consultant hereby agrees to engage the personnel and Consultants listedby title as well as by name in Appendix C in order to fulfill his contractualobligations under this contract.

6.2 General

The Consultants shall employ and provide such qualified and experiencedPersonnel as are required to carry out the Services.

6.3 Description of Personnel

a) The titles, job descriptions, minimum qualifications and estimatedperiod of engagement in the carrying out of the Services of each ofthe Consultants' Personnel are described in Appendix C.

b) If required to comply with the provisions of Clause 5.4 of thisContract, adjustments with respect to the estimated periods ofengagement of Personnel set forth in Appendix C may be made bythe Consultant by written notice to the Owner, provided:

i) that such adjustments shall not alter the originally estimated period ofengagement of any individual by more than 10% or one week,whichever is larger.

ii) that the aggregate of such adjustments shall not cause paymentsunder this Contract to exceed the ceilings set forth in Clause 8 of thisContract. Any other such adjustments shall only be made with theOwner's written approval.

iii) Quantity variation: The price quoted by the contractor shall befirm for variation in quantity/value of scheme works to the tune of±10%.In case of variation beyond ±10%, the payment will beregulated on prorata basis,

lv) However, If additional work is required beyond the scope of servicesfor variation in q",antity of scheme works of 10%, may be increased byagreement in writing between the Owner and the Consultants. Thevalue of all BankGuarantees shall be enhanced accordingly.

6.4 Remflvals and/or Replacement of Personnel

a} Except as the Owner may otherwise agree, no changes shall be made inthe Personnel. If, for any reason beyond the reasonable control of theConsultants, it becomes necessary to replace any of the Personnel, theConsultants shall forthwith provide as a replacement a person ofequivalent or better qualifications.

(b) If the Owner:i) finds that any of the Personnel has committed serious

misconductor has been charged with having committed a criminalaction, or

(ii) has reasonable cause to be dissatisfied with the performance ofany of the Personnel,

then the Consultants shall, at the Owner's written request specifying thegrounds therefore, forthwith provide as a replacement a person "lithqualifications and experience acceptable to the Owner.

c) The new personnel provided as a replacement shall be governed by thesame the terms and conditions of employment as the replaced personnel.

d) The Consultants shall bear all additional travel and other costs arisingoutof or incidental to any removal and/or replacement.

e) Any Removal/Replacement of personnel shall be permitted only aftergetting approval from TANGEDCOand if any default thereof Penalty asper clause 1.4 of Service Level Agreement(SLA) will be levied withoutprejudice to other rights of TANGEDCOunder the contract.

f) Removal/Replacement at the behest of TANGEDCOor by PMAwith the

approval of TANGEDCOshall also be subjected to Penalty as per clause

1.4 of Service Level Agreement (SLA).

7.0 OBUGATIONS OFTHEOWNERPayment

In consideration of the Services performed by the Consultants under thisContract, the Owner shall make to the Consultants such payments and insuch manner as is provided by Clause 8 of this Contract.

8.0 PAYMENTSTOTHECONSULTANTS

8.1 The Lump - sum cost of services payable in Indian Rupees is set forth inAppendix E. If due to any reason or decislon of the Client! Govt; theRegulator, the Assignment is dropped and the Consultant is directed todiscontinue work, the "Drop Dead Fee" would be limited to the paymentsreceived by the Consultant and the claims already raised, as per the paymentterms relating to the Assiqnrnent, till the point of calling off the Assignment oras mutually agreed.

8.2 Mode of Payment

B.2.1 Payments will be made by the Owner to the consultant in accordancewith theterms of payment as per Letter of Award. Any deviation in the payment termsis not permitted.

B.2.2 The Consultant shall submit the bills in Duplicate to the SuperintendingEngineer / EDC(Project - incharge) concerned

B.3 The Owner shall cause the payment of the Consultant as per the above givenschedule cf payment within reasonable time of the receipt of the bills raisedalong with supporting documents. However, it is agreed between the partiesthat the Owner may restrict or withhold the payment if the performance orprogress of the services rendered by the Consultant or his members (subconsultants) is not satisfactory and not in accordance with th~ workprogram/schedule.

8.4 The final payment under this Clause shall be made only after satisfactorycompletion of the activities.

8.5 All eligible payments will be made directly from the dedicated bank accountas per the established procedure through e- banking only, by the CentralPayment Division.

9.0 SUSPENSION

The Owner may, by written notice of suspension to the Consultants, suspendall payments to the Consurtant and invoke Performance Bank Guaranteehereunder:

i) if the Consultant fails to perform any of its obligations under thisContract, including carrying out of the Services, provided, that suchnotice of suspension (i) shall specify the nature of the failure, and (ii)shall request the Consultants to remedy such failure within a periodnot exceeding thirty (30) days after receipt by the Consultant of suchnotice of suspension

or(ii) if at any stage it is found that the Consultant has provided any wrong

intormatlon/ false informationl mis-represented the fact.

10.0 TERMINATION

10.1 By the Owner

The Owner may terminate this contract, by issuing a written notice not lessthan thirty (30) days, from the date of occurrence of any of the eventsasspecified in sub clause (a) to (e) of this Clause.

The Owner may terminate this contract, by issuing a written notice not lessthan sixty (60) days, from the date of occurrence of the event as specified insub clause Cf) of this Clause.

(a) if the Consultants fail to remedy a failure in the performance of theirobligations hereunder, as specified in a notice of suspension pursuant toClause9 herein above, within thirty (30) days of receipt of such notice ofsuspension or within such further period as the Owner may havesubsequently approved in writing;

(b) if the Consultant fail to comply with any final dedston reached as a resultof proceedings pursuant to Clause 24 hereof;

(c) if the Consultant submit to the Owner a statement which has a materialeffect on the rights, obligations or interests of the Owner and which theConsultants know to be false;

(d) if, as the result of Force Majeure, the Consultants are unable to performa material portion of the Services for a period of not less than sixty(60) days; or

(e) if Consultant become Bankrupt and the company has been wound upthrough liquidation proceedings.

(f) if the Owner, in its sole discretion and for any reason whatsoever,decides to terminate this Contract.

10.2 CESSATIONOFRIGHTSAND OBUGATIONS

Upon termination of this Contract pursuant to Clauses 10 hereof, or uponexpiration of this Contract pursuant to Clause 3 hereof, all rights andobligations of the Parties hereunder shall cease, except

(a) such rights and obligations as may have accrued on the date oftermination or expiration,

(b) the obligation of confidentiality set forth in Clause 22 hereof,

(c) any right which a Party may have under the Applicable Law.

10.3 CESSATIONOFSERVICES

Upon termination of this Contract by notice to pursuant to Clauses 10 hereof,the Consultants shall, immediately upon dispatch or receipt of such notice,take all necessary steps to bring the Services to a close in a prompt andorderly manner and shall make every reasonable effort to keep expendituresfor this purpose to a minimum.

10.4 PAYMENTUPONTERMINATION

Upon termination of this Contract pursuant to Clause-l0 hereof, theOwnershall make the following payments to the Consultant:

(a) Remuneration pursuant to Clause 8 hereof for Services satisfactorilyperformed prior to the effective date of termination;

(b) reimbursable expenditures pursuant to Clause8 hereof for expendituresactually incurred prior to the effective date of termination; and

(c) except in the case of termination pursuant to paragraphs(a) to Clause10.4 hereof, reimbursement of cost duly supported by thedocumentary evidence incident to the prompt and orderlytermination of the Contract

11.0 Force Majeure

11.1 Neither the Contractor nor the Purchaser shall be considered in default inperformance of its obligations hereunder if such performance is prevented ordelayed for any causes beyond the reasonable control of the party affected,

such as war, hostilities , revolution, riot, civil commotion, epidemic, majorfires, explosions, floods, earthquakes or because of any law, order,proclamatory regulations or ordinance of Government or because of any actof God, provided notice in writing of such cause with necessary evidence thatthe obligation under the Contract is thereby affected or prevented or delayed,is given within 14 days from the happening of the event and in any case it isnot possible to serve the notice within 14 days period, then within theshortest possible period without delay. In case the force majeure conditionsprolong beyond a continuous period of 6 months, the Purchaser/Employershall be entitled to declde the further course of action including revisions inthe terms of Contract, if any.

11.2 As soon as the cause of Force Majeure has been removed, the party whoseability to perform its obligation has been affected shall notify the other partythe actual delay occurred on account of such activities.

11.3 It is however agreed that "Force Majeurell shall not mean or include:

(1) any event caused by tre negligence or intentional action of a Partyor such Party's Consultants or agents or employees, nor

(2) any event which a diligent Party could reasonably have beenexpected take into account at the time of the execution of thisAgreement , and avoid or overcome in the carrying out of itsobligations hereunder.

11.4 The Consultant shall not be paid /reimbursed any further price or cost or anyadditional cost in re-activating the services after the end of Force Majeureevent.

12. NO BREACHOFCONTRACT

Neither party shall be responsible or be liable for, or deemed to be in breachhereof because of any failure or delay in complying with its obligations underor pursuant to this Agreement due to one or more events of Force Majeure orits effects or any combination thereof, provided that the Party affected bysuch an event has taken all reasonable precautions, due care and reasonablealternative measures, all with the objective of carrying out the terms andconditions of this Contract. However it is agreed that in no event shall ForceMajeure shall exclude any Party's obligation to pay monies under thisAgreement.

13 MEASURESTO BETAKEN

a. A Party effected by an event of Force Majeure or any combination ofevents shall take all reasonable measures to remove such Party'sinability to fulfill its obligations hereunder with a minimum of delay.

b. A Party affected by an event or any combination of events of ForceMajeure shall notify the other Party of such event as soon as possible,and in any event not later than fourteen (14) days following theoccurrence of such event, providing evidence of the nature and causeofsuch event, and shall similarly give notice of the restoration of normalconditions as soon as possible.

c. The Parties shall take all reasonable measures to minimizetheconsequencesof any event of ForceMajeure.

14 Period of Engagement:

The period of engagement would be thirty three (33) months from the dateof receipt of Letter of Intent (LoI), or till the closure of the entire project bythe TANGEDCO,whichever is later. The contract shall be suitably extendedwithout any financial commitment to TANGEDCO in case of delay incompletion of the schemes is attributable to PMA. If, the delay in completionof the schemes is not attributable to PMA,then contract price shall be on pro-rata basis for the extended period.

15 EXTENSION OF TIME

Any period within which a Party shall, pursuant to this Contract, complete anyaction or task, shall be extended for a period equal to the time during whichsuch Party was unable to perform such action as a result of ForceMajeure.

16 CONSULTATION

Not later than thirty (30) days after the Consultant, as the result of an eventof Force Majeure, have become unable to perform a material portion of theServices, the Parties shall consult with each other with a view to agreeing onappropriate measures to be taken in the circumstances.

17 AMENDMENT IMODIFICATION

This Agreement may not be altered, modified, revoked or cancelled in anyway unless such alteration, modification or cancellation is in writing and dulysigned by or on behalf of the parties which shall not be effective until theconsent of the parties has been obtained. However, it is agreed between theparties that each Party shall give due consideration to any proposals formodification made by the other Party.

18 AMICABLE SETTLEMENT

The Parties shall use their best efforts to settle amicably all disputes arisingout of or in connection with this Contract or the interpretation thereof. NoArbitration is applicable to this Contract.

20 Good Faith

The Parties hereunder undertake to act in good faith with respect to theirperformance, obligations and rights under this Agreement and furtherundertake, during the tenure of this Agreement, to take all reasonablemeasures, to ensure the achievement/realization of the objectives of thisAgreement.

21 OPERATIONOFTHECONTRACT

The Parties recognize that it is impractical in this Contract to provide forevery contingency which may arise during the life of the Contract, and theParties hereby agree that it is their intention that this Contract shall operatefairly as between them, and without detriment to the interest of either ofthem, and that, if during the term of this Contract either Party believes thatthis Contract is operating unfairly, the Parties will use their best efforts toagree on such action as may be necessary to remove the cause or causes ofsuch unfaimess, but on failure toagree on any action pursuant to this clauseshall give rise to a dispute subject to arbitration in accordance with clause 18hereof.

22 TAXESAND DUTIES/CHANGEIN LAW.

It is hereby agreed between the parties that the Consultant and its personnelshall pay the taxes, duties, fees, levies and other impositions levied under theexisting, amended or enacted laws during life of this contract and the Ownershall deduct the taxes, duties and levy whatsoever as may belawfullyimposed.

23 CONFIDENTIALITY

The Consultant, their Consultant; and the Personnel of either of them shallnot, either during the term or within two (2) years after the expiration of thisContract, disclose any proprietary or Confidential Information relating to theProject, Services, under this Contract or any information pertaining to theOwner's business or operations without the prior written consent of theOwner.

24 LAWGOVERNINGCONTRACTThis Agreement, its meaning and interpretation, and the relation between theParties shall be governed by Indian Laws or any statutory modificationsthereof, and shall be subject to the exclusive jurisdiction of the Courts ofChennai in any matter arising under this Agreement and or in matterspertaining to the conduct of arbitration, enforcement of the award orobtaining of interim relief(s) etc.

25 SETTLEMENTS OF DISPUTES.

25.1 The partiesshall endeavorto resolveamicablyall disputes,controversiesordifferenceswhichmayarisebetweenthe Parties,out of or in relationto or inconnectionwith this Agreement,or for breachthereof.

25.2 Arbitrationis not applicableunderanycircumstances.

26 GENERALPROVISIONS

26.1 Language

This Contracthasbeenexecutedin the Englishlanguage,whichshall be thebinding and controlling languagefor all matters relating to the meaningorinterpretationof this Contract.

26.2 HeadingsThe headingsshallnot limit, alter or affect the meaningof this Contract.

26.3 NoticesAny notice, request or consent requiredor permitted to be given or madepursuant to this Contract shall be in writing. Any such notice, request orconsent shall be deemed to have been given or made when delivered inperson to an authorized representative of the Party to whom thecommunicationis addressed,or when sent by registeredmail, or facsimiletosuchPartyat the followingaddress:

26.4 Notice will be deemed to be effec.tiveas follows:

(a) in the case of personal delivery or registered mail, on delivery;

(b) in the case of facsimiles, forty eight (48) hours following confirmedtransmission.

26.5 A Party may change its address for notice hereunder by giving the other Partynotice of such change pursuant to this Clause.

26.6 Authority of Consultant in Charge

The Consultant hereby authorize: Sh. M.A. Khan, Addl. Chief (S)to act ontheir behalf in exercising all the Consultants' rights and obligations towardsthe Owner under this Contract, including without limitation the receiving ofinstructions and payments from the Owner.

26.7 Authorised Representatives

Any action required or permitted to be taken, and any document required orpermitted to be executed under this Contract, may be taken or executed:

(a) on behalf of the Owner by Chief Engineer, R-APDRP or his designatedrepresentative;

(b) on behalf of the Consultants Sh. M.A. Khan, Addl. Chief (S) or hisdesignated representative.

26.8 Waiver of Right

The failure of either party to enforce at any time or for any period of time,the provisions hereof shall not be construed to be waiver of any provision orof any right and shall not preclude such party from subsequently enforcirgsuch provisions or right.

26.9 Severeability Clause

If any provision of this Agreement shall be determined to be void orunenforceable, such provision shall be amended or deleted in so far as isreasonably consistent with the provisions of this Agreement and to the extentnecessary to conform to applicable law and the remaining provision of thisAgreement shall remain valid and enforceable in accordance with their terms.

26.10 The Consultant shall open site office at circles, where at least one senior levelexecutive and at least one associate technical expert will be posted forsuccessful completion of the assignment

APPENDIX -A

DESCRIPTIONOFTHESERVICES

The consultant has to provide services as detailed below as per scope of work anddeliverables indicated in Bid invitation Letter of Bid Document/LoA, letter of thebidding ; dates for completion of various tasks; place of performance for differenttasks; specific tasks to be approved by Owner; etc. which is required for thesuccessfulcompletion of the assignment.

(i) The PMAwill be responsible for the Monitoring and coordination of placement ofLetter of Award t Project Planning and Implementation, Quality Monitoring, MIS &Web portal updation and Coordination with Nodal Agency/ MoP and any otherworks as may be required to achieve the objectives of the scheme.

(ii) The PMA will intimate the supplier and the TANGEDCOwherever inadequacy/ambiguity is observed in the specification/Purchaseorder.

(iii) The PMAwill establish its offices including requisite manpower, vehicles and otherinfrastructure to oversee the project in the entire EDC and ensure smoothinterface with utility and contractor for day to day affairs.

(iv) The PMAwill make its own arrangement for the work entrusted at the supplier'sworks and among other things shall include proceeding to the place of inspectionand back, Boarding & lodging other incidental charges etc.

(v) The Illustrative Broad scopeof work are as follows:

a) Components under Integrated Power Development Scheme:

i. Strengthening of Sub-transmission and Distribution network in urban

areas;ii. Metering of boundary points/ feeders/ distribution transformers/

consumers in urban areas;

iii. Rooftop Solar Project, installation of solar panels on Govt. buildingsand smart/net meters as a mandatory component under IPDS; and

iv. Continuing IT enablement of distribution sector and distributionnetwork strengthening as per the norms of the ongoing scheme ofRAPDRPby subsuming the same in IPDS.

Scope of IT enablement extended to the statutory towns havingpopulation upto 5000 as per Census2011. In 1st phase towns havingpopulation upto 15000 may be taken up and the populationthreshold may be gradually reduced to 5000.

b) Monitoring and coordination of bidding process:

PMAwill monitor and co-ordinate with TANGEDCOfor placement of Letter ofAward for the procurement of materials /works to be executed

departmentally/partial turnkey and related activities by various

procuring/executing agencies of TANGEDCO..

c) Project Planning and Implementation:

• Assist TANGEDCO in preparation of detailed work implementationschedule in association with procurement agency/partial turnkeycontractor/ Departmental Agencies for supply, installation, testing, andcommissioning of the work as per approved DPRs.

• Coordinate& monitor of project implementation activities.• Monitor DPRwise weekly, monthly physical & financial progress of the

schemes, prepare a consolidated report & furnish to TANGEDCOforonward submission to Nodal Agency.

• Identify the anticipated bottlenecks in project implementation &preparation of remedial action plan in consultation with TANGEDCOandContractor/Agencies.

• Assist TANGEDCOto verify creation of assets from asset registers of theTANGEDCO.

• Prepare, Submit and Recommendthe claim of TANGEDCO for fundrelease from Nodal Agency. The recommendation is to be supported by areport on expenditure, progress and constraints if any for timelycompletion of project.

• Submit a report to Nodal Agency, regarding project completion andexpenditure incurred along with recommendation in accordancewith theguidelines.

• Assist in supervision of flow of funds in dedicated bank account of theproject.

d) Quality Monitoring:• Prepare a Quality Assurance (QA) Plan with the approval of the

TANGEDCO.• Field quality inspection of ongoingl completed works.• Joint inspection (along with representative of TANGEDCO) of material at

site on sample basis i.e. 10% of major materials (Poles, Conductor,Meters, Transformers, Cables,etc.,)

e) MIS &. Web Portal updation• AssistTANGEDCOin timely updation of information on Web portal.• Monthly reporting to the Project Management Cell of concerned officials

of TANGEDCO .• Compilation and analvsls of utility level AT & C data on quarterly basis.• Any other work as may be required to achieve the objectives of the

The consultant willprovide periodic reports for Project ManagementCell of TANGEDCOand for WebPortal updation.

(vii) Establishment of site office: The Consultant will establish and maintainoffices including deployment of adequate manpower, vehicles and other requiredinfrastructures at Headquarters (Chennai ) and in each of the thirty seven (37)

circlesl.e. Chennai North (Chennai), Kanchipuram, Chengalpet, Vellore,Tirupattur, Dharmapuri, Krishnagiri, Salem, Erode, Mettur, Namakkal,Gobi (Gobichettipalayam), Coimbatore North (Coimbatore), CoimbatoreSouth (Coimbatore), Nilgiris(Ooty), Tirupur, Udumalpet, Villupuram,Tiruvannamalai, Cuddalore, Kallakurichi, Trichy Metro (Trichy),Perambalur, Karur, Thanjavur, Tiruvarur, Nagapattinam, Pudukkottai,Sivaganga (Sivagangai), Ramnad (Ramanathapuram), Dindigul, Madurai,Theni, Virudhunagar, Tirunelveli, Tuticorin and Kanniyakumari oncontinuous basis and as per site requirement (to be finalized in consultationwith TANGEDCO)in circle offices.
