5. Background, Representations, Warranties and Covenants:

5.1 Representations and Warranties Regarding the Title: The Vendor has madethe following representation and given the followingwarranty to the Purchaserregarding title.

5.1.1 Absolute Ownership ofCHANDRANATHLASKARalias Chandranath Laskar is the owner and possessor of a plot of shali landmeasuring an area of 12.8436 Decimal comprised in R.S. & L. R. Dag No.466, under L.R. Khatian No. 55, lying and situate at Mouza - ARBELIA ,J.L. No. 51, present Touzi No. 10, within the local limits of Chandpur GramPanchayet, within the jurisdiction of Rajarhat Police Station, in the District _North 24 Parganas, by virtue of own L.R. SettlementRecord of Rights beingL.R. Khatian No. 55 (said property), absolutely free from all encumbranceswhatsoevermore fully described in the schedulehereinafterwritten.

5.1.2 Title of the Vendor: Thus in the above mentioned L.R. record of rights, theVendor has became the absoluteowner of the SaidProperty.

5.1.3 Desire of Sale by Vendor: The present Vendor intends to sell the aforesaidplot of land measuring an area of 12.8436Decimal comprised in R.S. & L. R.Dag No. 466, under L.R. Khatian No. 55, lying and situate at Mouza _ARBELIA , lL. No. 51, present Touzi No. 10, within the local limits ofChandpurGram Panchayet,within the jurisdiction of Rajarhat Police Station, inthe District - North 24 Parganas more fully described in the Schedulehereinafter written and relinquished all his right, title and interest on the SaidProperty and also indemnifies that he has no any further claim on the SaidProperty, and further he declare that all his future claim in the Said Propertywill be treated as null and void in the eye oflaw.

5.1.4 Sale by the present Vendor to the present Purchaser: The present Vendordesires to sell the said plot of shali land measuring an area of 12.8436Decimalcomprised in R.S. & L. R. Dag No. 466, under L.R. Khatian No. 55, lying

and situate at Mouza - ARDELIA, J.L. No. 51, present Touzi No. 10, withinthe local limits of ChandpurGramPanchayet,within thejurisdiction of RajarhatPolice Station, in the District - North 24 Parganas (hereinafter called as the'said property') more fully described in the Schedule hereinafterwritten to thepresent purchaser at or for the total consideration of Rs. 16,95,OOO/-(Rupeessixteen lac ninety five thousand) only.

5.1.5 True and correct representation: The Vendor is the absolute and undisputedowner of the Said Property, such ownership having being acquired in themanner stated above, the contain ofwhich are all true and correct.

5.l.6 Representations, Warranties and Covenants regarding Encumbrances: TheVendorrepresents,warrants and covenantsregarding encumbrancesas follows:-

5.2.1 No Acquisition! Requisition: The Vendor has not received any notice fromany authority for acquisition, requisition or vesting of the Said Property anddeclares that the Said Property is not affected by any scheme of the PanchayetAuthority or Governmentor any StatutoryBody.

5.2.2 No Excess Land: The Owner/ Vendor do not hold any excess vacant landunder the urban land (Ceiling and Regulation) Act, 1976 or any excess landunder the West Bengal LandReformsAct, 1955.

5.2.3 No Encumbrances by Act of Vendor: The Vendor has not at any time doneor executed or knowingly suffered or been party or privy to any act, deed,matter or thing , including grant of right of easement . Whereby the SaidProperty or any part thereof can or may be impeached, encumbered or affectedin title.

5.2.4 Right, Power and Authority to Sell: 'The Vendor has good right, full power,absolute authority and indefeasible title to grant, sell, convey, transfer, assignand assure the SaidProperty to the Purchaser.

5.2.5 No Dues: No tax in respect of the SaidProperty is due to the Chand pur GramPanchyet and or any other authority or authorities and no Certificate Case ispending for realization of any taxes from the Owner /Vendor.

5.2.6 No Right of Preemption: No person or persons whosoeverhave had !has anyright of Preemption over and in respect of this Said Property or any partthereof.

5.2.7 No Mortgage: No mortgage or charge have been created by the Vendor bydepositing the title deeds or otherwise over and or respect of the SaidPropertyor any part thereof.

5.2.8 Free From AD Encumbrances : The said Property is free from all claims,demands, encumbrances, mortgages, charges, liens, attachments, lispendens,uses, debaters, trusts, prohibitions, Income Tax Attachment, Finan"iulInstitution, charges, statutory prohibitions, acquisitions, requisitions, vesting's,burgaders, and liabilities whatsoever or howsoever made or suffered by theVendor or any person or persons having or lawfully, rightfully or equitableclaiming any estate or interest therein through, under or in trust for the Vendorpredecessor-in-titleand the title of the Vendor to the said Property is free, clearand marketable.

5.2.9 No Personal Guarantee: The SaidProperty is not affected by or subject to anypersonal guaranteefor securingany financial accommodation.

5.2.10 No Bar by Court Order or Statutory Authority: There is no order of Courtor any other statutory authority prohibiting the Owner/ Vendor from selling,transferringand/or alienating the SaidProperty or any part thereof.

6 Basic Understanding:

6.1 Agreement to Sell and Purchaser: The Vendor has approached the Purchaserand offered to sell the Said Property to the Purchaser and the Purchaser basedon the representations,warranties and covenantsmentioned in Clause No.5 andits sub-clauses above (collectivelyRepresentations),has agreed to purchase theSaidProperty from the Vendor.

7 Transfer:

7.1 Hereby Made: The Vendorhereby sell convey and transfer to the Purchase theentirety of his right, title and interest of whatsoever or howsoever nature in theSaid Property more fully described in the Schedules below free from allencumbrances.

7.2 Consideration: The aforesaid transfer is being made in considerationof a sumof Rs. 16,9S,OOO/·(Rupees sixteen lac ninety five thousand) only paid by thepurchaser to the Vendor, receipt of which the Vendor hereby and by the Memoand Receipt hereunderwritten admit and acknowledge.

8 Terms of Transfer:

8.1 Salient Terms: The transfer being effected by this Conveyance is:

8.1.1 Sale: A sale within the meaningof the Transferof Property Act, 1882.

8.1.2 Absolute: Absolute, irreversibleand perpetual.

8.1.3 Together with All Other Appurtenance: Together with all other rights theVendor has in the Said Property and all other appurtenances including but notlimited to customary and other rights of easements for beneficial use of theSaid Property, which includes all.unreco~dedlnon-mutatedlands, inherited bythe Vendoras mentioned in the various sub-clausesof 5 above.

8.2 Subject to: The transfer being effected by this Conveyanceis subject to:

8.2.1 Indemnification: Indemnification by the Vendor about the correctness of histitle and authority to sell and this Conveyance is being accepted by the Purchaseon such express indemnification by the Vendor shall, at the cost of thePurchaser, forthwithtake all necessary steps to remove and/or rectify.

8.2.2 Transfer of Property Act: All obligations and duties of Vendor and Purchaseras provided in the Transfer of Property Act, 1882, save as contracted to thecontraryhereunder.

8.3 Delivery of Possession: Khas, vacant and peaceful possession of the SaidProperty has been handed over by the Vendor to the Purchaser, which thePurchaser admits, acknowledgeand accepts.

8.4 Outgoing: All statutory revenue. cess. taxes, surcharges, outgoings and leviesof or on the SaidProperty, relating to the period till the date of this Conveyancewhether as yet demanded or not, shall be borne, paid and discharged by theVendor, with regard to which the Vendor hereby indemnify and agree to keepthe purchaser fully and comprehensivelysaved, harmless and indemnified.

8.5 Holding possession: The Vendor hereby covenant that the Purchaser and itsheirs, executors, administrator, representatives and assigns, shall and may fromtime to time, and at all times hereafter, peacefully and quietly enter into hold,possess, use and enjoy the Said Property and every part thereof and receiverents, issues and profits thereof and all other benefits, rights and propertieshereby granted, sold conveyed transferred, assigned and assured of expressed orintended so to be unto and to the Purchaser, without any lawful eviction,hindrance, interruption, disturbance, claim or demand whatsoever from or bythe Vendor of any person or persons lawfullyor equitably claiming any right orestate therein fromunder or in trust from the Vendor.

8.6 Indemnity: The Vendor hereby covenant that the Vendor or any personclaiming under it in law, trust and equity- shall, at all times hereinafterindemnify and keep indemnified the Purchaser and its heirs, executors,administrators, representatives and assigns and/or his successors-in-interest,offrom and against any loss, damage, costs, charges and expenses which may besuffered by the Purchaser and its heirs, executors, administrators,representatives and assigns and/or its successors-in-interestby reason of anydefect in title of the Vendor or any of the representations being found to beuntrue.

8.7 No Objection to Mutation: The Vendor declare that the Purchaser can fully beentitled to mutate its name in the record of the B.L. & L.RO. and also in therecord of the concerned Chandpur Gram Panchayet and/or any otherconcernedauthority/authoritiesand to pay tax or taxes and all other impositionsin its own name. The Vendor undertake to co-operatewith the Purchaser in all

respect to causemutationof the SaidProperty in the name of the Purchaser andin this regard shall sign all documents and papers as required by the Purchaser.

8.8 Further Acts: The Vendor hereby covenant that the Vendor or any personclaiming under him, shall and will from time to time and at all times hereafter.upon every request and cost of the Purchaser and/or its successors-in-interest,do and execute or cause to be done and executed all such acts, deeds and thingsfor further or more perfectly assuringthe title of the Said Property.
