NOTES:I. Best Buy: The following provision applies to mandatory use contracts only. This contract is subject to

RCW 43.19.190(2) & RCW 43.19.1905(7): which authorizes state agencies to purchase materials, supplies, services, and equipment of equal quantity and quality to those on state contract from non-contract suppliers. Provided that an agency subsequently notifies the Office of State Procurement (OSP) State Procurement Officer (SPO) that the pricing is less costly for such goods or services than the price from the state contractor.

If the non-contract supplier's pricing is less, the state contractor shall be given the opportunity by the state agency to at least meet the non-contractor's price. If the state contractor cannot meet the price, then the state agency may purchase the item(s) from the non-contract supplier, document the transactions on the appropriate form developed by OSP and forwarded to the SPO administering the state contract. If a lower price can be identified on a repeated basis, the state reserves the right to renegotiate the pricing structure of this agreement. In the event such negotiations fail, the state reserves the right to delete such item(s) from the contract.

II. State Agencies: Submit Order directly to Contractor for processing. Political Subdivisions: Submit orders directly to Contractor referencing State of Washington contract number. If you are unsure of your status in the State Purchasing Cooperative call (360) 902-7415.

III. Only authorized purchasers included in the State of Washington Purchasing Cooperative (WSPC) and State of Oregon Cooperative Purchasing Program (DASCPP/ORCPP) listings published and updated periodically by OSP and DAS may purchase from this contract. It is the contractor’s responsibility to verify membership of these organizations prior to processing orders received under this contract. 5. Contract Extension: Contract extended for 12 months (6/7/2008 to 6/6/2009) with amendment #1, effective date 6/7/2008. it easier for these stores to meet your future requirements in a timely manner. (See Contractor’s Page). Effective June 28, 2002.

17. Four of Napa’s stores (Blaine, WA; Issaquah, WA; North Bend, WA; Waterville, WA) are opting out of this contract and have been removed. Effective June 28, 2002.

18. Warranty Cost per Month, defined: The monthly fee is multiplied by the number of months the battery was in service and this is what the customer will pay for their new battery.

Example: Battery with 24 month Warranty

Note: In many instances the warranty cost per month will not be equal to the full length of the warranty. Customers should evaluate warranty cost per month when making their best value purchasing decision.

19. Contract Award Notice, effective June 7, 2002 through June 6, 2004.

The primary purpose of this contract is to provide customers with best value choices for their battery needs. There are three categories of batteries available under this contract:

1. Automotive and light truck;2. Heavy equipment, farm and commercial; and3. Other, including marine, lawn and garden equipment, wheelchair, golf cart, etc.

For customers needing to purchase batteries in advance of actual use and have them delivered to specific customer storage location, Option 1 is mandatory:

1. Delivered to the purchaser’s location or maintenance facility (FOB Destination).

The other four options of this contract are convenience for the as needed purchase of vehicle and storage batteries. Customers for batteries are encouraged to carefully review the prices and services available under these four options and make a best value decision for their specific requirement. In some cases it may be possible to get more service (such as delivery to your location within 24 hours) at little to no change in price. With the exception of Option 5, all prices reflect the cost of the battery, inclusive of delivery and service. Option 5 charges are explained below. Convenience Options are:

5. Delivered to the vehicle/equipment location and installed in order to meet an urgent purchaser requirement during normal business hours. An additional charge (hourly installation rate, billable in quarter hour increments) for actual installation of the battery will be added to the delivered battery price listed. The hourly installation rate is also indicated for each battery.

16.Contract was extended for 60 days to review the marketplace, current contract terms and consider a price increase for the remaining term. Discussions with customers and vendors will determine whether new term will be pursued for one year or two years with news prices. New term will start August 5, 2006 with the ending date to be determined by State Procurement Officer.

17.Contract was renewed with all vendors for one year effective 8/7/06 until 8/8/07. Contract includes new pricing for all battery products due to increased production costs and market conditions. Pricing is based on 2004 contract prices with an increase of 13%, 20% and 20% for categories 1, 2, and 3 respectively. After extensive research of the battery manufacturers, market conditions and market indexes, changes in pricing was allowed according to pricing requirements in the contract. All service and warranty provisions remain the same in the new term as the prior renewal period.

The following contract provisions were excerpted and abridged from the contract IFB.

SPECIAL TERMS AND CONDITIONS

1. INSURANCEWithin limits specified in the IFB.

2. PRICING AND ADJUSTMENTSDuring the initial contract period pricing shall remain firm and fixed for a twelve (12) month period. Thereafter, adjustments in pricing will be at the discretion of the State Procurement Officer in conjunction with optional term extensions and shall:

a. be the result of increases at the manufacturer's level, incurred after contract commencement date.

b. be supported by changes in United States published indices such as the Producer Price Index.

c. not produce a higher profit margin than that on the original contract.

d. clearly identify the items impacted by the increase.

e. be filed with State Procurement Officer a minimum of 60 calendar days before the effective date of proposed increase.

f. be accompanied by documentation acceptable to the State Procurement Officer sufficient to warrant the increase.

g. be valid for the contract term extension period, normally twelve (12) months

During the term of this contract, should the Contractor enter into pricing agreements with other customers providing greater benefits or lower pricing, Contractor shall immediately amend the state contract to provide similar pricing to the state if the contract with other customers offers similar usage quantities, and similar conditions impacting pricing. Contractor shall immediately notify the state of any such contracts entered into by contractor.

3. MATERIALS AND WORKMANSHIPThe Contractor shall be required to furnish all materials, equipment and/or services necessary to perform contractual requirements. Materials and workmanship in the construction of batteries for this contract shall conform to all codes, regulations and requirements for such products, specifications contained herein, and the normal uses for which intended. Batteries shall be manufactured in accordance with the best commercial practices and industry and government standards for this type of product.

4. ORDERING AND DELIVERY OPTIONSBattery Deliveries to Purchaser’s Location: Batteries listed on the Specification Sheets must be delivered FOB Destination (shipping/freight charges included in the contract price) anywhere within the State of Washington within the timeframe indicated by the supplier on the Price Sheets for Option 1, or as agreed upon between purchaser and Contractor under an optional consignment program.

Batteries Supplied By or Supplied and Installed By Authorized Pickup Points: The purchaser may pick up a battery listed on the Specification Sheets from any Contractor authorized battery pickup point (company-owned distributor, franchised dealer or retail outlet) on a will-call basis under Option 2. Under Option 3, if the purchaser arrives within 15 minutes after a scheduled appointment time, the contractor shall be expected to complete the pre-scheduled installation service within 30 minutes of the purchaser’s arrival. In the event of a will call installation request by a purchaser, the contractor shall complete the installation within the timeframe indicated by the contractor on the Price Sheets for Option 3.

Batteries requested for delivery directly to the vehicle/equipment item to meet an urgent purchaser requirement must be delivered within the timeframe indicated by the contractor on the Price Sheets for Option 4.

5. BATTERY PICKUP AND INSTALLATION POINTSThe bidder shall provide a list of authorized battery pickup and installation points on the designated bid attachment. These pickup and installation points should be company-owned distributors, franchised dealers or retail outlets located throughout Washington or in immediate proximity to Washington that will supply contract batteries on a will-call basis or will supply and install contract batteries. Battery pickup points providing installation services must be annotated on the on the Battery Pickup and Installation Points submittal sheet. Activation of a dry battery by the addition of electrolyte shall be provided at no additional charge. All authorized pickup points must maintain an adequate supply of commonly stocked standard batteries in stock to meet the needs of contract purchasers.

However, if purchaser requires a battery on an urgent basis or on an installed basis and the nearest authorized pickup point from the purchaser’s location does not have the battery in stock and cannot meet the delivery requirement, a non-contract purchase is authorized at the purchaser’s option.

6. INSTALLATION AND TESTING OF CONTRACT BATTERIESWhen optional installation is requested by the purchaser, the contractor shall have the proper equipment necessary to test batteries to determine their condition and properly trained and equipped personnel to install new batteries. There shall be no fee or charge for battery load testing whether or not a new contract battery is subsequently installed into the purchaser’s vehicle. Purchasers will be asked to pre-schedule an installation appointment to the extent practical. Under Option 3, if the purchaser arrives within 15 minutes after a scheduled appointment time, the contractor shall be expected to complete the pre-scheduled installation service within 30 minutes of the purchaser’s arrival. In the event of a will call installation request by a purchaser, the contractor shall complete the installation within the timeframe indicated by the contractor on the Price Sheets for Option 3.

7. BATTERY CORES AND CORE CHARGESIn accordance with the laws of the State of Washington, batteries supplied through this contract will be assessed a refundable core charge of $5.00 per “unit value” as listed for the battery in the battery manufacturer’s product literature. These unit values will typically range from 0.5 to 4.0 per battery based on the size and weight of the battery and are to be listed on the Price Sheets for the batteries identified thereon.

When new batteries are delivered to the purchaser’s location by Contractor’s truck, old batteries may be returned to the Contractor at the time of delivery of the new battery. Credits or refunds of core charges/fees shall be provided on all batteries returned to the Contractor or to the authorized pickup point regardless of the brand of battery. However, it is preferable that the old battery value be included with the purchase of the new battery whenever practicable.

Old batteries shall be used as an exchange battery on a one-for-one basis for the purposes of core charges. Battery cores returned to the Contractor shall be recycled to salvage the lead acid and plastic at no additional cost to the Purchaser.

8. CONSIGNMENT OF BATTERIES (OPTIONAL)Under an Option 1 contract, the Contractor may provide contract batteries to the Purchaser’s location on a consignment basis at the request of the Purchaser. Battery inventory shall be established as mutually agreeable between the Contractor and Purchaser. The inventory shall remain the property of the Contractor until such time as the Purchaser removes the new battery from inventory for the purpose of using it. Contractor shall be responsible for systematically rotating inventory at Purchaser locations, thereby insuring fresh batteries. There shall be no additional charge for providing batteries to contract purchasers on a consignment basis. Upon expiration or termination of this contract, batteries left in consignment inventory shall remain the property of the Contractor and should be removed from the sites as soon as practical.

9. BATTERY PACKAGINGBatteries shall be packaged in a manner to assure the safe handling, shipment, and storage of the batteries in an upright position. Batteries are to be packaged in standard industry packaging meeting federal specifications. Protection against any hazard including short-circuiting shall be provided for batteries shipped in charged condition. Vent openings of charged and dry, and uncharged and dry batteries shall be sealed in such a manner that the seal must be broken before battery is employed.

Bidders are encouraged to offer product packaging with recycled content. All battery cartons shipped directly to the Purchaser shall be machine imprinted in accordance with best commercial practice. Packaging shall be marked in conformance with requirements of Postal Regulations, Uniform Freight Classification, and National Motor Freight Classification Rules and Regulations. In addition, all shipments including “wet” storage batteries

and those with any electrolyte packed inside a shipping carton with batteries shall be packaged for delivery in compliance applicable regulations.

10. USDOT STANDARDSAll batteries bid and supplied through this contract must meet applicable US Department of Transportation standards for packaging and shipment.

11. BATTERY WARRANTY(IES) AND WARRANTY REPLACEMENTContractor will submit a copy of manufacturer’s warranty, or company warranty if better than manufacturer’s warranty with items delivered under this contract. All batteries provided shall be new, unused, of the latest model or design and of recent manufacture. Activation of a dry battery by the addition of electrolyte shall be provided at no additional charge.

During the battery’s designated free replacement period specified in the contract, defective batteries shall be replaced at no cost to the purchaser, including free installation when requested by purchaser. Batteries replaced after the free replacement period shall be handled in accordance with the manufacturer’s standard battery warranty program.

In the event of conflict between contract terms and conditions and warranty submitted, to afford the purchaser maximum benefits, the contract terms and conditions shall prevail.

12. RETENTION OF RECORDSThe contractor shall maintain, for at least three years after completion of this contract, all relevant records pertaining to this contract. This shall include, but not be limited to, all records pertaining to actual contract performance from the date of contract award. It shall also include information necessary to document the level of utilization of MWBE’s and other businesses as subcontractors and suppliers in this contract as well as any efforts the contractor makes to increase the participation of MWBE’s. The contractor shall also maintain, for at least three years after completion of this contract, a record of all quotes, bids, estimates, or proposals submitted to the Contractor by all businesses seeking to participate as subcontractors or suppliers in this contract. The State shall have the right to inspect and copy such records. If this contract involves federal funds, Contractor shall comply with all record keeping requirements set forth in any federal rules, regulations, or statutes included or referenced in the contract documents.

13. OSHA AND WISHA REQUIREMENTSContractor agrees to comply with conditions of the Federal Occupational Safety and Health Acts of 1970 (OSHA), as may be amended, and, if it has a workplace within the State of Washington, the Washington Industrial Safety and Health Act of 1973 (WISHA), as may be amended, and the standards and regulations issued thereunder and certifies that all items furnished and purchased under this order will conform to and comply with said standards and regulations. 14. REPORTSThe contractor(s) must provide the following report(s) to Office of State Procurement.

Sales and Subcontractor Report

A quarterly Sales and Subcontractor Report (attached) shall be submitted in the format provided by the Office of State Procurement. Total purchases for each State Agency, University, Community and Technical Colleges must be shown separately. Total purchases for all political subdivisions and non-profit organizations may be summarized as one customer. Additionally, all purchases by the State of Oregon or other purchasers must be reported as an aggregate total.

The report shall include sales information (Section A) and amounts paid to each subcontractor during the reporting period (Section B).

Reports should be rounded to nearest dollar. Contractors will be provided with all necessary sample forms, instructions, and lists. Reports are due thirty (30) days after the end of the calendar quarter, i.e., April 30th, July 31st, October 31st and January 31st.

SPO Required Report

This report will be designed by the SPO to obtain information needed for IFB design, contract negotiation, or any other SPO determined need. Annual reports must be filed with the SPO listing by battery manufacturer and battery line/name specific battery sales data by battery size, quantity and value by the following groups of contract purchasers: state agencies, colleges or universities, political subdivisions and nonprofit corporations.
