c. Included in the contracted pricing of any Contract entered into as a result of this RFP, the Contractor shall provide a sufficient number of scanning servers to support all Multifunction Devices installed. In addition, all All Multifunction Devices will be installed with the following required scanning functions: Scan-to-e-mail, scan-to-FTP and scan-to-desktop (scan-to-PC). Contractor shall also provide LDAP authentication functionality to enable each of the Multifunction Devices to scan and send documents to any e-mail address in any County employee’s address book. The County currently uses Exchange e-mail servers.

d. The Contractor shall also include the following optional required faxing functions on all Multifunction Devices so equipped under any Contract entered into as a result of this RFP: Walk-up faxing functionality (send, receive and group sending) and Fax-to-e-mail. In addition, the supplied fax drivers must allow workstation users, at a minimum, to be able to fax electronic documents via all the Multifunction Device’s included fax modem.

Page 10 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 3.e. is modified to read:

e. Consumables:

Consumables will include, but are not limited to, all necessary hardware, firmware, software, document feeders, finishers, paper drawers, large capacity paper trays, print controllers as applicable, scanning servers as applicable, LDAP authentication as applicable, fax boards as applicable, finisher/feeder kits, scan/print/fax licenses as applicable, page description languages as applicable, ramp-up training, print drivers as applicable, network administration utilities, boards, cards, peripherals, insurance, lease administration fees, return freight charges, grounding, power surge protection devices (line conditioners), full-time on-site technicians as applicable, emergency service, networking printing and scanning support for those installations requiring same, parts, consumable parts, supplies, toner, staples, fuser oil (if applicable), photoconductors, developer if applicable, labor, firmware upgrades, software upgrades, drive time, trip charges, hourly rates, freight, return freight, return insurance, delivery, set-up, installation, order entry fees, de-installation at Contract completion and ongoing training.

Page 12 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 3.n.(2), is modified to read:

(2) “Service response time” shall be defined as the number of working hours it takes the on-call on-site technician to begin actual work on the given machine from the time that the service call or e-mail is placed by the County’s authorized representative. For example, a service call or e-mail placed at 4:00 p.m. on a Wednesday afternoon would need to be physically responded to by 11:00 a.m. on Thursday morning for a unit in a County department facility. The full-time the on-call on-site technicians shall not give out cell phone or pager numbers to key operators, or otherwise bypass the dispatch and reporting system put in place by Contractor. All service calls are to be logged and tracked via the Contractor’s service dispatch system for reporting purposes.

Page 17 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 4.d, is to be removed:

d. The Contractor shall also provide a plan for scheduling ongoing “Technology Showcases” in high-profile areas in various County buildings to display and promote the latest technology being implemented.

Page 37 of the RFP, Section Q (TERM/TERMINATION/RENEWAL), Item 2, is modified to read:

2. The County has and reserves the right to suspend, terminate or abandon the execution of any work by the Contractor without cause at any time upon giving to the Contractor prior written notice. In the event that the County should abandon, terminate or suspend the Contractor’s work, the Contractor shall be entitled to

payment for services provided hereunder prior to the effective date of said suspension, termination or abandonment. The County may terminate the contract at any time without written notice upon a material breach of contract and substandard or unsatisfactory performance by the Contractor. In the event of termination with cause, the County reserves the right to seek any and all damages from the Contractor.  In the event of such termination with or without cause, the County reserves the right to invite the next highest ranked bidder to enter into a contract or re-bid the project if it is determined to be in its best interest to do so.

Responses to Questions

Q1) Page 39 of the RFP, Section T (PRICING), Item 7 states:All prices quoted shall be in United States dollars and cents in a fraction of, at most, three (3) decimal points (i.e., $0.123). There are no exceptions.

Can the County please clarify? For example, if a device costs $100.50, does the County want that rounded to either $100 or to $101?

) The County is allowing pricing to include fractions of cents, but at most to three decimal places. For example, a per click unit cost of 4½ cents would be written out as $0.045 (i.e., three decimal places).

Q2) On Exhibit B, page 2 of 4, the number of devices in Column A totals 483. However, pages 1 through 10 of Exhibit O total only 423 devices. Can the County please clarify the correct total number of devices?

) Please see the Exhibit B (REVISED 3/30/12) at the end of this Addendum.

Q3) Page 1 of Exhibit Q lists a Small (Low) model MP201 at 21 ppm. However, the matrix on page 5 of Exhibit Q identifies Small (Low) to require 16-36 ppm. Can the County clarify which is desired?

) Pages 1 through 4 of Exhibit Q are the most basic models which bidders are to use in order to quote pricing on Exhibit B (Bid Form) – this will allow the County to make accurate pricing comparisons. Page 5 describes the range of ppm that are included in the Small (Low) model category.

For example, the County lists its most basic model in the Small (Low) Range (B&W) as the MP201, which prints 21 ppm. All pricing quoted in Exhibit B, where applicable, should be based on that model.

The Additional Information Matrix on page 5 of Exhibit Q represents the County’s actual specification needs. For example, the County expects that the contractor will provide devices in the Small (Low) Range that can print/copy between 16-36 ppm in black and white.

Q4) Any given manufacturer can have multiple products for a particular segment. For example, in the first category the County is specifying 16-36 ppm—that can be anything from a small

table-top to a console copier. Does the County want bidders to quote all models that fulfill a particular segment, or select one of their choice?

) The County is requesting at most 3 models for each segment that best represent that segment. For example, the County would like each vendor to provide pricing for the small table-top product, a basic mid product and high end product for the low volume segment. Please see Exhibit B (REVISED 3/30/12) at the end of this Addendum.

Q5) On page 8 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 2.d. states:The Contractor shall also include the following required faxing functions on all Multifunction Devices so equipped under any Contract entered into as a result of this RFP: Walk-up faxing functionality (send, receive and group sending) and Fax-to-e-mail. In addition, the supplied fax drivers must allow workstation users, at a minimum, to be able to fax electronic documents via all the Multifunction Device’s included fax modem.

Can the County clarify if it wants all Multifunction Devices to have faxing capability?) The County wants all Multifunction Devices to have faxing as an optional add-on, but not

necessarily as the standard configuration.

Q6) In Exhibit Q, Additional Information Matrix, is the fax board supposed to be standard or an option?

) The fax board is an option, not required, as stated in the revision above. But, the equipment quoted must be fax capable.

Q7) On page 1 of Exhibit B-1, the first add-on option listed is Biometric Authentication. Can the County please clarify what is meant and/or desired by biometric authentication (e.g., fingerprint, retina scan, etc.).

) The biometric authentication feature has been removed from Exhibit B-1. None of the departments in Alameda County currently use biometric authentication. Please see Exhibit B-1 (REVISED 3/30/12) at the end of this Addendum.

Q8) Can the County clarify the thought-process behind the six-year contract term? ) The industry standard for the multifunction devices is 3 years, so the contract term will

be at least 6 years, since the County does not rebid this every 3 years. The County expects to get more competitive pricing for a 6 year contract.

Q9) To clarify, the County is not looking to take a product and depreciate it or lease it for six (6) years. The County is looking to contract with a vendor for six (6) years? Is that correct?

) Yes. The County is seeking a six-year contract with the winning bidder.

Q10) On page 7 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 2.a. references both PeopleSoft and AS/400 as key applications. Can the County provide printing information regarding both the PeopleSoft and AS/400 applications (e.g., is the AS/400 used to print tax bills)? Also, what kind of devices are they currently printing to?

) Property tax bills are printed by the County’s Information Technology Department on special equipment, which is not being bid out at this time. We do not know what

equipment that they are currently using, but this will not affect the winning bids. The County’s PeopleSoft printing information is for purchase orders, accounts payables, accounts receivables or queries. The PeopleSoft application does not use any special print devices.

Q11) On page 8 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 2.c. states:Included in the contracted pricing of any Contract entered into as a result of this RFP, the Contractor shall provide a sufficient number of scanning servers to support all Multifunction Devices installed. Can the County please clarify and provide more detail on its requirement for scanning servers?

) Please see the revised specification on page 2 of this Addendum. The scanning servers in the County scan to a County file server.

Q12) Page 37 of the RFP, Section Q (TERM / TERMINATION / RENEWAL), Item 2 states:The County may terminate the contract at any time without written notice upon a material breach of contract and substandard or unsatisfactory performance by the Contractor. In the event of such termination, the County reserves the right to invite the next highest ranked bidder to enter into a contract or re-bid the project if it is determined to be in its best interest to do so.

Can the County please clarify what is meant by “material breach of contract”?) Material breach is a legal term, and the County uses this legal term under California law. 

You should contact your attorney for further clarification of this legal term.  The County does not provide legal advice to bidders. Also, please note the modification to the TERM/TERMINATION/RENEWAL language on page 2 of the Addendum.

Q13) Can written questions be submitted after the 5:00 p.m. deadline of March 14, 2012?) As stated on page 26 of the RFP, Section I (CALENDAR OF EVENTS), all questions

regarding bid specifications were due by 5:00 p.m. on March 14, 2012.

Q14) Page 6 of the RFP, Section B (SCOPE), third paragraph states:All currently installed units have been analyzed and recommended for replacement based upon the existing volume and future needs of each location. Severe ongoing budget concerns temper the growth potential under this RFP. Prospective Contractors should take special note that it is possible that a shrinkage of 10% of the total number of units (as well as their related volume) could occur each year. Therefore no minimum or maximum shall be guaranteed under this RFP.

Can the County please confirm that the reference to 10% shrinkage is for units prior to installation?

) The shrinkage will be prior to installation most of the time.

Q15) On pages 7-8 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 2.a., is the County requiring the scanning language for the scanning functionality (i.e., word .doc, .docx, .xls, etc.) to be stored in their native format? This may require utilizing a third party software to facilitate.

) The County only requires the .pdf and .tif scanning language.

Q16) Page 9 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 3.b. states:Addition of units: The Contractor, at the device rental cost, as listed in Exhibit B – Bid Form, will offer additional Multifunction Devices. The Contractor must fulfill such additional equipment requests with equipment meeting the specifications of Exhibit Q – Multifunction Device Base Model and Additional Information Matrix within ten (10) business days of receipt of a duly authorized Equipment Addition/Deletion Form (Exhibit R). Adding units will not in any way renew or extend the term of any Contract entered into as a result of this RFP.

Does the County want coterminous add-ons for certain items, and if so, are these limited to the items listed on Exhibit B-1?

) The add-ons would be determined by the client department prior to installation. The add-ons will be limited to the items listed on Exhibit B-1 (REVISED 3/30/12).

Q17) Page 9 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 3.d.(2) states:Through the term of any Contract entered into as a result of this RFP, the County reserves the right modify or upgrade 20% of the fleet.

What does the County mean by modifying up to 20% of the fleet?) This provision allows the County to replace or upgrade up to 20 percent of all the copiers

installed in the County.

Q18) Page 10 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 3.e. references “…cards, peripherals, insurance, lease administration fees…” as consumables. Can the County please clarify what is meant by “insurance” as a consumable?

) Please see the revision to this item on page 3 of the Addendum.

Q19) Page 12 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 3.n.(2) specifies an “on-site technician.” However, Item 3.o.(2) of the same section specifies “four (4) on-call technicians.” Is the County requiring both types?

) The County requires four (4) on-call technicians. Please see the revision to this item on page 3 of the Addendum.

Q20) Page 17 of the RFP, Section D (SPECIFIC REQUIREMENTS), Item 4.d. states:The Contractor shall also provide a plan for scheduling ongoing “Technology Showcases” in high-profile areas in various County buildings to display and promote the latest technology being implemented.

Can the County describe the expectations of the ongoing technology showcases in greater detail?

) The County will not be expecting any technology showcases, only to provide us with literature of the proposed multifunction devices. Please see the revision to this item on page 3 of the Addendum.

Q21) In regards to Exhibit B (Bid Form), the Per Click charge is a monthly charge. Should this be an annual cost?

) Please see the Exhibit B (REVISED 3/30/12) at the end of this Addendum.

Q22) In regards to Exhibit B-1 (Add-On Options) is the pricing a monthly cost per unit or is it an annual cost per unit?

) The per unit cost will be monthly, as stated in the Exhibit B-1 (REVISED 3/30/12) at the end of this Addendum.

Q23) Sales tax, in a number of cities within Alameda County, is charged at different rates, which would create higher costs to the County since the winning vendor will not know in advance if the department wishes to upgrade or downgrade. Is it possible to have the tax charged separately?

) Sales tax will be charged on a separate line.

Q24) To clarify, the County does not want pricing on the following models:

COUNTY OF ALAMEDA, GENERAL SERVICES AGENCY-PURCHASING EXHIBIT A – BID ACKNOWLEDGEMENT

RFP No. 900979, Addendum No. 1 for COUNTYWIDE MULTIFUNCTION DEVICES

The County of Alameda is soliciting bids from qualified vendors to furnish its requirements per the specifications, terms and conditions contained in the above referenced RFP number. This Bid Acknowledgement must be completed, signed by a responsible officer or employee, dated and submitted with the bid response. Obligations assumed by such signature must be fulfilled.1. Preparation of bids: (a) All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and

corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing bid. (b) Quote price as specified in RFP. No alterations or changes or any kind shall be permitted to Exhibit B, Bid Form. Responses that do not comply shall be subject to rejection in total.

2. Failure to bid: If you are not submitting a bid but want to remain on the mailing list and receive future bids, complete, sign and return this Bid Acknowledgement and state the reason you are not bidding.

3. Taxes and freight charges: (a) Unless otherwise required and specified in the RFP, the prices quoted herein do not include Sales, Use or other taxes. (b) No charge for delivery, drayage, express, parcel post packing, cartage, insurance, license fees, permits, costs of bonds, or for any other purpose, except taxes legally payable by County, will be paid by the County unless expressly included and itemized in the bid. (c) Amount paid for transportation of property to the County of Alameda is exempt from Federal Transportation Tax. An exemption certificate is not required where the shipping papers show the consignee as Alameda County, as such papers may be accepted by the carrier as proof of the exempt character of the shipment. (d) Articles sold to the County of Alameda are exempt from certain Federal excise taxes. The County will furnish an exemption certificate.

4. Award: (a) Unless otherwise specified by the bidder or the RFP gives notice of an all-or-none award, the County may accept any item or group of items of any bid. (b) Bids are subject to acceptance at any time within one hundred eighty (180) days of opening, unless otherwise specified in the RFP. (c) A valid, written purchase order mailed, or otherwise furnished, to the successful bidder within the time for acceptance specified results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all respects according to the laws of the State of California.

5. Patent indemnity: Vendors who do business with the County shall hold the County of Alameda, its officers, agents and employees, harmless from liability of an nature or kind, including cost and expenses, for infringement or use of any patent, copyright or other proprietary right, secret process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or purchase order.

6. Samples: Samples of items, when required, shall be furnished free of expense to the County and if not destroyed by test may upon request (made when the sample is furnished), be returned at the bidder’s expense.

7. Rights and remedies of County for default: (a) In the event any item furnished by vendor in the performance of the contract or purchase order should fail to conform to the specifications therefore or to the sample submitted by vendor with its bid, the County may reject the same, and it shall thereupon become the duty of vendor to reclaim and remove the same forthwith, without expense to the County, and immediately to replace all such rejected items with others conforming to such specifications or samples; provided that should vendor fail, neglect or refuse so to do the County shall thereupon have the right purchase in the open market, in lieu thereof, a corresponding quantity of any such items and to deduct from any moneys due or that may there after come due to vendor the difference between the prices named in the contract or purchase order and the actual cost thereof to the County. In the event that vendor fails to make prompt delivery as specified for any item, the same conditions as to the rights of the County to purchase in the open market and to reimbursement set forth above shall apply, except when delivery is delayed by fire, strike, freight embargo, or Act of God or the government. (b)Cost of inspection or deliveries or offers for delivery, which do not meet specifications, will be borne by the vendor. (c) The rights and remedies of the County provided above shall not be exclusive and are in addition to any other rights and remedies provided by law or under the contract.

8. Discounts: (a) Terms of less than ten (10) days for cash discount will considered as net. (b) In connection with any discount offered, time will be computed from date of complete, satisfactory delivery of the supplies, equipment or services specified in the RFP, or from date correct invoices are received by the County at the billing address specified, if the latter date is later than the date of delivery. Payment is deemed to be made, for the purpose of earning the discount, on the date of mailing the County warrant check.

9. California Government Code Section 4552: In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2, commencing with Section 16700, of Part 2 of Division 7 of the Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to the bid. Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder.

10. No guarantee or warranty: The County of Alameda makes no guarantee or warranty as to the condition, completeness or safety of any material or equipment that may be traded in on this order.
