1 CORPORATE OVERVIEW OF SENA KALYAN SANGSTHA Sena Kalyan Sangstha is a self-financing Welfare Trust Organization of Bangladesh Armed Forces approved by the Government dedicated for the welfare of ex-Armed Forces Personnel and their dependents. Beside, it renders remarkable service to the nation by producing quality consumer goods, providing employment to the people of different classes. Because of the indomitable spirit, firm determination, efficient management and sincere efforts by all members and contributes in the national income by depositing a fairly large amount of taxes in the Government treasury. With successive better achievement since its inception, the Sangstha has been marching towards progress and prosperity gradually and steadily. In this “Perfectly Competitive Market” scenario where almost every firm/industry is producing homogeneous products, we are proud to be one of them and are optimistic that the year 2016 will provide us opportunities for doing our best . ORIGIN OF SENA KALYAN SANGSTHA

Sena Kalyan Sangstha (SKS) started its journey as Post War Services Reconstruction

Fund. It is raised out of funds built up during World War-II by the Government contributing

taka two for each Combatant Soldier per month. The money was to be spent on their

rehabilitation in civil life when they would be demobilized after the War. After the Indo-Pak

partition it was renamed as Fauji Foundation. The then East Pakistan’s share amounted to

Tk. 52.22 lac. Out of this amount the Government spent Tk. 3.50 lacs on a building in

Motijheel Commercial Area in Dhaka and sum of Tk. 1.50 lacs was given to Headquarters

14 Division for spending on the rehabilitation of Ex-servicemen. Instead of keeping the

remaining fund in banks and in Government Securities, it was decided to invest the money

in industry, which promised higher returns. Fauji Foundation, East Pakistan made a

modest start in the industrial field in mid sixties. In 1967-68 its industrial investment stood

at Tk. 24.00 lacs and in 1969-70 it grew to Tk. 2.40 crores. In 1971 Fauji Foundation

investment was limited to Fauji Chatkal at Ghorashal, Dhaka, Fauji Flour Mill at

Chittagong, a three storied building on 1.3 bigas of land in Motijheel Commercial Area

where the present Sena Kalyan Bhaban has been constructed and shares in Bangladesh

(Bangladesh) Company Limited.

After the independence of Bangladesh, Fauji Foundation emerged as Sena Kalyan Sangstha (SKS). It was officially renamed as Sena Kalyan Sangstha on 01 July 1972. It is

a trust devoted to the Welfare of released, retired and discharged personnel of Armed Forces and their dependents who are the citizen of the People’s Republic of Bangladesh.

STATUS OF SENA KALYAN SANGSTHA

Sena Kalyan Sangstha (SKS) is an independent legal entity. It is a Charitable Trust

administered by a Board of Trustees, the supreme governing body. It is an entirely self-

supporting welfare organization for the welfare of Ex-servicemen and their dependents,

All expenditures on its diverse welfare activities have always been met with funds

generated by its own industrial and commercial projects income through business

activities.

MISSION

To satisfy customers with superior quality products, services and values, providing an

attractive return to the organization, through sustained and high quality growth for

increased welfare of the beneficiaries.

VISION

To serve the entire community of the retired armed forces personnel by generating

maximum profit through commercial ventures utilizing its resources efficiently and

distributing the profits by a wide range of welfare activities, while focusing on future growth

in a sustainable manner for broader range of welfare. SKS BENEFICIARIES

Who had served in the Indian Army, the Royal Indian Navy, the Royal Indian Air

Force or in the State Forces of any State in India, in any rank and had been retired,

released or discharged from that service or those Forces prior to 14 August 1947;

or

After 1947, Who had served in the Pakistan Army, the Pakistan Navy or the

Pakistan Air Force or any state Forces of any state of Pakistan in any rank and had

been retired, released or discharged from that service or those Forces prior to

16 December 1971; or

After 1971, Who had served in the Bangladesh Army, the Bangladesh Navy or the

Bangladesh Air Force in any rank and had been retired, released or discharged

from that service; or

Who had admitted as Cadets to a School, Academy or Establishment to receive

training prior to being Commissioned as an officer in the Army, Navy or Air Force of

India, Pakistan or Bangladesh and were invalided out of service, on account of

disability attributable to Military service, before they could be Commissioned as

officers.

SCHEME OF ADMINISTRATION

SKS is a "TRUSTEE" organization governed by a rule known as Scheme of Administration

approved by the Government of Bangladesh through Government Gazette Notification on

25 October 1973. There are three tiers of administrations:

INDUSTRIAL UNITS OF SENA KALYAN SANGSTHA MONGLA CEMENT FACTORY, MONGLA, BAGERHAT:

Mongla Cement Factory, the biggest industrial

enterprise of Sena Kalyan Sangstha has been established near Mongla Port in 1994 on an

area of 10.66 acres of land. Project

Investment Tk.105.44 crore with the production capacity of 3,90,000 metric tons of

cement per year. Product Brand is "Elephant Brand Cement" (EBC).

It has gone into commercial production since July 1995. The second Cement Mill was

installed on 25th

January 2003 with the production capacity of 2,10,000 metric tons of

Mongla Cement Factory, Bagerhat cement. Presently 210 persons are working in the

factory and yearly turnover Tk. 295 crore.

Profit earned in 2012-2013 was Tk. 36 crore

FAUJI FLOUR MILLS, CHITTAGONG.

Fauji Flour Mills was established in 1965 by Fauji Foundation on 8. 35 acres of land near Chittagong Cantonment. The production capacity is 50 metric tons per day. It is a reputed Flour Mill in the country due to its quality products. It has been producing best quality Flour, Atta, Shuji and Bran. The brand of products is "Fauji". Presently 45 persons are working in the factory and yearly turnover Tk. 48.70 crore.

Profit earned in 2012-2013 was Tk. 1.55 crore.

DIAMOND FOOD INDUSTRIES, CHITTAGONG. Diamond Food Industries Limited was purchased by SKS from the Government in 1983. It is one of the most modern mills of its time and produces one of finest Flour in the country. The production capacity of the mill is 100 metric tons per day. Its main products are Flour, Atta and Shuji.

The brand of products is "Diamond". Presently 40 persons are working in the factory and yearly turnover Tk. 47.60 crore. Profit earned

Diamond Food Industries, Chittagong in 2012-2013 was Tk. 3.90 crore.

It

Chittagong Flour MIlls was purchased in 19

from Sugar and Food Industries Corporation. has got the production capacity of 80 metric tons

per day. The mill is situated in Nasirabad

Industrial Area, Chittagong. It also produces best

quality Flour, Atta, Shuji and Bran. The brand of products is "Anchor". Presently 40

persons are working in the factory and yearly

turnover Tk. 49.68 crore. Profit earned in 2012-

2013 was Tk. 2.76 crore.

Chittagong Flour Mill, Nasirabad, Chittagong

SK ELECTRIC INDUSTRIES, CHITTAGONG.

The mill is located at Bayzid, Chittagong. The

main products of the mill are Habib Brand Ceiling

Fans and Transformers. The unit has started

assembling single phase Transformer for Rural

Electrification Board (REB) since 1994. Now it

supplies transformer to PDB, DESA and

Barendra Prokalpo.

SENA KALYAN BHABAN, DHAKA. A 21- Storied Commercial Building located at 195, Motijheel Commercial Area, Dhaka on an area of 1.35 Bighas of land. The Foundation stone of the 21-Storied Sena Kalyan Bhaban was laid in April 1982. The construction was completed in August 1990. The total covered space of the building is 3,21,000 sft and the rentable space is 2,13,239 sft. It is a prestigious building for the Sangstha as well as for the country. The building is centrally air conditioned and fitted with lifts, auto- generator facilities and fire fighting equipments. Yearly turnover Tk. 30. 5 crore. Profit earned in

2012-2013 was Tk. 21.48 Crore.

EASTERN HOSIERY MILLS, TONGI.

The factory is located at Tongi Gazipur The

factory produces various types of Socks. The

production capacity of the mill is 180 dozens of

Socks per day. Total project investment is

Tk.5.75 crore.

ENESEL TEXTILE MILLS, CHITTAGONG.

The factory is located at Nasirabad,

Chittagong. Total land area is 2.445 Acres.

Products are Cotton Canvas, Filter Cloth,

Proof Canvas, Durries. Production Capacity

per year is 1,20,000 yrd.

The brand of products is "Enesel". Presently 8 persons are working in the factory and yearly turnover Tk. 1.33 crore. Profit earned in 2012-

2013 was Tk. (0.031) crore.

The brand of products is "Consul". Presently 15

persons are working in the factory and yearly

turnover Tk. 3.76 crore. Profit earned in 2012-

2013 was Tk. 0.09 crore.

AMIN MOHIUDDIN FOUNDATION, DHAKA.

The Amin Mohiuddin Foundation building (Amin Court) is located at 62-63, Motijheel

Commercial Area, Dhaka. The building has been beautifully designed, air-conditioned and

is being nicely maintained. It is a 7-Storied

building with rentable space of 58,773 sft. Yearly turnover Tk. 4.75 crore. Profit earned in

2012-2013 was Tk.3.38 Crore.

Amin Mohiuddin Foundation, Motijheel, Dhaka

SK COMMERCIAL COMPLEX, TONGI, GAZIPUR. It is nine-storied (with basement) Commercial Complex building situated on the Dhaka-Tongi Road near to Tongi Bridge. The project has started functioning as an independent project from 23

December 2001 by renting basement upto 2nd

floor.

The Ground floor is exclusively a shopping area having 111 shops of which 4 being used for SKCC Management Office. At present the complex areas are rented to export oriented garment industries, bank. Yearly turnover Tk. 12.49 crore. Profit earned in 2012-2013 was Tk. 9.17 Crore.

ANANNYA SHOPPING COMPLEX, DOHS,

BARIDHARA, DHAKA. A six- storied

Commercial cum shopping Complex with

basement parking is situated at DOHS,

Baridhara, Dhaka. Yearly turnover Tk. 4.75 crore.

It is a five storied building located in the city centre on the KDA Avenue. It's total land area is 2.5 bighas. One sales and display centre of SKS is located here. The building was originally

designed and constructed for a modern Hotel. SKS is operating the Hotel named as Tiger Garden Int’l Hotel ,Khulna. Yearly turnover Tk. 2.38 crore. Profit earned in 2012-2013 was Tk.

0.68 crore.

DEVELOPMENTS. Real Estate Business in

one of the booming sector in Bangladesh.

Sena Kalyan Sangstha has rightly incepted

the idea to explore the opportunity through

its new Concern “Sena Kalyan Constructions

and Developments (SKCD)” Limited. At present construction of 7 storied building

on 28x plots and 14 storied buildings on 2

plots ( 16 katha & 32 Katha) are in Progress.

Meanwhile 3 x plots are already handed over

to the valued clients. Yearly turnover Tk.

11.63 crore. Profit earned in 2012-2013 was Tk. 1.96 Crore.

SENA KALYAN READY MIX CONCRETE,

MIRPUR. Sena Kalyan Sangstha is in the verge of

commissioning the Ready Mix Concrete Plants at

Mirpur. Setting up of 2 x Batching Plants and

Erection of 2 x Cement Silo completed. Test run is

going on wef 19 Nov 2013 with bulk cement. Trial

operation of 06 x mixture truck is also completed.

SENA KALYAN SANGSTHA TRADING

HOUSE. The Trading House was established mainly to import raw material for its own

industrial units. It has successfully imported pig iron, fertilizers, wheat and industrial raw materials etc. During the year 1994-95 it was one of the highest profit earning units of the Sangstha. Last year turnover was Tk. 6 crore.

Profit earned in 2012-2013 was Tk. 18.08 lac.

COMMERCIAL UNITS OF THE SANGSTHA

SK ELECTRONICS, DHAKA. SKS Management

decided to market Citizen Television, Fridges,

Sainik Bulb / Tube Lights, CFL through this

concern. It is located at Annaya Shopping

Complex Building at Baridhara ,DOHS,Dhaka.

Yearly turnover Tk . 6.25 crore. Profit earned in

2012-2013 was Tk. 7.38 lac.

SENA FILLING AND CNG STATION,

CHITTAGONG. The Sena Filling and CNG

Station commissioned on 8 May 2005 It is

located at 3/D, Sholashahar Industrial Area,

Nasirabad, Chittagong for trading of Diesel, Petrol & Octane and CNG. For CNG filling, there are three dispensers with two nozzles.

Yearly turnover Tk. 25.10 crore. Profit earned in

2012-2013 was Tk. 79 lac.

SKS got permission to operate a General

Insurance Company (Sena Kalyan Insurance Company Ltd) on 04 Jul 2013. It has already started its commercial activities from 1st Oct 2013 with a grand launching ceremony at Radisson Blu Water Garden Hotel. SKICL Head Office is at

Jalalabad Bhaban, Kawran Bazar, Dhaka.The minimum paid-up capital is Tk. 40 crore for this company.

committee and approved by Chairman BOT on 08

Oct 13. Contract Agreement signed on 10 Nov 2013. Approximate project cost will be Tk. 146 crore.

LPG BOTTLING PLANT AT MONGLA BY SKS. For setting up of LPG bottling plant, temporary

license from Ministry of Energy has been achieved.

Trade license & TIN certificate from local authority

has been acquired. Approval from Board of

Investment, Patent Design & Logo from Ministry of

Industries in the process. Clearance from

Department of Environment are under progress.

Other clearances will be obtain subsequently.

Initially it will be of 30,000 MT/year capacity of

plant, which will be increased up to 60,000 MT/year.

Approximate project cost will be Tk 150 crore.

Tender has been floated in the daily News Paper on 24 October 2013 for EPC vendors.

CHITTAGONG. Decided to construct a 20 storied steel structure multipurpose complex at this land. Approximate cost of the project will be Tk. 280 crore.

Architectural drawing completed and submitted to

CDA. NOC for high-rise building is approved by CDA. Construction work has already been started. However EPC contractor (Foreign) will be encouraged to build the structure. Note : Soft Loan is Necessary for this project

CONSTRUCTION OF SENA KALYAN

TWIN TOWER (SAVOY), TEJGAON,

DHAKA (SAVOY). Decided to construct

a 13 Storied Commercial Building cum

Convention Centre on this land.

Approximate cost of the project will be

Tk. 95 crore. Construction work will start

immediately.

CONSTRUCTION OF SENA KALYAN TRADE CENTRE, AGRABAD, CHITTAGONG. SKS is constructing a

Trade Centre at Agrabad, Chittagong named Sena Kalyan Trade Centre (SKTC). Approximate cost of the project will be Tk. 50 crore. The construction

work started on December 2012. 02 x

TAKING OVER OF DHAKA VEGETABLE OIL MILL (DVOIL) FROM SONALI BANK LTD

THROUGH OPEN AUCTION . It was decided to takeover DVOIL from Sonali bank through

lled by Sonali Bank on 22 Aug 2013. SKS won the auction with open auction. Auction was ca

highest offer, SKS will have to pay Tk. 60 crore to Sonali Bank and other Stack

Holders. It is in the process of taking over. After taking over, the plant to be made

operational immediately.

WELFARE ACTIVITIES

General. The main objective of Sena Kalyan Sangstha is to support the beneficiaries in the form of

Educational Stipend to the dependents of Ex- service personnel and providing medical supports to

the Ex-servicemen and their dependents upto 18 years of age. The welfare activities are regulated

by the Welfare Directorate of Sena Kalyan Sangstha. Based on the profit earning of the Sangstha

as well as the requirement of various welfare activities fund is allotted for the welfare budget. Welfare Activities: Sena Kalyan Sangstha extends its welfare activities to the following fields:

1. Educational stipend/grant. 2. Stipend grant for training. 3. Medical Treatment. 4. Distressed Allowance (Dustho Bhata) 5. Veteran Allowances. 6. Old Home Facilities. 7. Dispensary Facilities. 8. Rest House Facilities. 9. Providing of Accommodation to the Extremely Distressed Members of “Retired Armed

Forces Personnel” who were Freedom Fighters in Liberation War. 10. Creation of Special Fund for Institutions supporting “Retired Armed Forces Personnel”

11. Corporate Social Responsibilities (CSR) Educational Stipend: Educational grant/stipend is admissible to eligible students from class six (VI) to post graduate level provided they are studying in a recognized school, college and

university.

Eligibility: Only the under mentioned persons are entitled to receive educational stipend.

1. Ex-Armed Forces Personnel of Bangladesh, Army, Navy and Air Force including

released and retired personnel of British Indian Armed Forces and of Pakistan

Armed Forces and their wives, sons and unmarried daughters.

2. Wives, sons and unmarried daughters of Shaheed/deceased Offrs, JCOs and OR.

3. Only the citizens of Bangladesh are entitled to receive Sangstha’s

educational stipend.

4. Applicant’s or his guardian’s income will not exceed Tk. 2,00,000.00 per annum.

This provision may be changed by the management from time to time.

5. Educational stipends will be awarded to the eligible applicants who obtain 45% or

GPA-2.50 and above marks or GPA in all level.

SENA KALYAN SANGSTHA’S REST HOUSE : Ex-servicemen used to face difficulties for their

with their limited means. In consideration of their short stay at Dhaka, Chittagong and Rajshahi difficulties Sangstha has been maintaining Six Rest Houses for them presently located at Officer

Rest House, Mohammadpur, Dhaka, JCO/OR Rest House, Dhaka Cantt, Dhaka, Officer Rest

House, Chittagong JCO Rest House Chittagong, OR Rest House Chittagong, and Officer/JCO/OR

Rest House, Rajshahi where they get reasonable accommodation at nominal exp.

CORPORATE SOCIAL RESPONSIBILITY (CSR): As per the Scheme of Administration of Sena

Kalyan Sangstha, retired Armed Forces Personnel and their dependents are entitled to get

various welfare from this Sangstha. In addition to this policy Corporate Social Responsibility

(CSR) activities have been introduced. Under this policy the dependents Autistic children of

Armed Forces Personnel and civilian are studying in various schools established in the

Cantonments. Under the Supervision of the Army a Autistic school named PROYASH have been

functioning in the Cantonments.

OPERATING MEDICAL DISPENSARY UNDER BASB. A large number of Retired Armed Forces

Personnel are like in various District in Bangladesh where CMH is not available. For supporting

Retired Personnel medical support Sena Kalyan Sangstha establish 11 Dispensary under BASB;

those are located at Tangil, Jamalpur, Faridpur, Noyakhali, Dinajpur, Pabna, Kushtia, Barishal,

Patuakhali, Sylhet, Khulna.

OLD HOME FOR THE BENEFICIARIES.

Construction of 1st Old Home (out of six) at

Rangpur area is in progress. Foundation Laying by

Area Commander on 10 Sep 2013. Total project cost Tk 7.40 Crore (upto 2 storied with 6 storied

foundation). SKS already handed over Tk 5 crore to Area HQ, Rangpur. MCF is supplying Elephant

brand cement from Mongla at factory rate.

CONCLUSION:

Sena Kalyan Sangstha is one of the largest welfare cum industrial and commercial organization of our

country. It has been working for the welfare of the Ex-Armed Forces Personnel, Shaheeds and their

dependants. SKS is indeed an institution of commendable potentiality and steady growth prospect.

PROPOSED LPG PLANT AT MCF, BAGERHAT

1. SKS intends to install an LPG import, storage, bottling and distribution plant of 30,000 MT/year (minimum) capacities on EPC/turnkey basis. This plant will be installed at

Mongla (2nd

maritime port of Bangladesh), Bagerhat, Bangladesh. The unit should be

robust, durable, energy efficient, user friendly, with all essential equipment, modern facilities, PLC system and equipped with high safety measure.

2. In this connection, Management of SKS intends to engage experienced EPC

Contractor/firm for turnkey execution, including design, supply, construction, installation,

testing, supervision, commissioning, training, performance test and trial run.

3. LPG will be imported from abroad (Middle-East, Qatar, Saudi Arabia, Malaysia,

Indonesia, Hong-Kong etc) by LPG carrying vessels. Unloading system/equipment to be

installed on the existing clinker Jetty or newly constructed jetty.

4. LPG will be transmitted from carrying vessels to two storage tanks, minimum

capacity of each tank 3,500 m³ (total capacity 7,000 m³ or 3,200 MT), through two

pipelines (vapor and liquid phases).

5. Imported LPG will be used as raw materials for filling up four types of bottles (6 kg, 12 kg, 33 kg and 45~50kg) with the facilities of bulk supply and the scope of future

expansion. Present minimum production capacity for standard bottle (12 kg) will be 25

lac/year.

6. After filling, the bottles will be placed to the distribution points for further

transportation and marketing.

7. Three satellite filling stations will be installed in three different locations in future

(NOT INCLUDED IN THE PRESENT SCOPE); as a result, the plant will have the

provisions to cater the satellite stations.

8. In the design and construction of the project, the link up/interconnection between

proposed initial and future expansion plant is taken into the consideration.

9. The following technical criteria will be full filled for the project.

a. Annual Filling Capacity: 30,000 MT (minimum)/year capacity based on 300

days of operation each of 08 hours. Minimum bottling capacity of standard bottle

(12 kg) will be 25 lac/year.

b. LPG Storage Capacity: 2x3, 500 M3 (2x spherical storage tank)/Total

capacity 3,200MT (min).

c. Bottling/Pack/Fill Size: 6kg/cyl, 12kg/cyl ,33 kg and 45~50kg/cyl( Filling line

for 12kg size cylinder will be widely used) with the provision of bulk supply system.

d. Product Composition: Propane (70% to 30%) & Butane (30% to 70%).

e. Mode of Implementation of the Project: Should be Package offer and

Turn-Key basis.

10. Country of origin & Manufacturing Country of the all Equipment and

Accessories : From EEC, Japan, USA, Canada, Switzerland and Australia.

11. Project Cost: Tentative project cost Tk 150 crore excluding land cost.

12. Expected Date of Completion of the Project: December 2015.

MONGLA CEMENT FACTORY, BAGERHAT

1. General. Mongla Cement Factory is one of the biggest industrial unit of Sena Kalyan Sangstha. It is also a cement producing modern factory in Bangladesh. It stands on the bank of the river Pashure near Mongla Port. It has both river & high way communication with other districts of the country. The factory started production at the end of 1994. There are two mills in this factory. The production capacity of these mills are 100 MT per hour. The factory has been producing & marketing cement for last 18 years with it’s goodwill. Elephant

Brand is very much popular to the users for it’s accurate weight, quality & better workability.

2. Technical Specification of the Factory.

a. The Factory has been designed as a modern close circuit ball mill and

dynamic separator. It can produce two type of cement as under:

(i) Portland Cement (CEM I /42.5N, CEM I /52.5N).

(ii) Portland Composite Cement (CEM II/B-M(SVL) 42.5 N).

b. There are two mills. The Grinding Capacity of these mills are described below:

3. Induction of 3rd

Cement Mill at MCF, Bagerhat. With the increased market

demand, SKS Management has decided to establish 3rd

Unit Cement Mill at Mongla. Accordingly, tender was invited on 30 March 2013. After Technical Evaluation & Scrutiny,

SKS has signed Contract Agreement with a capacity, minimum 110 Tph and Flyash project

with CNBM International Engineering Company Limited, China. It is a EPC contract. The

project cost will be (approximate) 18,249,000 USD (Tk. 146 crore). 4. Technical Informations of 3rd Cement Mill. The Core equipments will be from the European Origin and auxiliary equipments from the European Licensee organization in Asia.

Main core equipment like Mill motor, separator, Gearbox, Girth gear, Girth gear pinion,

Torsion shaftl Bucket Elevator and 33 KV gas generated switch gear will be from European

Countries, specially Germany and Italy. Fly-ash project will be consisted of ship un-loader conveying and fly-ash storage system. It will be from Netherland. Flay-ash conveying system will also be a pneumatic one. Fly-ash storage silo will be constructed locally with

storage capacity 2000 MT and conveying capacity will be 150TPH.

5. This project has started from 10 November 2013 and it will be completed by 09 November 2015. With the Introduction of 3rd unit cement mill, yearly turn over of SKS will

increase by approximate Tk. 528 crore and add to the profit by Tk. 80 crore.
