A contract is an agreement between two parties or entities for the exchange of goods, services or
money. A contract administrator makes sure the parties employ due diligence to comply with the terms,
conditions, rights and obligations of the contract. The contract administrator also coordinates any
changes to the agreement that might occur over the course of the contract and performs the closeout
process when both parties have met their obligations.
Contract compliance is a large part of the contract administrator's job. He or she makes sure that all
performance obligations specified in the contract are being met. Monitoring and tracking performance
over the course of the contract usually is accomplished through the use of electronic document
management systems and spreadsheets.
During the course of the contract, changes in the agreement might occur. If there is a change, the
contract must be renegotiated and agreed to by both parties, and the changes must be incorporated
into the contract document. The contract administrator is a key participant in this process. Analysis of
the impact of the change and any liability exposure that the change might cause are two of the issues
that might be addressed by the contract administrator during this process.
When all terms and conditions of the contract have been met, the contract administrator begins the
closeout process. During this process, he or she must follow several steps to ensure a timely and
complete closeout. The contract administrator will review the contract agreement, checking to see
whether all terms and conditions of the agreement have been met and whether all payments due have
been made. The contract administrator also will obtain and execute any forms, reports or clearances
required, resolve any outstanding issues and settle any outstanding debts.
Participates in proposal preparation but reviewing contract terms and risks.
Overall responsibilities include ensuring contract compliance and efficient contract administration.
CONTRACT ADMINISTRATOR, Office of the Vice President for Finance, to analyze, prepare, negotiate,
and administer all types of contractual arrangements that include contract type; unique terms and
conditions applicable to a specific procurement; and MIT, government, and commercial general
provisions. Contract commodities generally include independent contractors, professional services,
consultants, software licenses, and hotels; however, contracts for other commodities may also require
review and negotiation, e.g., architects and engineers, construction, equipment, maintenance, and
catering. Duties include preparing requests for proposal; negotiating terms and conditions; preparing
contracts; and identifying and resolving contract administration problems that arise in interpretation ofterms and conditions, changes in requirements, terminations, disputes, etc. Will also support other
functions of the unit during peak periods and absences.
Zynga is looking for a dynamic Contract Administrator for its rapidly growing legal department. This
position will report to the Deputy General Counsel and will be responsible for supporting all contract
administration functions of the corporate/contracts legal team. This position will interact with various

groups across the company, including corporate development, business development, studios, finance
and HR.
Responsibilities:
Support the corporate legal team with their daily tasks and responsibilities
Assist with proposals for new contracts, contract review, analysis, revision, negotiation and completion
Assist with multi-phase development, implementation and ongoing improvement of contract
management systems
Administer contracts over their life cycle, including ownership of contract reporting functions and key
deadlines and actions follow up
Monitor contract compliance and provide recommendations for improvements as appropriate
Assist with continuing education about and socialization of best contract practices with business
partners throughout Zynga
Support the implementation of the legal departments strategic plan for management and growth of
form contracts
Support attorneys and legal staff with contract related information requests
