  • To Our Shareholders

    Dear Shareholders,

    First of all, I wish to express my heart-felt gratitude to all of our shareholders for your long and unfailing support and encouragement.

    The global financial crisis continued to seriously impacted the world economy. LSC’s excellent record of uninterrupted profit since 1992, was now broken in 2009. But, at the end of 2009 we were still ranked in the top three positions among suppliers of discrete components in Taiwan, among makers of mobile phones and CMOS camera modules in Taiwan, and among image sensor manufacturers in the whole world.

    ( I ) Business Report 2009

    1. Implementation of Operation Plan of 2009

    We achieved an audited total sales of NT$7.65 billion in 2009, of this amount, income from semiconductor and related products contributed 56%, dropped by 26% while income from imaging and related products contributed 44% and dropped by 37% compared to the same period in the previous year. In 2009, LSC’s quarterly sales improved along with the recovery of the economy, our profit after tax turned profitable since the 3rd quarter. However, due to a rapid overall decrease in orders, lowered capacity utilization rate and finally a drop of sales price in certain products, After-tax net earnings was a loss of NTD377 million, which comes to a loss of NTD0.85 per share in 2009.

    2. Research and Development

    Putting new products on the market has been a vital means to increase Liteon-Semi's sales year after year, as well as the primary motive power behind Liteon-Semi's push toward greater profitability. In 2009, we spent a total of NT$189million on R&D work, which is 2.5% of the company's revenues. In the same year, Liteon-Semi applied for 10 patents and received approval for 5 patents, with 108 still under application.

    ( II ) Outline of 2010 Operation Plan

    1. Principles of Operations

    Although the world economy is gradually recovering from the financial crisis, the whole electronic industry still faces challenges such as labor shortage, inventory reduction, lower than expected economy recovery, the enormous capital expenditures investment which might lead to oversupply etc. However, we are still confident that LSC will recover at a moderate pace, and our sales and profit will improve on a quarterly basis as well. We will abide to the following principles when we develop new products or expand our existing product capacity this year : 1. We have a good control over the key components, 2. we are able to build up quality, technology or price barrier to block competition, 3. ability to produce flexibly. We expect to expand our higher profit margin product sales this year, we will continued our strategy to focus our resources in developing or expanding products with either a good return or a bright prospect. We will also withdraw from non profitable products or products with less competitive edge, this long term strategy will inevitably impact the short term sales, but we are confident that it will improve our long term profit and competitive edge.

  • 2. Outlook and Target of 2010 Operations

    Although our discrete division faced a sharp decreased in orders, we also saw an opportunity arising as industry players balancing the market demand / supply through product focusing. LSC expanded the power management discrete capacity and we also increased our automatic equipment in a large scale, we are confident that discrete orders will be pushed and pulled by supply adjustment and as economy recovery, and we expect our sales to outperform the average industry growth. We also successfully developed a new Analog IC and started shipment in last April, we expect to ship IC applied in LED TV and power supply for handset in 2nd half this year, and we target to be certified and gained orders by 1st tier level customers. LSC will continue to produce newly designed devices in, and move back formerly farmed-out production to our own foundry facilities to raise utilization rate and to reduce losses. Our Imaging related products experienced serious losses last year, besides an effort to improve our shortcomings, we are also redrawing from the loss making CMOS Camera Module business to help improve profit. Through resources conformity, we have successfully developed the optical touch module which passed Microsoft Win 7 certification early this year, we expect to mass produce in the later half this year. We target to become a top notch optical touch module supplier to 1st tier AIO PCs.

    ( III) Strategies for the future LSC will continue to develop new product lines in depth and in breadth, expand our products applications in different arena, we have long term plans for product development and will ensure our patent rights at the same time. We hope to drive both our sales and profit growth to maximize our value to our shareholders, customers and employees through escalating our core competency. (IV) Competition, Legal/Regulatory Environment, Economic Environment and

    their impact on our Business

    2010 is still a very challenging year despite the economy recovery, we therefore hope to grow our business in a stable manner, maintain our flexibility when we invest in new technology or expand capacity etc. We will closely watch changes within our product line related industry and try to use our quality, technology and price strategy to build competitive edge. We target to lower our company debt and obtain the best possible interest rate. We built strategic alliance with our customers to counter the raw materials and exchange rate risks. Since the US and European market recovery are slower than expectation, LSC tries to develop more customers from the emerging market to drive sales.

    April 12th, 1990 2. Milestones in the History of Liteon Semiconductor Corporation: 1990

    Lite-on Semiconductor Corporation was founded. Capitalization: NT$198,820,000 inclusive of NT$29,820,000 of technology capital.

    1992 ~1995 having been approved by the Securities Exchange Commission, the Liteon Semiconductor Corp.

    became a publicly issued company. Industrial Development Bureau, Ministry of Economic Affairs, awarded us a grant of NT$11,500,000

    from the Key Product Development Fund to develop color CCD along with an interest-free loan of NT$11,500,000.

    The company completed ISO-9002 certification. We acquired property for use as office and plant at this address: 8th and 9th Floors, Building A, Far

    East Industrial City, Paochiao Road, Hsintien, Taipei Industrial Development Bureau, Ministry of Economic Affairs, awarded us a grant of NT$15,000,000

    to develop 300 dpi color CIS and an interest-free loan of NT$15,300,000. We plowed back profits to increase company capital to NT$347,680,000. Our stocks became OTC listed. Our subsidiary, Dyna Image Corporation Philippines was established in the Philippines

    1996~1999 Our company was ISO-9001 certified. Industrial Development Bureau, Ministry of Economic Affairs, awarded us the 5th Excellent Awards

    of Industrial Technology Development for Industry Prize. Industrial Development Bureau, Ministry of Economic Affairs, awarded us a grant of NT$19,000,000

    to develop color area array sensor and an interest- free loan of NT$19,000,000. Profit surplus, Bonus to employees and Capital surplus were plowed back to increase company

    capitalization to NT$1,094,370,000.

    2000 ~2003 Merge with Liteon Power Semiconductor. A subsidiary, Lite-On Semiconductor (Wuxi) Co., Ltd., was established Profit surplus and bonus were plowed back to increase company capitalization to

    NT$3,143,280,000.

    2004 Profit surplus and bonus were plowed back to increase company capitalization to

    NT$3,384,900,000. Our subsidiary, Liteon Microelectronics Wuxi was established. Our subsidiary, On Bright Electronics (Shanghai) was established. Our subsidiary, Lite-On Semiconductor (Korea) Corp., was established. Our stocks transferred to trade on the main board on July 19th.

    2005 Acquired Antek Semiconductor Corp. and capital totaled to NT$3,829,340,000 Profit surplus, Bonus to employees and Capital surplus were plowed back to increase company

    capitalization to NT$4,068,640,000.

    2006 ~2008 Profit surplus, Bonus to employees were plowed back to increase company capitalization to

    NT$4,523,046,000.

    2009 Write off buy back shares, reduce company capitalization to NT$4,473,980,000.

    Division Major Functions

    President Following the decisions made at the Shareholders Conference and meetings of the Board of Directors, and Instructions of the Chairman of the Board, the President takes charge of all business operations.

    Internal Auditing

    Examine & and protect company properties/ check accounting and operational information and data are accurate and complete/ensure all resources utilization is efficient/Ensure internal auditing and control is effective and to make correction suggestions.

    Finance Department

    Makes plans to acquire short- medium- and long-term funds, and control their use. / compile, analyze, follow up and audit financial reports and tables./ acquires, installs all IT software and hardware and takes charge of their maintenance / plans and manage the internet communications/ implements the plan to computerize and digitalize operations of the company world-wide and matters related to stock equity.

    Materials and Supplies Division (procurement, production management, import/export, customs bond and storage)

    Quality Assurance Division

    This Division compiles and produces a Quality Assurance Manual, then formulates the company’s quality control policy and causes it to be implemented during the procurement, and manufacturing processes through specific reliability assurance and shipment control programs.

    Implementation of the quality control policy should be carried out in line with the company’s quality target. The Division should coordinate concerned divisions and departments to solve any quality assurance problems.

    Manufacture Process Division

    Designs & improves manufacturing processes / designs and makes tools for the manufacturing process/ designs and makes prototypes of new products and set specifications for them/ works out and develops the specifications for materials and components.

    Research and Development Division

    Integrates the manufacturing processes of semi-conductor IC/ designs semi-conductor IC wafers/ designs and plans prototypes of new products/ assists the Quality Assurance Division deal with customer complaints by analyze the cause of these complaints.

    We examined and assessed carefully the condition and operation of our internal control system in year 2009 nd

    wish to make the following statement based on these assessments:

    1. Liteon Semiconductor Corporation realizes fully that our Board of Directors and management are duty-bound to

    establish, operate and maintain an internal control system. We have established such a system whose purpose

    is to ensure that our operations achieve a desired level of efficiency (in terms of profit earned, goals reached and

    security ensured), that our financial affairs are safely managed and accurately reported, and that public laws and

    regulations are faithfully observed.

    2. No internal control system can be perfect, no matter how well it has been designed. Even the most effective

    system can only make it reasonably sure that the above purpose is achieved. As circumstances and

    environment in and outside the company change, the effectiveness of internal controls may evolve

    correspondingly. To maximize its effectiveness, we have incorporated in our internal control system a

    self-supervisory mechanism which, when triggered by the discovery of an error, an inaccuracy or misdeed,

    touches off corrective actions designed into the system.

    3. Our company follows the “Guidelines for Setting up an Internal Control System by a Listed Company” as the

    criteria to determine the effectiveness of the system. These criteria include five essential elements, namely,

    1/.environment control, 2/.risk assessment, 3/. control procedures, 4/. information and communication, and 5/.

    supervision. Each element, in turn, includes many factors to be found in the Guidelines.

    4. Our company has adopted and is making use of these internal control system criteria to examine, evaluate and

    assess the effectiveness of the design of the system and the ways and methods of putting these controls into

    effect.

    5. After making extensive observations and assessments in December 31st, 2009, in our own and subsidiary

    companies, to ascertain, among other things, the efficiency of operations, accuracy of financial reports,

    consistency of law-abiding behavior of the employees, we have found that our internal control system is indeed

    well designed and effectively used, so that its original purpose has been adequately served.

    6. This statement will constitute an important part of our Annual Report as well as a salient point to be made in our

    PR documents. It will, of course, be made public. Any trace of falsehood, malicious concealment and legal

    irregularities found in this statement constitutes a violation of articles 20, 32, 171 and 174 of the Securities Trade

    Act.
