CHAPTER-I

TENDER LETTER

Dear Sir,

The complete set of tender papers for the contract for “Conservancy & Horticulture” for CONCOR (Container Corporation of India Ltd.), ICD/KANPUR is enclosed. Please note that this set of tender documents comprising of the following contents is not transferable under any circumstances:

You are advised to go through the tender document carefully and understand various provisions

contained therein along with their implications. You are required to submit your offer in two

separatesealed envelopes . The first sealed envelope should contain all the documents listed in the

chapter 2 on „Instructions for submission of tenders‟. Please ensure that all the documents listed in

this chapter are complete in all respects. They should also be countersigned by you on each page,

except in the case of demand drafts. This envelope should be clearly superscribed as “Pre-Qualification

Bid”.

The second sealed envelope should contain only the Schedule of Rates (Annexure III) completely filled

by you as mentioned in para 4 of the Chapter 2 on Instructions for submission of tenders. Please ensure

that you or your authorized representative signs each page of the Schedule of Rates before submitting it.

This envelope should be clearly superscribed as “Financial Bid”.

Both the sealed envelopes should again be sealed in one envelope and duly super scribed as “Tender for Conservancy & Horticulture” for CONCOR‟s, ICD/KANPUR. This envelope duly sealed in cover as described above, should be deposited in the sealed box kept for this purpose in the office of the Executive Director, North Central region,CONTAINER CORPORATION OF INDIA LIMIED, 6

The envelopes containing the “pre -Qualification Bids” only be opened at 15:30 hrs on 12.04.2016.These Pre-Qualification Bids will be evaluated as per criteria laid by CONCOR to determine the suitabilityofall tenderers. The envelopes containing the “Financial Bids” of such tenderers who qualify after consideration of the “Pre-Qualification Bids” will be opened on a subsequent date and time to be notified to the suitable tenderers. Any offer received after due date & time of submission will be summarily rejected.

CONCOR reserves the right to Accept or reject any or all the Pre -Qualification Bids in part or in full without assigning any reasons.

Accept or reject any or all the Financial Bids in part or in full irrespective of their being the lowest without assigning any reasons.

CONCOR also reserves the right to award the contract for Conservanc y &

Horticulture to different bidders in case CONCOR cannot find a single party to do all the jobs. However it would prefer the same contractor to do all the works specified in

the tender document. CONCOR reserves the right to relax the tender conditions at any stage if considered

necessary for the purpose of finalizing the contract in the over all interest on

CONCOR. CONCOR reserves the right to negotiate with the lowest tenderer as regards the rates,

terms and conditions of the tender.

CONCOR reserves the right to disqualify the tenderers blacklis ted by State/Central Govt. undertakings/P ublic Sector Units or whose contracts have been terminated on account of poor performance.

You are requested to peruse the tender document carefully so as to avoid rejection of the tender for

noncompliance with the necessary instructions or with Terms and Conditions.

You are requested to ensure that the tender document, including the Pre-Qualification Bid and

the Financial Bid are submitted after full consideration and understanding of the work envisaged under

this contract as defined subsequently.

CHAPTER - II

INSTRUCTIONS FOR SUBMISSION OF TENDER

1. PREAMBLE

The work tendered for includes Conservancy & Horticulture of ICD/KANPUR as directed by

Terminal Manager, under the overall supervision of Executive Director, Northern Central Region,

Noida which is under the management of Container Corporation of India Ltd., with Corporate Office at

C-3, Mathura Road, Opp. Apollo Hospital, New Delhi The details of the work required to be done are

described in „Scope of Work‟ in Chapter- 3.

2. Eligibility Condition The bidder should submit the following documents in support of their qualification:

a) Copies of PF and ESIC Registration numbers.

b) Copy of partnership deed with copy of Registration certificate if te nderer is a partnership

firm, memorandum and articles of association along with copy of incorporation certificate

in case of company, in case of sole proprietor, an affidavit may be submitted.

c) The Audited/CA Certified profit and loss account and Balance sheet for the last three financial

years i.e2012-13, 2013-14 & 2014-15 wherein the average annual turnover of the company

shouldbe at least Rs.8.9 Lakhsduring the last three financial years.

d) Proof of executing a single contract/work of conservancy, horticulture work amounting to

Rs.26.60 Lakhsor multiple works/contracts totaling to Rs.40Lakhs during the previous

36months prior to the date of tender opening with CONCOR /Govt./Semi Govt./PSU/CFS

or any reputed company.

e) Copy of service tax registration certificate or an undertaking for s ubmission of the same

within a period not exceeding three months from the date of award of contract in case the

contract is awarded.

f) The Bidder should have compulsory PAN No.

3. TENDER DOCUMENT

The Tender Document will consist of all documents listed in the table of Contents on page no.4.

These must be submitted together in the manner indicated below, failing which the tender is liable to

be rejected. Incomplete or conditional tender is also liable to be rejected.

All communication/clarifications on the bids/documents sought & received should be in writing only.

4. SUBMISSION OF TENDERS - TIME LIMIT/MODE

4.1.1 The tender documents duly completed should be submitted in two separate parts. The first part should be sealed in a separate envelope and superscribed as “Prequalification Bid for Contractfor Conservancy & Horticulture for CONCOR‟s ICD/KANPUR”.This should contain all the information including details of present business and financial standing which

would enable CONCOR to decide on credentials of the tenderers for performing/doing the job besides earnest money (para 3 of Chapter - 3) and other documents listed below in para 4.1.2and elsewhere in this chapter. The second part will consist of the “Financial Bid for Contractfor Conservancy & Horticulture for CONCOR‟s ICD/KANPUR” and should be superscribed on the second envelope as such. Both the envelopes should be sealed in one envelope and duly superscribed as "Contractfor Conservancy & Horticulture for CONCOR‟s ICD/KANPUR” and addressed to Executive Director, North Central region,CONTAINER CORPORATION OF INDIA LIMIED, 6

4.1.2 The following documents must be submitted in the pre-qualification bid:

a) Letter of Submission of Tender.

b) Crossed Demand Draft of Rs.80,000/- (Rupees Eighty Thousand only) towards Earnest

Money Deposit (If not exempted).

c) Documents indicating ongoing contracts in hand, or contracts performed of requisite

value as per Para 2 of chapter - 2.

d) The Balance Sheet and Profit & Loss account of the company for the last three

financial years i.e2012-13, 2013-14 & 2014-15.

e) Papers indicating constitution of the firm/s and the Power/s of Attorney, if required.

f) This tender document with all pages intact except SOR (Annexure III) duly signed and

embossed with official seal. The tender documents must be properly numbered.

g) Original or duly attested copies of PF and ESI registration no.

h) Original or duly attested copy of Service Tax registration & copy of PAN no.

4.2 The following document shall be submitted in the financial bid: The schedule of rates given at Annexure-„III‟ duly filled in & signed by the Tenderer.

The tenders duly completed as described in para above must reach the designated office of Executive Director, North Central region,CONTAINER CORPORATION OF INDIA LIMIED, 6

th Floor, IWAI Building, A-13, Sector-1, Noida-201301 (U.P.)up to 15:00 hrs.

on12.04.2016positively.

4.3 Any tender delivered or sent otherwise will be at the risk of tenderers. In case the date of

opening is declared holiday, the tender will be received and opened on the next working day at the same place and venue.

4.4 The tenders will be opened at CONCOR‟s office, located at the above address at 15:30 hrs.on 12.04.2016. Only the envelope containing the pre-qualification bids will be opened on

the due date.

4.5 Sealed tenders shall be submitted either by registered post with acknowledgement due or in person. Tenders by Telegram will not be considered. The Executive Director/NCR, CONCOR, reserves the rights to extend the date of submission and opening of tender.

4.6 All rates shall be quoted only on the proper form (Annexure-III) of the Schedule of Rates and each page of this schedule shall be signed in full by the tenderer or his authorised signatory as described in sub paras above.

4.7 The schedule of rates should be filled in carefully after considering all the aspects of workas described in the Chapter-3on “Scope of Work” and “Terms & Conditions”. No request for change or variation in rates or terms and conditions of the contract shall be entertained on the grounds that the tenderer had not understood the work envisaged by this Contract for Conservancy&Horticulture of CONCOR‟s ICD/KANPUR, labour and local laws Any overwriting in the Schedule of Rates should be avoided. In case of a mistake, the mistake should be clearly cut and the correction should be signed in full by the tenderer or his authorised signatory. The total number of cutting on each page must be mentioned on the bottom of each page.

4.8 The tenderer will have to submit an analysis of rates if called upon to do so by CONCOR.

Tender EvaluationCommittee of CONCOR may ask for clarification from bidders.

4.9 CONCOR reserves the right to retender or modify the terms and condition of the tender. It

also reserves the right to negotiate the rates with the lowest tenderer, i.e L-1. Tenderer shall not increase his/their quoted rates in case the CONCOR administration negotiates for reduction of rates, such negotiation shall not amount to cancellation or withdrawal of the original offer and the rates, quoted will be binding on the tenderers.

4.10 Any variation, addition and/or omissions in the items of work to be actually carried-out shall

not form a basis of any dispute regarding the rates quoted by the tenderer in the tender. The rate quoted by the tenderer shall be applicable irrespective of the volume of work.

4.11 The rates for all categories in the schedule of rates must be quoted in both words and figures. If there is variation between the rates quoted in “figures” and in “words” only the rates quoted in words shall be taken to be as correct and valid. If more than one or improper rate is tendered, the tender is liable to be rejected summarily and will not be considered.

4.12 Each and every page of tender document &supporting document attached with the tender

should be signed by the intendingtenderer and embossed with the official seal at the time of

submission. 4.13 Tenders containing erasures, omissions or alterations are liable to berejected. If any corrections

become necessary these must be made in ink and all such corrections must be attested by full signature of the tenderer and dated.

5 PREVIOUS EXPERIENCE OF TENDERERS

The tenderer should enclose documents/ certificates/ award letter of contracts in proof, to the satisfaction of CONCOR, of his previous experience in the work of Conservancy & Horticulture for anyCentral/State Govt& Public Sector undertaking or reputed private agencies valuing

single work forRs. 26.60lakhsor multiple works amountingRs.40lakhsduring preceding 36 months

prior to tender opening date.The experience should be in the samename/firm/composition in which it is applying for this contract Tenders, which are not supported by satisfactory credentials, will not be considered. 6 FINANCIAL CREDIBILITY OF FIRM

The tenderer should have achieved a minimum turnover of Rs.8.9lakhs p.a. in the preceding three financial years i.eFY 2012-13, 2013-14 & 2014-15.For satisfactorily establishing the requirement, the financial statements like P&L A/c and Balance Sheet for the last three financial years duly certified by a Chartered Accountant should be submitted.

7 CONSTITUTION OF THE FIRM

7.1 The tenderers who are the constituents of a Firm, Company, Association/or Society must

enclose attested copies of the constitution of their Firm/Company/Association or Society,

power of attorney, Registration under shops & establishment act and/or partnership deed.

Cooperative societies must submit an attested copy of the certificate of registration along with

the documents mentioned earlier.

8 STUDY OF LOCAL CONDITIONS

The tenderer is advised in his own interest to visit the work site‟s and acquaint himself with all local conditions, nature of work etc.

9 VALIDITY OF OFFER

The tenderer will be required to keep the offer open for a period of 120 (one hundred twenty) days from the last date of submission of tenders. It shall be understood that the tender documents have been sold/issued to the tenderer and the tenderer is permitted to tender in consideration of the stipulation that after submitting his tender, he will not rescind from his offer or modify the terms and conditions thereof in any manner that is not acceptable to CONCOR. If the tenderer fails to observe or comply with the said stipulation, the amount of earnest money shall be liable to be forfeited by CONCOR.

10. ACCEPTANCE OF TENDER

a) The authority for acceptance of the tender documents and tendered rates will rest with the

Competent Authority of Container Corporation of India Ltd., who does not bind himself to

accept the lowest or any other tender, nor does he undertake to assign reasons for his decision in

this matter.

b) Acceptance of tendered rates will be communicated by cable/ Telex/ Telegram/ Express Letter

or Formal Acceptance of tender. In case where acceptance is indicated by

Cable/Telex/Telegram or Express Letter, the Formal Acceptance of tender will be forwarded to

the contractor as soon as possible, but the Cable/Telex/Telegram or Express Letter should be

deemed to conclude the contract.

c) The tender documents in which tender is submitted by a tenderer shall become the property of

CONCOR and CONCOR shall have no obligation to return the same to the tenderers.

d) Canvassing in connection with tenders is strictly prohibited and the tender submitted by the

tenderer who resorts to canvassing will be liable for rejection.

e) On acceptance of the tender, the name of accredited representative(s) of the tenderer who

would be responsible for taking instructions from CONCOR shall be communicated to

CONCOR within seven working days.

f) If tenderer deliberately gives wrong information or conceals any information/facts in his

tender,which shall be favourable for acceptance of his tender fraudulently, then CONCOR

reserves the right to reject such tender at any stage of execution without any financial liability.

11. EXECUTION OF CONTRACT DOCUMENT

The tenderer whose tender is accepted shall be required to appear at the office of the Executive Director, Northern Central Region, Container Corporation of India Ltd. Noida in

person or, if the tenderer is a Firm, Company or a Corporation, a duly authorised representative shall so appear and execute the contract documents within Fifteen days of the date of issue of communication from the CONCOR‟s office and start the work within time limit specified by CONCOR. Failure to do so shall constitute a breach of the contract concluded by the acceptance of the tender. The tenderer shall treat the contents of the tender documents as private and confidential.

12. POSTAL ADDRESS FOR COMMUNICATION

Every tenderer shall state in the tender his postal address fully and clearly. Any

communication sent to the tenderer by post at his said address shall be deemed to have

reached the tenderer in time.

CHAPTER – III

GENERAL AND SPECIAL TERMS & CONDITIONS OF CONTRACT

Tender document for SERVICES PERTAINING TO CONSERVANCY & HORTICULTURE

AT INLAND CONTAINER DEPOT KANPUR, UTTAR PRADESH

1. PREAMBLE

Container Corporation of India Ltd. (hereinafter referred to as CONCOR) is operating a number of Container Terminals at different locations. The main activities of these terminals are to receive inward cargo in containers from other Terminals as well as to dispatch outward cargo in Containers to various destinations in India by Rail/Road. These cargo are stuffed/de-stuffed in containers either at the terminal itself or at consignee‟s/consignor‟s premises. All the major Shipping Lines/Transporters/Freight Forwarders are operating from these Terminals.

2. BONAFIDE OFFER: The tenderer shall be a bonafide contractor, which shall mean an entity having documents: 2.1 Copy of Documents showing Proof of Employment i.e. the tenderer shall have PF & ESI

registration nos. 2.2 Copy of partnership deed with copy of registration certificate if tenderer is a partnership firm,

Memorandum and articles of association along with copy of incorporation certificate in case of company or in case of sole proprietor, an affidavit may be enclosed.

2.3 The Audited/CA certified Profit and Loss Account and balance sheet, for the last three financial years (2012-13, 2013-14 & 2014-15) wherein the average annual Turnover of the company should be at least Rs. 8.9 Lakhs.

2.4 Experience of Estate maintenance/ conservancy & horticulture of value Rs. 26.60

Lakhsunder single contract during previous 36 months prior to tender opening or multiple contracts totaling toRs. 40 Lakhsduring the previous 36 months prior to the date of tender opening.

2.5 Compulsory PAN No. 2.6 Service tax registration number and copy of service tax registration certificate.

3. EARNEST MONEY

3.1 All the Tenderers are required to deposit a sum of Rs.80,000/- (Rupees Eighty Thousand

only) as earnest money along with completed tender documents (if not exempted). The earnest money is towards an undertaking by the tenderer that he will not rescind from his offer or modify the terms and conditions thereof in a manner not acceptable to CONCOR. Should the tenderer fail to observe or comply with the said stipulation, the entire amount shall be liable to be forfeited by CONCOR.

3.2 The deposit as referred to under Para 3.1 above shall be in the form of pay orders or demand drafts made out in favour of “Container Corporation of India Limited” payable at Noidaand valid for a minimum period of three months after the date of issue.

3.3 Subject to the condition stipulated in Para 3.1 above, the earnest money of the unsuccessful Tenderers will be returned as soon as possible after tenders have been finalized. Earnest

money of the successful tenderer will be returned after submission of performance guarantee and signing of Agreement.

4. PERFORMANCE SECURITY DEPOSIT

4.1 a) The successful Tenderer whose tender is finally accepted must deposit as performance

guarantee for successful performance under the contract, an amount equivalent Rs. 1,11,000/- (Rs. One Lakh Eleven Thousand Only) by way of Demand Draft or irrevocable Bank Guarantee in favour of “Container Corporation of India Ltd, valid for the entire contract period plus four months in the prescribed format attached as Annexure- IV. Performance Guarantee shall be released after satisfactory completion of the work and maintenance period is over.

b) Wherever the contracts are rescinded, the Performance Guarantee will be encashed and the balance work will got done separately,

c) The balance work will be done independently without risk and cost of the orig inal contractor.

d) The original contractor shall be debarred from participating in the tender for executing the balance work. If the failed contractor is JV or a partnership firm, then every member/partner of such a firm would be debarred from participating in the tender for the balance work either in his/her individual capacity or as a partner of any other JV/Partnership firm.

4.2 CONCOR shall be entitled to appropriate the whole or any part of the security deposit/performance security deposit in the circumstances hereinafter provided without prejudice to any other remedy or right. CONCOR shall be entitled to adjust/ recover any loss and/or damage that CONCOR may suffer or sustain by reason of the failure of the contractor to observe and in performance of the terms and conditions of this contract from the amount of security deposit/performance security deposit, and in the event of any balance remaining due to CONCOR, the contractor shall forthwith pay the same. In the event of any such deduction being made from the security deposit/performance security deposit, the contractor shall at once make good the deficiency in the amount of the security deposit/ performance security deposit within fifteen days of the date of demand to this effect, failing which CONCOR shall deduct the same from the amounts due to the contractor.

4.3 The security deposit referred to above shall be forfeited by CONCOR in the event of any breach on the part of the contractor of any of the terms and conditions of this contract, without prejudice to CONCOR‟s right to rescind the contract and other rights and remedies warranted by law.

4.4 (a) The Security Deposit shall, subject to any deduction that may be made there from, be returned to contractor after 2 calendar months after completion of the contract and on issuance of “NO DUES CERTIFICATE” by the Terminal Incharge/ICD/ KANPUR. However, even if there is any delay the Tenderer will not be entitled to any interest.

(b) No interest will be payable on Security Deposit. 4.5 Executive Director/North Central Region may, at his discretion, increase the amount of

Security Deposit proportionately to the increase in the volume of work, but not exceeding 50% of original Security Deposit.

5. PAYMENTS

5.1 For doing the work indicated in Section-IV “Scope of Work” the tenderer will be paid

according to the finally accepted „Schedule of Rates‟. The payment will be made on monthly billing basis.

5.2 The payment under various items of the schedule of rate will be due only on completion of the respective services and on submission of bills along with attendance register, wage register, proof of statutory payment made such as PF and ESI etc.

5.3 The rates given in the Schedule of Rates will be binding on both the parties and no change in the rates will be permissible during currency of the contract except Rate Revision as per clause 6 of this chapter. It is expressly understood that the tenderer has considered every possible fluctuation in the rates of material and general conditions and other possibilities of each and every kind before quoting the rates. No claims on this account shall be entertained. TDS shall be deducted from bills as applicable.

5.4 Subject to any deductions which CONCOR will be authorized to make under the terms of contract that may be applicable while accepting the tender, the contractor shall be entitled for payment as under:

“The contractor shall prepare and submit bills to CONCOR‟s official in-charge. Payment of amount claimed will be arranged after necessary checks of the correctness of claim, deducting all charges due including taxes applicable, at the prescribed rate. The aforesaid payment of the bill will ordinarily be made within 15 days of submission. The delay, however shall neither entitle the contractor to claim interest nor stop discharge of the contract.

5.5 A claim for services rendered under this contract shall be made by the contractor to

CONCOR within three months of such service. If he does not prefer claim within the said period, he shall be deemed to have waived his right in respect thereof and shall not be entitled to any payment on account thereof. Nevertheless Executive Director/North Central region on written request of the party can waive off this limitation and allow late submission of bills if the reasons for delay are found convincing and reasonable.

5.6 No claim in respect of under-payment to the contractor shall be considered valid or shall be

entertained unless a claim in writing is made therefore within three months from the date on which payment of the original claim thereto was made. Any claim for such under-payment not received within the stipulated three months period shall be liable to be summarily rejected by CONCOR. Nevertheless, on written request of the party Executive Director/North Central region can waive off this limitation and allow late submission of any claim for such under payment not received within the stipulated three months period.

5.7 Payment will be made on monthly basis. Payment shall be made through cheque/ RTGs (the

contractor should submit the bank details for receiving the payment) in the name of Contractor No request in the change of name will be considered.

5.8 CONCOR will have the right to recover any over payment which might have been made to

the contractor by CONCOR through inadvertence error, etc or any cause whatsoever the amount would be recovered from the bills or from the security deposit or any other amounts due to him. In the event of any such recoveries/adjustments being made from the security deposit, the contractor shall at once make good deficiency in the amount of the security deposit within 15 days of payment to this effect, failing which CONCOR will be at liberty to deduct the said amount from the future bills.

6. RATE REVISION CLAUSE 6.1 The contracted rates shall remain operative throughout the contract period except for

variation in minimum wages notified by Central Govt.. The staff is to be taken under the unskilled/semi skilled workers category. CONCOR on contractor‟s request will increase or decrease at six monthly frequency @ 0.3% for every 1% increase or decrease in minimum

wages of unskilled wages due to any government notification etc. duly supported by documentary evidence.

6.2 First rate revision would be done only after (6) six months of commencement of contract,

w.e.f. 1st of the month following completion of (6) six months of commencement of contract. Subsequent rate revisions would be after six months interval thereafter. For instance, if a contract commences for a period of two (2) years on, say, 16th April 2015, there will be threerate revisions due during (2) two years period. 1st rate revision would be due w.e.f. 1st Nov, 2016, 2nd w.e.f. 1st May 2017 and 3rd w.e.f. 1st Nov, 2017.

The rate revision would be regulated by the following formula:

For 1st rate revision % increase in contract rates = (P1– PB) / PB x 100 x 30/100 where P1 = Minimum wages on 1st of the month following completion of initial five months of contract (as applicable in city of contract); and PB = Minimum wages on the last date of submission of tender (in the city of contract).

For subsequent six monthly rate revisions % increase in contract rates = (PN– PN-1) / PN-1 x 100 x 30/100 where PN = Minimum wages on 1st day of the previous month of the due date of nth escalation (as applicable in city of contract); and PN-1 = Minimum wages on 1st day of the previous month of (n-1) th escalation (as applicable in the city of contract).

6.3.1 The revision on the basis of above principle will remain valid for the original period of

contract, as per provisions of tender. In case CONCOR management decides to extend the original contract period, CONCOR may negotiate the rates with the contractor depending upon the market situation at the time of extension and the extension will be given at mutually accepted rates. Contractor will have the right to exit from the extended period if no agreement on mutually acceptable rates is arrived at for the extendable period. In such an event, the contractor will, however, have to work at the same rates for another 4 (four) months, beyond the initial contract period, to enable CONCOR to finalise alternative arrangements.

6.4 In case extension is agreed to, the same rate revision will be applicable for extended period with base shifted to the date on which extension becomes effective. In case of above example, the base date for extended period will be 16 April 2015 and the reference base rate of Minimum wages (PB) for further extended period shall be 16.4.2015 and relevant contract rates shall be negotiated rates arrived at for extended period.

Illustration:

Suppose the Minimum wages on the date of submission of the tender mentioned above was Rs.6375 per month and it is Rs.6694 per month on 1st October, 2016. According to the formula, %age increase in contract rates will be as under:

= (P1– PB) / PB x 100 x 30/100 (6694– 6375)/6375*100 *30 /100 = 1.50% i.e. an increase of 1.50% in the originally accepted contract rates on which rate revision is specifically provided for in the contract.

For second six monthly rate revisions w.e.f. 1st May, 2017, let the Minimum wages rates as on 01.04.2017 be Rs.7500 per month. Then, in this case: = (PN– PN-1)/PN-1x 100 x 30/100 = (P2– P1)/P1 x 100 x 30/100 = (7500– 6694)/6694 x 100 x 30/100 = 3.61% i.e. an increase of 3.61% over the rate accepted during the previous revision.

7.0 DURATION OF CONTRACT

7.1 The contract shall be awarded initially for a period of two years from the date of

commencement of contract. CONCOR shall, however, have the right to exercise its discretion of extending the contract by one year in case it considers it necessary. The extension shall be granted on the basis of mutually agreed rates, terms and conditions.However, it will be obligatory on the part of contractor to continue to work at the rates prevailing on the last date of the contract even beyond contract period for at least 04 (four) months or till the new contract is finalized, whichever is earlier.

8. DEDUCTION TOWARDS TAXES OR ANY OTHER LEVY SUCH AS SERVICE

TAX ETC. AT SOURCE Deduction of Taxes at source or any other statutory taxes/liabilities/charges will be made from the moneys payable to the contractor on the bills for work done in accordance with provisions of the Income Tax Act, 1961 or any statutory modifications of the said Act, and a certificate of such deductions will be issued.

9. ILLEGAL GRATIFICATION:

Any bribe, commission, gift or advantage given/promised or offered by or on behalf of the contractor or his partner, agent or servant or any one of his or on their behalf to any employees(s) of CONCOR or to any person on his or their behalf in relation to the obtaining or the executing of this or any other contract with CONCOR shall in addition to any criminal liability the contractor may incur, entitle CONCOR to rescind this contract and all other contract with him. CONCOR shall also be entitled to hold the contractor liable to pay to CONCOR any loss/damage resulting from such decision and to recover the amount from any money due to the contractor in respect of this and all other contractor, between him and CONCOR. The contractor shall not lend to or borrow from or have or enter into any monetary dealing transaction either directly or indirectly with any employee(s) of CONCOR and, if he shall do so, CONCOR shall be entitled forthwith question or dispute as to the commissions of any offence or compensation payable to CONCOR under this clause shall be settled by the Managing Director of CONCOR in such manner as he shall consider fit and sufficient and his decision shall be final and conclusive. 9.1 The contractor shall forbid and take all possible steps within his power to prevent all labour

and other persons employed by him from demanding or receiving from any person other than the contractor himself or his agents any remuneration or gratuity whatsoever.

9.2 No person who had retired within two years as a Gazetted Officer in Executive or Administrative duties in any Government service or CONCOR shall be the contractor. The contractor shall under no circumstances employ the person, who is in the employment of the

Government or CONCOR for the purpose of carrying out this contract and further shall not employ and person previously in the employment of the Government or CONCOR without express sanction in writing of CONCOR. The contract is liable for cancellation if the contractor himself or any of his employees is found to be a person to whom this applied and who had not obtained the necessary permission of CONCOR.

10. ARBITRATION

10.1 Except where otherwise provided for in the contract, all questions and disputes relating to the

meaning of the words/terms specifications and instructions mentioned in this contract and as per the quality of workmanship or performance or as to any other question/claim/right/matter or thing whatsoever in any way arising out of or relating to the contract, specifications, operations, instructions, orders or these conditions or otherwise concerning the Annual maintenance to execute the same whether arising during the progress of the work or after the completion or abandonment thereof shall be referred to the sole arbitration of some other person appointed by the Managing Director, CONCOR willing to act as such arbitrator. There will be no objection if the arbitrator so appointed is an employee of CONCOR and that he had to deal with the matters to which the contract relates and that in the course of his duties as such, he had expressed views on all or any of the matters in dispute or difference. The arbitrator to whom the matter is originally referred being transferred or vacating his office or being unable to act for any reason, the Managing Director as aforesaid at the time of such transfer, vacation of the office or inability to act, shall appoint another person to act as arbitrator in accordance with the terms of the contract. Such person shall be entitled to proceed with the reference from the stage at which it was left by his predecessor. It is also a term of this contract that no person other than a person appointed by the Managing Director as aforesaid should act as arbitrator and if for any reason that is not possible, the matter is not to be referred to arbitration at all.

10.2 Subject as aforesaid the provision of the Arbitration & Conciliation Act, 1996 or any statutory modification or reenactment thereof and the rules made there under and for the time being in force shall apply to the arbitration proceeding under this clause.

10.3 It is a term of the contract that the party invoking arbitration shall specify the dispute or disputes to be referred to arbitration under this clause together with the amount or amounts claimed in respect of each dispute. The arbitrator(s) may from time to time with consent of the parties enlarge the time for making and publishing the award.

10.4 The work under the contract shall, if reasonably possible, continue during the arbitration proceedings and no payment due or payable to the contract shall be withheld on account of such proceedings.

10.5 The arbitrator shall be deemed to have entered on the reference on the date he issue notice to both the parties fixing the date of the first hearing.

10.6 The arbitrator shall have power to call for such evidence by way of affidavits or otherwise as the arbitrator shall think proper and it shall be the duty of the parties hereto do or cause to be done all such things as may be necessary to enable the arbitrator to make the award without any delay.

10.7 The arbitrator shall give a separate award in respect of each dispute or difference referred to him.

10.8 The venue of arbitration shall be such place as may be fixed by the arbitrator in his sole discretion.

10.9 The award of the arbitration shall be final, conclusive and binding on all parties to the contract.

11. UNSATISFACTORY PERFORMANCE & CONSEQUENCES THEREOF

11.1 In the event of unsatisfactory performance or any failure at any Time on the part of contractor to comply with the terms and provisions of this contract to the satisfaction of CONCOR (who shall be the sole judge and whose decision shall be final), the contractor shall be liable to be fined up to Rs. 500/- (Rs Five hundred only) on every single occasion on the sole discretion of the Terminal Incharge.

11.2 The contractor shall at all times ensure that his performance is satisfactory, failing

whichCONCOR shall be at the liberty to get the affected work done through any other agency.In such cases CONCOR shall be at the liberty to carry on the work under this agreementthrough any other agency directly for the work and all expenses incurred on this account shall be at the sole risk and responsibility of the contractor and shall be recovered from any money due to him or from his security deposit.

11.3 Further more in case of repeated failures/unsatisfactory performance on part of contractor, it shall be open for CONCOR to give a show cause notice to the contractor for replying for such failures/unsatisfactory performance within 10 days and in case of CONCOR being not satisfied with the reply of the contractor the contract can be terminated immediately. In the event of such termination of the contract, CONCOR shall be entitled to (i) forfeit the security deposit and encash the performance guarantee as it may consider fit, (ii) get the balance work done by making an alternative arrangement as deemed necessary.

11.4 The certificate of the CONCOR official in-charge as to the sum payable to the contractor, if the work in question had been carried out by him under terms of the contract, shall be final and binding on the contractor.

11.5 The contractor shall have no claim whatsoever against CONCOR in consequence of the termination of contract.

11.6 Any financial loss incurred by the CONCOR authority arising due to any procedural lapses from compliance of statutory obligations on the part of the tenderer shall be recovered by CONCOR from the contractor from the running bills.

12. TERMINATION OF CONTRACT AGREEMENT 12.1 In the event of unsatisfactory service or any failure at any time on the part of contractor to

comply with the terms and provisions of this contract to the satisfaction of CONCOR administration (who shall be the sole judge and whose decision shall be final), it shall be open to CONCOR to terminate this contract by giving 30 days notice to the contractor. In the event of such termination of the contract, CONCOR shall be entitled to ( i) forfeit the performance guarantee as it may consider fit, (ii) get the balance work done by making an alternative arrangement as deemed necessary. The certificate of the Terminal Manager and verification of work for the sum payable to the tenderer, if the work in question had been carried out by him under the terms of the contract, shall be final and binding on the contractor.

12.2 Besides above, CONCOR administration will be at liberty to terminate the agreement at any time without assigning any reason and without being liable for any loss or damage which the contractor may suffer by reason of such termination, by giving the contractor 01 month prior notice in writing of its intention to terminate the agreement. The contractor, however, shall have no right to terminate the agreement under any circumstances. If he discontinues the work before expiry of the agreement, CONCOR Administration will be entitled to get the work done from any other agency and to encashment of the performance bank guarantee.

12.3 Any notice to be served on the contractor under this agreement sent to him by registered post to his mentioned address, unless otherwise modified in writing, shall be considered as proper and sufficient service for any purpose in connection with the agreement. “VERBAL OR WRITTEN UNDERTAKING NOT BINDING UNLESS FORMALIZED ”Expec t as thereby otherwise provided, a verbal or written arrangement abandoning, varying or supplementing

this contract or any of the terms hereof shall not be binding or CONCOR unless and until the same are endorsed or incorporated in a formal instrument.

12.4 If at any time, the contractor becomes insolvent or files an application for insolvency or any creditor of his moves the court for adjudicating him as an insolvent or if he is convicted in the Court of Law, CONCOR will have the absolute option of terminating the contact forthwith and he shall have no right for damage or compensation on his account.

13. EXIT CLAUSE CONCOR will also have the liberty to seek a cause of termination of contract by serving an advance thirty days notice against contractor in case there are strong business reasons for it doing so as determined by its management

14. SAFETY / PRECAUTIONS:

14.1 It shall be the duty of the contractor to acquaint him with all safety regulations as proposed by

any statutory authorities. 14.2 The contractor shall indemnify Container Corporation of India Ltd against any violation of

safety laws, rules and regulations while carrying out operations as required by the contract. 14.3 All liabilities owing to injury/death of the staff of the contractor during discharge of

contract will be to the contractor & CONCOR will stand indemnified for same.

15. LIABILITY FOR LABOUR LAW AND STATUTORY COMPLIANCE:-

All labour and/or personnel employed by Contractor shall be engaged by him as his own employees/workmen in all respect implied or expressed. The responsibilities whatsoever, incidental or direct, arising out of or for compliance with or enforcement of the provisions of various labour laws of the country shall be that of the tenderer. He shall specifically ensure completely with following Laws/Acts and their enactments/ amendments.

The Payment of Wages Act, 1936 The Factory Act, 1948 The Workmen‟s Compensation Act, 1923 The Employees Provident Fund Act, 1952 The Contract Labour (Regulation and Abolition) Act, 1970 The Payment of Bonus Act, 1965 The Payment of Gratuity Act, 1972 The Equal Remuneration Act., 1976 The Employees State Insurance Act, 1948 The Industrial Disputes Act, 1947. The Employment of Children Act, 1938 The Minimum wages Act, 1948

Minimum wages as specified by the Central Government or the State Government (in which the

terminal is situated) whichever is higher will be applicable for contract workers deployed by the

contractor at our premises.

15.1 The contractor shall indemnify CONCOR against all loses, damages, or liability

arising out of or imposed in pursuance of any labour laws. 15.2 Any accident/injury/legal liability to their employees or damage to the properties of

CONCOR the responsibility will be of contractor.

15.3 The contractor shall comply with all the laws, regulations and rules for the benefit of labour/employees that are in force or may come into force and the contractor shall indemnify and keep CONCOR indemnified against all loss, damage, claims and costs arising in any manner whatsoever out of or through or as a result of any failure or omission on the part of the contractor to comply with any such laws, regulations and /or rules.

16. RESPONSIBILITY/LIABILITY OF THE CONTRACTOR FOR LOSS OR

DAMAGE

The contractor shall be liable to compensate CONCOR in full for all damages and losses and claims in respect of injuries or damage to any person or whether in his possession or not through his negligence, misconduct, default or any other act of commission or omission or that of his agents, servants or employees.

All costs, damages or expenses incurred by CONCOR in this connection will be recovered by CONCOR from the contractor. It also reserves the right to retain contractor‟s security deposit or any payment under the contractor to be paid off against such claims. Any kind of penalty imposed by any statutory authorities will be borne by contractor.

17. SUBLETTING NOT ALLOWED

The contractor shall not sublet, transfer or assign the contract or any part thereof, without the previous written approval of CONCOR. In case the contractor contravenes this condition, CONCOR shall be entitled to place the contract elsewhere at the cost and risk of the contractor and all expenses borne on this account shall be recovered from contractor.

18. NOTICES ETC.

Save as otherwise provided, all notices to be issued and action to be taken for and on behalf of the Managing Director, CONCOR shall be issued or taken on his behalf by the official In charge of the terminal. The tenderer shall furnish to CONCOR the names, designation and address of his authorized representatives, and all complaints, notices, communication and references shall be deemed to have been dulyserved to the tenderer if delivered to them or his authorized representative or left at or posted at the address so given. It shall be deemed to have been so given in the case of posting on the day on which they would have reached such address in the ordinary cover of post or on the day on which they were delivered or left. 19. DEATH OF TENDERER No alteration by death, resignation, addition or otherwise for or to the contractor or the partners constituting the contractor‟s firm shall vitiate or affect this contract but the contractor‟s heir or heirs or partners of the firm for the time being shall be absolutely bound by the terms hereof in the same manner as if he/they had been the sole or original party/parties hereto.

20. GENERAL Any clarification in regard to the meaning or intent or interpretation of any of the provisions of these terms and conditions required on any point shall be sought from the Executive Director/North Central Region whose decision in the matter shall be final and binding. Any other matter relevant to but not covered in the contract shall also be decided by making reference to Executive Director/North Central Region whose decision will be final and binding. Further in case of failure to execute the agreement, the contract will be cancelled

CHAPTER – IV

SCOPE OF WORK

1. PREAMBLE

CONCOR‟s performs function of operating inter-modal terminal for ISO/DSO containers carrying export/import/domestic cargo destined for arriving from various inland destinations including the gateway ports. Through this terminal, CONCOR provides single window services to the shippers/consignors/consignees. Illustrative nature of supply required to be done by contractor are as under:

2. SCOPE OF WORK:

2.1 The bidder is required to quote rates in Annexure-III of the tender documents for the items as

mentioned in the annexure. However the bidder must consider the following scope and nature of work before quoting the rates.

2.2 Tenderer will have to use his own equipments, tools such as Vacuum Cleaners, Carts,

Trolleys, ladders, buckets, mugs, baskets etc. for carrying out the Estate Maintenance/conservancy & Horticulture works at CONCOR, Inland Container Depot./KANPUR. Apart from this, the contractor is required to use his phone, consumables (approved materials by CONCOR officials) such as detergents, phenol, acids, naphthalene balls, air purifiers, room fresheners, napkins, etc for this purpose.

2.3 All the garbage originating from the Complex premises should be collected and dumped on

daily basis or as and when required in the Waste Paper bins provided in the building/ICD premises and the same has to be taken/transported out of ICD and dumped in the nominated place of municipal authorities of KANPUR on monthly basis or as and when required. For this, owned or hired vehicle should be arranged by contractor, once in a month or as and when required.

3. AREA AND SCOPE OF WORK TO BE MAINTAINED UNDER THE CONTRACT.

The successful contractor will be required to undertake Estate Maintenance & Horticulture works at Inland Container Depot/KANPUR.

I) WORKING AREA:The tenderer will be required to provide cleaning of toilets, floors, rooms etc. at Inland Container Depot./KANPUR.

The area of the ICD comprises of the following

Administrative building 266 Sq. Mtr. Yard area 23760 Sq. Mtr. Warehouse 2000 Sq. Mtr. Over all paved area 97980 Sq. Mtr.

II) DRAINAGE SYSTEM AND GARBAGE REMOVAL The smooth working of drainage system is the responsibility of contractor. Regular cleanliness of drainage system so as to avoid the chocking of drainage has to be ensured by

the contractor. All the garbage/waste material etc. is to be removed by the contractor of its own cost.

III) GENERAL NATURE OF THE WORK

a) CONSERVANCY/ HOUSEKEEPING

1. Cleaning, sweeping, mopping and wiping of floors, staircase of different types on daily basis

and as per requirements/direction by the Terminal Manager/KANPUR or his authorized official.

2. Carpets in the chambers of all officers ,wherever available, will have to be cleaned daily with

soft brush & or vacuum cleaner and dry cleaning of carpets by dry cleaning machine once in a

month as per directions of In-Charge. 3. Thorough cleaning of all toilets with required detergent by putting naphthalene Balls and air

purifier in all urinals, washbasins and WC area.

4. Cleaning and dusting of entire furniture, partitions, wooden cabin walls, railings, Doors, windows Venetian blinds, racks, sofas, computers, printers, telephones, curtains and wall

mounted fans etc., with dry/wet cloth, feather brush and duster on daily basis.

5. Cleaning of any blockage in the drainage, manholes, etc in the Administrative Building, Yard,

Warehouse, Parking as & when required. 6. The items required for cleaning such as detergents, phenol, acid, naphthalene balls, air

purifiers, room fresheners etc. should be supplied and borne by the contractor. CONCOR will

not supply/issue any items/equipment such as vacuum cleaners, buckets, dustbins, etc required for this purpose.

7. Removing of Grass/ bushes in the premises of the Inland Container Depot./KANPUR,

regularly.

8. Lifting, carrying and disposing the dead birds, animals, rats, insect etc. if found in and around the office building.

9. Removal of beehives and cobwebs/honeybees from the office building and its premises.

(b) HORTICULTURE/GARDEN MAINTENANCE:

The horticulture/ garden maintenance work includes the following:

1. Maintenance/up-keep of the existing gardens at Inland Container Depot./KANPUR area as

mentioned above.

2. Watering the gardens, Grass lawns etc.

3. Watering all the tree saplings planted in the ICD area (own arrangements for water to be

made in case of shortage of water in the ICD or in the case of failure of the bore wells.)

4. Manuring, medicating and landscaping the existing gardens and all the plant, lawns and tree

saplings.

5. Removing all the weeds from the gardens, lawns etc.

6. Removing all the weeds and wild grasses surrounding the tree saplings planted by the ICD.

7. Pruning the plants periodically.

administrative buildings.

9. Graph ting and planting of flowering plants as per the advice of CONCOR administration.

10. Maintaining indoor plants at the CONCOR‟s Administrative building.

I. GENERAL DESCRIPTION OF WORK

A) DAILY SCHEDULE OF WORK.

1. The cleaning of general toilets at least thrice daily (at 9:30 AM, 12:30 Noon & 3:30 PM)

with phenol and detergent etc. and maintain the toilets floors dry during office hours cleaning

of windows and window sills of all toilets to be done regularly. Washbasins, urinals, WC are

to be cleaned with proper detergent. Flushing system of all toilets is to be checked at regular

interval every day. Naphthalene balls, air purifier and liquid soap and paper rolls in all

officers toilet are to be provided regularly to ensure continuous availability of these materials

in requisite place/container.

2. Cleaning of attached toilets with phenol, removing all dust and unwanted materials, keeping

dry, cleaning of windows ills once in a day. Naphthalene balls air purifier; toilet rolls and

liquid soap are to be provided regularly to ensure continuous availability of these materials in

requisite place/container.

3. Cleaning of corridors staircases and common area with phenol in the morning and mopping of

common areas thrice in a day.

4. Cleaning & mopping of all electrical rooms & other installations inside yard once in a day.

Cleaning of office working areas, removing dust from floors, windows, doors, furniture‟s,

fixtures, telephones, ashtray, cupboards, air conditioners, filing Almirahs, cabinets, computers

etc. with dry/wet duster and or with suitable cleaning agent. Moping of floors with phenol.

5. Collection of waste paper from rooms, waste paper, baskets, lobbies and putting in bags at the

specified location.

6. Cleaning of carpets by soft brush & vacuum cleaners.

7. Cleaning glass panes on doors, windows, partitions & venation blinds with soap/cleaning

agent.

8. Cleaning of duct and shaft spaces, garbage, removal and putting them in dustbin/Suitable

place outside the building.

9. Room fresheners in all office area to be used daily in the morning and as and when required.

Room fresheners should be of ISI Mark or of standard make.

10. Cleaning/removal of any type of stains of ink etc. from the building premises and staircases.

11. Cleaning of peripherals (terminal/printers) outside server roomevery day with dry cloth in

presence of computer persons & no brooming is permissible in the server room.

12. Vacuum cleaning as specified by the computer person

B) WEEKLY SCHEDULE OF WORK:

The contractor will provide special services such as

a) Scavenging of all toilets, water points & cleaning of sewer lines.

b) A thorough dusting of all partitions in the CONCOR offices with detergent.

c) Brasso of all officers name plates.

d) Cleaning of record room & disposal of the garbage from the surroundings properly.

e) Vacuum cleaning of all the carpets in officers Chamber of Inland Container

Depot./KANPUR if any.

f) Cleaning of computer equipment‟s only in presence of computer person with dry clothes

and Collins.

C) MONTHLY SCHEDULE OF WORK:

a) Open area to be sweeped& to remove all the mucks so as to keep the area neat & clean.

b) Cleaning of the terrace with brooms, collecting of all waste, debris & disposal of the

same.

c) Cleaning of all record rooms and removal of garbage.

d) Cleaning of the entire name plates with detergent &brasso wherever required.

e) Chemical cleaning of all the carpets in officers Chambers and conference hall.

f) Dry cleaning of sofas / carpets/ curtains.

Reputed branded Materials/consumables are to be used for this purpose. The list indicated

below is only illustrative not exhaustive and these materials of reputed brands should be

used.

Note: Consumables shall be of above make or similar make. The bills for purchase of consumables shall be produced to CONCOR officials and the materials should be produced to CONCOR officials as and when required.

4. EQUIPMENT, MATERIAL & STORAGE

a) The contractor has to use his own equipment‟s tools & plants required for this work like carts,

trolleys, ladders, buckets, mugs, baskets, gardening tools etc..

b) The contractor has to use his own material like brooms, brushes, dusters, phenol, naphthalene

balls, odonil or any other material required for this work & directed by Terminal Manager /

KANPUR.

c) Water & electric energy required for cleaning purposes, if any, shall be allowed free of cost

by CONCOR.

d) Space for storage of material and equipment‟s will be provided by CONCOR without any

rent charges.

e) Watch and ward of al the material brought by the contractor at site will be the responsibility

of the contractor.

5. REPORT

1. The contractor or his authorized representative should daily report to the officer in charge/

any other officer so indicated for taking day to day instructions. The contractor should ensure

that he or his authorized representative is necessarily available to oversee the satisfactory

working of all his employees and to coordinate with CONCOR for carrying out required

instructions, if any.

2. Any injury/death of worker shall be at the entire risk of the contractor. It will be in the interest

of the contractor to take a suitable risk policy to cover such risk.

3. The contractor must employee only people of good moral character.

4. The contractor will be required to make all necessary arrangements for rendering special

services even at short notice.

6. GENERAL

6.1 All the staff deputed by the contractor to the terminals for on time to time should be of good

antecedent and character. The contractor will have to take prompt action and not depute

personnel who do not obey these instructions issued by representative of Terminal Manager.

6.2 The contractor has to obtain the gate pass for the staff being deputed for attending the

maintenance work on day to day basis.

6.3 The contractor & staff shall follow the security regulations in force or as amended from time

to time. Suitable action shall be taken, including summarily termination and/or legal action

for breach of CONCOR security regulations by either the contractor or his staff & CONCOR

shall be the sole arbitrator to the course of action.

6.4 The staff of contractor who routinely visit the premises of CONCOR should have mobile

phone of key personnel will have to be circulated to the CONCOR officials.

THIS AGREEMENT made this________day of________two thousand and fifteen between CONTAINER CORPORATION OF INDIA LIMITED, (CONCOR) Govt. of India Undertaking and a Company registered under Indian Companies act, 1956 having its registered office at C-3, Mathura Road, Opposite Apollo Hospital, New Delhi 110076 (which expression shall mean and include its successor or successors in office and assigns) representing through Managing Director, CONCOR Ltd., hereinafter called "The Company" on the one part and M/s. _____________________________________ hereinafter called the "Contractor" (which expression shall mean and include their heirs, executors and administrators and assigns) on the other part. 1.In consideration of Container Corporation of India Ltd., acting through the Executive Director,

having its registered office at „CONCOR Bhawan‟, C-3, Mathura Road, Opp. Apollo Hospital, New

Delhi 110 076, having agreed to permit M/s _____________ (hereinafter called the said Contractor)

to “Contract for Conservancy and horticulture work at ICD KANPUR” on its behalf on the terms and

Bank] Bank promise to pay to Container Corporation of India Ltd., an amount not exceeding

[Rs…………………………….. only] against any loss or damages caused to or suffered by the

contractor to perform well in contravention of the terms and conditions in the said agreement.

to pay the amount due or payable under this guarantee without any demur, merely on a demand from

the Executive Director, NCR, Container Corporation of India Ltd., stating that the amount claimed is

due by way of loss or damage caused to or would be caused or suffered by the Container Corporation

of India Ltd., by reason of any failure of the said contractor to perform the said operations safely

without damaging the cargo/containers. Any such demand made on the Bank shall be conclusive as

regards the amount due and payable under this guarantee. However, our liability under this guarantee

shall be restricted to an amount not exceeding [Rs…………………..].

performance of the said agreement and that it shall continue to be enforceable till all dues of the

Container Corporation of India Ltd., under or by virtue of the said agreement have been fully paid and

made on us in writing on or before four months after the date of completion of the contract, we shall

be discharged from all liability under this guarantee thereafter.

4.Notwithstanding anything to the contrary contained herein the liability of the Bank under this

guarantee will remain in-force and effect until such time as this guarantee is discharged in writing by

the Container Corporation of India Ltd., or until the end of two years and six months from the date of

issue (whichever is later) and no claim shall be valid under this guarantee unless notice in writing

thereof, is given by the Container Corporation of India Ltd., within four months from the date of

aforesaid agreement.

5.Provided that we [Name of Bank] Bank unconditionally undertake to renew this guarantee or to

extend the period of guarantee from year to year within 3 (three) months before the expiry of the

period or the extended period of the guarantee as the case may be on being called upon to do so by

CONCOR. If the guarantee is not renewed or the period extended on demand, we [Name of Bank]

Bank shall pay the Container Corporation of India Ltd. the full amount of the guarantee on demand

and without demur.

of the powers exercisable by the Container Corporation of India Ltd., against the said contractor and

to forebear or enforce any of the terms and conditions of the said agreement and we shall not be

relieved from our liability by reason of any such variation or extension being granted to the said

contractor or for any bearance, act or commission on the part of the Container Corporation of India

Ltd., or any indulgence by the matter or thing whatsoever which under the law relating to sureties but

for the said reservation would relieve us from the liability.

7.This guarantee will not be revoked by any change in the constitution of the Bank or of the surety.
