CONSTITUTIONAL CHARTER

TheCharteroftheNationalSheriffs’Association,grantedbytheStateofOhiounderitsnon-profitcorporationlaws,providesthattheobjectivesoftheAssociationshallandareherebydeclaredtobe:

ToencourageandpromotefairandefficientadministrationofcriminaljusticethroughouttheUnitedStates.

Toencourageprotectionofthejurisdictionofthesheriffasaconstitutional/statutoryofficer,andtosupportsheriffsthroughouttheUnitedStatesintheireffortstodischargetheirlawenforcement,corrections,andjudicialresponsibilitiesinafair,efficient,andprofessional manner.

Tocooperatewithcriminaljusticeagenciesandotherpublicandprivateorganizationsdedicatedtothereductionofcrimeandimprovementoflawenforcement.

Toencourageandtoassistlocalstateassociationsofsheriffsandotherlawenforcementofficers.

Todevelopandencouragethepracticeofhighstandardsofpersonalandprofessionalconductamongsheriffsandotherlawenforcementofficers.

Toconductsuchresearch,study,andinvestigationasmaybenecessaryandadvisabletodevelopinformation,knowledge,anddatathatwouldbeusefulinimprovingtheadministrationofcriminaljustice.

Topromotethelawenforcementprofessionbyprovidingappropriateeducationalcoursesincooperationwithinstitutionsofhigherlearningorotherwise.

Toencourage,plan,andimplementprogramsdesignedtofosterrespectforthelawby

juvenilesandtocombatdelinquencyandunlawfulbehaviorbyyouths.

Todevelopandsupportcrimepreventionprojectsatnational,state,andlocallevels.

Toacquire,preserve,anddisseminatevaluableinformationrelatedtotheOfficeofSheriffandtheadministrationofcriminaljustice.

Toconductcompetitionsandmakeawardsforoutstandingservicestolawenforcement.Tosponsorgroupinsuranceandotherprograms,whichwillprovideprotectionofmembersoftheAssociationandthegovernmentalagenciestheyrepresent.

Toexerciseallgeneralpowersconferreduponanon-profitcorporationbythelawsoftheStateofOhioandtheCommonwealthofVirginia,wheretheAssociationhasitsprincipaloffice,exceptasprohibitedorforbiddenbytheConstitutionandBylawsoftheNationalSheriffs’Association.

ThischartermaybeamendedasauthorizedbythelawsoftheStateofOhioandCommonwealthofVirginia.

BYLAWS

Article I - NameThe name of the Association shall be the NationalSheriffs’Association,hereinreferredtoas “NSA” or “Association.”

ArticleII-OfficesTheAssociationshallmaintainacorporateofficeintheStateofOhioasrequiredbythelawsofthatstate,aprincipalofficeinthemetropolitanareaofWashington,D.C.,andsuchotherofficesasmayfromtimetotimebedesignatedbytheExecutiveCommittee.

ArticleIII-MembershipSection 1 - EligibilityAnyindividualororganizationsubscribingtothenon-profitobjectivesoftheNationalSheriffs’

Associationmaybecomeamemberasprovidedherein.TheAssociationshallnotdiscriminateinitsmembershippracticesduetoreligion,race,sex,creed,orplaceofnaturalorigin.

Section 2 - Active Members of the AssociationThefollowingareeligibletobecomeindividualactivemembersoftheAssociation: (a) Sheriffs. (b) Sheriffs-elect,providedtheyqualifyfor theOffice/DepartmentofSheriff. (c) Undersheriffs,assistantsheriffs,deputy sheriffs,otheremployeesofasheriff’s office/departmentandmembersofthe sheriff’sreserve,auxiliaries,andposses. (d) Chiefsofpoliceandotheremployeesofan agency having responsibility to enforce criminallaw. (e) Individualsaffiliatedwithfederaland statelawenforcementorwithmilitary agencies. (f) Individualsemployedbyprivaterather thanpublicorganizationsbutwhohave lawenforcementduties/responsibilities. (g) Individualsemployedinanyagency, publicorprivate,whoseresponsibilities relatedirectlyorindirectlytothe administrationofcriminaljustice. (h) Individualsengagedinteaching,research, andwritinginthefieldofcriminaljustice. (i) Individualswhohavedemonstrated genuineinterestinandsupportofthe OfficeofSheriffortheeffective administrationofcriminaljustice/law enforcement/publicsafetythroughoutthe nation. (j) Formerindividualmemberswhohave retiredfromactivedutyunderhonorable conditions(orarelifemembersasdefined in Section 6 herein). (k) CurrentmembersoftheAssociationin goodstanding.

Section 3 - Affiliated Members (a) Any state or regional association of sheriffsorothercriminaljusticeofficersmaybeawardedaffiliatedmembershipinthe

AssociationbytheExecutiveCommittee, providedthatallsheriffsorthechief executiveofficersofothersimilarcriminal justice agencies in the state or region arealreadyindividualactivemembersof the Association. (b) Anynonprofitcorporationorother organizationcreatedasanaffiliated organizationoftheAssociationbythe ExecutiveCommitteeinpromotingthe nonprofitaimsandpurposesofthe Associationshallbecomeanaffiliated member of the Association.

Section 4 - Auxiliary MembersAnindividualwhodesirestobecomeaffiliatedwiththeAssociationmaybeawardedlimitedandnonvotingmembership--e.g.,auxiliarymembers,students,internationalmembers--underconditionsestablishedbytheExecutiveCommittee.

Section 5 - Sustaining MembersAnyindividualororganizationthathasdemonstratedadedicationtotheobjectivesoftheNationalSheriffs’AssociationandsupportoftheOfficeofSheriffmaybecomeasustainingnonvotingmemberunderconditionswhichmaybeestablishedbytheExecutiveCommittee.

Section 6 - Life MembersFromtimetotime,activelifetimemembershipas an honorary life member in the Association maybegrantedtoindividualsundersuchconditionsastheExecutiveCommitteemaydetermine.ActivelifetimemembershipshallbeawardedtoretiringPresidentsoftheAssociationandtoAnnualMeetinghostsheriffsoftheAssociation. Any active lifetime membership in theAssociationmayberescindedonanycurrentorretiredhonorarylifememberbyamajorityactionoftheExecutiveCommitteeduetoanyhonorarylifemember’sactionsoromissionsthatviolatetheCodeofEthicsoftheOfficeofSheriff,ConstitutionalCharterandBylawsoftheAssociationorapplicablelawsifhis/herconductisdeemedprejudicialtotheOfficeofSheriffor

to the Association.

Section 7 - Duration of Membership, and Resignation, Suspension, and Expulsion of Membership (a) Membership shall continue as long as duesandassessmentsarecurrentlypaid to the Association. (b) Any member may resign at any time by addressinganoticetothiseffectin writingtotheAssociation’sprincipal office. (c) Membership in the Association shall beinitiallydeniedorimmediately terminatedifanindividualmemberor affiliatememberisconvictedofa misdemeanororfelonywhichisdefined inthejurisdictionofconvictionas acrimeofmoralturpitude.Inaddition, anindividualmemberoraffiliate member of the Association may be censured,suspended,orexpelled fromtheAssociationfollowingadue processproceduralhearingbya majority vote of the Executive Committee.Asufficientcauseor groundsforamember’scensure, suspension,orexpulsionfromthe Associationmaybedeterminedfrom either:(i)aviolationoftheCodeof EthicsoftheOfficeofSheriffasadopted by the Association; (ii) a substantial civil violationofstateorfederalcampaign, elections,orotherapplicablecivillaws; or (iii) a violation of the Constitutional CharterorBylawsoftheAssociation;or (iv)inanyotherconductofamember whichisdeemedtobeprejudicialtothe OfficeofSheriffortotheAssociation. (d) Iftherehasbeenanapparentand seriousviolationofMembershipunder Section7(c)(i)–(iv),awrittencomplaint maybesubmitteddirectlytothe Executive Director of the Association by any member or through the various statesheriffassociationstotheExecutive Director of the Association for

considerationbytheManagement Subcommitteewithallofthepowers anddutiesastheGrievanceCommittee of the Association.

Section 8 - Voting Rights of Individual MembersEachindividualactivememberoftheAssociation,asdescribedinSection2hereof,ingoodstanding,includingactivelifemembers,asdescribedinSection6hereof,enrolledassuchatleastsixty(60)dayspriortoanyannualorspecialmeetingofmembers,ifproperlyregisteredasbeinginattendanceatsuchmeeting,shallbeentitledtocastonevoteoneachmattersubmittedtoavoteofthegeneralmembership.

ArticleIV-DuesandAssessmentsSection 1 - AmountTheamountofannualduesforeachclassificationofmembershipintheAssociation,andanyothernecessaryassessment,shallbedeterminedbytheExecutiveCommittee.

Section 2 - Non-PaymentMemberswhofailtopaytheirduesatthetimetheybecomeduemay,withoutnoticeandwithouthearing,bedroppedfromthemembershiprollsandthereuponforfeitallrightsandprivilegesofmembershipintheAssociation.

ArticleV-MeetingsSection 1 - Annual MeetingThe Annual Meeting of the Association shall be heldonapplicabledatesbetweenthemonthsofJunethroughAugustasdeterminedbytheBoardofDirectors.TheAnnualMeetingdatesshallbeselectedatleastfive(5)yearspriortotheAnnualMeeting,fromamonglocationscertifiedbytheExecutiveDirectorashavingfacilitiesandservicesmeetingtheminimumstandardsforAnnualMeetinglocationsasestablishedbytheBoardofDirectors.AllofficialinvitationstoholdanAnnualMeetingshouldbesubmittedtotheExecutiveDirectornotlaterthanthefirstdayofJanuaryatleastfive(5)yearsinadvanceofthe

proposedAnnualMeeting.

Section 2 - PurposeTheAnnualMeetingshallbeheldforthepurposeofelectingofficersanddirectors;conductingeducationalseminars;consideringreportsandresolutions;disseminatinginformationofbenefittothemembers;conductingcommitteemeetings;andtransactingany other Association business. Section 3 - NoticeThetimeandplaceoftheAnnualMeetingshallbepublishedintheAssociation’sregularpublication,Sheriff,inthetwo(2)issuesimmediatelyprecedingthedateoftheAnnualMeeting.

Section 4 - Meetings-QuorumAmajorityofthemembersregisteredasbeinginattendanceatanymeetingofthemembersshallconstituteaquorum,andincasetherebelessthanthisnumber,thepresidingofficermayadjournthemeetingfromtimetotimeuntilaquorumispresent;provided,however,ifaquorumcannotbesecuredwithinthree(3)days,theExecutiveCommitteeshallmeetandtransactallbusinesswhichwouldhavebeenpresentedhadaquorumofmembersbeenpresent.Atanyregularlyscheduledmeetingofmembers,thewords“meetingofmembers”shallbedefinedasanysessionatwhichanymatterisscheduledtobepresentedtoavoteoftheentiremembership.

Section 5 - Rules of OrderTheparliamentaryrulesaslaiddowninRobert’sRulesofOrdershallgovernalldeliberations,whennotinconflictwiththeseBylaws.

ArticleVI-BoardofDirectorsSection 1 - AuthorityTheBoardofDirectorsshallannuallyreviewtheAssociation’sprogressandoutlinethepoliciesthatshallguidetheAssociation’sactivitiesfortheensuingfiscalyear.

Section 2 - MembershipTheBoardofDirectors(“Board”)shallbecomposedoftheAssociation’sPresident,thethree(3)VicePresidents,theSecretary,theTreasurer,theSergeant-at-Arms,allPastPresidentswhoaremembersingoodstanding,plus21memberselectedfromamongthemembers of the Association. The 21 members so electedshallservethree-yearterms.AtthefirstAnnualMeetingofmembersaftertheadoptionoftheseBylaws,seven(7)membersshallbeelectedtoserveatermofthree(3)years,seven(7)toatermoftwo(2)years,andseven(7)toatermofone(1)year.Thereafter,themembershipshallelectseven(7)memberstotheBoard,pluselectmemberstofilltheunexpiredtermofanyvacantdirectorships.ThemembershipshallbeencouragedtoselectindividualsrepresentativeofallsectionsoftheUnitedStates.UptoandincludingthePresidentoftheassociation,notmorethantwo(2)membersoftheBoardshallberesidentsofanyonestate.TheExecutiveDirectorandGeneralCounselshallbeex-officiomembersoftheBoardwithouttherighttovote.

Section 3 – Meetings (a) TheBoardofDirectorsshallhavethree (3)regularmeetings,two(2)atthetime andplaceoftheAnnualMeetingof themembersasscheduledbythe ExecutiveDirector,andonein conjunctionwiththeWinterMeetingof theExecutiveCommittee.TheBoard of Directors shall also meet upon demandofamajorityofitsmembers. NoticeofallmeetingsoftheBoardof Directors other than regular meetings shallbesentbymail,email,telegraph, orfaxtoeachmemberoftheboardat his/herlastrecordedaddressatleastten (10)daysinadvanceofsuchmeetings. (b) TheBoardofDirectorsshallhavethe right of entering into executive session onbehalfofinterestedpartiesand/or to close its meetings to the general public. Any such executive session orclosedmeetingoftheBoardof

Directorsshallbeconductedtoprotect theprivacyofitsindividualmembersin anypersonnel,legal,orrealestate mattersoftheAssociationnotrelatedto theconductofpublicbusinessin accordancewiththeAnnotatedCodeof Virginia. (c) Noresolution,rule,agreement,contract, ormotionshallbeadopted,passed oragreedtoinexecutivesessionorat aclosedmeetingunlesstheBoardof Directors,immediatelyfollowingany suchclosedmeetingorexecutive session,reconvenesinopensession andtakesavoteofitsmembershipon anysuchresolution,rule,agreement, contract,ormotion.

Section 4 - QuorumAmajorityofthemembersoftheBoardofDirectorsshallconstituteaquorumatanymeetingoftheBoard.

Section 5 - AbsenceAnymemberoftheBoardofDirectorsunabletoattendameetingshould,inaletteraddressedtothePresidentortheExecutiveDirector,statethereasonforhis/herabsence.IfamemberotherthananelectedofficeroftheAssociationisabsentfromtwo(2)consecutivemeetingsforreasonsthattheBoardfailstodeclaresufficient,hisorherresignationmaybedeemedbytheBoardtohavebeentenderedandaccepted.

Section 6 - CompensationMembersoftheBoardofDirectorsshallnotreceive any compensation for their services provided;however,formerPresidentsoftheAssociationwhoattendedallBoardmeetingsheldatthetimeoftheAnnualMeetingofthemembersshalleachbereimbursedformiscellaneousexpensesinanamounttobefixedbytheExecutiveCommittee.TheExecutiveCommitteemay,byresolution,authorizethereimbursementofactualandnecessarytravelandrelatedexpensesofanymemberoftheBoardofDirectorsincurredinconnectionwith

his/herfull-timeattendanceatregularmeetingsheldinconnectionwiththeAnnualMeetingofmembers.NothinghereinshallprecludeamemberoftheBoardofDirectorsfromserving the Association in any other capacity andreceivingcompensationandreimbursedexpensesinconnectionwithsuchseparateservices.

Section 7 - ResignationAnymemberoftheBoardofDirectorsmayresignatanytimebygivingwrittennoticetothePresidentortotheExecutiveDirectoroftheAssociation.

Section 8 - VacanciesAnyvacanciesthatmayoccurontheBoardofDirectorsbyreasonofdeath,resignation,orotherwise,maybefilledbythePresidentuntilthenextAnnualMeetingofmembers;however,any vacancies occurring by reason of the fact thattheDirectorisalsoanelectedofficeroftheAssociationshallbefilledasprovidedinArticleVIII,Section9,oftheseBylaws.

Section 9 - Rules of OrderTheparliamentaryrulesaslaiddowninRobert’sRulesofOrdershallgovernallmeetingsoftheBoardwhennotinconflictwiththeseBylaws.

Section 10 - Qualification for Election and ServiceTobequalifiedtobeelectedandtocontinuetoserveasamemberoftheBoardofDirectorsandExecutiveCommitteeoftheAssociation(exceptforanyeligiblePastPresident),aneligibleindividualmustbeservingandcontinuetoserveasanelected,full-timesheriffandbeamemberingoodstandingoftheAssociation.IfafteranyelectionorinanyotherwayamemberoftheBoard(exceptforanyeligiblePastPresident)leavesorvacatestheOfficeofSheriff,thatmemberoftheBoard,uponleavingtheOfficeofSheriff,shallimmediatelyvacatehis/herpositionasamemberontheBoardofDirectorsoftheAssociationatwhichtimeasuccessormemberoftheBoardofDirectorsshall

bedulynamedandappointedasprovidedbytheBylawsoftheAssociation.

Section 11 - Duties as the Nominating Committee of the Association (a) TheNominatingCommitteeshall consistoftheelectedofficersofthe Association,plusthree(3)membersof theBoardofDirectors,andtwo(2) membersatlargefromtheBoardof DirectorsasappointedbythePresident, andallPastPresidentsingoodstanding atattendanceathis/herfirstmeeting oftheBoardofDirectorsateachAnnual Conference of the Association. (b) ThePresidentoftheAssociationshallbe the chairperson of the Nominating Committeeorinhis/herabsencemay appoint a chairperson from the membership of the Executive Committee.TheBoardofDirectors actingasanominatingcommittee shallmeetduringtheAnnualMeeting oftheAssociationandshalldesignate atleastonecandidateforanyvacancyin thefollowingpositions:theBoardof Directors,Secretary,Treasurer,sergeant- at-arms,andVicePresidentsofthis Association. (c) Any eligible member of the Association maybenominatedandmayruntofill onlyone(1)vacantofficeorseatonthe BoardofDirectorsoftheAssociation at any one time. The chairperson of the NominatingCommitteeorhis/her designeeshallreceiveanyeligible candidates’writtennoticeand completedUniformQualifications Applicationtorunforanyvacantoffice orpositionontheBoardofDirectorsat leastsixty(60)dayspriortothe AnnualMeetingoftheAssociation’s general membership. (e) TheUniformQualificationsApplication shallassistinidentifyinglaw enforcementexperience,ethical andmoralcharacter,general educationalbackground,etc.The NominatingCommitteeoritsagentmay conductafinancialorcharacter backgroundinvestigationofany candidateforanofficeorpositionwith the Association. The report of the NominatingCommitteeshallbemade at the Annual Meeting of the membership of the Association. ArticleVII-ExecutiveCommitteeSection 1 - AuthorityTheExecutiveCommitteeshall,withinthelimitsoftheseBylaws,havesupervision,control,anddirectionoftheaffairsoftheAssociationandshall be Trustees of the Corporation.

Section 2 - MembershipTheExecutiveCommitteeoftheAssociationshallbecomposedoffourteen(14)membersoftheAssociation,includingthePresident,thethree(3)VicePresidents,theSecretary,theTreasurer,theSergeant-at-Arms,andthetwo(2)ImmediatePastPresidents,allofwhomareholdingtheelectedOfficeofSheriffduringtheirtenureontheExecutiveCommitteeandallofwhomaremembersingoodstandingoftheAssociation,plusfive(5)membersoftheBoardofDirectorswhoaretobeselectedannually by a majority vote of the members of theBoardofDirectorsaselectedbytheBoardofDirectors.Thesefive(5)membersoftheExecutiveCommitteearetobeselectedatthesecondmeetingoftheBoardofDirectorsheldduringtheAnnualMeetingoftheAssociation.ShouldeitherorbothofthetwoImmediatePastPresidentsbeunableorunwillingtoserveontheExecutiveCommittee,themostrecentlyservingImmediatePastPresident(s)stillholdingthe

electiveOfficeofSheriffshallservesaidterm(s).

Section 3 - MeetingsTheExecutiveCommitteeshallhavethree(3)regularlyscheduledmeetings:two(2)atthetimeandplaceoftheAnnualMeetingofthemembersasscheduledbytheExecutiveDirectoroftheAssociation,andoneinconjunctionwiththeWinterMeetingwiththeBoardofDirectorsoftheAssociation.TheExecutiveCommitteemaycallaspecialmeetingduringtheyearupondemandofamajorityofitsmembers.NoticeofallmeetingsoftheExecutiveCommitteeshallbe sent by electronic means to each member of theExecutiveCommitteeatleastforty-eight(48)hoursinadvanceofanysuchmeetings.

TheExecutiveCommitteeshallhavetherightof entering into executive session on behalf of interestedpartiesand/ortocloseitsmeetingstothe general public. Any such executive session orclosedmeetingoftheExecutiveCommitteeshallbeconductedtoprotecttheprivacyofitsindividualmembersinanylegalorrealestatemattersoftheAssociationnotrelatedtotheconductofpublicbusinessinaccordancewiththeAnnotatedCodeofVirginia.Noresolution,rule,agreement,contract,ormotionshallbeadopted,passedoragreedtoinexecutivesessionorataclosedmeetingunlesstheExecutiveCommittee,immediatelyfollowinganysuchclosedmeetingorexecutivesession,reconvenesinopensessionandtakesavoteofitsmembershiponanysuchresolution,rule,agreement,contract,ormotion.

AtitsregularWinterMeeting,theExecutiveCommitteeandBoardofDirectorsshall: (a) Invitethehostsheriffforthenext Annual Meeting of the Association to presentattheExecutiveCommittee andBoardofDirectorsMeeting,the conferenceplanandanyactions requiredfortheAnnualMeetingtobe heldinthehostsheriff’sjurisdiction. Inthisconnection,theAssociationshall reimbursethehostsheriffforall necessarytravelandrelatedexpenses

incurredbyhisorherattendanceatthis Winter Meeting. (b) Whennecessary,maynegotiateand executeanewcontractforaperiodof not more than three (3) years for a certifiedpublicaccountantand/orfirm retainedtoauditthefinancialbooksand taxrecordsoftheAssociation. (c) Whennecessary,theExecutive Committeeshallnegotiateandexecutea newwrittencontractfortheExecutive DirectoroftheAssociation;provided, however,thattheExecutiveCommittee shall not execute an employment contractwiththeExecutiveDirectorin excessoffive(5)yearsinduration.At aWinterMeeting,theExecutive Committeeshallsetthesalarytobepaid theExecutiveDirectorduringthe currentfiscalyearandthecurrent annualretainertobepaidtotheGeneral Counsel of the Association. (d) AtitsWinteroritsAnnualMeeting,the ExecutiveCommitteeandBoardof Directorsshallreviewandapprovean annualbudgetfortheAssociation.

Section 4 - Acting Without AssemblingAnyactionthatmaybetakenatameetingoftheExecutiveCommitteemaybetakenwithoutameetingifaconsentinwriting,settingforththeactiontobetaken,issignedbyallthemembers.Withoutassembling,allthemembersoftheExecutiveCommitteemayconductameetingbycommunicatingsimultaneouslywitheachotherby means of conference telephones or similar communicationsequipment.

Section 5 - QuorumA majority of the members of the Executive CommitteeshallconstituteaquorumatanymeetingoftheCommittee.

Section 6 - AbsenceAnymemberoftheExecutiveCommitteeunabletoattendameetingshould,inaletteraddressedtothePresidentortheExecutiveDirector,statethereasonforhisorherabsence.Ifamember

otherthananelectedofficeroftheAssociationisabsentfromtwo(2)consecutivemeetingsforreasonsthattheExecutiveCommitteefailstodeclaresufficient,hisorherresignationshallbedeemedbytheCommitteetohavebeentenderedandshallbeacceptedimmediately.

Section 7 - CompensationMembersoftheExecutiveCommitteeassuchshall not receive any compensation for their services as members thereof. The Executive Committeemay,byresolution,authorizethereimbursementoftheactualandnecessarytravelandrelatedexpensesofanymemberincurredinconnectionwithhis/herfull-timeattendanceatanymeetingoftheCommittee.Nothinghereinshallprecludeamemberfromserving the Association in any other capacity andreceivingcompensationandreimbursedexpensesinconnectionwithsuchseparateservices.

Section 8 - ResignationAny member may resign at any time by giving writtennoticetothePresidentortheExecutiveDirector of the Association.

Section 9 - VacanciesAny vacancies that may occur on the Executive Committeebyreasonofdeath,resignation,orotherwise,maybefilledbythePresidentfortheunexpiredtermfromthemembershipoftheBoardofDirectors;provided,however,thatanyvacancies occurring by reason that the member isanelectedofficeroftheAssociationshallbefilledasprovidedinArticleVIII,Section9,oftheseBylaws.

Section 10 - General CounselTheExecutiveCommitteeshallengageageneralcounselfortheAssociationwhoshallactastheattorneyfortheAssociationandallofitsboards,committeesandaffiliates.

Section 11 - Rules of OrderTheparliamentaryrulesaslaiddowninRobert’sRulesofOrdershallgovernallmeetingsofthe

ExecutiveCommitteewhennotinconflictwiththeseBylaws.

Section 12 – Management Subcommittee (a) TheManagementSubcommittee (“Subcommittee”)oftheAssociation shallbeempoweredtoconductanyand allrequired,urgentoranynecessary day-to-daybusinessoftheAssociation betweentheregularlyscheduled meetingsoftheExecutiveCommittee. Thefive(5)membersofthe ManagementSubcommitteeshallconsist ofthePresident,the1stVicePresident and2ndVicePresident,andthetwo(2) ImmediatePastPresidentsofthe AssociationasdefinedinArticleVII, Section2.TheExecutiveDirectorand General Counsel for the Association shallbedeemedtobeexofficio membersoftheSubcommitteewithout the right to vote. (b) TheManagementSubcommitteeshall haveallthenecessarypowerand authoritybetweentheregularly scheduledmeetingsoftheExecutive Committeetoactonbehalfofthe ExecutiveCommitteeonany required,urgentornecessary Associationbusinessmatters,claimsor issues,unlesstheSubcommitteeis specificallydeniedthosepowersand dutiesbypriorresolutionanddirection oftheExecutiveCommittee.Anyand allsuchactionsundertaken orrecommendedbytheManagement Subcommittee(includinganyminutes from any meetings) shall be subject to finalreviewandapprovedbythe ExecutiveCommitteeatitsnext regularlyscheduledmeetingorspecial meeting. (c) Ifrequired,theManagement Subcommitteeshallmeetinperson uponthecallofthePresidentor1st VicePresidentoftheAssociationor by any three (3) other of its members on

notice given to its members by mail,telephone,telegraph,orfacsimile (“communicationequipment”),not lessthan24hoursinadvanceofthe time set for any such meeting. Any meetingheldinpersonshallbeheldat theAssociation’sheadquartersoffice or at such other suitable place as the noticemaydesignate.Anythree (3)membersshallconstituteaquorum oftheManagementSubcommittee. Withoutassemblinginperson,the members of the Management Subcommitteemayconducta meeting by conference telephone orbysimilarcommunicationequipment (“electronically”). A unanimous vote at anymeetingnotheldinperson isrequiredtoapproveanyactionofthe Subcommittee. (d) TheManagementSubcommittee maytakeanyinformalactionsand approvalswithoutmeetinginpersonby amajorityvotetakenatanysuch meeting of the Management Subcommittee. (e) Allreasonableandnecessaryexpenses oftheManagementSubcommitteeshall bepaidbytheAssociation.The ManagementSubcommitteeshall promptlyreportanyactionstaken orrecommendationsmadetothe ExecutiveCommitteeatitsWinter Meetingand/orAnnualMeetingofthe Associationoratanyotherscheduled meeting. (f) TheManagementSubcommittee shallactastheGrievanceCommittee oftheAssociation.Inadditiontoits dutieslistedinArticleIII,Section7(c) and(d)withreferencetothe Membership,theManagement Subcommitteehasthefollowingduties, functionsandpowers: 1.Iftherehasbeenanapparentand seriousviolationofapplicablefederal orstatelaw,NSA’sConstitutional

CharterorBylaws,orthe Association’sCodeofEthicsof theOfficeofSheriff,anywritten complaintorgrievancemade against any member of the Associationmaybesubmitteddirectly to the Executive Director of the Association or through the various statesheriffs’associationsto the Executive Director of the Associationforconsiderationbythe ManagementSubcommittee.The ManagementSubcommitteeshallact on any such formal grievance lodgedagainstanyindividual memberoftheAssociation.Ifand whenanysuchwrittencomplaint isreceived,theExecutiveDirector oftheAssociationwillimmediately referanysuchwrittencomplaintto the chairman of the Management Subcommittee.Thenoticeofany suchwrittencomplaintshallbesentto theappropriatestatesheriffs’ associationwithanotice,ifany, oftheeventualfindingsofthe ManagementSubcommitteetobe providedtothesamestatesheriffs’ association. 2.Afterawrittencomplaintismade toandconsideredbythe ManagementSubcommittee, theManagementSubcommittee’s writteninvestigativefindings andrecommendationsshallbemade totheExecutiveCommitteefor considerationandanyaction. Anystatementofchargesasprepared bytheManagementSubcommittee shallbesentbyregisteredmailto theaffectedmemberathisorherlast recordedaddressinthefilesofthe Associationwiththetimeandplace ofanyscheduleddueprocesshearing (ifwarrantedandrequested)tobe heldbeforetheManagement Subcommitteetoconsiderany

suchcharges.Themembersocharged shallbeentitledtoreasonabletimeat anysuchscheduledhearingtopresent hisorherevidenceindefenseofany chargesinwritingand/orinperson andthememberreservestherightto berepresentedbycounselofhis/her choiceathis/hersoleexpense. 3.Anymemberorofficerofthe Associationmaybecensured, suspended,orexpelledbymajority voteoftheExecutiveCommitteeas providedinsection4below.Any individualmemberwhoiscensured, suspended,orexpelledandwhoholds anyofficeordirectorshipinthe Associationshalllikewisebe censured,suspended,orexpelledas anofficerordirectorofthe Association. 4.TheManagementSubcommittee, actingasahearingpanel,shalladhere tothefollowingdueprocess procedures: i.Aformalhearingshallbeconducted in a manner similar to that of agovernmentaladministrative proceduralhearing;and ii. The chairman of the Management Subcommitteewillpresentthe evidenceofanyviolation(s)inthe formoftestimonyorbyaffidavits ofwitnessesorinanyother acceptableformofevidence;and iii. Theallegedviolatororhis/her representative may present evidenceonhis/herbehalfin writingorbywitness;and iv. Any such formal hearing may berecordedortranscribed verbatim by the Association. A transcriptcanbemadeavailable totheallegedviolatorupon requestathis/hersoleexpense; and v. AlldecisionsbytheManagement Subcommitteeshall

bebasedonapreponderanceof theevidencewithatleastthree (3)ofthefive(5)hearingpanel members being in agreement to sustainanychargesand violationsofapplicablefederalor statelawortheCodeofEthicsof theOfficeofSherifforthe ConstitutionalCharterorBylaws oftheAssociation;and vi. Intheeventanychargesare sustainedbythehearingpanel, theExecutiveCommitteebya majority vote may levy one of three (3) possible sanctions basedonthenatureandseverity ofanysuchviolation(s)andthe writtenfindingsandspecific recommendationsofthehearing panelcontainedinanyhearing panel’swrittenreport,suchas: a. Censure:Alettertoany violator citing the section oftheCodeofEthics oftheOfficeofSheriff, applicablelawsor Constitutional Charter or BylawsoftheAssociation violatedandadvisingthe violatoroftheAssociation’s disapprovalofhisorher actions or omissions. b. Suspension:Alettertothe violatorcitingtheCode ofEthicsoftheOfficeof Sheriff,applicablelaw or Constitutional Charter or BylawoftheAssociation violatedandadvisingthe violatorthathe/sheis suspendedfromNSA membershipand/oroffice orasamemberoftheBoard of Directors of the Associationwithallrights andprivilegessuspended

toadoptandtoissuebindingor nonbindingresolutionsofpolicyon behalfoftheAssociationandits membership.Resolutionsmaybe broughtbyamemberoftheAssociation, byastandingcommitteeofthe Association,bytheBoardofDirectorsor bytheExecutiveCommitteetothe ManagementSubcommitteefor consideration,reviewandapprovalonly after obtaining the approval of the chairpersonsofboththeLegalAffairs andLegislativeAffairsCommittees. Any such resolution brought for considerationandpassagebythe ManagementSubcommitteemay, inaddition,bepresentedtotheeligible voting membership of the Association foritsconsiderationandformal adoptionatanyapplicableAnnual Conference of the Association as a formalresolutionasprovidedinArticle XIII,Section6,oftheseBylaws.

ArticleVIII-OfficersSection 1 - OfficersTheelectiveofficersoftheAssociationshallbeaPresident,three(3)VicePresidentsdesignatednumericallyas1stthrough3rd,aSecretary,aTreasurer,andasergeant-at-arms.OfficersshallbeelectedattheAssociation’sAnnualMeeting,shallassumeofficeattheconclusionoftheAnnualMeeting,andserveforatermof one year or until their respective successors areelectedandqualified.Tobequalified,anofficer,whenelectedandwhileservingasanofficer,mustbeamemberoftheAssociationandservingasafull-time,electedsheriff.Notmorethanoneofficer(uptoandincludingthePresidentoftheAssociation)shallbeelectedfrom any one state.

Section 2 - Election of OfficersTheofficeofthePresidentshallbefilledbytheelectionofthe1stVicePresident,butifthat officeisvacant,bytheelectionoftheVicePresidenttheninofficehavingthemost

seniority.AllVicePresidentsandofficersshallbeelectedtoserveinorderoftheirseniority;the2ndVicePresidentshallbeelectedasthe1stVicePresidentandthe3rdVicePresidentasthe2nd,theSecretarywouldbeelectedtobecomethe3rdVicePresident,theTreasurerwouldbeelectedtobecometheSecretary,theSergeant-at-ArmswouldbeelectedtobecometheTreasurer,andanewSergeant-at-Armswouldbeelectedprovided,atthetimeofelection,suchofficerisservingasafull-time,electedsheriff.ThemembershipshallelectaqualifiedmembertoanyVicePresidencies,Secretary,theTreasurer,andtheSergeant-at-Armsseatsthenvacant.AllsuchofficersshallbeselectedfromthosehavingtherequiredqualificationsasprovidedunderArticleVI,Section10oftheseBylaws.

Section 3 - PresidentThePresidentshallbetheprincipalelectiveofficeroftheAssociation,shallpresideatmeetingsoftheAssociation,theBoardofDirectors,andtheExecutiveCommittee.He/sheshallbeamemberex-officio,withrighttovote,ofallcommittees.He/sheshall,attheAnnualMeetingoftheAssociation,andatsuchothertimesashe/sheshalldeemproper,communicatetotheAssociation,totheBoardofDirectors,ortotheExecutiveCommitteesuchmattersandmakesuchsuggestionsasmay,inhisorheropinion,tendtopromotethewelfareandincreasetheusefulnessoftheAssociation.He/shemayappointapersontorepresenttheAssociationineachofthe50states,theDistrictofColumbia,theCommonwealthofPuertoRico,andotherterritoriesoftheUnitedStates.

Section 4 - Vice PresidentsIntheeventofthetemporaryinabilityofthePresidenttoperformhisorherdutiesorduringhisorherabsenceforameeting,hisorherdutiesshallbeperformedbytheVicePresidenthavingthenextgreatestseniority.Onthevacancy,resignation,death,orpermanentdisabilityofthePresident,the1stVice PresidentshallbecomeactingPresident,butiftheofficeof1stVicePresidentshallbecome

vacant,theVicePresidenthavingthegreatestseniorityasaVicePresidentshallbecomeactingPresident;however,ifthereisnoVicePresident,Secretary,TreasurerorSergeant-at-Armsholdingoffice,anactingPresidentshallbechosenbytheExecutiveCommittee.Thethree(3)VicePresidentsoftheAssociationshallhavesuchdutiesasthePresidentortheExecutiveCommitteemayassign.

Section 5 - SecretaryThe Secretary shall cause notice to be given ofAnnualMeetingsoftheAssociation,causearecordofproceedingstobekept,attestdocuments,andperformsuchotherdutiesasareusualforsuchanofficialorasmaybedulyassignedtohim/her.TheSecretarymaydesignateamemberoftheAssociationstaffasapprovedbytheExecutiveDirectortobeanassistantSecretaryforthepurposeofattestingroutinedocumentsandaffixingtheAssociation’sseal thereto.

Section 6 - TreasurerTheTreasurershallcausearecordtobemaintainedastoallmoniesreceivedandexpendedfortheuseoftheAssociation.He/sheshallbeassistedbytheExecutiveDirectoroftheAssociation.He/sheshallmakeareportattheAnnualMeetingorwhencalleduponbythePresident.Hisorherrecordsshallbesubjectannuallytoanauditandreviewbythecertifiedpublicaccountantorfirmretainedbythe Association.

Section 7 - Sergeant-at-ArmsTheSergeant-at-ArmsshallmaintainorderanddecorumatallmeetingsandconferencesoftheAssociation.He/sheshallbethedoorkeeperwhoshalladmittosaidmeetingsonlythosepersonswhomaybeinproperattendanceandshallperformsuchotherdutiesasthePresidentshalldirect,includingthepropermaintenanceofthevotingboothandthecomputingandreportingof all votes of all elections.

Section 10 - Compensation and ExpensesNoofficeroftheAssociationelectedbythemembership shall receive any compensation forhisorherservices,butshallbereimbursedforanynecessaryexpensesincurredbyhim/herindischarginghisorherofficialdutiesastheExecutiveCommitteemayfromtimetotimeauthorize.

Section 11 - Qualification for Election and ServiceTobequalifiedtobeelectedandtocontinuetoserveasanofficer(includinganyImmediatePastPresidents)ofthisAssociation,aneligibleindividualmustbeservingandcontinuetoserveasanelectedfull-timesheriffandbeamemberingoodstandingoftheAssociationduringhis/herentiretermofofficeasanofficerofthisAssociation.AcompletedUniformQualificationsApplicationprovidedbytheAssociationmustbesubmittedforreviewandreceivedpriorapprovalbytheNominatingCommitteeoftheAssociation.AfteranyelectionorinanyotherwayanofficeroftheAssociationleavesorvacatestheOfficeofSheriff,thatofficeroftheAssociationshallimmediatelyvacatehis/herNSAofficeorthatofanyaffiliateofNSA.

Article IX - Executive DirectorSection 1 – Appointment (a) An Executive Director shall be appointedbytheExecutiveCommittee to serve at the pleasure of the Committeeorforsuchperiodasthe Committeemaydesignatebycontract. InmakingtheappointmenttoExecutive Director,theCommitteeshallrequire thatthepersonappointedpossess executiveandadministrativetalents, havehadexperienceinpositions having comparable responsibilities to those of the Executive Director of theAssociationand,througheducation orexperience,befamiliarwithall ramificationsoftheadministrationof criminaljusticethroughouttheUnited States. (b) InappointinganExecutiveDirector, otherthanreappointinganincumbent, theExecutiveCommitteeshallnot actuntilithasreceivedandconsidered thereportofasearchcommittee,which committeeshallhaveinvestigatedthe widestrangeofqualifiedcandidates possibleandmadeitsrecommendation totheExecutiveCommittee.The Presidentshallappointasearch committeeofnotlessthanthree(3) normorethanfive(5)Association

Section 2 - DutiesThe Executive Director shall be the principal officialchargedwiththeday-to-dayoperationof the Association. Subject only to the policy determinationsofthePresident,theBoardofDirectors,andtheExecutiveCommittee,theExecutiveDirectorshallhavetheauthorityto: (a) Administertheaffairsofthe Association. (b) Appoint a Deputy Executive Director andsuchotherofficialsandemployees astheefficientoperationofthe Associationmayrequire,atsuch compensationandundersuch conditionsashe/shemaydeemproper. (c) Contract on behalf of the Association for theofficespace,furniture,equipment, supplies,andsuchotherservicesasthe Associationmayrequire. (g) Organizeandsuperviseallresearch andeducationalprogramsandgrantsof the Association. (h) Give general supervision in the preparation,editing,anddistributionof theAssociation’sofficialpublications. (i) Supervisetheperformanceoftheduties ofallAssociationemployeesand ensure the satisfactory performance of alldutiesassignedtothem. (j) RespondonbehalfoftheAssociation torequestsforinformationandadVice fromindividualsandorganizations, bothprivateandgovernmental. (k) Obtainsuchsuretybondsorliability insuranceforofficersandemployeesof the Association as the Executive Committeemayfromtimetotimeorder, the cost thereof to be borne by the Association. (l) Submitallbooksandpaperstoa certifiedpublicaccountantorfirm retainedbytheExecutiveCommittee forannualauditorwheneverordered bythePresident,Treasurer,orthe ExecutiveCommitteeoftheAssociation. (m)Surrenderallbooks,records,papers, andmoniesoftheAssociationtothe Presidentortoamemberofthe ExecutiveCommitteedesignatedto receivesameimmediatelyuponbeing instructedtodosobyresolutionofthe ExecutiveCommittee. (n) Negotiate,execute,andadminister contracts,grants,orotherfinancial awardsthatwilladvancethenon-profit objectives of the Association. (o) Ingeneral,serveastheexecutiveagent

ArticleX-StandingandOtherCommitteesSection 1 - DesignationTheAssociationshallincludethefollowingstandingcommittees:AuditCommittee,BudgetCommittee,ConferenceCommittee,CommitteeofStateSheriffs’Associations,andPastPresidentsCommittee.ThePresidentshallappointsuchspecialcommitteesorsubcommitteesasmayberequiredbytheBylawsorashe/shefindsnecessary.ThePresidentshallappointallchairmenandmemberstoanyCommitteeoftheAssociation,exceptasotherwiseprovidedbytheConstitution&BylawsoftheAssociation.

Section 2 - Conference CommitteeTheBoardofDirectorsshallserveastheConferenceCommitteeoftheAssociation.AtaWinterMeeting,theConferenceCommitteeshallconsidertheofficialinvitationsfrompotentialhostlocationsassubmittedbytheExecutiveDirectorandshallselectonlytwo(2)proposedlocationstoholdafutureNSAAnnualMeeting.TheExecutiveDirector,NSAstaffandasubcommitteeoftheBoardofDirectorsshallhavethefiduciarydutyandresponsibilitytoassisttheBoardofDirectorsinthisselectionprocessinchoosingafuturesitetoholdaNSAAnnualMeeting.TheBoardofDirectorsshallselectthefinalsiteofafutureAnnualMeetingateachapplicableAnnualMeetingoftheBoardofDirectors.

Section 3 - Committee of State Sheriffs’ AssociationsThePresidentsandExecutiveDirectorsofstatesheriffs’associations,providedtheyaremembersoftheNationalSheriffs’Association,andthePresidentandExecutiveDirectoroftheNationalSheriffs’Associationortheirdesignees,shallconstitutethemembershipoftheCommittee.ThechairmanoftheCommitteeandsuchotherofficersastheCommitteeshalldesire,shallbeselectedbythemembersoftheCommittee.TheCommitteeshallmeetatNSA’sAnnualMeetingandatsuchothertimesandplacesastheCommitteechairpersonshalldesignate,oroncallofthemembersofaCommitteerepresentinganyfivestatesheriffs’associations.ThejurisdictionoftheCommitteeshallbelimitedtomattersrelatingtostatesheriffs’associationsandtheCommitteeshallreporttotheNSAExecutiveCommittee.

Section 4 – Audit Committee (a) Duringeachfiscalyearandimmediately followingtheannualconferenceofthe Association,thePresidentshallappoint six (6) members of the Association toserveontheAuditCommittee.The five(5)votingmembersoftheAudit Committeeshallconsistofanappointed Chairman,theSecretary,Treasurer,the 3rdVicePresidentoftheAssociation andamemberingoodstandingofthe Associationwhoisnotservingasa memberoftheExecutiveCommittee oftheAssociation.Inaddition,a memberfromtheCommitteeof StateSheriffs’Associationsasselected bytheCommitteeofStateAssociations andasappointedandapprovedbythe PresidentoftheAssociationshall serve as the non-voting member of the AuditCommittee. (b) TheAuditCommitteeshallmeetat leastannuallyattheAssociation’s CorporateOfficesandshallconduct arandomauditoftheAssociation’s financialaccounts,operationalpolicies

Section 5 – Budget CommitteeTheBudgetCommitteeoftheAssociationshallconsist of members of the Management Sub- Committee(themembershipoftheManagementSub-CommitteeisprovidedinArticleVII,Section12(a)oftheConstitution&BylawsoftheAssociation).DuringeachfiscalyearoftheAssociation,theExecutiveDirectorshallsubmittheannualbudgetoftheAssociationtotheBudgetCommitteeforitsreviewandapproval.FollowingthereviewandapprovalbytheBudgetCommitteeoftheannualbudgetoftheAssociation,theExecutiveDirectorshallpresenttheannualbudgettotheExecutiveCommitteeandBoardofDirectorsfortheirfinalreview,approvalandadoptionattheAnnualMeetingofthe Association. Section 6 - Past Presidents CommitteeThePastPresidentsCommitteeoftheNationalSheriffs’AssociationshallactasanadvisorycommitteetotheBoardofDirectorsandExecutiveCommitteeoftheNationalSheriffs’Association.AmongotherdutiesandresponsibilitieswhichmaybeassignedtothisNSACommitteebythePresidentoftheAssociation,theadvisorycommitteeasawholeorindividuallywillassistandmentornewmembersoftheBoardofDirectorsandoftheExecutiveCommitteeoftheAssociation.Inaddition,thisadvisorycommitteewillserveasaresourceinassistingotherNSACommittees.Moreover,thisadvisorycommitteewillprepareandpresentreportsmakingspecificrecommendationstotheExecutiveDirector

Article XII - SealTheAssociationshallhaveasealofsuchdesignastheExecutiveCommitteemayadopt,andshalladoptanysuchotherseal,materials,orproductsforprotectionbycopyrightand/ortrademark.

ArticleXIII-MiscellaneousSection 1 - Limitation of LiabilitiesNothinghereinshallmakemembersoftheAssociation partners or employees of the Associationforanypurpose.Nomember,officer,agent,oremployeeofthisAssociationshall be liable for the acts or failure to act on thepartofanyothermember,officer,agent,or employee of the Association. Nor shall any member,officer,agent,oremployeebeliableforhis/heractorfailuretoactundertheseBylawsexcepting only acts or omissions to act arising outofhis/herwillfulmisfeasance.

Section 2 - National EmergencyInfurtheranceofitsresponsibilityforthesupervision,control,anddirectionoftheaffairsoftheAssociation,theExecutiveCommitteemayprovidespecialrules,regulations,andproceduresasitshalldeemnecessarytothecontinuedeffectivemaintenanceandconductoftheAssociationduringanyperiodofnationalemergency.

Section 5 - Association Emblem and AdvertisingNomemberoftheAssociationshalldisplaytheAssociation’semblemexceptinaccordancewiththerules,policiesandproceduresestablishedfromtimetotimebytheExecutiveCommittee.NomemberorofficeroftheAssociation,excepttheAssociation’sregularlyemployedstaff,shallsolicitanytypeofadvertisingforany Association publication or engage in any otherfund-raisingactivityunlessspecificallyauthorizedtodosobytheExecutiveCommittee.

Section 6 - Formal NSA Resolutions Proposed and Adopted by the General Membership (a) AnyNSAResolutionnototherwise issuedbytheManagement SubcommitteeorbyBoardofDirectors orbyExecutiveCommitteemay be brought by a member of the Associationorbyacommitteeofthe Associationforconsiderationbythe BoardofDirectorsandExecutive Committeewhichcanbeforwarded andadoptedasaFormalNSA ResolutionoftheAssociationtobe votedonbythegeneralmembershipof the Association at an Annual Conference of the Association. (b) Allformalresolutionsasproposed andadoptedbythegeneralmembership oftheAssociationshallbecomeeffective

CODE OF ETHICS OF THE OFFICE OF SHERIFF

Asaconstitutionally/statutorilyelectedsheriff,IrecognizeandacceptthatIamgivenaspecialtrustandconfidencebythecitizenswhomIhavebeenelectedtoserve,represent,andbytheemployeesImanage.ThistrustandconfidenceismybondtoensurethatIshallbehaveandactaccordingtothehighestpersonalandprofessionalstandards.Infurtheranceofthispledge,IwillabidebythefollowingCodeofEthics.

IshallensurethatIandmyemployees,intheperformanceofourduties,willenforceandadministerthelawaccordingtothestandardsoftheU.S.Constitutionandapplicablestateconstitutionsandstatutessothatequalprotectionofthelawisguaranteedtoeveryone.TothatendIshallnotpermitpersonalopinion,partyaffiliations,orconsiderationofthestatusofotherstoalterorlessenthisstandardoftreatmentofequalprotectionunderthelaw.
