PREAMBLE

The objects of the International Associationof Heat and Frost Insulators and Allied Work-ers shall be to defend by all legal and honor-able means the rights of its membership, to ad-vance their interests as workers, to developopportunities for employment in the trade andby education and cooperation to raise them tothat position in society to which they arejustly entitled.

The delegates of this Thirtieth QuinquennialConvention do hereby, in convention assem-bled at Las Vegas, Nevada, enact, declare andestablish the following as the Constitution, By-laws and Future Rules of Government of theInternational Association of Heat and Frost In-sulators and Allied Workers and its affiliatedlocal unions.

Various articles, sections, clauses and provi-sions of this Constitution establish certainconditions of membership and are neither in-tended to be nor established as conditions ofindividual or collective employment. Nothingherein is to be interpreted in such a manner asto require discrimination against any individ-ual in regards to job referrals, hire, or lengthor termination of employment. All articles,sections, clauses and provisions of this Consti-tution shall be interpreted and applied in thelight of this provision.

CONSTITUTION

ARTICLE ITitle

Section 1. This organization shall beknown as the International Association ofHeat and Frost Insulators and Allied Work-ers.

Section 2. Its headquarters known andmentioned as the General Office shall be lo-cated in the metropolitan area of Washington,D.C.

ARTICLE IIJurisdiction and Authority

Section 1. The International Association ofHeat and Frost Insulators and Allied Workersshall have supreme ruling authority and super-vision over all its affiliated local unions.

ARTICLE IIIMembership

Section 1. All persons of good and moralcharacter at work in the manufacturing, fabri-cation, assembling, molding, handling, erec-tion, spraying, pouring, mixing, hanging,preparation, application, adjusting, alteration,repairing, dismantling, reconditioning, corro-sion control, testing, maintenance, removal,and clean up of heat, frost, or sound insula-tion, such as magnesia, asbestos, hair felt,wool felt, cork, mineral wool, infusorial earth,mercerized silk, flax fiber, fire felt, asbestospaper, asbestos curtain, asbestos millboard, fi-brous glass, foam glass, styrofoam,polyurethane, polystyrene, metals, plastics, fi-brous matt, roving and resins, acousticalsound pads, or other materials used in ourcraft, or substitutes for these materials, or en-gaged in fire stopping (which includes the ap-plication of materials or devices within oraround penetrations and openings in all ratedwall or floor assemblies to prevent the pas-sage of fire, smoke or other gases, sealing ofpenetrating items and blank openings, and allcomponents involved in creating the ratedbarrier at perimeter slab edges and exteriorcavities, the head of gypsum board or con-crete walls, and joints between rated wall or

floor components), clean up or removal oftoxic waste or hazardous materials, includinglead, or any labor connected with the handlingor distributing of insulating materials on jobpremises, including the operation of all equip-ment associated with the work described inthis section, are eligible for membership.

Section 2. Applicants for membership shallcomply with local union laws governing same,including any requirements for examinations.

Section 3. (a) Applicants for apprentice orimprover membership shall comply with alllocal union and International Association lawsgoverning same. To be eligible, they must benot less than eighteen (18) years of age. Theyshall be subject to physical examination by aphysician selected by the local union, and allapplications for apprentice or improver mem-bership must be accompanied by a birth cer-tificate or baptismal certificate which will beretained in the local union files. Each insula-tion construction local union must adopt theNational Curriculum recommended by the In-sulation Industry International Apprenticeshipand Training Fund as a minimum standard.

(b) Each insulation construction localunion shall establish an intermediate me-

chanic program. This program will evaluateand provide enhancement and upgrade train-ing, for newly organized and current mem-bers, in accordance with guidelines estab-lished by the International Association.

Section 4. Where a local union has an ap-proved indentured apprenticeship program,cancellation of an apprentice’s agreement, fora just cause, after notice and hearing by theJoint Apprenticeship Committee, shall auto-matically cancel his membership in the Inter-national Association of Heat and Frost Insula-tors and Allied Workers and the local union.

There will be no appeal to the InternationalAssociation of Heat and Frost Insulators andAllied Workers by an apprentice on cancella-tion of his membership.

In the event of cancellation of an appren-tice’s agreement, the local union financial sec-retary shall report it to the General Office onthe Financial Secretary’s Monthly Report.

Section 5. Improvers and apprentices shallserve a period of four (4) or five (5) years atthe craft, whichever is required by the applica-ble improvership or apprenticeship program(a minimum of sixteen hundred (1,600) work-ing hours in a twelve (12) month period shallconstitute a year, unless a lesser number is ap-

proved by the General Office), and as a condi-tion of maintaining such status during suchtime they will be paid at a maximum of fiverates which shall be in the minimum amountsof fifty (50), sixty (60), seventy (70), eighty(80), and ninety (90) percent of the mechanichourly rate for the first (1st), second (2nd),third (3rd), fourth (4th), and, if applicable,fifth (5th) years respectively, after which theywill be entitled to apply for mechanic’s exami-nation, which examination shall be conductedby a joint committee of the local and employ-ers. An improver or apprentice failing to satis-factorily pass this examination shall not be re-examined within six (6) months. The rates forimprovers and apprentices may be modifiedwhen necessary to acquire and protect thework of our trade and its members.

Section 6. Apprentice or improver mem-bership shall be granted in such numbers as tohave available a ratio of one (1) apprentice orimprover to three (3) mechanics employed ina shop. No apprentice or improver shall exe-cute work unless in company with a me-chanic, except when authorized by the Busi-ness Manager. Apprentices or improvers shall,under no circumstances, be recognized as me-chanics.

Section 7. Applicants for apprentice or im-prover membership shall, when accepted formembership, make payment of fifty percent(50%) of the initiation fee charged mechanicapplicants, and shall pay local union dues inthe amount determined by the local union.After passing the usual mechanical examina-tion, payment of the remaining fifty percent(50%) of the initiation fee shall be made, atwhich time after the mechanic membershiphas been granted, they will be obligated to fullmembership in the local union, and only thenwill they be entitled to vote in local unionmeetings. Until then, apprentices or improverswill be permitted to attend any and all localunion meetings, with a voice but without avote in such meetings. Each local union maydetermine when applicants for membership,other than applicants for apprentice or im-prover membership, are obligated to pay all orpart of an initiation fee.

Section 8. All local union members mustbe registered at the General Office for pur-poses of identification and also to determinetheir standing in the trade.

Section 9. Applicants for membership willmake application on an official form suppliedby the General Office.

Section 10. Application forms shall be filedby the local union and forwarded by elec-tronic means to the General Office within ten(10) days for investigation, registration, and is-suance of membership card designating themember’s proper classification. There will be acharge of ten dollars ($10) for all originalmembership cards and ten dollars ($10) for allreplacement membership cards.

Section 11. A mechanic applicant acceptedby a local union must pay dues and full initia-tion fee to said local before being obligatedand declared a member, which in all casesmust be with the consent of the InternationalAssociation.

Section 12. A member of a local unionmust furnish and use such craft tools as aredetermined by the local union officers or JointTrade Board to be necessary in the upholdingof the standard of material application.

Section 13. Obligation for apprentices, im-provers or helpers.

mands during the period of my apprentice/im-prover/helper membership. I will support therights of all workers to organize. I will sup-port the goals of the International Associationand Local Union No. ............ to organize allworkers in our industry into local unions. Ishall do all in my power to aid and assist myfellow apprentice/improver/helper membersas well as the mechanic members of the local,and shall comply with all local union lawswhile an apprentice/improver/helper mem-ber.”

Obligation for mechanic or other members.“I, ....................., without mental reservation,

do solemnly swear on my honor to uphold theConstitution and Bylaws of the InternationalAssociation and Local Union No. ............, andto carry out their just demands. I will supportthe rights of all workers to organize. I will sup-port the goals of the International Associationand Local Union No. ............ to organize allworkers in our industry into local unions and Ishall do all in my power to aid and assist myfellow members.”

Section 14. Members are permitted tomaintain membership in both an asbestosabatement regional local union and a non-as-bestos abatement regional local union. Mem-bers of one type of local union applying for

membership in the other must meet any re-quirements established by that other union foracceptance into membership. In no event maya member represent more than one localunion as a delegate to the convention of theInternational Association.

ARTICLE IVFunds

Section 1. The general funds of the Inter-national Association shall be derived in accor-dance with convention law; i.e.,

(a) All local unions are required to pay thelocal union charter fees of five dollars ($5) percharter applicant; with a minimum charter feeof twenty-five dollars ($25); ten percent (10%)of all initiation fees; twenty-five dollars ($25)of reinstatement fees; and fifty dollars ($50)for re-registration fees (charged all previousmembers when re-affiliating).

(b) Except as set forth in subsections (c)and (d), all local unions shall pay a monthlymembership per capita tax of fourteen dollars($14); and a working assessment equal to onehalf of one percent (1/2%) of each member’shourly wage for each hour worked.

(c) All local unions shall pay on behalf ofall members engaged in asbestos abatement amonthly membership per capita tax of threedollars ($3); and a working assessment equalto one-half of one percent (1/2%) of each mem-ber’s hourly wage for each hour worked.

(d) All local unions shall pay on behalf ofall members holding a fire stopping techniciancard a monthly membership per capita tax ofsix dollars ($6); and a working assessmentequal to one-half of one percent (1/2%) of eachmember’s hourly wage for each hour worked.

Section 2. Should at any time the generalfunds of the International Association fail tomeet its expenses, the General Executive Boardmay levy a general membership assessment, ormay increase the per capita tax, in an amountnecessary to meet the financial requirements. Ifthe Board levies a general membership assess-ment as herein provided, local unions shall beresponsible for collecting and forwarding theamounts levied within the time specified by theBoard. For failure to do so, they may be sus-pended, after due notification by the GeneralSecretary-Treasurer, until the proper amountshave been forwarded to the General Office. Ifthe per capita tax is raised by the Board asherein provided, the monthly local union dues

of each and every member of the InternationalAssociation shall automatically be increased inthe amount of the per capita tax increase en-acted by the General Executive Board. The Gen-eral Executive Board may reduce or rescind anyassessment levied pursuant to this section. Un-less rescinded, any such increase in per capitatax shall remain in effect until the next Interna-tional Convention, which shall then decidewhether such increase should be continued.

Section 3. The fiscal year of the Interna-tional Association shall be the calendar year.

Section 4. In order to encourage the organ-ization and admission of new members, theGeneral Executive Board is authorized towaive the monthly membership per capita tax,for newly-organized members, for up to, butno more than, their first twelve months ofmembership. The General Executive Boardmay discontinue any waiver implemented pur-suant to this section, whenever in its judgmentsuch action is warranted.

ARTICLE VConventions

shall convene quinquennially in August. Thedate and place shall be decided by the GeneralExecutive Board at the regular Board sessionbetween conventions.

Section 2. Seven (7) delegates regularlynominated, elected and credentialed, repre-senting seven (7) affiliated local unions ingood standing shall constitute the quorumnumber under which the convention of the In-ternational Association shall transact its busi-ness.

Section 3. Affiliated local unions in goodstanding must be represented by delegateswho have been regularly nominated, electedand properly credentialed in accordance withthe provisions of this Constitution, includingSection 6 of this Article.

Section 4. Ninety (90) days prior to the con-vention, affiliated local unions with all Interna-tional arrearages paid up to and including themonth of March, preceding the convention,can be represented by one (1) delegate and byadditional delegates in the ratio of one (1) forevery one hundred (100) of their good standingper capita membership or any fraction thereofup to one thousand three hundred (1,300) andthereafter in the ratio of one (1) for every five

hundred (500) of their good standing percapita membership or any fraction thereof.The good standing per capita membership oflocal unions shall be that membership uponwhich said local union has paid the General Of-fice each month for the four months immedi-ately prior to and including the month ofMarch preceding the convention.

Section 5. The General Executive Board isauthorized to continue the Convention Fund,providing for the paying of International con-vention expenses and the compensation ofdelegates and to provide by rules and regula-tions the extent and manner in which suchfund will be disbursed.

Section 6. The president, business man-ager, business agents (if elected), all full-timeofficers and the vice president will automati-cally, by virtue of their office, be delegates tothe International Convention, provided thatthe provision for these combined offices shallnot increase the number of delegates other-wise provided for by Section 4 of this Article.

If the number of those serving in the officeslisted above exceeds the number of delegatesto which a local union is entitled, officers shallbe selected as delegates in the order listed inthis paragraph.

Additional International convention dele-gates and alternates must be nominated andelected at meetings of their local unions. Ex-cept in asbestos abatement regional localunions, a member, to be eligible, must havebeen a member of our International Associa-tion for five (5) years, must have worked as amechanic for at least two (2) years and shallhave been in continuous good standing fortwo (2) years and in attendance at a majorityof the regular local union meetings held dur-ing the past twelve (12) months prior to dateof nomination for convention delegates. In as-bestos abatement regional local unions, amember, to be eligible, must have been in con-tinuous good standing for six (6) months priorto the date of nominations for convention del-egates. In the event an elected delegate is un-able to attend the convention, for any reason,the candidate receiving the next highest votein the descending order from those delegateselected shall be the first alternate and shall beentitled to substitute for any delegate unableto attend the convention. This process shall berepeated for each additional delegate who isunable to attend the convention.

Section 7. The General President, the In-ternational Vice Presidents, the General Secre-tary-Treasurer, and any officers of the Interna-

tional Association given emeritus status mustby virtue of their office, be seated as conven-tion delegates. The convention delegates willbe comprised of the General President, the In-ternational Vice Presidents, the General Secre-tary-Treasurer, officers of the International As-sociation given emeritus status and the localunion delegates as set forth above.

Section 8. Convention delegates and alter-nates must comply with the terms and condi-tions contained in convention credentials sup-plied their local unions by the General Secre-tary-Treasurer before being seated at conven-tions. Credentials for all convention delegatesand alternates must be forwarded to the Gen-eral Office no later than forty-five (45) daysprior to the convening date of a convention,except that no delegate or alternate shall bedenied a seat if the failure to comply with thisrequirement results from and emergency situ-ation. No proxy can be recognized at a con-vention of the International Association ofHeat and Frost Insulators and Allied Workers.

Section 9. All decisions of a conventionshall be reached by a majority vote. Each dele-gate at all times shall cast one (1) vote, hisown, and no other.

Section 10. All resolutions to be consid-ered by a convention of our International As-sociation must be previously endorsed by alocal union of which the introducer is a mem-ber, and an individual copy of each resolutionforwarded to the General Office by registeredmail not later than ninety (90) days prior tothe convening date of the convention. TheGeneral Office shall forward copies of all suchresolutions to all affiliated local unions notlater than forty-five (45) days prior to the con-vening date of a convention, for the purpose ofinformation only and no local will take officialaction endorsing any such resolutions or in-structing their delegates therewith. Resolu-tions may, however, be introduced at any ses-sion of our convention by the General Presi-dent or General Secretary Treasurer or byunanimous vote of the convention delegates.Any proposal from the General Office that, ifadopted, would require an increase or reduc-tion of funds of the International Union will bepresented on the first day of the conventionand voted on during a subsequent day.

Section 11. Whenever it deems it in thebest interest of the convention, the GeneralExecutive Board may authorize any of the con-vention committees to convene prior to theopening of the convention, but no more than

one week prior thereto. The General Presidentshall appoint the following committees:

1. Rules.2. Finance and Audit.3. Grievance and Appeals.4. Resolutions.5. General President’s Report.6. General Secretary-Treasurer’s Report.7. General Executive Board’s Report.8. Constitution and Bylaws.9. Naval Shipyards.

10. Credentials.

All committees shall consist of eighteen(18) delegates, two (2) from each conferenceand two (2) at large.

Immediately after the convention opens, theCredentials Committee shall report, and theconvention organize.

Section 12. Order of Business.1. Calling convention to order.2. Appointing and receiving report of Cre-

dentials Committee.3. Seating of delegates.4. Appointing and receiving reports of

Rules Committee.5. Appointment of other committees.6. Nominations will be conducted on the

first day of the convention.

A candidate may be nominated for only oneInternational office. Any candidate for the officeof General President or General Secretary-Trea-surer shall not be eligible for nomination to anyother office, including office of Vice President.

Section 13. This Constitution can beamended by majority vote at a regular sessionof the convention. The Constitution and By-laws Committee shall meet at the start of theconvention or within a week prior thereto atthe direction of the General Executive Board.This committee shall consider all proposedamendments to be submitted to the conven-tion and shall issue a printed report to the con-vention. Only proposed amendments submit-ted by a local union, and recommendations ofthe International officers, shall be considered.

Section 14. After conclusion of the con-vention, the Constitution and Bylaws and anyresolutions adopted by the convention shall

be sent in electronic form to each affiliatedlocal union. When available, printed versionsof those documents shall be sent to any localunion that requests them.

ARTICLE VIInternational Officers and Elections

Section 1. The officers of the InternationalAssociation shall consist of a General Presi-dent, General Secretary-Treasurer, and ten (10)International Vice Presidents of equal rank,one (1) of whom shall be a member of an affili-ated Canadian local union located in Ontarioor a province east of Ontario, one (1) of whomshall be a member of an affiliated Canadianlocal union in a province west of Ontario, one(1) shall be elected at large and one (1) shallcome from within the boundaries of each ofthe seven (7) conferences in the United States.They shall constitute the International Associ-ation Executive Board. No two of these offi-cers shall be members of the same local union.

Section 2. International officers shall beelected at convention. Only seated delegatesshall be eligible for office. A name properlypresented and duly seconded shall be consid-ered as a nomination provided, the candidate

is present and does not decline. Nominationsshall not close until the Chair asks, “Are therefurther nominations?” after which, none beingheard, they shall be closed.

Section 3. The nomination and election ofofficers shall be in the following order: Presi-dent, Secretary-Treasurer, Vice Presidents.There shall be an individual nomination foreach office. The elections shall be decided bymajority vote by secret ballot. The electionshall be supervised by an Election Committeeof five (5) appointed by the General President,which may not include any candidates for of-fice, and which shall distribute and receiveballots, and tally and announce all results inthe presence of the convention.

Should no candidate receive a majority ofall votes cast upon the first ballot for an office,then there shall be a new ballot taken, and allcandidates shall be dropped from the list ex-cept the one who received the highest numberof votes and the one receiving the next highestnumber of votes.

Section 4. Officers shall be pledged by theconvention as follows:

ARTICLE VIIGeneral President

Section 1. The General President shall pre-side at all sessions of the International Associa-tion and conduct same according to parliamen-tary rules in accordance with the Constitution.

Section 2. He shall preside at local unionmeetings when he so decides.

Section 3. He shall be the official businessrepresentative and chief organizer of the Inter-national Association. He shall be authorized totake whatever steps are necessary to acquireand protect the work of our trade and its mem-bers. He shall be authorized to sign agreementson behalf of the International Associationwhen in his judgment doing so would be in thebest interests of the International Association.

Section 4. He shall be an ex-officio mem-ber of all local union committees and boards.

Section 5(a). The General President shallhave authority to order an audit of the fi-nances of any local union whenever he deemssuch action necessary for the protection of theInternational Association, the local union orits members.

(b). He shall have the authority to removeor suspend any local union officer, representa-tive or agent, or impose on such officer, repre-sentative or agent any other sanction or rem-edy he deems appropriate, for any failure tocarry out the provisions of the InternationalConstitution and Bylaws, or for failure to ob-serve or carry out all lawful decisions or in-structions of the General President, GeneralSecretary-Treasurer or General ExecutiveBoard. In any such case, the General Presidentmay fill such office or position by appointmentof a successor to the officer, representative, oragent so removed or suspended; providedthat, within a reasonable time (usually fifteen(15) days) after such action, a notice of hear-ing before the General President, or before ahearing officer designated by the GeneralPresident who shall conduct the hearing forthe purpose of taking evidence and reportingsame to the General President, shall be issued.

The General President shall then decidewhether to continue the removal or suspen-

sion in question. The decision of the GeneralPresident may be appealed to the General Ex-ecutive Board, provided a notice of appeal isfiled with the General Secretary-Treasurerwithin thirty (30) days of the decision of theGeneral President. The decision of the Gen-eral Executive Board on appeal may be ap-pealed to the next convention of the Interna-tional Association. Full compliance with anydecision issued, including payment of any fineimposed, shall be a condition of filing an ap-peal with either the General Executive Boardor the convention.

Section 6. The General President or hisdesignated representative may prefer chargesagainst any local union member who, in hisjudgment, is violating the Constitution, or whois interfering or attempting to interfere withthe rights of members under working agree-ments or under the Constitution. Any memberagainst whom charges are preferred shall beso notified by the General President and ad-vised of his right to appear in his own defensebefore the General Executive Board or a rep-resentative appointed by the General Presi-dent (who may be a member of the GeneralExecutive Board) to conduct a hearing for thepurpose of taking all pertinent evidence andforwarding same to the General Executive

Board for its decision. In all such cases, thecharged member shall be advised in writing ofthe nature of the charges against him and thedate, time and place of hearing.

Section 7. He shall represent the Interna-tional Association at conventions of the AFL-CIO, Building and Construction Trades De-partment, Metal Trades Department, and allother conventions the International is affili-ated with, and he shall appoint such additionalconvention delegates to which our Interna-tional is entitled.

Section 8. He shall work only for the Inter-national Association. He shall receive a salaryas set by the convention paid monthly intwelve (12) equal installments. He shall re-ceive no salary increase for the period fromOctober 1, 2012 through September 30, 2013.On October 1, 2013, and on October 1 of eachsucceeding year, his salary shall be adjusted toreflect any increase in the Consumer PriceIndex during the preceding twelve (12)months, which adjustment may not exceedfour percent (4%) in any single year. He shallbe reimbursed for his actual expenses and,when away from home, he shall receive addi-tional daily compensation of two hundred dol-lars ($200) per day.

Section 9. He shall serve until his succes-sor is elected at a regular scheduled conven-tion.

Section 10. The General President may, inany given situation, delegate a specific powerof his office to an International Vice President,the General Secretary-Treasurer or any otherdesignated person. Nothing in this provisionshall be construed as conflicting with the au-thority fixed in the International Vice Presi-dents by Article VIII, Section 1 of this Consti-tution.

ARTICLE VIIIInternational Vice Presidents

Section 1. International Vice Presidentsshall rank next to the General President in au-thority and shall supersede International Rep-resentatives, local union presidents and busi-ness managers or business agents on all craftquestions. They shall work only for the Inter-national Association, under the direction ofthe General President. They shall receive asalary as set by the convention, paid monthlyin twelve (12) equal installments. They shallreceive no salary increase for the period fromOctober 1, 2012 through September 30, 2013.

Section 2. International Vice Presidentsshall institute local unions and take active partin extending the influence and prestige of theInternational Association.

Section 3. Vacancies occurring in the ranksof International Vice Presidents between con-ventions shall be filled by appointment of theGeneral President with the approval of theGeneral Executive Board; said Vice Presidentwill be appointed from a local within the con-ference area where the vacancy occurs.

ARTICLE IXGeneral Secretary-Treasurer

Section 1. The General Secretary-Trea-surer shall keep correct record of conventionproceedings and General Executive Board ses-sions and make copies available to localunions by electronic means. He shall preserve

all correspondence and documents. He shallconduct all correspondence between the Gen-eral Office and local unions. He shall receiveapplications for charters and shall sign, sealand deliver same when ordered by the GeneralExecutive Board.

Section 2. He shall record all monies re-ceived at the General Office and send eachlocal union monthly statements by electronicmeans showing all financial transactions be-tween the local union and General Office.

Section 3. He shall supply local unionswith International official receipt books, with-drawal and withdrawal renewal forms, trans-fer and traveling cards, application blanks, re-quests for Honorary Cards, standard localunion stationary, membership cards, seals,local union bookkeeping systems (which shallbe the only bookkeeping system in use by alllocals), and all paraphernalia. He shall alsosupply, through the local union, membershiplapel buttons with the International emblemthereon at a cost of one dollar ($1) each. Heshall also supply membership lapel buttonsshowing years of affiliation, starting with fif-teen (15) years through fifty-five (55) years atfive (5) year increments, at a cost of five dol-lars ($5) each. There shall be no cost for the

twenty-five (25) and fifty (50) year buttons.The International emblem and logo are regis-tered and cannot be used by others except asauthorized by the General Executive Board.

Section 4. He shall make disbursementsonly by sanction of the General ExecutiveBoard on vouchers signed by the GeneralPresident.

Section 5. He shall deposit funds in thename of the International Association subjectto withdrawal only on a draft countersignedby the General President.

Section 6. He shall make a financial reportat regular meetings of the General ExecutiveBoard and produce anything within his keep-ing upon its order.

Section 7. He shall perform all duties re-quired of him by the General Executive Boardand work only for the International Associa-tion. He shall receive a salary as set by theconvention, paid monthly in twelve (12) equalinstallments. He shall receive no salary in-crease for the period from October 1, 2012through September 30, 2013. On October 1,2013, and on October 1 of each succeedingyear, his salary shall be adjusted to reflect any

He shall be reimbursed for hisactual expenses and when away from homeunder instructions of the General President,he shall receive additional daily compensationof two hundred dollars ($200) per day. Heshall serve until his successor is elected at aregularly scheduled convention.

Section 8. Should the office of GeneralSecretary-Treasurer become vacant it shall befilled by a majority vote of the General Execu-tive Board from its numbers.

ARTICLE XGeneral Executive Board

Section 1. The International AssociationExecutive Board, known and mentioned asthe “General Executive Board,” shall be com-posed of the General President, the Interna-tional Vice-Presidents and the General Secre-tary-Treasurer. It shall, from its numbers, bymajority vote, fill the office of General Presi-dent, should that office become vacant. Itshall decide all cases and appeals referred toit in accordance with the Constitution, in ses-

sion or through a Board member or Interna-tional Organizer deputized by the GeneralPresident. Its rulings or decisions shall standunless reversed by convention on appeal. Allpowers, duties and authority over all Associa-tion matters between conventions, not other-wise vested in the General President or Gen-eral Secretary-Treasurer of the InternationalAssociation, shall be exercised by the GeneralExecutive Board.

Section 2. The General Executive Board orany of its authorized members shall hold trialor appeal hearings at the General Office or atany other place which they shall designate, inthe manner provided in this Constitution.

Section 3. A charged member or appellantwho fails to appear at the designated time andplace of hearing shall be deemed to havewaived his right to appear and the proceedingshall continue as if he were present.

Section 4. The General Executive Boardshall be governed by laws adopted in conven-tion. Action taken or documents issued by it inopposition to the expressed will of conventionshall be null and void.

the General Executive Board shall withintwenty-four (24) hours produce whatsoever inits keeping is demanded of it.

Section 6. The General Executive Boardshall bond the General Secretary-Treasurer,audit his accounts and examine the financesof his office annually between conventions.

Section 7. The General Executive Boardmay amend the provisions of this Constitutionand Bylaws when in its judgment such actionis in the best interest of our International As-sociation, subject to ratification at the nextconvention.

Section 8. The General Executive Boardshall supervise the affairs of the InternationalAssociation and can recommend, adopt ororder by majority vote. When the General Ex-ecutive Board interprets the Constitution andBylaws and determines matters concerningwhich the International Constitution and By-laws are silent, the General Executive Boardshall be authorized to promulgate these rul-ings as it deems advisable.

Section 9. The General Executive Boardmay by majority vote grant local union mem-bership to an applicant when in its judgment

such action is in the best interest of our Inter-national Association.

Section 10. A member of the General Ex-ecutive Board negligent in duty or violatingthe Constitution and Bylaws or acting con-trary to the expressed will of convention orGeneral Executive Board shall, upon petitionof five (5) good standing local unions, be triedby the General Executive Board and if foundguilty, removed.

Section 11. The General Executive Boardshall, between conventions, hold semi-annualmeetings at such time and place as they maychoose and special meetings may be called bythe General President, or by approval in writ-ing of one-third (1/3) of the International VicePresidents and said meetings to be convenedwithin fifteen (15) days after request for a spe-cial meeting. In addition, at the discretion ofthe General President, the members of theGeneral Executive Board may vote and trans-act business by correspondence with the Gen-eral Secretary-Treasurer, provided that at leastsix (6) members concur to make valid any ac-tion so taken. It shall convene immediatelyupon convention adjournment and pass uponall matters requiring immediate attention.

Section 12. When strike or lock-out forcesthe membership into idleness the General Ex-ecutive Board shall attempt to develop em-ployment opportunities for the memberswithin the jurisdiction of affiliated localunions. This will also include apprentices orimprovers.

Section 13. When strikes are of an ex-tended duration the General Executive Boardmay levy an assessment for the purpose of al-leviating the financial distress of the member-ship affected in such amount as is found war-ranted.

Section 14. The General Executive Boardshall use every honorable effort to establishharmonious relations between local unionsand employers.

Section 15. The General Executive Boardshall have the authority to reorganize, suspendor revoke the charter of any local union whichit finds has failed or refused to observe theConstitution and Bylaws of the InternationalAssociation or whenever it finds that such ac-tion is in the best interests of the membershipof the local or the International Association. Inany such case, the General Executive Boardshall issue a notice, through the General Of-

fice, to the local union to show cause why theproposed action should not be taken, andschedule a hearing, with at least ten (10) daysnotice thereof, for the purpose of taking evi-dence on that question. The hearing shall beconducted by the General Executive Board, orby a representative designated by the GeneralPresident, who shall take evidence and submitsame, along with his written recommendationto the General Executive Board. The decisionof the General Executive Board shall be trans-mitted to the local union.

Section 16 (a). The General President, withthe approval of the General Executive Board,may appoint a trustee to take charge of the af-fairs of any local whenever he has reason to be-lieve that the affairs of the local are not con-ducted in accordance with the Constitution andBylaws of the International Association; or arebeing conducted in such a manner as to jeop-ardize the interests of the International Associ-ation or the local or its members; or wheneverhe believes that such action is necessary for thepurpose of correcting corruption or financialmalpractice, assuring the performance of col-lective bargaining agreements or other dutiesof a bargaining representative, restoring demo-cratic procedures, or otherwise carrying outthe legitimate objects of the International Asso-

ciation or the local union. The trustee so ap-pointed shall be empowered to take full chargeof the affairs of the local union, to remove anyor all officers and appoint temporary officersduring his trusteeship, and to take such otheraction as in his judgment is necessary for thefurtherance of the interest of the InternationalAssociation, the local union or its members. Of-ficers or representatives of the local removedby the trustee shall turn over to him all monies,books and other properties of the local union.The actions of the trustee shall be subject tothe supervision of the General President, withthe approval of the General Executive Board,who may at any time remove the trustee andappoint a successor trustee. The trustee shallreport periodically, as the General Presidentshall require, on the affairs of the local union atintervals of no more than every six (6) months,which reports shall contain his recommenda-tions as to whether the trusteeship should becontinued or terminated. A local union undertrusteeship shall not send any delegates to theconvention of the International Association.

(b). The General President shall set a timeand place for a hearing, for the purpose of de-termining whether a trusteeship shall be im-posed or continued. The trustee may be ap-pointed prior to such hearing; but in such

event a hearing shall be scheduled within areasonable time (usually thirty (30) days afterthe appointment of the trustee). In either case,at least ten (10) days’ notice shall be given tothe local union and its officers of the sched-uled hearing. A member of the Board, or a de-signee of the General President, shall be ap-pointed for the purpose of conducting suchhearing, taking evidence, and submitting writ-ten findings and recommendations. The deci-sion of the General President shall be trans-mitted to the local union, which may appealthe decision to the next convention of the In-ternational Association.

(c). When a trusteeship is removed, theGeneral President, with the approval of theGeneral Executive Board, may direct the localunion to conduct new elections for local unionofficers and establish the terms of thosenewly-elected officers, not to exceed threeyears, when in his judgment such electionswill serve the interests of the local union or itsmembership.

Section 17. In conjunction with its author-ity to establish the territorial and trade juris-diction of local unions, and to enlarge or re-strict same, as provided in Article XIX, Section3 of this Constitution, the General Executive

Board shall have the power to merge or amal-gamate local unions in any situation where itbelieves the facts and circumstances warrantsuch action.

Section 18. The General Executive Boardshall have authority to approve mergers of theInternational Association of Heat and Frost In-sulators and Allied Workers with anotherlabor organization having fewer members thanthe International Association. Merger of theInternational Association of Heat and Frost In-sulators and Allied Workers with anotherlabor organization having a greater number ofmembers must be approved by a regularly-scheduled or specially-called convention.

ARTICLE XIInternational Representatives

Section 1. International Representativesmay be appointed by the General Presidentand commissioned by the General Office withthe approval of the General Executive Board.

Section 2. International Representatives’commissions may be terminated and recalledby the General President with the approval ofthe General Executive Board.

Section 3. International Representativesshall rank next to General Executive Boardmembers in authority and shall supersede alllocal union and conference officers.

Section 4. International Representativesshall organize unorganized workers into localunions under International law and performsuch other duties as are assigned them by theGeneral Office.

Section 5. International Representativesshall be employed under such conditions ofemployment and compensation as determinedby the General President with the approval ofthe General Executive Board. They shall workonly for the International Association.

ARTICLE XIIPension and Welfare Benefits, and

Other Funds

Section 1. The General Executive Board isempowered and authorized to continue thepension plan established for the full-time paidemployees of the Insulators International, andis directed:

(a) To employ the services of experts and

counsel to assist in doing so and maintainingthe program;

(b) To enter into such agreements on be-half of the International Association as it maydeem necessary to effectuate the program;

(c) To fix the amount of money or other se-curities necessary to maintain the pensionprogram and to transfer same to the trusteesappointed to administer the pension funds andto provide periodic payments to it as may bedetermined to be actuarially required to main-tain the pension fund;

(d) To continue a board of administrativetrustees appointed by the General ExecutiveBoard whose powers and duties shall be suchas may be granted to said board by the Gen-eral Executive Board and by the Agreementand Declaration of Trust which establishedthe pension plans;

(e) To remove any trustee and to appointsuccessor trustees to fill such vacancies asmay exist;

(f) To make such changes and amendmentsto the pension plan and the Agreement andDeclaration of Trust as may be required;

(g) To take all steps as may be necessary toeffectuate the purpose of this Article and toprotect the rights and interest of the partici-pants and pensioners.

Section 2. Health and welfare benefitsshall be provided for the officers and full-timeemployees of the Insulators International. TheGeneral Executive Board shall establish andamend from time to time a plan of benefits forthe persons who are qualified.

Section 3(a). There is established an Insu-lators Health Hazard Fund, to deal with healthand safety matters in the insulation industry. Itshall be funded through payments in theamount of two cents (2¢) per hour worked,per member, to be collected by each localunion and forwarded by the local union Finan-cial Secretary to the General Office.

(b). There is also established a fund, calledTissue Bank Asbestos Research, to promoteand fund research designed to find a cure, anddevelop treatments, for mesothelioma andother asbestos-related diseases. It shall befunded through payments in the amount offour cents (4¢) per hour worked, per member,to be collected by each local union beginningon January 1, 2013 and forwarded by the local

Section 4. The General Executive Board isauthorized to establish a pension plan for theparticipation of full-time employees of localunions of the International Association.

Any local union with a full-time businessmanager/agent shall participate in the plan es-tablished by the General Executive Board, inaccordance with its terms.

Section 5. There is established an Insula-tion Industry International ApprenticeshipTraining Fund. It shall be funded through pay-ments in the amount of five cents (5¢) perhour paid per member, to be collected by eachlocal union and forwarded by the local unionfinancial secretary to the Fund. The GeneralExecutive Board may increase the amount ofthe hourly payments if in its judgment an in-crease is necessary. The General ExecutiveBoard may decrease or rescind any such in-crease imposed. Unless rescinded, any in-crease in the amount of hourly payments shallremain in effect until next convention, whichshall then decide whether such increaseshould be continued.

ing fund to which each member of the Interna-tional Association shall contribute an amountequal to seven cents (7¢) for each hourworked. That contribution shall be increasedto eight cents (8¢) for each hour worked, ef-fective January 1, 2009; nine cents (9¢) foreach hour worked, effective January 1, 2010;and ten cents (10¢) for each hour worked, ef-fective January 1, 2011. Such contributionswill be collected and forwarded to the fund ona monthly basis by each local union.

Section 7. There is established an Insula-tors Emergency Relief Fund to provide relieffor individual victims of national disasters andemergencies to which each member of the In-ternational Association shall contribute anamount equal to one-half cent (1/2¢) for eachhour worked. Such contributions will be col-lected and forwarded to the fund on a monthlybasis by each local union.

Section 8. The General Executive Board isempowered and authorized to continue theFlorence Bernard/Alta Miller ScholarshipFund for the purpose of providing scholar-ships to dependents of union members whoare, or will be, enrolled in accredited post-sec-ondary schools or in special education pro-grams. Each member of the International As-

sociation shall contribute an amount equal toone-half cent (1/2¢) for each hour worked.Such contributions will be collected and for-warded to the fund on a monthly basis by eachlocal union.

Section 9. The General Executive Board isauthorized to establish and maintain a politi-cal action fund. Local unions shall be obli-gated to contribute one cent (1¢) per hourworked per member to that fund, suchamounts to be collected by each local unionbeginning on January 1, 2013 and forwardedby the local union Financial Secretary to thepolitical fund.

ARTICLE XIIIInitiation Fees, Fines, Assessments

and Dues

Section 1. Local unions shall establish amembership initiation fee of at least fifty dol-lars ($50) six (6) months after date of charterissuance. Each local union shall after the firstyear of its charter existence establish a mini-mum of a fifty dollar ($50) initiation fee and inno instance shall said initiation fee exceed atotal of five hundred dollars ($500). Ten per-cent (10%) of all initiation fees received by

local unions shall be forwarded to the GeneralOffice.

Section 2. Filed applications for member-ship shall not be subject to increased initiationfee while awaiting local union action.

Section 3. Initiation fees, reregistrationfees, reinstatement fees, fines (internationaland local), assessments and dues are payablein order as herein mentioned to local unionsinto whose funds they shall go.

Section 4. Local union dues shall bepayable monthly. Where local unions derivetheir revenue from a workday dues system,said payments shall be made weekly. Dues orworking assessments when levied by a localunion shall apply to a member of a sisterlocal working within its territory under theconditions outlined under Article XIX, Sec-tion 9.

Section 5. Local union dues are due andpayable in the month or week in which theyare incurred. Members in “good standing” arethose with dues and all other arrearages paidup to and including the second previousmonth or week as set forth in Section 4 of thisArticle. They shall receive an International of-

ficial receipt itemizing all monies paid by themto local unions.

Section 6(a). When a local union operatesunder a monthly dues system, a member fail-ing to pay assessments, fines and dues withintwo (2) months shall be subject to suspensionand after three (3) months shall be subject tolapsing by local union action. When a localunion operates under a workday dues system,a member failing to make payment of assess-ments, fines and the workday dues withinthree (3) weeks shall be subject to suspensionand after four (4) weeks subject to lapsing bylocal union action.

(b). If a member is subject to lapsing pur-suant to paragraph (a) of this section, thelocal union shall notify the member of thatfact. If a member fails to pay the assessments,fines and dues owed within thirty (30) days ofthat notification, he shall stand lapsed. Noth-ing in this Section 6(b) shall be interpreted toconflict with, or supersede, the requirementsof the final sentence of Article XXV, Section 5.

Section 7. Should a local union maintain ingood standing any of its membership overthree (3) months in arrears it does so on itsown responsibility and shall be held responsi-

ble for all per capita tax indebtedness towithin three (3) months of date the local offi-cially lapses the member.

Section 8. Suspended members shall notattend local meetings. Suspended membersseeking reinstatement shall meet all localunion requirements and in addition shall pay areinstatement fee of fifty dollars ($50), one-half (1/2) of which shall be retained by thelocal union and one-half (1/2) of which shallbe payable to the International.

Section 9. All former members seekingreaffiliation shall meet all local union require-ments, submit new membership application,and in addition shall pay fifty dollars ($50)reaffiliation fee, which fee shall be payable tothe General Office.

Section 10. Former members may reaffili-ate only in conformity with laws governingnew members.

Section 11. A former member reaffiliatingshall be held responsible only for local and In-ternational indebtedness accruing up to andincluding the three (3) months prior to date ofmembership termination in accordance withthe provisions of Section 6 of this Article.

ARTICLE XIVExemption Membership

Section 1. International Exemption mem-bership may be granted by a local union tosuch of its members as may after ten (10)years’ continuous International affiliation be-come permanently incapacitated or infirm tothe extent of failing to perform the averageday’s work of our mechanics.

Section 2. International Exemption mem-bership is of a permanent nature and can begranted only after investigation by the localunion Executive Board, and at its request shallbe issued by the General Office.

Section 3. International Exemption mem-bers shall be recognized only within the juris-diction of the local union granting such mem-bership and shall be exempt from dues, percapita tax and all local and International as-sessments except mortuary.

Section 4. Exemption members can, whennot under supervision of a mechanic, havecharge of an operation to the extent of one (1)apprentice or improver and must receive atleast the highest apprentice or improver rateof wage.

Section 5. Exemption members will holdno local union office or have voting privileges.They will, with approval of the presiding offi-cer, have voice at local union meetings.

Section 6. International Exemption mem-bers shall pay death assessments and receivemortuary fund benefits in accordance with Ar-ticle XXII.

ARTICLE XVHonorary Membership

Section 1. A member who has achievedtwenty-five (25) years of active affiliation withthe International Association of Heat andFrost Insulators and Allied Workers will be eli-gible, upon retirement, to receive an HonoraryMembership Card. Upon request and at thediscretion of the General Officers, a memberwho has been on withdrawal status but hascontributed to the Insulation Industry for acombination of twenty-five years may begranted an Honorary Membership Card.

Section 2. Members holding HonoraryMembership cards will not be required to payper capita tax to the International providedthat they are not required to make any local

union payments (except local union mortuaryfunds in accordance with Article XXII).

Section 3. Members holding HonoraryMembership cards will not be eligible to holdlocal union office or vote at local union meet-ings. They will with the approval of the presid-ing officer, have voice at local union meetings.

Section 4. A member holding an HonoraryMembership card may turn such card in, but hemust be reissued the type of card he held priorto receiving his Honorary Membership card.Members turning in their Honorary Member-ship cards may not vote and shall not be eligi-ble to be a candidate for local union office fora period of ninety (90) days following the reis-suance of their old cards. Members turning intheir Honorary Membership cards within oneyear shall pay all back dues and arrearagesthat have accrued since the date on which theHonorary Membership card was issued.

Section 5. The officers of each local union,and the International Association, may onceper year confer a Special Recognition Hon-orary Membership card on an individual whohas helped advance the organized InsulationIndustry in a significant and noteworthy fash-ion. Those holding a Special Recognition Hon-

orary Membership card shall not pay any duesor assessments and shall not be eligible tohold office, vote or attend union meetings.

Section 6. Honorary members and thosewho have received Special Recognition Hon-orary Membership will be maintained on thejournal mailing file at no cost.

ARTICLE XVIWithdrawal Cards

Section 1. Withdrawal Cards shall be is-sued only to our mechanic members, andthose apprentices or improvers who have ac-cumulated 1440 working hours as a member ofthis International or are in military service,whose financial obligations are paid to date. Awithdrawal card may be returned by and ap-prentice member only if the apprentice agreesto continue in the apprentice training schoolprogram.

Section 2. Members leaving the trade orwho are engaged in other occupations can se-cure withdrawal cards at any time with localunion issuing the same, provided they do nothave charges pending against them. Memberswith withdrawal cards do not have a right to

attend local union meetings. Withdrawal cardsmay be given to members who become em-ployers, superintendents, estimators, sales-men, insulation inspectors, employers’ repre-sentatives or agents in the trade. In no eventshall such members be permitted to vote or toattend local union meetings. Members whohave not been issued withdrawal cards mustnotify any business manager in whose juris-diction they intend to work as employers, su-perintendents, estimators, salesmen, insula-tion inspectors, employers’ representatives oragents in the trade before engaging in suchwork.

Section 3. Withdrawal members returningto the local within one (1) year shall pay allback dues and arrearages that have accruedsince the date of their withdrawal. This provi-sion shall not apply to members who havebeen issued and retained withdrawal cards inconnection with military service.

Section 4. A member returning a with-drawal card is not eligible to vote at localunion meetings for ninety (90) days followingdate of return. The waiting period shall notapply to members who have been issued andretained withdrawal cards in connection withmilitary service.

Section 5. Withdrawal cards carry noworking rights and must be returned to thebusiness manager or business agent beforethe holder works with the tools, after whichhe shall not be eligible for local office or con-vention delegate until after ninety (90) days.

Section 6. Withdrawal card members shallpay death assessments and receive mortuaryfund benefits in accordance with Article XXII.

Section 7. Members issued withdrawalcards shall be given the originals; duplicate ofwhich shall be retained by the issuing localunion which shall list the names of all with-drawal card members in its next FinancialSecretary’s Monthly Report when submitted tothe General Office.

Section 8. A fee of fifty dollars ($50) shallbe charged for the issuance and each renewalof a withdrawal card. Of that amount, twenty-five dollars ($25) shall be sent to the GeneralOffice and twenty-five dollars ($25) shall bekept by the local union. Withdrawal cardsmust be renewed not later than every twelve(12) months after date of issuance by the hold-ers thereof. A withdrawal card member whofails to “renew” shall after three (3) years besubject to lapsing. If a member is subject to

lapsing, for failure to renew, the local unionshall notify him of this. If the member fails topay the renewal charge within thirty (30) daysof that notification, he shall stand lapsed. Theissuance and renewal charge shall not apply tomembers who have been issued and retainedwithdrawal cards in connection with militaryservice. This financial exemption becomesnull and void ninety (90) days after dischargefrom military service.

Section 9. There will be no issuance or re-newal charge for a withdrawal card issued tothose of our membership who are receivingpayments for either regular or disability retire-ment under the Social Security System or Fed-eral Retirement Act, or similar plans.

Section 10. Military service and retirementwithdrawal card members will be maintainedin the journal mailing file at no additional cost.

ARTICLE XVIITraveling Cards

Section 1. Electronic traveling cards shallbe issued to those mechanics who have beenaffiliated at least twelve (12) months and shallbe deposited with the local in whose jurisdic-

tion they accept employment, provided, how-ever, that a traveling card need not be issuedby the home local union if employment isavailable within the jurisdiction of that localunion. The original traveling card as depositedshall be returned to the home local when themember leaves the local union territory. Amember on traveling card shall at all times re-main a member of his home local union.

Section 2. Electronic traveling cards canonly be issued when all financial obligationsare paid to date.

Section 3. Members on traveling cards willpay dues to their home local union in anamount equal to twice the per capita tax pay-ment collected by the International under Arti-cle IV, Section 1, of this Constitution, and aresubject to all legal assessments of their homelocal, including mortuary fund paymentsunder Article XXII. The home local will makeits per capita tax payments to the Interna-tional, as well as any other International obli-gations that may become due while the mem-bers are on traveling card.

In addition to the above, a member on trav-eling card shall pay to the local union inwhose jurisdiction he is working, workingdues in the amount set by the local union. This

amount may not exceed the amount paid bythe members of said local. A member on atraveling card is not subject to assessments ofany kind levied by the local union in whose ju-risdiction he is working.

Section 4. Traveling cards shall be subjectto all laws of local union autonomy.

Section 5. Travelers are entitled to attendlocal union meetings as guests, but do nothave the privilege of either voice or vote atlocal union meetings.

Section 6. A member’s traveling card willbe electronically forwarded to the local, for re-ferral, for the designated project/employer.The next Financial Secretary’s monthly reportshall list the names of all members on travelingcard when submitted to the General Office.

Section 7. Members on traveling cards willnot lose their eligibility to become candidatesin subsequent elections in their home locals,subject to the continuous good standing andmeeting attendance requirements set forth inArticle XX, Section 2. They shall have voiceand vote in their home locals.

A local union officer on a traveling card re-linquishes any office he may hold, and his suc-

cessor will be elected as set forth under Arti-cle XX, Section 10, provided that officers whoare forced to accept temporary employmentoutside of the jurisdiction of their home localsdue to lack of work in their home territory willnot be required to resign their office for a pe-riod of not to exceed three (3) months in anyone (1) continuous year.

Section 8. A member on traveling cardwho fails to satisfy his financial obligations issubject to suspension or lapsing as providedin Article XIII of this Constitution.

ARTICLE XVIIITransfer Cards

Section 1. A member desiring to transferfrom one local to another shall make writtenapplication to the new local. If the request isgranted by majority vote, the local grantingthe request will advise the home local of themember of the action taken and request that atransfer card be forwarded to the new local.Upon receipt of the transfer card and after no-tification to the General Office, the memberwill be recorded as a member of the new local.

sued to such of our membership who havebeen affiliated at least twelve (12) months andwhose financial obligations to the local unionhave been paid in full.

Section 3. Members in continuous affilia-tion with the International Association five (5)years shall not be subject to differential initia-tion fees when transferring.

Section 4. Members transferring cannotvote at elections of local unions until afterninety (90) days’ memberships therein, norshall they be eligible to be candidates for of-fice until after ninety (90) days’ membershiptherein, subject to any additional require-ments imposed by Article XX of this Constitu-tion.

Section 5. Members transferring are sub-ject to laws of local autonomy, including dif-ferential initiation fee and mechanical exami-nation, if affiliated Internationally less thanfive (5) years. Initiation differential is basedon amount of initiation fee in effect for thelocal unions interested at the time of member-ship affiliation. They shall be governed bylocal trade rules and must comply with regula-tions for mechanical examination.

Section 6. Transfer cards are provided induplicate. When issued, the original will be for-warded to the new local, the duplicate shall beretained by the issuing local union. The nextFinancial Secretary’s monthly report shall listthe names of all members transferred.

Section 7. It is optional with a membertransferring to continue or waive his mortuaryfund rights in the local union he is leaving inaccordance with Article XXII.

Section 8. A member transferring from alocal union may, without ballot, retransfer to itat any time within a three (3) year period. Thisprovision of returning to his/her home localunion, without ballot, can only apply in one in-stance. A member who retransfers to theirhome local union, pursuant to this section,within three years, must pay to his/her homelocal, upon retransfer, an amount equal to twicethe monthly per capita tax payments set forthin Article IV, Section 1 for each month in whichhe was a member of another local union.

ARTICLE XIXLocal Unions

Section 1. Local unions of the Interna-

tional Association can be reorganized, sus-pended or disbanded with charter revocationby action of the General Executive Board orConvention. Charters may be granted to Build-ing Trades Workers, Marine Workers and In-side (Plant) Workers, Asbestos AbatementWorkers, or any other group of workers. Eachlocal union shall confine its activities exclu-sively to its chartered jurisdiction.

Each local union shall establish and main-tain a minimum dues to two and one-half per-cent (2 1/2%) of the negotiated mechanic wagerate. (The minimum dues can either be basicdues alone or a combination of basic andworking dues.)

Section 2. Local union charters may be is-sued to five (5) workers who make propercharter application accompanied by a fee offive dollars ($5) for each charter applicant.Newly chartered local unions shall be “open”for sixty (60) days during which period allqualified workers (within the newly charteredterritory) shall be admitted for an initiationfee of twenty-five dollars ($25).

Section 3. The General Executive Boardshall establish the territorial and trade jurisdic-tion of each local union. Such jurisdiction soconferred may be amended, restricted, or en-

larged from time to time by the General Execu-tive Board. Every effort will be made to defineterritorial boundaries by easily recognizablelandmarks such as boundaries of political sub-divisions wherever practicable. Official territo-rial marked maps are available at the GeneralOffice covering all of our affiliated local unionterritories. Any city or town touched or inter-sected by a territorial boundary line betweentwo locals will be automatically under the terri-torial jurisdiction of the local union having themore favorable conditions of employmentwhich is to be determined by the total wages,transportation, board allowance and all fringebenefits. In such instances where the agreementconditions as above set forth are identical, suchcity or town will be open and under the jurisdic-tion of the local union in which the shop is lo-cated provided this shop is located in one of thetwo local unions involved. Where an employerwith a shop outside of these two locals’ territoryis involved the decision as to territorial jurisdic-tion will rest with the General Office.

Section 4. Local unions affiliated with theInternational Association can exercise localautonomy in all matters except those whichare in conflict with the International Constitu-tion and Bylaws. They shall function withintheir chartered jurisdiction and in such other

territory covered by signed trade agreementwith employers.

The Constitution and Bylaws of the Interna-tional Association, and the rules there under,shall be considered a part of the Bylaws ofeach local union and shall be binding on eachand every local union member.

Should any question come before a localunion on which the International Constitutionand Bylaws are silent or not clearly defined, itshall immediately be referred to the GeneralPresident or General Secretary-Treasurer fordecision. Such decision shall be inserted in thelocal minute book for reference.

Section 5. Local unions, when suspendedby the General Executive Board or Interna-tional convention or which suspend them-selves or cease operation, shall immediatelyforward to the General Office their charter,monies, books, cards, seals and all other para-phernalia. The officers of said local unionshall be denied recognition until such time asthis clause is lived up to in letter and spirit.

Section 6. When local unions are dis-banded and the membership divide the fundsor dispose of property, they shall be denied fu-ture membership privilege until such time asthey make restitution in full.

Section 7. A local union cannot withdrawfrom the International Association or disbandat any time if five (5) members in good stand-ing object, except when the General ExecutiveBoard or convention takes action under au-thority of Section 1 of this article or under Ar-ticle X. Before withdrawing or disbandingwritten notice must be given to the GeneralExecutive Board, and all books, papers, char-ters, funds and property must be forwarded tothe General Secretary-Treasurer.

Section 8. Local unions shall have powerto fix wages within their chartered jurisdictionor trade agreement radius, also to regulate theworking conditions in any manner they deemproper, except in the restriction of individualworking effort.

Section 9. No more than one (1) member-mechanic (job foreman), or five (5) membersengaged in asbestos abatement, can work onany one (1) operation of any one (1) employerwithin the jurisdiction of another local union,unless there is a shortage of labor in that juris-diction. The employer is privileged to send themechanic (job foreman) as outlined above,but cannot bring a mechanic (job foreman)into an area where he is already bound by acollective bargaining agreement. Such mem-

bers must conform to the working rules andtrade agreements of the local union underwhose jurisdiction they work, and whose busi-ness manager they must notify before workhas started, interrupted, resumed and whencompleted. (This means each new job fore-men must also report.) They shall receive thewage rate highest in either of the two locals,and the higher board or travel allowance ap-plicable to the particular job site, and shall re-ceive their fringe benefits of their home localwhich shall be payable to their home local inaccordance with its administration of same. Ifthe fringe benefit package in the area workedis higher than the home locals’ fringe benefitpackage then the difference between the ben-efit packages must be applied to and be part ofthe wages making the total package equal tothe higher total package of the collective bar-gaining agreement in the area worked. Theyshall work under the working conditions, suchas hours and observed holidays, of the con-tract of the local in whose jurisdiction the jobis located. For purposes of this Article theterm “fringe benefits” includes welfare, pen-sion, or other similar funds, but not vacationfunds which, for the purpose of this Article,are included as wages.

An “operation” as herein defined means all

contracts on or within the premise of build-ings, mines, mills, factories, shipyards, etc.

Section 10. All operations outside thechartered jurisdiction or trade agreement ra-dius of a local union shall be governed by theprevailing wage rate, board allowance andfringe benefits of the nearest local union ofour craft.

Section 11. All agreements shall be submit-ted to the General President who shall exam-ine same in order to determine whether or notthey are in accord with the International’sConstitution and Bylaws, rules and polices;and if so, he shall approve such agreements.Approval by the General President does notmake the International Association a party tothe agreement unless the General Presidentspecifically so states in writing.

Further, participation by the General Presi-dent, or his designated representatives, in thenegotiation of agreements does not, of itself,make the International Association a party tothe agreements unless the General Presidentso states in writing. Upon final signing of theagreement by the local union, three (3) signedcopies shall be forwarded to the General Of-fice.

Section 12. Special local union meetingscan be called by the president, either with theapproval of the local union Executive Boardor with a petition signed by at least one-tenth(1/10) of the good-standing local union mem-bership which in no instance shall numberless than five (5), with reasonable advance no-tice given to all members of the time, placeand purpose of said special meeting.

Section 13. Local unions can only declarestrike action after special meeting called forsuch purpose. A two-thirds (2/3) vote in secretballot shall be necessary to take strike action.

Section 14. A local union strike shall notapply to operations outside its territory exceptwhen ordered by the General Office.

Section 15(a). Voting on accepting or re-jecting newly negotiated agreements must beby secret ballot and will be confined to thelocal union good-standing members otherwiseentitled to vote at local union meetings.

(b). Every local union which goes on strikemust, after five (5) working days thereafter,impose a daily working assessment not to ex-ceed one (1) hour of each member’s pay, on allmembers who are working during the strike.

This assessment must be paid weekly. In addi-tion to the other good-standing requirementsprovided in this Constitution, members musthave their working assessments, provided forin this section, fully paid through the weekprior to the vote in order to participate in thevote.

Section 16. The first Monday in September(Labor Day) of each year is hereby set apart asan International holiday for members of thisAssociation on which day they shall work onlyin special cases of emergency and for a triple(3) time wage rate.

Section 17. Local union funds shall only beused in the defraying of local union expensesand in no instance shall monies be loaned, do-nated or expended for other than legitimatelabor purposes.

Section 18. A bona fide insulation shop isone maintaining a regular place of businesswith trade name on the door, proper listing ina telephone directory and at least one personon the premises to give service to the tradeduring regular business hours, and where ourmembership are employed, discharged and re-ceive their wages.

Section 19. Local unions shall hold one (1)regular meeting monthly to transact business.Seven (7) members shall constitute a quorumat local union meetings. All initiation fees, re-registration fees, reinstatement fees, assess-ments, fines, dues and other monies receivedshall be accounted for at these meetings,which shall be held at the regular time andplace of meeting or such other time and placeas designated by the president and of whichdue notice is given the membership.

Section 20. No member shall be allowed toattend meetings or have voice or vote on anyquestion unless he is in good standing. For thepurpose of establishing his good standing, hisfinancial obligations must be paid to and in-cluding the second preceding month or weekas set forth in Sections 4 and 5 of Article XIII,prior to the meeting.

Section 21. Local unions shall decide allquestions of parliamentary nature on whichthe Constitution of the International Associa-tion is silent, in accordance with Robert’sRules of Order.

Section 22. All affiliated local unions mustbe in affiliation with their local Building andConstruction Trades Council and with their

local Metal Trades Council. All affiliated localunions should also be affiliated with theirState or Provincial Building and ConstructionTrades Council and State AFL-CIO.

Section 23. Any member who takes issuewith any action of a local union may, after ex-hausting all local union bylaws or constitu-tional provisions in an effort to obtain redress,appeal to the General Executive Board in writ-ing, provided that a notice of appeal from thedisputed action of the local union is filed withthe General Secretary-Treasurer within thirty(30) days of the action appealed from.

(This section relates to procedure for ap-peals from all local union actions other thanlocal member’s trials which are covered inArticle XXV.)

Section 24. No local union, or its officers,employees or representatives, is authorized toact on behalf of the International Association,or shall be deemed an agent of the Interna-tional, except upon specific authorizationgranted by the General President.

Section 25. Every local union shall have anorganizing committee appointed by the localunion business manager. The business man-ager shall determine the size of the committee,

but the committee shall include at least fivemembers who are not full-time officers of thelocal union.

The organizing committee shall conductregular meetings at least once a month andsubmit to the International Vice President inwhose conference the local union is locatedmonthly reports on such meetings. Each localunion shall notify the General Office of thetime and date on which such regular meetingsare scheduled.

Section 26. Local unions shall require mem-bers to participate in lawful local union picket-ing, handbilling and other job actions. The re-fusal of members to participate in such activitymay be deemed a violation of Article XXIV, Sec-tion 1(a) of this Constitution and Bylaws.

Section 27. Local unions shall participate inthe Heat and Frost Insulators and Allied Work-ers Labor-Management Cooperative Trust.

ARTICLE XXNomination and Election of

Local Union Officers

Section 1(a). The business of local unions,other than asbestos abatement regional local

unions, shall be conducted by the following of-ficers: president, vice-president, recording sec-retary, corresponding secretary, financial sec-retary, treasurer, three (3) trustees, executiveboard of five (5) members, sergeant-at-arms,and one (1) business manager and, if deemednecessary, one (1) or more business agents; allof whom shall be mechanics. A business man-ager shall have rank and authority over theother business agents of the local union.

Each local union with a membership of sev-enty-five (75) or more must have a full-timebusiness manager, whose salary shall not beless than that paid the mechanic members ofsaid local. This requirement shall not apply tonaval shipyard local unions.

(b). All local union officers shall receivesuch compensation or salary as the local maydetermine, except as provided for in Section1(a) of this Article.

(c). The business of asbestos abatement re-gional local unions shall be conducted by thefollowing officers: president, business man-ager/secretary-treasurer, and if deemed neces-sary, one (1) or more business agents. If thelocal union so decides, an executive board ofno more than five (5) members may also beelected. These officers need not be mechan-

ics. Each asbestos abatement local union shalldetermine whether its business manager/sec-retary-treasurer will be a full-time officer. Thebusiness manager/secretary-treasurer shallperform the duties described in Article XXI,Sections 4, 5, 6, 7 and 10 of this Constitutionand Bylaws.

Section 2(a). In all local unions other thanasbestos abatement local unions, in order tobe eligible for the position of local union pres-ident, vice president, financial secretary, busi-ness manager or business agent, a membermust have performed work of the type de-scribed in Article III, Section 1 as a member ofthe International Association, or worked as amember of the International Association, forat least five (5) years, and have worked as amechanic for at least two (2) years, shall havebeen a member of said local union for at leasttwo (2) years, and have been in continuousgood standing without having been suspendedfor two (2) years and in attendance at a major-ity of regular local union meetings held duringthe twelve (12) months prior to date of nomi-nation. In order to be eligible for any otherlocal union offices, a member must haveworked as a mechanic for at least one (1) year,and have been in continuous good standingwithout having been suspended for two (2)

years, and if the local union adopts such a re-quirement in its bylaws, a member must alsohave been in attendance at a majority of regu-lar local union meetings held during thetwelve (12) months prior to date of nomina-tion. A member must sign the official LocalUnion sign-in book to receive credit for havingattended a local union meeting. This sectionshall not apply to a newly chartered localunion until it has been in existence for a suffi-cient time to make its application practical.

(b). In asbestos abatement regional localunions, in order to be eligible for the positionof local union president, businessmanager/secretary-treasurer, or businessagent, a member must have been a member ingood standing of said local union, without hav-ing been suspended, for (2) two years prior todate of nomination.

Section 3. The consolidation of local unionoffices, and nomination for those offices, shallbe as follows:

(a). The offices of president and vice-presi-dent cannot be consolidated with any other of-fices and a candidate for either of those of-fices cannot be a candidate for any other of-fice.

(b). Any two (2) or more of the remainingoffices, other than president and vice-presi-dent may be consolidated, and a candidatemay be nominated for and hold one (1) officeor group of offices so consolidated.

(c). If the offices of the executive boardmembers are not consolidated by the localunion with other offices, as permitted by para-graph (b), a candidate for any other office orconsolidated offices (except, president orvice-president) may also be a candidate for ex-ecutive board member, provided that, as setforth in Article XXI, Section 11, a businessmanager or business agent cannot be a mem-ber of or a candidate for the executive board.

(d). The provisions of this section applyonly to the offices established in Section 1 ofthis Article. All other positions, such as dele-gates to various local, state and national bod-ies, shall be determined by local unions withrespect to appointment, election, consolida-tion, etc., provided that, as set forth in ArticleV, Section 6, the president, business managerand business agent (if elected) and all electedfull-time officers and the vice president willautomatically, by virtue of their offices, be del-egates to the International convention.

(e). Any officer who accepts nominationfor a different office must vacate the office hepresently holds in order to run for that office,unless the term of the office currently held ex-pires on the same date that the term of the of-fice sought begins.

Nomination notices to members shall ad-vise that nominations will be held for both theoriginal vacant office or offices as well as anyvacancies created by the resignation of an ex-isting officer who accepts nomination for an-other office.

Should the president accept nomination foranother office and thereby vacate the office ofpresident, the vice-president will assume theoffice of president and the office of vice-presi-dent shall be declared open for nomination.

Section 4. Nomination for local union officeshall be held at the regular local union meetingpreceding that of election, at which meeting nonomination shall be considered. Election of pres-ident, vice-president, business manager, busi-ness agent (if elected, rather than appointed)and financial secretary shall be for a period ofthree (3) years in the United States and no lessthan three (3) but no more than five (5) years inCanada. Election of all remaining officers shallbe for a minimum of one (1) year, up to a maxi-mum of three (3) years in the United States and

up to a maximum of five (5) years in Canada.Election shall be decided by plurality vote in asecret ballot at a special notified meeting.

Section 5. A candidate for local union of-fice may be nominated in his absence pro-vided there is a written communication fromhim signifying his willingness to serve.

Section 6. Any nominee who is unopposedfor an office at the regularly scheduled nomi-nation meeting shall be declared duly electedto such office, effective as of the designatedinstallation time for the officers to be electedat the election meeting.

Section 7. The provisions of this Constitu-tion governing the conduct of nomination andelection of local union officers shall also gov-ern the conduct of the election of additionaldelegates to the International convention, asprovided for in Article V of this Constitution.

Section 8. Newly elected officers shall beobligated as soon as elected.

Obligation for newly elected officers:“I, ..........................., without mental reserva-

tion, do solemnly pledge my honor, that I willfaithfully discharge the duties of the office towhich I have been elected in this local union,

and that I will support the Constitution andBylaws of the International Association andwill enforce the same to the best of my abilitywithout prejudice or partiality.”

Section 9. Should an officer engage in busi-ness as employer, estimator, salesman, insula-tion inspector, employers’ representative oragent in the trade, his office shall be declaredvacant and he may be given a withdrawal card.

Section 10. An officer absenting himselffrom three (3) consecutive regular member-ship meetings without reasonable excuse shallhave his office declared vacant, and his succes-sor shall be elected. The vacancy of any office(except that of president) shall be filled by spe-cial nomination and election for the remainderof the term of the office vacated, within fifty(50) days and reasonable advance notice (atleast fifteen (15) days) of time and place of thespecial nomination and election given the localmembership. The president shall appoint tem-porary officers pending election.

Section 11(a). Notice of every local unionnomination must be mailed by the correspon-ding secretary to each member at his lastknown address at least fifteen (15) days priorto the nomination.

(b). Notice of every local union electionmust be mailed by the corresponding secre-tary to the last known address of each of itsmembers at least twenty-five (25) days prior tothe election. (Both notices may be included inthe same mailing provided the mailing is atleast fifteen (15) days prior to nomination.)

(c). At the time of nomination the Chair-man will appoint an election committee of suf-ficient size to insure that all the election pro-cedures are followed, including those in Sec-tion 12 of this Article.

Section 12. If authorized by either the localunion bylaws or by a resolution of the localunion membership, a local union may conducta mail ballot election. For those local unionsthat have adopted full mail in ballot elections,a member to be considered in “good standing”and eligible to receive a ballot, must have hisobligations paid up as of nomination night inaccordance with Article XIII, Sections 4 and 5.

Section 13. If a local union has not author-ized a mail ballot election, any member mayreceive and cast an absentee ballot in accor-dance with the procedures described in thisand the following section;

(a). A member who wishes to cast an ab-sentee ballot must make a written request forsame, which request must be received no laterthan ten (10) days prior to the election.

(b). All such requests must be kept on fileat the local union office and made availablefor inspection, on request, by the electioncommittee and all candidates.

(c). Absentee ballots requested in accor-dance with the above procedure shall bemailed by the corresponding secretary no lessthan ten (10) days prior to the election. Eachballot shall be accompanied by a plain enve-lope and a larger return envelope addressed toa post office box or similar depository, or to aneutral or disinterested person as designatedby the election committee, along with instruc-tions that the ballot is to be marked andplaced inside the plain envelope, which is tobe sealed and, in turn, placed into the largerreturn envelope for mailing, and that thelarger return envelope must be signed by thevoter before it is mailed. A designated neutralor disinterested person may not be a memberor employee of the local union. No absenteeballot shall be counted unless it is received ina signed return envelope.

(d). All absentee ballots must be receivedby election day in order to be counted. Once amember has requested an absentee ballot, hemay vote in that election only by that means.

(e). The designated neutral or disinterestedperson shall turn the absentee ballots receivedover to the Election Committee on the day ofthe election. They shall be counted with allother ballots. If a post office box or similar de-pository has been designated, the electioncommittee will retrieve from that depositoryany ballots received on or prior to electionday. Observers for the candidates may accom-pany the election committee in retrievingthose ballots.

Section 14. Within the ten (10) day periodprior to the union election day, members mayapply in person at the local union office for anabsentee ballot. They will receive an absenteeballot at that time, will mark their ballot in se-crecy at that time, and will place the ballot in-side a plain envelope as provided in Section13(c). The larger envelope will be deliveredimmediately to the neutral or disinterestedperson designated by the election committee,and the envelope shall be processed in themanner provided in Section 13(e).

Section 15. Election protests, objecting tothe conduct or procedure of an election for alocal union office, may be filed with the Gen-eral President within ten (10) days after thedate of the election. No specific form shall berequired, except that such protest shall clearlystate that a protest is being filed, the date ofthe election protested, the basis of the protestin detail, and how the alleged violation af-fected the outcome of the election. The Gen-eral President may, if he deems it appropriate,direct that a hearing be conducted before theGeneral President or a hearing officer desig-nated by the General President. The GeneralPresident shall determine the merits of theprotest and, if he finds the protest to be meri-torious, shall have the authority to impose anappropriate remedy. The decision of the Gen-eral President may be appealed to the GeneralExecutive Board, provided a notice of appealis filed with the General Secretary-Treasurerwithin thirty (30) days of the decision of theGeneral President.

ARTICLE XXILocal Union Officers

Section 1. The president shall be responsi-ble for the enforcement of the Constitution

and Bylaws of the International Association,and the rules therein. He shall preside and pre-serve order at all meetings of the local union.He shall vote only in case of a tie vote on anyquestion, except for secret ballots on which heshall cast his vote along with all other mem-bers. He shall decide all questions of order ac-cording to the governing parliamentary rulesstated herein. He shall sign all orders drawnby the treasurer authorized by the union, andperform all other customary duties pertainingto his office. He shall be an ex-officio memberof all boards and committees with a voice, butwithout vote. In local unions which operateunder a joint trade agreement providing for ajoint trade board, the members of the jointtrade board representing the local union shallbe appointed by the president in the numberrequired from the following list and in the fol-lowing order: president, business manager,other business agents, if any, vice president,secretaries and executive board members.

Section 2. The vice-president shall, in theabsence of the president, perform all dutiesappertaining to the latter’s office; in addition,he shall be the chairman at all meetings of theexecutive board. In the absence of the vice-president, the executive board shall from itsmembers present elect a temporary chairman.

Should the office of president become vacant,the vice-president automatically becomes thelocal president for the un-expired term, and anew vice-president will be elected under regu-lations for filling vacancies between regularelections as set forth in Section 10 of ArticleXX.

Section 3. Local union meetings with boththe president and vice-president absent shallbe presided over by a chairman chosen by themembership.

Section 4. The recording secretary shallkeep a correct record of proceeding of thelocal union in a bound volume with pagesnumbered consecutively and attest all orderssigned by the president and financial secre-tary. He shall be the custodian of the archivesof the union.

Section 5. The corresponding secretaryshall read all communications received for theunion at its meetings. As statistician he shallcommunicate and gather information relatingto wages and working hours and the labormovement in general.

Section 6(a). The financial secretary shallreceive and keep a correct record of all

monies paid into the local union, shall issue allwarrants for monies ordered paid, and payover all monies to the treasurer on a monthlybasis, and receive receipt for same. He shallenter in his book all dues and payments made,and issue official receipts to members.

(b). The financial secretary shall on com-puterized Financial Secretary’s Monthly Re-port Forms, as supplied by the General Office,forward to the General Secretary-Treasurer astatement of the local membership eachmonth not later than two (2) weeks followingthe regular local union meeting, completelyfilled out, together with the remittance cover-ing the report. That report shall include thetotal wages earned by each member duringthe reporting period. A copy of statements tothe General Office shall be filed by the localunion. He shall remit all monies and handle allcorrespondence with the General Office in ref-erence to finances, new members, transfers,withdrawals, traveling cards, etc. He shall,when requested by the local executive boardto do so, submit a financial report to theboard, including membership status of allmembers of the local union.

Section 7. The treasurer shall issue re-ceipts for all monies turned over to him by the

financial secretary, and disburse same uponorder of the local, duly signed by the presidentand financial secretary, attested to by therecording secretary, with the seal thereon. Heshall keep account of all monies received andexpended and produce treasury books, cashbooks and all other securities whenever calledupon by the trustees to do so and shall depositall monies or funds in such bank as the localmay designate. He shall submit his books andrecords for inspection or audit whenevercalled upon to do so by the General Presidentor General Secretary-Treasurer.

Section 8. The financial secretary or treas-urer may act as a trustee but may not serve asa member of an auditing committee, even asan ex-officio member.

Section 9. Local unions shall elect three(3) trustees who shall have general supervi-sion over all funds and property of the localunion, including all officers’ bonds, and keepin their possession all property of the localunion not otherwise provided for. They shallsee that local union funds are properly de-posited and shall sign no orders for with-drawal of said funds unless authorized by mo-tion of the local union. The trustees shall,when required by decision of the International

Association or local union meeting, deliver allmonies, checks, or other property in their pos-session to persons designated by the Interna-tional Association or local union to receivesame. Each local union shall have an annualaudit performed by an independent certifiedpublic accountant. The Trustees shall have au-thority to approve the independent certifiedpublic accountant and shall meet with sameupon completion of the independent audit toreview and address any accounting concernsidentified.

Section 10. It shall be the duty of the busi-ness manager or business agent to investigateall complaints referred to him. The businessmanager or business agent shall report to thelocal union the quality of the work being per-formed in the application of insulating materi-als on any and all jobs he visits. The local shallsupply adequate insurance coverage for acci-dent or fatality while engaged in the duties ofhis office.

The business manager is the principal ad-ministrative officer of the local union. In addi-tion to the duties outlined in this Constitutionand Bylaws, it is his responsibility to makeday-to-day decisions affecting the welfare ofthe local and to police and protect the tradejurisdiction of the local union, endeavoring to

settle all differences as expeditiously as possi-ble. He shall be authorized to take whateversteps necessary on particular jobs to acquireand protect the work of our trade and itsmembers. Notwithstanding any other provi-sion of this Constitution and Bylaws, he shallbe authorized to admit new members in orderto organize unorganized employees. He issolely responsible for supplying manpower,from whatever source available, to employersupon request. He may, if he wishes, refer tothe local executive board, between meetings,any business which he believes requires im-mediate attention. Business managers andbusiness agents shall serve as members of thenegotiating committee. In those areas wherean apprentice program is established, it will bethe responsibility of the business manager toplace, rotate, and assign apprentices to theemployer as required.

If authorized by a resolution mailed to eachmember, and passed at a special notified meet-ing, the business manager shall appoint anyand all local union business agents, who shallbe subject to the business manager’s authorityas employees-at-will.

The business manager shall have the au-thority to appoint any organizers hired by thelocal union, to discharge such organizers, and

to determine under what terms and conditionssuch organizers shall be employed.

Section 11. Local unions shall elect an exec-utive board of five (5) members, exclusive ofthe business manager or business agents, at thetime they elect officers, who shall meetmonthly, or for special meetings called by atleast three (3) members of the board, with theapproval of the vice-president. In addition tothe five (5) elected members of the executiveboard, the vice-president shall act as chairman,voting only in case of a tie. The executive boardis empowered to at all times comply with thedirections of the General Executive Board ofthe International Association as provided inthis Constitution and Bylaws. The ExecutiveBoard shall see to it that proper bonds are se-cured for local union officers in such amount tomeet the requirements of federal or state laws.

The executive board shall, as outlined inthis Constitution and Bylaws, see that thebusiness of the local is conducted in conform-ity with the Constitution and Bylaws. Theboard shall act on all local union business re-ferred to them at a regular membership meet-ing of the local and, between meetings, mayact on all local union business which is re-ferred to them by the responsible local unionofficer, making a report of any such action

taken to the next regular meeting of the local.Nothing in the performance of the duties ofthe executive board shall infringe upon the du-ties of other local union officers as defined inthe Constitution and Bylaws.

Section 12. The sergeant-at-arms shall ex-amine all official membership cards and seethat all present at a meeting are entitled to re-main and report his findings to the chairman.He shall conduct candidates through the initia-tion ceremony and he shall be furnished assis-tance when necessary by chair appointment.

Section 13. “Job stewards” may be desig-nated on any operation when, in the opinion ofthe business manager, it is warranted. Theyshall be appointed by the business manager.They will make no official decisions, but willreport any conditions to the business managerwhich they feel are warranted and performsuch other duties as are assigned by the busi-ness manager.

Section 14. All officers, at the expiration oftheir terms of office, shall deliver to their suc-cessors all books, papers, records, monies andother property in their possession belongingto the International Association or the localunion; and they shall deliver or make available

all such documents and properties to the Gen-eral President, the General Secretary-Trea-surer, or their duly designated representatives,whenever required to do so under this Consti-tution and Bylaws.

Section 15. Should the total amount offunds available to a local union, excludingfixed assets and accounts receivable, fallbelow one-half (1/2) the local union’s total ex-penses during the previous calendar year, itshall be the duty of the local union president,financial secretary and trustees to meet withinthirty (30) days and formulate a plan to eitherraise additional funds, reduce expenses, orboth. A copy of said plan shall be provided tothe General Office and to the InternationalVice President from the conference in whichthe local union is located.

ARTICLE XXIIMortuary Fund

Section 1. Local unions may, by two-thirds(2/3) vote, establish and maintain mortuaryfunds. Local unions shall establish a fixedamount to be paid each valid death claim, thesame to be met by an assessment from partici-pating members.

Section 2. When a local union does estab-lish a mortuary fund by a two-thirds (2/3) ma-jority vote, participation in a mortuary fundestablished by a local union shall be voluntary.Participation shall not be a condition of mem-bership in good standing. Claims shall be paidonly upon the death of participating members.

Section 3. Forfeiture of and re-affiliatewith local union mortuary funds shall be sub-ject to local union autonomy rule.

Section 4. All mortuary funds shall bemaintained in a properly designated accountseparate from all other funds and assets of thelocal union and no withdrawals shall be madeexcept for the payment of a valid death claim,or for payment of insurance premiums, if any,in connection with the fund.

ARTICLE XXIIIConferences

Section 1. Local unions which organizeamong themselves either intra-state or inter-state shall be granted “conference” charters.

Section 3. Conference charters carry noautonomy rights and conferences shall con-duct their business in accordance with Inter-national law.

Section 4. Conferences may have theircharters suspended or revoked at any time bythe General Executive Board upon recommen-dation of the General President.

Section 5. Conferences shall hold annual,semi-annual, or quarterly meetings. Specialmeetings may be called by the president onpetition signed by one-third (1/3) of the localunion business managers.

Section 6. Local union conference dele-gates must be composed of, first, the localunion business manager, and second, the localpresident. (In those conferences using theconvention delegate formula, the rules spelledout in Article V, Section 6, will apply for dele-gate selection.)

Section 7. Conference meetings are openonly to accredited delegates and such othersas may be invited to be present on officialbusiness.

ARTICLE XXIVOffenses and Charges

Section 1. Any member may be penalizedfor committing any one or more of the follow-ing offenses:

(a). Violation of any provision of the Con-stitution and Bylaws of the International Asso-ciation, and the rules there under, or of the by-laws, trade agreements or rules of a localunion.

(b). Embezzlement, or the improper receiptor misappropriation, or any unauthorized useof any funds or property of a local union or theInternational Association.

(c). Obtaining or attempting to obtainmembership in the International Associationor credentials for delegates to the Interna-tional convention, through fraudulent meansor misrepresentation, either on the part of themember himself or others.

(d). Engaging in activities designed to bringabout a secession or withdrawal from the In-ternational Association of any member orgroup of members or a local union.

(e). Wronging a member of the Interna-tional Association by any act or acts (otherthan the expression of views or opinions)causing him physical or economic harm.

(f). Working for or in the interests of, or inany way assisting any person, firm or corpora-tion whose employees are locked out or law-fully on strike, in accordance with this Consti-tution, or which is otherwise declared to be inlabor difficulty with the International Associa-tion or a local union. This subsection shall notapply in the case of withdrawal card members,performing their normal duties as owners,salesmen or superintendents.

(g). Working for, or on behalf of, any em-ployer, employer-supported organization orother union or organization, or the representa-tives of any of the foregoing, whose position isadverse or detrimental to the International As-sociation.

(h). Filing charges under this Constitutionin bad faith or out of malice, or knowing orhaving reason to know such charges to befalse or without foundation.

(i). Making known the business of the Inter-national Association or any of its local unions

to any employer, employer-supported organiza-tion, or other union or organizations, or to therepresentatives of any of the foregoing.

(j). Causing or participating in a stoppageof work because of any alleged grievance ordispute without having the approval of thelocal union, or its duly authorized officers,which shall result in a minimum fine of onethousand dollars ($1,000), no portion of whichshall be held in abeyance.

(k). The failure or refusal of any member orofficer to turn over or relinquish any money,books, records or other property of the Inter-national Association or any of its local unionswhen directed to do so by authorized officialsof the International Association or a localunion, in accordance with this Constitution orthe local union bylaws.

(l). Causing or engaging in unauthorizedwork stoppages or strikes or other violation ofthe laws and rules of the International Associ-ation or its local unions.

(m). Interfering or refusing to cooperatewith any inquiry or investigation which isbeing conducted by, or pursuant to the author-ity of any International officer.

(n). Engaging in any act or acts which arecontrary to the member’s responsibility to-ward the International Association or any ofits local unions as an institution, or which in-terfere with the performance by the Interna-tional Association or a local union of its legalor contractual obligations.

(o). Interfering with the rights of membersof the International Association under thisConstitution and Bylaws or working agree-ments, or interfering or threatening to inter-fere with any officer of a local union or the In-ternational Association in the performance ofhis duties.

(p). Failure, without good cause, to partici-pate in Professional Craftsman Code of Con-duct, COMET, or any other similar trainingprograms offered by the International Associ-ation or a local union.

Section 2. Charges against members mustbe signed and submitted in duplicate not morethan one hundred eighty (180) days after theperson preferring the charges has knowledgeof the act or acts which form the basis for thecharges.

The charges shall then be read at the nextregular meeting of the local union.

union shall serve the member charged, by reg-istered or certified mail to his last given homeaddress, with a written copy of the chargesand a notice of the time and place of trial,which trial shall not be held less than ten (10)days from the time the charges are servedupon the accused.

Any member, including those on withdrawalcard, shall be subject to charges and trial.

Section 3. All charges against officers of alocal must be submitted in writing to the Gen-eral President. The charges must be submittednot more than ninety (90) days after the per-son preferring the charges has knowledge ofthe act or acts which form the basis for thecharges. They must be signed by the memberpreferring the charges and read by that mem-ber at the regular meeting of the local union.The General President may dismiss anycharges that he deems frivolous or clearlynon-meritorious. If the charges are not dis-missed, the General President shall then pro-ceed in accordance with the procedure speci-fied in Article VII, Section 5(b) of this Consti-tution and Bylaws. Following the decision ofthe General President, as specified in that sec-tion, the charged officer shall have the appealrights set forth therein.

Section 4. Charges of an inter-local natureshall be disposed of in accordance with Arti-cle X, Sections 1, 2, and 3, provided that saidcharges are filed not later than ninety (90)days after those preferring them had knowl-edge of the facts alleged.

Section 5. Charges of an inter-local naturecan be preferred against members only afterthe business manager or business agent hasvisited the job site and made a thorough inves-tigation. He will then report his findings to aregular meeting of the local, at which themembers present can, on recommendation ofthe business manager or business agent andby majority vote, prefer charges against theaccused. The corresponding secretary shallthen draft and submit the charges against theaccused to the General Office.

Section 6. In all inter-local charges, allmonetary penalties imposed by the GeneralExecutive Board shall be credited to the com-plainant local union. The member penalizedwill make payment of said penalty in full to hislocal union, which will in turn forward sameto the General Office where the full amount ofthis penalty will be credited to the account ofthe complainant local union.

ARTICLE XXVTrials and Appeals

Section 1. All charges shall be heard andtried by the local union executive board,which shall act as a trial board. If a local uniondoes not have an executive board, the presi-dent shall appoint five disinterested membersto act as a trial board. The local union presi-dent shall preside. Three members of theboard shall constitute a quorum for the pur-pose of proceeding with the scheduled trial. Ifthe president is preferring the charges, or is awitness to the events in question or in any wayinterested in the outcome of the trial, the localunion vice president shall replace him. If both,the president and the vice-president are dis-qualified, the trial board shall select one of itsmembers as the presiding officer. If the mem-ber preferring the charges is a member of theexecutive board, or if an executive boardmember is a witness to the events in question,or is in any way interested in the outcome ofthe trial, the presiding officer shall disqualifyhim from hearing the case and may appoint adisinterested member as a substitute.

Section 2. The charged member shall ap-pear for trial on the date set by the president,provided that the president may grant a rea-

sonable delay to the accused, upon his re-quest, when he believes the facts and circum-stances warrant a delay. The accused may ap-pear in person to answer the charges and mayselect a member in good standing of his localunion to represent or assist him in the presen-tation of his defense. If the accused fails to ap-pear at the scheduled time and place, or other-wise attempts to evade trial, the trial boardshall proceed to hear and determine the casejust as though the accused were present.

Section 3. The business manager, or hisdesignated representative, shall investigate allcharges. When the business manager, or thedesignated representative, believes that acharge has merit, he shall so advise the presi-dent. The charges will then be read at the nextregular meeting of the local union and a hear-ing will be scheduled. The business manageror his designated representative shall act astrial prosecutor.

Section 4. The president of the local unionshall sit as trial judge, unless replaced as pro-vided in Section 1 of this Article. He shall de-cide all points that call for decision.

Section 5. Upon hearing all of the evidencepresented, the trial board shall reach a deci-

sion on each charge before it. All decisionsshall be made by majority vote of the mem-bers of the trial board sitting. If the charges, orany portion thereof, are sustained, the ac-cused shall be found guilty. On any portion ofthe charges which is not sustained, the ac-cused shall be found not guilty, and thosecharges or portions thereof shall be dismissed.With respect to any portion of the charges onwhich the accused is found guilty, the presid-ing officer shall immediately impose sentence,which may include expulsion, suspension,lapsing, and fine. Any fines imposed in theamount of one hundred dollars ($100) or lessshall be due and payable when imposed, un-less a longer period is provided by the trialboard. In the case of a fine over one hundreddollars ($100), fifty percent (50%) of the fine ispayable when imposed, and the balancewithin three (3) months thereafter. In any casewhere the fine is five hundred dollars ($500) ormore and the member appeals to the GeneralExecutive Board as provided in Section 6 ofthis Article, the General President shall stayany portion of the fine in excess of two hun-dred and fifty dollars ($250) until the GeneralExecutive Board has issued its decision, pro-vided that such member requests such a stayat the time that his notice of appeal is filed

with the General Secretary-Treasurer in accor-dance with Section 6. Every sentence impos-ing a fine shall automatically include the fol-lowing: “Failure to pay the fine, or any re-quired portion thereof, within thirty (30) daysafter its due date shall result in automaticlapsing which will not relieve the responsibil-ity of paying any financial obligation incurredwhile a member, including but not limited todues, assessments, and fines.”

Section 6. Any member who is disciplinedby a local union trial board, as providedabove, may appeal to the General ExecutiveBoard in writing, provided that a notice of ap-peal is filed with the General Secretary-Trea-surer within thirty (30) days of the decisionappealed from, and provided further that,prior to the notice of appeal, payment of anyfine imposed must have been made in accor-dance with the requirements of Section 5 ofthis Article. No specific form shall be required,except that such notice shall clearly state thatan appeal is being taken from the particulardecision rendered, the date of trial, the statusof any fine imposed and the basis of the ap-peal. Pending appeal, the decision appealedfrom and the penalty imposed shall remain infull force and effect.

Section 7. Expelled members can re-affili-ate with the International Association only bygaining the consent of the local union whichexpelled them and the further consent of theGeneral Executive Board. A copy of trial pro-ceedings must be forwarded to the GeneralOffice in all instances of membership expul-sion.

Section 8. For the purpose of hearing ap-peals the General Executive Board shall sitduring its semi-annual meetings and whenevercalled into session for such purpose by theGeneral President.

Section 9. The failure of any party to ap-pear in such case before the General Execu-tive Board shall constitute a waiver of appear-ance, and the appeal shall be heard just asthough he were present.

Section 10. Any party to a trial or appealbefore the General Executive Board may ap-peal its decision to the following Convention,whose action, if any be taken, shall be final.Notice of appeal from a decision of the Gen-eral Executive Board shall be filed with theGeneral Secretary-Treasurer not more thanninety (90) days after the publication of “TheInsulators Union Journal” which contains no-

tice of the action of the General ExecutiveBoard. Full compliance with any decision is-sued, including payment of any fine imposed,shall be a condition of filing an appeal with theconvention.

Section 11. Any member who is dis-charged for cause shall be directed to appearbefore the next meeting of the local union ex-ecutive board to explain the circumstancesresulting in the discharge. Any member whois discharged for cause twice will be chargedby the local union business manager with vio-lating Article XXIV, Section 1(n) of the Con-stitution and Bylaws, if the business managerconcludes after investigation that both of thedischarges were for good cause. Suchcharges shall be heard and tried by the localunion executive board and governed by theprocedures set forth in this article. Any mem-ber who is discharged for cause three timesshall be charged by the local union executiveboard or business manager with violating Ar-ticle XXIV, Section 1(n) of the Constitutionand Bylaws, if the business manager/execu-tive board concludes after investigation thatall three discharges were for good cause.Such charges shall be filed with and decidedby the General President and heard by theGeneral President or his designated hearing

officer. The penalty for such violations mayinclude expulsion. Decisions of the GeneralPresident issued pursuant to this section maybe appealed to the General Executive Boardprovided a notice of appeal is filed with theGeneral Secretary-Treasurer within thirty(30) days of the decision of the General Pres-ident, and provided further that, prior to thenotice of appeal, payment of any fine im-posed must have been made in accordancewith the requirements of Section 5 of this Ar-ticle. The decision of the General ExecutiveBoard on appeal may be appealed to the nextconvention of the International Association.Full compliance with any decision issued, in-cluding payment of any fine imposed, shall bea condition of filing an appeal with the con-vention.

ARTICLE XXVIThe Official Journal

Section 1. “The Insulators Union Journal”shall be recognized as the official publicationof the International Association of Heat andFrost Insulators and Allied Workers.

Section 2. “The Insulators Union Journal”shall be edited, published and issued quarterly

Section 4. “The Insulators Union Journal”shall be devoted to the printing of officers’ re-ports, the minutes and decisions of the con-vention or General Executive Board togetherwith all other official business, instructions,advice, etc., for the benefit of the InternationalAssociation membership.

Section 5. “The Insulators Union Journal”shall, from time to time, and at the option ofthe editor, print official communications asforwarded by our good-standing affiliatedlocal unions, or their individual membership.

Section 6. “The Insulators Union Journal”shall be supported by an annual general mem-bership assessment of five dollars ($5) onlocal union membership, including those ontravelers, and withdrawals not connected withmilitary service or retirement, payable to theGeneral Office by each local union based ontheir membership as of October each year.

< The Professional Craftsman Code ofConduct must have the total support ofthe Local Union at all levels. The Offi-cers of every Local Union must pay par-ticular attention to the task by setting anexample for others to follow, as well asthe promotion of the ProfessionalCraftsman Code of Conduct.

IAHFIAW Local Union Responsibilities

The Business Manager, through and in part-nership with the Quality Control Craftsman(QCC), shall insure the responsibilities of theIAHFIAW Local Union in implementing theProfessional Craftsman Code of Conduct as-suring it is met every day, by every member.

< All members are adhering to the con-tractual starting and quitting times.

< Break times are limited to the time al-lowed by the Contract, or Agreement(s).

< Members are adhering to the lunch peri-ods established in the Agreement.

< Members shall meet their responsibilityto have all tools on the established toollist and will carry the necessary andproper tools to meet their contractualresponsibility as highly skilled, qualifiedcraftsman.

< Members meet their responsibility intaking care of the tools provided by theemployer.

< Members meet their responsibility to befit for duty, and our zero tolerance pol-icy for substance abuse is strictly met.

< Members are productive and efficient.

< Members meet their responsibility tothe employer and fellow members em-ployed on the job arrive for work ontime and ready to work.

< Members will meet their contractual re-sponsibility to eliminate disruptions onthe job.

< Members will respect the property ofthe customer, graffiti and other forms ofdestruction and waste will not be toler-ated.

< Member will respect the Customer,Client(s), Contractor and the IAHFIAWby not wearing clothing or buttons thatcontain offensive wording or symbols.

< Slowdowns, and other methods utilizedto extend jobs or provide for overtimewill not be tolerated.

< In accordance with Article 24 Section 1-Jof the Constitution and By-Laws Walk-offs will not be tolerated. Causing or par-ticipating in a work stoppage of workbecause of any alleged grievance or dis-pute without having the approval of theLocal Union, or its duly authorized offi-cers, shall result in a minimum fine ofone thousand dollars ($1,000), no por-tion of which shall be held in abeyance.

< Any inappropriate behavior toward an-other member or group of members willnot be tolerated.

< Members will meet their contractual re-sponsibility to utilize proper safetyequipment and methods.

< Members must meet their responsibilityto not leave the jobsite without prior ap-proval.

< No member shall solicit funds on anyproject or job without the prior ap-proval of the Business Manager.

< No use of personal cell phone(s) will beallowed on the project, except for lunchor break periods.

< No sale of merchandise without theprior approval of the Business Manager.

Methods of resolving problems throughthe Professional Craftsman Code ofConduct

< In the event an individual member is notmeeting membership responsibilities,the Local Union Executive Board willassume the responsibility to addressproblem member(s) not meeting theirobligation to the IAHFIAW, up to and in-cluding charges being filed. The role ofthe local union is to correct the prob-lem, by whatever means at its disposal.

< Three Strikes You’re Out Policy; a threestrike policy would severely sanction aunion member after the third violation,

up to and including removal from the re-ferral procedure. After 1st discharge,member to be brought in front of LocalUnion Executive Board. After 2nd dis-charge, Local Union Business Managerto file charges; Local Union ExecutiveBoard hears charges and if found guiltymember fined accordingly. After 3rd dis-charge, Local Union Executive Boardand Business Manager will file chargesto be heard by General ExecutiveBoard/General President; disciplinaryaction up to and including fine, suspen-sion or expulsion.

HINTS

All surfaces to be insulated must be inproper condition to receive insulating materi-als.

Do not waste materials or allow them to be-come damaged or destroyed.

Do not permit yourself or others to work onunsafe scaffolding. Work safe and avoid acci-dent or death.

In case of accident, immediately notify youremployer and the local.

Be courteous to those with whom you comein contact and cooperate with all parties inter-ested in your work.

Teamwork is the thing desired on all jobs.When in doubt, call your shop and businessmanager.
