NOTICE OF PRE-BID MEETING FOR WASH BAY CONSTRUCTION BIDDING REQUIREMENTS

The Board of Commissioners of the Genesee County Road Commission, will receive sealed bids at the offices of the Administration Building located at 211 West Oakley, Flint, Michigan 48503-3995 until 1:00 p.m., Eastern Standard Time on Thursday, January 6, 2011 @ 1:00 pm, at which time the bids will be publicly opened and read aloud. Bids should be plainly marked "WASH BAY CONSTRUCTION PROJECT." No bids will be received later than the time and date above specified. To be eligible to bid, attendance to a PRE-BID MEETING is mandatory and will be held Wednesday, December 15, 2010 @ 10:00 am , Eastern Standard Time at the EEqquuiippmmeenntt && FFaacciilliittiieess BBuuiillddiinngg--LLuunncchhrroooomm aarreeaa, located at 211 West Oakley, Flint, Michigan 48503-3995 for the purpose of reviewing the project specifications, bid documents, bidder qualifying requirements and a tour of proposed project. DAMAGE LIABILITY AND INSURANCE The Contractor shall hold harmless and indemnify the Genesee County Road Commission, its officers, agents and em-ployees, against all claims for damages to public or private property and for injuries to persons arising out of, or during the progress and/or completion of the work. WORKMAN’S COMPENSATION INSURANCE The Contractor, prior to the execution of the contract, shall file a certification that he/she carries Workman's Compensa-tion Insurance. INSURANCE: The Vendor shall comply with the following: A. INDEMNIFICATION

The Vendor shall save harmless, indemnify and defend in litigation the County of Genesee, the Board of County Road Commissioners of the County of Genesee, the Genesee County Road Commission, and its agents and em-ployees, against all claims for damages to public or private property and for injuries to persons arising out of and during the progress of and to completion of the work.

B. WORKMAN’S COMPENSATION INSURANCE

The Vendor shall certify before the execution of the contract that the Contractor carries Workman's Compensation Insurance.

C. BODILY INJURY AND PROPERTY DAMAGE

The Vendor, before execution of the contract, shall file with the Genesee County Road Commission copies of com-pleted certificates of insurance, as evidence that he Contractor carries adequate insurance, satisfactory to the Gene-see County Road Commission, to afford protection against all claims for damages to public or private property, and injuries to persons, arising out of and during the progress of the work, and to its completion and, where specified in the proposal, similar insurance to protect the owner of premises on or near which construction operations are to be performed.

3. The requirements for 1 and 2 above may be met through an Umbrella policy. 4. OWNER’S PROTECTIVE LIABILITY

Bodily injury and property damage protection, including general supervision of work performed shall be extended to the County of Genesee, the Board of County Road Commissioners of the County of Genesee, and the Genesee County Road Commission and all agent and employees thereof and, where shown, identi-ty of the contracting parties, the protection shall be extended to all participating political subdivisions and public corporations. The minimum limit shall be $1,000,000.

D. NOTICE

The Vendor shall not cancel or reduce the coverage of any insurance required by this Section without provid-ing 30-day prior written notice to the Genesee County Road Commission. All insurance policies and binders must include an endorsement by which the insurer shall agree to notify the Genesee County Road Commission, in writing, immediately of any cancellation or reduction in the insurance coverage.

The Vendor shall cease operations if any insurance is canceled or reduced, and shall not resume operations un-til new insurance is in force. All insurance policies and binders must also include endorsements by which the insurer shall agree to provide the Genesee County Road Commission, in writing, the following:

A 30-day prior notice of any insurer initialed cancellation or reduction in coverage for reasons other than non-

payment of the premium.

A 10-day prior notice of any cancellation or reduction in coverage for nonpayment of the premium.

E. REPORTS

The Vendor or the Vendor’s insurance carrier shall report to the Engineer claims received, inspections made and disposition of claims. The Genesee County Road Commission will withhold the final estimate or reserve until either the contractor pays the claim or until final disposition of the claim by the Vendor’s insurance com-pany has been received by the Genesee County Road Commission.

DAMAGE LIABILITY AND INSURANCE CONTINUED SILENCE OF SPECIFICATIONS: The apparent silence of the specifications contained as a part of this package as to any detail or to the apparent omission of a detailed description concerning any point, shall be regarded as meaning that only the best commercial practices are to prevail. All interpretations of these specifications shall be made on the basis of this statement. INDEMNIFICATION CLAUSE: The successful bidder (herein after referred to as Vendor), shall defend, indemnify, and save harmless the Genesee County Road Commission and all its officers, agents, and employees from all suits, ac-tions, or other claims of any character, name, and description brought for or on account of any injuries or damages of any negligent act or fault of the Vendor; or on account of or in consequence of any neglect in safeguarding the work; or through use of unacceptable materials in constructing the work; or because of any act of omission, neglect, or miscon-duct of said Vendor; or because any claims or amount recovered from any infringements of patent, trademark, or copy-right; or from any claims or amounts arising recovered under the Workmen’s Compensation Act, or any other law or-dinance, order, or decree; or of any agent, employee, subcontractor, or supplier in the execution of, or performance un-der, any Contract which may result from award of bid/offer. Further, Vendor indemnifies and will indemnify and save harmless the Genesee County Road Commission from liabili-ty, claim or demand on their part, their agents, servants, customers, and/or employees, whether such liability, claim, or demand arise from event or casualty happening within the job site itself or elsewhere. Vendor shall pay any judgment with costs which may be obtained against the Road Commission growing out of such injury or damages. Coverage shall be extended to: The Board of County Road Commissioners of the County of Genesee and Genesee County Road Commission Staff and Employees. POLICY TERM

The Policy period shall be for a period of one (1) year.

Warranty certificates or letters on all applicable and warranty items shall be provided to the end user upon delivery. All warranties shall start from the in-service date with the Genesee County Road Commission.

BONDS EACH BID MUST BE ACCOMPANIED BY A CERTIFIED OR CASHIER’S CHECK IN THE AMOUNT OF 5% OR 5% BID BOND OF THE GROSS SUM BID, PAYABLE TO THE GENESEE COUNTY ROAD COMMISSION. (SEE ATTACHED BID BOND FORM A) The Successful Bidder shall furnish satisfactory performance and lien bonds each in an amount not less than one hundred percent (100%) of the total contract price. Such bonds shall be on the forms provided and shall meet the regulations of the Genesee County Road Commission and the requirements specified in the laws of Michigan. Also, the successful bidder must provide a Certificate Of Liability Insurance with the ACORD™ (Trademark). Bids received after the opening date and time will be rejected.

EQUAL EMPLOYMENT OPPORTUNITY

The successful bidder or supplier must have an approved Equal Employment Opportunity Plan (EEOP) on file with the Genesee County Road Commission before a contract or purchase order can be executed. The EEOP must be prepared on forms available from the Road Commission Personnel Office. An EEOP, when approved, is valid for three (3) years. The EEOP must contain and conform to the following elements:

1. The contractor will not discriminate against any employee or applicant for employment because of race, religion, color, na-tional origin, age*, sex*, height, weight, marital status, handicap, veterans status or political affiliation. Such action shall include, but not limited to, the following: employment, upgrading, demotion or transfer, recruitment advertising, layoff or termination, rates of pay or other forms of compensation and section for training, including apprenticeship.

2. The contractor will, in all solicitations or advertisements for employees placed by or on behalf of the contractor, state that all qualified applicants will receive consideration for employment without regard to race, religion, color, national origin, age*, sex*, height, weight, marital status, handicap, veterans status or political affiliation.

3. The contractor or his collective bargaining representative will send to each labor union or representative or workers with which he has a collective bargaining agreement or other contract or understanding, a notice advising the said labor union or work-ers’ representative of the contractor’s commitments under this section.

4. The contractor will comply with all published rules, regulations, directives, and orders of the Michigan Civil Rights Commis-sion relevant to Section 4, Act No. 251, Public Acts of 1955, as amended, which may be in effect prior to the taking of bids for any individual county project.

5. The contractor will furnish and file compliance reports within such time and upon such forms as provided by the Genesee County Road Commission said forms may, also elicit information as to the practices, policies, and program and employment statis-tics of each subcontractor as well as the contractor himself. The contractor will permit access to his books, records and accounts by the Genesee County Road Commission and/or its agent, for purposes of investigation to ascertain compliance with this contract and with rules, regulations and orders of the Michigan Civil Rights Commission relevant to Section 4, Act No. 251, Public Acts of 1955, as amended.

6. The contractor will include, or incorporate by reference, the provisions of the foregoing paragraphs (1) through (6) in every subcontract or purchase order unless exempted by the rules, regulations or orders of the Michigan Civil Rights Commission, and will provide in every subcontract or purchase order that said provisions will be binding upon each subcontractor or seller.

7. A firm whose work force is composed only of members of the same family is exempt from filing a formal EEOP. However, a modified EEOP listing of employees specifying their relationship must be submitted.

*Section 3a (a), Act No. 344, Public Acts of 1965, as amended by Act No. 349, Public Acts of 1966 reads: It is unfair employment practice (a) for any employer, because an individual is between the ages of 35 and 60 or because of the sex of any individual, to refuse to hire or otherwise discriminate against him with respect to hire, tenure, terms, conditions or privileges of employment. Wash Bay : To construct a Wash Bay which shall include all labor, materials, and equipment as required to perform the following scope of work: Listed below is the specification to be furnished in order to provide a complete system. There shall be no deviation from the project list without written approval from the Genesee County Road Commission.

• Construct approximately 12’H 2”x4” KD-HT SPF wall on top of existing concrete poured wall attached with tie down straps.

• Install 1/12 single slop mono trusses attached with hurricane clips. • Sheet exterior walls & roof with ½” plywood. • Install vertical 26 gauge metal siding with all trim/flashing at top, base & openings. • Install 24 gauge metal roofing including snow guards.

SPECIFICATIONS & TERMS CONTINUED Definitions 1. Owner or Road Commission shall refer to the Genesee County Road Commission. 2. Service Company, Vendor, Proposer, Contractor or Bidder shall refer to the company providing a bid, proposal or quote for the work outlined in the specifications. Project Description The Genesee County Road Commission is soliciting bids from qualified and experienced firms to deliver and install a Wash Bay at the Genesee County Road Commission. General Conditions No Proposal will be accepted from, or contract awarded to any person, firm, or corporation that is in arrears or is in de-fault to the Genesee County Road Commission upon any debt or contract, or that is in default as surety or otherwise, or failed to perform faithfully any previous contract with the Genesee County Road Commission. Any deviation from the scope of work must be noted in the Proposal. The Genesee County Road Commission is exempt from all sales, excise and transportation taxes. Contracts for work under this proposal will obligate the firm or firms to not discriminate against any employee or applicant for employment with respect to hire, tenure, terms, conditions or privileges of employment on a matter directly or indirectly related to employment, because of race, color, religion, national origin, age, sex, height, weight or marital status pursuant to the Elliot Larsen Civil Rights Act, 1976, P.A. 453. The contractor and the Road Commission shall also comply with the provisions of the Michigan Handicappers Civil Rights Act, 1976, P.A. 220 and the Federal Rehabilitation Act of 1973, P.A. 93 112, 87 Stat. 394, which require that no employee or client or otherwise qualified firm participation in, be de-nied the benefits of or be subjected to discrimination under any program or activity receiving Federal Assistance. No person shall, on the grounds of race, creed, color, sex, age, national origin, height, weight, handicap or marital status be excluded from participation in, be denied the proceeds of or be subject to discrimination in the performance of this con-tract. The contractor shall comply with all applicable regulations promulgated pursuant to the Civil Rights Act of 1964, as amended. Appropriate insurance coverage shall be maintained during the length of the contract. All proposal prices shall remain in effect for at least ninety (90) days from the date of the proposal opening or the award, whichever comes first. Vendor to provide Material Safety Data Sheets (MSDS) for each chemical used under these specifications. Vendor is to possess appropriate licensure. Buildings or services may be added or deleted to the list during the contract term. If the Road Commission requires changes, the Road Commission will negotiate the cost of such changes with the Contractor. If such negotiations fail, the Road Commission may delete the subject facility from the contract and issue a separate proposal for the facility. The Road Commission is not required to accept the lowest proposal in all or in part. The proposal award will not be based solely upon cost, but will be evaluated based upon criteria formulated around the most important features of the services, of which qualifications, experience, comparable projects, references or capacity may be overriding factors.

SPECIFICATIONS & TERMS CONTINUED The Road Commission reserves the right to modify the scope of services during the course of the contract. Such modifi-cation may include adding or deleting any tasks this project will encompass and/or any other modifications deemed ne-cessary. Any changes in pricing or payment terms proposed by the contractor resulting from the requested changes are subject to acceptance by the Road Commission; changes may be increases or decreases. All costs incurred in the prepa-ration and presentation of this proposal, in anyway whatsoever, shall be wholly absorbed by the prospective firm. All supporting documentation shall become the property of the Road Commission of Genesee County unless requested oth-erwise at the time of submission. The confidentiality or disclosure of any information submitted is governed by the Michigan FOIA. The Road Commission cannot promise, warrant or guarantee confidentiality, nor that the information presented will be exempt from disclosure under the FOIA. The Road Commission may honor requests for confidentiali-ty only to the extent that FOIA permits. The Road Commission reserves the right to waive any informality in the proposal received, and to accept any proposal or part thereof, which it shall deem to be most favorable to the interests of the Genesee County Road Commission. In no event will award be made until all necessary investigations are made as to the responsibility and qualifications of the contractor to whom it is proposed to make such award. Any contract awarded to a person or company who is discovered to have been in default or disqualified at the time of the award of the contract shall be voidable at the discretion of the Board of the Genesee County Road Commission. No contract may be assigned, sublet or transferred without the written consent of the Genesee County Road Commis-sion. Any subcontractor, so approved, shall be bound by the terms and conditions of the contract. The contractor shall be ful-ly liable for all acts and omissions of its subcontractor(s) and shall indemnify the Genesee County Road Commission for such acts or omissions. It shall be the proposer’s responsibility to make inquiry as to the changes or addenda issued. All such changes or adden-da shall become a part of the contract and all proposers shall be bound by such changes or addenda. Addendums will be posted on the Genesee County Road Commission’s website. Payments Vendors shall submit properly completed invoices to the address specified on the purchase order. Billing shall be for actual hours worked. To insure prompt payment each invoice should include detailed project information, cite purchase order number, description of services, unit price, discount terms and include the Vendor’s name and return remittance address. Payments will be mailed within thirty (30) days of the receipt and acceptance of services rendered and properly completed invoice. Partial payments are not authorized on individual written purchase orders, issued for this procure-ment. Advanced payments will not be authorized. Workmanship The awarded vendor will ensure a timely completion of assignments. Each job assignment will be completed in a satis-factory condition. All work shall meet with the approval of the Road Commission’s authorized representative, as con-forming to the provisions and requirements of this contract. The Vendor will provide competent, suitable and qualified personnel to perform the work required. For problems or deficiencies of significant importance or of a continual nature, a time period of compliance shall be established after discussion and mutual agreement. Failure of the Contractor to correct the deficiencies within the time period agreed upon shall constitute cause for termination of the services and/or withholding of payment. In the case of any discrepancies, the subject shall be referred to the Road Commission for decisions and the Road Commission’s decision shall be binding; and without such decision, adjustment shall not be made by the Contractor save at his own risk.

SPECIFICATIONS & TERMS CONTINUED Safety The contractor shall assure that its employees have received safety training. All work shall be done in compliance with all applicable local, State and Federal laws, rules, regulations, zoning ordinance, as well as MIOSHA guidelines in ef-fect at the time of the award of contract. All licenses required by the State of Michigan, and/or the Genesee County Road Commission, which is necessary to perform this work, must be obtained prior to the award of contract. Termination The Genesee County Road Commission reserves the right to terminate the contract without penalty upon thirty (30) days written notice due to poor performance or for reasons deemed to be in its best interest. A designated representative of the Genesee County Road Commission will be solely responsible for determining acceptable performance levels. The Genesee County Road Commission reserves the right to re-award the contract to the second most qualified proposal, re-bid the contract or do whatever is deemed to be in its best interest. Assignment The agreement shall be binding on the parties and their heirs, successors and assigns. Neither party may assign, transfer or subcontract its interests, in whole nor in part, without first obtaining the written prior approval of the Genesee County Road Commission before any consent is given, the successful vendor and its assignee shall bring current all moneys owing to the Road Commission. No consent shall be given by the Road Commission unless the assignee agrees to be liable for any payment outstanding on this agreement at time of assignment. Instructions to Proposers 1. All proposals shall be reviewed at the date and time specified. Each proposer’s name and address only shall be rec-orded. Proposals shall be in accordance with the Purchasing Procedures and the requirements of this proposal in order to be deemed “responsive.” 2. Proposal Form must be completed entirely and submitted with the Proposal. The Proposal shall be in conformance with and subject to the proposal. 3. All licenses required by the State of Michigan and/or the Genesee County Road Commission , which are necessary to perform this Contract, must be obtained prior to the award of contract. 4. No proposal will be accepted from, or contract awarded to any person, firm or corporation that is in arrears or is in default to the Genesee County Road Commission upon any debt or contract, or that is in default as surety or otherwise, or failed to perform faithfully any previous contract with the Road Commission. 5. Awarded proposer’s prices shall remain firm through the term of the contract. 9. The Road Commission reserves the right to waive any informalities or immaterial omissions or defects not involving price, time or changes in the work. Any deviation from the specifications must be noted in the proposal. 10. The Genesee County Road Commission reserves the right to split or abstract any or all proposals and award one or multiple contracts from the same proposal, based on price, availability and service, qualifications and experience of contractor, comparable projects and references, when in its judgment it best serves the Road Commission. Examination of Work Site Before submitting a proposal, each proposer shall read the specifications and all other proposal documents, if any, and shall visit the site of the work by attending a Mandatory Pre-Bid Meeting. Each proposer shall fully inform him-self/herself prior to proposing as to existing conditions and limitations under which the work is to be performed, and shall include in his/her proposal sums to cover the cost of items necessary to perform the work as set forth in the pro-posed documents. No allowance will be made to a proposer because of lack of such examination or knowledge. The submission of a proposal will be considered as conclusive evidence that the proposer has made such examination. Proposal Form In order to receive consideration, make proposals in strict accordance with the following: • No proposal will be considered unless it is made in accordance with the specifications, addenda and instructions to proposers as provided.

• Sealed proposals (2-copies) must be submitted on the forms provided, properly signed and with all items filled out. Do not change the wording of the proposal form, and do not add words to the proposal form. Unauthorized conditions, limitations or provisions attached to the proposal will be cause for rejection of the proposal. If alterations by erasure or interlineations are made for any reason, explain over such erasure or interlineations with a signed statement from the proposer.

• No telephonic, telegraphic or digital facsimile (fax) proposal or telephonic, telegraphic or facsimile (fax) modifica-tion of a proposal will be considered.

• Only properly identified proposals received on time will be read and evaluated. • Proposals that are not in total compliance with the specifications shall be marked “alternate” or the Road Commission will presume the proposal meets the specifications herein.

Withdrawal of Proposals • Proposer may withdraw his/her proposal, either personally or by written request, at any time prior to the scheduled time for reading proposers names and addresses.

• No proposer may withdraw his/her proposal for a period of ninety (90) calendar days after the date set for opening thereof, and proposals shall be subject to acceptance by the Genesee County Road Commission during this period.

Owner’s (Genesee County Road Commission) Rights • The Road Commission reserves the right to reject any or all proposals submitted and to waive any informality and irregularity in the proposals and in the proposing.

• The Road Commission reserves the right to award the contracts to whomever it elects. • The Road Commission reserves the right to accept Alternates in any order or combination and to determine the lowest responsive, responsible proposer on the basis of the sum of the base proposal and the Alternates accepted.

• The Road Commission reserves the right to split or abstract any or all proposals and award multiple contracts for the same proposal which best serves the Road Commission.

Taxes • Municipalities are exempt from Michigan State Sales and Federal Excise Taxes. A tax exemption certificate will be provided upon request.

Scheduling of Work The Genesee County Road Commission will set up work schedule. It will be the Contractor’s responsibility to perform work so as not to interfere with the normal operation of Road Commission business. Security The Contractor shall confine his/her work to the area assigned in this project and shall not roam the building. Contrac-tor’s personnel shall respect and adhere to all orders from the Road Commission’s authorized representative.
