    1Shorttitle

    ThisActmaybecitedastheCompetitionandConsumerAct2010.

    2ObjectofthisAct

    TheobjectofthisActistoenhancethewelfareofAustraliansthroughthepromotionofcompetitionandfairtradingandprovisionforconsumerprotection.

    2AApplicationofActtoCommonwealthandCommonwealthauthorities

    (1) Subjecttothissectionandsections44AC,44Eand95D,thisActbindstheCrowninrightoftheCommonwealthinsofarastheCrowninrightoftheCommonwealthcarriesonabusiness,eitherdirectlyorbyanauthorityoftheCommonwealth.

    (2) Subjecttothesucceedingprovisionsofthissection,thisActappliesasif: (a) theCommonwealth,insofarasitcarriesonabusinessotherwisethanbyan

    authorityoftheCommonwealth;and (b) eachauthorityoftheCommonwealth(whetherornotactingasanagentofthe

    CrowninrightoftheCommonwealth)insofarasitcarriesonabusiness;wereacorporation.

    (3) NothinginthisActmakestheCrowninrightoftheCommonwealthliabletoapecuniarypenaltyortobeprosecutedforanoffence.

    (3A) Theprotectioninsubsection(3)doesnotapplytoanauthorityoftheCommonwealth.

    (4) PartIVdoesnotapplyinrelationtothebusinesscarriedonbytheCommonwealthindeveloping,anddisposingofinterestsin,landintheAustralianCapitalTerritory.

    2BApplicationofActtoStatesandTerritories

    (1) ThefollowingprovisionsofthisActbindtheCrowninrightofeachoftheStates,oftheNorthernTerritoryandoftheAustralianCapitalTerritory,sofarastheCrowncarriesonabusiness,eitherdirectlyorbyanauthorityoftheStateorTerritory:

    (a) PartIV; (aa) PartV; (b) PartXIB; (c) theotherprovisionsofthisActsofarastheyrelatetotheaboveprovisions.

    (2) NothinginthisActrenderstheCrowninrightofaStateorTerritoryliabletoapecuniarypenaltyortobeprosecutedforanoffence.

    (3) Theprotectioninsubsection(2)doesnotapplytoanauthorityofaStateorTerritory.

    2BAApplicationofPartIVtolocalgovernmentbodies

    (1) PartIVappliesinrelationtoalocalgovernmentbodyonlytotheextentthatitcarriesonabusiness,eitherdirectlyorbyanincorporatedcompanyinwhichithasacontrollinginterest.

    (2) Inthissection:

    localgovernmentbodymeansabodyestablishedbyorunderalawofaStateorTerritoryforthepurposesoflocalgovernment,otherthanabodyestablishedsolelyorprimarilyforthepurposesofprovidingaparticularservice,suchasthesupplyofelectricityorwater.

    2CActivitiesthatarenotbusiness

    (1) Forthepurposesofsections2A,2Band2BA,thefollowingdonotamounttocarryingonabusiness:

    (a) imposingorcollecting: (i) taxes;or (ii) levies;or (iii) feesforlicences; (b) granting,refusingtogrant,revoking,suspendingorvaryinglicences(whetheror

    nottheyaresubjecttoconditions); (c) atransactioninvolving: (i) onlypersonswhoareallactingfortheCrowninthesameright(andnoneof

    whomisanauthorityoftheCommonwealthoranauthorityofaStateorTerritory);or

    (ii) onlypersonswhoareallactingforthesameauthorityoftheCommonwealth;or

    (iii) onlypersonswhoareallactingforthesameauthorityofaStateorTerritory;or

    (iv) onlytheCrowninrightoftheCommonwealthandoneormorenoncommercialauthoritiesoftheCommonwealth;or

    (v) onlytheCrowninrightofaStateorTerritoryandoneormorenoncommercialauthoritiesofthatStateorTerritory;or

    (vi) onlynoncommercialauthoritiesoftheCommonwealth;or (vii) onlynoncommercialauthoritiesofthesameStateorTerritory;or (viii) onlypersonswhoareallactingforthesamelocalgovernmentbody(within

    themeaningofsection2BA)orforthesameincorporatedcompanyinwhichsuchabodyhasacontrollinginterest;

    (d) theacquisitionofprimaryproductsbyagovernmentbodyunderlegislation,unlesstheacquisitionoccursbecause:

    (i) thebodychoosestoacquiretheproducts;or (ii) thebodyhasnotexercisedadiscretionthatithasunderthelegislationthat

    wouldallowitnottoacquiretheproducts.

    (2) Subsection(1)doesnotlimitthethingsthatdonotamounttocarryingonabusinessforthepurposesofsections2A,2Band2BA.

    (3) Inthissection:

    acquisitionofprimaryproductsbyagovernmentbodyunderlegislationincludesvestingofownershipofprimaryproductsinagovernmentbodybylegislation.

    governmentbodymeanstheCommonwealth,aState,aTerritory,anauthorityoftheCommonwealthoranauthorityofaStateorTerritory.

    licencemeansalicencethatallowsthelicenseetosupplygoodsorservices.

    primaryproductsmeans: (a) agriculturalorhorticulturalproduce;or (b) crops,whetheronorattachedtothelandornot;or (c) animals(whetherdeadoralive);or (d) thebodilyproduce(includingnaturalincrease)ofanimals.

    (4) Forthepurposesofthissection,anauthorityoftheCommonwealthoranauthorityofaStateorTerritoryisnoncommercialif:

    (a) itisconstitutedbyonlyoneperson;and (b) itisneitheratradingcorporationnorafinancialcorporation.

    3Repeal

    TheRestrictiveTradePracticesAct1971andtheRestrictiveTradePracticesAct1972arerepealed.

    4Interpretation

    (1) InthisAct,unlessthecontraryintentionappears:

    acquireincludes: (a) inrelationtogoodsacquirebywayofpurchase,exchangeortakingonlease,on

    hireoronhirepurchase;and (b) inrelationtoservicesaccept.

    AEMCorAustralianEnergyMarketCommissionmeansthebodyestablishedbysection5oftheAustralianEnergyMarketCommissionEstablishmentAct2004ofSouthAustralia.

    AERorAustralianEnergyRegulatormeansthebodyestablishedbysection44AE.

    AERChairmeanstheChairoftheAER.

    AERmembermeansamemberoftheAER.

    (2) Apersonshallbedeemedtobecompetitivewithanotherpersonforthepurposesofsubsection(1)if,andonlyif,thefirstmentionedpersonorabodycorporatethatisrelatedtothatpersonis,orislikelytobe,or,butfortheprovisionofanycontract,arrangementorunderstandingorofanyproposedcontract,arrangementorunderstanding,wouldbe,orwouldbelikelytobe,incompetitionwiththeotherperson,orwithabodycorporatethatisrelatedtotheotherperson,inrelationtothesupplyoracquisitionofalloranyofthegoodsorservicestowhichtherelevantprovisionofthecontract,arrangementorunderstandingoroftheproposedcontract,arrangementorunderstandingrelates.

    4EMarket

    ForthepurposesofthisAct,unlessthecontraryintentionappears,marketmeansamarketinAustraliaand,whenusedinrelationtoanygoodsorservices,includesamarketforthosegoodsorservicesandothergoodsorservicesthataresubstitutablefor,orotherwisecompetitivewith,thefirstmentionedgoodsorservices.

    4FReferencestopurposeorreason

    (1) ForthepurposesofthisAct: (a) aprovisionofacontract,arrangementorunderstandingorofaproposed

    contract,arrangementorunderstanding,oracovenantoraproposedcovenant,shallbedeemedtohavehad,ortohave,aparticularpurposeif:

    (i) theprovisionwasincludedinthecontract,arrangementorunderstandingoristobeincludedintheproposedcontract,arrangementorunderstanding,orthecovenantwasrequiredtobegivenortheproposedcovenantistoberequiredtobegiven,asthecasemaybe,forthatpurposeorforpurposesthatincludedorincludethatpurpose;and

    (ii) thatpurposewasorisasubstantialpurpose;and (b) apersonshallbedeemedtohaveengagedortoengageinconductforaparticular

    4HApplicationofActinrelationtoleasesandlicencesoflandandbuildings

    InthisAct: (a) areferencetoacontractshallbeconstruedasincludingareferencetoaleaseof,

    oralicenceinrespectof,landorabuildingorpartofabuildingandshallbesoconstruednotwithstandingtheexpressreferencesinthisActtosuchleasesorlicences;

    (b) areferencetomakingorenteringintoacontract,inrelationtosuchaleaseorlicence,shallbereadasareferencetograntingortakingtheleaseorlicence;and

    4JJointventures

    InthisAct: (a) areferencetoajointventureisareferencetoanactivityintradeorcommerce: (i) carriedonjointlybytwoormorepersons,whetherornotinpartnership;or (ii) carriedonbyabodycorporateformedbytwoormorepersonsforthe

    purposeofenablingthosepersonstocarryonthatactivityjointlybymeansoftheirjointcontrol,orbymeansoftheirownershipofsharesinthecapital,ofthatbodycorporate;and

    IfthemakingofacontractafterthecommencementofthissectioncontravenesthisActbyreasonoftheinclusionofaparticularprovisioninthecontract,then,subjecttoanyordermadeundersection51ADBor87,nothinginthisActaffectsthevalidityorenforceabilityofthecontractotherwisethaninrelationtothatprovisioninsofarasthatprovisionisseverable.

    4MSavingoflawrelatingtorestraintoftradeandbreachesofconfidence

    ThisActdoesnotaffecttheoperationof: (a) thelawrelatingtorestraintoftradeinsofarasthatlawiscapableofoperating

    concurrentlywiththisAct;or (b) thelawrelatingtobreachesofconfidence;

    butnothinginthelawreferredtoinparagraph(a)or(b)affectstheinterpretationofthisAct.

    4NExtendedapplicationofPartIIIA

    (1) TheMinistermayappointpersonstobeassociatemembersoftheCommission.

    (1A) Ifthereisatleastonefullyparticipatingjurisdiction,theMinistermustnotappointapersonasanassociatememberunlesstheMinisterissatisfiedthatamajorityofsuchjurisdictionssupporttheappointment.

    (i) thesizeofthefacility;or

    (ii) theimportanceofthefacilitytoconstitutionaltradeorcommerce;or

    (iii) theimportanceofthefacilitytothenationaleconomy;

    (e) thataccesstotheservice:

    (i) isnotalreadythesubjectofaregimeinrelationtowhichadecisionundersection44Nthattheregimeisaneffectiveaccessregimeisinforce(includingasaresultofanextensionundersection44NB);or

    (ii) isthesubjectofaregimeinrelationtowhichadecisionundersection44Nthattheregimeisaneffectiveaccessregimeisinforce(includingasaresultofanextensionundersection44NB),buttheCouncilbelievesthat,sincetheCommonwealthMinistersdecisionwaspublished,therehavebeensubstantialmodificationsoftheaccessregimeoroftherelevantprinciplessetoutintheCompetitionPrinciplesAgreement;

    (f) thataccess(orincreasedaccess)totheservicewouldnotbecontrarytothepublicinterest.

    (6) TheCouncilcannotrecommenddeclarationofaserviceprovidedbymeansofapipeline(withinthemeaningofaNationalGasLaw)if:

    (a) a15yearnocoveragedeterminationisinforceundertheNationalGasLawinrespectofthepipeline;or

    (b) apriceregulationexemptionisinforceundertheNationalGasLawinrespectofthepipeline.

    (7) TheCouncilcannotrecommendthataservicebedeclaredifthereisinforceadecisionofthedesignatedMinisterundersection44LGthattheserviceisineligibletobeadeclaredservice.

    44GATimelimitforCouncilrecommendations

    Counciltomakerecommendationwithintheconsiderationperiod

    (1) TheCouncilmustmakearecommendationonanapplicationundersection44Fwithintheconsiderationperiod.

    (2) Theconsiderationperiodisaperiodof180days(theexpectedperiod),startingatthestartofthedaytheapplicationisreceived,unlesstheconsiderationperiodisextendedundersubsection(7).

    Stoppingtheclock

    (3) Inworkingouttheexpectedperiodinrelationtoarecommendationonanapplicationundersection44F,inasituationreferredtoincolumn1ofanitemofthefollowingtable,disregardanydayinaperiod:

    (a) startingonthedayreferredtoincolumn2oftheitem;and (b) endingonthedayreferredtoincolumn3oftheitem.

    (7) IftheCouncilisunabletomakearecommendationwithintheconsiderationperiod(whetheritistheexpectedperiodortheconsiderationperiodaspreviouslyextendedunderthissubsection),itmust,bynoticeinwritingtothedesignatedMinister,extendtheconsiderationperiodbyaspecifiedperiod.

    (8) Thenoticemust: (a) specifywhentheCouncilmustnowmakearecommendationontheapplication;

    and (b) includeastatementexplainingwhytheCouncilhasbeenunabletomakea

    decisionontherecommendationwithintheconsiderationperiod.

    (9) TheCouncilmustgiveacopyofthenoticeto: (a) theapplicant;and (b) iftheapplicantisnottheprovideroftheservicetheprovider.
