10.1 The Supplier reserves the right to withdraw any credit facilities granted to the Purchaser at any time without prior notice and the nature ad extent of such facilities shall at all times be in the Supplier's sole discretion.

10.2 Despite the fact that the Supplier may grant the Purchaser a credit limit or credit facility up to a certain amount, the Supplier reserves the right to increase or decrease this amount at its sole discretion. The credit limit shall not be deemed to be the limit of a Purchaser's indebtedness to the Company.

11. DISCOUNTS

11.1 The contract price is strictly net and not subject to any discounts unless otherwise agreed in writing.

11.2 If any settlement discount is agreed to in writing it shall only be allowed if payment is received by the Supplier by the due date and shall only apply to the actual price of the goods themselves.

12. TIME

Time shall not be of the essence in the contract.

13. EXCLUSIONS

13. I All specifications, illustrations, advertisements, brochures and other technical data furnished by the Supplier in respect of the Products, and whether in writing or not, are furnished for information purposes only and shall not form part of the contract or be relied upon by the Purchaser for any purpose, unless and to the extent that they are expressly warranted or guaranteed in writing by the Supplier and accordingly expressly incorporated into the contract.

13 .2 If any non standard stock Products, or any part of them, are required by the Purchaser which are to be supplied in accordance with specifications, measurements and/or other instructions furnished by the Purchaser, the Purchaser shall not have any claim of whatsoever nature against the Supplier should such Products not comply with the Purchaser's requirements due to incorrect and/or inaccurate specifications, measurements and/or other instructions being furnished by the Purchaser to the Supplier or in the event that the Supplier is generally not able to supply such Products as aforesaid.

13.3 The Supplier shall under no circumstances whatsoever be liable for any loss of profit or any damage direct or indirect, consequential or otherwise, sustained by the Purchaser arising from any cause whatsoever. Without derogating from the generality of the foregoing, the Supplier shall not be liable for its own negligence or that of any of its agents and/or employees.

13.4 Subject to and without in any way limiting the provisions of clause 13.3 herein above, the Supplier's liability to the Purchaser for any damages sustained by the Purchaser from any cause whatsoever, including any damages arising out of the Supplier's negligence or that of its servants, agents or subcontractors, shall in any event and under all circumstances be limited to the selling price of the Products.

13.5 Insofar as any of the Suppliers obligations under the contract are carried out by any of its servants, agents or sub-contractors, the provisions of clauses 13.3 and 13.4 herein above are stipulated for their benefit as well as the Supplier's and each of them shall be exempted accordingly.

13 .6 The Supplier shall not assume any liability whatsoever for the unauthorised use of the Products in any manner, howsoever arising. The Purchaser is deemed to understand the intended use of the Products and undertakes not to utilise the Products in any manner for which the Products were not designed. The Purchaser accordingly indemnifies the Supplier for all and any claims arising in respect of the unauthorised and/or unintended use of the Products.

14. WARRANTY

The Supplier makes no warranties or representations, whether express or implied, in respect of the Products other than those contained herein or provided by the Supplier in writing from time to time in respect of the Products.

15. SUSPENSION OF SUPPLIER'S OBLGIATIONS

If any amount owed by the Purchaser is not paid by due date, then without prejudice to any other right it may have, the Supplier may immediately suspend the carrying out of any of its then uncompleted obligations until such payment is made. 16. PROPRIETARYRIGHTS

16.1 All the right in and to the Products, including trademarks, software and know how are proprietary to the Supplier and accordingly protected in terms of the relevant legislation in force from time to time. 16.2 The Purchaser shall under no circumstances attempt to copy, reverse engineer, or disseminate or distribute any of the rights to and in the Products and any attempt to do shall be punishable to the full extent of the law.

17. RELATIONSHIP OF THE PARTIES

The relationship of the parties is that of Principals. The Purchaser shall not hold itself out as an agent, licensee, representative or employee of the Supplier and shall not be entitled to bind the credit of the contract in the name of or create a liability against the Supplier.

18. DEFAULT

18.1 In the event that the Purchaser should: ��: � j ��;��eb��hn 01�1�=� iig;ilie�:�';?gf and payable to the Supplier; 18.1.3 have any of its cheques returned by its bankers

The Supplier shall be entitled, at its option, without notice and without prejudice to any other rights which it may have, including the right to claim damages arising out of the breach of or the termination of the contract, to declare all amounts owing by the Purchaser immediately due and payable irrespective of whether or not such amounts are in fact then due, owing and payable in one sum on demand and to suspend the carrying out of any of its then uncompleted obligations until payment ofhe full sum is made and to terminate any credit facilities granted to the Purchaser. 18.2 No relaxation which the Supplier may have permitted on any occasion in regard to the carcying out of the Purchaser1s obligations shall be to the prejudice of or be regarded as a waiver of the Supplier1s rights to enforce those

obligations on any subsequent occasion. 19. CANCELLATION

19 .1 The Supplier may cancel the contract or any uncompleted part of it if the Purchaser: 19 .1.1 commit a breach of any of the terms or conditions of the contract; or 19 .1.2 being a partnership, the partnership is terminated; or 19 .1.3 being a company, is placed under a provisional or final order of liquidation or judicial management; or 19 .1.4 commits any act of insolvency; or 19 .1.5 makes incorrect material statements or representations in connection with the contract; or 19.1.6 allows the Products to be attached or seized under any due process of law.

19 .2 The Supplier's rights in terms of clause 19.1 shall not be exhaustive and shall be in addition to its common law rights. 19.3 Upon the cancellation of the contract for any reason whatsoever:

19.3.1 all amounts then owed by the Purchaser to the Supplier in terms of the contract shall become due and payable forthwith; 19 .3 .2 the Supplier may retake possession of any Products in respect of which ownership has not yet passed as at the date of cancellation.

20. NEGOTIABLE INSTRUMENTS

Any promissory note, bill of exchange or other negotiable instrument received by the Supplier from the Purchaser shall not be a novation of the debt which it is given for and the Purchaser waives presentment, notice of dishonour and protest where applicable.

21. TELEPHONE CLAUSE The Purchaser hereby authorises the Supplier to process, against the Purchaser's account, all and any sales transactions which are generated as a result of a telephonic order placed by the Purchaser with a duly authorised sales representative of the Supplier.

22. APPLICABLE LAW

Regardless of the place of execution, performance or domicile of the parties, the contract and all modifications and amendments thereof shall be governed by and construed under and in accordance with the laws of South Africa. 23. SEVERABILITY

The provisions of the contract are intended to be interpreted and construed in a manner so as to make such provisions valid, binding and enforceable. In the event that any provision of the contract is determined to be partially or wholly invalid, illegal or unenforceable, then such provision shall be deemed to be modified or restricted to the extent necessary to make the provision valid, binding and the effect and enforceability of the remaining provisions of the contract shall not be affected or impaired in any manner.

24. LANGUAGES (IF APPLICABLE) The contract has been prepared in the English language. In the event of any conflict between any other texts of the contract, the English version of the contract shall prevail. If any document provided in terms of the contract is not in

the English language, the party providing such document shall forthwith at the other party's request, provide the party with translations of such documents into the English language. 25. FORCE MAJEURE

No failure by either party to perform in accordance with any provision of the contract shall constitute a breach of the contract if the failure arose as a result of force majeure, including acts of God, war, strike sanctions or changes in

laws, regulations, ordinances or the like made by any competent authority or other circumstances wholly outside the control of the relevant party. "Force Majeure" means any event due to any cause beyond the reasonable control of the relevant party, such as restrictions and convertibility or transferability, requisitions, involuntary transfers, unavailability of any system, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war or acts of Government.

26. CONVERSION RATES

All sums payable will be converted to Rands at the rate of exchange prevailing on that date of payment. The Purchaser shall be entitled at his discretion, to make payment of part of the amount due at an earlier date. 27. SENSITIVE MATERIALS

Neither party shall be required to supply any material or information in violation of any law, regulation, ordinance or other official decree, if such supply or distribution can only be made with the approval of a government authority, without approval of that authority.

28. NOTICES AND DO MI CILIUM

28.1 The parties choose as their domicilium citandi et executandi their respective addresses set out in any order placed by the Purchaser with the Supplier for all purposes arising out of or in connection with the contract at which addresses all proceedings and notices arising out of or in connection with the contract, its breach of or termination may validly be served upon or delivered to the parties.

Or such other addresses, not being a post office box or poste restante, of which the party concerned, may notify the other in writing. 28.2 Any notice given in terms of the contract shall be in writing and in the English language and shall:

28.2.1 if delivered by hand be deemed to have been duly received by the addressee on date of delivery; 28.2.2 if posted by prepaid registered post be deemed to have been received by the addressee on the 8th (eight) day following the date of such posting; 28.2.3 If given by telegram to be deemed to have been received by the addressee 1 (one) day after dispatch; 28.2.4 If transmitted by facsimile be deemed to have been received by the addressee l(one) day after dispatch.

28.3 Notwithstanding anything to the contrary contained in the contract, a written notice or communication actually received by one of the parties from another including by way of telefax or facsimile transmission shall be adequate written notice or communication to such party.

29. GENERAL

29 .1 No alterations or variation of these terms and conditions shall apply, unless expressly agreed in writing and signed by an authorised representative of the Supplier. 29 .2 The Supplier shall be entitled, at its option, to institute any legal proceedings which might arise out of or in connection with the contract, in any Magistrate's Court having jurisdiction in respect of the person to the Purchaser in

terms of Section 28 of the Magistrate's Court Act no. 32 of 1944, in the Republic of South Africa or Namibia or in any subordinate Court of the First Class and/or Magistrate's Court, as the case may be of the said countries and of Lesotho, Botswana, Swaziland, Transkei, Bophuthatswana or Venda having jurisdiction and the Purchaser hereby and in terms of section 45 of the Magistrate's Court Act 32 of 1944 consents to the jurisdiction of the Magistrate1s Court having jurisdiction in terms of section 28 of the Magistrate's Court Act 32 of 1944.

29 .3 Notwithstanding the afore going the Supplier shall, at its discretion, be entitled to institute all or any proceedings against the Purchaser connected with the contract in any High Court of South Africa having jurisdiction. 29.4 The contract constitutes the entire agreement between the parties and no representation by any person, or variations or amendments to any of the terms or conditions hereof shall be valid and binding on the Supplier

unless reduced to writing and signed by both parties. 29.5 No extension of time or any other relaxation or indulgence granted by the Supplier to the Purchaser shall operate as or be deemed to be a waiver by the Supplier of any of its rights under the contract or a novation of

any of the terms and conditions of the contract. 29 .6 The headings in these conditions are for convenience only and are not to be taken into account for the purpose of interpreting the contract. 29.7 The contract is governed by the laws of the Republic of South Africa. 29 .8 A certificate issued and signed by any director or manager of the Supplier, whose authority need not be proved, in respect of any indebtedness of the Purchaser to the Supplier or in respect of any other fact, including but not limited to the generality of the afore going and the fact that such goods were sold and delivered, shall for the purpose of any proceedings which the Supplier may institute against the Purchaser in any Court of competent jurisdiction, constitute evidence of the Purchaser's indebtedness to the Supplier.

29.9 The Purchaser shall pay all legal fees as between attorney and own client including collection commission, tracing fees, valuation charges, transport costs and other expenses in connection therewith which the Supplier may incur in taking any steps pursuant to any breach of these terms and conditions by the Purchaser.

29.10 The Supplier shall, at any time, in its sole discretion, be entitled to cede all or any of its rights in terms of any ApPlication for Credit Facilities and Deed of Suretyship to any third party, without prior notice to the Purchaser. 29.11 The Purchaser agrees that the Supplier has the right of set-off and shall be entitled but not obliged to use this right whenever monies are jointly due owing and payable between the Purchaser and the Supplier. 29.12 Specifications and price lists are issued from time to time for information purposes only and do not constitute offers for sale. 29.13 The Supplier agrees that the information gathered in and during its investigation of the Purchaser1s creditworthiness shall be obtained in confidence and will be used for the sole purpose for which such information

was given or as provided for in legislations.
