The City of Pendleton Facilities Department is accepting sealed bid proposals from qualified contractors to furnish and install new LED lighting fixtures per specifications, branch circuits for associated dimming and dimmer control. Main Event Hall December 7th, 2017

H) All work to be performed at Pendleton Convention Centers 1601 Westgate Pendleton, OR97801. Public access must be maintained at all times therefore work shall be scheduled toprovide; the least possible disruption to the public and occupants of the building function.

Pendleton Convention Center 8 AM to 5 PM Monday through Friday check with Convention Center Manager on evening meetings requiring access.

The Pendleton Convention Center has flexible schedules for events and may operate unusual hours for conventions and meetings, this includes weekends. (Request schedule of events)

Contractor agrees to the following stipulations, but without limitation:

1. The contractor employees may use electricity as neededin the building.

2. The contractor will make all necessary provisions to keep a clean andorderly work place.

3. The contractor shall dispose of all construction debris used on this projectby local, state ordinances. The contractor shall store all materials in a manner so as to preventany and all hazards to the occupants of the building, and the public.

4. The contractor shall have complete access to PCC for the purposes of installing lightingupgrades and other related materials with arrangements with City of Pendleton FacilitiesManager.

5. The contractor shall be responsible for the proper attire, profanity and actions of allworkmen at all times. Any improper attire or profanity action by any person iscause for immediate dismissal of the offending person from the siteand project.6. Protect at all times from aerial lifts from damage occurring to the hardwood floor in thePendleton Convention Center take all necessary precautions.

Defective Work. If the contractor fails to correct defective work or persistently fails to carry out the work in accordance with this Document. The City, by written order, may order the contractor to stop the work, or any portion thereof, until the cause for such order has been eliminated; However, the right of the City to stop the work shall not give rise to any duty on the part of the City to exercise this right, for the benefit of the contractor or any other person or entity.

Material Storage. Should the City provide storage space, the Vendor assumes full, complete and non-delegable responsibility for the security of the equipment and/or material stored.

Product Warranty. Contractor shall provide manufacturer’s warranty on lighting fixtures from the manufacture of products installed as directed by manufacture recommendations. The contractor shall provide, two three ring binder with complete specifications and warranty information. Materials, Appliances and Employees. (H) Payment for - Unless otherwise stipulated, the contractor shall provide andpay for all materials, labor, tools, equipment, transportation, and othernecessary for the proper execution and completion of the work.Whether temporary or permanent and whether or not incorporated or to beincorporated in the Work.

(J) Quality of Materials and Workmanship - Unless otherwise specified, allmaterials shall be new, and both workmanship and materials shall be ofthe quality required by the specifications. The contractor shall, if required,furnish satisfactory evidence as to the kind and quality of materials andwork. The burden of proof is on the contractor.

(K) Quality and Discipline of Employees - The contractor shall at all timesenforce strict discipline and good order among his employees and shallnot employ on the work any unfit person or anyone not skilled in the workassigned to him.

Protection of Work and Property. Duty to Protect Property - The contractor shall continuously maintain adequate protection of all his work from damage and shall protect all other property from damage, injury, or loss arising in connection with the work regardless of who may be the owner of said property. He shall make good any such damage, injury, or loss except such as shall be caused directly by agents or employees of the City of Pendleton submissions, and the resulting negotiated agreement, in all instances the City’s decisions will be final.

Other: The successful proposing contractor shall not assign or transfer any interest in the proposal or subcontract any part of the contract without prior written approval from the City of Pendleton.(If using subcontractor provide list with proposal).

Training and owners operator manuals: Provide three owner’s manuals with as built electrical drawings including electronic data. Provide two hours of training to city maintenance staff and convention center staff.

THE CITY SHALL: Pay the contractor in one payment with terms of NET 30 DAYS this payment shall be at the conclusion of the project and after the City electrical inspector and facilities manager accepts the project. (Payment for lighting fixtures on-site may be requested).

Scope of Work: The contractor Site visit highly recommended call for appointment of job site Pendleton Convention Center 1601 Westgate Pendleton, Oregon 97801 541-276-6569.

The proposer agrees that the cost of any work performed, materials furnished, including aerial lift equipment. Services provided, or expenses incurred, which are not specifically delineated in the proposal documents, but which are incidental to the scope, intent, and completion of this contract, shall be deemed to have been included in the prices for the various items scheduled for turnkey installation.

Sequence of Operation of Main Event Hall Lighting • Provide independent dimmer for each light see specifications.

Dimmer control shall have master fader and individual controls seespecifications to provide mood setting, Ability presets lighting configurations.The balconies East & West lighting fixtures will also be on individual dimmer toprovide Control throughout the Event Hall. To accommodate basketballtournaments at full brightness to banquets & dances that require multiplecustom light levels lighting output. Wireless remote control for dimmer circuitsand, fixed controller with programming software included.

Part Number of SLA-UCS-MESH-IRTEC-PCC.o Polycarbonate enclosure, sized to fit 12 ea. ON-PBD-705 Wall

butt n plates. Enclosure to include clear door as available, andthe door will be lockable.

o Base receptacles will be mounted to the Slatercomenclosure backplate and prewired to an input terminalcoming from the primary standard lighting switches.

o A Circuit breaker assembly will feed the ONB receptacles.o Includes Distinct labeling of each ONB butt n plate as to the zone

it dims.o Indicator LED’s on each base receptacle to confirm power to

ADD/ALTERNATE OPTION 1: Note this will be an add alternative please breakout cost. Pendleton Convention Center Main event Hall event receptacles ceiling drops

• In each primary/over-gymnasium row of lighting,provide convenient outlet assemblies with twistlock 120V/20 Amp receptacles, no more than 4 receptacles per circuit for tradeshow setups.

• This will result in six rows of plugs with 4 plugs oneach row of lighting fixtures.

• Arrange electrical boxes for receptacle on thewest and east to be in-line with the bleacherswhen folded up for tradeshow electrical drops.

• Field verify locations with facility manager andconvention center manager.

CITY OF PENDLETON Public Contracts Addend

PAGES MUST BE COMPLETED AND SUBMITTED AS A PART OF YOUR PROPOSAL

The contract to which this addendum is attached shall be governed by the additional terms and conditions set forth herein:

1. The Contractor shall make payment promptly, as due, to all persons supplying to such Contractor labor ormaterials for the prosecution of the work provided in the contract.

2. The Contractor shall provide workers' compensation insurance coverage for all individuals, others thanthose exempt under ORS 656.027, who perform labor under the contract before labor under the contractcommences. Contractor shall pay all contributions or amounts due for Workers' Compensation coveragefrom the Contractor incurred in the performance of the contract.

3. The contractor will not permit any lien or claim to be filed or prosecuted against the City on account of anymaterial or labor furnished to the Contractor.

4. The Contractor will pay to the Oregon Department of Revenue all sums withheld from employees pursuantto Oregon Statutes.

5. If the Contractor fails, neglects, or refuses to make prompt payment of any claim for labor or servicesfurnished to the Contractor or a subcontractor by any person in connection with this contract as such claimshall become due, the proper officer or officers representing the City may pay such claim to the personfurnishing the labor or service and charge the amount of the payment against funds due or to become due tothe Contractor by reason of this contract.

6. The payment of a claim in this manner authorized by this paragraph shall not relieve the Contractor or theContractor's surety from obligation with respect to any unpaid claim.

7. No person shall be employed for more than eight hours in any one day, or forty hours in any one week,except in case of necessity, emergency, or where the public policy absolutely requires it, and in such casesthe laborer shall be paid at least time and a half for all overtime worked in excess of 40 hours in any oneweek, except for individuals under this contract who are excluded under ORS 653.010 to 653.261 or under29 U.S.C. sections 201 to 209 from receiving overtime.

8. The Contractor shall promptly, as due, make payment to any person, copartnership, association orcorporation, furnishing medical, surgical and hospital care or other needed care and attention, incident tosickness or injury, to the employees of such Contractor, of all sums which the Contractor agrees to pay forsuch services and all moneys and sums which the Contractor collected or deducted from wages ofemployees pursuant to any law, contract, or agreement for the purpose of providing or pay for such service.

9. Any and all employees of Contractor or his contractors while engaged or performing any work or servicesrequired by him under this agreement shall be considered his employees only and not employees of the Cityand any claims that may arise under the Workers' Compensation Act on behalf of the said employees whileso engaged in any and all claims made by third parties as a consequence of any act or omission on the partof him or his employees while so engaged on any of the work or services provided to be rendered herein

shall be the sole obligation responsibility of Contractor and/or his contractors. The parties to this agreement recognize that Contractor and his employees, officers, agents and subcontractors are providing professional services as independent contractors and are not providing services as employees of the City and are therefore not entitled to the benefits provided by the City to his employees, including but not limited to Workers' Compensation benefits, group health insurance, social security, pension plans, or any other benefit accruing to City employees. Contractor hereby agrees to hold the City harmless from, and shall process and defend at his own expense, all claims, demands, or suits of whatever nature, brought against him arising from his performance under this agreement. Contractor shall advise his officers, agents, employees and subcontractors of this provision

10. Liability and Indemnitya. Indemnification. Contractor shall indemnify and defend City from, and reimburse City for, any cost,

claim, loss, or liability suffered directly or from a third-party claim arising out of or related to anynegligent activity of Contractor on the in the execution of this contract. City shall have no liability toContractor for any injury, loss, or damage caused by Contractor or third parties.

b. Liability Insurance. Before beginning execution of the contract, Contractor shall obtain and thereafterduring the term of the contract shall continue to carry the following liability insurance at Contractor’scost: comprehensive general liability insurance in a responsible company with limits of not less than$200,000/500,000 for injury to one person, $500,000 for injury to two or more persons in oneoccurrence, and $50,000/$500,000 for damage to property. Such insurance shall cover all risks arisingdirectly or indirectly out of Contractor’s activities. Such insurance shall protect Contractor against theclaims on account of the obligations assumed by Contractor under Section 11;.a, and shall name City asan additional insured. Certificates evidencing such insurance and bearing endorsements requiring 10days’ written notice to City before any change or cancellation shall be furnished to City beforeContractor begins execution of the Contract.

11. Contractor certifies that:a. Contractor is free from direction and control over the means and manner of providing the labor or

services, subject only to the right of City to specify the desired results;b. Contractor is responsible for obtaining all assumed business registrations or professional occupational

licenses required by state law or local governmental ordinances;c. Contractor furnishes the tools or equipment necessary for performance of the contracted labor or

services;d. Contractor has the authority to hire and fire employees to perform the labor or services;e. Payment for the labor or services is made upon completion of the performance of specific portions of the

project or is made on the basis of a periodic retainer;f. Contractor is registered under ORS chapter 701 (Construction Contractors), if Contractor provides labor

or services for which such registration is required;g. Federal and state income tax returns in the name of the business or a business Schedule C or farm

Schedule F as part of the personal income tax return were filed for the previous year if the contractorperformed labor or services as an independent contractor in the previous year; and

h. Contractor represents to the public that the contractor is an independently established business. purchased for the business, or the contractor has a trade association membership; iii ___Telephone listing and service are used for the business that is separate from the personal

residence listing and service used by contractor; iv ___Labor or services are performed only pursuant to written contractors; v ___Labor or services are performed for two or more different persons within a period of one year; or vi ___Contractor assumes financial responsibility for defective workmanship or for service not

provided as evidenced by the ownership of performance bonds, warranties, errors and omission insurance or liability insurance relating to the labor or services provided.

12. The Contractor must obtain a City of Pendleton Business License.

13. If the City does not appropriate funds for the next succeeding fiscal year to continue payments required bythis contract, this contract will terminate at the end of the last fiscal year for which funds have beenappropriated. The City will notify Contractor of such non-appropriation not later than thirty days before thebeginning of the year within which funds are not appropriated. This provision does not permit the City toterminate this contract in order to provide similar services for the purpose for which this contract has beenentered into.

14. If any action is instituted in connection with any claim or controversy arising out of this agreement, attorneyfees may not be awarded by the court of competent jurisdiction and each party shall bear its own expensesof such action.

15. This agreement and the parties rights under it shall be construed and regulated by the laws of the State ofOregon and venue for any dispute hereunder shall lie in Pendleton, Umatilla County, Oregon.

Functional Description

A standard OS-NET device combines wireless communication, occupancy sensor, daylight sensor, and control output in a compact unit to provide individual and network lighting control.

The ONS is a fundamental network device of OS-NET which can be integrated with a luminaire or mounted on the ceiling in various options.

The following mounting options are available for OS-NET sensors and controllers to integrate with luminaires or lighting circuits.

Sensor (ONS)

A supplementary OS-NET device contains all control functionalities of the ONS, but no occupancy sensing capability for coordinated control with the assigned groups.

The ONC is an alternative network device of ONS, which can also be integrated with a luminaire or mounted on the ceiling in various options.

Controller (ONC)

An optional OS-NET device designed to replace existing wall switch and broadcast manual control commands (on/off/dim) to the lighting group assigned.
