Sponsors will contribute $300,000 (10%) of the required equity and is currently raising from Investors the remaining $3,035,000 (90%).  The cash flow remaining for distribution (see page 19) will be split in the same proportion between Sponsors and Investors.  The deal (see pages 18 ‐ 20 ‐ 21) generates a projected 3 year IRR to investors of 11.42% with a 3 year multiple of 1.36.

Financial Performance

The property will be developed with 4 office buildings (each 2,000 square feet in size +/- consisting of 4-8 market rate units with rents averaging $3,500 per month +/-. There is 1.5 finished units with rents averaging $2,600 -$3,500 per month. Tenants will pay their own utilities and will sign three or more year leases subject to credit and background checks. In addition, there is one 10,000 sf building for either retail or office space to be developed and will be rented @ 21-26 NNN. Sponsor will drive revenue growth through property leases up to the submarket average of 93% + occupancy and annual rent increases. Annual rent increases will exceed expense increases by at least 1%. Expenses will average 30% to 32% of total rent revenue. Total capitalization is $7,135,000 including land acqusition entitlements, permitting, construction and lease-up. Land was acquired in 2017. Project is fully permitted. Loan closing is anticipated 4th quarter of 2019. Site mobilization and construction underway, and should be completed by the end of the 4th quarter of 2020. Vertical (building) construction has begun. Lease-up will commence upon closing and as buildings are complested and placed into service, with full lease-up expected by the end of 4th quarter of 2020. Stabilization is expected to occur on or about the 3rd quarter of 2021.

The development will have 28,000 sf in 7 buildings on 7 +/- acres. Units will range from 1,350 sf up-to 10,000 sf. Rents will be triple net when appropriate and 3-5 years in length. Exterior elivations will be attractive coastal architecture with mixed exterior paint colors. Interiors will feature laminate floor's with efficient floor plans. There will be open parking on site featuring attractive landscaping. The development has preserved mature trees on the property. Capital Investment

The manager expects the total development time from the beginning of construction to the beginning of lease-up to be 12 months. Lease-up will commence upon closing and as buildings are completed and placed into service, with full lease-up expected by the end of 4th quarter of 2020. Equity capital and bank loan proceeds will be invested over the construction period. The timing and cost of the capital investment is made in stages.

Ciara Econ Manager, LLC is the management entity for the Project and is owned by the managers James Dicks, Scott Prewitt, Tyler Benzel. The managers are fully invested in the project with equity participation. Ciara Econ Group, LLC is the newly formed entity dedicated to the development, construction, rental and eventual sale of the 7 building complex known as Ciara Econ.

The Dicks family has been investing in and developing real estate for more than 50 years. James Dicks has worked in the family business for more than 30 years. With over 65 real estate syndication completed in central Florida the Dicks have demonstrated a proven track record in the space. Over the last 15 years James has developed and entitled some of Central Florida’s most prestigious and valuable communities. Steeple Chase a $90M Heathrow Area community with 142 Single Family luxury homesites. These premium 75’ to one half acre homesites were designed to accommodate 3,350 to 5,270 square feet custom Residences. This gated community has several parks throughout, fountains and views of Lake Linden.

Mr. Dicks spent more than two years in a heavily contested county approval process. Mr. Dicks was able to leverage his political connections to accomplish what was not possible in prior years. In addition, it was these connections and ability to work with county commissioners across many counties that allowed Mr. Dicks to change the zoning for the $25M Lake Mary Street of Dreams at Lake Club including multimillion-dollar homes purchased by Dwight Howard and Golfer Chris DiMarco and today is one of Central Florida’s most prestigious addresses. Mr. Dicks has spent a lifetime in the development business including the family business which has facilitated more than 135 multimillion-dollars in limited partnerships throughout Central Florida many of which were in the prestigious Dr. Phillips Market Area in SW Orlando. Other projects recently include, pre planning of a 12 story downtown Orlando mixed use building, 28,000 sf of office/retail space, 6MM mixed use development project in Palm Coast and many more underway.

The Sponsors James Dicks, Scott Prewitt and Tyler benzele are fully invested in this project with a 5% ($200,000 ) equity stake. The Sponsors are also personal guarantors for the $2,865,000 A&D Bank Loan.The property is owned by successful entrepreneurs and business professionals with a longhistory of working together.

Scott Prewitt is an accomplished Vice President of Sales and Marketing with over thirty years of real estate sales experience. He is a licensed Florida

Real Estate Broker and a Registered Investment Advisor with extensive knowledge and experience in selling real estate related investment

opportunities. He possess a record of outstanding performance and proven results in strategic business development, persuasive copy writing, on

and offline direct response marketing and sales team management resulting in hundreds of millions of dollars in sales.

He also has an extensive background in investor seminar production, public speaking and television production. Mr. Prewitt’s financial services

career began in the late eighties on a financial hotline providing unbiased financial information to the company’s members. During this time, Mr.

Prewitt obtained his Life, Health and Variable Annuities insurance licenses as well as his Registered Investment Advisory licenses.

He spent the next ten years producing and promoting financial education seminars across the country traveling to a major city each week. His

marketing strategies helped to put thousands of people into seminars and workshops every month. As a professional speaker, Mr. Prewitt and his

sales teams produced millions of dollars in sales of a variety of sales of a variety of financial products and services.

SCOTT PREWITT-EXECUTIVE V.P. BUSINESS DEVELOPMENTLicensed Real Estate Broker / Investor Relations Professional

Mr. Prewitt also became a real estate broker during that time and left the life on the road to become the Vice President of Sales and Marketing for the Dimucci Development Corporation. His marketing and sales skills helped to sell over one-hundred million dollars worth of oceanfront and riverfront luxury condominiums from 2000 to 2004.

In 2004, Mr. Prewitt became the Vice President of Sales for PremiereTrade™, LLC responsible for producing and promoting investment software seminars across the country. His sales presentations and sales training skills helped to sell millions of dollars worth of trading software from 2004 to 2007. Mr. Prewitt started his own consulting company in 2008 and has helped to create hundreds of successful sales and marketing campaigns that have generated millions of dollars in sales for his clients.

Mr. Benzel is the COO of a growing network of Real Estate and Financial companies. Mr. Benzel holds a Bachelor of Science degree in Business Administration from Florida Southern College where he also played college baseball and continued on to play professionally.

After retiring from professional baseball Tyler Benzel developed and founded multiple mobile device applications, with a focus on global market strategic investment portfolio diversification. Mr. Benzel as operations officer for an international group of financial companies is responsible for key investments across multiple asset classes including the Foreign Currency markets. As COO, Mr. Benzel is also responsible for customer communication, training and support initiatives.
