OUTSIDE ACTIVITES:TheExhibitorshallnotfosterorconductoutsideactivitieswhichwouldtakequalifiedattendeesfromofficialconferencefunctionsand/orExhibitduringnonscheduledhours.UseofmeetingfacilitiesorcontractedhotelsbyExhibitorsorcompaniesorsalesorbusinessmeetingsduringtheconferencedatesmustbeapprovedinadvancebyConferenceSolutions.HospitalitysuitesshallnotbeopenduringExhibithoursordaytimeconferencehours.

AnyviolationbytheExhibitoroftheOfficialRulesandConditionshereinmay,inCENTILE’ssoledetermination,constituteabreachoftheAgreementresultinginterminationandforfeitureofanymoniespaidonaccount.Uponduenoticeofsuchtermination,CENTILEshallhavetherighttotakepossessionoftheExhibitor’sspace,removeallpersonsandproperties,andholdtheExhibitoraccountableforallliability,expenses,anddamagesarisingfromExhibitor’sbreach/violationofOfficialRulesandConditions.

LIABILITY:CENTILEandtheHotelwillnotbeheldresponsibleforthesafetyofExhibitor’spropertyfromtheft,fire,damages,accidentorothercauses.Exhibitoragreestoprotect,saveandholdCENTILEandtheHotelandallagentsandemployeesthereof(hereaftercollectivelycalled“indemnities”)foreverharmlessforanydamagesorchargesimposedforviolationsofanylaworordinance,whetheroccasionedbythenegligenceoftheExhibitororthoseoperatingundertheExhibitor.Further,Exhibitorshallatalltimesprotect,indemnify,saveandholdharmlesstheindemnitiesagainstandfromanyandalllosses,costs(includingattorney’sfees),damages,liabilityorexpensearisingfromoroutoforbyreasonofanyaccidentofbodilyinjuryorotheroccurrencetoanypersonorpersons,includingtheExhibitor,itsagents,employeesandbusinessinviteewhicharisesfromoroutoforbyreasonofsaidExhibitor’soccupancyanduseoftheExhibitpremisesorapartthereof.
