Pursuant to 11 U.S.C. §§ 330 and 331, Rule 2016 of the Federal Rules of Bankruptcy

Procedure and the Administrative Order, Pursuant to Sections 105(a) and 331 of the Bankruptcy

Code, and Establishing Procedures for Interim Compensation and Reimbursement of Expenses

of Professionals (the “Administrative Order”), the law firm of Caplin & Drysdale, Chartered

(“Caplin & Drysdale”) hereby submits this fifteenth interim application (“Fifteenth Interim

Application”) for an Order awarding it interim compensation for professional legal services

rendered as co-counsel to the Official Committee of Asbestos Personal Injury Claimants (the

“Asbestos Claimants Committee”) of the debtors, Garlock Sealing Technologies LLC, and two

affiliates, (“Debtors”), in the amount of $1,184,553.75, together with reimbursement of Caplin

& Drysdale’s actual and necessary expenses incurred in the amount of $69,774.87

I. JURISDICTION AND STATUTORY BASIS FOR RELIEF

”). In support of

this Fifteenth Interim Application, Caplin & Drysdale respectfully represents as follows:

1. This Court has subject matter jurisdiction pursuant to 28 U.S.C. §§ 1334 and 157.

This application is made pursuant to 11 U.S.C. § 331.

II. BACKGROUND

2. On June 5, 2010 (the “Petition Date”), the Debtors filed voluntary petitions for

relief under Chapter 11 under Title 11 of the United States Code (the “Bankruptcy Code

Debtors have continued to operate their businesses and manage their properties as debtors-in-

possession, pursuant to Sections 1107(a) and 1108 of the Bankruptcy Code.

4. On June 9, 2010, an Order Authorizing Joint Administration of Related Chapter

11 Cases (Docket No. 58) was entered authorizing the joint administration of all three Debtor

cases.

5. On June 16, 2010, the Office of the United States Bankruptcy Administrator

appointed the Official Committee of Asbestos Personal Injury Claimants pursuant to section

1102 of the Bankruptcy Code.

6. On July 15, 2010, the Asbestos Claimants Committee filed and served its

Application to Retain and Employ Caplin & Drysdale as its co-counsel. On August 16, 2010, the

Court entered an order approving the retention application.

7. Pursuant to the Administrative Order, professionals may request monthly

compensation and reimbursement. Such requests are to be served on certain identified parties for

review. If no objection to a professional’s request is received within ten (10) days of such

request, the Debtors are authorized to pay 90% of the fees and 100% of the expenses requested.

8. The Administrative Order also requires each retained professional to file,

approximately every four months, an application for interim Court approval and allowance

pursuant to Section 331 of the Bankruptcy Code of 100% of the compensation for services and

reimbursement of expenses for the prior three months.

III. NARRATIVE

9. For the Application Period, the ACC’s professionals, including Caplin &

Drysdale, worked on numerous matters related to the Debtors’ proposed plan and related matters.

This included working on disclosure and redaction issues. During this period the Court ruled on

the Disclosure Statement, including proposed voting procedures and related issues, and also

ruled on the Debtors’ motion for settled claim allowance procedures and the Fee Examiner’s

motion for suggested fee guidelines.

10. Accordingly, Caplin devoted significant effort to solicitation issues, including

work on the proposed solicitation procedures order, drafting the ACC’s solicitation statement

and responding to arguments and rulings with respect to the same, reviewing and critiquing

proposed solicitation statements of other parties, and related tasks. There were also inconclusive

settlement discussions among the parties, and attendant tasks and analyses.

11. Another major set of tasks related to confirmation discovery, including the

preliminary disclosures of fact witnesses and topics of potential testimony, responding to the

Debtors’ pursuit of third-party discovery including trust discovery, interviewing and retaining

experts, and working with experts on various plan-related issues.

12. Caplin also worked on the voting procedures and confirmation schedule, and

analyzed Debtors’ revisions to their proposed plan of reorganization. Significant research and

drafting also occurred during this period with respect to the ACC’s objections to confirmation of

the proposed plan. Additional significant efforts were taken by Caplin with respect to the

Debtors’ motion for settled claims allowance procedures, and proposed changes to the CMO.

Caplin also worked with the Fee Examiner and other counsel with respect to the Fee

Examiner’s proposed guidelines for interim fee applications.

IV. COMPENSATION RECEIVED DURING INTERIM PERIOD

13. All services for which Caplin & Drysdale seeks compensation were performed

for or on behalf of the Asbestos Claimants Committee. During the Interim Period, Caplin &

Drysdale has requested and received the following payments.

14. The payments received by Caplin & Drysdale represent 90% of the total fees

incurred and 100% of the total expenses incurred during the Application Period, except that no

payments have yet been received with respect to the monthly requests for April 2015 and May

2015. Remaining outstanding therefore, and now due and owing, is a balance of $916,961.68

V. RELIEF REQUESTED

services rendered by Caplin & Drysdale during the Application Period.

15. By this Fifteenth Interim Application, Caplin & Drysdale seeks interim allowance

of $1,184,553.75

of $69,774.87 for reasonable and necessary expenses incurred during the Application Period, for

a total of $1,254,328.62. Caplin & Drysdale also seeks an order authorizing and directing the

Debtors to pay the present balance of its charges for the Application Period if and to the extent

the Debtors have not already paid those charges. That present balance outstanding is

$916,961.68, consisting of $862,224.37 in fees and $54,737.31

16. Caplin & Drysdale has received no promises for payment from any third party for

services rendered during the Application Period in connection with the case. There exists no

agreement or understanding between Caplin & Drysdale and any other person for the sharing of

any compensation to be received for services rendered by Caplin & Drysdale in the case.

19. Caplin & Drysdale has maintained detailed records of the time spent in the

rendition of professional services for the Asbestos Claimants Committee during the Application

Period. Attached hereto as Exhibit A and incorporated herein by reference is a true and correct

copy of the billing statement prepared for the services rendered in this case by Caplin &

Drysdale (the “Billing Statement”). The Billing Statement is in the same form regularly used by

Caplin & Drysdale to bill its clients for services rendered and includes the date that the services

were rendered, a detailed, contemporaneous narrative description of the services, the amount of

time spent for each service and the designation of the professional who performed the service. In

addition, attached hereto as Exhibit B and incorporated herein by reference is a summary by

category of the professional services provided during the Application Period.

20. As set forth on Exhibits A and B, Caplin & Drysdale rendered 2,093.5 hours of

professional services during the Application Period, resulting in legal fees totaling $1,184,949.755

and associated reasonable and necessary expenses totaling $69,774.87

21. The total value of the services rendered by Caplin & Drysdale as shown on

22. Set forth below are the rates for the expenses incurred by Caplin & Drysdale for

which reimbursement is requested pursuant to this Application, as well as the basis for such rates

for the identified expense items:

a) Copy charges: Caplin & Drysdale charges $0.15 per page for copies, and such

charge is based on an analysis of the cost to Caplin & Drysdale to make a copy;

b) Computer research charges: Caplin & Drysdale passes through on an exact cost

basis all computer-assisted research charges; and

c) Out-going facsimile charges: Caplin & Drysdale charges $0.15 for each page.

These charges are based on an analysis of the cost to Caplin & Drysdale to send facsimile

transmissions. Caplin & Drysdale does not pass through to its clients expenses or charges related to

incoming facsimile transmissions.

23. Attached hereto as Exhibit C and incorporated herein by reference is a summary

by category of the expenses incurred by Caplin & Drysdale for which reimbursement is

requested. Furthermore, incorporated herein are copies of the pre-bill reports for the Application

Period of our expenses incurred by Caplin & Drysdale for which reimbursement is requested.

This information also appears on Exhibit A hereto. Further supporting documentation is

available upon request.

24. The general areas in which Caplin & Drysdale has rendered professional services

to the Asbestos Claimants Committee during the Application Period in the Case may be broadly

a) providing legal advice with respect to the Asbestos Claimants Committee's powers

and duties as an official committee appointed under Section 1102(a)(1) of the Bankruptcy Code;

preparing on behalf of the Asbestos Claimants Committee necessary applications, motions,

complaints, answers, orders, agreements and other legal papers;

b) appearing in Court to present necessary motions, applications and pleadings and

otherwise protecting the interests of the Asbestos Claimants Committee; and

c) performing legal services for the Asbestos Claimants Committee necessary and

proper in these proceedings.

25. The generality of the foregoing description is amplified on a day-to-day basis by

the Billing Statement attached as Exhibit A.

26. A cumulative summary of Caplin & Drysdale’s services rendered and expenses

incurred as co-counsel to the Asbestos Claimants Committee for the period March 1, 2015

through May 31, 2015, is attached as Exhibit D.

VII. NOTICE

27. Caplin & Drysdale has served a copy of this Application with the attached

exhibits and Notice of Opportunity for Hearing on the Bankruptcy Administrator, counsel to the

Debtors, counsel to the Unsecured Creditors’ Committee, counsel to the Bank of America as the

Debtors’ post-petition lender, and counsel to the Future Claimants’ Representative. Caplin &

Drysdale has also served the Notice of Opportunity for Hearing on such other parties as are listed

on the Certificates of Service filed with this Court.

WHEREFORE, Caplin & Drysdale respectfully requests that the Court enter an Order (a)

approving this Application and allowing on an interim basis Caplin & Drysdale’s request for

$1,184,553.75 in fees and reimbursement of $69,774.87 in expenses for the Application Period, (b)

authorizing and directing the Debtors to pay the as-yet unpaid balances for the Application

TAKE NOTICE that Caplin & Drysdale, Chartered (“Caplin & Drysdale”), has filed a Fifteenth Interim Application Of Caplin & Drysdale, Chartered For Allowance Of Compensation And Reimbursement Of Expenses With Respect To Services Rendered As Co-Counsel To The Official Committee Of Asbestos Personal Injury Claimants For The Period March 1, 2015 Through May 31, 2015.

A copy of these papers is included with this Notice. In addition, a copy of each may be viewed at the Court’s website, www.ncwb.uscourts.gov under the Debtors’ names and case number or you may request in writing a copy from the undersigned party.

Your rights may be affected. You should read these papers carefully and discuss
