HEADFRAME ASSEMBLYThe headframe assembly shall consist

of a 1/4" thick minimum top plate, withsheave support plates fabricated from aminimum 11 gauge steel sheet. Thesheave support plates shall be welded tothe headframe base plate. All steel platesshall be laser cut for accuracy. Thecomplete headframe assembly shall behot-dipped galvanized per ASTM A-123after fabrication.

Hoist cables shall operate over corro-sion-resistant 5-inch diameter aluminumsteel sheaves. The entire cable groovesurface shall be machined to eliminateany rough surface on which the cableshall ride.

The main power cord shall be sup-ported by a minimum of two 6-inchnonconductive thermoplastic polymerpower cord sheaves grooved to providefor a nonabrasive smooth operation.A two-piece threaded male and femalethermoplastic polymer insulating bushingassembly shall be installed on theheadframe opening to prevent wear onthe power cord as it travels up and downthe pole.

All sheaves shall have sintered bronzeoilite bearings and run on a stainless steelaxle secured with self-locking stainless steelhardware. Keeper bars shall be positionedat both ends of the sheave assemblies tokeep the cord in its track during poleerection and during normal operation.

The top latching assembly shall containthree (3) symmetrically located, extremelystout, precision-cast matching stainless steellatch pins and enclosed cam mechanismsto assure corrosion-resistant, trouble-freeoperation for years to come. All movinglatch parts are bolted to the ring forservicing from the ground. The completetwo-part latch pin and cam assembly shallbe made of stainless steel (type 316)material. There shall be no moving latchparts or springs attached to the headframeassembly. All motion required to achievelatching or unlatching shall be internalto the latch cam. This will help preventshock and vibration damage to the lampsand luminaires, as well as prevent theformation of ice buildup on thelatching mechanism.

Latching occurs by the alternate raisingand lowering of the luminaire ring. When

latching of the ring occurs, no horizontalmovement of the fixtures (which can causefixture damage) is permitted.

When in the latch position the spacebetween the headframe and the luminairering shall be no more than six inches.

The use of “Z” type top latching systemis not an acceptable alternate to the stain-less steel latch cam.

All hardware is corrosion-resistantstainless steel.

The headframe assembly shall havea copper-free, spun aluminum cover,retained on its 360-degree perimeterby stainless steel hardware. The domeassembly shall provide a weather-tightseal against the elements for theheadframe roller assemblies.

The headframe shall bolt directly tothe high mast pole. The headframe baseplate and pole top plate shall have four9/16" x 3" slotted holes to accommodate1/2" type 18-8 stainless steel hardware.

LUMINAIRE RING ASSEMBLYThe luminaire ring shall be fabricated

to 6" x 2" x #7 gauge spun steel per ASTMA-569, with the appropriate number ofluminaire mounting tenons, hot-dippedgalvanized per ASTM A-123 after fabrica-tion. The luminaire ring shall have a pre-wired, weather-tight, corrosion-resistantaluminum enclosure with 3 conductor,16 AWG., type SEO 105-degree cable. Thepre-wired distribution box shall be capableof accepting up to 16 fixtures, with 600-voltterminal blocks for each individual fixturewire. A weather-tight twist-lock test inletshall be mounted to the terminal box topermit testing of the luminaires while thering is in the lowered position.

The luminaire ring shall contain threeroller-contact, spring-loaded stainless steelcentering arms with polymer rollers tocenter the ring and prevent shock to thelamps from impact of the ring with the pole.

Highly visible 6" minimum retroreflec-tive position indicator flags make for easyday or night operation.

The three hoist cables shall be stain-less steel wound anti-rotational aircraftcord, 3/16" diameter manufactured tomeet MIL-W83420C. Winch cable shallbe stainless steel 1/4" diameter anti-rotational cable, manufactured to meet

MIL-W83420C. These special cables arespecifically designed for lowering deviceapplications and virtually make “twistings”a thing of the past. Swivel bearings may beused in the transition assembly but theyshall not take the place of the anti-rotational cable.

A transition assembly shall be suppliedto attach the winch cable to the three hoistcables and the main power cord.

The three hoist cables shall pass upthrough the pole shaft, over the headframehoist cable sheaves, to the luminaire ring,where they travel through the stainlesssteel latch pin, stainless steel guides andcompression spring assembly and termi-nate with a collet-type strand-vise device.

WINCH PLATE ASSEMBLY

A square “D” circuit breaker shall bemounted in an aluminum enclosure on thewinch sub-plate to act as the disconnectingmeans for the lowering device. Pre-wiredto the breaker shall be a twist-lock,weather-tight connector matching thoseused in the system, mounted to an 8' tailof power cord of the same type, gauge andnumber of conductors as the power cord.This cord and connector shall be used toalternately supply power to the loweringdevice system, the test inlet and theportable power unit assembly.

The winch shall be an enclosed oil-bathworm gear winch, set with a reductionratio of 30 to 1. The self-locking precisionwinch guards against ring runaway in theevent of power failure.

PORTABLE POWER UNIT ASSEMBLY(MODEL #C408GXXX)

The portable power unit shallincorporate the heavy-duty, reversingtype drive motor, torque limiter, driveshaft and electrical controls. The torquelimiter is factory set to provide safereliable operation. A twenty-five-foot-longcord on the remote electrical control boxprovides for remote operation of theportable power unit. The drive motor isa heavy duty 120-volt reversing electricdrill. The portable power unit shall beprovided with a weatherproof, portable,enclosed stepdown transformer to operatethe 120-volt power unit.

BOTTOM LATCH (Suggested Specifications)

Atwo-piece threaded male and femalethermoplastic polymer insulated bushingassembly shall be installed on theheadframe opening to prevent wear onthe power cord as it travels up and downthe pole.

All sheaves shall have sintered bronzeoilite bearings and run on a stainless steelaxle secured with self-locking stainlesssteel hardware. Keeper bars shall bepositioned at both ends of the sheaveassemblies to keep the cord in its trackduring pole erection and duringnormal operation.

On the underside of the headframeshall mount three cast aluminum guidesockets. The socket opening shall betapered cone-shaped for locking andaligning the stainless steel locking pinmounted on the luminaire ring up againstthe headframe. The stainless steel lockingpin shall insert a minimum of 4-1/2" intothe cast aluminum guide socket. Whenin the latch position, the space betweenthe headframe and the luminaire ringshall be no more than four inches whenin the latched position.

All hardware is corrosion-resistantstainless steel.

The headframe assembly shall havea copper-free, spun aluminum cover,retained on its 360-degree perimeterby a stainless steel hardware. The dome

assembly shall provide an airtight sealagainst the elements for the headframesroller assemblies.

The headframe shall bolt directly tothe high mast pole. The headframe baseplate and pole top plate shall have four9/16" x 3" slotted holes on a 10 3/4" arcto accommodate 1/2" type 18-8 stainlesssteel hardware.

LUMINAIRE RINGASSEMBLY

The luminaire ring shall be fabricatedto 6" x 2" x #7-gauge spun steel perASTM A-569, with the appropriatenumber of luminaire mounting tenons,hot-dipped galvanized per ASTM A-123after fabrication. The luminaire ring shallhave a pre-wired weather-tight corrosion-resistant aluminum enclosure with 3conductor, 16 AWG., type SEO 105-degreecable. The pre-wired distribution boxshall be capable of accepting up to 16fixtures, with 600-volt terminal blocks foreach individual fixture wire. A weather-tight twist-lock test inlet shall be mountedto the terminal box to permit testing ofthe luminaires while the ring is in thelowered position.

The luminaire ring shall contain at least14 fixed rollers mounted on the inside ofthe ring to protect the ring from impactingwith the pole. Rollers shall be fabricatedfrom impact-resistant non-marking PVC,rolling on stainless steel shafts.

Highly visible 6" minimum retroreflec-tive indicator flags shall be mounted on thering which will provide positive indicationat the handhole that the required 300pounds of total seating force has beenapplied, visible from an extended operat-ing position 20' from the base of the pole.

The three hoist cables shall bestainless steel wound anti-rotationalaircraft cord, 3/16" diameter manufacturedto meet MIL-W83420C. Winch cableshall be stainless steel 1/4" diameter anti-rotational cable, manufactured to meetMIL-W83420C. These special cables arespecifically designed for lowering deviceapplications and virtually make “twistings”a thing of the past. Swivel bearings maybe used in the transition assembly butthey shall not take the place of theanti-rotational cable.

The three hoist cables shall pass upthrough the pole shaft, over the headframesheaves, to the luminaire ring, wherethey travel through guides and acompression spring and terminatewith a collet-type device.

A safety mechanism shall be locatedin the base of the pole and consist of astainless steel safety cable and hook to actas a backup to the winch cable assemblyin maintaining the tension on the transitionassembly. The safety cable shall be securedto the foundation or anchor bolts and notattached to the pole structure.

WINCH PLATE ASSEMBLYA square D circuit breaker shall be

mounted in an aluminum enclosure on thewinch sub-plate to act as the disconnectingmeans for the lowering device. Pre-wiredto the breaker shall be a twist-lock,weather-tight connector matching thoseused in the system, mounted to an 8' tailof power cord of the same type, gaugeand number of conductors as the powercord. THE WINCH PLATE ASSEMBLYA square D circuit breaker shall be mounted in an aluminum enclosure on the winchsub-plate to act as the disconnecting means for the lowering device. Pre-wired to thebreaker shall be a twist-lock, weather-tight connector matching those used in the system,mounted to an 8’ tail of power cord of the same type, gauge and number of conductors asthe power cord. This cord and connector shall be used to alternately supply power tothe lowering device system, the test inlet and the portable power unit assembly.The winch shall be an enclosed oil-bath worm gear winch, set with a reduction ratioof 30 to 1. The self-locking precision winch guards against ring runaway in the eventof power failure.

THE INTERNAL MOTOR ASSEMBLYThe internal motor assembly shall incorporate a heavy-duty, reversing type drive motor,torque limiter, drive shaft and electrical controls. The torque limiter is factory set toprovide safe reliable operation. A twenty-five-foot-long cord on the remote electricalcontrol box provides for remote operation of the portable power unit.

When necessary, a step down transformer shall be provided to operate the internal motor.

TOP PLATE ASSEMBLYThe headframe assembly shall consist of

1/4" thick minimum top plate, with sheavesupport plates fabricated from a minimum11-gauge steel sheet. The sheave support platesshall be wedged to the headframe base plate.All steel plates shall be laser cut for accuracy.The complete headframe assembly shall behot dipped galvanized per ASTM A-123after fabrication.

Hoist cables shall operate over corrosion-resistent five-inch diameter aluminum steelsheaves. The entire cable groove surface shallbe matched to eliminate any rough surface onwhich the cable shall ride.

The main power cord (s) shall each besupported by a minimum of two large noncon-ductive thermoplastic polymer power-cordsheaves, grooved to provide for a nonabrasivesmooth operation. A two-piece threaded maleand female thermoplastic polymer insulatingbushing assembly shall be installed on theheadframe opening to prevent wear on thepower cord as it travels up and down the pole.

All sheaves shall have sintered bronze oilitebearings and run on a stainless steel axlesecured with self-locking stainless steel hard-ware. Keeper bars shall be positioned at bothends of the sheave assemblies to keep the cordin its track during pole erection and duringnormal operation.

The top latching assembly shall containthree (3) symmetrically located, extremely stout,precision cast matching stainless steel latch pinsand enclosed cam mechanisms to assumecorrosion resistant, trouble-free operation foryears to come. All moving latch parts are boltedto the ring for servicing from the ground. Thecomplete two-part latch pin and cam assemblyshall be made of high-strength stainless steeltype 316 material. Soft metals such as aluminumshall not be an acceptable alternative to stainlesssteel. There shall be no moving latch parts orsprings attached to the headframe assembly.All motion required to achieve latching orunlatching shall be internal to the latch cam.This will help prevent shock and vibrationdamage to the lamps and luminators, as well asprevent the formation of ice buildup on thelatching mechanism.

Latching occurs by the alternate raising andlowering of the mobile crossarm platform.When latching of the crossarm platform occurs,no horizontal movement of the fixtures (whichcan cause fixture damage) is permitted. Twocast aluminum stabilizing and guide sockets

shall be mounted on the underside of theheadframe assembly.

The 1-3/4" socket opening shall betapered cone shaped for locking andaligning the 1-1/2" x 10" min. galvanizedsteel locking pin mounted on the mobilecrossarm platform up against theheadframe. The galvanized steel lockingpin shall insert a minimum of six (6) inchesinto the cast aluminum guide socket.

This will provide both stabilization ofthe platform and prevent horizontalmovement of the crossarm platformwhen in its latched position. Theminimum height of the aluminumguide socket is four (4) inches.

When in the latched position, the spacebetween the headframe and the mobilecrossarm platform shall be no more thansix (6) inches when in the locked position.The use of “Z” type top latching systemis not an acceptable alternative to thestainless steel latch cam.

All hardware shall be corrosion-resistant stainless steel. The headframeassembly shall have a copper-free, spunaluminum cover, retained on its 360degree perimeter by a stainless steelhardware. The dome and clamp bandassembly shall provide a weather-tightseal against the elements for the topplate roller assemblies.

THE MOBILE CROSSARMPLATFORM ASSEMBLY

The top-latching mobile crossarmservice platform for more than twelve(12) fixtures shall be fabricated fromtwo 6" x 2" #7 gauge spun steel ringsper ASTMA A-569, with the appropriatelength of 2/1/2" square tubing formounting the sportslighting fixtures,hot dipped galvanized per ASTMA-123 after fabrication. The completedmobile crossarm platform shall be asingle piece welded construction andshipped to the job-site in one piece.The mobile crossarm system shallhave a pre-wired, weather-tight,corrosion-resistant aluminum enclosurewith three (3) conductors, 16 AWG,type SEO 105 (150 o ) degree cable.The pre-wired distribution box shallbe capable of accepting up to 21fixtures, with 600 volt terminal blocksfor each individual fixture wire.Weather-tight twist-lock test inlets shallbe mounted to the terminal box to

permit testing of the sportslighting fixtureswhile the service platform is in the loweredposition. On the underside of the serviceplatform shall mount a quantity of three(3) roller-contact, spring-loaded stainlesssteel centering arms with polymer rollersto balance and center the ring and toprevent shock to the lamps from impactof the service platform with the pole.The arms shall be fabricated from high-strength stainless steel.

Highly visible six-inch (6") minimumretroreflective position indicator flagsshall be provided for easy day ornight operation.

The three (3) hoist cables shall begalvanized steel-wound anti-rotationalaircraft cord, 1/4 inch diameter manufac-tured to meet MIL-W83420C. Thesespecial cables are specifically designedfor lowering device applications andvirtually make “twistings” a thing of thepast. Swivel bearings may be used in thetransition assembly but they shall nottake the place of the anti-rotational cable.

A transition assembly shall be suppliedto attach the winch cable from the mobilecart drive unit to the three (3) hoist cablesand the main power cord. The three (3)hoist cables shall pass up through thepole shaft, over the top plate hoist cablesheaves, to the service platform, wherethey travel through the stainless steel latchpin, stainless steel guides, and compres-sions spring assembly. They terminatewith a collet-type strand-vise device.

A safety mechanism shall be locatedin the base of the pole and consist of astainless steel safety cable and hook to actas a backup and to maintain the tension onthe transition assembly.

WINCH PLATE ASSEMBLYCircuit breakers shall be mounted in

an aluminum enclosure on the winchsub-plate to act as the disconnecting meansfor the lowering device. Prewired to thebreaker shall be a twist-lock, weather-tight,connector matching those used in thesystem, mounted to a 10-foot tail ofpower cord of the same type, gauge andnumber of conductors as the power cartassembly cord. This cord and connectorshall be used to alternately supply powerto the lowering device system, the testinlet and the mobile drive cart assembly.

THE MOBILE CART DRIVE (MODEL #C529GXXX)

The mobile cart drive assembly shallconsist of a self-locking winch, 1-1/2horsepower motor, a clutch, stepdowntransformer, two (2) tracking pulleys,5/16" galvanized steel winch cable, andremote switch with 25 feet of cord.

The mobile cart drive assembly shallbe trailerable, eliminating loading andunloading hassles, with a full-adjustablearm which allows operation of theSportStar 360 degrees (360 o ) Systemfrom uneven ground. The cart assemblyshall have minimum 13-inch (13") diameterrubber tires, with a solid core stainless steelaxle minimum 1-1/2" diameter, adjustableto six (6) feet out to out. The mobile cartdrive assembly shall be finished with“OSHA” orange powder paint.

The fully adjustable arm shall be ableto move up and down five (5) feet and thearm extension shall move in and out aminimum of three (3) feet. The attachingpivot head which mount to the pole shallbe able to swivel 360 (360 o) degrees formounting on unlevel ground.

HIGH MAST POLE

The high mast pole shall consist of twoor more round or multisided taperedsections. The pole shaft section shall befabricated from high-strength, low-alloysteel plate conforming to ASTM standards,with a minimum yield strength of 55,000psi. These shaft sections shall telescopeinto each other to match the overalldesired height of the pole. The overlaptelescoping joint shall have a minimumslip distance equal to 1 1/2 times in insidediameter of the female section. Thesections shall be pre-fitted and matched,marked at the factory. All sections shallmaintain a uniform taper from top tobottom. There shall be a maximum of onelongitudinal weld in the tapered sectionsof the shaft. The longitudinal seams shallhave at least 60% penetration, except inthe areas where the shaft section telescopesover another. In the overlapping areas, theweld penetrate shall be 100%. No trans-verse butt welds may be used in fabricatingthe shafts. The finished poles shall be hot-dipped galvanized per ASTM A-123 after

fabrication, weathering steel per ASTMA-588 or powder-coat finish, with the colorto be determined at the time of release.

The base plate shall be fabricated fromstructural quality hot-rolled carbon steelplate that meets or exceeds ASTMstandards with a minimum yield strengthof 36,000 psi. The base plate shalltelescope the pole shaft and is circumfer-ence-welded top and bottom. The baseplate shall have slotted holes for 1/2"variation in the anchor bolt setting.

A reinforced handhole(s), having anappropriate 10" x 30" opening shall belocated 15" up from the base. A handholecover, attaching hardware, and groundingprovision hardware are included with eachhandhole frame.

Anchor bolts are fabricated from acommercial quality hot-rolled carbon steelbar that meets or exceeds a minimum yieldstrength of 55,000 psi. Properly sizedanchor bolts will be provided with two hexnuts and two flat washers per bolt.

All welding shall be of the highest qualityand performed by American WeldingSociety certified welders and conformingto the latest revision of the AmericanWelding Society specification AWS D1.1Section 8. All welds shall be done byeither the shielded metal-arc, gas-shieldedflux core, gas metal-arc or submerged-arcprocess.

STANDARD TERMS & CONDITIONS OF SALE

1. PRICES AND TERMS. All prices by CHM arepayable and due in U.S. Dollars. Prices are subject tochange without notice. Prices do not include anypresent or future sales, excise, value-added or anytaxes, and where applicable such items shall be billedseparately and paid by the Purchaser.2. QUOTATIONS. Prices are subject to receiptand acceptance of order within thirty (30) days ofthe quotations by CHM.3. TERMS OF PAYMENT. Routingwill be determined by CHM, with delivery to thecommon carrier delivery point nearest to destination.Handling, unloading, storage, extra labor ormechanical facilities, and movement from the shippingdestination to Purchaser’s job site required inconnection therewith will be the responsibilityof Purchaser.7. TITLE, RISK OF LOSS, ACCEPTANCE.In all cases, title shall pass upon delivery at thedestination and thereafter all risk of loss or damageshall be upon the Purchaser. The products shall beaccepted by Purchaser by an authorized and qualifiedrepresentative after inspection at the delivery point.Purchaser agrees to accept delivery of the products inaccordance with these Terms and Conditions withinten (10) days after the delivery date. If the products arenot in conformance with these Terms and Conditions,Purchaser shall give written notice to CHM of anyclaim to that effect setting forth in reasonable detailthe manner in which the products do not conform.If Purchaser retains the products after their deliverywithout giving CHM such notice as required withinten (10) days after delivery, such failure shall constitutean irrevocable acceptance of the products by Purchaserexcept with respect to defects not reasonablydiscoverable by such inspection. Purchaser’s soleremedy for any defects or nonconformance shall bein accordance with the warranty herein provided.8. DELIVERY. Factory shipping dates given inadvance of actual shipment are estimated by CHMand shall not be deemed to represent fixed orguaranteed shipping dates. CHM shall not be liablefor failure of or delay of performance due to (i) causebeyond its reasonable control or (ii) an act of God, actor omission of Purchaser, act of civil or militaryauthority, government priority of other allocation orcontrol, fire, strike or other labor difficulty, riot orother civil disturbance, insolvency or other inabilityto perform by the manufacturer, delay in transporta-

tion or (iii) any other commercial impracticability. Inthe event of any such delay, the date of delivery orperformance by CHM shall be extended for a periodequal to the time lost by reason of delay. In addition toany other right which CHM may have hereunder or atlaw, CHM may suspend shipment of any goods forwhich CHM has not already received paymentwhenever Buyer is in default under this to any othercontract of sale between CHM and Buyer.9. JOB SITE VISIT TERMS. Job site visits by CHMpersonnel to assist with installation must be prear-ranged with CHM a minimum of two (2) weeks inadvance with CHM, if the job site is within thecontinental United States, or a minimum of thirty(30) days in advance, if the job site is outside thecontinental United States. The Purchaser will receivea written confirmation of the scheduled visit oncetravel arrangements have been secured and purchasedby CHM. If the Purchase changes the job visitationitinerary after confirmation, any additional expensesincurred by CHM due to the change will be theresponsibility of, and invoiced to, the Purchaser. Jobsite visits pursuant to this paragraph shall not create orincrease any rights of Purchaser beyond thoseexpressly set forth in paragraph 10 below.10. WARRANTY, LIMITATION OF LIABILITY.CHM warrants that the CHM Products (“Products”)will, upon shipment be free from defects in materialsand workmanship. Products will be manufacturedaccording to Purchaser’s approved Submittals ifPurchaser has given, in its entirety, an originalapproved stamped copy of the Submittal which hasbeen approved by the Owner, or Owner’s Representa-tive. CHM agrees to correct, and retains the right, inits sole discretion, to correct by repair or replacement,at its sole expense, and at its option, either at CHM’sfactory or at the installation site, defects in materialsor workmanship which may appear as a result ofnormal and proper use within one year (1) fromthe date of shipment (the “Warranty Period”), ifinspection proves that such defects existed at thetime of shipment, if Purchaser gives to CHMimmediate written notice of such defects within theWarranty Period, and if during the warranty Periodthe Products have been properly cared for andoperated under normal condition by componentpersonnel under competent supervision. Anytransportation cost in connection with correction ofdefects in CHM Products shall be payable by thePurchaser. CHM does not warrant any Products thatare altered, except in its sole discretion by writtennotice to Purchaser from CHM’s Customer ServiceDepartment prior to alteration; otherwise, thisWarranty is null and void as to the altered Products.Repair or replacement of any products shall be CHM’sonly obligation and the sole and exclusive remedy ofthe Purchaser in the event of a failure to conform tothis warranty.CHM shall not be responsible for any damageresulting from improper storage or handling byemployees, agents or contractors of Purchaser. CHMshall not assume any expense or liability for repairsmade to any purchased equipment and accessories notwarranted by CHM, but CHM hereby passes theoriginal manufacturer’s warranties to the Purchaser tothe fullest extent possible. This warranty coversCHM’s own products only and does not extend to thefailures in performance due either to defects in anyequipment or component not manufactured by CHMor to improper or insufficient information furnished toCHM regarding the performance of the equipmentin question.THIS WARRANTY IS EXCLUSIVE AND INLIEU OF ALL OTHER WARRANTIES(EXCEPT THAT OF TITLE) EXPRESS ORIMPLIED, INCLUDING, BUT NOT LIMITEDTO THE IMPLIED WARRANTIES OF

MERCHANTABILITY AND FITNESS FOR APARTICULAR PURPOSE. THE MAXIMUMLIABILITY OF CHM WITH THE RESPECT TOANY PRODUCTS (WHETHER IN TORT, INSTRICT LIABILITY, IN CONTRACT OR OTHER-WISE) WILL NOT EXCEED THE PURCHASEPRICE PAID BY THE PURCHASER. IN NO EVENTWILL CHM BE LIABLE IN TORT, IN STRICTLIABILITY, IN CONTRACT, OR OTHERWISEFOR ANY SPECIAL, INDIRECT, INCIDENTAL,OR CONSEQUENTIAL DAMAGES, INCLUDING(BUT NOT LIMITED TO) LOSS OF ANTICIPATEDPROFITS OF REVENUES, LOSS OF USE, NON-OPERATION OR INCREASED OPERATIONCOST, COSTS OF CAPITAL, OR CLAIMS OFCUSTOMERS OF PURCHASER.11. CLAIM FOR SHORTAGES. All claims for shortagesmust be in writing within ten (10) days of receipt ofshipment at destination.12. RETURNED GOODS. Specific written request mustbe made in advance by Purchaser to obtain credit orreplacement on goods returned, and return of goodswill be only in the sole discretion of CHM and onlyupon prior written notice to Purchaser from an officerof CHM. On goods accepted for return, Purchasermust prepay return shipment and pay minimumrestocking charge of thirty-five percent (35%) plus anycharges necessary to rework goods to a re-sellablecondition. Custom fabricated products are not subjectto return.13. CANCELLATION. Written consent of CHM mustbe obtained prior to a cancellation of any order.Cancellation of any order will subject the Purchaserto a cancellation charge based upon expenses alreadyincurred and commitments made by CHM.14. ASSIGNMENT. The delegation or assignmentby Purchaser of any or all duties or rights hereunderwithout the prior consent made by CHM shall be void.15. GENERAL. CHM reserves the right to change anyfeature of its published specifications without notice topromote production improvement and/or allow formaterials availability. Any representation, affirmation offact and course of dealings, promise or condition inconnection therewith or usage of trade not incorporatedherein, shall not be binding on either party. No waiver,alteration or modification of any of the provisionshereof shall be binding upon CHM unless specificallyassented to in writing by an Officer of CHM. Thecontract of the sale of goods between CHM andPurchaser shall be performed in Tarrant County,Texas. The validity, performance, and all mattersrelating to the interpretation and effect hereof andany amendment hereto shall be governed by thelaws of the State of Texas. Any controversy or claimarising out of or relating to this contract, or thebreach thereof, shall be settled by arbitrationadministered by the American Arbitration Associationunder its Construction Industry Arbitration Rules,taking place in Tarrant County, Texas. Judgment ofthe award rendered by the arbitrator (s) may beentered in any court having jurisdiction thereof.The parties also expressly agree that they willcooperate in the exchange of documents and listsof witnesses (including any experts) before thearbitration as well as interviewing or deposition ofwitnesses. The prevailing party in any arbitrationshall be entitled to recovery of its reasonableexpenses incurred in enforcing these Termsand Conditions.16. AUTHORITY. The person signing on behalf ofPurchaser represents and warrants to CHM that suchperson is an authorized agent of Purchaser, with fullpower and authority to enter into the agreementdefined by these Terms and Conditions.17. EFFECTIVE DATE. These Terms and Conditionssupercede any previous issues and are effectiveJanuary 1, 2001.

Acceptance of this order by Carolina High Mast, Inc. (“CHM”) is expressly conditioned upon the Terms and Conditions contained herein. If these Terms andConditions differ in any way from Purchaser’s order or if transmission of these Terms and Conditions to Purchaser constitutes or is construed as an acceptance ofPurchaser’s order, then additional or different terms and conditions set forth in Purchaser’s purchase order or similar communication are objected to and will notbe binding upon CHM unless specifically assented to in writing by an Officer of CHM. In any event, Purchaser’s acceptance of the ordered products shall constituteand manifest Purchaser’s assent to these Terms and Conditions.
