1.0 Invitation The Houston-Galveston Area Council (H-GAC) invites regional fleets or vehicles owners to respond to the Call for Projects to request grant funding for the purchase and deployment of all-electric medium-/heavy-duty delivery vehicles including step vans and box trucks. The vehicles must operate within the Houston-Galveston non-attainment area and applicants are required to participate in a two year data collection and reporting effort. Responses to the Call for Projects must include a partnership between a fleet or vehicle owner and an original equipment manufacturer (OEM) or vehicle supplier.

1.1 Purpose The U.S. Department of Energy awarded $2,025,000 to H-GAC for the demonstration and deployment of all-electric box trucks and step vans through the Zero Emission Cargo Transport (ZECT) Demonstration project (DE-FOA-0000669). H-GAC is administering a Call for Projects to select fleet and vehicle manufacturer participants for the Houston Zero Emission Delivery Vehicle Deployment program and for award of grant funds. In total, the project includes demonstration and deployment of at least 30 all-electric medium/heavy-duty delivery trucks, including box trucks and step vans. Grant funding will be awarded to provide financial support for the purchase of new all-electric trucks. Regional fleets or vehicle owners, in partnership with OEMs or major vehicle suppliers, will procure and deploy all-electric delivery vehicles and required charging infrastructure. Technologies eligible for this project are limited to zero emission all-electric trucks configured as a box trucks or step vans.

1.2 Objective The U.S. DOE established the Zero Emission Cargo Transport (ZECT) demonstration projects to accelerate the introduction and penetration of electric transportation technologies (ETT) into the cargo transport sector. Specifically, the project will deploy all-electric box trucks and/or step vans, in the Houston-Galveston-Brazoria (HGB) 8-hour ozone nonattainment area, to substantially reduce petroleum consumption and related emissions.

Other goals of the ZECT project include evaluating the market viability of cargo electric transportation technologies and viability of this freight transportation approach for this and other nonattainment areas.

1.3 Project Partners The U.S. Department of Energy, H-GAC, and the Center for Transportation and the Environment (CTE) are managing this project to meet the purpose and objectives as described above. The U.S. Department of Energy is the federal agency through which H-GAC was awarded the Houston Zero Emission Delivery Vehicle Deployment project grant. The National Energy Technology Laboratory (NETL) awarded funds to H-GAC, on behalf of the Office of Energy Efficient and Renewable Energy’s (EERE) Office of Vehicle Technologies (OVT) Program. Project participants will enter into sub-recipient agreements with H-GAC. Applicants should be aware that grant funds awarded through this program will be reimbursed to fleets or vehicle owners through H-GAC’s agreement with the DOE.

The Houston-Galveston Area Council (H-GAC) is the prime applicant for the Houston Zero Emission Delivery Vehicle Deployment project and maintains responsibility for project oversight, reporting, and required financial management. H-GAC is managing the Call for Projects process and is responsible for selecting applicants for grant funding. As projects are funded through the Call for Projects, H-GAC will manage the final reporting of vehicle activity and monitoring of sub-recipients. The Center for Transportation and the Environment (CTE) is a sub-recipient participant in the Houston Zero Emission Delivery Vehicle Deployment project. CTE is responsible for data and information management of the project and provides technical support. CTE will oversee vehicle construction timelines, provide vehicle charger installation guidance, and route modeling analysis. CTE will also oversee data collection and conduct analysis and reporting in partnership with the grant recipients selected through the Call for Projects. Grant recipients, including fleet managers and vehicle manufacturers, will be responsible for working with CTE to ensure that vehicle testing, route modeling and validation, and vehicle activity data is collected to specifications required by H-GAC and the U.S. DOE. 2.0 Eligibility Requirements & Qualifying Technology

2.1 Eligible Grant Applicants The primary respondent must be a fleet or vehicle owner that operates or will operate grant-funded vehicles within the Houston Galveston Brazoria (HGB) designated ozone nonattainment area. The respondent must propose a partnership with a major ETT original equipment manufacturer (OEM) or major supplier of ETT vehicle, system, or energy technology. Each project proposal must include the primary fleet partner and an OEM or vehicle supplier partner.

2.2 Eligible Technologies Eligible vehicles include all-electric medium/heavy-duty delivery vehicles, i.e., box trucks and step vans. The vehicles must be cargo-carrying on-road trucks with an expected gross vehicle weight rating of approximately 14,000 to 26,400 lbs. Project vehicles must be designed and used for the sole purpose of moving and/or delivering cargo, freight, goods, etc. The vehicles must meet or exceed all applicable federal or state emission requirements and safety standards. Project vehicles must be zero emission and use an electric motor for all of the motive power of the vehicles, including battery electric, fuel cell, and plug-in fuel cell vehicles. Ineligible vehicles include light duty vehicles, shuttle buses, transit buses, and hybrid electric vehicles. Vehicles funded through this Call for Projects must include sufficient on-board or external charging infrastructure to support the demonstration of the vehicle. And vehicles must meet all applicable federal and state agency standards (including all applicable federal or state emission requirements and safety standards).

2.3 Eligible Geographic Region Vehicles must operate completely within the 8-county HGB non-attainment area for the two-year demonstration project period. This region includes the Texas counties of Brazoria, Chambers, Fort Bend, Galveston, Harris, Liberty, Montgomery, and Waller. 3.0 Funding Amounts and Cost Share Requirements Grant funding awarded through this Call for Projects is intended to offset the incremental cost of an all-electric vehicle when compared to a comparable diesel truck. The total grant amount will depend on the total vehicle cost and the number of vehicles proposed. Submission of a project proposal does not guarantee award and the award of a grant is dependent upon the availability of U.S. Department of Energy funding. Complete details regarding project selection, review, and award are outlined in Section 6.0.

3.1 Eligible Costs

Grants awarded through this Call for Projects process may be used solely for the purchase all-electric medium/heavy-duty box trucks or step vans and the related electric vehicle supply equipment (EVSE). Eligible project costs include the base cost of the vehicle, electric drive propulsion system, upfitting, charging equipment and installation, and vehicle delivery. Applicants will need to provide detail about the proposed vehicle specifications in their application to H-GAC. More information about the reimbursement process is described in Section 6.2.

3.2 Amount of Funding Per Truck The Houston Zero Emission Delivery Vehicle Deployment program will fund up to 42.3% of the eligible costs of proposed vehicles with a maximum of $67,500 per box truck or step van.

3.3 Cost Share Requirements

The grant recipient will be responsible for the required cost share through the purchase of all-electric vehicles. The cost share commitment must be at least 57.7% of the total cost of the truck and must come from non-Federal sources unless otherwise allowed by law (10 CFR 600 describes applicable cost sharing requirements). The recipient will be required to provide documentation of cost share contribution. Grants provided through this program will be awarded on a reimbursement basis. Funds will not be provided in advance of vehicle purchase.

3.4 Reimbursement of Eligible Costs

Respondents will be required to provide documentation demonstrating the total and final cost of the vehicle and all other eligible costs. The fleet or vehicle owner awarded funding through this program will be required to provide documentation, including but not limited to, original invoices, proof of payment to the vehicle manufacturer or supplier, copy of vehicle title, and final proof of ownership in order to receive reimbursement for vehicle purchase.

4.0 Project Requirements

4.1 General Requirements The primary applicant and grant recipient will procure and deploy all-electric medium/heavy-duty step vans and box trucks. As vehicles are deployed, the primary applicant and OEM / vehicle supplier must work in partnership to conduct vehicle testing and data collection. Data will be reported to H-GAC and CTE in order to meet DOE requirements for data collection and analysis. Data submitted to CTE will be used to conduct analyses of all-electric vehicle operations when compared to a similar gasoline or diesel truck. Data to be collected may include, but is not limited to: operational and maintenance data for any vehicles included in the ZECT system, including daily operating mileage and duration, beginning and end state of charge (SOC), battery operational data; vehicle speed, load (payload), and auxiliary electrical loads; and data on the supporting infrastructure operation, including charge time, duration, energy consumption, and costs The vehicle operating and maintenance costs shall also be recorded. Operating and maintenance data from comparative non-project vehicle in the fleet may also be required for comparative purposes. Specific projects tasks and responsibilities expected of successful grant recipients are outlined in Appendix C – Project Tasks.

4.2 Vehicle Deployment and Demonstration Timeline

Applicants must respond to the Call for Projects with an OEM or vehicle supplier that is capable of beginning production or procurement of trucks immediately following a signed Notice to Proceed. H-GAC expects that OEM or vehicle supplier partners will deploy all trucks in the HGB region no later than nine months following the issuance of a Notice to Proceed. The expected timeframe for vehicle deployment is outlined below.

5.0 Project Proposal Process

5.1 Response Submission

Project proposal documents must be submitted on a Compact Disc or USB flash drive and all narrative or supplemental files must be in Microsoft Word or Adobe PDF format. The project budget must be completed in Microsoft Excel format using the template provided. The narrative should not exceed 20 pages. The response to the Call for Projects should include:

A response to the Call for Projects must include all information outlined above. Appendix B – Project Narrative Outline includes a description of all information that must be included in the response. A respondent may withdraw a project proposal at any time by notifying H-GAC staff in writing.

5.2 Application Review Once a respondent has submitted a project proposal, H-GAC staff will notify the respondent to confirm receipt within 48 hours. An evaluation committee will review the project proposal based on Evaluation Criteria in Section 6.1. The committee will also review the proposed budget to determine the final grant award based on the number of vehicles and total proposed cost per truck. H-GAC staff will make a recommendation of funding to the H-GAC Board of Directors. All responses submitted prior to the Initial Submission Deadline will be reviewed following the May 22nd deadline. All responses received after May 22nd will be reviewed as they are submitted. If selected, the project will be submitted to the Board of Directors and date of final approval will depend on the subsequent Board meeting dates.

All respondents will be notified, in writing, about the status of their submittals following the project proposal review process. H-GAC staff will notify respondents about the final status of grant funding awards within 60 days following submission of complete project proposal. Final Notice of Award will be made following approval of funding from H-GAC Board of Directors. 6.0 Programmatic Requirements

An evaluation committee will review all submissions to confirm that each proposed project meets minimum project requirements. Projects will be reviewed based on the following selection criteria and responses will be evaluated on the following scale:

Respondents will be expected to address each of the evaluation criteria in the Project Narrative portion of their application as described in Appendix B.

6.2 Grant Administration & Reimbursement of Expenses Once a project proposal has been received, reviewed, and approved by the H-GAC Board of Directors, an agreement will be drafted for approval and signature by the respondent. H-GAC staff will then circulate the agreement for final approval and signature by H-GAC executive management. Finally, a fully executed contract and Notice to Proceed will be sent to the successful project grant recipient. Following the grant award and receipt of a Notice to Proceed, the successful grant recipient will begin the vehicle procurement process with their selected OEM or vehicle supplier. All grants funded through this Call for Projects will be awarded on a reimbursement basis. Invoicing must be completed within nine months of the contract start date unless an extension has been requested and granted to the grant recipient. When submitting an invoice, the grant recipient will need to provide documentation including items such as original invoices, implementation documentation and photos, proof of payment to the vendor(s), and proof of current ownership. Grant funds will be reimbursed to the recipient once payment has been made and vehicles have been delivered. The respondent must be financially able and responsible for purchase of the vehicle(s).

6.3 Monitoring & Reporting Requirements The grant recipient will deploy, demonstrate, and collect performance data for vehicles and supporting infrastructure for at least two (2) years following deployment of trucks in the HGB region. Vehicle deployment must be conducted under real world cargo transport conditions in the HGB NAAQS 8-hour ozone nonattainment area. Each vehicle must collect data as outlined in Appendix C – Project Tasks. The grant recipient, in partnership with their selected OEM / vehicle supplier and CTE, will submit monthly data or activity reports that will include, but not be limited to, vehicle operating data, VMT, energy usage and costs, and maintenance information. Additional information may need to be monitored and collected in order to conduct required Cost Analysis and Benefits Analysis.

6.4 Other

6.4.2 NEPA DOE must comply with the National Environmental Policy Act (NEPA) prior to authorizing the use of federal funds. Currently, the DOE has made a NEPA determination by issuing a categorical exclusion

(CX), thereby authorizing use of funds for the defined project activities. H-GAC may require additional information from the respondent and from the OEM or vehicle supplier in order to review the proposed grant activities in order to make a new NEPA determination.

6.4.3 Insurance Requirements H-GAC acknowledges that Respondent is governed by the Texas Tort Claims Act, which sets forth certain limitations and restrictions on the types of liability and the types of insurance coverage that can be required of Respondent. The Respondent represents to H-GAC that it either has adequate General Liability and Property insurance policies in place or sufficient resources to self-insure for all claims for which it may be responsible under the Texas Tort Claims Act. Once awarded a grant, the grant recipient must further represent to H-GAC that it either has workers' compensation insurance in the amount required by statute or is entitled to self-insure for workers compensation coverage under Texas law and has elected to do so. 7.0 H-GAC Terms and Conditions H-GAC reserves the right to:

contact respondents for clarification of information submitted; request presentations and interviews with vendors; contact references to obtain information regarding past performance, reliability, and integrity; reject any or all proposals; withdraw or amend this Call for Projects at any time without further notice; and, require specific modifications to proposals accepted for funding before agreeing to negotiate

contracts including specific items to bring the proposal into compliance with U.S. DOE, requirements of this Call for Projects, and/or H-GAC policies.

H-GAC will not pay for any expenses incurred prior to the execution date of a contract, and/or any expenses incurred after the termination date of the contract. All materials submitted to H-GAC, including any attachments, appendices, or other information submitted as a part of a proposal, are considered public information, unless otherwise noted in the proposal itself as a trade secret or proprietary information or copyrighted material, and become the property of H-GAC upon submission and may be reprinted, published, or distributed in any manner by H-GAC according to open records laws, requirements of the U.S. Department of Labor and the State of Texas, and H-GAC policies and procedures. H-GAC is not responsible for the return of creative examples of work submitted.

8.0 Protest Process

Proposing respondents that believe they have been treated unfairly in the proposal and qualifications review process, or that there is a violation of federal law or regulation, may file a complaint. Call for Projects – Houston Zero Emission Delivery Vehicle Deployment (TRN 14-06)

The Houston-Galveston Area Council (H-GAC) is requesting responses from regional fleets or vehicles owners through a Call for Projects for the purchase and deployment of all-electric medium/heavy-duty delivery vehicles including step vans or box trucks. The vehicles must operate within the Houston-Galveston-Brazoria non-attainment area and applicants are expected to provide two years of data collection and reporting. Responses to the Call for Projects must include a partnership between a fleet / vehicle owner and an original equipment manufacturer (OEM). In total, the project includes deployment of at least 30 all-electric medium/heavy-duty delivery trucks. Technologies eligible for this particular project include zero emission all-electric trucks configured as a box trucks or step vans. The Application itself is limited to 20 single-sided pages and should adhere to the format specified in the Call for Projects Response Outline and Application Form. An electronic copy of the complete proposal (including all appendices) must be submitted on a Compact Disc or USB flash drive. More information regarding the proposal request may be viewed at www.h-gac.com/RFP. Applications may be submitted beginning April 23, 2014 and will be accepted until the grant funding is depleted. The initial submission deadline is May 22, 2014 at 4:00 p.m. (CDT). H-GAC reserves the right to allocate available funding based on eligible applications received by the initial deadline. Applications received after the initial deadline will be considered on a first come, first serve basis, pending availability of funds. E-mail submittals will NOT be accepted. Appendix B. Project Narrative Outline

The project narrative must not exceed 20 pages. Commitment letters and supplementary information are not included within the page limit. The project narrative must include:

1) Business History a. Fleet or Vehicle Owner Business History b. OEM / Vehicle Supplier Business History c. Partnership – Describe the proposed partnership, including details of any current or past

business relationships between the primary applicant and the OEM partner.

2) Programmatic Readiness a. Strength of Partnership –Describe the relationship between project partners. Provide details

regarding any existing commitments that could expedite or delay the project procurement or purchase process.

b. Ability to Procure Vehicles – Describe the fleet/vehicle and OEM/vehicle suppliers’ readiness to receive grant award and begin vehicle purchase, build, procurement, and invoice process. Provide information to demonstrate readiness to fulfill grant on a reimbursement basis.

c. Technology Readiness – Provide a description of vehicle technology including vehicle range and payload. Describe any analyses conducted and any results collected to determine the proposed vehicle’s performance for the intended fleet application for this project.

d. Financial Risk & Stability – Provide information demonstrating fiscal capacity to carry out project activities on a reimbursement basis should the project be awarded funds. Information should include examples and documentation of current financial status. Acceptable documentation may include a Dun & Bradstreet DUNS number, the most recent audited financial report, or a line of credit letter from bank or financial institute.

e. Manufacturing Facilities and Capabilities – Briefly describe the OEM or vehicle supplier truck manufacturing facilities and capabilities. The description should include gross sales and/or the number of vehicles manufactured and supplied over the past two years.

3) Operational Ability

a. Technical Approach – Provide short description of primary applicant and OEM partner experiences in deploying all-electric trucks. Describe past and current experience with route analysis, data collection and maintenance required to maintain vehicle operation.

b. Vehicle Charging Infrastructure Requirements – Briefly describe the type of vehicle charging infrastructure existing, planned, and/or required for vehicle deployment and operations.

c. Data Collection & Analysis – Outline testing, operation, and maintenance plans for vehicles as needed to ensure vehicle operation, data collection, and reporting.

d. Reporting – Describe capabilities of applicant to meet requirements for submission of complete invoice documentation, monthly data or activity reporting, and ability to work with project partners to conduct required data analyses.

4) Timeline

Please outline a project timeline with major activity milestones including proposed dates for vehicle order, vehicle delivery, vehicle deployment, and expected invoice dates. All proposals must include a detailed schedule for ordering of the vehicles along with expected delivery and deployment dates.

5) Budget (not included in page limit)

Outline expected vehicle budget and provide available details and budget justification. A completed Budget Table (included as an attached Excel spreadsheet) must be submitted with the proposal.

Appendix C. Project Tasks When a grant is awarded, the grant recipient will be expected to complete the following tasks:

NOTE: Project partners will be available to provide technical assistance when developing vehicle testing and data collection plans and processes. Grants provided through this program will be awarded on a reimbursement basis. Funds will not be provided in advance of vehicle purchase.

Task 1 – Reporting The recipient will be required to submit Financial Reporting documents to H-GAC, including invoices, reimbursement request forms, and cost share documentation. Periodic status updates and monthly activity reporting will be required to provide updates on progress with vehicle procurement, delivery, deployment, operation and data collection and analysis as outlined in Tasks 6, 7, and 8.

Task 2 – Vehicle Design & Build The recipient, in partnership with their selected manufacturer, will perform all activities to procure the vehicles, including design, develop, build, modify, and integrate vehicles to support project objectives; this task includes all activities required to verify durability testing, safety testing, environmental testing, etc.

Task 3 – Vehicle Deployment and Demonstration The recipient will deploy, demonstrate, and collect operational and maintenance data for vehicles and supporting infrastructure for at least two (2) years following deployment of vehicles into fleet operations. Demonstration activities will be conducted under real world cargo transport conditions in the HGB NAAQS 8-hour ozone nonattainment area.

Task 4 – Vehicle Support and Maintenance The recipient, in coordination with the fleet partner(s), will perform scheduled and unscheduled maintenance on the vehicles under test for the duration of the project period of performance.

Task 5 – Vehicle Testing In partnership with CTE and the OEM, the recipient will develop and execute a test plan for vehicle testing that as a minimum will include varying usage and electric range in both loaded and unloaded configurations.

Task 6 – Test Data & Data Collection The recipient, in partnership with CTE and the OEM, will report vehicle and charger specifications and will collect operational and maintenance data for vehicles. Data collected may include powertrain and battery operational data. Additionally, data from non-electric fleet vehicles may be required for comparative analysis. All information collected shall be provided to CTE. CTE will analyze the data and summarize for submittal to DOE. DOE may provide these data and analyses to DOE/NNSA National Laboratories. All information collected shall be provided to CTE for analysis and reporting to DOE. DOE may provide these data and analyses to DOE/NNSA National Laboratories.
