• An important step in our evolution
• Anticipated transaction completed by early 2012 – MMI and Google will appoint integration planning teams led by
senior management from both companies
• Google and MMI continue to operate as independent companies until transaction has been completed – No change in our day-to-day operations – Stay focused on business execution
• Post merger, MMI to be run as separate business within Google
+ Motorola Mobility, Inc.
Cable Wi-Fi Service Provider Drivers Huge surge in mobile traffic
– 3G and 4G networks can not keep pace cost effectively as ARPU flattens but growth surges
– Data offload for cellular networks creates wholesale offload opportunities for cable operators
– The production cost of data in Wifi is only 10% of the cost for producing data in 3G
Proliferation of devices with Wi-Fi – Smartphones, tablets, laptops all shipping with Wi-Fi – Growing trend of Wi-Fi only devices – > 1 Billion Wi-Fi enabled devices will ship in 2012
Cable operators can extend services beyond residential home use
– Drive customer loyalty with multi-play services – Enable operator to remain with customer outside home – Allows enterprise Wi-Fi services
Cable Operators best positioned with HFC Networks
– Leveraging backhaul, mounting assets, and power – Can deploy APs in minutes
THE BUSINESS VALUE WI-FI IS BEING REALIZED BY OPERATORS AROUND THE WORLD
300 million connections on AT&T's U.S. Wi-Fi network in Q3 2011, exceeding 100 million connections made during the Q3 2010.
67% of KT's mobile data traffic – around 2,500 Terabytes/month – offloads to Wi-Fi
Deutsche Telekom would like to offload 20% of its outdoor cellular data traffic onto WiFi
Cablevision is the poster child for cableco Wi-Fi strategies
“We are looking at ways to converge data services. 3G networks are reaching a capacity crunch and Wi-Fi could offload traffic and offer a vastly superior overall throughput.“

“Melita’s initiative will allow people using smartphones and tablets in bars and cafes – particularly during the day – the quality service and signal strength generated by the fibre power network Melita rolled out last June. There is a pent-up demand for higher speeds in Malta and fibre power delivers speed and service. “This is a natural extension of the success Melita has enjoyed since we rolled out the network. In just five months, the customer base of our 10 megabit service grew from 10 to 25 per cent.”

Trial Feedback
Source – Melita CEO Andrei Torriani
In just two weeks, people visiting Paceville and using Melita’s free Wi-Fi accumulated some 2000 hours of internet browsing. The service was launched just before Christmas and enabled anyone using a Wi-Fi enabled smartphone or tablet computer to make use of free Wi-Fi offered as part of a technical trial launched by Melita. “The trial will gather data on equipment performance and other relevant technical parameters. Through this trial Melita will identify the technical enhancements and the customer experience improvements required ahead of commercial deployment” said Simon Montanaro, Chief Technology Officer at Melita. The service is available to everyone, and customers do not need to be Melita customers to access the Free Wi-Fi trials. Hundreds of customers connected in this two-week and in fact, some 86% of the users in the trial period where not Melita customers.
