ETHICAL DECISION MAKING
Is the decision or conduct legal?.
Is it consistent with Government policy, Council's objectives and Code of.
Conduct?
What will the outcome be for you, your colleagues, the Council, anyone else?.
Does it raise a conflict of interest?.
Could your possible conflict of interest lead to private gain or loss at public.

Would it withstand public scrutiny?.
CONFLICT OF INTEREST
A conflict of interest Js a clash between private interest and public duty. There.
are two types of conflict:1. Pecuniary - regulated by the Local Government Act and Department
of Local Government and,2. Non-pecuniary_- regulated by Codes of Conduct and policy, ICAC,
Ombudsman, Department of Local Government (advice only).
THE TEST FOR CONFLICT OF INTEREST

Conflict of interest is closely tied to the layperson-s definition of "corruption- -.

12. Various Residents - Petition - Golspie Wind farm.
A motion was moved Clr Barlow and Clr Bill that:
Council expresses its support for the petitioners, and so asks theState Government to decline to approve the proposed Golspie WindFarm because:
As outlined to Council in November 2011, it does not complya
with Council's DCP for Wind Farms.b As evidenced by the petition there is a high degree of local
opposition to the project, especially in the impacted area.c Already there are 6 wind farms operational or approved in the
eastern part of the Shire: totalling 237 turbines, the extra 100turbines of this project represents an excessive cumulativeimpact in the more closely settled part of the Shire.
RESOLVED Clr Bill and Clr Mayoh that Council move into Committee211/12of the Whole.

ITEM 9.6 PROPOSED DALTON POWER PROJECT
219/12 RESOLVED by Clr Wheelwright and Clr Coley
1. Council endorse the lodgement of a submission to the NSWPlanning _ Assessment Commission outlining the followingsuggested conditions that Council would consider appropriate toaddress the concerns raised by Council.
Proposed C41 Water Quality and Hydrology.
The Proponent shall provide a compensatory water supply toany^ owner of^ privately-owned land and/or operator of anypublicly owned water utility whose water supply is adverselyimpacted (other than an impact that is negligible) as a result ofthe project, in consultation with the NSW Office of Water, and tothe satisfaction of the Director-General.
The compensatory water supply measures must provide analternative long-term supply of water that is equivalent to theloss attributed to the project. Equivalent water supply must beprovided by way of the installation of a pipeline and associatedinfrastructure from Gunning.

If the Proponent and the landowner and/or the operator of thepublicly owned water utility cannot agree on the measures to beimplemented, or there is a dispute about the implementation ofthese measures, then either party may refer the matter to theDirector-General for resolution.
If the proponent is unable to provide an alternative long-termsupply of water, then the Proponent shall provide alternativecompensation to the satisfaction of the Director-General.

Thank you for Courfcil's letter of 26 June 2012 (your reference: F10/70) regardingfinancial assistance towards the cost of the construction of the Taralga Water SupplyAugmentation Scheme.
I am pleased to offer Council financial assistance of $853,525 (being 50 per cent of$1,707,049,_excluding GST) under the Country Towns Water Supply and SewerageProgram (CTWS&SP), towards the cost of the Scheme. A schedule of costs isattached for Council's information.
Under the CTWS&SP rules, there are no provisions for revised estimates oradditional costs. The upper limit of financial assistance for this phase of the work is$853,525.
The standard conditions that will apply to this financial assistance are attached induplicate. Council is requested to return a signed original of these conditions toMr Colin McLean, Executive Director, Urban Water, Office of Water, GPO Box 3889,Sydney 2001. The attached conditions for the use of NSW Government funds for theconstruction of water supply and sewerage scheme supersede all previously issuedconditions.
In particular, I draw Council's attention to the condition for timely completion of theworks. This financial assistance is contingent on completion of the project withinthree years from the date of this offer. Project delays within Council's control mayresult in financial assistance being reduced or withdrawn.
This financial assistance is also dependent upon substantial compliance by Councilwith each of the criteria in the Best Practice Management of Water Supply andSewerage Guidelines, which are listed in the attached Schedule 3 to the Conditions.Council will note that some payments will be withheld, as nominated in Schedule 2 ofthe Conditions, until Council complies with the Guidelines and as listed in Schedule 3of the attached standard conditions.

CONDITIONS FOR USING GOVERNMENT FUNDSFOR THE CONSTRUCTION OF WATER SUPPLY AND SEWERAGE SCHEME
1: Definitions
"Act" means, unless otherwise indicated, the GownmentAct, 1993^%'G i.ftf.i-tw ^^-nCouncil" means Council* / . <
"Oflfics" means the New South Wales Office of Water
"General Manager" means the General Manager of CouncilKC.
Fixed Grant" means the approved maximum amount of financial assistance which maybe provkled under this Agreement against the Work as set out in Schedule 1
"Minister" means the Minister for Primary Industries.
"Work" means the works set out in the Schedule 1 attached and includes *
(a) The approved pre-construction activities after adoption of a preferred optionThese are concept design, survey, project management, design, communityconsultation, environmental assessments, preparation of tender documentsand risk management; and
(b) Construction management and construction of the works and (and acquisition inconnection with the works
"Scheme" means Council's overall system providing the water or sewerage servicewhich is managed as a single financial entity and of which the Work will be part
2: Recitals
Whereas.
(i) Council has made application to the Minister for construction of the Work inaccordance with Section 57(1) of the Act; and
(ii) the Minister has, subject to this agreement, approved financrat assistance toCouncil for the tendered cost of the Work set out in the covering letter attachedhereto and the Schedule 1; and
(iii) the Minister has appointed the Office to act on the Minister's behaff in relation tothe matters set out in this agreement;
then subject to Council's acceptance of and compliance with the conditions set outherein, the Minister may make progress and final payments in relation to the Workstrictly as described herein

3 Background . Legislative Matters.*
(i) The requirement under Section 60 of the Act for Council to seek the Minister'sapproval shall apply in respect of the Work.
("} Council shall_be the proponent of the relevant activity relating to the Work underPart 5 of the Environmental Planning & Assessment Act 1979
(iii) Council shall conduct the Work as determined by all the relevant determiningauthorities in the environmental impact assessment under Part 5 of theEnvironmental Planning snd Assessment Act 1979 for the activities associatedwith the Work.

4: Role of the Office
(0 Anything that the Minister may do under this agreement, including but not limitedto the giving of approval, directions and notification, may be done by the Office onbehalf of the Minister as the Minister's representative,
(") Any approval required to be sought from the Minister shall be sought from theOffice acting on the Minister's behalf as the Minister's representative
[iii) Any thing required to be given to the Minister under this Agreement, including butnot limited to notification, documents, and certificates, shall be given to the Officeon behalf of the Minister as the Minister's representative
(iv) Any participation of the Minister which the Minister may undertake under thisAgreement may be carried out by the Office, and any liaison required to be earnedout with the Minister shall be carried out with the Office,'as the Minister'srepresentative
6: Carrying Out of the Work
(i) Prior to commencing _ the Work, Council shall satisfy iteelf as to the adequacy ofthe Work for its intended purpose
(ii) Council shall commence the Work as soon as practicable upon being advised bythe Mmrster that funds under this Agreement are available
(Hi) Council shall ensure that any agreed program of the Work is strictly observed.
(iv) CouncH shall notify the Minister without delay of any ircumstance relating to workthat may reduce or increase the cost of the Work

6: Responsibility for the Carrying Out and Operation of the Work
(i) The Work shall be performed at Council's risk Council accepts full responsibilityfor the Work mcluding the design and construction
(iO The Minister accepts no responsibility in relation to investigation, design orconstruction of the Work but relies on the Council and any professional personengaged by it to ensure proper standards are maintained at all stages of designand construction and that the design and construction comply with anyinstruction/directions, standards, criteria or benchmarks/policies as specified inthis Agreement
(ill) The ongoing operation of the Work shall be the responsibMfty of Council whichmust be undertaken to proper standards, in compliance with all statutoryrequirements and so that the performance capacity of the Work is achieved TheMinister will not be liable for any failure of Council to perform its ongoingobligations following construction of the Work.
7: Liability for Cost of the Work
(D Subject to the contribution to the cost of the Work to be made by the Minister ashereinafter provided, all direct costs involved in the carrying out and completion ofthe components of the Work set out in the Schedule 1 shall be borne by Council.
(") The amount of grant is fixed and cannot be varied Council shall bear the full costof any additional costs above the tendered contract price for individualcomponents of the Work set out in the Schedule 1 in aH circumstanoes
8; CorUficationoftheWork
(0 As soon as practicable upon the completion of particular components of the Workas specified in the Schedule 1, Council shall submit to the Minister a Certificate,provided by a suitably qualified and competent professional person appointed bythe General Manager, that the construction of the Work is satisfactory andcomplies with proper engineering standards of construction.
(") As soon as practicable upon the completion of particular components of Work asspecified In the Schedule 1 , the General Manager shall provkle his certification ofthe moneys spent on the Work, referenced to the Work or part of the Workactually carried out By the presentation of the Certificate of the Generalf
Manager, Council thereby represents that the Work or that part of the Work isbeing performed satisfactorily pursuant to these Conditions
(ill) As soon as practicable upon the completion of the whole of the Work the GeneralManager shall provide a Final Certificate to the Office certifying that the Work hasbeen completed in accordance with the conditions herein and setting out theactual Final Cost of the items listed in the Schedule 1.

(iv) These Certificates shall be relied on by the Minister for the purpose of ensuringthe proper performance of the Work for the purpose of payments as provided forin this agreement.
(V) Council shall retain all Certificates for inspection by an auditor of Councilappointed pursuant to Chapter 13 Part 3 of the Act, or such persons as areauthorised by the Minister

9; Payment by the Minister
(I) Financial assistance will be contingent on completion of the Work withinthree (3) years of the date of this offer. Failure to complete the Work in thistimeframe may result in financial assistance being reduced orwithdrawn ^
(ii) Financial assistance will be contingent on Council as the Local Water Utilityachieving substantial compliance with the Best Practice Management of WaterSupply and Sewerage Guidelines as gazetted in May 2004 Failure to complymay result in financial assistance being reduced or withdrawn Requirements toachieve this level of compliance are set out in the Schedule 3
(iii) Subject to the matters set out in this Clause, the Minister may make paymentsbased on completion of the Project Milestones specified in the Schedule 2 forcomponents of the Work.
(iv) The Minister shall not make any Progress Payments based on part compfetion ofthe Project Milestones specified in the Schedule 2 for components of the Workunless otherwise agreed and specified in the Schedule 2 The making of suchProgress Payments shall be at the complete discretion of the Minister.
(V) Council shall not seek payment for the Work or part of the Work until the Ministeris satisfied that the Council has complied with its obligations set out in Clause 8above
(vi) If the Minister is at any time of the opinion that Council failed to comply withthe terms, ronditjons and provisions contained herein, the Minister may. at hiscomplete discretion, withhold from Council for such period as he deems fit thepayment of any or all of the sums agreed to be paid to Council by the Minister.Any such decision by the Minister shall not be a waiver of the rights set out inClause AA below
(vii) Council shalj not be entitled to interest payments on any amounts due but unpaidby the Minister
(viii) Payment shall at all times be subject to continuance of available funding from theGovernment of New South Wales
10; Minister's Final Payment towards Final Land Acquisition Costs and Closing offthe Project
(i) Immediately upon commissioning of the assets in the final contract, the Council shallprovide anestimate of all remaining land acquisition costs prepared by the VatuerGeneral's Department or a valuer approved by the Valuer General's Departmentto the Minister
(D When all_Payments that may be made for the completion of components of theWork under this agreement have been made, and all certifications required to begiven to the Minister in accordance with Clause 8 have been given, and theMinister is satisfied that the Council has complied with all its obligations under thisagreement, the Minister may make Final Payment towards the Approved Estimateof the Final Land Acquisition Costs
(Hi) After the Minister's Final Payment is made, the Work is deemed to be finalisedand closed off

11: Conduct of the Work
(D Council shall apply the relevant guidelines in the Total Asset Management Manual2006 in the performance of the Work, and shall ensure participation of the Ministerin any value management and risk management assessments
(") Council shall prepare a Project for the Work which shows CounciFs plan toimplement obligations under the Conditions herein The Plan shall provide forliaison with the Minister including the opportunity for review and concurrence atidentified Project Milestones
("D Council shall at all times be able to demonstrate compliance with the LocalGovernment (Tendering) Regulation 1999, and show support of the use of Codesof Practice and Tendering for the NS\N Construction Industry (published byConstruction Policy Steering Committee of New South Wales).
(iv) Council shall at all times permit the Minister or his authorised officers to inspectthe Work and any of Council's books of account, papers and other documentsrelating to the Work.
(v) Council shall from time to time promptly furnish to the Minister all such infatmationand particulars of and concerning the Work and the cost thereof as the Ministermay from time to time require
12: Records
(D Upon completion of the Work and precedent to the Final Payment, Council shallhave construction records including a construction report, a complete set ofdrawings showing the Work as executed and documentation for proper opsrationand maintenance for the Work, and finalisation details for all associated serviceprovider engagements and contracts
(ii) Council shall have records to demonstrate that the Work has been carried out inaccordance with the Project Development Plan as approved, and has notcontravened.

13: Transparency of Government's Financial Assistance

14: Breach of Condition
If Council falls to perform the Work or achieve the Project Milestones in the timespecified in the Schedule 2, the Minister may terminate Government's financial^!'^T-rIC?-^_^?".^iLS?alLre.p.ay. ^° thl Mini?ter the whole or any parts of anyflnanciaf assistance made by the Minister Council shall also repay any costs, chargesand expenses incurred by the Minister in respect of the Work together with mterestthereon at the interest rate specified in the gazette under Section 566 (3) of the LocalGovernment Act. 1993, as determined by the Minister.
15: Notice
Any written notice or demand provided for in these conditions may be served on Councilby ordinary prepaid post addressed to Council's Chambers or its postal address 9-

RATCH-Austratia is pleased to announce the commencement of the public exhibition processfor its Collector Wind Farm Environmental Assessment Report (EAR). The exhibition period willextend from Thursday, 26 July through to Monday, 24 September 2012 inclusive - a period of60 days. I enclose/attach for your interest a copy of the latest RATCH-Australia Collector WindFarm Development newsletter
Wind farm developments have attracted considerable community, government and mediaattention in recent times and we anticipate that this proposal will be of interest to you and theCouncil. We would like to offer you a briefing on the Collector Wind Farm at your convenience,including a tour of the site if desired. Our project development representatives will be availablethroughout the public exhibition period and beyond should your office have any queries.
Following exhaustive environmental investigations and extensive community and stakeholderconsultation, the Department of Planning and Infrastructure (DoPI) now considers the EAR hasadequately addressed the Director-General's Requirements. The EAR has most recently beenamended to consider the Draft NSW Planning Guidelines: Wind Farms in accordance withinstructions from DoPI.
There are hard copies of the EAR at Poidevins Cafe in Collector, the Gunning Library, theUpper Lachlan Shire Council offices in Crookwell, at the Goulburn-Mulwaree Council offices inGoulburn, at the Nature Conservation Council in Newtown, and at the NSW Department ofPlanning and Infrastructure offices in Sydney. Former ABC radio presenter DeborahCameron will chair the Forum, which will meet regularly throughout the life of the project. One ofthe first issues the Forum will consider is how to administer the Community Benefit Fund.
We believe our proposal has significant merit; not only in its contribuh'on to Australia's bipartisantarget that 20% of Australia's electricity supply must come from renewable sources by 2020,but also through its contribution to the local community and economy through investment,employment and a $200,000 per annum community benefit fund once the wind turbines areoperational.
