Bangadesh Securities and Exchange Commission(BSEC)
The Bangladesh Securities and Exchange Commission (BSEC) was establishedon 8th June, 1993 as the regulator of the countrys capital market through enactmentof the Securities and Exchange Commission Act 1993. Through an amendment of theSecurities and Exchange Commission Act, 1993, on December 10, 2012, its name hasbeen changed as Bangladesh Securities and Exchange Commission from previousSecurities and Exchange Commission. The Commission consists of a Chairman andfour Commissioners who are appointed for fulltime by the government for a period offour years and their appointment can be renewed only for further one term, but thecondition is that age cannot exceed 65 in position during the tenure. The Chairmanacts as the Chief Executive Officer (CEO) of the Commission. The Commission hasoverall responsibility to formulate securities legislation and to administer as well. TheCommission is a statutory body and attached to the Ministry of Finance.
Mission: Protect the interests of securities investors. Develop and maintain fair, transparent and efficient securities markets. Ensure proper issuance of securities and compliance with securities laws.
Functions: Regulating the business of the Stock Exchanges or any other securities market. Registering and regulating the business of stock-brokers, sub-brokers, share
transfer agents, merchant bankers and managers of issues, trustee of trustdeeds, registrar of an issue, underwriters, portfolio managers, investmentadvisers and other intermediaries in the securities market
Registering, monitoring and regulating of collective investment schemeincluding all forms of mutual funds.
Monitoring and regulating all authorized self regulatory organizations in thesecurities market.
Prohibiting fraudulent and unfair trade practices relating to securities trading inany securities market.
Promoting investors education and providing training for intermediaries of thesecurities market.
Prohibiting insider trading in securities. Regulating the substantial acquisition of shares and take-over of companies. Undertaking investigation and inspection, inquiries and audit of any issuer or
dealer of securities, the Stock Exchanges and intermediaries and any selfregulatory organization in the securities market.

Central Depository Bangladesh Limited (CDBL)
Central Depository Bangladesh Limited (CDBL) was incorporated on 20th August 2000sponsored by the country's Nationalized Commercial Banks (NCBs), Investment Corporation ofBangladesh (ICB), Private Commercial Banks (PCBs), Foreign Banks, Merchant Banks, Publicly ListedCompanies, Insurance Companies and Dhaka & Chittagong Stock Exchanges with the collaboration ofthe Asian Development Bank (ADB).
CDBLs core services cover the efficient delivery, settlement and transfer of securities throughcomputerized book entry system i.e. recording and maintaining securities accounts and registeringtransfer of securities; changing the ownership without any physical movement or endorsement ofcertificates and execution of transfer instruments. The Central Depository System (CDS) operated byCDBL has proved to be a convenient and reliable means to settle securities transaction. The investor hasbeen freed from the hassles of physical handling of certificates, errors in paper work and the risksassociated with damaged, lost and forged certificates.
Legal basis for CDBLs operations is set out in the Depositories Act 1999, DepositoriesRegulations 2000, Depository (User) Regulations 2003, and the CDBL Bye Laws.
CDBLs operations are carried out in its Main Data Centre which is linked to a remote DisasterRecovery Centre operating as a backup with data update taking place simultaneously.
CDBLs Software application VeDAS (Versatile Engine for Depository Accounting System) isbuilt on three-tier architecture, with Visual Basic at the Front End, TUXEDO as the middle tiertransaction manager and Oracle at the Back End centralized database.
Network connectivity to Depository Participants (DPs), Issuers, Banks, Stock Exchangesand Bangladesh Securities and Exchange Commission (BSEC) is through Front End interfaces accessedby fiber optics network connections. Small volumes of data transmission are also possible via PSTNtelephone lines.
Live operations of the CDS commenced with the inauguration of the Electronic GovernmentSecurities Registry (EGSR) by the Governor of Bangladesh Bank on 20th October 2003. Equity marketsecurities dematerialization process i.e. eliminating physical certificate as record of security ownership bysubstituting it as an electronic book entry record in the CDS commenced on 24th January 2004 with theentry of Square Pharmaceuticals Limited into the CDS.
Since 14th February 2003 CDBL has been acting as National Numbering Agency for InternationalSecurities Identification Number (ISIN) and Classification of Financial Instruments (CFI) in Bangladesh,initially as a partner and since 3rd June 2010 as full member of Association of National NumberingAgencies (ANNA). CDBL is a member of Asia Pacific Central Securities Depository (CSD) Group(ACG) and an associate member of South Asian Federation of Exchanges (SAFE).

DHAKA STOCK EXCHANGE LTD (DSE).
The Dhaka Stock Exchange Ltd. (DSE) was established as East Pakistan Stock ExchangeAssociation Limited on April 28, 1954. Formal trading of the bourse began in 1956. On June 23,1962, it was renamed as East Pakistan Stock Exchange Ltd. The name of the stock exchange wasonce again changed to Dacca Stock Exchange Ltd. on May 13, 1964. The service on the stockexchange continued uninterrupted until 1971. The trading was suspended during the liberationwar and resumed in 1976 with the change of economic policy of the government.
Since then the bourse did not look back and continued its journey contributing to thedevelopment activities of the nation. On August 10, 1998 the DSE introduced screen-based state-of-the-art automated online real-time trading through Local Area Network (LAN) and Wide AreaNetwork (WAN). DSE upgraded its automated trading system on August 21, 2005. CentralDepository System (CDS) for electronic settlement of share trading made a debut on January 24,2004 in the DSE. The Dhaka Stock Exchange became a full Depository Participant (DP) ofCDBL to facilitate the trading of its non-DP members. Government Bonds made a debut on theDSE on 1st January, 2005. The SEC approved the Dhaka Stock Exchange Direct ListingRegulations-2006 as proposed by the DSE which paved the way for direct listing of large andprofitable companies with the DSE which has allowed only state-owned companies. Book-building method is also in operation in Bangladesh Capital Market since 2010. On June 10, 2010DSE introduced Web-Based Trading Software-MSA Plus. DSE started DSE Broad Index(DSEX) and DSE 30 Index (DS30) made by the world renowned institution S&P Dow Jones. OnFebruary 18, 2013 DSE launched Bangla version of its official website. DSE transformed into ademutualized exchange on November 21, 2013. DSE launched DSEX Shariah Index (DSES).According to the world famouse index provider organization S&P Dow Jones indexmethodology and in the superintendence of Rating Intelligence and Islamic Shariah Board, thisShariah Index has been drawn up. New serveillance software of DSE InstantWatch wasformally commenced on February 11, 2014. DSE has entered into an agreement with NASDAQOMX and Flex Trade Systems to proved the world leading trading system on March 21, 2014. Inits 60-years journey the stock exchange has made significant contribution to the economy ofBangladesh providing the unique venue to raise investment from the members of the public. Thestock exchange is in a relentless process of modernization and up-gradation of its systems andfacilities to home in latest technologies available. Over the years, the bourse has earnedconfidence of the investors.

Chittagong Stock Exchange Limited the first automated bourse of the country was formed andregistered under the Companies Act, 1994 on 1st April 1995 as a Public Company Limited byguarantee and launched trading on October 10, 1995 through the cry-out trading system. TheExchange was a non-profit organization until 20 Nov, 2013.
Within less than three years of formation, CSE introduced its computerized trading system inJune 1998, the first of its kind in Bangladesh enabling Stock dealers/brokers to trade from threemajor cities viz. Dhaka, Chittagong and Sylhet on real-time basis through its wide area network(WAN). Subsequently, the network has been further extended to nine other major cities. Thetrading network has further been extended to Thana level, bringing thousands of investors to theinvestment net. In 2004, CSE launched Internet Trading Services (ITS) for providing tradingfacility to the investors irrespective of geographical boundary. In October 2011, CSE switched toa new robust multi-asset-class, multi-channel trading system- the Next Generation TradingSystem (NGTS), one of the fastest trading software in the world. CSE provides more user-friendly Internet and Mobile Trading services through the NGTS. In 2012, CSE launched theDisaster Recovery Site in its Dhaka office to keep the stock trading hassle free in times of naturalcatastrophes.
CSE initiated and introduced many modern concepts in Bangladesh Capital Market alongsideimplementing the automated screen based trading system, Central Depository System (CDS),Securities Training Institute, Sector wise indices, Short Selling under the regulations, over-the-Counter (OTC) market etc.
In 2011 CSE established the Corporate Finance Department (CFD) to review various non-compliance issues regarding financial reporting and corporate governance by the listedcompanies in CSE. This initiative would help the listed companies improve compliance inpreparing their financial statements.
On 02 May 2013, the Exchanges Demutualization Act 2013 was enacted for the purpose ofcorporatization and demutualization of stock exchanges in Bangladesh. In compliance to this actCSE submitted its Demutualization Scheme to the Bangladesh Securities and ExchangeCommission on 29 July 2013. Upon approval from Bangladesh Securities and ExchangeCommission of the Demutualization Scheme, CSE held Extra Ordinary General meeting ofshareholders on 25 October 2013 and obtained certified copy of the documents from RJSC on 21November 2013 and became demutualized under the Exchanges Demutualization Act, 2013transforming into a Public Company Limited by shares (a for-profit company) with effect from21 November 2013.

The principal activities of the Exchange are to conduct, regulate and control the trade or businessof buying, selling and dealing in shares, stocks, bonds, debentures, Government securities, loansand other instruments and securities of like nature. It is engaged in disseminating information tothe investors through websites and publishing quarterly "Portfolio", monthly "Bazar Parikrama"and other publications and organizing training programmes, seminars, workshops etc. TheExchange is also devoted to Research and Development activities relating to capital market andmaintains its own Library, Investors Information Cell (IIC) and a Complain Cell.
CSE is committed to bringing transparency and accountability in the Bangladesh capital market.It also works for creating strong platform for entrepreneurs raising capital.

Bangladesh Institute of Capital Market (BICM) was established as a national institution for impartingpractical capital market education and training on July 24, 2008. The Institute is gradually emerging as acenter of excellence for professional development of capital market intermediaries and full spectrum ofmarket professionals through disseminating recent and updated theoretical and practical knowledge
Background of BICMThe institute fulfilled the long felt demand of market intermediaries as well as development partners. Theidea was first mooted by Chittagong Stock Exchange and a feasibility study was carried out under WorldBank managed multi-grant TA, FIRST initiative. The expatriate consultants recommended setting-up aSecurities Institute in Bangladesh for bridging the gap between the competence and skills required andexist.Later, UNDP as well as ADB under their respective TA recommended for establishment of aSecurities Industries Development Center and a National Capital Market Institute autonomous innature.
Board Members and ManpowerIn 2010, the government approved organogram of BICM that has similarity to a public university, at smallscale, having 97 employees including 27 faculty members. In 2013, the government also approved thecompensation structure of the institute. Under the leadership of Professor Dr. M. Khairul Hossain,Chairman, Bangladesh Securities and Exchange Commission (BSEC) [Contact- Tel: +88-02-9563713],the Institute has got a competent Board of Directors with a wide range of expertise representing crosssection of stakeholders that includes government, regulator, market intermediaries,exchanges, academiaand different professional bodies.

Infrastructural FacilitiesBICM is housed at 18,508 sqft. area in the commercial hub of the city. BICM is equipped with state of theart education and professional training facilities as well as advanced learning amenities to arrange andorganize national and international training programs, workshops, seminars and conferences. It has thecapacity to accommodate 250 participants at one go in its class rooms of different capacities, conferenceroom and computer lab. It also has break-away-session rooms and digital library for brain storming andcarrying out research.
To augment the Vision 2021, The Institute is equipped with latest ICT facilities. The audio-visual andvideo conferencing facilities with dedicated 20 mbps fiber optics internet connection will enable theinstitute to establish its linkage with institutions from home and abroad in disseminating knowledge.
BICM has the unique and enriched library of the country that is the repository of business, finance, trade,banking, insurance, ICT, law and wide array of financial and other titles. To date, BICM has stocked over10,000 physical books and in process of procuring e- books, videos and other learning and referencematerials. Obtaining the permission, the Institute is also contemplating to hook up its server with the e-library of University Grant Commission, Bangladesh.

FinancingFrom the year 2009-10 Government is continuously financing BICM and till date the institute has beenfinanced with an amount of Tk. 29.064 crore. From this funding, the cost of infrastructural facilitiesandoperational expenses of the institute has beenmet.
Academic Activities of BICMInauguration of Academic Activities
On 09 December 2010, Mr. Abul Maal Abdul Muhith, honorable Finance Minister, Government of thePeoples Republic of Bangladesh inaugurated the academic activities of BICM. The government has beenextending its unflinching support to elevate the institute as a center of excellence.
Investors Education Program
To fulfill the commitment of the government of increasing awareness of general investors, BICM has beenconducting Investor Education Program at free of cost. General investors have been encouraged toassess the financial health of the listed companies prior to making investment. To date, 2900 existinginvestors and future/ potential investors have been trained on the basics of capital market investment.Considering the increasing demand of the investors, BICM has started offering four investor awarenessprograms monthly instead of two.
Specialized Courses for professionals and Market Intermediaries
Till date BICM has conducted 24 Certification Programs of different durations (two weeks to six weekslong). A total of 508 participants have been certified on the areas of:Securities laws, Corporategovernance, Financial statement analysis, Legal drafting, International financial reporting standard,Investment in capital market, Investment analysis and securities valuation, Trading software, Financialjournalism etc.
Future Activities of the InstitutePostgraduate Diploma Course
BICM expects to start its flagship Postgraduate Diploma Program in Capital Market in the terminalquarter of 2014 for existing professionals of capital market and those who aspire to start their career inthe capital market.
Training on New Products of Capital Market
To implement the recent reforms taken by Government as to allowing trading of derivatives, commoditiesand exchange traded fund, BICM is designing curricula and training programs on the same.
Masters in Capital Market
The institute also expects to start Masters Program on Capital Market obtaining affiliation of theUniversity of Dhaka.

Mandatory Licensing Examination
With the help of expatriate consultant engaged under ADB- TA project,BICM has designed coursematerials for Mandatory Licensing Examination for Securities Market Intermediaries.If authorized byBSEC, the institute will impart training and conduct examination on the same.
Distance Learning Programs
BICM is also preparing and equipping itself to start Distance Learning Programs at school and collegelevel for wide dissemination of capital market knowledge at national sphere.
Research and Knowledge Management Activities
There is paucity of research, case study and documentation on financial market in general and capitalmarket in particular.BICM will put maximum emphasis and invest time, energy and effortsin research andknowledge management activitiesto bridge the gap. These activities of BICM will be aiming at settingstandards, preparing best-practice examples, assisting policy formulation and preparing guidelines to helpthe stakeholders. The research outcomes, lessons of cross jurisdictional study, policy papers andrecommendations will facilitate the government and policy makers in devising policy, regulator informulating rules and professionals in implementation and practice.
Cooperation from Development PartnersSince there is dearth of knowledge and expertise as of new instruments viz. derivatives, futures,commodities, exchange traded funds (ETFs), structured products, state of the art securities andsettlement system, cooperation of development partners is of utmost importance to equip facultymembers. This cooperation,in the form of technical assistance and fielding capital market experts,willenhance and elevate the knowledge and expertise of the faculty members for enabling them to impartquality education and training.
