Operation & Maintenance is a di�erent world than manufacturing. When contracting O & M services with Original Equipment Providers you may become dependent on their priority to sell parts and related services. It is not their core business. O & M is our business and we do it well.

That’s why can recommend an “open book” pass-through cost type O&M contract, with a management fee and bonus/penalties de�ned with each client. We like to call these the “we perform or you don’t pay” contract. If we don’t meet your goals then we su�er �nancially.

We don’t encourage Plant Owners to enter into the typical “closed book - turnkey” - all in type O&M contracts. We call these the “you pay no matter what happens” contracts. In such cases, the O&M provider’s interests are not aligned with the owner’s, the �xed price taking precedence over the owner’s pro�ts.

Plant Owners also want to o�set the implicit risk in closed contracts of having their personnel, parts and maintenance reduced in order to maximize some third party’s pro�ts. The risk of having “beta parts” installed unknowingly, as an unsolicited test, should be avoided as well.

4. OUR STAFF

Team players who are comfortable working in an engineering and operational organization

EEN has developed the best and brightest sta� in the Latin American region, backed by years of �eld experience. All its members have attended intensive training courses for plant O&M. Many of our people who were operators or technicians a few years ago are now managers and supervisors.

Every EEN Team member that will be applied to your project will have a proven track record directly applicable to the power generating facilities. Our founder, Duane Schumacher, will be directly responsible for management, overall direction and guidance of the O&M mobilization e�ort. He will establish e�ective liaison with your management and be a regular presence at the plant site. Duane takes personal responsibility for producing the Annual Operating Plan, including the Annual Operating Expense Budget. .

5. STANDARDIZATION OF POLICIES AND PROCEDURES

Operational mistakes are reduced and, when committed, are usually minor in nature

We believe —and well-operated plants have proven— that every plant should be handled within the con�nes of a clearly de�ned body of policies and procedures.

As part of our mobilization service, we always develop a comprehensive Policies and Procedures Manual for each facility. Just as a pilot does every time he gets into his airplane, we perform a "pre�ight" checklist before starting your valuable equipment.

Insurance companies’ investigations show that in the majority of the cases when an incident occurs, it is due to human error. That’s true for power plants, airlines and practically any industry.

THEREFORE WE BELIEVE THAT PROCEDURES MUST BE:

Accurate and correct

Followed to the letter

Easy to use and located near the equipment to be operated

Accompanied by a startup / shutdown checklist to be signed to prove it was followed

AND ACCORDINGLY:

Sta� should be well trained on the procedures

Sta� should be aware that there are severe consequences for not following a procedure, except in the case of a bona-�de emergency.

When this policy is followed, operational mistakes are reduced and, when committed, are usually minor in nature. Each existing procedure will be individually reviewed and edited for project-speci�c conditions and requirements. In addition, there will be a signi�cant number of new procedures developed that apply only to your project. Among these you will �nd procedures dictated by speci�c project permits and licenses, both for plant systems and for integrated normal and o�-normal operations.

The system is designed to be modular in nature and can be expanded over time as procedures are updated or new ones are created. It will be stored in Word and Corel Draw format, developed by our sta� in conjunction with our training contractor team and placed on the local network. The overall manual will be sponsored and administered by the Mobilization Manager until the end of our engagement.

At that point, overall sponsorship will be transferred to one of the permanent plant team members, with each individual procedure having its own designated sponsor. This approach makes the procedures a living document, readily available for use by everyone. Energy Experts Now will deliver the procedures manuals in the language of your choosing. Our copyrighted format is simple, clear, concise and easy to use by the �eld operators. You won’t get large, unwieldy “stay on the shelf” operating procedures from us.

Although EEN will operate your facility under any type of O&M agreement, you want us to suggest a win-win approach. We call this the “FFCP” or “Fixed Fee Cost Plus” O&M agreement.

Why? Well, have a look at this typical alternative: in an “all included” O&M o�er such as normally provided by the original equipment manufacturers (OEM) there usually is a hefty �xed fee, a large bonus for the operator structured so they always get this payment and an insigni�cant penalty in case they mess things up. We call this type of contract the “AFMA” or the “All for Me Agreement”. Good for the provider and not so good for the owner of the facility in most cases.

The statement “we cover all your risks” may not be accurate and the all-inclusive o�er, in�ated in case an incident should take place, thus increasing your costs. Liability is normally limited to maybe $50,000 per incident so you end up paying for “liabilities” should something happen, or not.

Moreover, these types of agreements set up a scenario that could allow your assets to deteriorate and your production to decrease. Why? Having a �xed cost to operate within, such provider could be motivated to scrimp and save on parts and maintenance to increase his pro�ts. That’s contrary to the goals of the owner who needs a well maintained asset that will last 20 years or more to generate pro�ts.

In EEN’s opinion, our job is not to “operate” your plant. Our job is to maintain your plants at peak e�ectiveness for their planned useful life.

7. FIXED FEE COST PLUS (FFCP) AGREEMENT

The Owner’s and the O&M operator’s interests are aligned

Our FFCP agreement is a very simple, open-book agreement with all costs being a pass through.

EEN proposes a �xed operating fee for its management services depending on plant size, location, etc.

EEN develops an O&M budget each year for the �xed, variable and labor costs that is approved by the owner.

EEN manages within that budget +/-10% with a bonus-penalty arrangement agreed with the owner. Usually this involves a heat rate bonus-penalty scheme in order to encourage controlling fuel costs.

In all cases the bonus is aligned with both the owner’s and the operator’s interests so both parties can share in the pro�ts.

We will never suggest getting into a situation where the O&M provider would make money and the owner not share in those bene�ts

The facility owner advances three months O&M funds which are reconciled each quarter. As EEN does not normally use its funds there are no costs of money charges.

The owner covers the EEN team under its blanket insurance policies, again saving money —the owner has to have insurance regardless.

EEN performs all O&M services under the agreement.

What It Means to be responsible

Surprisingly, some companies invest millions of dollars in equipment and then when it comes to training and proper operational procedures we see resistance from �nancially-motivated management to invest in these vital areas. Usually, the argument is “training costs too much”.

We say: “The operator has his hand in the owner’s pocket”. Training costs are hard to quantify but what are the costs of not training? One mistake by a member of your O&M crew can cause hundreds of thousands, even millions, of dollars in damages and lost income. When EEN trains the plant sta�, all of the personnel is trained, cross-trained, tested and quali�ed before being allowed to operate your machinery. That said, we highly recommend our proprietary O&M Sta� Training Program as well as our Computerized Maintenance Management System (CMMS).

The �rst few days after the new Team Members are on site o�ers a window of opportunity to set a positive culture within the organization. Perhaps the greatest success that we have achieved in the organizations we've mobilized to date has been in learning how to use this window in order to make each of the new Team Members believe and understand that they have just started a very special period of growth in their professional careers, regardless of if we are taking over an existing facility or a newly-built plant. We change attitudes and build future leaders.

We start with all of the normal administrative processes of getting the team on the payroll and signed up for bene�ts and insurance programs. Getting paid is priority for most folks so we are sure to take care of the basic needs �rst.

That is followed by an introduction to project safety rules and then a short plant tour. We then begin an intensive indoctrination and training program aimed toward letting them know that we have very high expectations of them, both as individuals and as a team.

SUBJECTS COVERED INCLUDE: (VARIES DEPENDING ON TYPE OF FACILITY)

Our Project Director and Plant Mobilization/Transition Manager will have organized the schedule of training before we begin the transition. Our historically proven screening selecting and testing process ensures only the best technical sta� gets hired for your plant. As a matter of policy, we only work with what we de�ne as A-level and B-level players. Anyone considering a C or D level is promptly removed. “The Best of the Best” may be a bit of a cliché, but it is what we strive for in our sta�.

9. O&M MOBILIZATION AND PROCEDURES

Our Systems Expert© Program reduces costs

O&M Mobilization is a 3 to 4 month process. One month prior to commissioning works, the owner or O&M Company should have his sta� on site to be ready for the training program. Once we �nish the training, the O&M sta� would assist our engineers in the commissioning for the hands-on training.

Once the plant is ready for commercial operation, we begin the implementation of our Systems Expert© Program, which takes 6 months to complete and can be followed up by the plant management without requiring EEN on site all of this time, thus reducing costs.EEN will be pleased to send you a full description of the works involved in the training and procedures upon request.

Energy Experts Now o�ers total care, custody and control of the clients’ plant facilities or other industrial facilities. The scope includes pre mobilization, sta�ng, O&M management, operations, maintenance and procurement, on a continual basis.

The scope of the agreement will include the prime movers, electric generators all balance of plant systems, including fuel receiving, fuel monitoring and lube oil analysis, storage and transfer of both, water handling, safety compliance & environmental monitoring, and waste management from the fuel receiving station to the delivery point of the electrical power to the o�-taker.

When we take on the responsibility for mobilization and management of a project’s operating entity, we do not think of ourselves as contractors that have simply been engaged to provide a list of deliverable products and a number of man-hours over a speci�c period of time. Rather, we think of ourselves as partners, joining our client's organization as an integral part of their team, bringing our expert skills and experience in whole-hearted support of the project. Most important, we take responsibility for doing this safely and with environmental awareness.

We bring a clear vision that has consistently resulted in reliable, pro�table plants and e�ective O&M organizations for our clients. Completion of sta�ng and total management of the facility operations and maintenance, including storage and care of all owner assets; Plant sta� can be the owners sta�, trained, administered and managed by us if so desired.

Management fuel receiving, theft control, analysis, treating, storage and transfer (less fuel analysis laboratory expenses.)

A plan for Thermal Imaging of all power plant electrical components and electrical systems, vibration analysis and other predictive maintenance tools.

Implementation of USA standard operator quali�cation program that includes, but is not limited to, technical skills training, systems expert training, operator quali�cation cards, and extensive testing to ensure the personnel are always quali�ed to operate the facility safely and e�ciently.

Provision and management of a detailed Annual Operating Plan covering the annual activities during commercial operation, including realistic but aggressive management goals and plans to accomplish them.

We know that it is “all about cost” and in many cases fuel can be 80 % of the O&M costs. Accordingly, we implement fuel-saving programs in every plant.

As we are not an OEM we are not tied to high margin-high cost OEM parts and services. We shop around for you and source the best parts in market, in many cases the same part as the OEM and sometimes better quality, and always at lower costs. Depending on the technology, we may have many of the service sta� in house for your facility. We strive to reduce your operating costs.

12. PURCHASING USED EQUIPMENT

We have direct access to the largest inventories of recycled power equipment

Thank you for allowing us a few moments of your time so you can better understand the used power equipment market. It is a “�rst come-�rst served” market. A plant o�ered to you today, may not be available tomorrow if a deposit is not placed. There are literally hundreds of brokers so when a piece of equipment is listed for sale by an owner there can be dozens of brokers trying to sell the same equipment with each one trying to take a cut and not adding much, if any, value.

In our case, on the contrary, we are proud to be associated with Belyea Power, a reputable used equipment supplier for over 100 years.

We stock one of the largest inventories of recycled electrical power equipment in the US. Our inventory includes Transformers, Circuit Breakers, Turbines & Generators, Switchgear, Switches, Relays and Metering Equipment, Complete Substations, Motor Starters, Boilers and Miscellaneous. The Belyea team has over 250 combined years of electrical machinery experience, with several engineers on sta� to assist in developing an electrical power system to meet the needs of our customers.

PHASE I - INITIAL INSPECTION AND TESTING

You should never buy any signi�cant equipment “sight unseen”. No matter how many maintenance reports, operating records etc. are available we highly recommend an onsite inspection by one of our engineers. We can then determine exactly what repairs/modi�cations are needed and the actual condition of the machine. Only then will you know if it is a bargain or if you are buying a large headache that will eat a hole in your pocketbook. Great deals and good pro�ts can be made relocating plants and equipment but it has to be done right by people who know.

If electrical equipment is involved, we usually bring in a 3rd party specialty electrical contractor to inspect and test the generator. These tests are vital to ensure the generator, transformers and motors are in good condition.

When EEN does the initial inspection we can decide what needs to be done, where to do it and the cost. At that point, we would begin price negotiations with the owner on your behalf. If the unit is in excellent shape, you may decide to pay near the asking price; if signi�cant repairs are needed, our reports serve as leverage to reduce the price the owner is requesting.

During this period on site, we meet with dismantlers, packers and shippers to determine the exact costs to get the unit sent to the nearest port. Careful selection is required here to prevent problems and delays when you reinstall the unit.

Depending on the complexity of the plant, it is sometimes necessary to perform “dismantling engineering” so that every piece is marked to ensure easy reassembly when the unit is reinstalled.

PHASE II – ON SITE SUPERVISION AND REASSEMBLY

If you are having another company install the equipment, EEN would have the same engineer who supervised the disassembly be assigned to the project to guide the reassembly contractors during the reinstallation of the unit.

In addition, to ensure a quality project, we can supply electrical engineers and technicians to supervise installation of cables, electrical equipment and controls.

PHASE III – COMMISSIONING

Approximately one month before the unit is to be on line, EEN would either use the existing sta� on site, depending on their background and quali�cations, or send additional commissioning engineers to assist the personnel overseeing reassembly to do all system checkouts and place the unit in service.

Rest assured that when you use EEN and our partners for the complete EPC work or as owners engineers, you are guaranteed a quality job by top-notch professionals. As most of our sta� speaks Spanish or Portuguese as well as English, we o�er a unique advantage for projects in Latin America and Africa.
