1. The Customer shall pay PVD Training for the Work, as
specified in this. Payment will be made to PVD Trainings bank
account as stated on the invoice unless otherwise specified in this
agreement. Prices quote are exclusive of VAT or any if any/ Khch

2. Payment shall be made within 15 days since the date invoice
received by customer. For late payment interest will be charged at
rate of 1.5% per month or part thereof/ Chi ph c thanh ton trong
vng 15 ngy k t ngy qu khch hng nhn c ha n. Mi vic chi tr khng ng hn
u phi chu mc li xut 1.5% mt thng hoc tng ng.

4. We appreciate that occasionally difficulties will arise and
result in nominated staff being unable to attend a training course;
therefore cancellations will only be accepted without charge, if
notice of cancellation is received in writing (fax acceptable) at
least 15 working days (2 weeks) prior to the course commencement
date. Any cancellations received after this date will be subjected

5. The Customer shall be entitled to request additional work
(hereinafter reffered to as variations) under this Agreement/ Khch

6. All variation requests shall be in writing, clearly defining
the variation required, including but not limited to remuneration

HEALTH, SAFETY & ENVIRONMENT (HSE)/ An ton, sc khe v mi

7. PVD Training shall inform the Customer of any real or
potential HSE hazard which may be relevant to, involved or
introduced in the work and/ or any necessary safety measures
required for the Work, prior to or during the performance of the

8. Whenever PVD Training undertakes work on site, the Customer
shall provide all adequate safety measures to ensure working
environment that is safety and in accordance with all relevant

9. The PVD Training employee has the right to refuse to carry
out an activity, when the safety, according to his/her own

10. Any customer requirements specifying participation in
screening programs shall be communicated to the PVD Training
employee prior to commencement of work/ Bt c yu cu no ca khch hng v

LAW/ iu khon v lut p dng
11. This is Agreement shall be governed and construed in
accordance with the law of Viet Nam/ Cc iu khon v iu kin ny c son
tho ph hp vi lut php Vit Nam.
12. Any dispute arising in relation to or as a consequence of
this Agreement, which cannot be settled amicably through
negotiations between the party, shall be subject to the courts of
Baria Vung Tau, SR. Vietnam./ Mi tranh chp lin quan n cc iu khon v

LIABILITY AND INDEMNITIES/ Bo m v hn ch trch nhim php l
13. PVD Training shall indemnify, indemnify, defend, and hold
harmless the Customer from and against any all losses, claims and
liabilities related to or arising out of this Agreement as a result
of/ PVD Training phi m bo, bo v v trnh cho khch hng khi nhng mt mt,
n b, trch nhim php l lin quan hoc nm ngoi iu khon v iu kin ny xy ra
do bi:
a) Death of or personal injury to any employees, representatives
or subcontractor of PVD Training or its affiliates/ S mt mt v tnh
mng hoc gy thng tch cho ngi lao ng, cc i din hoc cc nh thu ph ca
PVD Training.
b) The loss of or damage to property or employees,
representatives or subcontractors of PVD Training or its
affiliates/ S mt mt hoc tn hi n ti sn hoc ngi lao ng, cc i din hoc
cc nh thu ph ca PVD Training hay cc chi nhnh trc thuc.
c) All consequential, special or incidental costs, losses or
damages (whether direct or indirect) suffered by PVD Training/ Tt c
cc chi ph tn tht hoc thit hi pht sinh do kt qu ca cc hnh ng trn (
trc tip hoc gin tip) s do PVD Training chu.
14. The Customer shall indemnify, defend and harmless PVD
Training from and against any and all losses, claims and
liabilities related to or arising out this Agreement as a result

kin trong tha thun ny l hu qu ca:

15. Each part shall be responsible for and accept full liability
for its own acts or omissions leading to the loss of or damage to
