QUALITY ASSURANCE DOCUMENTATION STRUCTUREThe Quality Assurance documentation is structured as shown here below:

LEVEL 1: QUALITY ASSURANCE MANUALThis is the Divisional Quality Assurance manual which describes the Bleneson Services Nigerial Limited, quality policy, the Quality Assurance program, the head office and project organizations, the Quality Assurance criteria applied to each phase of the work.

LEVEL 2: PROJECT QUALITY ASSURANCE PLANScope of this plan is to identify all quality —related activities of the specific project. Such plan shall describe the project organization, the sequence of planned activities, the list applicable procedures and instructions, the records to be produced. The project QA plan is to be prepared by the appointed Project QA Manager and approved by the Project Manager before issuing for Client’s approval.

As part of the ten year vision of the group, BSNL trading also has a mandate to develop the following businesses within the downstream area;

Establish three 50,000 metric tonnes storage facilities, in at least three regions within Nigeria, in order to facilitate our product distribution efforts. These storage facilities will further ensure adequate penetration of various markets, from the southern region of the country, all the way to the North. Talks have commenced internally, towards the fulfillment of the first facility (50,000 MT) within the south East region, with a target to commission the project by Q3, 2018

Setting up of a modular refinery (10,000-25,000 bpd) Focus on serving the Nigerian market and neighboring countries

Develop and roll-out a fully functional lube plant

Set up a trading company offshore (in Geneva). Within the BSNL Trading division, focused on physical and paper trades of various refined petroleum products

Establish at least 185 filling stations (5 in each state) in Nigeria, within the next 10 years.

DOWNSTREAM

BSNL Logistic is a division within The Company, earmarked for land and marine transportation and logistical support of BSNL Trading in the areas of onshore and marine distribution of refined products via third party engagements and collaboration.

BSNL Logistics operates via two divisions:

In Nigeria, the industry is gradually making a shift in a new direction. Industry experts project that the importation of petroleum products would be cut by 50%, by 2019.

BSNL Trading is positioned to exploit this gap with a focus on commissioning a mid –sized modular petrochemical/oil refinery by 2018.

We are positioned to exploit this gap by making a strategic investment in a joint venture effort to establish modular refineries in Nigeria with a 10,000bpd refining capacity, our strategic objective in this direction is to commence the

feasibility for this project with the intention of attaining financial closure by Q3, 2017.Consequently, we do envisage that ground breaking for the refinery will commence by Q2, 2018. When fully operational, it is intended that the refiner, in Nigeria, will be the first of a string of modular refineries to be established across Africa, with particular focus on the sub-sahara. Our strategic plan is to establish multiple sources of petroleum products, to make energy solution readily available for Africa through our trading activities.

BSNL LOGISTICS DIVISION (ONSHORE TRANSPORTATION AND LOGISTICS DIVISION)

Onshore/marine transportation and logistics divisions.

As the former connotes, our onshore logistics division is focused on providing logistical support to BSNL Trading in the distribution (via trucking) of our refined products to our various clients across Nigeria.

MIDSTREAMBSNL Gas DivisionBSNL Gas is a division of Bleneson Services Nigerial Limited which focuses on the processing, supply and delivery of gas products to consumers. BSNL Gas operates in the downstream and midstream sectors of the Nigerian Oil and Gas industry.

Gas initiatives:BSNL Gas is currently putting measures in place, to drive an LNG and CNG Solution initiative.

BSNL Gas will drive a virtual pipeline solution, modeled after harnessing gas from a gas source (gas processing plant or pipeline from a gas field), which will then be liquefied/compressed into LNG and CNG and trucked in specialized cascade containers.

The rollout plan will commence with the site build of a Liquefaction Plant, to convert processed gas to LNG, which will then be gasified at the consumer’s end. The LNG rollout will promptly be followed by a CNG model to cover areas with shorter distances (from the gas source). The overarching objective is to utilize both models in delivering our strategic Gas-to-Power goals

MIDSTREAMBSNL Logistics Division (Marine Transportation and Logistics Division)

We are soon to commence acquisition of small to mid-sized barges to support our product trading activities – STS Transshipment and Marine Deliverables.

Within the Marine Transportation & Logistical Division of BSNL Logistics, we strive to provide bridging and transportation support, which is marine focused.

In this regard, BSNL Logistics is being primed to focus on STS Transshipments and the Marine supply/delivery of products to marine storage locations and platforms.

BSNL Logistics is also currently exploring a marine logistics business model, which entails the movement of containers, equipment and machinery as well as personnel for clients. When fully functional, BSNL Logistics activities will also explore provision of Container Port Feeder services, within Nigeria and neighbouring West African countries.

UPSTREAMIn the upstream sector, Bleneson Services Nigerial Limited is positioned to participate in joint venture exploration and production of crude oil and natural gas, acquisitions of marginal oil fields and the development of oil assets within the African region, under well-structured farm-in arrangements; through the Investment Arm- BSNL Exploration & Production and the Operational Arm – BSNL Conduit Exploration & Production.

BSNL Exploration & Production DivisionBSNL Exploration & Production division serves as the E&P investment arm with a focus on exploring investment opportunities in the upstream sector of the Nigerian and African Oil and Gas industry for The Company. Hydrocarbon Petrochemical Limited, as a fast growing indigenous oil and gas company in the downstream and upstream sectors, utilizes the BSNL Exploration and Production vehicle to explore investment opportunities in production and exploration, farm-ins, as well as acquisition and development of oil fields.

UPSTREAMBSNLConduit Exploration Production Division BSNLConduit Exploration (JV) Division was birthed to develop participation in the Exploration and Production sub-sector of the global economy. It is positioned to explore the upstream space and become a leading player in the oil and gas market, first, in Africa.

With a solid team of seasoned professionals, holding a collective average experience of over 30 years in the oil and gas industry in areas of project management, exploration and production, community and government relations, technical consultancy services, and the sector, BSNLConduit is set to explore joint venture and collaborate projects locally and internationally.

BSNLConduit is today, positioned to pursue the following E&P activities:

Marginal Oil Field Acquisitions Nigerian Marginal Field Assets (MFA) Concessions: In keeping with the Nigerian Local Content Law, the local entity, BSNLConduit E&P is building the requisite technical and financial capacity that would ensure that it is poised to undertake operatorship of MFAs, within Nigeria.

UPSTREAMOur objective here, as a local company, is to see that we provide the local know-how; funding of the MFA signature bonus; funding of the bidding process and statutory fees; funding of the acquisition of the field data required for the field assessment; as well as a local technical manpower and logistics required. In collaboration with well-selected foreign technical partners, we intend to gradually build operating capacity (through technical transfer arrangements), within BSNLConduit, which would ensure that we are well aligned to independently operate fields, in the not so distant future.

In addition, BSNLConduit is provided either via equity, Mezzanine financing, or a mix of both. Our strategy here is to provide a substancial portion (20% - 30%) of the initial equity cash calls (cash to emanate from other business activities within the group), for fields secured by BSNLConduit and then support this equity by leveraging on debt (Reserve Base Lending arrangements) with foreign investment banks/institutional lenders.

Farm-Ins and Acquisitions of Nigerian MFAs and Foreign Oil Field AssetsIn the context of Nigeria, we would be looking acquire a substantial stake of an existing MFA, currently owned or operated by a local Nigerian company. In Nigeria today, such opportunities currently exist amongst marginal fields’ concession holders, who were awarded MFAs, in the last marginal fields Concession Round, carried out by the Nigerian government

in year 2003. BSNLConduit is currently evaluating potential investments in a number of these MFAs.

PSC Arrangements; Local and Foreign Assets Local Assets (PSC):It is often the practice, for IOCs to opt not to divest certain marginal fields within their asset portfolio and may instead; allow a local company to develop the field, under agreed PSC terms, whilst operatorship of the field is still retained by the IOC.

In such a case, the Nigerian company may not carry the asset in its books, but will be 100% responsible for developing/producing the asset and will enjoy the upside of a revenue share (alongside the IOC) from proceeds from the sale of crude. FPConduit currently has a model and plan for exploring this option.

Foreign Assets (PSC):Like in the case of the local assets, BSNLConduit is poised to collaborate with foreign local entities (within the Sub-Saharan region) in the capacity of Technical and/or Financial partner to such entities, in well-defined PSC arrangements.

Our requirement would be for the local company to have considerable local knowledge of the industry and terrain, as well as strong business and network affiliations, within the country where the opportunity resides.

UPSTREAMOur preferred model would be to work closely as a collective to form f joint venture entity/ consortium with a carefully selected local entity, well placed within the target country to secure an asset(s). Typically, the responsibility of the local company would be handle the business development and logistical aspects of the bidding/ award process whilst providing local intelligence and know-how to the JV/consortium, on a continuous basis.

We believe that such opportunities represent an excellent window for mid-sized E&P companies, such as ours. The case for collaboration with a local entity is often bolstered by the fact the government of the target country will often favor indigenous companies, which are able to demonstrate technical and financial partnership arrangements with reputable E&P players. We envisage that some of the benefits of partnering with a local partner may include:

Waivers on CSR for the locals Waiver of Signature Bonus Goodwill in bid selection/award, as such bid rounds/awards, are often particularly tailored to favor the locals Possible tax exemption benefits. Vantage positioning for the subsequent concession rounds in the target country.

To recover our initial investment, BSNLconduit would usually execute a PSC or TFSA (Technical and Financial Support Agreement) with the local Company geared towards the recovery of our investment from cost oil. This arrangement would also provide for the split ratio (between BSNLConduit and the Local Company) of Profit Oil.

…the overriding vision of BSNLConduit, within the Upstream E&P space, is to leverage on its strengths as a company and the right partnerships (WITH POTENTIAL FOREIGN TECHNICAL E&P players as well as indigenous local players in target countries), to build capacity within its operating arm (BSNLConduit) and its local partners in the Sub-Sahara.

By this model, we plan to significantly expand our E&P activities, across the Sub-Sahara, with core focus on countries such as Nigeria, Ghana, Niger and Angola. Our particular leverage is our ability to raise equity within our group and to lean on the group’s various business activities, to access RBLs from finance institutions, for funding our E&P OPPORTUNITIES. Along with financing. We also bring to the table our extensive local and international knowledge of the industry.

All managers and line supervisors must understand their specific responsibilities for health, safety and environmental issues within the organization by ensuring that there are adequate health and safety facilities available and that the relevant safety requirements and codes of practice are known and adhered to at all times by their employees. WASTE MANAGEMENT POLICYWastes constitute environmental nuisance if not properly collected, handled and disposed. Wastes shall therefore be collected, handled and dispose off in an environmentally safe manner so as not to cause injury or damage to plants, animals and the environment (the soil, water and air) industrial wastes and kitchen wastes shall be collected in bins marked accordingly in remote locations, biodegradable wastes shall be disposed off in pits backfilled and pits backfilled. Non-degradable and non-combustible wastes shall be collected, carted and conveyed for disposal at approved disposal sites.

In all however, proper precautions shall be taken to avoid discharge of pollutants to air, land and water dumping of waste into creeks, rivers and other water course is not allowed.

SECURITY POLICYBleneson Services Nigeria Limited has it as a policy and function to manage security affairs as an integral part of its overall cashes programme and indeed part of the company’s business so as to minimize the number of security related incidents for all staff, clients and third party personnel involved in her operations.

To ensure the implementation of this policy, the Company shall engage adequate number of trained security personnel. the company shall engage a chief security officer as middle management personnel who would organize, co-ordinate and implement all the company’s security ideals and programmes. All incidents shall be reported to the client and the police.

At project locations, local security men shall be used to protect the company’s equipment and facilities in a bid to forge good rapport between the company and host community.Essential work gadgets such as mobile radios, torches, uniforms etc. shall be provided to enhance their services.

Security policy must be reviewed in site/management cashes meetings. Security training/drills shall be conducted for increased security awareness.

The Chief security officer (reports to the cashes manager) shall be the focal point and act in concert with relevant departments in the realization of set security objectives and targets. He shall develop database for enhanced management of security.

ENVIRONMENTAL POLICYIt is the responsibility of each Bleneson Services Nigeria Limited personnel to perform his work in an environmentally sound manner. It is the policy of Bleneson Services Nigeria Limited to promote and encourage awareness of and to protect and preserve the environment. In implementing this policy, staff are encouraged to pay appropriate regards to the environment by acting to preserve air, water, soil, plant and animal eyes from adverse effects of their actions or those of the subcontractors’ to minimize any nuisance, which may arise from such actions.

All wastes generated when executing any project shall be collected, handled, treated and disposed in such a way as not to have impact on the environment. Regular environmental assessment shall be conducted by our environmental quality control consultants.

At the conclusion of any activity, our ultimate goal is to have left the work site in a condition as near as possible to the state in which it is found. Clean-up gangs shall remove all debris to prevent injuries to lives and preserve the order of the habitat.

POLICY ON THE USE OF SEAT BELTSeat belts are provided for the safety of drivers and/or passengers in all vehicles. It is mandatory for all employees to put on seat belts at all times while on company business.

It is our policy that:No seat belt, No entry, No take off.

To ensure compliance with this policy/directive, all drivers should prior to take off have their seat belts fastened at all times and remind their passengers to do same by announcing: fasten your seat belts.

The security officers at both the site and company or other vehicles entering or leaving the premises to ensure all occupants comply with this directive. The security officers should bar any vehicle from leaving or entering the premises until all occupants of the vehicle have complied with the directive.

While in the premises or work sites, it is the responsibility of the safety officer, foreman, supervisor and indeed any member of line management present to monitor and ensure that every one in company owned vehicles fasten his/her seat belts. Appropriate disciplinary action would be taken against any staff that violates this policy/directive.

EQUIPMENTS MAINTENANCE POLICYAll equipment must be regularly maintained. All unserviceable equipment shall be locked out and tagged as thus.

The objective of such routine preventive maintenance is to reduce equipment downtime and lost time incidents resulting from lack of maintenance culture.

Routine maintenance and minor repairs shall be undertaken at the work site while serious maintenance of completely broken down equipment shall be done at the base.

Turn around maintenance shall be planned and executed once a year. The aim being to put all equipment in serviceable order for hitches free operation/use.

It is mandatory that equipment operators report immediately any break down or faults observed in their equipment. Late reportage of faults shall be met with appropriate reprisals.

Toolbox meetings on proposed equipment maintenance MUST precede the maintenance work planned for each day

All maintenance crew must be trained and only experienced personnel shall be job place and authorized to carry out maintenance of company equipment.

Quality Assurance ProgramThe aim of the QA program for every project is to give confidence to Bleneson Services Nigeria Limited and client that contract codes, specifications and such quality requirements are achieved.

The QA program is designed to meet requirements of Quality Assurance standards and any additional requirement of the contracts.

The QA program covers all project activities affecting quality (namely: engineering, procurement, inspection and testing, site construction and installation) together with relevant documentation.

The activities covered by the QA program are carried out within a system where organizational structures, functional responsibilities, interfaces, reporting and communications lines are clearly defined. Furthermore such activities are documented through adequate procedures.

All personnel are responsible for the quality of the work that they carry out. For each project the Project Manager is responsible for responsible for implementation of the contractual QA program.

The quality assurance organization verifies the implementation of the QA program and evaluates its adequacy to realize established quality objectives. Whenever necessary corrective actions are requested to prevent and correct non conformances.

The scope of quality assurance activities for construction projects is mainly to:

CONTROL OF QUALITY ASSURANCE MANUALThe divisional Quality Assurance Manager is responsible for the preparation, maintenance and updating of the Quality Assurance Manual.

The Quality Assurance manual is divided in different sections, each of them separately revisable.

The index of the sections with the latest revisions applied is contained in the Quality Assurance Manual.

The original of the Quality Assurance manual is filed within the Divisional Quality assurance Dept. together with all other relevant quality Assurance documentation.

The divisional quality assurance manual is subject to the Divisional Management approval prior to its issue and distribution.

The Quality Assurance Manual shall be approved for each specified project by the Client if required.

Each copy of the Divisional Quality assurance manual is numbered and distributed as a controlled copy, assigned to individuals.

A distribution register shall be kept updated by the Quality Assurance department of the Division when changes occur.

Any revision or changes to the quality assurance manual sections for any reason, shall be notified to the assignees of each controlled copy

The obsolete sections shall be promptly removed and substituted with the updated ones.

Controlled copies of the Divisional Quality Assurance Manual are also distributed to client for information or review as applicable, and kept updated for the duration of the project.

FOREIGN CURRENCIESTransactions arising in foreign currencies are recorded in Naira at the rates of exchange ruling at the time they arise. Assets and Liabilities existing in foreign currencies are converted to Naira at the foreign exchange rate ruling at the balance sheet date .Gains and losses arising there from are included in the profit and loss account.

PROVISIONSProvision is recognized where the company has a present obligation whether legal or constructive as a result of a past event for which it is probable that an outflow of resources embodying economic benefits will be required to settle the obligation and a reliable estimate can be made of the amount of the obligation in accordance with the statement of Accounting Standard SAS 23 ‘’Provisions, Contingent Liabilities & Contingent Assets’’.

STATEMENT OF DIRECTORS’ RESPONSIBILITIES The Directors are required by the companies and allied matters Act, 1990 to prepare financial statements which give a true and fair view of the state of affairs of The Company as at the end of the financial year and of the profit/loss for the year. They are also to ensure that appropriate accounting policies and applicable accounting standards have been consistently applied and supported by reasonable estimates and prudent judgments.

They ensure that The Company keeps accounting records, which disclose with reasonable accuracy the financial position of The Company and comply with relevant legislation. They are also to take reasonable steps to safeguard The Company’s assets, prevent and detect fraud and other irregularities.
