The bid should be from actual manufacturers. The bids from sole selling

agents/authorized distributors/authorized dealers/authorized supply houses can also

be considered, provided such bids are accompanied with back-up authority letter from

the concerned manufacturer, who authorized them to market their product, provided

further such an authority letter is valid at the time of bidding. Offers without back-up

authority from manufacturers will not be considered.

The bid prepared by the bidder and all correspondence and documents relating to the

bid exchanged by the Bidder and the Purchaser, shall be written in English language.

Supporting documents and printed literature furnished by the Bidder may be in another

language provided, they are accompanied by an accurate translation of the relevant

passages in English, in which case, for purposes of interpretation of the bid, the

translation shall prevail.

The bidders are to quote firm prices. They may bid in any currency (including Indian

Rupee). Payment will be made accordingly.

1. Brief history of organization, along with organization chart, mentioning the

name, designation & tel. nos. of the contact persons in your company holding

all key positions.

2. Client list, with copies Contracts of your Top 5 clients.

3. Banker’s name and your Company’s annual audited report/ Balance Sheet for

last 2 years.

4. The details of Machinery and Equipment available with you, which are in

working condition are to be furnished.

5. No over writing or corrections or application of correction fluid is allowed.

Wherever, correction is there, it has to be duly authenticated by signature of

authorized person.

6. The offer with all the above mentioned requirements, price structure form duly

filled should reach us on or before 18.07.2019 along with Annexure I & IV.

BALCO will not be responsible and will not be in a position to entertain for any

delays on account of postal delays, loss of documents, etc.

1. We hereby undertake to perform the scope of work as defined in the condition of Bharat Aluminium Co. Ltd., Tender ref. no. BALCO/__________ dated ________, at the prices and within the period in the attached schedules & in conformity with all the conditions are included therein.

2. This offer is valid for a minimum period of 60 days from the date of EOI published by us.

3. We agree that any contract placed as result of this offer will be in accordance with the terms & conditions in the said contract. We declare that any terms or conditions of the contract or any general reservations which may be printed on any correspondence of documents emanating from us in connection with tender shall not form part of any resulting contract unless specifically agreed to by BALCO and included in this contract.

ANNEXURE II

SCOPE OF THE SUPPLY CONTRACT:

1. MANUFACTURING & SUPPLY OF ALLOYING ELEMENTS FOR MANUFACTURE OF ALUMINIUM ALLOYS: This includes the manufacturing and supply of Alloying Elements as per the specifications attached as Annexure III. The Alloying Elements for manufacture of Aluminium Alloys, shall be manufactured and tested as per the standard manufacturing procedures and shall meet the typical values of all the guaranteed parameters. The values for the guaranteed parameters are mentioned in Annexure III.

2. PAYMENT TERMS: To be mutually discussed and agreed upon before ordering.

3. CONTRACT PRICE: Contract Price should be for the scope of supply as detailed in Annexure II on CIF, Visakhapatnam (Vizag) Seaport, India Basis. However, Buyer shall bear all the taxes and duties as applicable in India. The terms CIF shall be interpreted as per ICC Incoterms 2010. For indigenous Suppliers, it shall be on FOR Balco Stores, Korba, India.

4. PACKING AND MARKING / DESPATCH INSTRUCTIONS

The Products shall be duly packed in Seaworthy and transport worthy packing; match marked and dispatched as per the best industrial practices. Supplier shall pack the products in a manner suitable for export to the tropical & humid climate region in accordance with internationally accepted practice and in such a manner so as to protect the material from moisture, rain, rust, corrosion and shock etc, damages and deterioration during multiple mode of transportation & also during storage at the site till the time of its use. The Supplier shall be hold responsible for damages due to improper packing. In case, damages occur to the Products during transit, internationally accepted practices in assessing the responsibility of the damages will apply.

5. STANDARDS AND INSPECTION

5.1 The Supplier shall, in accordance with the scope of Contract as specified in

Annexure II of this Contract carry out the selection of Products and manufacturing process. The inspection and test for the products shall be in accordance with Clause 5.2 and 5.3.

5.2 During the period of manufacturing, the Buyer will be entitled to send at its own cost, its personnel or any authorized inspection company on their behalf to


participate in the inspection, test, general assembly or pre-commission and the Supplier shall give its all-out and sincere co-operation, and shall try its best to offer the Buyer full support for visa application and reservation of local accommodation and transportation. After passing the inspection by the Buyer’s personnel or the said authorized inspector, the products may be packed and delivered. The related inspection expenses shall be borne by the buyer. The name of the buyer’s personnel or the authorized inspection company shall be communicated to the Supplier in due course of time.

5.3 In case, the Buyer finds the Product defective or non-conformed with the technical standards as specified in the contract, the Supplier shall, at his own expenses, take all possible means to rectify the problem in manufacturing process to certain the quality of product. After the defects are eliminated, the Supplier shall carry out the inspection and test again at his own expenses.

5.4 Certificate of quality and quantity shall be issued by the Supplier after the product meets the specifications as specified in the contract in two (2) copies accompanied by inspection report and test record. The two (2) sets shall be submitted to the Buyer’s representative. The inspection and test expenses of Product shall be borne by the Supplier. Based on such certificate, Supplier may obtain ÏNSPECTION CERTIFICATE/ INSPECTION WAIVER CERTIFICATE” from the Buyer. Such certificate shall be issued not later than 7 days of issue of quality and quantity from the Supplier.

5.5 The Supplier shall render the Buyer’s personnel or the authorized inspection company (“inspectors”) all necessary assistance and shall make available free of charge all necessary instruments and appliances and test beds and tools and other materials necessary for the performance of the inspection so as to enable the inspectors to work properly.

5.6 The carrying out of the inspection and testing by the inspectors of or deputed by the Buyer or any waiver thereof, shall in no manner relieve the Supplier from discharging any of his contractual obligations.

5.7 The Supplier undertakes that any deficiencies or defects resulting from his fault and discovered during the inspection and testing shall forthwith the Supplier prior to the agreed delivery, replace remedied at his cost.

The accurate and overall inspection, and testing shall be carried out on the products by the Supplier prior to the date of despatch of product from Supplier’s premises in the presence of the Buyer’s representative, otherwise the results will be regarded as invalid. A written thirty (30) days prior notice shall be given to the Buyer in advance for making necessary arrangements for the inspection. In case the Buyer, after receipt of the notice, expresses no objection to the said date and it fails to participate on the said date and also fails to notify the Supplier of an alternative date on or before the appointed date of inspection and testing,


the inspection and testing shall be carried out as scheduled and also the results shall be deemed as effective.

6. GUARANTEE

Supplier has guaranteed the delivery in due time, at contractual points, of Product in accordance with the technical specifications described in Annexure III. In case, the products are not in such accordance with the technical specifications described in Annexure III, the Supplier will replace the products free of charge.

7. EXECUTION

The Supplier hereby warrants to the Buyer that the Products has been designed and prepared in a manner so as to perform all its obligations under this contract: a) Using the skill, care and diligence to be expected of appropriately qualified

and experienced professional engineers and manufacturers b) In accordance with good modern engineering principles and practices of

International standard; c) Using only materials and goods which are of first quality d) So that the products shall be capable of being operated used in accordance

with the requirements of the Contract e) So that, the product shall comply with the provisions of all laws and norms

in effect in India. The Supplier will execute the whole Contract and all obligations under this contract including provision of free technical services during installation and after sale services shall be executed as per good industry practice and workmanship.

8. QUANTITY/ SHIPMENT:

Quantity to be delivered to BALCO is mentioned at Annexure III under Specifications. These are tentative annual requirements and may vary subject to production requirements . Shipment dates shall be between September’12 to August’13 and will be mutually discussed and agreed upon before contract finalisation.

9. TRANSIT INSURANCE:

The Supplier will be held responsible for defects, wrong or short supply and harm to the material caused due to defective packing. Insurance to be in account of the Supplier at his own cost. The Supplier will ensure all goods for transit risk from warehouse to warehouse and including 30 days storage risk at stores from the date of receipt of the material.

10. LIQUIDATED DAMAGES:


Timely shipment of Products is the essence of this Contract. In the event of Supplier’s failure to ship the Products within time schedule as specified in this contract, Buyer may recover from the Supplier, liquidated damages (not by way of penalty) @ 0.5% of the delayed shipment per week of delay or part thereof in each partial shipment with a maximum of 5% of the total contract value.

11. ARBITRATION:

Disputes and/or differences arising between the Buyer and the Supplier on matters within the scope of this Contract, under the provisions of this Contract shall be eligible for settlement through arbitration. The aggrieved party (Buyer/Supplier) shall forthwith give to the other party written NOTICE of referral of such dispute(s)/ difference(s) to a panel of arbitrators, one nomination each by Buyer and Supplier and joint nomination of a third arbitrator by the nominated arbitrators. The award of the arbitrators shall be final and binding on both the parties. All arbitration shall be referred in accordance with Indian Arbitration and Conciliation Act, 1996. The arbitration proceedings shall take place in Mumbai, India and shall be conducted in English language. The arbitration fee shall be borne by the losing party. Notwithstanding reference of any matter for arbitration, the parties shall continue to execute their obligations under the Contract in all respects except to the extent such execution itself is the subject matter of the arbitration.

12. LEGAL INTERPRETATION/ JURISDICTION

The contract shall be construed in accordance with and governed by the laws of India. In the event of any litigation, the court of Korba, Chattisgarh (India) shall have exclusive jurisdiction.
