1 Welcome LetterCroeso Thank you for your interest in joining the Board team at Barcud.This is an exciting time for us as we start our journey as a newly merged organisation, building on the history of Mid-Wales Housing Association, which was established in 1975, and Tai Ceredigion, a stock transfer asso-ciation which has recently celebrated its 10 year anniversary. Weareaco-operativeandcommunitybenefitsocietyregisteredwithchar-itable rules. As a Registered Social Landlord, we are regulated by Welsh Government. Our primary purpose is to provide social and affordablerented homes to those who need them.As an organisation we are rooted in the community, recognising the strengths that exist in the communities in which we work. 2 Background InformationAs a newly merged organisation, Barcud will have circa 4,000 homes and around 300 employees. Turnover will be approximately £25 million.

Barcud has three subsidiary companies each with their own Board of Management: Care & Repair Powys (providing advice and adaptations to older and disabled people), registered as a RSL, The Care Society (providing housing, homelessness and support services across Mid Wales) a registered charity, and EOM (a building maintenance company) registered as a company with Companies House.

Destination Statements- where we want to be in 2025As part of the Final Business Case for merger the Shadow Board agreed on the following Destination Statements as the strategic intentions of the combined business. It is important that theBarcudboard isfit forpurposeandnotonlyhasthe right skills and experience to govern and lead the organisation but also the knowledge and understanding of the communities it serves on a social, economic and cultural basis. 3 The Role of a Board MemberRole Profile and Person SpecificationPlease see Appendices 1 and 2 TermBoard Members are initially elected for a term of 3 years and subject to re-election can serve for a maximum term of nine years in accordance with Barcud’s Rules.Time commitment and additional dutiesBoard members will be expected to:• prepare for and attend board and committee meetings and the annual

business planning meeting • devote time to acquaint themselves with Barcud’s business (including

attending training and site visits)• take part in Task and Finish Groups and other working-groups from

time to timeOn average, our board members estimate they spend around 2 days per month on board business, including preparation or reading time. It is essential that all board members have an empathy for the Welsh language and culture. Board papers are provided in English, and other than for virtual meetings a translation service is available in every meeting to allow members to use the language of their choice. Board members will be expected to serve on at least one board committee and/orsubsidiarybutthisspecificrecruitmentprocesswillnotundertakethis task. Remuneration and benefitsBecoming a Board Member presents the chance to contribute positively to the organisation and its customers.Currently this an unpaid position but we will reimburse all reasonable expenses. Barcud Board Member - Role Profile Overall purpose To provide board member leadership to Barcud by contributing experience, expertise, and insight to determine strategy and to exercise direction and control in the interests of Barcud’s customers and the wider community; to balance Barcud’s social purpose with our business activities.

Overall role To play an active leadership and governance role within Barcud setting the strategic direction of the organisation to support the overall purpose ofmakingadifferencetopeople’s livesanddoingsoinawaywhichisconsistent with the Organisation’s values, ensuring that risk is managed and obligations to customers, regulators and stakeholders are understood and met.

Key accountabilities The Board has ultimate responsibility for the governance of Barcud. The Board’s central role is to direct and control Barcud’s work: to determine strategic direction and policies; and to establish and oversee control and risk management frameworks that will ensure that Barcud achieves its aims and objectives. All board members share responsibility for its decisions. Each board member must act only in the interests of Barcud; board members should put the interests of the organisation before their own interests and should not act on behalf of any constituency or interest group. Every board member is responsible for establishing strong working relationships within and between the Board, and with the Chief Executive and senior executivestaff.

Responsibility lines Individual board members are responsible to the Chair for the achieve-ment of the objectives of Barcud. The Chair will ensure the efficientconduct of the Board’s business; that all board members are given the opportunity to express their views; that the Board makes proper and appropriatearrangementsforitsowneffectivenessappraisalandthatofboard members; and for a succession plan for board members.
