General Terms of Business (AGB) for EventsStatus 01.10.2011

§ 1 Legal Scope1.1 The following terms of business apply to the temporary leasing of event, conference and banquet rooms, as well as business suites of the hotel for the hosting of events of all kinds such as conferences, banquets, seminars, meetings and other events, as well as to all additional related services and purveyances on the part of the hotel. 1.2 Stipulated room-rental charges apply exclusively to the provision of said rooms. Technical equipment as well as energy consumption are not included therein.1.3 Divergent provisions, also in so far as they are contained in the General Terms of Business of the contracting party, have no applicability, other than if said provisions have been expressly accepted by AUSTRIA Hotels in writing.1.4 Special agreements must be concluded in writing. In this instance, the General Terms of Business have subsidiary applicability, in so far as nothing else has been stipulated or the special agreements do not contradict the General Terms of Business.

§ 2 Conclusion of the Contract2.1 The contract is concluded upon the written acceptance by the orderer of the offer issued by the hotel. The hotel has the option of confirming the booking in text form. If the orderer concludes the contract in the name of a third-party, then it is not the orderer, but rather the third-party who is the contracting party with AUSTRIA Hotels. The orderer shall notify AUSTRIA Hotels of this fact in timely fashion and prior to conclusion of the contract, shall send or hand over a written authorization demonstrating concrete proxy powers to enter into said contract, and shall provide AUSTRIA Hotels with the name and address of the actual contractual party.2.2 If the contract is concluded in the name of a third-party, or if the third-party has delegated the contracting process to a commercial intermediary or organizer, then the orderer, intermediary or organizer bear a joint and several obligation along with the third-party. Independent thereof, the orderer is obligated to convey all contractual information, especi-ally the General Terms & Conditions, to the third-party.2.3 The reletting or subletting of the leased rooms, spaces and objects is not permitted and requires the prior written agreement on the part of AUSTRIA Hotels.

§ 3 Services, Prices, Payment3.1 AUSTRIA Hotels is obligated to provide the stipulated services as per the contract and in accordance with these General Terms of Business.3.2 The contractual party is obligated to make punctual payment of the stipulated price for these services. This also applies to the services and expenditures of AUSTRIA Hotels with respect to third-parties in connection with the event, in so far as these expenditures and services have been contractual cited or have been approved by the contractual party.Furthermore, the contractual party is liable for payment for all food and drinks ordered by participants in the event, as well as joint and severally for all costs incurred by them.3.3 Bills are payable in full immediately upon receipt. In the event of late payment, the following late-payment interest rates shall be considered stipulated:a) with respect to consumers, late-payment interest in the amount of 8 percentage pointsb) with respect to business customers, late-payment interest as per § 352 of the Austrian Commercial Code (UGB) in the amount of 8 percentage points above the current base rate. AUSTRIA Hotels shall be free to exercise its legal rights in the event of greater damages. For each reminder notice resulting from late payment, AUSTRIA Hotels is entitled to collect a reminder charge of EUR 10.3.4 Should the billing details which have been provided to us (such as billing address or billing installments) subsequently require correction, for each billing change a processing fee of EUR 10 will be charged.3.5 AUSTRIA Hotels is entitled to demand commensurate advance payments or financial guarantees. The amount of the advance payment and the date it is due are contractually stipulated in writing. Furthermore, AUSTRIA Hotels is entitled to demand immediate payment at any time, by presenting an interim bill, for receivables which become due during the event, and to demand that this be settled immediately.3.6 The contractual partner can only offset or reduce a demand from AUSTRIA Hotels by means of an undisputed claim with legal standing.

§ 4 Cancelation and Rescission by the Contractual Party4.1 The hotel may grant the contractual partner the right to rescind a contract at any time. Exclusively with the written permission of the hotel is the contractual party allowed to revoke his contractual obligations. The non-hosting of the event for reasons which lie in the domain of the contractual party, does not release the contractual party from his contractual obligations. In this instance, AUSTRIA Hotels has the right to demand commensurate compensation. The cancelation conditions are a component of the contract agreed upon in writing between the contractual partner and AUSTRIA Hotels.4.2 The contractual party shall provide written notice in the event of rescission of the contract. Receipt of the cancela-tion must be confirmed on the part of AUSTRIA Hotels in writing.4.3 If consent is not given, payment must be made for the contractually stipulated compensation for hotel services as well as those services occasioned from third-parties, in so far as the customer does not avail himself of contracted services and the hotel is unable to rent out the premises to another customer.

§ 5 Rescission by the hotel5.1 Should the contractual party be granted no-cost cancelation, AUSTRIA Hotels is likewise entitled to rescind the contract within the stated time period, as soon as enquiries have been received for the event rooms from other guests and the contractual partner has not promptly responded to a request from AUSTRIA Hotels with a definitive confir-mation.5.2 If any stipulated advance payment or financial security has not been received by the stipulated due date, AUSTRIA Hotels is entitled to rescind the contract.5.3 Furthermore, AUSTRIA Hotels is entitled to rescind the contract for compelling reasons, especially should instan-ces of force majeure or other circumstances over which the hotel has no control make it impossible for the hotel to fulfill its contractual obligations. If events are booked by providing false or misleading information, for example with regard to the actual organizer or purpose. If AUSTRIA Hotels has well-founded reason to believe that the event may endanger normal business operations, the safety or reputation of AUSTRIA Hotels in the public eye, and that knowledge thereof could not be imputed upon the hotel’s management or organizational staff. If there is an instance of unauthorized re- or subletting of hotel facilities. If AUSTRIA Hotels becomes aware that the financial circumstances of the contractual party have significantly deteriorated since conclusion of the contract, especially if the contractual party does not settle outstanding charges from AUSTRIA Hotels, or does not provide sufficient financial security and consequently payments to which AUSTRIA Hotels is entitled appear imperiled. If the contractual partner has commenced bankruptcy procee-dings with respect to his own financial resources, has taken an oath according to § 47 of the Act on Enforcement of Judgments (EO), has instigated extrajudicial proceedings in order to settle debts, has opened insolvency proceedings directed at the financial resources of the contractual partner, or the opening of such proceedings were declined due to lack of assets or other reasons.5.4 AUSTRIA Hotels shall promptly inform the contractual party in writing should it exercise its right to rescind the contract.5.5 In all of the instances cited, the contractual party has no claim to damages.

§ 6 Provision of a substitute event room6.1 AUSTRIA Hotels may make available to the contractual partner an adequate substitute event room (of the same quality), if this may be reasonably expected of the contractual partner, especially if differences are minimal and are objectively justified.6.2 Objective justification includes, for example, if the original room becomes unusable, if other ongoing events have been extended, an overbooking has occurred, or if other important operational measures make this step necessary.6.3 In such instances, any potential claims by the contractual partner relating to provision of a substitute event room are expressly excluded.§ 7 Changes of the event time and number of participants7.1 If, without prior written consent of AUSTRIA Hotels, the stipulated start and/or finish times of the event are post-poned, AUSTRIA Hotels is entitled to charge for the costs of providing staff and equipment, other than if the hotel itself is responsible for the postponement.7.2 With respect to events which run beyond 12 midnight, AUSTRIA Hotels may charge for additional personnel expen-ses on an itemized basis. Furthermore, AUSTRIA Hotels may also charge on an itemized basis for additional travel costs incurred by staff having to make their way home after the public transportation system has closed down for the night.7.3 The contractual partner is required to provide AUSTRIA Hotels with a provisional number of participants at the time the order is placed. AUSTRIA Hotels must be provided with a definitive number of participants at least four working days prior to the date of the event.

7.4 Should the number of attendees by higher, the hotel will charge for the actual number of those attending.7.5 Should the number of attendees be lower, the cancelation conditions as stipulated in the written contract will apply.

§ 8 Staging of the event8.1 Without authorization, foods and drinks may not be introduced into the hotel for consumption. AUSTRIA Hotels reserves the right to bill an equivalent amount for foods or drinks which have been so introduced. No liability is assumed for such foods or drinks.8.2 In so far as AUSTRIA Hotels procures technical or other materials from third-parties for the contractual partner at the partner’s instigation, AUSTRIA Hotels does so in the name of, as the proxy of, and on the account of the contractual party. The contractual party is liable for the careful handling and proper return of items. AUSTRIA Hotels is indemnified from all third-party claims resulting from the hire of these items.8.3 With respect to use of the contractual party’s own electrical items and equipment involving use of the hotel’s elec-trical system, the prior written permission on the part of AUSTRIA Hotels is required. Responsibility for any disruption or damage to the technical features of AUSTRIA Hotels as may occur through use of such items and equipment is borne in its entirety by the contractual partner. The event organizer must guarantee the operational safety of equipment and provide evidence of this upon demand. AUSTRIA Hotels is entitled to collect data on electrical use resulting from equipment use and to bill this accordingly.8.4 The handling of flammable materials as well as demonstrations with open lights or fire/pyrotechnical products is not permitted.8.5 The contractual party has the option, upon the consent of AUSTRIA Hotels, to use his own telephone, fax and data transmission devices. In this regard, AUSTRIA Hotels may bill networking or connection charges.8.6 AUSTRIA Hotels makes every effort to immediately remedy any malfunction of technical or other equipment. Payments by the contractual party may only be withheld or reduced if the hotel is unable to remedy the malfunction or obtain a replacement in a reasonable amount of time.8.7 The contractual partner is obligated to obtain at his own expense all necessary regulatory permits for the staging of the event. Furthermore, it is incumbent upon the contractual partner to be in compliance with said permits as well as all other legal regulations pertaining to the event.8.8 With respect to self-arranged musical performances, the contractual partner shall register the event with the re-sponsible public authority on his own initiative and in punctual fashion, with the forms confirming this presented to AUSTRIA Hotels at least one week prior to the event. As an event venue, the hotel is legally obligated to ensure all regulatory statutes are complied with. An 8% entertainment tax is assessed on the prices of foods and beverages. The costs of registering with local authorities are to be borne by the contractual party.8.9 The contractual party may only use the name and logo of AUSTRIA Hotels in promoting events subsequent to having obtained the prior approval of AUSTRIA Hotels.

§ 9 Items introduced into the hotel9.1 The contractual partner is obligated to report to, and obtain the permission of the hotel for any decorative materials or other items introduced into the hotel. The event rooms may not be damaged. Installation must be conducted by professional personnel.All fire-prevention codes as per ÖNORM must be complied with (in all instances, B1, Q1, TR1)9.2 Exhibits or other objects are kept in the event spaces and/or hotel at the sole risk of the contractual party. AUS-TRIA Hotels assumes no liability for loss, destruction or damage, other than if there is an instance of gross negligence or premeditation on the part of the hotel. Legal liability as per §§ 970 ff of the Austrian Civil Code (ABGB) remains unaffected by this.9.3 All items introduced into the hotel must be promptly removed after conclusion of the event. AUSTRIA Hotels is entitled to remove and dispose of items left behind, and to do so at the expense of the contractual party. Should removal involve disproportionate expense, AUSTRIA Hotels has the option of leaving the items in the events room and billing the room-rental charge for as long as the items remain. The contractual partner is afforded the right to provide evidence of lesser, and the hotel evidence of greater damages.9.4 Should packaging materials be generated (padding, plastic, cardboard boxes etc.) as a result of the event, the cont-ractual party is obligated to dispose of such materials before or after the event. AUSTRIA Hotels is entitled to dispose of these at the expense of the contractual party, in the event that these packing materials have been left behind at the hotel.

§ 10 Liability of the contractual party10.1 The contractual party is liable for all damages to the building or inventory caused by event participants, i.e. attendees of the event, staff, other third-parties within his own realm, himself or his legal representatives.10.2 AUSTRIA Hotels is entitled to demand appropriate financial security from the contractual party (i.e. warranties, deposits, insurance) to cover it against potential damage.

§ 11 Liability of AUSTRIA Hotels11.1 No liability is accepted for valuables, cash, clothing, musical instruments etc. brought in by participants or event organizers.11.2 AUSTRIA Hotels is liable by legal provision for all damages resulting from loss of life, bodily injury or loss of health, in so far as the hotel is guilty of a breach of its duty, and in the event of other damages resulting from premeditated or grossly negligent violation of the typical contractual obligations of the hotel. Other claims for damages on the part of the contractual party are excluded. In the event of malfunction or deficiency of hotel services, the contractual party is obligated to make a reasonable contribution to remedying the malfunction and to keep the possible damage to a minimum. Furthermore, the contractual party is obligated to notify the hotel of the potential for an extraordinarily high level of damage.11.3 All claims against the hotel fundamentally lapse one year from the start of the statutory limitation period.

§ 12 Concluding provisions12.1 Place of fulfillment and payment is the location of the AUSTRIA Hotel in question, this same hotel also being the contractual party.12.2 Vienna is stipulated as the seat of jurisdiction.12.3 Austrian law is stipulated as applicable.

AppendixWith respect to § 4 of our terms and conditions, current cancelation penalties are:

Up to 22 days prior to the event:no penalty, if the hotel can rent out the facilities to another party.

Up to 15 days prior to the event:full total price (rental), unless the hotel can rent out the facilities to another party.

General Terms and Conditions for Accommodation ServicesStatus 01.10.2011

Scope:These general terms and conditions apply exclusively for the provision of accommodation services by AUSTRIA Hotels (hereafter referred to as hotel). Unless otherwise specified in these general terms and conditions, the Austrian Hotel Contracting Conditions published by the Austrian Hotel Association (1045 Vienna, Wiedner Hauptstraße 63) apply on a subsidiary basis. These can be obtained electronically at www.hotelverband.at/down/oehvb.htm or viewed or ordered in every accommodation establishment of Austria Hotels International. The guest’s terms and conditions of business (“guest” here referring to the contractual party- purchaser, guest, organizer, etc.) do not form part of the contractual agreement, even if they have not been expressly rejected.

Conclusion of the contract, deposit:The contracting parties are the hotel (accommodation provider) and the guest (individual guests, tour operator, or priva-te travel groups). The accommodation contract comes into effect upon acceptance of the guest’s written or verbal order by the hotel, with these general terms and conditions serving as a basis for the contract, which is expressly accepted by the guest or tour operator upon actual use of the services in question. It may be stipulated that the guest provide an advance deposit. The hotel may also demand advance payment in full.

Arrival and departure:Booked rooms are made available to the guest on arrival day after 1:00 pm until 12:00 pm on departure day. Rooms will be assigned to guests by the hotel on the day of arrival. Unless a later arrival time has been expressly agreed upon, the hotel has the right to assign booked rooms to other persons after 6:00 pm, the guest deriving no rights to compensation as a consequence. In this regard, the hotel is entitled to rescind the contract. However, if the guest has “guaranteed” their arrival or paid a deposit, the room(s) remain(s) reserved until no later than 12:00 pm on the following day. If the room is first occupied before 6:00 am, the preceding night is deemed as the first night of accommodation. If departure is expected to be after 12:00 pm, the guest must inform the reception desk no later than 10:00 pm on the day before departure; in the event of departure before 6:00 pm, half of the room price must be paid, after 6:00 pm, the full room price must be paid.

Prices:Prices are determined by the price list valid at the time the services are provided. In cases where value added tax is applicable, it is included in the price. Any increase in value added tax rates subsequent to conclusion of the contract is at the expense of the guest.Local, spa or tourism taxes, as well as other sums of money collected by the hotel on behalf of third parties, are charged separately in the amount applicable at the time the services are provided.

Terms of payment:All hotel payments are due in full upon departure of the guest or upon billing (also weekly billing).In all instances, the hotel is entitled to demand advance payment of an appropriate amount from the guest. If payment fails to be made by the payment deadline, the guest is deemed in default, with no collection letter required to this effect. For late-payment notices resulting from instances of late payment, a reminder charge may be demanded.If both parties are businesses and in the event of late payment, we reference § 352 of the Austrian Commercial Code (UGB). According to § 970c of the Act on General Terms and Conditions of Trade (AGBG), the accommodation provider is entitled to a right of retention as well as a legal right of lien (as per § 1101, AGBG).With respect to contracts with consumers as defined in the Consumer’s Protection Act (KSchG ) as well as with those for whom the transaction is within the scope of operation of a business, wherein a business is to be understood as a permanently established organization for independent activity whether it is commercial in nature or not, the hotel is entitled, in the event of late payment, to demand interest on late payments at a rate of 8% above the base rate.Furthermore, with respect to contracts with consumers, a reminder charge of Euro 25 is to be paid by the consumer for extrajudicial notices resulting from failure to meet the late-payment deadline.Assertions of higher claims for damages resulting from late payment remain unaffected by this clause.

Rescission and cancellation:In the case of force majeure and other hindrances for which the hotel is not responsible, in particular those outside the hotel’s sphere of influence, the hotel reserves the right to withdraw from the contract without the guest being entitled to any claim for compensation.Unless otherwise stipulated, the following cancellation conditions apply for the guest/tour operator:

Up to 30 days prior to arrival - 65% of the stipulated total price of the first day’s stay incl. the first night.

Up to 14 days prior to arrival - 85% of the stipulated total price of the first day’s stay incl. the first night.

Less than 14 days prior to arrival - total price of the first day’s stay incl. the first night and 80% for additional days, if the booked service cannot be sold to other persons.

In all cases, the guest shall be free to exercise his legal rights in the presence of evidence of lesser damages, the hotel its legal rights in the event of evidence of greater damages.

Liability:The hotel makes every effort to ensure the punctuality of wake-up calls, punctual and accurate communication of mes-sages, and delivery of shipments of all kinds, whereby no liability is assumed for the acceptance of said shipments. Should acceptance of a shipment be agreed upon and there is a failure of performance thereof, then this will of course be taken into account. The hotel is liable for such commercial transactions, however, only if the hotel or its employees caused the problem through gross negligence. Found items, in particular those left behind in the room by guests (provided that these are not obviously worthless), will be sent to the guest only upon request, and at the risk and expense of the guest. After being held for a period of one year, the lost property shall be regarded as abandoned. Therefore, after a year, the hotel may make use of these items at its discretion or destroy them.For property damage suffered by a guest, the hotel is only then liable if the damage occurred within the scope of the business and if the hotel or its employees displayed gross negligence.For items brought in to the hotel, the hotel is only liable up to the respective legal maximum amount. The safekeeping of valuable items, money, and securities may be declined if said items are substantially more valuable than those guests of the hotel usually place in safekeeping. Valuables are to be deposited in the inhouse guest safe (ask at the reception desk) otherwise the hotel shall not be held liable. If the guest is provided with a parking space in the hotel garage or in another area, even for a fee, this shall not constitute a contract for safekeeping.The hotel does not have a surveillance obligation. Therefore all liability for vehicles is excluded. For consumers, the hotel is only liable for such damages to cars, which are caused either by deficiencies in the parking area which existed at the time the fee for the space was paid or which are verifiably caused by the hotel or by the employees, either intentionally or in an act of gross negligence. All liability for items left in the car is excluded.Guests use the pools, all pool facilities such as sauna, etc., equipment, as well as sports and recreational facilities at their own risk. The hotel is not liable for deficiencies not immediately recognizable when acting with due diligence, or for the damages resulting there from. In particular, a pursuant reduction in price may not be demanded.This does not, however, restrict the hotel’s liability for personal injury.

Miscellaneous:Subletting or re-letting, as well as the use of hotel rooms for purposes other than residential, requires the prior, written consent of the hotel.
