Agency Period

1. In consideration of the Agent promising to use their best endeavours to sell the subject Property, the Principal hereby grantsto the Agent exclusive selling rights of the Property for a period from

/ / to / / inclusive now called the "Exclusive Agency Period".

2. i In addition to the exclusive selling rights granted to the Agent under Clause 1, the Principal also grants to the Agent non-exclusive selling rights of the Property commencing on the expiry of the Exclusive Agency Period specified in Clause 1 and until such time as either the Property is sold or this agreement is terminated by either party giving notice in writing, but without prejudice to either party's rights accrued or obligations incurred prior to the effective termination, now called the "Continuing Agency Period".

ii If the Exclusive Agency Period is for a fixed term exceeding 90 days, then the Principal can terminate this agreement without penalty at any time after the end of the first 90 days by giving 30 days notice in writing (this clause does not apply where the Contract for Sale provides for the construction by the Principal of a dwelling on the Property).

Reserve Price

3. The Agent is authorised to sell the Property for not less than the reserve price of (GST incl.)

or such other price as the Principal may agree to accept. In the event that a reserve price is not specified in this agreement thePrincipal shall advise the Agent in writing of the reserve price before the start of bidding for the Property at the auction.

Auction Date

4. The Agent is authorised to retain the services of an auctioneer if required and submit the Property to public auction on

Agent's Remuneration

5. i The Agent shall be entitled to a fee of

if during the Exclusive Agency Period the Property is sold either: (a) by the Agent; (b) by any other agent; or (c) by the Principal.

ii The Agent shall be entitled to a fee at the agreed amount if at any time following the expiration of the Exclusive Agency Period the Principal enters into a Contract for the Sale of the Property with a purchaser effectively introduced to the Principal or the Property during the Exclusive Agency Period by the Agent, by any other agent or by the Principal.

iii The Agent shall be entitled to a fee at the agreed amount if during the Continuing Agency Period the Agent effectively introduces to the Principal or the Property a purchaser who subsequently enters into a binding contract.

iv The Agent's fee is calculated on the selling price. If the sale is subject to GST then the Agent's fee is calculated on the GST inclusive selling price.

v The Agent's remuneration in the event of a sale at the Agent's estimate of selling price would equate to

vi The fee to which the Agent is entitled shall be due and payable upon demand: (a) on completion of the sale; or

(b) if the sale is not completed owing to the default of the Principal after the parties have entered into a binding contract; or

(c) if after the making of the contract the Principal and the purchaser mutually agree not to proceed with the contract; or

(d) upon the termination of the contract by the Principal if the sale is not completed owing to the default of the Purchaserand the fee is the same or less than the amount of the deposit which is forfeited to the Principal.

IMPORTANT: This is an exclusive agency agreement. This means you may have to pay the agent commission even if another agent (or you) sell the property or introduce a buyer who later buys the property.

15. The auctioneer at the auction is authorised to sign the Contract for Sale on behalf of the Principal in terms to be providedby the Principal or their solicitor/conveyancer to the Agent.

Conjunction

16. Unless otherwise instructed, the Agent may allow other agents to act in conjunction with them in order to effect a sale but onlyone fee will be payable.

Limit of Agent's Services

17. The Agent does not undertake to perform any other services in connection with the sale.

GST

18. i Any amounts referred to in this agreement which are payable by the Principal to the Agent in respect of services providedby the Agent under this agreement, including reimbursement of expenses, are expressed inclusive of the Goods and Services Tax ("GST"), at the rate of 10% (the current rate). If the current rate is increased or decreased, the parties agree that any amounts referred to in this agreement will be varied accordingly.

ii The parties agree that the time of supply for GST purposes shall be the completion date of the sale.

Agent's Indemnity and Liability

19. The Principal will hold and keep indemnified the Agent against all actions, suits, proceedings, claims, demands, costs andexpenses whatsoever which may be taken or made against the Agent in the course of or arising out of the proper performanceor exercise of any of the powers, duties or authorities of the Agent under this agreement.

Financial and Investment Advice

20. The Principal acknowledges that any financial or investment advice provided by the Agent to the Principal is of a general natureonly whose preparation does not take into account the individual circumstances, objectives, financial situation orneeds of the Principal. The Principal is advised to consult with their own independent financial and/or investment advisor.

Material Fact

21. i The Principal warrants that the Principal has supplied the Agent in writing with all the relevant details and informationpertaining to all the material facts in respect of the Property.

ii The Principal acknowledges that the Property, Stock and Business Agents Act 2002 requires the Agent to disclose all material facts to prospective and actual purchasers.

iii The Principal directs the Agent to disclose all of the material facts provided in writing by the Principal to the Agent to all prospective and actual purchasers of the Property.

iv In this clause "material fact" has the same meaning as it has in Section 52 of the Property, Stock and Business Agents Act 2002.

Privacy Policy

22. The Privacy Act 1988 (Cth) (the Act) allows personal information to be collected, used and disclosed for the purposes whichit was collected, and otherwise in accordance with the Act. This Privacy Policy does not form part of this agreement and onlyapplies to the extent the Agent collects, uses and discloses personal information. The Agent may amend, or amend and restate,this Privacy Policy from time to time and may subsequently notify the Principal of any changes to this Privacy Policy by updatingit on the Agent’s website or by other written notification to the Principal. Any changes to this Privacy Policy take effect upon theearlier of the update to the website or other notification to the Principal.The personal information the Principal provides the Agent in connection with this agreement or collected from other sources isnecessary for the Agent to: (a) identify and verify the Principal and the Property; (b) act on behalf of the Principal in accordancewith this agreement; (c) where applicable, advertise, promote and, otherwise, market the Property for sale; (d) negotiate anyprospective sale of the Property; (e) liaise and exchange information with the Principal, the ultimate purchaser, prospectivepurchasers and each of their legal and other advisors in relation to or in connection with any sale of the Property (includingwith respect to the Contract for Sale of Land); (f) comply with this agreement, any applicable law and any dispute resolutionprocess; and (g) manage any sale of the Property (including assisting with the exchange of the Contract for Sale of Land andthe preparation of any required statements of account).If the personal information is not provided by the Principal, the Agent may not be able to act on behalf of the Principal effectivelyor at all.Personal information collected about the Principal may be disclosed by the Agent for the purpose for which it was collectedto other parties including actual or prospective purchasers, the legal and other advisors of the Agent, Principal, purchaserand/or prospective purchasers, and any Agent (if applicable), clients of the Agent both existing and potential, advertising andmedia organisations, property data service providers, valuers, parties engaged to evaluate the Property, owners’ corporations,government and statutory bodies, financial institutions, as required by law and as otherwise instructed by the Principal.The Agent may also use the Principal’s information including personal information for marketing and research purposes toinform the Principal of products and services provided by the Agent, which the Agent considers may be of value or interestto the Principal, unless the Principal tells the Agent (see opt out option below) or has previously told the Agent not to. If thePrincipal does not wish to receive any information about such products and services then please tick this box: or otherwisenotify the Agent using the Agent’s contact details set out earlier in this agreement.The Principal has the right to request access to any personal information held by the Agent which relates to it, unless theAgent is permitted by law (including the Act) to withhold that information. Any requests for access to the Principal’s personalinformation should be made in writing to the Agent at the contact details included in this agreement. The Agent may charge areasonable fee where access to personal information is provided (no fee may be charged for making an application to accesspersonal information). The Principal has the right to request the correction of any personal information which relates to thePrincipal that is inaccurate, incomplete or out-of-date.The Agent will take reasonable precautions to protect the personal information it holds in relation to the Principal from misuse,loss, and unauthorised access, modification or disclosure.By signing this agreement, the Principal acknowledges that it has read, understands and accepts the terms of this PrivacyPolicy and the permissions to collect, use and disclose personal information, and the Principal authorises the Agent to collect,use and disclose, in accordance with the Act, their personal information for the purposes specified in this Privacy Policy.

Disclosure of Rebates, Discounts or Commissions in Respect of Expenses

23. In respect of any expenses to be incurred by the Principal or the Agent on behalf of the Principal pursuant to this agreement,the Agent discloses that the Agent may receive the following rebates, discounts or commissions from third parties.

Selling a home is something many people do only once or twice in a lifetime, so it pays to do some homework before signing up with an agent to sell your property for you.When you sign up with an agent, you enter into a legally binding contract. This fact sheet explains what your rights and responsibilities are under that contract.You have a cooling-off period of 1 day starting from when you sign the agreement. You can cancel the agreement in this time if you are not happy with it (more information over the page).

Choosing a real estate agentTo sell a home in New South Wales, an agent must have a real estate agent’s licence issued by NSW Fair Trading. You should check the licence details of all agents you are thinking of using before signing up with your preferred choice. You can do a licence check online through the Fair Trading website or by calling 13 32 20.

To find the right agent for your needs, you should shop around. If possible, get the names of one or two agents from other home owners in your area who have recently sold. We suggest you talk to at least three agents and:

y make sure they have a valid licence y get a list of all their fees y find out if they have a good knowledge of your area y ask if they adhere to a code of ethics.

Signing up with an agentBefore the agent can market your property, they must sign a contract with you, called an ‘agency agreement’. An agency agreement is a legally binding contract and it is important that you read and understand it.

If you are not sure about the agreement terms you should get legal advice.

Signing an agency agreement means that you authorise an agent to do certain things for you in relation to the

sale of your property, such as arranging advertising and inspections and receiving deposits from buyers. The agreement must specify what the agent is authorised to do for you and must state all commissions and any other costs you may be liable to pay.

What is in the agency agreementThe agency agreement must state:

y the services the agent will provide for you y the amounts of any fees or commission you agree to

pay for those services y the circumstances in which the agent is entitled

to payment – for example, commission is usually payable only when the property is sold

y how and when payment is to be made – for example, whether the agent can deduct their commission from the deposit money paid by the buyer

y warnings about circumstances in which you might have to pay commission to more than one agent (see information on page 2 about the different types of agency agreement)

y from 1 March 2015 inclusive, a warning about the commission if the agreement includes a term that a commission is payable even if the sale of the property is not completed

y the extent of the agent’s authority to act for you – for example, whether the agent is permitted to exchange a sale contract on your behalf or make changes to the sale contract

y the agent’s estimated selling price for the property. The price may be a single price or a price range. Note: If a price range is used the highest price cannot exceed the lowest price by more than 10%. An agent is required to amend their estimated selling price if it is no longer reasonable, notify you in writing and amend the agency agreement. Your consent is not required to amend the agreement with the revised estimated selling price. The agent must provide you with evidence of the reasonableness of their estimated selling prices.

You have the right to negotiate with the agent about the terms and conditions of the agreement and to ask for any legally permitted changes to be made. Alterations made to the agreement need to be signed by all parties, except if the agent revises their estimated selling price for your property. The NSW Fair Trading website contains more information about the estimated selling price and what an agent must do when advertising or making a statement about the likely selling price of your property to potential purchasers.

Commission, fees and expensesThe amounts charged by agents are not set by law. You can negotiate with the agent about the amounts of any commissions, fees or other expenses that you may be required to pay. Before signing an agreement, it is a good idea to talk to a few agents and compare their prices. Ask each agent for a printed list of their fees and commission rates and the expenses they charge.

Disclosure of rebates and discountsThe agency agreement may require you to pay the agent for certain expenses in relation to the sale of your home, such as advertising, auctioneer’s fee, or any other services the agent may arrange for you, such as cleaning, decorating or landscaping.Sometimes the amount the agent has to pay for the service is less than what you are being asked to pay. This can occur if the agent receives a commission or discount from the provider of the service for being a regular customer – for example, some newspapers pay a commission to the agency at the end of the year based on how much advertising was placed.The agency agreement must state the amounts or estimated amounts of any such commissions or discounts and from whom they are received. You can negotiate with the agent about whether you should pay the full amount.

Ending the agreementThe agency agreement usually has a specified period (a ‘fixed term’) during which the agreement cannot be ended unless you and the agent both agree. If the agreement is open ended (that is, it does not have a fixed term) it must state how the agreement can be

ended.The length of any fixed term is negotiated between you and the agent, there is no minimum or maximum set term. The fixed term will depend on how long you and the agent think it will take to sell the property.If the fixed term is longer than 90 days, you can give the agent 30 days written notice to end the agreement after 90 days. Of course, if the fixed term has less than 30 days left to run, you can just give notice to end the agreement at the end of the fixed term – check your agreement to see how much notice you need to give. If you are not sure how to end the agreement, you should seek legal advice.If you are not happy with an agent’s services, it is important to properly end your agreement with them before signing up with another agent. Otherwise both agents may charge you commission when the property is sold.

Types of agency agreementsThere are several different kinds of agency agreements for the sale of residential property. It is important to be aware of the kind of agreement you sign, because it affects your rights and the amount of commission you may have to pay. You should discuss the agreement with a legal adviser if you are not sure about your rights. The following is an overview of the different types of agreements.

Exclusive agency agreementsExclusive agency agreements are commonly used for the sale of residential property. In this kind of agreement, you give exclusive rights to one agent to sell your property. This may entitle the agent to be paid commission if the property is sold during the fixed term of the agreement, even if the property is sold by you or by another agent. The agent may also be entitled to commission if the property later sells to a person who started negotiating for the property with the original agent.

Sole agency agreementsThis is similar to an exclusive agency agreement. You give rights to one agent to sell the property but you may find a buyer yourself. If you find a buyer who has not been introduced by the agent, then no commission is payable to the agent.

General listing / Open agency agreementThis lets you list your property with a number of agents. You pay a commission to the agent who finds the buyer.

Multiple listingThis occurs when you deal with an agent who is part of a network of agents working together to sell your home. It covers both auction and private treaty. You pay a commission to the agent you signed up with.

Auction agency agreementThis is effectively an exclusive agency agreement where the property is listed for auction.

Cooling-off periodThe agency agreement becomes binding when the principal (that is, you as the owner/s [vendor/s] of the property, or someone who is legally acting for you) and the agent have signed it. There is then a cooling-off period of 1 business day during which you can cancel (or ‘rescind’) the agreement. Saturday is included for the purposes of the cooling-off period, but public holidays are not.The cooling-off period starts when you sign the agreement and ends at 5pm on the next business day or Saturday. For example, if you sign the agreement on a Friday, the cooling-off period ends at 5pm on Saturday. If you sign up on Saturday, the cooling-off period would usually end at 5pm on Monday, unless that is a public holiday, in which case it will end at 5pm on Tuesday.The cooling-off period gives you time to read the agreement, consider the terms you have agreed to, including the agent’s fees, and get independent advice if you have concerns about any aspect of the agreement. Talk to the agent – they may be willing to change things in the agreement that you are not happy about.

Cancelling the agreement during the cooling- off periodIf you decide to cancel (or ‘rescind’) the agreement during the cooling-off period, you need to deliver a ‘notice of rescission’ to the agent.This simply means giving the agent a written notice or letter which:

y is addressed to the agent (use their name as given in the agency agreement),

y states that you are rescinding the agreement, and y is signed by you (and any other person named on

the agreement as a principal [vendor]) or by your solicitor/s.

You can hand the notice to the agent in person, deliver it to or leave it at the agent’s office or the agent’s address as given in the agency agreement, email it to an address specified by the agent as an address to which emails to the agent must be sent, or fax it to the agent. Make sure to keep a copy for your records.The agent cannot charge you any fees or costs in relation to an agreement that has been rescinded correctly. Any money you have already paid to the agent must be refunded to you.

Waiving your cooling-off rightsIf you are sure that you wish to go ahead with the agency agreement, you can waive, or forego, your right to a cooling-off period by signing a separate waiver form when you sign the agreement.The cooling-off period can be waived only if the agent gave you the following documents at least 1 business day before you signed the agency agreement:

y a copy of the proposed (unsigned) agency agreement, and

y a copy of this fact sheet.For example, on Thursday morning the agent gives you a copy of the unsigned agreement and this fact sheet, which you read and consider carefully. On Friday afternoon you sign the agency agreement and the waiver form. The agency agreement immediately becomes

The Contract of SaleA residential property cannot be advertised for sale until a Contract of Sale has been prepared. The contract must contain a copy of the title documents, drainage diagram and the Zoning Certificate (s 149) issued by the local council. Property exclusions must also be included and a statement of the buyer’s cooling-off rights must be attached. If you are selling a residential property that has a swimming pool or spa, ensure it is compliant with the Swimming Pools Act 1992. For more information and to check your responsibilities, or to check if a property with a swimming/spa pool has a current certificate of compliance, visit the NSW Swimming Pool Register website at www.swimmingpoolregister.nsw.gov.auThe draft contract must be available for inspection at the agent´s office. It is important that you consult your solicitor or conveyancer about preparing the contract to make sure that everything is in order.

Exchange of contractsThe contract exchange is a critical point in the sale process. Be aware of the following important conditions in the exchange of contracts:

y The buyer or seller is not legally bound until signed copies of the contract are exchanged.

y Buyers of residential property usually have a cooling-off period of 5 working days following the exchange of contracts during which they can withdraw from the sale.

y If the agent arranges exchange of contracts, the agent must give copies of the signed contract to each party or their solicitor or conveyancer within 2 business days.

y The cooling-off period can be waived, reduced or extended by negotiation.

y There is no cooling-off period for sellers. Once contracts have been exchanged, sellers are generally bound to complete the agreement.

y There is no cooling-off period when purchasing at auction.

If you encounter problemsIf an issue arises during the sale process that you are unhappy with, check your copy of the selling agency agreement to clarify your rights and obligations.Try to sort out the problem by talking to the agent.Make certain that any instructions you give the agent are in writing, and keep a copy. If you think the agent has charged a fee to which they are not entitled, or believe the fee charged is excessive, you can apply to the NSW Civil and Administrative Tribunal (NCAT) to settle the matter.

Other tipsIf you need further assistance to resolve a problem, consider the following:

y If your agent is a member of a professional association, contact that association. They can be helpful in resolving disputes.

y You can also seek legal advice from a solicitor or the Chamber Magistrate at your nearest Local Court.

y If your complaint concerns your solicitor, you can lodge a complaint with the Office of the Legal Services Commissioner.

y If your complaint concerns your conveyancer, you can lodge a complaint with NSW Fair Trading.

1. It is agreed

1.1 The Parties note and confirm the Vendor has engaged the Agent to act on the sale of the Property by means of public auction, conducted through the Openn Negotiation process (as defined herein) in accordance with the App Terms and Conditions (as defined herein).

1.2 The Parties acknowledge where there is a conflict between any additional or

special condition normally inserted by the Vendor’s solicitor/conveyancer into the Contract for Sale of Land, the App Terms and Conditions will prevail to the extent of any inconsistency.

1.3 The Vendor agrees to be bound by the App Terms and Conditions during the Openn Negotiation Period.

2. Definitions and Interpretation

In this document:2.1 Act means the Property Stock and Business Agents Act 2002 (NSW) and

includes the Property Stock and Business Agents Regulation 2014 (NSW);2.2 Address means the address of the Property specified in the Agency

Agreement;2.3 Agency Agreeement means the Sales Inspection Report means the Sales

Inspection Report and Auction Agency Agreement and Continuing Agency entered into between the Parties

2.4 App means the specialised software program designed to facilitate the Openn Negotiation and known as “Openn”;

2.5 App Terms and Conditions means the terms and conditions set out in the App Terms and Conditions, which are to be read in conjunction with this Annexure A;

2.6 Auctioneer means the auctioneer appointed by the Agent to conduct the Openn Negotiation, who must be an accredited auctioneer pursuant to the Act;

2.7 Campaign Bidding Stage means the stage of the Openn Negotiation that commences when the Property is listed on the App and ends at the commencement of the Final Bidding Stage;

2.8 Developer means PP Valley Pty Ltd ACN 612 338 477;2.9 Final Bidding Stage means the stage of the Openn Negotiation at which

Qualified Bidders make competing bids to purchase the Property through the App, with a time limit applying to the making of bids and the process concluding when the Property is sold or all bids are exhausted;

2.10 Land means the Property specified in the Sales Inspection Report;2.11 Openn Negotiation means the process for selling the Property by auction as

set out in the App Terms and Conditions as has the same meaning of auction as provided by s.3 of the Property, Stock and Business Agents Act 2002;

2.12 Openn Negotiation Period means the Exclusive Agency Period set out in the Agency Agreement;

2.13 Owner of Openn Negotiation means Cleverbons Pty Ltd ACN 607 908 636;2.14 Property means the property described in the Agency Agreement;2.15 Qualified Bidder has the meaning set out in the App Terms and Conditions;2.16 Reserve Price means the minimum price nominated by the Vendor to the

Agent in writing that the Vendor will sell the Property;

2.17 Vendor Bid means a bid made by or on behalf of the Vendor in accordance with the Act and Auction conditions of Sale;

2.18 Reference to:a. one gender includes the others;b. the singular includes the plural and the plural includes the singular;c. a person includes a body corporate;d. a party includes the party’s executors, administrators, successors and

permitted assigns;e. a statute, regulation or provision of a statute or regulation (Statutory

Provision) includes:i. the Statutory Provision as amended or re-enacted from time to time;

andii. a statute, regulation or provision enacted in replacement of that

Statutory Provision;f. money is in Australian dollars, unless otherwise stated;g. clauses, subclauses, subclauses and schedules by number are

references to clauses, subclauses, subclauses and schedules respectively so numbered in this agreement;

h. anything (including any amount) is a reference to the whole and each part of it and a reference to a group of persons is a reference to all of them collectively, to any two or more of them collectively and to each of them individually; and

i. writing includes typewriting and lithography and other methods of producing words in a visible form;

2.19 Including and similar expressions are not words of limitation.2.20 Where a word or expression is given a particular meaning, other parts

of speech and grammatical forms of that word or expression have a corresponding meaning.

2.21 Headings are for convenience only and do not form part of this agreement or affect its interpretation.

2.22 A provision of this agreement must not be construed to the disadvantage of a party merely because that party was responsible for the preparation of the agreement or the inclusion of the provision in the agreement.

2.23 If an act must be done on a specified day which is not a business day, it must be done instead on the next business day.

3. Agreement to Auction by Openn Negotiation

3.1 The Seller appoints the agent to offer the property for sale by Openn Negotiation during the Openn Negotiation Period in accordance with the Act, with the Openn Negotiation to take place at the date and time specified in clause 10 of this Annexure A.

3.2 The Vendor acknowledges that Openn Negotiation is a auction within the meaning of that term in the Act.

3.3 The Vendor acknowledges that Vendor Bids as defined are not compatible with Openn Negotiation and agrees not to make or seek to make a Vendor Bid or instruct the Agent and/or Auctioneer to make a Vendor Bid during the Openn Negotiation.

3.4 The Vendor acknowledges that in the event of the Final Bidding Stage taking place the Vendor must be available to provide instructions to the Agent and Auctioneer at such time.

4. Conditions of Sale

4.1 The sale of the Property is to be conducted in accordance with the App Terms and Conditions and the Vendor agrees to be bound by the terms of the Openn Negotiation as described in those App Terms and Conditions, including, but not limited to, the Campaign Bidding Stage and the Final Bidding Stage (as those terms are defined in the App Terms and Conditions).

4.2 The Vendor acknowledges that the Openn Negotiation will be primarily conducted through the App in accordance with the App Terms and Conditions.

4.3 The Openn Negotiation is to be subject to the Reserve Price and the Vendor must provide a Reserve Price to the Agent before the Final Bidding Stage and if, during the Final Bidding Stage, the highest bid is at or above the Reserve Price, the Vendor must sell the Property to that bidder.(we will need the reserve before the aution starts not the final bidding stage)

4.4 The Final Bidding Stage will commence on the auction date and time set out in clause 10 or at such other date and time nominated by the Vendor.

5. Authorities Granted to Auctioneer

5.1 The Vendor expressly authorises the Auctioneer to sign the Contract for Sale of Land for the Property on the Vendor’s behalf immediately following the sale of the Property during the Final Bidding Stage.

6. Liability

6.1 The Vendor releases and holds harmless the Agent, Auctioneer, the Owner of Openn Negotiations and the Developer and their officers, directors and employees from and against all actions, suits, demands, claims, losses, damages and costs whatsoever, whether at law or in equity arising out of any technical failure of the App.

6.2 The Vendor releases the Agent, Auctioneer, the Owner of Openn Negotiation and the Developer against all actions, claims, demands arising from or in connection with a failure by a purchaser or registered bidder to complete a sale.

6.3 Nothing in these Annexure A terms and conditions (including this clause 6) excludes, restricts or modifies any rights or statutory guarantees that the Vendor may have under applicable laws that cannot be excluded, restricted or modified, including any such rights or statutory guarantees under the Australian Consumer Law. To the extent that these terms and conditions are found to exclude, restrict or modify any such rights or statutory guarantees, those rights and/or statutory guarantees prevail to the extent of the inconsistency.

6.4 The Agent discloses and the Vendor acknowledges the Developer will use reasonable efforts to maintain an uninterrupted service for the App but neither the Agent or the Developer guarantee this and, to the extent permitted by law, neither the Agent or the Developer give any promises or warranties (whether express or implied) about the availability of the App that the App will be uninterrupted or error-free. Notification functionality in the App may not occur in real time. That functionality is subject to delays beyond the control of the Agent and the Developer, including without limitation, delays or latency due to the Vendor’s physical location or the Vendor’s wireless data service provider’s network.

6.5 To the extent permitted by law, and without limiting any rights that the Vendor may have under the Australian Consumer Law, the Agent’s and the Developer’s liability to the Vendor for any failure by the Agent or the Developer to comply with any statutory guarantee under the Australian Consumer Law is limited to the Agent and/or the Developer supplying the Services again or paying you the cost of having the Openn Negotiation process supplied again.

7. Warranty

7.1 The Developer and the Agent do not warrant, guarantee or make any representation that:a. The Openn website (‘the Website’), the App, or the servers that make

them available are free of software viruses;

b. The functions effected by the software contained on the Website or the App will operate uninterrupted or are error-free; and

c. Error and defects in the Website or the App or the software contained in them will be corrected in a timely manner or at all.

1 Acknowledgement 1.1 The Users acknowledge that Openn Negotiation:

a. will be conducted through the Openn Negotiation App in accordance with the Terms and Conditions set out below;

b. isatypeofauctionasdefinedintheapplicablelawsfortherelevantjurisdiction; and

c. isanextendedAuctionwithaflexiblecompletiondate.

2 Terms and Conditions2.1 CleverbonsPtyLimitedownstheAppthatconductstheOpennNegotiation

ProcessandprovidestheAppforSellersandSeller’sAgentstolistpropertyforsaleandforQualifiedBidderstopurchasetheproperty.

2.2 These App Terms and Conditions outline the Agreement between Users and the Owner of the App.

2.3 ByregisteringtousetheApp,YouagreetobeboundbytheseTermsandConditions as amended from time to time.

2.4 YourcontinueduseoftheAppacknowledgesYouragreementtotheseAppTerms and Conditions.

2.5 IfYoudonotagreetocomplywiththeseAppTermsandConditions,donotuse (or continue to use) the App.

2.6 TheOwnerreservestherighttoterminateYouraccesstotheAppifYoubreachanytermorcondition,orifYourongoinguseoftheAppisunacceptable to it.

2.7 Users acknowledge that these App Terms and Conditions are to be read inconjunctionwiththeOpennNegotiationBiddingRulesandTermsofUsesignedbythebidderorAnnexureAoftherelevantagencyagreementsignedbytheSeller.

3 Owner’s Service3.1 TheOwnerdoesnotconducttheOpennNegotiationprocess,theOwner:

a. is not an auctioneer or real estate agent and does not claim to be;b. does not own or offer for sale the real estate listed on the App; andc. roleislimitedtoprovidingtheAppforthesaleoftheProperty.

3.2 The Owner is therefore not responsible or liable:a. intheeventthataSellerorBuyerfailstocompleteatransaction;b. for the completion of the sale;c. for the state and condition of any Property listed on the App; andd. forverifyingthePropertylistedontheApp.

4 Commencement of the Openn Negotiation/Auction Process4.1 The Openn Negotiation process and Auction Conditions commence once

thePropertyhasbeenuploadedontotheAppandwillprevailuntiltheFallof the Hammer.

4.2 AtthecommencementoftheOpennNegotiationprocess,theagentwillmakethefollowingwillbeavailableforpublicinspection;a. These App Terms and Conditions;b. OpennNegotiationBiddingRulesandTermsofUse;andc. Auction Conditions.

4.3 The sale of the Property within the Openn Negotiation process will occur in accordance with the Auction Conditions and no cooling off period applies in respect of the purchase of the Property.

4.4 TheSellerandBuyeracknowledgethat,pursuanttoaCEEA,theContractwill be signed on their behalf by the Auctioneer immediately following the FinalBiddingStageandthepartieswillbeboundtothatContract.

5 The Openn Negotiation Process5.1 AprospectivebiddermustbecomeaQualifiedBiddertoparticipateinthe

Openn Negotiation process.5.2 OncetheprospectivebidderhasinspectedtheProperty,thebiddermust:

a. download the App;b. register their contact details in the App;c. select a Password to access the App;d. select the Property in the App as a bidder; e. becomeaQualifiedBidder;andf. inputtheirPendingBidintheApp.

5.3 IntheCampaignBiddingStage,otherQualifiedBidderscanjointheOpennNegotiation process.

5.4 ThroughouttheCampaignBiddingStage,anyQualifiedBiddermayincreasetheirPendingBidbyprovidingfurtherbidsthroughtheApp.

5.5 EachQualifiedBidderwillbeabletoseeallBidsmadeontheProperty.

5.6 TheCampaignBiddingStagefinishesatthecommencementoftheFinalBiddingStage.

5.7 ThePropertycanonlybesoldtoaSoleBidderpursuanttoclause7.5.8 ThroughouttheFinalBiddingStage,QualifiedBidderswillmakecompeting

bids to purchase the Property through the App. A time limit will apply to the makingofbids,andtheprocessconcludeswhenthePropertyissoldorallbids are exhausted.

5.9 TheultimatebuyerofthePropertywillbetheQualifiedBidderwhobidsthehighestsumatorinexcessoftheReservePricethatisacceptedbytheAuctioneerattheFalloftheHammer.

5.10 No negotiation as to the terms and conditions in the Contract will occur after thebidderhasbeenacceptedasaQualifiedBidder.

5.11 TheAuctioneerwillexecutetheContractonbehalfoftheBuyerandSellerimmediatelyfollowingtheFinalBiddingStage.

6 Final Bidding Stage6.1 TheFinalBiddingStagewillcommenceatthedateandtimenominatedby

theSellerfortheFinalBiddingStagetobegin,whichcanbeatanytime,providedthat:a. theFinalBiddingStagemustcommencebetween8.00amand9.00pm;

andb. ifthedateandtimefortheFinalBiddingStagehaschangedsincethe

QualifiedBidderenteredtheirPendingBid,theSeller’sAgentand/ortheAuctioneerwillusereasonableendeavourstocontactthatQualifiedBidder(atthatQualifiedBidder’scontactdetails)nolessthan12hourspriortothecommencementoftheFinalBiddingStagetoadvisewhentheFinalBiddingStagewillcommence.

6.2 DuringtheFinalBiddingStage:a. inordertobideachQualifiedBiddermustbeloggedontotheApp;b. the App will indicate:

i. theminimumsumbywhichanybidmustexceedthepreviousbid,determinedbytheAuctioneer,throughtheApp;and

ii. the time limit during which further bids may be made before the currentbidisfinalandsuccessful,assetbytheApp.

c. theAppwilldisplaythecurrenthighestbid.QualifiedBiddersmaychoose to make a further bid exceeding what is then the highest bid in increments determined by the Auctioneer;

d. theAuctioneermaywithdrawbids,athisorhercompletediscretion,ifheorshethinksarelikelytohavebeenmadeinerrororbadfaith;

e. ifanydisputearisesinrelationtoanybid,suchdisputemaybedetermined by the Auctioneer;

f. theSellermaynotbidpersonally,unlessabidismadeintheSeller’scapacity as a co-owner or executor or administrator of the estate. Any bid made in that capacity will be announced by the Auctioneer before thecommencementoftheFinalBiddingStage,namely:i. that bids to purchase the interest of another co-owner or to

purchase as executor or administrator of the estate may be made by oronbehalfoftheSeller;and

ii. thebidderregistrationnumber(UniqueIdentificationNumber)ofanyco-owner,executororadministratororanypersonregisteredtobidonbehalfofanyco-owner,executororadministrator,

inadditiontoanyotherannouncementsornoticesrequiredtobegivenundereachjurisdiction’srelevantLegislation;

g. oncecommencedtheFinalBiddingStagecannotbeterminatedbytheSelleroranyotherpartyuntil:i. all bids are exhausted; orii. ifthereisoneormorebidsatorexceedingtheReservePriceand

the Property is sold;6.3 TheultimatebuyerofthePropertywillbetheQualifiedBidderwhobidsthe

highestsumatorinexcessoftheReservePricethatisacceptedbytheAuctioneerattheFalloftheHammer.

7 Purchase of the Property by a Sole Bidder7.1 TheSellermaysellthePropertypriortotheFinalBiddingStagewhenthere

isonlyoneQualifiedBidder(theywillthenbetheSoleBidder),asfollows:a. allbidsbytheSoleBiddermustbemadethroughtheApp;b. theSeller’sAgentorAuctioneerwillrequestanacknowledgementfrom

theSoleBidder,throughtheApp,that:i. theSelleriswillingtosellthePropertytotheSoleBidderatits

current bid;

ii. uponacknowledgementfromtheSoleBidderoftheSeller’sintentiontosellthePropertyattheSoleBidder’scurrentbidtheSoleBidderwillhavetheWinningBidattheFalloftheHammer.

7.2 IftheReservePricehasnotyetbeenmet,theAuctioneermustreceiveinwritingfromtheSellertheywillacceptalowerreserveprice.

8 Purchase of the Property otherwise than during the Campaign Bidding Stage or Final Bidding Stage8.1 IfthePropertydoesnotsellduringtheFinalBiddingStage,butanofferis

madebyaQualifiedBidderthatisacceptedbytheVendor,thesalemustbeon the same terms and conditions (other than price) as negotiated between

thebidderandSellerpriortothebidderbeingapprovedasaQualifiedBidder,inaccordancewithclause5.10.

9 Reserve Price9.1 ThePropertyisofferedforsalesubjecttoaReservePrice.9.2 IfnobidexceedstheReservePriceintheFinalBiddingStage,theSelleris

notobligedtosellthePropertytoanyQualifiedBidder.9.3 IfoneormorebidsintheFinalBiddingStageequalsorexceedsthe

ReservePrice,thentheSellermustsellthePropertytothehighestbidder.

9.4 IfnoneofthebidsmadebytheQualifiedBiddersequalsorexceedstheReservePrice,theSellermaychoosetonegotiatewithoneormoreoftheQualifiedBidderstosellthePropertybutisundernoobligationtodoso.

10 Dummy Bidding10.1 DummyBiddingand/orencouraginganotherpartytoengageinDummy

BiddingconstitutesabreachoftheseTermsandConditionsandmayalsoconstitutefraudandmisleadingordeceptiveconductandattractseriousconsequences.

10.2 AnypartywhobecomesawareoftheoccurrenceofDummyBiddingmustinformtheAgentand/ortheAuctioneerassoonaspossible.

10.3 TheQualifiedBiddersandSellerswarrantthattheywillnotengageinDummyBiddingnorencourageorpermitanyotherpartytoengageinDummyBidding.

11 Use of the App11.1 Users of the App must not disclose their Password to any other person nor

allow any other person to access the App on his or her behalf.11.2 IfaUserbecomesawareofanyunauthoriseduseoftheApp,theUser

agrees to immediately notify the Owner.11.3 Usersmustensurethattheyhaveadequatemobileand/orinternetcoverage

to allow access to the App;11.4 Users of the App will not hold the Owner responsible for any loss or

damagearisingfromthemisuse,improperuse,orunauthoriseduseoftheirusernameand/orPasswordfortheApp.

11.5 TheOwnerreservestherighttodenyaccesstotheApp:a. intheeventanyfalseorfraudulentinformationisprovided;b. intheeventofanyunauthoriseduseoftheApp;andc. at its sole discretion.

11.6 QualifiedBidderswillbeapprovedbytheAgent,uponprovidingallrequireddocumentation.

11.7 The App will:a. notifytheQualifiedBidderthattheyareaQualifiedBidder;b. showwhentheFinalBiddingStagewillcommence;c. providetheQualifiedBidderwithaUniqueIdentificationNumberthat

will be used to identify them in the App; andd. notifytheQualifiedBidderofanychangetotheFinalBiddingStage

commencement. 11.8 AQualifiedBiddermustbeprovidedwith12hours’noticeofanychangeto

thecommencementoftheFinalBiddingStage.11.9 AnybidmadeintheAppusingaQualifiedBidder’sUniqueIdentification

NumberwillbedeemedtohavebeenmadebythatQualifiedBidder,andtheQualifiedBidderissolelyresponsibleforensuringthateachbidisinfactmadebytheQualifiedBidder.

11.10 TheAuctioneermaywithdrawbidsthatheorshethinksarelikelytohavebeenmadeinerrororbadfaith,athisorhercompletediscretion.

12 Withdrawal of Property from Sale12.1 TheSellermaywithdrawthePropertyfromOpennNegotiationatanypoint

by selecting the “Cancel Openn Negotiation” button on the App until the earlier of:a. theCommencementoftheFinalBiddingStage;orb. abidbeingmadethroughtheAppbyanyQualifiedBidderthatequalsor

exceedstheReservePrice,

otherwisetheSellercannotwithdrawthePropertyfromsaleunlessallbidsareexhaustedattheFinalBiddingStagewithouttheReservePricehavingbeen reached.

13 Suspension of Openn Negotiation13.1 TheAuctioneermaycanceltheOpennNegotiationincluding,butnotlimited

to,theFinalBiddingStage,if:a. he or she reasonably considers that a technical problem has occurred

with the App such that the Openn Negotiation cannot properly proceed; or

b. heorshereasonablyconsidersthatoneormoreQualifiedBiddersareexperiencingdifficultieswiththeuseoftheAppsuchthattheOpennNegotiation cannot properly proceed.

13.2 If the Auctioneer cancels the Openn Negotiation in accordance with clause 13.1above,theSeller’sAgentwillcontacttheQualifiedBiddersattheircontactdetailstoadvisethemofanewOpennNegotiation(andanewFinalBiddingStage)providedthatupontheOpennNegotiationrestartinginthesecircumstances,noQualifiedBiddershallbeboundbyanypriorbidandshallbefreetorecommencebiddingatanyamounttheQualifiedBidderwishes.

13.3 TheAuctioneermayalsopausetheFinalBiddingStageforthepurposeoftakinginstructionsfromtheSellerorconferringwithQualifiedBidders.ThispausewillbedisplayedontheAppandvisibletoallQualifiedBidders.

14 Further Auction Rules14.1 ItisagreedthatintheeventthatanyoftheseAppTermsandConditions

conflictwiththeconditionsofsalebyauctionsprescribedbytheapplicablelaws in each jurisdiction then that rule will not apply but all the other rules will apply.

14.2 TheAuctioneerreservestherighttorefusetoacceptconsecutivebidsmadebyaQualifiedBidderwheretherehasnotbeenafurtherbidmadebyanotherQualifiedBidder.

14.3 TheAuctioneerreservestherighttorefusetoacceptfurtherbidsfromaQualifiedBidderifthatQualifiedBidderhaswithdrawnabidmadeduringtheCampaignBiddingStageortheFinalBiddingStage.

15 Liability and Indemnity15.1 TheDeveloper,theOwner,Seller’sAgent,Auctioneerandtheirofficers,

directorsandemployeeswillnotbeheldliable,inanycircumstances,foranyloss or damages which arise out of:a. anyuse,attempteduseand/oranytechnicalfailureoftheApp;b. acting,orfailingtoact,onanyinformationcontainedonorreferredtoon

the App; andc. any errors or defects in the App.

15.2 TheQualifiedBiddersandtheSellersreleaseandholdharmlesstheSeller’sAgent,Auctioneer,theOwnerandtheDeveloperandtheirofficers,directorsandemployeesfromandagainstallactions,suits,demands,claims,losses,

damagesandcostswhatsoever,whetheratlaworinequityarisingoutof:a. anyuse,attempteduseand/oranytechnicalfailureoftheApp;b. acting,orfailingtoact,onanyinformationcontainedonorreferredtoon

the App; andc. any errors or defects in the App.

15.3 UsersoftheAppwillindemnifyandkeepindemnifiedtheSeller’sAgent,Auctioneer,theOwnerandtheDeveloperandtheirofficers,directorsandemployeesfromandagainstallactions,suits,demands,claims,losses,damagesandcostswhatsoever,whetheratlaworinequityarisingoutofanybreachoftheseAppTermsandConditionsbyYou.

16 Compliance with Law16.1 These App Terms and Conditions are to be interpreted so that they comply

with all applicable laws in each jurisdiction. 16.2 IfanypartoftheseAppTermsandConditionsareunenforceable,illegalor

voidthenitisseveredandtheremainderoftheseAppTermsandConditionsremain in force.

17 Intellectual Property17.1 Unlessotherwiseindicated,theOwnerandtheDeveloperownsorhasa

licensetouseallintellectualproperty(includingcopyright,trademarksanddesigns)subsistinginthecontent(includinganygraphics,images,logos,text,material,software)ontheOpennNegotiationApp.

17.2 ContentontheOpennNegotiationAppmustnotbemodified,copied,reproduced,republished,framed,uploadedtoathirdparty,posted,transmittedordistributedinanywayexceptasexpresslyprovidedforontheOpennNegotiationApp,orasexpresslyauthorisedinwritingbytheOwnerandDeveloper.

18 Privacy18.1 TheDeveloper’sPrivacyPolicy(availableathttps://www.openn.com.au/privacy-policy)formspartoftheseTermsandConditions.

ByusingtheApp,YouconsenttotheDevelopercollecting,handlingandusingYourpersonalinformationinaccordancewiththePrivacyPolicy.

19 Governing Laws19.1 TheseAppTermsandConditionsaregovernedbythelawsoftheState,andallUserssubmittotheexclusivejurisdictionoftheState’sCourt.

20 Definitions20.1 App means the specialised software program designed to facilitate the

Openn Negotiation and known as “Openn”;20.2 AuctionhasthesamemeaningprovidedtoitintherelevantLegislationin

each jurisdiction; 20.3 Auctioneer meanstheAuctioneerappointedbytheSeller’sAgenttoconduct

theOpennNegotiation,whomustbealicensedauctioneerpursuanttotherelevantLegislationineachjurisdiction;

20.4 Bidders Guide meansaninformationguideproducedbyNSWFairTradingoritsstatutoryequivalent,asamendedfromtimetotime,andwhichmustbeprovidedtoeachbidder,QualifiedBidderorotherwisewhenthePropertyisinNewSouthWales,atthecommencementoftheOpennNegotiation;

20.5 Bidders Record means a record kept and maintained by the Agent or Auctioneerwhich,pursuanttotheLegislationmustbemadeofthepersonswho will be entitled to bid;

20.6 Buyer means the buyer described in the Contract;20.7 Campaign Bidding Stage means the stage of the Openn Negotiation

that commences when the Property is listed on the App and ends at the commencementoftheFinalBiddingStage;

20.8 Contract meanstherelevantcontractinrespectoftheProperty;20.9 Contract Execution and Exchange Authority (CEEA) means an authority

granted by both:a. theQualifiedBiddertotheAuctioneerpermittingtheAuctioneertosign

theContractonbehalfoftheQualifiedBidderandfortheSeller’sAgenttoeffectexchangeofcontractsintheeventthattheQualifiedBidderhasbecometheeventualpurchaseroftheProperty;and

b. theSellertotheAuctioneerpermittingtheAuctioneertosigntheContractforSaleofLandonbehalfoftheSellerandfortheSeller’sAgenttoeffectexchangeofcontractsintheeventthattheQualifiedBidderhasbecometheeventualpurchaseroftheProperty;

20.10 Developer meansPPValleyPtyLtdACN612338477;20.11 Dummy Bidding meansfalseorfictitiousbidsmadebynon-genuinebidders

with no intention of buying the Property and also includes any bidding practicesprohibitedbytherelevantLegislationineachjurisdiction;

20.12 Fall of the Hammer meansthetimeintheFinalBiddingStagetheAuctioneerthroughtheAppannouncestheFinalBiddingStagehasendedandnofurtherbidswillbeacceptedfromQualifiedBidders;

20.13 Final Bidding Stage means the stage of the Openn Negotiation at which QualifiedBiddersmakecompetingbidstopurchasethePropertythroughtheApp,withatimelimitapplyingtothemakingofbidsandtheprocessconcluding when the Property is sold or all bids are exhausted;

20.14 Legislation meansunlessthecontextindicatesotherwise,therelevantlegislationandregulationsintheState;

20.15 Openn Negotiation means the process set out in these conditions according to which the sale is to be conducted;

20.16 Owner meansCleverbonsPtyLtdACN607908636;20.17 Password meanstheuniquewordorcombinationofletters,numberand

other characters used to access the App;20.18 Pending Bid meanstheopeningbidmadebyeachQualifiedBidderthrough

theApp,whichmaybeincreasedduringtheCampaignBiddingStage;20.19 Property means the Property described in the Contract; 20.20 Qualified Bidder meansabidderwhohasfulfilledtherequirementssetout

intheOpennNegotiationBiddingRulesandTermsofUseandhasbeenapprovedbytheSellerinaccordancewiththoseBiddingRulesandTermsofUse;

20.21 Reserve Price means thereservepricespecifiedbytheSeller;20.22 Seller meansthevendorofthePropertydescribedintheContract;20.23 Seller’s Agent means the real estate agent duly authorised to act on behalf

oftheSeller; 20.24 Sole Bidder meansaQualifiedBidderwhoistheonlyQualifiedBidderin

relation to the Property;20.25 State means the state or territory in which the Property is located;20.26 Unique Identification Number means the unique identifying number

providedbytheApptoeachQualifiedBiddertoallowthemtobeidentifiedinthe App;

20.27 User(s), You, Your meansSeller(s),Seller’sAgent(s),Auctioneer(s),QualifiedBidder(s),anyperson(s)whocreatesaloginfortheAppandanyotherperson(s)whoaccessestheAppforwhateverreason;and

20.28 Winning Bid means the successful bid made in the App which will be confirmedbytheAuctioneerasthepriceforwhichthePropertywillbesold.
