AMENDMENT NO. 2 TO THEANNUAL CIVIL ENGINEERING PROFESSIONAL SERVICES CONTRACT

R2 Q 21 0402This Amendment No. 2 to the Annual tTVil Engineering Professional Services Contract (R2019-0714), dated June 4, 2019, (ANNUAL CONTRACT), is made and entered into theof APR i) 6 2871 , 20 , by and between Palm Beach County, a political subdivision of theState of Florida, by and through its Board of County Commissioners (COUNTY) and Baxter &Woodman, Inc. (CONSULTANT) whose Federal ID is 36-2845242 (individually Party andcollectively Parties).

W I T N E S S E T H

WHEREAS, the COUNTY and CONSULTANT entered into the ANNUAL CONTRACT on June4, 2019 (R2019-0714), as amended on May 5, 2020 (R2020-0399); and

WHEREAS, on June 4, 2019, the COUNTY entered into the ANNUAL CONTRACT with theCONSULTANT as Baxter & Woodman, Inc. d/b/a Mathews Consulting, Inc. (R2019-0714); and

WHEREAS, the CONSULTANT filed with the State of Florida on December 16, 2019, to remove“d/b/a Mathews Consulting, Inc.” from its name; and

WHEREAS, Amendment No. 1 to the ANNUAL CONTRACT (R2020-0399) dated May 5, 2020,extended the expiration date of the ANNUAL CONTRACT from June 3, 2020 to June 3, 2021;deleted Section 7.8 - Subcontracting, in its entirety and replaced it with revised Section 7.8 -Subcontracting; deleted Section 9-Criminal History Records Check, in its entirety and replacedit with revised Section 9 - Criminal History Records Check; and added Section 24 - VSSRegistration Required; and

WHEREAS, the ANNUAL CONTRACT may be extended, at the COUNTY’S option for a definedperiod of time, not to exceed thirty-six months total contract time, upon approval of the COUNTY;and

WHEREAS, the original ANNUAL CONTRACT provides that the rates may be adjusted bynegotiation; and

WHEREAS, by this Amendment No. 2, the CONSULTANT and the COUNTY mutually agree toamend the ANNUAL CONTRACT as provided herein.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements hereincontained, the parties agree as follows:

The above recitations are true and correct and incorporated herein.

1. The ANNUAL CONTRACT is hereby amended to extend the expiration date of theANNUAL CONTRACT from June 3, 2021 to June 3, 2022.

2. Exhibit B of the ANNUAL CONTRACT, is hereby deleted in its entirety and replaced withExhibit B2, dated December 14, 2020, and attached hereto and incorporated herein.

3. Section 25 Counterparts is hereby added as follows:

Section 25 - COUNTERPARTSThis ANNUAL CONTRACT, including the exhibits referenced herein, may be executedin one or more counterparts, all of which shall constitute collectively but one and the sameANNUAL CONTRACT. The COUNTY may execute the CONTRACT through electronicor manual means. CONSULTANT shall execute by manual means only, unless theCOUNTY provides otherwise.

4. Section 26 E-Verify-Employment Eligibility is hereby added as follows:

Section 26- E-VERIFY - EMPLOYMENT ELIGIBILITYCONSULTANT warrants and represents that it is in compliance with section 448.095,Florida Statutes, as maybe amended, and that it: (1) is registered with the E-Verify System(e-verify.uov). and beginning January 1, 2021, uses the E-Verify System to electronicallyverify the employment eligibility of all newly hired workers; and (2) has verified that allof CONSULTANT’S subconsultants performing the duties and obligations of thisANNUAL CONTRACT are registered with the E-Verify System, and beginning January1, 2021, use the E-Verify System to electronically verify the employment eligibility of allnewly hired workers.

CONSULTANT shall obtain from each of its subconsultants an affidavit stating that thesubconsultant does not employ, contract with, or subcontract with an Unauthorized Alien,as that term is defined in section 448.095(1)(k), Florida Statutes, as may be amended.CONSULTANT shall maintain a copy of any such affidavit from a subconsultant for, at aminimum, the duration of the subcontract and any extension thereof. This provision shallnot supersede any provision of this ANNUAL CONTRACT which requires a longerretention period.

COUNTY shall terminate this ANNUAL CONTRACT if it has a good faith belief thatCONSULTANT has knowingly violated Section 448.09(1), Florida Statutes, as may beamended. If COUNTY has a good faith belief that CONSULTANT’S subconsultant hasknowingly violated section 448.09(1), Florida Statutes, as may be amended, COUNTYshall notify CONSULTANT to terminate its contract with the subconsultant andCONSULTANT shall immediately terminate its contract with the subconsultant. IfCOUNTY terminates this ANNUAL CONTRACT pursuant to the above, CONSULTANTshall be barred from being awarded a future contract by COUNTY for a period of one (1)year from the date on which this ANNUAL CONTRACT was terminated. In the event ofsuch contract termination, CONSULTANT shall also be liable for any additional costsincurred by COUNTY as a result of the termination.

It is the intent of the parties hereto that this Amendment No. 2 shall not become binding until thedate executed by the COUNTY.

Except as hereby amended, changed or modified, all other provisions of the ANNUALCONTRACT, as amended, shall remain in full force and effect.
