Fernando Redondo Chief Executive Officer Mr. Redondo is the CEO of the Chicago Skyway Toll Bridge and the Indiana Toll Road, the first two toll roads to be leased to a private operator in the U.S. We believe this experience to be fundamental in ensuring the successful performance of the IH 635 Managed Lanes Project. He has accumulated invaluable knowledge and resources to manage the relation with TxDOTDOT during the term while at the same time ensuring performance of the concession company in compliance with the requirements and obligations of the CDA. His background started in the construction industry, where from 1988 to 1993 he held different positions in Spain. Between 1993 and 1999, he worked abroad, heading the operations of two major construction developments in Indonesia and Malaysia.

Experience 2002 – Present, Cintra Concesiones de Infraestructuras de Transporte, S.A.

2006 – Present, Indiana Toll Road Concession Company LLC, Chief Executive Officer Awarded in April of 2006 to ITR Concession

Company LLC a venture by Cintra Concesiones de Infraestructuras de Transporte S.A. (50%) and Macquarie Infrastructure Group (50%), a 156.7-mile roadway leased on a 75-year concession, connecting Indiana, Illinois and Ohio.

Took on the management responsibilities of the ITR CC upon award of the contract to the Cintra-Macquarie Consortium, to take advantage of his experience in the Skyway CC.

Under his management, the ITR CC has carried out significant improvements along various segments of the road including the implementation of an Electronic Toll Collection system in all the toll plazas. Also, ITR CC is now a member of the IAG that ensures interoperability with most of the turnpikes in the northeastern U.S.

$1.83B (U.S.) contract to take over operations from the City of Chicago for a 99-year lease of the Chicago Skyway Toll Bridge, a 7.8-mile elevated roadway linking the Indiana Toll Road with the Dan Ryan Expressway.

Mr. Redondo has managed the performance of the Skyway CC since the project was awarded to the Cintra-led Consortium. One of the most important issues addressed was ensuring a satisfactory transition from the operations carried out by the City of Chicago to the private modus-operandi.

Under his management, Skyway CC has completed ongoing improvements to the Toll Road including the implementation of an Electronic Toll Collection system in the single-point toll plaza.

Systems were successfully implemented in a period of six months, helping to reduce congestion and improve traffic flow through the tolling point.

2002 – 2004, Head of Project Development Responsible for the project development of Cintra’s International Department that comprises

relationships with authorities, clients and advisors during the tendering stage. All projects have individual Project Managers that report to Mr. Redondo.

1999 – 2002, Gerens Hill International, Operations Manager Responsible for the operations of the company, reporting to the CEO of a large project and

construction management company in Spain. Responsibilities included business and project development and operational overview of projects

including client relations and strategic planning. The following are the most important projects developed by Gerens Hill International during those

four years: o Endesa Headquarters in Madrid, a $150M (U.S.) project, involving the design and

construction of Spain’s largest utility company. o Mall in Eisenhower Av. for Riofisa, a design and construction PCM project estimated at

$140M (U.S.). o Parque Norte was the first of two office buildings developed by GMP Real Estate in

Madrid. Design and construction value was $42M (U.S.). o Castellana Norte was the second office complex developed by GMP, with a D+C value of

Project Director for the Joint Venture with Malaysian Company Ekovest, to execute the fit-out of the Petronas Twin Towers in Kuala Lumpur, Malaysia, a $300M (U.S.) project for Petronas-owned KLCC.

The project comprised the fit-out of both towers, including the below grade area, the typical floors, the two lobbies and the conference floors and executive floors of the Petronas tower.

Each tower provides about 185,000 square meters of floor area not including the 275,430 square meter additional underground area.

1995 – 1996, Huarte, S.A., Country Manager in Jakarta (Indonesia) A $396M (U.S.) EPCM project dealing with the construction of a new town in the rain forest of Irian

Jaya for the U.S.-based mining company Freeport McMoran. The project included the following facilities: 500 houses; 75 apartments; two schools; two mosques;

one church; a 5,000 square meter office building; a retail and entertainment center; a complete sport complex including a 50m swimming pool; squash courts; indoor and outdoor tennis courts, softball and soccer fields.

The project also included construction of all infrastructure and services reticulation, including a power plant, sewage treatment plan and water treatment plan and 55 km of roads.

The project included renovation of the International Airport of the city of Timika, including a new terminal, navigation aides and the runway extension, the construction of a light Industrial Park, a river and cargo wharf and a Sheraton hotel.

1993 – 1995, Huarte, S.A., Design and Engineering Manager in Jakarta (Indonesia) Design and Engineering Manager for the above-mentioned project, supervising nearly 60 people ,

including architects, engineers, quality control personnel and draftsmen.

Massimo Fiorentino Chief Financial Officer Mr. Fiorentino has more than 30 years of experience in investment and corporate banking, specializing in arranging financing for major highway and infrastructure projects delivered under Design-Build, DBFO and PPP arrangements. As Senior Investment Director for Meridiam Infrastructure, Mr. Fiorentino leads many project teams on various investment opportunities, relying on his expertise in project finance, corporate finance and international law.

Before joining Meridiam in 2007, Mr. Fiorentino held various positions with Calyon (formerly Crédit Lyonnais) for over 20 years, eventually becoming one of Calyon's senior global bankers in charge of financial institutions and supranationals. Mr. Fiorentino carried out various financial advisory and arranging assignments for projects in Europe, Latin America and Asia, and, from 2002 onwards, led the Group's Continental Europe, Middle East and Africa infrastructure project finance and structured finance activities. Experience

2007-present, Meridiam Infrastructure, Senior Investment Director In his capacity as Senior Investment Director, Mr. Fiorentino leads many project pursuit teams on PPP transactions in the U.S., Canada and Europe. His responsibilities include the structuring of Meridiam’s junior funds investment in relation to each project’s overall capital structure, liaising and negotiating with financial institutions to secure appropriate funding and chairing various financial and legal project committees with Meridiam’s key partners. 1983-2007, Calyon (formerly Crédit Lyonnais), Various Positions, most recently Managing Director As Managing Director and Head of Infrastructure, PPP and Environment for Europe, the Middle East and Africa, Mr. Fiorentino negotiated and structured financing arrangements for numerous transportation and infrastructure projects. A41 Highway Concession, France Supervised the arranging of the $1.45B financing of the A41 Highway Concession, for which

Calyon acted as one of the three joint MLAs. This deal was recognized by Project Finance/ Euromoney as the 2005 EMEA Transport/Road Deal

Patrick Rhode Public Information Manager Mr. Rhode is a senior public affairs executive with over 15 years of government and private industry experience in conceptualizing, developing and implementing communications strategies to strengthen the public image of high-profile organizations.

He has served in several top communications positions in the federal government, where he developed strategies to improve communications with the public, media and government, managed large budgets and led cross-functional teams.

As the Austin-based U.S. Vice President for Corporate Affairs for Cintra Developments, Mr. Rhode manages external affairs functions including government, media and community relations for the company and its projects. San Jacinto County, SH 21 from the Nacogdoches County Line to US 96 in San Augustine County, and SH 87 from Newton County line to FM 83 in Sabine County.

TXDOT Houston District Continuous Activity Letter for Little York Road, Texas Prepared a continuous activity letter for the Little York Road project, which extends 2.1 miles from the

Hardy Toll Road to US 59, including archeological services The continuous activity letter addressed any potential environmental impacts associated with the

proposed detention facility. The scope was later updated to combine the 2001 Re-Evaluation and Continuing Activity Letter into a

new Re-Evaluation.

TXDOT Houston District Environmental Evergreen Little York Road/Mykawa Road, Houston, Texas Road from east of the Hardy Toll Road to US 59 and for Mykawa Road from South Wayside to Airport

Boulevard. The projects consist of widening the roadways from two-lane undivided facilities to four-lane divided.

Houston District Environmental Evergreen Southmore Street, Houston, Texas Prepared a categorical exclusion and conducted wetland delineation and verification for the proposed

bridge replacement of Southmore Street at Vince Bayou.

TXDOT Houston District IH 10 FEIS Re-evaluation, Harris, Fort Bend, and Waller, Texas Prepared a Re-evaluation of the IH 10 Final Environmental Impact Statement (FEIS) from Talylor

Street to FM 1489. The original FEIS, dated November 2001, received a Record of Decision (ROD) from the Federal Highway Administration.

Due to design changes that have occurred since the ROD a Re-evaluation was necessary.

TXDOT Houston District, SH 105 Environmental Assessment, Texas Performing environmental studies and preparing an Environmental Assessment for the widening of SH

105 from 10th Street in Conroe to the proposed SH 105 Loop in Cleveland. Performed noise analysis and air quality analysis, Farmland Conversion Impact Rating, and land use

analysis as part of EA. Reviewed analytical results against TRRP guidelines and collaborated on the Phase II report preparation.

TXDOT Houston District, SH 249 Environmental Impact Statement, Texas Assisted with noise analysis and on-site noise measurements for an Environmental Impact Statement

of the extension of SH 249 on new location from FM 145/FM 1774 to north of the city of Todd Mission in Montgomery and Grimes Counties.

US 96 Programmatic Categorical Exclusion Memorandum, Texas Prepared a programmatic categorical exclusion for US 96 at Smith Creek and Chicken Bayou. The project consists of replacing the bridges and approaches at the creek and bayou.

Widening of SH 144 in Hood County, Granbury, Texas Assisted with noise analysis for the widening SH 144 in Hood County south of Granbury from a two-

lane divided roadway for 3.1 miles of length.

Woodland RUD-IH 45-Preliminary Engineering at Woodlands Parkway, The Woodlands, Texas Provided environmental investigation and surveying services to add a direct connector and relocate an

entrance ramp for IH 45 at Woodlands Parkway. Project focused on noise analysis, wetlands and public involvement.

Wetlands Reconnaissance Study for 13-Acre Tract in Gleannloch Farms, Texas Performed a wetlands reconnaissance study for a 13-acre land tract proposed for residential

development north of Northpointe Boulevard and east of Gleannloch Forest Drive in Harris County.

FM 762 and US 59, Rosenberg, Texas Wetlands Specialist. Conducted wetlands determination on a 350-acre property consisting of recently

harvested field and dense woods with drainage easement crossing site. Proposed development for the site were single-family residences.

Former Sand Pit, Irving, Texas, Wetlands Specialist Conducted wetlands determination for a 135-acre tract originally in use as a sand borrow pit from the

1800’s to the 1930’s. The site had been vacant since and borrow pits retained water leading to the creation of both shallow-

and deep-water habitats hosting a variety of wildlife species. Onsite review identified more than 50 acres of wetlands scattered across site in series of crescent-

shaped ponds and marshes. The City of Irving plans to review site for potential as wildlife refuge and bank to mitigate for habitat

impacts elsewhere.

Javier Martínez Ordóñez Roadway Operations Director Mr. Martínez has over 10 years of hands-on transportation concession facility experience, from the initial proposal phase through operations and maintenance. As Cintra’s Information Technology (IT) and Toll Collection Systems Manager for toll roads in America, he manages the IT-related aspects of Cintra’s projects in the U.S., Canada and Chile. In this capacity, he is responsible for the design and implementation of Traffic Management Systems and Toll Collection Systems in all Cintra’s concessions in the Americas, including SH 130 Segments 5 and 6, and the Indiana Toll Road.

Belen Marcos Maintenance Manager Ms. Marcos has extensive experience in the operations and maintenance of toll highways. She has served as Chief Operating Officer for two major toll road / bridge projects – the Chicago Skyway and the West Section of the Indiana Toll Road. In this capacity, Ms. Marcos has been responsible for managing extensive O&M resources, including equipment, vehicles, materials and staff, to ensure cost-effective operation.
