Failure to enter into said contract or provide the PerformanceSecurity shall constitute a sufficient ground for cancellation of this award.

The GENCARS, INC. with address at 2113 Pasong Tamo cor. Dela RosaSts., Makati City, herein represented by its Executive Vice-President,LERMA O. NACNAC, and hereinafter referred to as the "Supplier";collectively, the "Parties".

WHEREAS, the National Labor Relations Commission invited Bids and hasaccepted a Bid made by GENCARS, INC. for the Procurement of Eleven (11) MotorVehicles in the sum of Ten Million Six Hundred Forty Three Thousand Three HundredTwenty Five Pesos (P-10, 643,325.00).

NOW THIS CONTRACT WITNESSETH AS FOLLOWS:

1. In this CONTRACT, words and expressions shall have the same meanings asare respectively assigned to them in the Conditions of Contract referred to.

2. The following documents shall be deemed to form and be read and construed aspart of this CONTRACT, viz.:

(a) the Bid Form and the Price Schedule submitted by the Bidder;(b) the Technical Specifications;(c) the General Conditions of the Contract;(d) the Special Conditions of Contract; .(e) the NLRC Bids and Awards Committee (BAC) Resolution No.48, s. 2016;(f) the Procuring Entity's Notification of Award; and(g) the Procuring Entity's Notice to Proceed.

3. In consideration of the payments to be made by the Procuring Entity to theSupplier as hereinafter mentioned, the Supplier hereby covenants with the Entityto provide the goods and services and to remedy defects therein in conformity inall respects with the provisions of the Contract

4. The Procuring Entity hereby covenants to pay the Supplier in consideration of theprovision of the goods and services and the remedying of defects therein, theContract Price or such other sum as may become payable under the provisionsof the Contract at the time and in the manner prescribed by the Contact.

IN WITNESS WHEREOF, the Parties thereto have caused this Contract to be executedthe day and year first before written.
