AMENDED CONSENT AGREEMENT AND FINAL ORDER ("Amended CAFO")

Now on this _5 __ day of January, 2012, ("Date of this Amended CAFO") the Kansas

Department of Health and Environment ("KDHE"), and Airosol Company, Inc., ("Respondent"),

(collectively, "Parties"), mutually agree to amend the Consent Agreement and Final Order

CAFO, entered into by the Parties on October 23, 2008 ("Consent Order"). Pursuant to

Paragraph 2 of the Consent Order, the Respondent and KDHE now find that it is in the best

interest of the Parties to amend the Consent Order to include a revised Loan Amortization

Schedule, incorporated herein by reference as Exhibit I, to facilitate continued implementation

of the work takeover provision for investigation and remediation activities at the Airosol

Company Site ("Site").

The Consent Order is fully incorporated herein, excluding any provisions of the Consent

Order that are expressly deleted by this Amended CAFO or are expressly replaced by the terms

of this Amended CAFO, and all terms and orders of the Consent Order apply to the Respondent.

In the event of a conflict between the Consent Order and the Amended CAFO, the Amended

CAFO shall control.

DEFINITIONS

I. Terms used in this Amended CAFO, if defined in state statutes or the associated

regulations, shall have the meanings assigned to them in the statute or the regulations. To the

extent not inconsistent with the meanings assigned to them in statute or regulation, the terms

listed below, if used in this Amended CAFO or in attached or incorporated documents, shall

have the following meanings.

a. "Day" shall mean a calendar day unless expressly stated to be a working day.

b. "RSK Manual" shall mean the KDHE Risk-Based Standards for Kansas

Manual 5th Version (October 20 I 0) and any subsequent updates.

c. "Site" shall include all areas and media from which hazardous substances and

any other contamination or pollution connected with this facility have been

released and/or have migrated or emanated therefrom.

d. Working day" shall mean a day other than a Saturday, Sunday or State of

Kansas holiday. In computing any period of time under this Amended CAFO

where the last day would fall on a Saturday, Sunday or holiday recognized by

the State of Kansas the period shall run until the end of the next working day.

FINDINGS OF FACT

2. The term "Respondent" as used in the Consent Order or in the Amended CAFO

shall mean Airosol Company, Inc.

3. All Findings of Fact set out in the Consent Order are incorporated as though fully

set out herein.

4. In June 2008, KDHE performed supplemental assessment activities to evaluate

the groundwater and vapor intrusion pathways. As documented in the 2008 Supplemental

Assessment Report, based on the data collected, KDHE concluded that groundwater

contamination at concentrations above the corresponding KDHE Tier 2 RSK Levels had

migrated beyond the Airosol facility and had affected indoor air quality in structures

downgradient from the Site. Subsequent vapor intrusion pathway sampling efforts have

determined that vapor migration from the subsurface to indoor air is possible; however,

contamination does not presently pose an unacceptable health risk but will be verified, as

necessary, over time.

5. In 2009, KDHE completed a Pre-Design Data Acquisition Summary to further

delineate volatile organic compound (VOC) impacts, including tetrachloroethene (PCE) and

trichloroethene (TCE), in soil within the tank farm area at the Site. The soil source area had

previously been identified but not fully delineated during a Comprehensive Investigation in

2003. As a result of these findings, a soil excavation interim measure (IM) approach was agreed

upon by Airosol and KDHE to address the VOC contamination to the extent practicable within

the tank farm area.

6. In 20 I 0, KDHE and/or its contractor conducted additional pre-design data

acquisition and finalized a Geotechnical Stability Assessment Report. The results of the pre-

design data acquisition and geotechnical stability assessment were used to prepare a Revised

Interim Measures Soil Excavation Work Plan.

ORDER

7. Respondent shall continue to pay KDHE for all costs, direct and indirect, that

KDHE incurs to implement the work takeover provision, incorporating an increase in the loan

principal amount of Seventy-Five Thousand Dollars ($75,000.00). It is anticipated that this

additional amount will cover costs associated with implementation of the Revised Interim

Measures Soil Excavation Work Plan in addition to other limited periodic monitoring activities.

If additional work is required by KDHE to complete the investigation and remediation that

would cause the total costs to exceed this amount, then another amended consent agreement will

be issued to address the additional costs.

8. Under this Amended CAFO, Respondent shall remit to KDHE a total of One-

Hundred Twenty-Three Thousand Eight-Hundred Ten Dollars and Ninety-Two Cents

($123,810.92). This amount represents the following:

(3.00%) compounded monthly on the amount outstanding until the total principal and accrued

interest are paid in full.

9. Authority. Each Party has full knowledge of and has consented to this Amended

CAFO, and represents and warrants that each person who executes this Amended CAFO on its

behalf is duly authorized to execute this Amended CAFO on behalf of the respective Party and

legally bind the Party represented to this Amended CAFO.

I 0. Entire Agreement. Except as provided in this Amended CAFO, all other

provisions of the Consent Order shall remain in full force and effect, shall be incorporated

herein, and shall be made applicable to all matters contemplated by this Amended CAFO.
