DAY (703) 508-2722 OR TFDAY@AOL.COM ALLWBS Newsletter New Organization for Whistleblowers On November 7, 2015, Thomas Day and Ben Strickland met to formalize the establishment of the Alliance For Whistleblowers, Inc., as a membership organization for whistleblowers. In addition to being whistleblowers, both Day and Strickland are current federal employees which weighed in several decisions related to the process of incorporating this business. After due consideration, on October 30, 2015, Day incorporated the business as a stock corporation with the Virginia Corporation Commission. The meeting was called to order at 10:23 by President Day. Establishment of a Board of Directors for the Corporation The first order of business was for Day to create a Board of Directors. He started by appointing Mr. Benjamin Strickland to the Board to serve as the Executive Vice- President. Mr. Ern Reynolds was elected to serve on the Board as legal counsel. Mr. Warren Wood is being considered as the company’s Chief Financial Officer and Judge London Steverson (Retired) was elected to serve as an Advisor to the Board. Additional Board positions may be filled in the near future. A Stock Corporation While it has been far more common to form this type of business as a not-for-profit organization, it was felt that adding another non-profit with the need to compete for donations was not in the best interest of the potential members or their allies. Similarly, consideration was given to forming a limited liability corporation, but this did not seem to be the best structure either. Therefore, it was determined that the best structure was as a “C” corporation and to issue stock as one form of financing the business. At the organizational meeting, the sale price of a share of common stock was set at $100 per share with an initial offering of 100 shares. Low Cost Memberships A key element of this organization is that it will be a membership organization for whistleblowers. While the Board has been established to handle the day-to-day operations, it is expected that the members themselves will participate in the decisions that will affect the organizations direction. With the intention of keeping the cost to an individual whistleblower as low as possible, the annual membership fee was set at $19.95 per year. Memberships will be made available through the web site when it is brought online and through other avenues as they become available. Magnet Sales Recognizing that fundraising will be crucial to the business’s success, the initial magnet design will draw attention to what is intended to become a major publicity campaign utilizing social media and direct mail. While the magnet will be sold separately at a price of $10 per magnet, it will be provided at no additional cost as a benefit for persons joining as members. ALLWBS.com Web Site to Come!While the domain name was registered, the development of the web site has been postponed. Once the stock certificates arrive and a bank account is opened, the web site will be published.

Audio-visual Teleconferencing!With a potential membership that stretches from coast to coast and from border to border, it is going to be absolutely necessary to have the ability to hold meetings with an audio-visual capability. On the one-hand, it would seem that the ability to hold low-cost teleconferences should be relatively easy and readily available. Unfortunately, that does not seem to be the case. Applications such as Skype are available for small groups, but the number of persons who are able to participate may be 10 or 25 without an explanation for the discrepancy on the Skype web site. Other apps have been considered, but there is still not a viable solution for even a workable conference call.

Google Chromecast!Another issue will be the means for including a visual capability in the conference calls. Day has both a PC and a Mac computer system and is in the process of updating both systems to enable screen mirroring and/or streaming. While Day has used the Apple TV for

streaming to his TVs, he was unaware that this would not work to mirror his computer screens. The solution came while browsing through the aisles of Best Buy when an associate told him about a new Google Chromecast device. This device uses a beta version of the Chromecast (Chromecast Beta) and by working with Google’s technical staff, Day has successfully mirrored his computer screen to the HD TV. This will provide a tremendous opportunity to share all kinds of files and data during future meetings particularly for live teaching or training.

Webcam Options!Everyone is probably familiar with face time or the webcam on their computer, but these really don’t bode well for conducting a teleconference with numerous people. In researching a number of other camera options, Day has discovered additional Logitech cameras that are not on the shelf in Best Buy (or other electronics stores frequented by Day). Until some of the other technical issues to allow screen sharing can be resolved, one of the desirable features of a webcam is its ability to be remotely controlled to move from screen to screen and from person to person as they are speaking. A final decision has not been made, but hopefully something will be in place by the next meeting.
