Appointments/Recognitions/Presentations a. 2020 Samuel Swann Bland Community Service Award Mayor John Davis The Samuel Swann Bland Community Service Award was created to honor the diligence, hard work, leadership, and dedication that characterized the contributions of Sam Bland to the public and the Swansboro Community. The award is made annually to a public employee, civic leader, or community volunteer that has demonstrated the qualities of outstanding dedication to the improvement of community services that were exhibited in the career and contributions of Samuel Swann Bland.

VI. Business Non-Consent a. Lease Agreements - 106 Church Street (Cigar Shop) and 502 Church Street (SHA)

Chris Seaberg Town Manager

George El-Asmar proposes to extend his current lease for the entire property at 106 Church Street for five (5) additional years for use as a retail shop (Cigar Shop). The proposed lease extension arrangement will include a rate of $1,510/month beginning January 1, 2021. The lease will set to expire on December 31, 2025. Annual increases will be based upon calendar year ending Consumer Price Index (CPI) publications and will be determined every December. The Swansboro Historical Association proposes to continue utilizing approximately 4,052 square feet seven (7) days/week at 502 Church Street for the historic museum. The proposed lease will be a $1/year for one (1) year. The lease will set to expire on December 31, 2021. Action Needed: Motion to adopt Resolutions 2020-R18 and 2020-R-19 approving leases as described in the overview above and upon other such terms as the Town Manager determines to be in the best interests of the Town and authorizes and directs the Town Manager to execute, at the appropriate time, any instruments necessary to consummate such lease agreements. b. In attendance: Mayor John Davis, Mayor Pro Tem Frank Tursi, Commissioner Pat Turner, Commissioner Harry PJ Pugliese, Commissioner Larry Philpott, and Commissioner Laurent Meilleur. It was noted that all members except Mayor Davis and Commissioner Pugliese participated remotely as allowed by NCGS 166A-19. Governor Cooper had declared a state of emergency due to the COVID-19 Pandemic in March 2020.

********************************** Call to Order/Opening Prayer/Pledge of Allegiance The meeting was called to order at 5:30 pm and Mayor Davis gave the invocation.

Public Comment Citizens were offered an opportunity to address the Board regarding items listed on the agenda, none were heard.

Adoption of Agenda Mayor Pro Tem Tursi asked that the agenda be amended to include discussion on the Tree Lighting Ceremony announced on Facebook for November 14th, 2020.

On a motion by Commissioner Philpott, seconded by Commissioner Meilleur, the Agenda as amended and Consent Items below were unanimously approved. •

It was acknowledged that Donnie Askew, currently a Fire Department Volunteer had served the Swansboro Fire Department in numerous roles from volunteer fire fighter to Assistant Chief for more than 40 years. Donnie had been instrumental in assisting the department in developing programs, processes and more importantly being a mentor to

young firefighters entering the field. When asked of his peers Donnie was described as enthusiastic, active, supportive, always ready to lend a helping hand, but more importantly respectful to all, no matter the circumstance.

Mayor Davis read a resolution expressing gratitude from the Board and employees for their professional association with Donnie Askew and recognizing his contributions as noted to the Swansboro Fire Department progress over the past 40+ years. Further, a copy of those expressions would be included within the minutes of the Swansboro Board of Commissioners on November 9, 2020.

Fire Chief Mark Tessing and Assistant Manager Paula Webb both shared appreciation for their association and Donnie’s professionalism through the years. He was given a one of a kind long leaf pine needle basket, handmade by Commissioner Philpott’s wife Pam and the resin tumbler with the fireman’s prayer.

When asked what his best accomplishment had been with the Town, Donnie shared that he, a former Fire Chief and former Manager sat down and developed a plan to create paid staff to address low responses to fire calls. The plan was put into place in 2008. Today the department was 5 fulltime and 16 parttime strong with numerous volunteers. Donnie thanked the past and present Board members for their support, his peers, and mostly his family who have always supported his passion knowing there have often been sacrifices made.

COVID19 Update - Onslow County Public Health Director Kristen Richmond-Hoover, provided an update on the COVID19 pandemic. 3893 positives cases to date 3317 cleared cases 35 fatalities, 2 in the last 7 days 541 active cases 5.9% positives in Onslow County 6.6% positives in NC Onslow County was listed as a “Red Zone County” with intense case reports for about a week (highest case count east of I-95 last 7-14 days) Averaging 50 new cases each day 10th highest case counts in NC 13th largest populated county in NC 7 outbreaks/clusters - 2 were in congregate living facilities and 3 in childcare and/or schools

Per capita Onslow County was doing well, ranked 85th out of 100 on a scale of 1 being the worst -100 the best Ranked 86th in case fatalities 81% of the positive cases were people age 18-64 Average case lists about 3.82 close contacts Flu season heightens the concern; case increases since October Encouraged flu vaccines, social distancing matters, face coverings, and wash hands often Mayor Davis asked if the increases were expected. Director Hoover indicated that the increases appeared to be from indoor gatherings, most likely a result of pandemic fatigue and warmer weather concluding. She expected the same throughout the winter months with it being flu and virus season. Mayor Pro Tem Tursi asked if there was any indication that rising case counts would have a negative effect on our healthcare systems; how many hospital beds were stressed. Director Hoover stated that Onslow Memorial and the Naval Hospital had both shared having capacity at this time. As we move into colder weather, that could change. Commissioner Meilleur, referring to the statistic that Onslow County being labeled a “Red Zone County” asked if Onslow County had more cases than Wilmington. Director Hoover informed that Onslow County could accommodate a high rate of numbers should the numbers continue to increase. In reviewing case counts and case rate for the last 7-14 days, Onslow County did have more cases than Wilmington. With no further questions, Mayor Davis thanked Director Hoover for her outstanding job running the County Health Department. Tree Lighting Ceremony Discussion – Mayor Pro Tem Tursi asked Manager Seaberg who had made the decision to announce a public tree lighting ceremony when the Swansboro by Candlelight had been cancelled by the Board on August 10th. Manager Seaberg shared that Mayor Davis had mentioned interest to him several times about a tree lighting. Staff planned to setup silt fencing around the property and there would be multiple event dates with limited capacity. Under the Governor’s capacity guidelines 70 participants could be on the property. Mayor Pro Tem Tursi believed that the mass gathering number was 50 and indicated that it would have been prudent to inquiry with the entire Board before creating a public event such as this when other events had already been cancelled by the Board. Would the Town require masks and social distancing? Manager Seaberg agreed in hindsight with Mayor Pro Tem Tursi and

stated that masks would be required. Mayor Pro Tem Tursi asked Attorney Parson if the staff had the authority to overrule a decision by the Board. Attorney Parson referred to Town Code Section 93.107 (D)(1) indicating that such events in parks or public places were to be approved by the Board. Mayor Davis believed the August 10th minutes reflected that he would like to hold tree lighting events in a safe manner. Mayor Pro Tem Tursi reminded Mayor Davis that he had no authority to approve events without Board approval. Mayor Davis disagreed sharing that Parks and Recreation recently held a pickleball tournament and the Board did not review/approve that. He was not sure what was unique about the tree lighting ceremony from other town events; it would be controlled and only take 15 minutes. Mayor Pro Tem Tursi asked how he planned to handle the public who would attend/stand outside the fenced area. Mayor Davis added that there were comments made last week that the Board did not trust its staff, nor its Parks Board. Residents could not continue to live in fear, believing that the event could be held and still follow the Governor’s order. Mayor Pro Tem Tursi did not recall any comments that suggested the Board did not trust its staff and accusations of such should be dismissed. Commissioner Meilleur weighed in reiterating Mayor Pro Tem Tursi’ comments and stating that Mayor Davis needed to stop making accusations, be objective and follow what his job was as Mayor. Commissioner Pugliese recalled comments about a tree lighting when the Swansboro by Candlelight was cancelled in August. He also agreed that the announced tree lighting should have been brought back to the Board, could the Board vote on it tonight, could it be held properly? Manager Seaberg felt the staff would need clarification from the Health Department/State. He would double check the capacity limit with the Governor’s guidelines to assure attendance was strictly adhered too. To answer Commissioner Pugliese, Mayor Pro Tem Tursi supposed the event could be held if the guidelines could be adhered too. However, his concern was that the Town was creating a mass gathering, what would/could be done about those that would attend and just stand along the sidewalk. He felt the event would put the Police, Fire and Parks Staff at risk. The Board needed to be responsible and recommended just turning the tree on. Commissioner Meilleur agreed this would be the safest option. Commissioner Philpott read the excerpt from the August 10, 2020 minutes adopted early under Consent. He agreed the event did not seem prudent; just turn the tree on. Commissioner Turner agreed as well, approval was not the right thing to do when the Swansboro Merchants event request was just denied. The Swansboro by Daylight ad noted that Santa Clause would also be downtown which would be another draw for families. She agreed that people had to continue living their lives but not at the risk of increasing cases or worse, more fatalities. Direction to staff was to pull the Facebook posts and cancel the event. Mayor Davis was saddened that the other Town could find ways to hold events and still meet the Governor’s guidelines, but the Board was not willing to consider such.

Future Agenda Items – – Each meeting an opportunity was provided for the Board to review future agenda items and introduce items of interest and subsequent direction for placement on future agendas, which would allow staff the opportunity to plan accordingly. Assistant Manager Paula Webb reviewed items proposed for the upcoming meetings noting that some items listed for December 14 may be deferred until December 28 since the December 14 agenda already had three public hearings scheduled. Public Comments Citizens were offered an opportunity to address the Board regarding items not listed on the agenda, none were given. Manager’s Comments Manager Seaberg shared that the Town had been notified of its award of $142,000 for the Dock walk Phase II. Funding would provide an extension of the Dock walk at Bicentennial Park and docking facilities on the south side of NC24 bridge. Board Comments Commissioner Turner and Philpott each commented on Donnie Askew’s tenure and dedication to the Town. Adjournment On a motion by Commissioner Pugliese, seconded by Commissioner Philpott, the meeting adjourned at 6:32pm.

§ 160A-272. Lease or rental of property.

(a) Any property owned by a city may be leased or rented for such terms and upon such conditions as the council may determine, but not for longer than 10 years (except as otherwise provided in subsection (b1) of this section) and only if the council determines that the property will not be needed by the city for the term of the lease. In determining the term of a proposed lease, periods that may be added to the original term by options to renew or extend shall be included.

(a1) Property may be rented or leased only pursuant to a resolution of the council authorizing the execution of the lease or rental agreement adopted at a regular council meeting upon 30 days' public notice. Notice shall be given by publication describing the property to be leased or rented, stating the annual rental or lease payments, and announcing the council's intent to authorize the lease or rental at its next regular meeting.

(b) No public notice as required by subsection (a1) of this section need be given for resolutions authorizing leases or rentals for terms of one year or less, and the council may delegate to the city manager or some other city administrative officer authority to lease or rent city property for terms of one year or less.

(b1) Leases for terms of more than 10 years shall be treated as a sale of property and may be executed by following any of the procedures authorized for sale of real property.

(c) Notwithstanding subsection (b1) of this section, the council may approve a lease without treating that lease as a sale of property for any of the following reasons:

(1) For the siting and operation of a renewable energy facility, as that term is defined in G.S. 62-133.8(a)(7), for a term up to 25 years.

(2) For the siting and operation of a tower, as that term is defined in G.S. 146-29.2(a)(7), for communication purposes for a term up to 25 years.

(3) For the operation and use of components of a wired or wireless network, for a term up to 25 years; provided, however, that the lease is entered into with a private broadband provider or a cooperative in connection with a grant agreement pursuant to G.S. 143B-1373 and is for a discrete and specific project located in an unserved area of an economically distressed county seeking to provide broadband service to homes, businesses, and community anchor points not currently served.

(d) Notwithstanding subsection (a) of this section, any lease by a city of any duration for components of a wired or wireless network shall be entered into on a competitively neutral and nondiscriminatory basis and made available to similarly situated providers on comparable terms and conditions and shall not be used to subsidize the provision of competitive service. RESOLUTION (2020-R18)

AUTHORIZING THE TOWN TO ENTER INTO A LEASE FOR GREATER THAN ONE YEAR BUT LESS THAN TEN YEARS PURSUANT TO N.C. GEN. STAT. § 160A-272

WHEREAS, N.C. Gen. Stat. §160A-272 authorizes a town to enter into leases of greater than one year but less than ten years upon resolution of its council adopted at its regular meeting; and, WHEREAS, the Board of Commissioners of the Town of Swansboro is convened in a regular meeting; and WHEREAS, the Town of Swansboro owns the property located at 106 Church St, Swansboro and being more particularly described on Exhibit A attached hereto and incorporated herein by reference as the “Premises.” WHEREAS, the Georges El-Asmar has requested that the Town of Swansboro lease Premises for use as a Cigar Shop; and, WHEREAS, the Town of Swansboro is amenable to leasing the Premises to Georges El-Asmar for sixty (60) months at a rental rate beginning January 1, 2021 of $1,510/month through December 31, 2021. The rental rate may increase starting January 1, 2022 and annually after that time based off the Calendar Year ending Consumer Price Index publications; NOW, THEREFORE, BE IT RESOLVED, that the Board of Commissioners of the Town of Swansboro approves the lease of the Premises (Exhibits A) to Georges El-Asmar for a period of sixty (60) months at a rental rate beginning January 1, 2021 at $1,510/month through December 31, 2021 and increases will occur based off the calendar year ending Consumer Price Index publications. The Board further directs the Town Manager to execute, at the appropriate time, any instruments necessary to consummate the lease agreement with the Mr. El-Asmar. This the 14th day of December 2020. Being that entire 4,410 square feet tract as shown on that certain map or plat entitled “Lot Division for Town of Swansboro” as the same is recorded in Map Book 61, Page 157, Onslow County Registry.

SAVING AND EXCEPTING THEREFROM the northernmost portion of said tract existing from the “rope fence” as shown on said map and extending northward to the right-of-way line of Water Street with said portion being used as public parking spaces.

RESOLUTION (2020-R19)

AUTHORIZING THE TOWN TO ENTER INTO A LEASE FOR ONE YEAR PURSUANT TO N.C. GEN. STAT. § 160A-272

WHEREAS, N.C. Gen. Stat. §160A-272 authorizes a town to enter leases of one year upon resolution of its council adopted at its regular meeting; and, WHEREAS, the Board of Commissioners of the Town of Swansboro is convened in a regular meeting; and WHEREAS, the Town of Swansboro owns the property located at 502 Church St, Swansboro, upon which is located the Town’s previous Town Hall. Within that building (the “Premises”), there is an office area that the Town currently does not have use for; and WHEREAS, the Swansboro Historical Association, Inc. (“Association”) has requested that the Town of Swansboro lease a portion (Exhibit A, Area B) of the Premises for use as the Swansboro Area Heritage Center; and, WHEREAS, the Town of Swansboro is amenable to leasing a portion (Exhibit A, Area B) of the Premises to the Association for twelve (12) months at a rental rate of $1.00 per year and upon such other terms as the Town Manager determines to be in the best interests of the Town; NOW, THEREFORE, BE IT RESOLVED, that the Board of Commissioners of the Town of Swansboro approves the lease of a portion (Exhibit A, Area B) of the Premises to the Association for twelve (12) months a rental rate of $1.00 per year and authorizes and directs the Town Manager to execute, at the appropriate time, any instruments necessary to consummate the lease agreement with the Association. Parks and Recreation (DIRECTOR’S REPORT) Festivals Mullet Festival – Programs, small events, and virtual programs were held October 4-10 in order to continue to celebrate the 66th Annual Mullet Festival. New programs and events that were held were Create a Mullet, Mullet Resin Pour, Mullet Paint-n-Sip, Virtual 5K Mullet Run, scavenger hunts, Throwback Thursday, and Chalk the Park. The department continued to offer Blessing of the Fleet and the Mullet Toss. The Virtual 5K drew 66 participants from around Onslow County. Approximately 54 participates attend Chalk the Park and all individual programs sold out.

COVID-19 • Continue to communicate with staff throughout the month with updates, safety precautions,

and staff schedules • The Recreation Center, all park facilities, indoor and outdoor reservations remain open and

the Recreation Center operating on reduced hours • Attend Director’s call with NCRPA weekly to receive updates and gain information from

other departments about closing, programs, and special events due to COVID-19 • Seniors began meeting at the Recreation Center on October 12
