3. (1) The Minister may, by order, appoint a date on or after thecommencement of this Act to be the vesting date for the purposes of this

Act.(2) An order under this section shall be published in the Gazette.(3) If, before the commencement of this Act, the Minister shall have

given notice in the Gazette that a date on or after the commencementof this Act shall be the vesting date for the purposes of this Act, suchnotice shall, on and after the commencement of this Act,, be deemedto be an order under subsection (1) and the date so notified shall bedeemed to have been appointed under this section.

Dissolution of the Club4.-(1) On the vesting date the Club shall stand dissolved, and no

order shall be made thereafter under the Companies Ordinance avoidingDissolutionCap. 212

the dissolution of the Club.(2) The Registrar of Companies shall take such steps as shall be

necessary to give effect to the provisions of this section.

Property, rights, liabilities and obligations5.- (1) Subject to the provisions of this Act, all property, rights,

liabilities and obligations which, immediately before the vesting date, were property, rights, liabilities or obligations of the Club, shall on the vesting date vest by virtue of this Act and without further assurance inthe Republic.

(2) Subject to the provisions of this Act, every deed, bond andagreement (including an agreement for personal services) to which theClub was a party immediately before the vesting date, whether inwriting or not and whether or not of such a nature that rights, liabilitiesor obligations thereunder could be assigned by the Club, shall, unlessits terms or subject matter make it impossible that it should have effectas modified in manner provided by this subsection, have effect from thevesting date as if-

(a) the Republic had been a party thereto;(b) for any reference (however worded and whether express or

implied) to the Club there were substituted, as respects anythingfalling to be done on or after the vesting date, a reference to theRepublic;

(c) for any reference (however worded and whether express orimplied) to any director, officer or servant of the Club there weresubstituted, as respects anything falling to be done on or afterthe vesting date, a reference to such persons as the Minister shallappoint.

(3) Documents, other than those referred to in subsection (2) of thissection and not including written laws, which refer, whether specificallyor generally, to the Club shall be construed in accordance with theprovisions of the said subsection (2), so far as applicable.

(4) Without prejudice to the generality of the foregoing provisionsof this section, the Republic shall have all such powers necessary totake possession and recover any property, to ascertain, perfect and

enforce any right, and to discharge any liability or obligation, vestedin the Republic by this section, and to deal therewith, as would havebeen enjoyed by the Club had the same remained vested in the Cluband had the Club not been dissolved.

6.-(1) Notwithstanding the provisions of section 5-(a) any obligation of a member, contained in the Memorandum of

Association of the Club, to contribute to the assets of the Clubin the event of its being wound up; and

(b) any obligation of a member or a person who has the privilegesof a member, contained in the Articles of Association of theClub, for any subscription in respect of any period commencingon or after the vesting date, and any obligation of a member orany such person aforesaid to contribute towards any fund orcollection for any particular entertainment or function due to beheld on or after the vesting date, and

(c) any obligation, contained in the Articles of Association of theClub, of a member for any unpaid entrance fee or any instalmentthereof,

shall, on the vesting date, be extinguished, and no rights thereundershall vest in the Republic.

(2) Notwithstanding the provisions of section 5-(a) no fund or sum collected specifically for, or as a contribution

towards, any particular entertainment or function due to be heldon or after the vesting date shall vest in the Republic, but thesame shall, on the vesting date by virtue of this Act and withoutfurther assurance, vest in the members' representative and shallbe held by him on trust to repay the same to the contributors inproportion to their contributions;

(b) the Staff Christmas fund maintained by the club shall not vestin the Republic, but the same shall, on the vesting date by virtueof this Act and without further assurance, vest in the members'representative and shall be held by him on trust to pay the sameto those members of the staff of the Club who, in accordance withpast practice, have received payments from such fund, in suchproportions as the Committee shall direct or, if no such directionshave been received within thirty days after the vesting date, insuch proportions as he shall, in his discretion, think fit,

and, subject to the provisions of subsection (1) of this section, themembers' representative shall have the same rights, powers and remediesto ascertain, take possession of and recover such funds and sums as areconferred on the Republic, as respects the property and rights vestedin the Republic, by subsection (4) of section 5.

(3) Notwithstanding the provisions of section 5 or of section 7, noliability of the Club arising out of any defamation or assault shall vestin the Republic and no proceedings relating thereto shall be continuedagainst the Republic or the Attorney-General.

7.-(1) Any legal proceedings pending immediately before the vestingLegalproceedings date to which the Club is a party insofar as they relate to any property,

right, liability or obligation vested in the Republic by virtue of thisAct or to any deed, bond or agreement or other document which haseffect in accordance with subsection (2) or subsection (3) of section 5,shall be continued by or against the Attorney-General on behalf of theRepublic (or such other officer of the Government as may be appointedin that behalf under the Government Suits Ordinance) in lieu of theClub.

(2) Where any proceedings are instituted by or against the Republicafter the appointed day in respect of any right, liability or obligationvested in or incurred by the Club, the Republic and every other partyto the proceedings may take all such objections and exceptions as mighthave been taken in proceedings by or against the Club, including,without prejudice to the generality of the foregoing, any objection orexception under the law relating to limitation of actions, and suchproceedings may be instituted notwithstanding any restriction containedin section 3 of the Government Suits Ordinance or otherwise limitingthe nature of suits which may be brought against the Republic as such.

8.-(1) Upon the vesting date, the Committee shall-Effecting andsecuring

(a) deliver possession of the immovable property vested by virtue ofvesting

this Act in the Republic, to such person as the Minister shallappoint;

(b) deliver the. movable property vested in the Republic or themembers' representative by virtue of this Act to such person asthe Minister shall direct and to the members' representativerespectively, together with all certificates of title, share and stockcertificates and warrants and other documents creating orevidencing any right to property, and all books, papers,documents, minutes, receipts and ledgers relating to the property,rights, liabilities and obligations of which it is divested by virtueof this Act,

and the members of the Committee and officers of the Club shall doall such things as are necessary or desirable for the more effectivevesting, in accordance with the provisions of this Act, of the property,rights, liabilities: and obligations vested in the Club immediately beforethe vesting date.

(2) The Minister may, by order, provide for any matter which appearsto him to be necessary or expedient for the purposes of securing theeffective vesting, in accordance with the provisions of this Act, of theproperty, rights, liabilities and obligations vested in the Club immediatelybefore the vesting date, and, without prejudice to the generality of theforegoing, may appoint a person to do any act or sign any documentrelating to the property and rights vested in the Club immediately beforethe vesting date whereby the provisions of this Act may be moreeffectually achieved; and every act done or document signed by a personin accordance with the provisions of such an order for such purposesshall be as effectual as if, it had, been done or made by the Club hadthe Club not been dissolved.

9. The Minister may, if he thinks fit, deliver to the donor or person having any interest therein any pictures, trophies, mementos and othermovable property of a similar nature vested in the Republic by thisAct which are of sentimental value to such donor or person, and anybooks, registers of members or histories of the Club, and upon hisdelivering any such property, it shall, notwithstanding the provisionsof this Act, vest in the person to whom it is delivered.

10.-(1) Subject to the provisions of this section, where, after thetwenty-seventh day of November, 1963, any disposition was made, b y or on behalf of the Club, of the property or rights of the Club, or anyperson was released or discharged, by or on behalf of the Club, fromany liability or obligation to the Club, such disposition, release ordischarge shall be deemed to have been void and nothing therein shallbe effectual to divest the Club of any such property or right or precludethe Republic or the members' representative from recovering suchproperty or rights or from enforcing such undertaking or obligation.

(2) Subject to the provisions of this section, where, after the twenty-seventh day of November, 1963, the Club has-

(a) made any payment to any person without consideration or foran inadequate consideration;

(b) sold or disposed of its property or rights without considerationor for an inadequate consideration;

(c) acquired any property or rights for an excessive consideration;(d) entered into or varied any agreement so as to require an excessive

consideration to be paid or given by the Club; or(e) entered into any other transaction of such an onerous nature as

to cause a loss to or impose a burden on the Club substantiallyexceeding any benefit accruing to that body,

and such transaction is not avoided under subsection (1) of this sectionwithout loss to the Republic, then, unless it is shown by the partysought to be charged that the transaction was effected in the ordinarycourse of business of the Club and was in no way connected with anyprovision of this Act or with any anticipation of the making of anysuch provision, any person who, being at the time a director of the Club,shall have been a party to authorizing the transaction shall be jointlyand severally liable, at the suit of the Attorney-General, to make goodthe loss to the Republic.

(3) Nothing in this section shall apply to-(a) any disposition, release, discharge or transaction in the ordinary

course of business of the Club;.(b) any disposition, release, discharge or transaction in pursuance of

any obligation entered into before the twenty-eighth day ofNovember, 1963, and binding on the Club.

(4) For the purpose of subsection (2) there shall be deemed to be aloss to the Republic if the value of the property and rights of the Club(after deducting the value of its liabilities and obligations) is lessimmediately after the disposition, release, discharge or transaction hasbeen effected than such value immediately beforehand, and the extentof the loss shall be the difference between such values.

Staff11.-(1) Where, by reason of the foregoing provisions of this Act,Special

provisions the Republic becomes a party to any agreement for the rendering byany person of personal services-

relatingto staff

(a) such person shall be deemed to have been appointed to theservice of the Republic on the terms of such agreement, includingany provision, whether or not contained in such agreement, inrelation to any provident fund to which he was a contributorimmediately before the vesting date; and for the purposes ofdetermining any right to gratuity, his service with the Republicunder such agreement shall be regarded as continuous with hisservice with the Club before the vesting date;

(b) such person's employment by the Club and by the Republic shallbe deemed to be continuous employment by one employerwithin the meaning of section 8A of the Severance AllowanceActs 1962Act, 1962, and that Act shall apply to the parties in the samemanner as it applies to the cases set out in subsection (1) of the

said section 8A.(2) Where, by reason of the foregoing provisions of this Act,

the Republic becomes a party to any agreement for the renderingby any person of personal services, such person may, within thirty daysof the vesting date, serve notice in writing on the Minister that hewishes to be discharged from his contract of service, and upon receiptof such notice the Minister shall terminate such person's employmentby the Republic and the termination of employment in any such caseshall, for the purposes of the Employment Ordinance, the SeveranceAllowance Act, 1962, and any other law (whether written or unwritten)relating to master and servant constitute a termination of employmentby the Republic without notice and without default on the part of theemployee, and the Republic shall make such payment to theemployee (including payment of sums standing to his credit in the StaffProvident Fund vested in the Republic by this Act) as is due in suchcases.

(3) Subject to any regulations made under section 16, nothing in theProvident Fund (Government Employees) Ordinance or in the CivilService Act, 1962, or in any regulations made or deemed to have beenmade thereunder, shall apply to a person employed in the service of theRepublic under an agreement to which this section relates.

(4) Subject to any regulations made under section 16, the StaffProvident Fund vested in the Republic by virtue of this Act shall bemaintained as a separate fund for the benefit of the persons employedin the service of the Republic under an agreement to which this sectionrelates, and the contributions payable by the employer thereunder inrespect of any period commencing on or after the vesting date shall bepaid by the Republic out of moneys provided by Parliament; and suchfund shall be deemed to have been established as a separate fund undersection 17 of the Exchequer and Audit Ordinance, 1961.Ord. 1961

12.-(l) The Committee may by notice in writing to the MinisterMembers'appoint some one or more of themselves or any other person or personsto exercise the functions of the members' representative, and may makesuch further appointments in place of the person or persons originallyappointed as they think fit.

(2) Pending the appointment of the members' representative, and ifthe Committee shall fail to appoint a members' representative, thePublic Trustee shall perform the functions of the members' represen-tative.

13.-(1) There shall be paid to every full member and every life member a sum equal to the entrance fee paid by such member, and to every associate member a sum equal to the entrance fee paid by suchassociate member.

(2) There shall be paid to every member, and to every person whoenjoys the privileges of a member, who has paid any sum by way ofsubscription in respect of any period on or after the vesting date, a sumequal to such proportion of such subscription as the period from thevesting date to the end of the subscription period bears to thesubscription period.

(3) For the purposes of this Act every full, life and associate memberelected to the Club before the first day of February, 1963, shall, unlessthe contrary be proved, be deemed to have paid the entrance feeprescribed by the Articles of Association as in force at the time of hiselection for the category of membership to which he was elected.

(4) Subject to the provisions of section 6, no sum, other than thatprovided for in this section, shall be paid to any member as compensa-tion for the dissolution of the Club or the divestment of the property orrights of the Club in accordance with this Act, and no compensationshall be paid to the Club on account of the dissolution of the Club orthe divestment of the property or rights of the Club in accordance withthis Act. ~,

14.-(1) The Minister shall pay the gross sum due to the members of the Club under section 13 to the members' representative who, shall hold the same on trust for, and shall distribute it to, the members andother persons entitled under section 13 to receive a share thereinaccording to their respective entitlements.

(2) The Minister shall, in addition, pay to the members' represen-tative such sum as shall be necessary to enable the members'representative to distribute the shares (including any sum payable undersubsection (2) of section 6) free of cost to himself or to such membersor to such other persons aforesaid.

(3) The sums necessary to give effect to the provisions of this sectionshall be charged on the Consolidated Fund.

15. The provisions of the Schedule hereto shall apply for the ascertainment of the sums due under sections 13 and 14 and the paymentthereof to the members' representative, but the settlement of any listbetween the Minister and the members representative or the determina-tion of any dispute in accordance with that Schedule shall not bebinding upon any person who claims he is entitled to any sum undersection 13.

Miscellaneous16. The Minister for Finance may make regulations for the purpose of amalgamating the Staff Provident Fund vested in the Republic bythis Act with the Government Employees Provident Fund, but noregulations shall be made whereby the benefits to which contributors tothe Staff Provident Fund would be entitled in respect of their employ-ment before the making of such regulations shall be less favourable thanthe benefits to which they would be entitled in respect, of that periodunder the rules governing the Staff Provident Fund.
