This 3-day course will cover a wide range of legal aspects of mining contracts negotiation and dispute resolution. In particular, it will cover:

The law in relation to negotiations in terms of what you say what is said to you and what you do in the course of a negotiation.

The law in relation to negotiation documents, for example, confidentiality agreements, minutes, letters of intent, terms sheets, heads of agreement and memoranda of understanding and draft contracts.

The preparation for negotiation and contract preparation by reference to risk identification, risk analysis and risk allocation.

Key negotiation techniques by reference to key techniques, key tactics and counters to manipulative tactics.

Key techniques to mitigate disputes arising during the contract.

Key issues to be negotiated in particular contracts e.g. confidentiality agreements, min-eral production sharing agreements, mineral study and bid agreements, mineral joint operating agreements, mining farm-in agreements and mineral purchase and sale agreements.

Issues when contracting with the Government and State-owned Enterprises.

Dispute resolution procedures in mining contracts by reference to private sector party to party agreements, international arbitration for private sector party to party agreements, international arbitration with governments and international arbitration clauses.

This course gives attendees a good understanding of all of the above matters that arise in the course of negotiation of mining contracts.

For those who have extensive experience, the course will provide an update on current best practice and provide an opportunity to debate and discuss the issues in a senior forum.

Workshop Overview Any losses in Fluid Measurements are very large and non-recoverable. It must be understood that at this point of the business; mistakes of any kind with processes in place are very critical and extremely costly.

Only through arbitration and lengthy legal claims can the losses be redeemed and only partial of that. Proper practices, insurance of accuracy in operation and precise instrumenta-tion measurement up front before losses can occur is of para-mount importance.

Errors in flow measurements subject petroleum companies to significant financial losses. The type of work requires properly conducting and maintaining accurate fluid flow and/or static fluids measurement is restrictive and very specialized. Controlling losses up front is much easier than re-claiming losses incurred due to improper measurement. Few organizations within the oil industries and outside engineer-ing firms can understand and comply with such work.

The workshop is designed to provide an overview of all the major activities performed in industry using and applying measurement instrumentation for fluid flow and all types of fluid dynamics.

It is never an easy task to describe the working functions of any group of specialists contributing on a daily basis to main-tain and enhance effectively the key area of the company’s business – the accurate measurement and control of its prod-ucts to the customer.

The workshop will endeavor to provide specialist support, introduce sophisticated state of the art monitoring and measurement systems develop/recommend proper procedures and design standards in line with international bodies to ensure mistakes and/or losses of any kind are alleviated and/or minimized.

After completion of the workshop participants will be-come better aware and more familiar with the func-tions and field tasks of measurement instrumentations for custody fluid flow dynamic, fluid statics and loss control; as well as enhance the overall awareness.
