ВельмишановнаГромадо!Дорогі земляки!Щиро вітаю Вас із визнач
ним державним святом — Днем Конституції України. Вперше в українській історії Основний Закон від 28-го червня 1996 року визнав людину, її життя і здоров’я, честь і гідність найвищою цінністю.
З відновленням своєї незалежносте Україна зробила незворотній вибір на користь свободи, демократії та верховенства права, упевнено крокуючи шляхом утвердження європейських стандартів у суспільному та економічному житті.
Наразі перед нашою державою стоїть важливе завдання - подолати розрив між конституційними нормами та реаліями життя мільйонів українських громадян. Переконаний, попри всі труднощі перехідного періоду та становлення молодої демократії Україна неухильно дотримуватиметься курсу на розбудову громадянського суспільства, сучасної ринкової економіки, повноцінної інтеграції до європейських та євроатлантичних структур.
Українці Америки уособлюють одну з найпотужніших українських світових громад, які вболівають за сьогодення та майбутнє Української Держави, підвищують своєю діяльністю вагомість і значимість закордонного українства в сучасному

Союз Українців Католиків “Провидіння” підписали договір про об’єднання
Скрентон, 17-го червня 2009 року. — Виконавчий Комітет Українського Братського Союзу та Екзекутивний Комітет СУК “Провидіння” підписали договір про об’єднання. Після майже 100-літнього існування обидва наші Союзи вирішили об’єднатися в одну, сильну братську організацію.
Такі спроби злуки українських братських союзів в Америці були й у минулому, але з різних причин з цього нічого не вийшло. Беручи до уваги теперішню економічну кризу, здоровий глузд підказує, що об’єднання наших двох Союзів є на часі. Воно зміцнить нас у кількості членів і фінансовому
стані, таким чином заощадивши сотні тисяч долярів на подвійні адміністративні витрати.
Злука наших двох братських організацій дає нам певну запоруку "на краще майутнє та на довше служіння своїм членам і громаді.
Згідно з вимогами Стей- тового Департаменту Забез
печення помішуємо договір про об’єднання “Agreement of Merger” у наших офіційних пресових органах “Народна Воля” та “Америка”.

“Зміни до Конституції необхідно вносити за результатами всенародного референдуму”
24-го червня 2009 року.“Зміни до Конституції необхідно вносити за результатами всенародного референдуму”, — наголосив Президент України Віктор Ющенко під час зустрічі зі студентами Харківщини, ректорами та викладачами вузів, науковцями області.
“Конституція України потребує не змін і доповнень, а нової редакції, яка дасть відповіді на всі виклики”, — підкреслив він, додавши, що “якщо ми цього не зрозуміємо, ми не підійдемо до мотивів конституційної реформи, і вона виглядатиме як неактуальне завдання. Що є глибокою помилкою”.
Президент пояснив, що ключова проблема владних інституцій — відсутність стабільності, що зумовлено недосконалою конституційною реформою 2004 року.
Говорячи про недоліки чинної Конституції, Президент вказав на те, що партійність фактично спричинила параліч органів виконавчої влади та державного управління, що не є властивим для цих інституцій. Окрім того, парлямент має тенденцію до зловживань і корупції внаслідок обрання за закритими списками та користування значним парля- ментським імунітетом.

слявиборчий час. Саме такий підхід, на переконання Президента, засвідчує, що зміни до Конституції розроблені безвідносно до того, хто буде наступним президентом чи матиме більшість у парляменті.
“Більш важливого питання, яке б стосувалося кожного громадянина, немає”,— переконаний Президент.
Він пояснив, що запропоновані ним зміни до Конституції передбачають посилення гарантій прав людини та принципу рівності таких прав. У цьому контексті пропонується скасувати депу
татську недоторканність, розширити перелік питань, які можуть вирішуватися на загальнонаціональному референдумі, в тому числі до них віднесено прийняття змін і доповнень до Конституції; надання громадянам права законодавчої ініціяти- ви.
“Конституція повинна належати виключно народу. Тому будь-які зміни, доповнення і вилучення повинні прийматися виключно на всенародному референдумі”, — сказав Президент, додавши, що це має застерегти від повторення поми

жив, що висновок Венеціян- ської комісії щодо президентського проекту змін до Основного Закону є одним з найкращих з початку 90- их років. “Той висновок, який ми отримали, — це одне з найкращих заклю- чень Венеціянської комісії з початку 90-их років по всіх варіянтах, які Україна подавала на відповідні правові заключення”, — наголосив Віктор Ющенко.

Пізно вночі 20-го червня на футбольному стадіоні “Veltins-Arena” у Гельзенкір- хені (Німеччина) Володимир Кличко підтвердив право називатися найсильні- шим атлетом у надважкій категорії професійного боксу у протистоянні з непереможним до цього Русланом Чаґаєвим з Узбекистану.
І хоча пояс і титул чемпіона WBA, котрий ніби належить “чемпіону на лікарняному” Чаґаєву, не розігрувався, інтриґа була неабияка — на кону стояли три пояси Володимира, завойовані у XXI столітті вперше одним атлетом. Тож не дивно, що 60-тисячні трибуни були заповнені вщерть. Це зафіксовано як рекорд для боксерських шоу. Кличко- молодший, який не віддав таки свої титули за версіями WBO, IBF та ІВО, всьоме захистив свій титул за версією Міжнародної боксерської федерації (IBF), що є найбільшою кількістю захистів титулу за цією версією у надважкій вазі за всю історію її існування. І це також офіційно визнано світовим рекордом. На додачу Володимир отримав ще й титул чемпіона світу за версією авторитетного американського журналу “Ринг” з врученням відповідного, четвертого, пояса.
Власне, бій засвідчив, що на сьогоднішній день справді немає рівних українському бійцю. Володимир був настільки переконливішим за Чаґаєва, що, зі спортивної точки зору, хотілося б і більшої інтриґи. Адже чемпіон світу за версією WBA не зміг реалізувати те, що давало йому шанс на перемогу, — зробити темп бою рваним, часто і несподівано скорочуючи дистанцію та намагаючись діставати Кличка аперкотами та боковими. Руслан так і не
спромігся пробити захист українця, натомість сам нахапався вдосталь дошкульних ударів. У результаті — перемога Володимира технічним нокаутом у 9-му раунді. Адже після багатьох пропущених ударів саме у цьому раунді, команда суперника прийняла рішення не випускати Руслана на 10-
ий раунд. До цього Чаґаєв встиг побувати у нокдауні вже в другому раунді.
“Чагаєв бився добре, але я був кращим за нього. Однозначно, мені шкода, що бій зупинили. Але секунданти зробили правильно, бо здоров’я боксера важливіше”, — сказав Володимир і додав: “Чаґаєв у любителях перемагав легендарного кубинця Фелікса Савона. На професійному рингу він до бою зі мною взагалі не знав поразок, при цьому вигравав у Миколи Валуєва. Я просто щасливий, що мені вдалося покинути ринг переможцем”.
Хто кине рукавичку українцю, який не знає поразок вже в 11-ть поєдинках поспіль, достеменно не відомо. Менеджмент чемпіона вважає, що це можуть бути американець Кріс Арреола, росіянин Володимир Повєткін чи британець Девід Хей. Десь никається “чемпіон WBA у відпустці” Микола Валуєв — найцікавіший суперник — теж нібито при поясі (один на двох з Чаґаєвим?). Є до кого докласти руки братам Кличкам...

25-го червня 2009 року. “Криза в Україні не завершується, а посилюється”,- наголосив на презентації осередку “Фронту змін” у Запоріжжі Арсеній Яценюк.
Він зазначив, що “відповіді на кризу” немає ні в кого: ні в українців, ні у влади, яка представляє українців. “Я чітко розумію, що криза буде далі рухатися і, як правило, вона має певні хвилі. Наступна хвиля кризи — це, звичайно, осінь і зима, адже країна втратила 30 відсотків ВВП. Почуйте цю цифру! Ми кожен рік приростали, в середньому, на 5-6 відсотків. 30 відсотків — це ми, фактично, втратили майже декаду нашого розвитку. Ми повернулися на докризові показники 1998 року”, — сказав Яценюк.
Коментуючи економічну ситуацію в країні, він зазначив, що 15 мільярдів гривень сьогодні становить сума невідшкодованого ПДВ. “Це просто в когось забрали гроші і не віддали. У кого забрали? У підприємців, у робітників. їм просто не віддають гроші для того, щоб показувати виконання бюджету. 9 мільярдів гривень передплати — просто зібрали податки на декілька місяців наперед. 105 мільяр-

дів долярів ми винні зовнішньому світу. Це декілька обсягів українського бюджету. Хто за все це буде платити? Я вам скажу: нам доведеться за усе це розраховуватися”, — зауважив він.
Арсеній Яценюк наголосив, що, окрім віддавання зовнішніх боргів, перед новою українською владою постануть п’ять основних проблем: перша політично розколота країна, друга — відсутність чіткого управління, третя — відсутність єдності нації, четверта — несформована політична ідея і нація. Остання, п’ята — неймовірні економічні проблеми.

"Україна повинна стати членом EC"25-го червня 2009 року.
“Европа має діяти разом”,- цитує міністра закордонних справ Великої Британії, який відвідав Варшаву, Дейвида Мілібенда польська газета “Dziennik”.
Заклик спільно діяти стосувався не лише боротьби із світовою фінансовою кризою та протекціонізму, а й розширення Европейського Союзу.
Дейвид Мілібенд вважає, що членами Спільноти повинні стати не лише держави західної частини Балканського півострова, а й Туреччина та Україна.

Споживання енергоносіїв постійно зростає, а постачальники стають все менш надійними партнерами. “Українсько-російська газова війна минулої зими не була одноразовим явищем. Проте, це може стати правилом, якщо ми не матимемо спільної енергетичної політики”, — попереджує Девід Мілібенд на шпальтах газети “Dziennik”.

Світовий банк б'є на сполох: українці вмирають, як ніхто
25-го червня 2009 року. Світовий банк стурбований демографічною ситуацією і ситуацією у сфері охорони здоров’я в Україні. Про це сказано у проведеному фахівцями Світового банку дослідженні “П одолання в У країні кризи здоров’я людини”, передає “РБК-України”.
Відповідно до результатів дослідження, приблизно половини смертей у віці до 75 років в Україні можна було б уникнути при адекватній профілактиці й лікуванні. “Порівняно із громадянами інших європейських країн українці ведуть менш здоровий спо
сіб ж иття і отримують гірші послуги у сфері охорони здоров’я”, — зазначив старший економіст Світового банку Рекха Менон.
За даними Світового банку, в Україні найвищі темпи скорочення населення в Европі. “Ймовірність досягнення похилого віку для громадян України є більш низькою порівняно із країнами Центральної Европи. Юлія Тимошенко “помилувала” директора летовищаПрем'єр пообіцяла дати Львову 500 млн. грн. на Евро-2012

У четвер, 25-го червня 2009 року, у Львові побувала Прем’єр-міністер України Юлія Тимошенко, щоб на власні очі побачити, як міська та обласна влада готуються до футбольного чемпіонату Евро-2012. А також підписати регіональну Угоду про співпрацю між Львівською областю та Кабінетом Міністрів. Згідно із цим документом, Львів отримає 500 млн. грн. на підготовку об’єктів до Евро (загальна сума, про яку йдеться в угоді, — 3.2 млрд. грн.). Крім того, прем’єр провела зустріч із керівництвом летовища та побувала на будівництві нового стадіону.
Кореспондент дізналася, що приземлення на львівському летовищі київського “десанту” було не зовсім м’якеньким. Через те, що злітна смуга на летовищі у ямах, керівника уряду добряче “трусонуло”...

го “Мерседеса” і попрямувала до місця, з якого як на долоні видно будівництво евростадіону. Тимошенко була задоволена тим, що побачила. “У Верховній Раді розглядається Закон про фінансування Евро-2012, який дасть змогу одержати на ці цілі живими грішми до 10 млрд. грн.”, — запевнила присутніх голова уряду. Прем’єр пообіцяла питання Евро взяти під свій особистий патронат, і раз на два тижні зустрічатися з міською та обласною владою з приводу цього питання. При цьому високо оцінила роботу віце-прем’єр-міністра Івана Васюника з підготовки України до проведення Евро-2012: “Іван Васюник робить навіть неможливе, щоб увійти в усі графіки”. Юлія Тимошенко розраховує, що інвестора для будівництва нового термінала летовища “Львів” буде залучено до серпня.

У Києві відбулося віче до 65-их роковин загибелі Ольжича10-го червня 2009 р. у
Києві відбулося поминальне віче до 65-их роковин трагічної загибелі в нацистському концтаборі Саксенгавзен визначного політика, громадського діяча, поета, публіциста, науковця, заступника Голови ПУН і ОУН та провідника ОУН на Центральних і Східних землях України Олега Кандиби- Ольжича. Біля меморіяль- ної дошки на столичній вулиці Льва Толстого №15, де в 1941-1942 роках певний час мешкав Ольжич зібралися члени ОУН(д) і представники патріотичних сил столиці, щоб вшанувати цю визначну особистість.
Разом із представниками столичної організації Об’єднання Українських Націоналістів (державників) у заході взяли участь провідниця Київської обласної організації ОУН(д) Наталія Не- дошитко, відомі громадські діячі, колишні політв’язні: Олесь Шевченко і Василь Овсієнко, капітан 1-ої ранґи Євген Лупаков, координатор Української Патріотичної Асоціяції, полковник Ігор Лісодід, представники творчої еліти столиці.
На початку віче його учасники вшанували О. Ольжича хвилиною мовчання. Відкриваючи захід член Центрального Проводу ОУН(д) Ганна Тимочко сказала, що є постаті в історії, які пробуджують духовні сили нації, дозволяючи нам краще усвідомити хто ми є. До таких належав Олег Кандиба-Ольжич.
У своєму виступі Голова Центрального Проводу ОУ- Н(д) Павло Дорожинський торкнувся непростої теми — інтерпретації подій, пов’яз
аних з арештом Ольжича в травні 1944 р о к у у Львові. Адже зараз з’явилося чимало публікацій, в яких доводиться, що Ольжич добровільно здався ґестапо, хоч мав змогу уникнути арешту. За словами Павла Дорожин- ського, на хибність такої інтерпретації тих подій вказують спогади найближчих співробітників Ольжича: Олега Лащенка, Марка Антоновича, Ярослава Гайва- са, Олега Штуля-Ждановича та інших. Ховаючись від переслідувань Ольжич знаходився в підпіллі, постійно змінюючи місце перебування, щоб його не могли вислідити. З наближенням со- вєтських військ, він не збирався лишати Україну, пля- нуючи продовжити підпільну боротьбу проти окупантів, і незадовго до арешту Ольжич вів переговори з Романом Шухевичем. За існуючою домовленістю, Ольжич мав стати ідеологічним і політичним керівником, а Шухевич — очолити військовий напрям боротьби. На жаль цим плянам не вдалося збутися. Ольжич загинув мученицькою смертю у концтаборі від рук нацистських окупантів, Шухевич поліг у бою з совєтськи- ми окупантами.
Нам ще потрібно багато зробити, щоб постать Олега Кандиби-Ольжича мала гідне його визнання в уже незалежній Українській Державі, за яку він віддав своє життя. З великою гіркотою Павло Дорожинський нагадав недавні події, коли члени ОУН(д) звернулися в комісію з державних відзнак при Секретаріятові Президента з пропозицією надати
Олег Ольжич.

Ольжичу звання Героя України до 100-річчя з дня народження. Жодної відповіді так і не надійшло. Натомість, цим високим званням нагороджують людей, які зробили для Української держави значно менше.
— На жаль наші державні діячі ще не доросли до справжнього розуміння і сприйняття постаті Олега Канди- би-Ольжича, — зауважив у своєму виступі відомий громадський діяч, довголітній політв’язень совєтських таборів Олесь Шевченко. — Це тому, що до влади прийшли не державники, а олігархічні клани, часто з кримінальним минулим. Ми повинні усвідомлювати, що теперішні керівники і міністри тимчасові, через десяток років про них може і не згадають. Натомість, завжди перемагає мужність бути справжнім українським патріотом, таких як Ольжич.
Привітавши учасників віче від Конгресу Українських Націоналістів, Всеукраїнської Ради ветеранів і Спілки офіцерів України капітан 1-ої ранґи Євген Лупаков зазначив, що у боротьбі за здобуття незалежної держави пролито ріки крові українських патріотів.
— Ми здобули державу, але тепер маємо здобути душі українців, щоб наст упного разу вони обирали справжніх патріотів-державників, яким був Ольжич. Коли до влади прийдуть такі патріоти, лише тоді гідно буде пошановано ім’я Ольжича і багатьох інших патріотів, які здобували Українську Державність.
— Влада не визнає таких героїв, бо це піґмеї у порівнянні з величчю постаті Ольжича, — з болем зауважила народна артистка України Галина Яблонська. Говорячи про події 65-річної давнини, коли між двома націоналістичними організаціями було протистояння, Ольжич був проти якого не будь загострення. Він розумів, що злом зло подолати не можна. Якщо б ОУН під керівництвом полк. А. Мельника та його заступника Олега Кандиби-Ольжича пішли на помсту, це б ще більше знек- ровило обидві націоналістичні сили. Тому Ольжич розумів, що потрібно вести боротьбу з окупантами, а не класти сили в кривавому братовбивчому протистоянні.
За словами члена Центрального Проводу ОУН(д) Олега Ціборовського сьогодні разом з Ольжичем ми вшановуємо всіх тих, хто поклав своє ж иття у боротьбі за незалежність Української держави. Постаті Олега Кандиби-Ольжича і Олени Теліги мають бути прикладом для нас, бо державою не можуть керувати циніки, безпринципні, безідейні люди. Ці думки продовжили у своїх виступах член Центрального проводу ОУН(д) Віталій Матяш і
член столичної організації Сергій Кудра.
Згадавш и про конф еренц ію , яку провели в Ужгороді до 70-их роковин Карпатської України член Громадсько-політичної Ради ОУН(д) Валерій Бублик розповів, з яким піднесенням говорили її молоді учасники про постать Ольжича і його ролю в обороні Карпатської України. На жаль, за словами виступаючих, в Україні ще замало ґрунтовних наукових розвідок, в яких би було розкрито цю визначну постать.
— Олег Кандиба-Ольжич у свій час для оточуючих був взірцем служіння Україні, — наголосив координатор Української Патріотичної Асоціяції, полковник Ігор Лісодід. — Він таким залишився для нас.
Згадали учасники віче і про батька Ольжича — визначного поета — володаря ліри, музики і слова Олександра Олеся. Член Громадсько-політичної Ради ОУН(д) Анатолій Доценко, а також член Центрального Проводу ОУН(д) Ганна Тимочко розповіли про того, завдяки кому Олег Кан- диба отримав перші лекції патріотичного виховання.
Під час віче прозвучали уривки з мистецької композиції “Ольжич назавжди” у виконанні народної артистки України Галини Яблон- ської, а також поезії Ольжича і повстанська пісня у виконанні актора і журналіста Кирила Булкіна. На завершення віче його учасники виконали гимн України.

Річні Загальні Збори Української Федеральної Кредитної СпілкиУ неділю, 26-го квітня
2009 року, в місті Рочестер, НЙ, відбулися Річні Загальні Збори Української Федеральної Кредитної Спілки у шкільній залі при Українській Католицькій Церкві Св. Йосафата (940 Ридж Ровд Іст). Присутніх було 158 осіб. Збори розпочались хвилиною мовчання у пам’ять відійшовших від нас членів за минулий 2008 рік. Протокол попередніх Зборів, які відбулися в березні 2009 р. в громадській залі при Слав’янській Церкві П’ятидесятників, зачитав Стефан Вовелко. Звіт Президента УФКС зачитав Василь Корнило. У своєму звіті В. Корнило зосередився на ключових моментах роботи УФКС, таких як фінансовий стан УФКС, демографії, маркетингових можливостях, а також наголосив на необхідності трима
тися разом, особливо в період світової економічної фінансової нестабільності. Після нього слово взяла Христина Олексин — скарбник УФКС. Вона відмітила, що, незважаючи на фінансові економічні труднощі в країні та в усьому світі, наша УФКС є безпечною і надійною фінансовою установою, що працює в інтересах своїх членів.

нансову аналізу досягнень УФКС за 2008 рік, дав перелік зроблених нововведень та плянів на наступний рік, а також подякував працівникам УФКС за їх важливий внесок в успішну працю Кредитної Спілки.
У звіті культурно-освітнього комітету висвітлювались пропозиції, зроблені Комітетом Раді Директорів по задоволенню фінансових прохань та запитів, які отримує УФКС від своїх членів, громади та організацій, а також було відмічено кількість стипендій, що видає УФКС щороку своїм чле- нам-студентам. трольної Комісії зачитав її голова д-р Євген Лилак. Він запевнив громаду, що Рада директорів і менеджмент тримає УФКС під пильною контролею , що робить УФКС безпечною та надійною фінансовою установою для наших членів.
Після звітів поступили деякі пропозиції від членів щодо покращення послуг УФКС. Номінаційна Комісія зачитала результати виборів до Ради Директорів. На підставі обрахових бюлетенів авдиторською фірмою Бонадіо Груп, необхідну кількість голосів набрали: Ярослав Фатяк, Богдан За-
харчишин, Ярослав Кирик, Барбара Гутієррес та Ричард Гарріс.
Перед закінченням Зборів, голова Ради Директорів відзначив довголітнього заслуженого члена Ради УФКС, Володимира (Мірка) Пили- шенка, який відійшов з Ради Директорів при кінці його каденції у 2009 р. Опісля було надано слово гостям УФКС — делегації бібліотекарів з різних міст України— Києва, Харкова, Полтави та Луганська. Вони висловили подяку за запрошення, а також впевненість, що досвід роботи по програмі “Відкритий Світ” стане для них незабутнім враженням, як також матиме велике значення для розвитку бібліотечної справи в Україні. Під час їхнього виступу, одна з учасниць програми, Олена Туркіна (м. Полтава) вручила місцевій громаді та Товариству “Міста-Побрати- ми Ірондеквойт-Полтава” грамоту — подяку за довголітню співпрацю.
Після закриття Загальних зборів, о. Кирило Анджело, парох Церкви Св. Йосафата поблагословив членів і гостей, котрі мали смачну перекуску, приготовану членами Української Католицької Церкви Св. Йосафата — Ю рієм Ганушевським та його помічниками.

26-го травня 2009 року. — 4-го травня 2009 року в приміщ енні Канадійського Інституту Українських Студій Альбертського Університету підписано угоду про наукову співпрацю між КІУСом і Національним Університетом “Києво-Могилян- ська академія” (КМА). Угоду підписали керівники обох науково-освітніх закладів: директор КІУСу д-р Зенон Когут і Президент КМА д-р Сергій Квіт.
Угода передбачає наукову співпрацю у дослідженні історії, культури й української літератури XVI-ro-XX- го ст., що включатиме здійснення проекту з вивчення та видання стародруків і рукописних текстів, зокрема полемічних, дидактично- моралістичних і гомілетич- них творів XVI-го — XVIII- го ст.; вивчення окремих літературних та історично-со- ціяльних видів сучасної України; проведення семінарів для студентів, аспірантів і докторантів; обміни студентами, аспірантами та докторантами для короткочасних навчальних та дослідницьких відряджень; та обміни книгами, журналами, іншою літературою й інформацією.
Перший вагомий проект буде пов’язаний із дослідженням релігійно-культур- ної спадщини України. Він передбачає видання корпусу текстів під назвою “Антологія української проповіді XVII-ro ст.”, що включатиме твори таких відомих проповідників і діячів Церкви, як Інокентій Ґізель, Варлаам Ясинський, Стефан Явор- ський, та оказійні й тематичні збірки проповідей. Окремими томами плянує-
ться видати каталог існуючих рукописних джерел і наукові розвідки стосовно даних текстів, що розглядатимуть такі питання, як культурне надприродне явище, мова та стилістика українського проповідництва, розвиток українського Богослов’я, риторично-етичні особливості ораторської прози й її філософсько-ан- тропологічну аналізу.
Д-р Квіт також мав нагоду зустрітися з керівниками та працівниками КІУСу, інших відділів Альбертського Університету й ознайомитися з їхньою працею. Д-р Ірина Сивенька ознайомила гостя з діяльністю українських програм у “Відділі сучасних мов і культурологічних студій”. Під час зустрічі на “Факультеті аспірантських і докторських студій” він поцікавився питаннями адміністрування та структури докторських програм Альбертського Університету, адже КМА першим в Україні збирається впровадити подібні програми за
західнім зразком (PhD).Д-р Квіт відвідав “Школу
підприємництва”, де директор її програм Джан Дойл ознайомив його з програмами школи. А на прийнятті у факультетському клюбі Президента КМА вітали д-р Брітта Барон, Віце-Провост і Заступник Віце-Президен- та “3 питань міжнародніх зв’язків” і директор “Закордонної освітньої програми”. На запрошення директора “Українського центру засобів і розвитку” Романа Пет- ришина він також провів зустрічі у Каледжі ім. Ґранта МакЮена. **
Д-р Квіт мав нагоду двічі виступити перед українською громадою Едмонтону. Він докладно розповів про неповторність КМА як найстарішого вищого навчального закладу України. Заснована на початку XVII- ro ст., вона якнайкраще відповідала потребам духовного життя українців у період радикальних суспільно-політичних змін, народньо-ви- звольних воєн і формуван
ня Української Держави. У стінах академії навчалося багато відомих українців, як-от Гетьмани Іван Вигов- ський, Петро Дорошенко, Іван М азепа, архітектор Іван Григорович-Барський, композитори Максим Бере- зовський і Артем Ведель, поет і Архиєпископ Лазар Баранович, М итрополит Стефан Яворський, філософ Григорій Сковорода й ін. У 1819-1918 pp. імперським наказом КМА перетворено на духовну академію, а в совєтський час — на військове училище. І лише з постанням незалежносте в 1991 р. статус академії було відновлено.
На сьогодні КМА славиться як одна з найпрести- жевіших науково-освітніх установ України, що взору- ється на західні зразки осві
ти. Досить сказати, що навчання тут проводиться двома мовами — українською й англійською, і до викладання запрошуються кращі чужоземні викладачі. До того ж приміщення КМА — це ще й важливі історично-ар- хітектурні пам’ятки України, як-от Благовіщенська Конґреґаційна Церква, де студенти та ви п у с к н и к и беруть шлюб і охрещують своїх дітей.
Д-р Квіт був обраний Президентом КМА у 2007 році, заступивши на цій посаді першого Президента Вячеслава Брюховецького. Він автор 10 книг і численних публікацій з питань комунікації та масової інформації, журналістики та літератури.

У неділю, 17-го травня, після кількох довгих літ парафіяни Храму Святого Отця Николая мали змогу відсвяткувати традиціний обід “Свячене”. Отець парох Мирон Миронюк попросив Управу та членів Української Громади Філядельфії долучитися до того діла, й Управа Громади сміливо погодилася виконати цей обов’язок. Ранок почався Святою Літургією в храмі, а опісля парафіяни перейшли до головної залі Української Громади Філядельфії.
Десять круглих столів, накритих червоними обрусами з білим посудом і вазонками квітів у центрі, були розтав- лені у гарно прибраній залі. Різноманітні тарелі з ковбасою, кабаносами, бабкою, бараболяною салатою, галушками, яйцями, бурачка- ми та двома фляшками вина вигинали своєю вагою кожний стіл.
Парафіяни зайшли до залі, сіли за столами та чекали на отця пароха. За хвилинку отець Мирон відкрив
“Свячене” молитвою та співом “Христос Воскрес!”, поблагословив їжу та присут
ніх, а відтак почалася святочна трапеза.

же ознайомче слово виголосив д-р Леонід Рудницький на тему: “Блаженіший і його
вплив на Церкву в Україні”. Всі присутні в залі осолодилися чіткими словами та спогадами д-ра Рудницького про Блаженішого, нагородивши його гучними оплесками.
Перед кавою та солодким Ярослав Леськів — Голова Української Громади Філядельфії, Левко Строцький — Заступник Голови, та Віра Німчук — Скарбник, попросили отця пароха Мирона Миронюка стати з ними перед сценою, де вони йому подарували п’ятсот долярів від Української Громади Філядельфії на потреби Парафії Святого Отця Николая. Отець Мирон сердечно подякував Управі та членам Української Громади Філядельфії за щедрий дар на парафію та за виняткове підготування та проведення траційного “Свяченого”.
На завершення отець Мирон побажав Управі та членам Української Громади гарних успіхів у майбутньому та співпраці з церквою на загальне добро української громади.

Гості мали нагоди поспостерігати за майстрами у праці та почути чарівні звуки бандури, цимбалів і трембіти у виконанні Богдани Яро- севич, Галини Стефурак Караман і Дмитра Луціва. Заснована у 1917 році Українська Громада у Філядельфії з 2005 року під опікою Мистецького Комітету, бере участь у Fairmont Arts Crawl, котре є своєрідним святом мистецтва громади в околиці Fairmont. Усі навколишні ресторани, кафе та бари стають ґалеріями для представлення мистецтва. Виставки ж українського мистецтва мають добру славу та визнання не лише серед українців і людей мистецького кола, а також вражають своєю маштабні- стю та приємно дивують багатством наших українських талантів, величчю українського духу, своїм соєрідним і неповторним поглядом на світ.
Покликанням Мистецького Комітету є збереження української культури та звичаїв завдяки розповсюдженню й експонуванню українського народнього та сучасного
мистецтва. Станом на сьогодні здійснено вже п’ять успішних мистецьких виставок і один показ моди, представлено творчі праці 31 мист- ця. Більше 5,000 гостей відвідали виставки.

Прем’єрка вирішила кадрове питання, яке виникло із керівником львівського летовища. Вона скасувала наказ колишнього міністра транспорту та зв’язку Йосипа Вінського та залишила на посаді Олександра Загреву (рішення приймала на основі звернень працівників). Керівник летовища дав гарантії прем’єру, що за тиждень у Львові сформують авкціонний комітет. А за два тижні проведуть відкритий авкціон, на якому оберуть найкращу компанію, яка й будуватиме на летовищі новий термінал. Питаннями розбудови летовища займатиметься заступник пана Загреви. Аби чиновники приймаючих міст не зловживали державними грошима, які виділятимуть з бюджету, Кабінет Міністрів створив громадську раду експертів, що контролюватиме якість виконання робіт. А також стежитиме, аби ціни у кошторисах не були завищені (до цієї ради можуть увійти також два представники з Львівщини). Голова ЛОДА Микола Кміть, своєю чергою, пообіцяв вирішити питання із землями мешканців Сокільник, які потрапляють у зону реконструкції летовища. На викуп цих земель на рахунки казначейства уже надійшло 5 млн. 100 тисяч грн.
Приїзд Юлії Тимошенко до Львова не обійшовся без пікетів під стінами обласної державної адміністрації. Тут зібралося близько п’ятисот осіб. Дехто тримав і образливі плякати, але міліція їх розірвала. Представники “ЛАЗу” кричали біля “білого дому”: “Ганьба!”. У натовпі стояли також працівники “Львівсільмаш у”: люди скаржилися, що керівництво збирається закрити підприємство. Ukrainian Fraternal Association announces merger with Providence Association
Scranton, Pennsylvania. OnJune 17, 2009, The Ukrainian Fraternal Association (“UFA”) and The Providence Association of Ukrainian Catholics (“Providence”) signed a historic Agreement of Merger that results in a fraternal benefit and life insurance society composed of nearly19,000 members, over $50 million of life insurance in force and assets of over $21 million. The governing bodies of both entities mutually concluded that combining the two societies into a common effort will help to: provide greater financial security to all of the members, especially in these turbulent economic times; preserve the societies’ and their members’ common cultural and ethnic heritage; and foster and promote their fraternal missions within the Ukrainian American community at large.
The UFA’s members and the chapters (“branches”) into which they have traditionally organized themselves will now participate and be a significant part of Providence’s strategic growth and marketing plans. They will also be able to take advantage of a more diverse portfolio of insurance products, including annuity savings certificates, IRA annuities, higher available policy limits and a premium structure tailored to the latest mortality tables.
Equally important to both societies are the benefits of streamlined operations and a growth in the number of active chapters, fraternal officers, and professional and fraternal agents and counselors. The integration of the societies’ newspaper subscriber base and other periodical operations will enhance
overall circulation and more efficiently disseminate news that is important to the Ukrainian American community.
Although the surviving charter, bylaws and governing bodies will be Providence’s, it is important to note that the merger agreement, at the grass roots level, will preserve UFA’s active branches and branch officers and representatives. The integration will lead to greater growth, strength and stability at all levels.
The Providence Association will assume all of the UFA’s pending life insurance certificates (“policies”) and will honor and preserve all of the obligations and responsibilities to the UFA membership. Providence will also honor all current Narodna Volya newspaper subscriptions with corresponding
issues of the America newspaper. The certificate (policy) obligations will be reserved and guaranteed with the entire claims paying ability of the merged entity. The merger will have no effect whatsoever on Providence life insurance or annuity certificates (policies).
The merger agreement also creates a five-member Advisory Council to Providence’s governing body known as the General Assembly. The UFA has already appointed these five people. Providence has also committed to a celebration of the UFA’s 100th anniversary in the year 2010, even as it prepares to celebrate its own centennial in the year 2012.

May 3, 2009 was a beautiful, sunny Sunday, one of the first truly pleasant days of this spring. It was an ideal day to spend outdoors, and yet a significant number of members of Selfreliance Ukrainian American Federal Credit Union in Chicago began to gather at 1:00 in the afternoon on the 3rd floor of the credit union’s Home office for its Annual Meeting, to support their credit union, to listen to the reports of its activities in 2008 and to plan for 2009.
After all, in 1951 Ukrainian Americans from Chicago organized to found Selfreliance, so that members could work together cooperatively, to provide financial services for start-up businesses, professionals and homeowners, and to support the growing community and its various organizations.
The meeting was called to order precisely at 2:00 by Dr. Michael R. Kos, Chairman of the Board of SUAFCU, who asked the Ukrainian American Veterans’ Color Guard to post the flags. Following a rendition of the U S and Ukrainian hymns and a moment of silence to honor

cessions. His report concluded on a positive note, stating that as a “cautious optimist”:
“Difficult times are certainly ahead of us. But I am confident. We have the Board, committee members and staff that are capable of functioning in this difficult environment. And when I look at history, while the Great Depression was a tragic era, the United States came out of it as the most powerful and richest country in the world. I am confident that, while it is not going to be easy, we will also overcome this economic crisis. May God bless every one of you, the United States of America and Ukraine.”
Selfreliance President/CEO reported on the credit union’s financial status, stating that for the past decade he has been emphasizing the need to grow capital, to make the credit union strong, so it could continue to provide services to its members into the future. “As a result of our efforts, in 2008, when other financial institutions were faced with ever increasing problems, our credit union maintained its viability.”
“In 2008, while other institutions were failing, being merged or bailed out, we maintained our viability. Our net income was a very respectable $3,424,527, which increased our capital to a solid $84,995,549. Today Selfre
liance UAFCU is among the best capitalized financial institutions in the United States.
As of December 31, 2008, assets were $472,052,527, loans were $250,596,065, membership was 23,889. The business plan which we laid out prepared us for this moment. Unlike other financial institutions, our credit union will continue to be profitable and stable.”
Selfreliance Vice-Chair Ores- ta Fedyniak, chair of the newly created Selfreliance Foundation, explained that The Selfreliance Foundation was created to separate financial operations from community-related aspects of the credit union’s activities. The credit union’s board can now concentrate on financial matters and keeping the institution strong, while the Foundation evaluates the numerous requests for support which are received regularly. Oresta Fedyniak also explained the application procedure and stated that funding would be provided only to registered 501(c)3 organizations who use Selfreliance as their primary financial institution.
Vice-Chair Oleh Karawan reported on the construction initiatives in which the credit union is involved. The new Selfreliance office in Parsippany has relocated to Whippany, New Jersey, at the Ukrainian American Cultural Center. The Ukrai
nian Cultural Center in Palatine, IL is scheduled for completion this summer, at which time the credit union’s office will also be relocated to the Cultural Center premise.
Anthony Kit reported for the Credit Committee, which he chairs. In 2008 the Committee approved 1,328 loans totaling $40,942,280.
The Supervisory Committee report was read by committee chair Bohdan Wruskyj. He explained the responsibilities of the Supervisory Committee and shared the good news that the credit union’s federal auditor, the Credit Union National Administration, gave the credit union a high rating as a result of its strength and stability.
A discussion period followed with comments from members of the assembly. The reports of the outgoing Board were approved, and in the ensuing elections, credit union members reelected the Board of Directors for another term.
A number of credit union leaders took the podium to greet the assembly and to thank Selfreliance for its support during the past year. Chicago’s new Consul General of Ukraine, Hon. Konstantyn Kudrik expressed his delight at learning that there was a strong Ukrainian community in Chicago, with its own credit union. Bohdan Melnyk greeted the assembly from the Ukrainian Congress Committee of America, Illinois Branch.
There were quite a few clergy in attendance: rev. Bohdan Nalysnyk of St. Nicholas Catholic Cathedral, rev. Mykhailo Pasika from St. Sophia Ukrainian Orthodox Church (Kyiv Patriarchate), rev. Pankratiy of the St. Volodymyr Ukrainian Orthodox Cathedral, rev. Ihor Koshyk of Sts. Volodymyr and Olha Ukrainian Catholic Church, rev. Mykola Buriadnyk from St. Joseph Ukrainian Catholic parish and rev. Yaroslav Mendiuk from St. Josaphat parish in Hammond, Indiana.

ter - Tryzub and progressed throughout Saturday and Sunday at “Tryzubiwka” and five neighboring venues: IPW, Wind- lestrae, Kohler, Turk and Zehr Fields. However, all of the finals were played on Tryzu- biwka’s six fields of play.
The competition, especially in the finals, was fierce. The various soccer clubs and leagues had undeniably entered their strongest teams. Some were even so-called “select” and “premiere” squads. Nevertheless, Tryzub’s teams, especially the girls, did very well. The Ukrainian Nationals captured three first-place and five second-place trophies.
Under the leadership of Director Danylo Nysch, the tournament committee moved the play and its mass of players, spectators, referees, vehicular traffic, and field marshals with the precision of a Swiss watch. Each venue was fully stocked with appropriate concessions and other conveniences.
Numerous guests marveled at the unparalleled organization of all aspects of the tournament. “I have never experienced another tournament like this,” commented an excited coach: “Each game was refereed by three high caliber professionals and was constantly patrolled by tournament representatives; every detail was handled perfectly”. His opponent then added: “The facilities are just beautiful; we all had a wonderful time... and the food, wow!”
A rather interesting note from a Tournament Committee member adds perspective to the magnitude of the Ukrainian Nationals Tournament:
“We played host to an all- time high 174 teams coming from five states; that is approximately 5,200 people passing through our club. Those 174 teams, broken into 26 divisions, played just under 300 games of soccer on 22 fields, at six sites in four townships and two counties. Our wonderful elder women made and cooked over 500 dozen pyrohy (dumplings) and approximately 175 pounds of kovbasa (sausage). We prepared and sold over 2500 pretzels, 1,700 hamburgers and 2,200 hot dogs. The bar “kicked” their kegs of on tap beer late Saturday afternoon, only to have much more for Sunday! By the end of the day Sunday, we had given out 900 winners’ medals to our champions and finalists, while also giving each and every one of them a little lesson about our club’s history.”
Each champion and finalist player received a medal embossed with the Ukrainian Nationals’ historic seal, while each team in the finals received a per- sonalized trophy that prominently displayed Ukraine’s national emblem, the tryzub (trident). The awards ceremony included a brief explanation of the history, significance and meaning of these symbols.

AGREEMENT OF MERGERbetween
PROVIDENCE ASSOCIATION OF UKRAINIAN CATHOLICS IN AMERICAand
UKRAINIAN FRATERNAL ASSOCIATIONTHIS AGREEMENT is made this 17th day of June,
2009, by and between the PROVIDENCE ASSOCIATION OF UKRAINIAN CATHOLICS IN AMERICA, a fraternal benefit society organized and existing under the laws of the Commonwealth of Pennsylvania, with its principal office located at 817 North Franklin Street, Philadelphia, Pennsylvania 19123 (“PROVIDENCE”) and the UKRAINIAN FRATERNAL ASSOCIATION, a fraternal benefit society organized and existing under the laws of the Commonwealth of Pennsylvania, with its administrative office located at 371 N 9th Avenue Scranton, PA 18504 (“UFA”).
RECITALS
WHEREAS, PROVIDENCE and UFA are both Penn- sylvania-domiciled fraternal benefit societies with compatible objectives and derive their membership from the same ethnic and cultural base; and
WHEREAS, PROVIDENCE offers a highly diverse portfolio of insurance products and fraternal activities; and
WHEREAS, UFA is interested both in providing greater financial security to its members and in protecting its ethnic and cultural identity; and
WHEREAS, these objectives can be more readily accomplished if the members of both societies join in a common effort by combining into a single society.
NOW, THEREFORE, the parties, intending to be legally bound, agree as follows:
ARTICLE ONE - THE MERGER
1.1. UFA shall merge into PROVIDENCE, resulting in a single fraternal benefit society (the “Merger”), with the surviving entity to be known as the Providence Association of Ukrainian Catholics in America (the “Surviving Society”). The Surviving Society shall continue to operate under PROVIDENCE’S existing Articles of Incorporation, Constitution, and Bylaws. UFA shall no longer exist as a separate legal entity, but as a Division of the PROVIDENCE as set forth in this Agreement.
1.2. On the Effective Date of the Merger:a. Each UFA chapter shall become a chartered
branch of PROVIDENCE with the same rights, privileges and obligations enjoyed by the current branches of PROVIDENCE. Such branches and their members shall be governed by the Constitution and Bylaws of PROVIDENCE. The officers of each of the UFA’s chapters shall become officers of their respective newly chartered branch of PROVIDENCE and shall serve until they or their successors have been elected and installed in compliance with PROVIDENCE’S Bylaws.
b. All members of UFA shall cease to be members of UFA and shall become members of PROVIDENCE. Members of UFA’s legislative, executive, and judicial authorities, as stated in the UFA Bylaws, shall cease holding office.
c. All employees of UFA shall cease to be employees of UFA without automatically becoming employees of PROVIDENCE, and all employment agreements, arrangements, or understandings for such employees shall terminate.
d. PROVIDENCE shall assume all in-force UFA insurance certificates and contracts by issuing an Assumption Certificate to each member of UFA, providing the member is in good standing on the Effective Date of the Merger, at the time the Assumption Certificate is issued, and at all other material times. The Assumption Certificate shall be substantially in the form attached to this Agreement as Exhibit “A.”
e. All premiums and other payments required by certificates and contracts issued by UFA shall be due only to the Surviving Society and shall be paid to PROVIDENCE.
f. UFA shall transfer and convey to PROVIDENCE all its property, as defined herein, which property shall be co-mingled with and become part of the general assets and property of PROVIDENCE.
g. PROVIDENCE shall succeed to all of UFA’s rights, title, and interests in all its property, and to all of its fiduciary offices over any funds or accounts it oversees, and all such rights, title, interests, and fiduciary offices shall be vested in PROVIDENCE without any other instrument needing to be executed, except as may be required by law or by regulation promulgated by the Insurance Commissioner or his/her equivalent of any State or Province having jurisdiction thereover.
h. All contractual and other obligations of UFA,
of whatever nature, shall be assumed by and become the obligations of PROVIDENCE subject, however, to all defenses and set-offs that would have been available to UFA had this Agreement not been made.
i. UFA shall deliver to PROVIDENCE all information, data, and documents in its possession or control relating to UFA or its business or operations, including, but not limited to, certificates and contracts of insurance then in force or subject to reinstatement and all such information, data, and documents relating to, or
, concerning, members, local assemblies, and contractual and other obligations.
j. All the legislative, executive, and judicial officers of PROVIDENCE shall continue as the officers of the Surviving Society.
ARTICLE TWO - COVENANTS
2.1. Upon execution of this Agreement, each society shall freely exchange all relevant financial and other information with the other, and shall execute such resolutions and documents as may be required to effectuate the Merger. Between the date of this Agreement and the Effective Date of the Merger, UFA will (i) afford PROVIDENCE and its representatives full and free access to its personnel, property, information, documents and data for the periods of time requested by PROVIDENCE, (ii) furnish PROVIDENCE with copies of all such documents and data as it may reasonably request, and (iii) furnish PROVIDENCE with such additional financial, operating, and other data and information as it may reasonably request.
2.2. Each society shall promptly seek the necessary approvals of this Agreement of Merger as set forth in Article FOUR below.
2.3. From the date of this Agreement until the Effective Date of the Merger, UFA shall not:
a. Change any provision of its Articles of Incorporation or Bylaws, or any similar governing document;
b. Enter into any agreements with, increase the rate of compensation of, or pay or agree to pay any bonus to any of its officers, employees, or agents;
c. Implement any employee benefit plan or modify any arrangement now in effect;
d. Transfer or commit to transfer any of its earnings;
e. Fail to make any payment when due or fail to perform any obligation required of it to be performed;
f. Pay any obligations not reflected on the 2008 Annual Statement, except for those arising in the ordinary course of business;
g. Make any capital expenditures, incur any liabilities, or make any guarantees, without the prior written approval of PROVIDENCE;
h. Liquidate or change the form of any assets without the prior written approval of PROVIDENCE;
i. Enter into any lease or contract outside the ordinary course of business, without the prior written approval of PROVIDENCE;
j. Make any investments without the prior written approval of PROVIDENCE;
k. Undergo any material adverse change in its condition (financial or otherwise), property, assets, liabilities, business or operations, other than changes in the usual and ordinary course of business;
1. Dispose of or agree to dispose of any asset used or held for use in its business or operations, or place any fixed asset on its books at a value higher than the cost thereof as reduced by a normal allowance for depreciation; and
m. Conduct its business other than in a good and diligent manner in the usual course, using its best efforts to preserve its business organization intact and to preserve its membership.
2.4. After the Effective Date of the Merger, in order to honor and preserve the history and traditions of UFA as a fraternal benefit society and to enable its centennial celebration, PROVIDENCE shall commit for a period of time through the end of 2010, or longer at the discretion of PROVIDENCE, to:
a. Establish the Ukrainian Fraternal Association Division of the Providence Association of Ukrainian Catholics in America;
b. Appoint from the membership of UFA a three(3) member advisory committee or panel of PROVIDENCE’S General Assembly, in accordance with PROVIDENCE’S Bylaws, for a period of time through the end of 2010; and
c. Undertake the centennial celebration of UFA in 2010 in accordance with the outline of events and budget set forth in Exhibit “B.”
ARTICLE THREE - REPRESENTATIONS AND WARRANTIES
As a material inducement to PROVIDENCE to enter into this Agreement, PROVIDENCE has relied upon certain disclosures by UFA regarding the operation of UFA’s insurance business, the truth and accuracy of each of which shall constitute a condition precedent to the obligations of PROVIDENCE under this Agreement. These disclosures are contained in Appendix A - “Representations and Warranties” which are attached to this Agreement and incorporated into it. The Representations and Warranties of PROVIDENCE also are contained in Appendix A and are incorporated into this Agreement.
ARTICLE FOUR -APPROVALS
4.1. Governing Body Approvals.a. PROVIDENCE shall exercise its best efforts
and good faith to take all actions necessary, under its Bylaws and Articles of Incorporation, and in compliance with the requirements of applicable laws, to make arrangements to have the delegates of its governing body vote on the Merger in any way provided by, or consistent with, its Bylaws or practices, but in any event at its next scheduled convention to be held in April, 2009.
b. UFA shall exercise its best efforts and good faith to take all actions necessary, under its Bylaws and Articles of Incorporation, and in compliance with the requirements of applicable laws, to expedite the voting on the Merger, and agrees, to the extent so compliant, lawful and expeditious, to make arrangements to have the delegates of its governing body cast their votes by mail, pursuant to the procedures set forth in Section 38b. of its Bylaws, or by another method that is more expeditious than those procedures.
c. Subject to their fiduciary duties to their respective society, the executive body of each society will recommend a vote in favor of the Merger to the governing body of their respective society and will use their best efforts to solicit such persons to vote in favor of the Merger by no less than a two-thirds affirmative vote. The officers of each society shall take all other actions reasonably necessary or advisable to secure the votes of the governing body of their respective societies which is required in order to approve the respective Merger in a timely manner.
4.2. Action Following Governing Body Approval. If the required vote of each society’s governing body shall be in favor of the Merger, then the proper officers of each society shall execute, acknowledge, deliver, file and record all such instruments and certificates as may be required, and shall take any and all other action deemed by them required or proper to obtain the required regulatory approvals to effectuate the Merger and to make the Merger effective according to this Agreement and pursuant to the applicable laws of Pennsylvania. Approvals also shall be obtained, if required, in all jurisdictions in which UFA and PROVIDENCE are licensed.
ARTICLE FIVE - CONDITIONS PRECEDENT AND CLOSING
The obligations of the parties to complete the transactions contemplated under this Agreement are subject to the satisfaction, on or before the Effective Date of the Merger, of each of the following conditions:
5.1. Approvals. All filings and approvals required to be obtained or made prior to the Effective Date of the Merger shall have been or be obtained or made and no required approval shall have been rescinded, adversely modified or limited (as set forth in the proviso below) and, if merely required to be filed, all filings shall have been made and accepted, and all waiting periods prescribed by applicable law shall have expired or have been terminated in accordance with applicable law; provided, however, that such approvals shall not contain any condition or limitation that compels or seeks to compel PROVIDENCE to dispose of or to hold separately all or any portion of the business, assets, or property of either society or impose or seek to impose any limitation on

the ability of PROVIDENCE to conduct its business or own its assets or property after the Effective Date of the Merger in substantially the same manner as PROVIDENCE may presently conduct its business or own its assets and property.
5.2. No Adverse Order. No order entered or law promulgated or enacted by any governmental entity shall be in effect which would prevent the consummation of the Merger, and no proceeding brought by a governmental entity shall have been commenced and be pending which seeks to restrain, prevent, or materially delay or restructure the Merger or which otherwise questions the validity or legality of the Merger.
5.3. Compliance with Law. To the best of their knowledge, the parties shall not be in violation in any material respect (or, with notice or lapse of time or both, would be in violation in any material respect) of any term or provision of any applicable law in a manner which would materially and adversely affect or would be reasonably likely to materially and adversely affect the business or consolidated financial condition of PROVIDENCE or UFA.
5.4. Representations and Warranties. The representations and warranties of each society set forth in Appendix A to this Agreement shall be true and correct in all material respects at the Effective Date of the Merger as though made at and as of that time, except as affected by transactions contemplated or permitted under this Agreement or specifically waived in writing by the other society.
5.5. Covenants. PROVIDENCE and UFA shall have performed and complied in all material respects with their respective obligations and agreements required by this Agreement to be performed by each of them on or before the Effective Date. It is acknowledged that PROVIDENCE’S obligations under Section 2.4 are to be performed after the Effective Date.
5.6. Litigation. There shall be no proceedings pending or any proceedings or investigations (other than claims in the ordinary course of the insurance or other business of PROVIDENCE or of UFA), threatened against, relating to, involving or otherwise affecting it, which, individually or in the aggregate, may reasonably be expected to have a material adverse affect on the business or consolidated financial condition of PROVIDENCE or UFA.
5.7. Compliance. There shall be no issues involving UFA’s regulatory compliance with insurance laws and regulations, including, but not limited to, products, rates and forms, and certificates of authority, that have not been resolved to the satisfaction of PROVIDENCE.
5.8. Cash Flow and Reserves. The results of the cash flow and reserve testing performed by UFA’s appointed actuary demonstrate that existing reserves are adequate and do not require any additional reserves over those already posted as of year-end 2008, unless otherwise acceptable to Providence in Providence’s sole discretion.
5.9. Canadian Business. All UFA certificates of insurance issued or in-force in Canada shall have been assumed or transferred from UFA, and UFA shall have secured all releases from all Canadian authorities that are necessary and sufficient to close UFA’s Canadian operations and to release all of UFA’s Canadian assets and property to PROVIDENCE.
5.10. Closing Certificate. UFA shall have its president and one other officer certify to the applicable covenants and conditions precedents under this Agreement, and to any other certifications requested by PROVIDENCE which are generally obtained at the closing of a Merger transaction.
5.11. Closing Date. The closing of the transactions provided for in this Agreement shall take place at PROVIDENCE’S principal office at such date and time as agreed to by the parties and shall occur within ten(10) business days after receiving all approvals required under Article FOUR (“Closing Date”). The Effective Date of the Merger (“Effective Date”) shall be at such date and time selected by PROVIDENCE which is anticipated to be the Closing Date.
ARTICLE SIX - TERMINATION
6.1. Circumstances. This Agreement may be terminated and the Merger may be abandoned at any time prior to the Effective Date notwithstanding the approval of the members of either society:
a. By mutual consent of the governing body of each society.
b. At the election of the governing body of PROVIDENCE, if:
(1) Any material litigation or proceeding shall be instituted or threatened against UFA, or any of its assets or property, that, in PROVIDENCE’S opinion, renders the Merger inadvisable or undesirable.
(2) Any legislation shall be enacted that, in PROVIDENCE’S opinion, renders the Merger inadvisable or undesirable.
(3) Between the date of this Agreement and the Effective Date, there shall have been any adverse change in the business or condition, financial or otherwise, of UFA that PROVIDENCE, in PROVIDENCE’S sole opinion, considers material.
(4) Any required consent or approval is denied by the Insurance Commissioners of the Commonwealth of Pennsylvania, or any other County, State, Province or other jurisdiction.
(5) The Merger is not effected on or before June 30, 2009, unless such deadline has been extended by PROVIDENCE.
c. At the election of the governing body of the complying society in the event any of the conditions precedent set forth in Article FIVE are not met to the satisfaction of the complying society.
d. At the election of the governing body of PROVIDENCE, if the foreign exchange currency rate of the Canadian dollar is equal to or less than $.6500 per U.S. dollar, based upon the foreign exchange rate as reported in the Wall Street Journal, at any time after the date that this Agreement is signed until the Effective Date of the Merger. Failure to receive written notice of PROVIDENCE’S termination of this Agreement under this provision within five business days that said foreign exchange rate was published shall constitute a waiver of PROVIDENCE’S right to terminate under this provision unless the foreign currency exchange rate remains below said level after the fifth business day, at which time PROVIDENCE will have another five business days to exercise its right to terminate.
6.2. Notice of and Liability on Termination. If an election is made to terminate this Agreement and abandon the Merger:
a. The President or the Secretary of the society whose governing body has made the election shall give immediate written notice of the election to the other society.
b. On the giving of notice as provided in Sub- paragraph a., this Agreement shall terminate and the proposed Merger shall be abandoned, and except for payment of its own costs and expenses incident to this Agreement, there shall be no liability on the part of either society as a result of the termination and abandonment.
6.3. Responsibility upon Termination. Upon termination of this Agreement, each society shall return all property and information that it received from the other society to that society within fifteen (15) days.
ARTICLE SEVEN - MISCELLANEOUS
7.1. Definitions. The following terms shall have the corresponding definitions for purposes of this Agreement:
a. “Assets” - means admitted assets.b. “Best Efforts” - means the efforts that a pru
dent Person desirous of achieving a result would use in similar circumstances to ensure that such result is achieved as expeditiously as possible.
c. “Documents” - means, without limitation, all written, printed, typed, graphic or otherwise recorded matter, including, but not limited to, any deed, indenture, lease, statement, return, record, book, report, opinion, order, decree, memorandum, letter, correspondence, telex, telefax, telegram, note, minute, agreement, contract, policy, receipt, purchase order, invoice, bill, ledger, notice, bulletin, circular, pamphlet, publication, photograph, business plan or study, summary, computer printout, computer disc, tape recording, and any other tangible item or thing of written, readable, or visual material of any kind or character.
d. “Ordinary Course of Business” - means an action taken by a party will be deemed to have been taken in the “Ordinary Course of Business” only if:
(1) such action is consistent with the past practices of such party and is taken in the ordinary course of the normal day-to-day operations of such party;
(2) such action is not required to be authorized by the governing body of such party (or by any executive body exercising similar authority); and
(3) such action is similar in nature and magnitude to actions customarily taken, without any authorization by the governing body of such party (or by any executive body exercising similar authority).
e. “Property” - means property of every kind and nature, wherever located, whether personal, real or mixed, tangible or intangible, things in action, or inchoate, whether an admitted asset or a non-admitted assets, and including, without limitation, licenses, franchises, intellectual property, copyrights, patents, trademarks, trade names, software, websites, domain names, data, archives, papers, files, and publications.
f. “Society” - means UFA and/or PROVIDENCE as the context may require.
7.2. Expenses. All costs and expenses incurred in connection with this Agreement shall be paid by the party incurring such costs and expenses.
7.3. Survival. All representations, warranties, covenants, and obligations in this Agreement, the certificate delivered pursuant to Section 5.10, and any other certificate or document delivered pursuant to this Agreement will survive the Closing.
7.4. Notices. All notices or other communications required to be given under this Agreement shall be in writing and delivered personally or mailed by prepaid registered or certified mail (return receipt requested) or by telegram or telex or telefax or overnight delivery to the following persons at the addresses provided below:

7.5. Counterparts. This Agreement may be executed in one or more counterparts, each of which will be deemed to be an original copy of this Agreement and all of which, when taken together, will be deemed to constitute one and the same agreement.
7.6. Jurisdiction. This Agreement shall be construed and enforced in accordance with the laws and decisions of the Commonwealth of Pennsylvania with venue in the Court of Common Pleas of Philadelphia County, Pennsylvania.
7.7. Entire Agreement; Modification. This Agreement represent the entire agreement between the parties and supersedes all prior written or oral agreements between the parties. Any modification of this Agreement shall be void unless it is in writing and signed by both parties.
7.8. Further Assurances. The parties agree (i) to furnish upon request to each other such further information, (ii) to execute and deliver to each other such other documents, and (iii) to do such other acts and things, all as the other party may reasonably request for the purpose of carrying out the intent of this Agreement and the documents referred to in this Agreement.
7.9. Severability. If any provision of this Agreement is held invalid or unenforceable by any court of competent jurisdiction, the other provisions of this Agreement will remain in full force and effect. Any provision of this Agreement held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not held invalid or unenforceable.
7.10. Waiver. The rights and remedies of the parties to this Agreement are cumulative and not alternative. Neither the failure nor any delay by any party in exercising any right, power, or privilege under this Agreement or the documents referred to in this Agreement will operate as a waiver of such right, power, or privilege, and no single or partial exercise of any such right, power, or privilege will preclude any other or further exercise of such right, power, or privilege or the exercise of any other right, power, or privilege.
7.11. Section Headings, Construction. The headings of Articles and Sections in this Agreement are provided for convenience only and will not affect its construction or interpretation. All references to “Section” or “Sections” refer to the corresponding Section or Sections of this Agreement. All words used in this Agreement will be construed to be of such gender or number as the circumstances require. Unless otherwise expressly provided, the word “including” does not limit the preceding words or terms. For purposes of contract interpretation and for the purpose of resolving any ambiguity in this Agreement, the parties agree that this Agreement

was prepared jointly by them. All Exhibits and Schedules referred to in this Agreement or Appendix A are incorporated herein whether or not they are attached to this Agreement or Appendix A.
7.12. Time of Essence. With regard to all dates and time periods set forth or referred to in this Agreement, time is of the essence, unless extended in writing by PROVIDENCE.
7.13. Assignments, Successors, and No Third-party Rights. The parties may not assign any of their respective rights under this Agreement and any attempted assignment of this Agreement shall be void. Nothing expressed or referred to in this Agreement will be con
strued to give any person or entity other than the parties to this Agreement any legal or equitable right, remedy, or claim under or with respect to this Agreement or any provision of this Agreement. This Agreement and all of its provisions and conditions are for the sole and exclusive benefit of the parties to this Agreement.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their respective presidents, attested to by their respective secretaries, and their respective corporate seals to be affixed hereto on the day and year first above written.

APPENDIX A REPRESENTATIONS AND WARRANTIES OF UFA
Notwithstanding any independent investigation or verification undertaken by the PROVIDENCE or its representatives, the UFA represents and warrants to PROVIDENCE the following:
3.1. Organization and Standing. It is a Fraternal Benefit Society, duly organized and incorporated, validly existing and in good standing under the laws of the Commonwealth of Pennsylvania. It has all requisite corporate power and authority and is duly qualified and licensed to own, lease and operate its property and to carry on its business as now being conducted.
3.2. Authority for Agreement. It has full and requisite corporate power and authority to execute and deliver this Agreement and, subject to the approval of the Pennsylvania Insurance Department (the “Department”) and the requisite approval of the delegates of its governing body of this Agreement of Merger, to consummate the Agreement of Merger and to carry out its obligations hereunder. The execution and delivery of this Agreement of Merger and the consummation of the transactions contemplated hereunder, has been duly authorized by its Executive Assembly and/or its Executive Committee as required by its Bylaws, and this Agreement of Merger constitutes a valid and legally binding obligation enforceable in accordance with the terms thereof.
3.3. No Conflict. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereunder will not conflict with, result in any violation of, or constitute a default under, (i) any provisions of its Charter, Articles of Incorporation or Bylaws, or, (ii) except as previously disclosed in writing, any mortgage, indenture, lease, agreement (including, but not limited to, any agreement with any government agency or instrumentality having jurisdiction over its business or property) or other instrument, permit, concession, grant, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation by which it is or may be bound, or which is applicable to it or any of its property.
3.4. Pecuniary Interests. None of its officers, delegates, agents or employees or any member of the family of such officer, delegate, agent or employee, has or shall receive any fee, commission, compensation or other valuable consideration whatsoever for aiding, promoting or assisting in the fulfillment of this Agreement in any manner, except such as has been disclosed to the other party, or may be disclosed in any submission of documents to be filed with the Departments of Insurance, or, if permitted by law, in separate certificates or affidavits filed with the Departments in conjunction therewith. This provision does not prohibit payment to an officer, delegate, agent or employee of UFA for services performed in connection with the negotiation, due diligence or any other component of the Merger, provided such service is disclosed to the other party.
3.5. Full Disclosure. Neither this Agreement and its Appendix, Exhibits and Schedules, nor any document fttrnished or to be furnished by UFA to PROVIDENCE, including, but not limited to, any Financial Statement, Interim Statement, Annual Statement, Quarterly Statement, tax return, letter or certificate, insofar as it relates to its operations, business, earnings, property, condition (financial or otherwise), or in any proxy statement, information memorandum, or other document to be used in connection with the transactions contemplated hereunder, or in any of the applications or documents to be filed with governmental agencies in connection with the transactions contemplated hereunder, contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statement contained herein and therein in light of the circumstances under which they are or have been made, not false or misleading. There is no fact which
UFA has not disclosed, or caused to be disclosed to PROVIDENCE which materially and adversely affects or may in the future (so far as UFA can now foresee) materially and adversely affect the operations, business, earnings, property or condition (financial or otherwise) of the society.
3.6. Public Statements. At all times from the date of this Agreement up to and including the Effective Date of the Merger, each society’s public statements to its members, with respect to all information set forth therein relating to it and this Agreement and the contemplated transactions herein and therein will not knowingly contain any statement which, at the time and in light of the circumstances under which it is made, is false or misleading with respect to any material fact or omit to state any material fact required to be stated therein or necessary in order to make the statements therein not false or misleading, or necessary to correct any statement in an earlier communication with respect to the same meeting, convention, or subject matter which has become false or misleading.
3.7. Tax Exempt Status. UFA is exempt from United States taxation as a qualified organization under Section 501 (c)(8) of the Internal Revenue Code and from Canadian federal and provincial taxation as an equivalent qualified exempt organization. To the best of its knowledge, it has done nothing that could adversely affect its status as a tax-exempt entity and is in full compliance with the Internal Revenue Code and the rules and regulations thereunder and equivalent Canadian federal and provincial rules, regulations and statutes with respect to tax exempt entities.
3.8. Financial Statements. The audited financial statements (“Financial Statements”) and the unaudited quarterly financial statements (“Interim Statements”), prepared by UFA’s accountant, delivered or to be delivered to PROVIDENCE by UFA are, and will be in the case of those delivered after the date of this Agreement, true, correct and complete; were or will be prepared in accordance with statutory accounting principles (“SAP”) as promulgated by the Pennsylvania Insurance Department consistently applied to the periods indicated, except as otherwise stated in the notes thereto; and fairly present, or will fairly present, in all material respects, the financial, operational, and other positions of UFA as of the dates or for the periods covered thereby in conformity with SAP.
3.9. Annual Statements. The Annual Statements and Quarterly Statements, filed by UFA with the Pennsylvania Insurance Department, that are delivered or will be delivered to PROVIDENCE by UFA, including the financial statements and other information contained therein, are true, correct and complete, presently fairly the financial, operational, and other positions of UFA there provided as of the dates indicated; were or will be prepared in accordance with and pursuant to the conventions required by the insurance laws of Pennsylvania and the applicable promulgated regulations; and fairly present, or will fairly present, in all material respects, all the information in accordance with the accounting and reporting principles and practices required by such laws and regulations. UFA has at all times filed or caused to be filed in a timely manner the Annual Statements and other returns, reports, notices, documents and information required by those laws, regulations, rules and orders applicable to UFA.
3.10. Reserves. The aggregate actuarial reserves and other actuarial amounts held in connection with UFA’s liabilities as established or reflected in its December 31,2008 Annual Statement and in all other Annual or Quarterly Statements to be supplied:
a. Were determined in accordance with generally accepted actuarial standards consistently applied,
were fairly stated in accordance with sound actuarial principles, and were based on actuarial assumptions which are in accordance with or stronger than those called for in the related policy provisions;
b. Met the requirements of the applicable insurance laws of the Commonwealth of Pennsylvania or any other state or governmental entity having such jurisdiction in all material respects; and
c. Were adequate (under generally accepted actuarial standards consistently applied) to cover the total amount of all reasonably anticipated matured and unmatured liabilities under all outstanding benefit contracts pursuant to which it has any liability and were reviewed by the society or its independent consulting actuaries for the society, with any reports thereof to be provided to PROVIDENCE as part of its due diligence;
For purposes of clause c. above, (i) the adequacy of reserves shall be determined only on the basis of facts and circumstances known or which reasonably should have been known (based on procedures consistently applied by each society in connection with assessing the adequacy of reserves from time to time) by it, as at the date hereof, and (ii) the fact that reserves covered by any such representation may be subsequently adjusted at times and under circumstances consistent with each society’s ordinary practice of periodically reassessing the adequacy of its reserves, shall not be used to support any claim regarding the accuracy of such representation.
3.11. Business Forms. Except as noted in Schedule3.11, each policy, certificate or contract of insurance, as well as all applications, advertisements, agency or brokerage agreements, assessments, rates and forms currently in use or sold by UFA which requires approval has been so approved in all respects by the appropriate governmental authorities. The sale, advertising and use of the insurance products as underwritten, marketed or sold by UFA prior to the Effective Date and Closing do not constitute a violation of any state or federal insurance, banking, security or other law, regulation, rule or order.
3.12. Litigation and Investigations. Except as otherwise set forth in Schedule 3.12:
a. There are no actions, suits, proceedings, claims, investigations or examinations, pending or threatened (or any basis therefor known to UFA) against or affecting UFA, its business, property or assets, or any officer, employee or director acting in their respective capacity as an officer, employee or director of UFA, before any court, governmental authority or administrative body, administrative officer, arbitrator or executive, domestic or foreign;
b. There are no unsatisfied judgments, orders, writs, decrees, injunctions or the like issued by any court, governmental authority or administrative body, domestic or foreign, against or affecting UFA or its business, property or assets;
c. There are no existing violations by UFA of any federal, state, foreign or local law, regulation or order which has or could have an adverse effect upon the business, operations or affairs of UFA; and
d. There is no reason for the assertion of any claim or liability against UFA which is likely to result in a liability that in the aggregate is materially in excess of the amount reserved or reflected on such account in the applicable Financial Statement, Interim Financial Statements, Annual Statements, or Quarterly Statements.
3.13. Tax Returns and Payments.a. Through the year ending 2008, UFA has filed
all federal, foreign, state and local income tax returns and UFA has filed all other tax reports, submissions and notices required to be filed on or prior to the date of this Agreement.

b. UFA has paid all taxes, interest and penalties due in connection with each return filed as well as any tax liability incurred on account of Mergers or events relating to periods prior to the date of this Agreement, and any assessments therefore to the extent such taxes, interest or penalties have become due, or has set aside on its books, adequate reserves with respect thereto.
c. No unpaid tax deficiency or other tax liability of any kind or character whatsoever has been proposed or asserted by any federal, foreign, state, local or other government, or any department, agency, instrumentality or their representative.
d. No agreement for the extension of time for the assessment of any tax has been entered into by or on behalf of UFA.
3.14. No Undisclosed Liabilities. Except as disclosed in its 2008 Annual Statement, or any of its most recent unaudited Interim Statements or Quarterly Statements, UFA had no liabilities, whether accrued, absolute or contingent, other than liabilities incurred in the ordinary course of business.
3.15. Patents, Trademarks, Copyrights, Trade Names and Data Processing System.
a. UFA holds good, clear and marketable title to all patents, trademarks, trade names, copyrights and trade secrets, if any, used in the conduct of its businesses without the requirement to pay for, report upon or otherwise account for such use except as shown in Schedule 13.15.;
b. UFA is carrying on its business without any conflict with patents, trademarks, trade names, copyrights or trade secrets of others;
c. UFA holds good and marketable title, free and clear of all liens, claims, rights of third parties, charges or encumbrances of whatsoever kind or character, to its personal property, and to those data processing systems (including all component hardware, software, operating systems, programs, manuals, forms, techniques or the like used or relied upon by the society in connection with its business) (collectively called the “Data Processing System”); and
d. UFA has no knowledge of the infringement by any person, firm, associate, partnership or corporation of any patent, trademark, copyright or trade name of UFA.
3.16. Title and Interest.a. Schedule 3.16. contains a true, correct and
complete description of all the real property owned, leased or used by UFA, or which is or in any way reflected as an asset on the books of the society, together with a true, correct and complete description of the legal interest owned or held by UFA.
b. Schedule 3.16. contains a true, correct and complete description of all mortgages and other security interests owned by UFA or in which UFA has an interest, or which is or in any way reflected as an asset on the books of the society, which mortgages and security interests have been properly recorded and perfected.
c. Schedule 3.16. is a true, correct and complete listing of all the equipment (except for the Data Processing System and personal property), vehicles or personalty owned, leased or used by UFA or any director, officer, employee or representative of UFA, in the conduct of the society’s business, or which is in any way reflected as an asset or liability on the books of the society, together with a description of the respective party’s legal interests therein.
d. UFA has good and marketable title to all of its owned property and assets, including without limitation, those reflected on the 2008 Annual Statement, except to the extent any such property or asset has been sold or otherwise disposed of after such date in the ordinary course of business (which representation UFA agrees will apply to the 2008 Annual Statement and all subsequent Quarterly Statements upon their receipt by PROVIDENCE) free and clear of all liens, claims, rights of third parties, charges or encumbrances (including any conditional sale or other title retention agreement) of any kind or character whatsoever, except (i) for the lien of current taxes not yet delinquent, and (ii) deposits with those regulatory authorities of jurisdictions in which the society conducts business as are required for it to transact business in those jurisdictions, such property and assets being the property and assets used in the conduct of the business of the society, all of which are in good working order, repair and operating condition.
e. UFA owns or possesses all licenses, franchises, easements, certificates, consents, permits, rights and privileges necessary to carry on its business as presently conducted in all jurisdictions.
f. Except as disclosed in Schedule 3.16., UFA has not given, nor has UFA received, any notice, letter, citation, order, warning, complaint, inquiry, claim or demand that: (i) it has violated, or is about to violate
any environmental, health, or safety statute, law, rule, regulation, ordinance, judgment or order, other than a health related statute, law, rule, regulation, ordinance, judgment or order relating to any property owned or operated by it, the violation of which will not have a material adverse effect on its ability to perform its obligations hereunder; (ii) there has been a release, or there is a threat of release, of any hazardous substances (including, without limitation, petroleum, its by-products or derivatives or other hydrocarbons) from its property; (iii) it may be or is liable, in whole or in part, for the costs of cleaning up, remediating or responding to a release of hazardous substances (including, without limitation, petroleum, its by-products or derivatives, or other hydrocarbons); (iv) its property or assets are subject to a lien in favor of any governmental entity for any liability, costs or damages under any environmental law, rule or regulation arising from or costs incurred by such governmental entity in response to the release or storage of a hazardous substance (including, without limitation, petroleum, its by-products or derivatives, or other hydrocarbons). It has not received notice to the effect that its operations are not in compliance with any of the requirements of applicable environmental, health and safety laws (other than health or safety laws and regulations relating to the licensing of its property, the violation of which will not have a material adverse effect on the its ability to perform its obligations hereunder) or are the subject of any governmental investigation evaluating whether any remedial action is needed to respond to the storage or release of any toxic or hazardous waste or substance, which noncompliance or remedial action would have a material adverse effect on its business, operations, property, assets or condition (financial or otherwise) taken as a whole.
3.17. Employees.a. Schedule 3.17. discloses a complete and cor
rect list of all employees of UFA showing for each his or her status (full-time, part-time, on leave of absence, etc.), gross rate of annual compensation, title, original date of hire, accrued vacation time (or compensation in lieu of vacation), and any bonus.
b. UFA is in full compliance with all legal requirements, including, without limitation, filing and reporting requirements, applicable to employees, employment relations, and collection, withholding and payment of any taxes and other payroll deductions relating to employment;
c. UFA does not maintain, sponsor, contribute to or have any liability under any plan, arrangement or contract providing for any health care benefits, disability benefits, child or dependent care benefits, cafeteria plan benefits, death benefits, accidental death and dismemberment benefits, deferred compensation benefits, incentive compensation payments, pension or other retirement benefits, or severance or termination payor benefits.
3.18. Contracts. Except as set forth in Schedule 3.18:a. UFA is not a party to a lease for real property
as either lessee or lessor;b. UFA has not incurred any contractual obliga
tions (i) other than in the ordinary course of its business,(ii) which are to be performed in any material respect on or after the Closing Date, (iii) involve future payments to or by the society of more than $1.00 or, (iv) extend beyond one year;
c. There are no outstanding contracts between UFA on the one part, and any salesman, producer, solicitor, commission agent, broker, sales representative or the like on the other, except for contracts terminable by the society at will and without prior notice. To the extent the society has outstanding any contract requiring the payment of vested commissions, renewals, service fees or similar, such are described in Schedule 3.18;
d. UFA does not have any power of attorney outstanding, whether general or specific, for any purpose; and
e. Each contract to which UFA is a party or pursuant to which it has rights or obligations is at the date of this Agreement in full force and effect in accordance with its terms, the parties thereto not being in default, and no event has occurred nor shall occur as the result of any mergers contemplated by this Agreement which, with the giving of notice or passage of time or both, would constitute a default.
3.19. Insurance Coverage. Schedule 3.19. contains an accurate and complete list and brief description of all policies of insurance, including fidelity and bond insurance maintained by UFA. UFA is not in default with respect to the provisions of any such policy and has not failed to give any notice or present any claim thereunder in a due and timely fashion. All such policies (i) are sufficient for compliance with all requirements of law and all agreements to which it is a party; (ii) are valid,
outstanding and enforceable; (iii) provide adequate insurance coverage for its assets and operations; (iv) will not in any significant respect be affected by, and will not terminate or lapse prior to the Effective Date of the Merger; and (v) are presently in full force and effect, and there are no unpaid premiums due thereon.
3.20. Compliance with Laws; Government Authorizations. Except as otherwise described in Schedule3.20. hereto, or where non-compliance with the provisions of this Section would not have a materially adverse effect on its business or financial condition:
a. UFA is in compliance, in all material respects, with all applicable Canadian federal and provincial, and United States federal and state, statutes, laws, ordinances, rules, regulations, judgments, orders and decrees which apply to its business or property.
b. All permits, concessions, grants, franchises, licenses and other governmental authorizations and approvals necessary for the conduct of its business, have been duly obtained and are in full force and effect, and there are no proceedings and investigations, pending or, to its knowledge, threatened which may result in the revocation, cancellation or suspension, or any materially adverse modification thereof. The consummation of the transactions contemplated hereunder will not result in any such revocation, cancellation, suspension or modification.
c. To the best of its knowledge, information and belief, UFA is not aware of any reason why all consents, approvals and authorizations required to permit the Merger contemplated by this Agreement would not be obtained solely as a result of any characteristic of the society.
3.21. No Improper Payments. Since December 31, 2008:
a. No funds or assets of UFA have been used for any illegal purpose;
b. No unrecorded fund or asset of UFA has been established for any purpose;
c. No accumulation or use of the corporate funds of UFA has been made without being properly accounted for on the books and records of the society;
d. All payments by or on behalf of UFA have been duly and properly recorded and accounted for on the books and records of the society;
e. No false or artificial entry has been made on the books and records of UFA for any puipose or reason whatsoever;
f. No payment has been made by or on behalf of UFA with the understanding all or any part of such payment is to be used for a purpose other than as described in the documents supporting such payment;
g. UFA has not made, directly or indirectly, any illegal contribution to a political party or candidate, either domestic or foreign;
h. UFA has not made any improper foreign payment as that term is defined in the Foreign Corrupt Practices Act; and
i. UFA has not made any payment to any person or entity appearing on the list of banned persons and entities issued by the U.S. Department of the Treasury’s Office of Foreign Asset Control.
3.22. Receivables. All accounts and premium receivables, interest accruals and amounts due from reinsurers and others as reflected on the 2008 Annual Statement, as updated by the 2009 Interim Financial Statements or Quarterly Statements, are current in accordance with standard industry practice, and are fully collectible in the ordinary course of business without any right of counterclaim, credit or set-off
3.23. Brokerage. Neither UFA nor its respective officers, directors, employees, agents or representatives, has employed any broker, finder or agent, or entered into any agreement with any person to pay a brokerage fee, allowance or commission on account of or in respect to this Agreement or Merger.
3.24. Fiduciary Capacity. Schedule 3.24. contains an accurate and complete list and brief description of all funds or accounts over which UFA serves in any fiduciary capacity, whether as agent or trustee or otherwise. UFA has complied with all duties and obligations imposed upon it in such fiduciary capacity and has no reason to believe that it has breached any fiduciary duty, including, but not limited to, good faith and loyalty.
3.25. Operations of the Society. UFA is in compliance with the Covenant set forth in Section 2.3. of the Agreement.
REPRESENTATIONS ANDWARRANTIES OF PROVIDENCE
PROVIDENCE represents and warrants to UFA the following:

3.25. Organization and Standing. It is a Fraternal Benefit Society, duly organized and incorporated, validly existing and in good standing under the laws of the Commonwealth of Pennsylvania. It has all requisite corporate power and authority and is duly qualified and licensed to own, lease and operate its property and to carry on its business as now being conducted.
3.26. Authority for Agreement. It has full and requisite corporate power and authority to execute and deliver this Agreement and, subject to the approval of the Pennsylvania Insurance Department (the “Department”) and the requisite approval of the delegates of its governing body of this Agreement of Merger, to consummate the Agreement of Merger and to carry out its obligations hereunder. The execution and delivery of this Agreement of Merger and the consummation of the transactions contemplated hereunder, has been duly authorized by its Executive Assembly and/or its Executive Committee as required by its Bylaws, and this Agreement of Merger constitutes a valid and legally binding obligation enforceable in accordance with the terms thereof.
3.27. No Conflict. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereunder will not conflict with, result in any violation of, or constitute a default under, (i) any provisions of its Charter, Articles of Incorporation or Bylaws, or, (ii) except as previously disclosed in writing, any mortgage, indenture, lease, agreement (including, but not limited to, any agreement with any government agency or instrumentality having jurisdiction over its business or property) or other instrument, permit, concession, grant, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation by which it is or may be bound, or which is applicable to it or any of its property.
3.28. Pecuniary Interests. None of its officers, delegates, agents or employees or any member of the family of such officer, delegate, agent or employee, has or shall receive any fee, commission, compensation or other valuable consideration whatsoever for aiding, promot
ing or assisting in the fulfillment of this Agreement in any manner, except such as has been disclosed to the other party, or may be disclosed in any submission of documents to be filed with the Departments of Insurance, or, if permitted by law, in separate certificates or affidavits filed with the Departments in conjunction therewith. This provision does not prohibit payment to an officer, delegate, agent or employee of PROVIDENCE for services performed in connection with the negotiation, due diligence or any other component of the Merger, provided such service is disclosed to the other party.
3.29. Certain Proceedings. There is no pending proceeding that has been commenced against PROVIDENCE and that challenges, or may have the effect of preventing, delaying, making illegal, or otherwise interfering with, the Merger. To PROVIDENCE’S knowledge, no such proceeding has been threatened.
3.30. Brokerage. Neither PROVIDENCE nor its respective officers, directors, employees, agents or representatives, has employed any broker, finder or agent, or entered into any agreement with any person to pay a brokerage fee, allowance or commission on account of or in respect to this Agreement or Merger.

Assumption Certificate
The PROVIDENCE ASSOCIATION OF UKRAINIAN CATHOLICS IN AMERICA (“PROVIDENCE”) is party to an agreement with the UKRAINIAN FRATERNAL ASSOCIATION (“UFA”) providing for the merger of UFA with and into PROVIDENCE resulting in the assumption by PROVIDENCE of all obligations and liabilities under your life insurance policy or annuity contract issued by UFA. By virtue of this Certificate, the liabilities and obligations of UFA under your life insurance policy or annuity contract issued by UFA are now directly those of PROVIDENCE. All benefits under your life insurance policy or annuity contract remain the same. Further, any reference to the Ukrainian Fraternal Association in your UFA issued policy is now changed to the Providence Association of Ukrainian Catholics in America and you are now a member of PROVIDENCE with full rights and privileges of membership.
All premiums due, now or in the future, on your life insurance policy or annuity contract are payable to PROVIDENCE and are to be sent to the above address or to PROVIDENCE’S duly authorized agents.
This Certificate of Assumption forms a part of and is to be attached to your UFA life insurance policy or annuity contract.
IN WITNESS WHEREOF, the Providence Association of Ukrainian Catholics in America has caused this Assumption Certificate to be executed this__day o f_________ , 2009.
ADDENDUM TO THAT CERTAIN AGREEMENT OF MERGERBETWEEN
THE PROVIDENCE ASSOCIATION OF UKRAINIAN CATHOLICS IN AMERICA AND UKRAINIAN FRATERNAL ASSOCIATION
This addendum is attached to the said Agreement of Merger and made a partthereof. The parties agree as follows:
1. The law and applicable insurance certificate provisions prevent Providence from assessing less than all of its members - i.e. Providence is without authority to assess just UFA members. Before the effective date of the Merger, Providence has no authority to assess UFA members and it did not reserve the right in the Merger Agreement to require UFA to assess its members. After the effective date of the Merger, Providence has no authority to assess just UFA members without also assessing all of its members.
2. Assumption of the rights and obligations of the Nahimy Fund and the Kotur Scholarship is part and parcel of the Merger Agreement, which assigns to Providence all of the UFA’s rights and obligations and “all of its fiduciary offices over any funds or accounts it oversees” (paragraph 1.2.g.). The specification of these funds herein is made in lieu of Schedule 3.24 to the Merger Agreement. UFA does not oversee any other funds, accounts or programs.
3. The UFA recognizes that the law might condition Providence’s assumption of the rights and obligations specified in paragraph to of this Addendum upon the approval of the trustees and/or the Courts of Pennsylvania, or that such approval may be appropriate even if not necessary. In this regard, Providence expects no difficulties with this assumption of rights and obligations and agrees to exercise its best efforts to attain this goal.
4. All Narodna Volya newspaper subscribers will automatically receive the “America” newspaper for the duration of time as the subscription monies in the subscriber’s account allow. At that point, in due course, Providence will offer all Narodna Volya subscribers an opportunity to continue their subscriptions to America at the then obtaining rates.
5. Paragraph 2.4. b. is hereby amended to read as follows: 2.4. “... Providence shall commit for a period of time through the end of 2010, or longer at the discretion of PROVIDENCE, to: b. Appoint from the membership of UFA a five (5) member advisory committee or panel of PROVIDENCE’S General Assembly, in accordance with PROVIDENCE’S By-laws, for a period of time through the end of 2010".
7. This paragraph is considered to be Appendix “B” to the Merger Agreement. The celebration of UFA’s 100th anniversary shall consist of the Forum editor’s publication of a double issue of the Forum magazine (which publication shall commemorate the said anniversary). If, after the publication is completed, there are sufficient moneys within the $20,000.00 budget cap described below, the UFA may also stage a 100th Anniversary Banquet. It is further agreed, however, as follows: (a) the maximum cost of all aspects of the Anniversary Celebration will not exceed $20,000.00; (b) the double issue will dedicate two pages of the publication, at Providence’s discretion, to a letter from Providence’s President to the UFA membership and/or other welcoming remarks from Providence and/or a joint communique from UFA and Providence; and (c) that Providence has the right to strike any matter in the publication that, in its discretionary opinion, defames Providence or portrays it in a false light. With this understanding, Providence agrees that the 5 member advisory committee referenced in paragraph 6 shall be in charge of the anniversary celebration in the nature of the said publication and possible banquet. Providence representatives shall be permitted to attend and to make remarks at the possible Banquet.

If presidential elections in Ukraine were held on June 28, Party of Regions leader Viktor Yanukovych would garner 34.7% of the vote, Prime Minister Yulia Tymoshenko 21.5%, and Change Front leader Arseniy Yatseniuk 17.6%, according to a public opinion poll conducted by the Kyiv International Sociology Institute in June, the Mirror Weekly (Dzerkalo Tyzh- nia) newspaper reported. Communist Party leader Petro Symo- nenko would get 5.7%, Verkhovna Rada speaker Volodymyr Lytvyn 3.8%, and President Viktor Yushchenko 3.5% of the vote.
Another 2.2% would give their votes to former President Leonid Kuchma and 2% to Oleh Tiahnybok, the leader of the All- Ukrainian Union ‘Freedom’. Former Defense Minister Anatoliy Hrytsenko would get 1.3%, former National Bank Chairman Serhiy Tihipko 1 %, Kyiv Mayor Leonid Chernovetsky 0.6%, Ukrainian People’s Party leader Yuriy Kostenko 0.2%, and former State Property Fund head Valentyna Semeniuk-Sam- sonenko 0.1%. The other candidates would get in total 2.8%, and 3.1% of the voters would vote against all. Another 9.5% said they would not cast their ballots and 14.9% are so far undecided whether to go to the polling stations.
The poll also showed that the possible voter turnout would be around 67%.

Rev. Ihor Koshyk stated that Selfreliance UAFCU was the only institution which listens to “new immigrants”, which believes in them and assists them.
Halyna Boryslavska greeted the assembly from the “Orange Wave” organization; Bohdan Bodnar spoke from the Society of New Immigrants, and Ivan Pavlyk from the Ukrainian cultural organization ODFFU thanked the credit union for its continued support.
Other community representatives who spoke included Irene Wruskyj and Myron Wasiunec from CYM youth organizations in Chicago and Palatine, IL; and Andriy Durbak represented the Chicago “Plast” youth scouting organization. Orysia Cardoso greeted the assembly from the Ukrainian Institute of Modern Art, and Greg Karawan extended greetings from the Ukrainian Dance Ensemble “Hromo-
vytsia”. Dan Shymanski spoke as a representative of the Ukrainian Catholic Education Foundation.
Luka Kostelyna, whose articles often appear in the local Ukrainian press, congratulated the credit union’s members for being active and engaged, and for attending the Annual Meeting. He reminded them that the Board acts in their name in governing the credit union. Victor Wojtychiw, Vice-Chair and Secretary of the Board, read the list of greeting which were received by mail.
