Pricing PoliciesPayment Due Date: Payments are due on the 30th calendar day after thelater of: 1) the date of actual receipt of a proper invoice in the officedesignated to receive the invoice, or 2) the date the supplies are acceptedby the Government. Acceptance is deemed to occur on the 7th calendarday after the date of delivery of supplies, unless otherwise specified in theindividual delivery order.

Services: List prices apply to products only.

Shipping and DeliveryHAWORTH reserves the right to ship products covered by a single orderin more than one shipment.

For U.S. Continental Shipments: All deliveries will be F.O.B.Destination. HAWORTH has the right to determine the carrier, method ofshipment, and routing. Extra expense resulting from customer request forspecial carrier, shipping method, and/or routing will be billed to thecustomer.

For Non-Continental U.S. & International Shipments:

Overseas – International and non-continental U.S. INCOTERM-CIF(Cost of Goods, Insurance and Freight).HAWORTH’S U.S.A. Price List Catalogs include ocean freight andinsurance to the port of destination in the receiving country. HAWORTHhas the right to determine the carrier, method of shipment and routing.

HAWORTH will contract with the insurer and provide minimal insurancecoverage (CIF@110%) made payable to the buyer. Buyer is responsibleto obtain greater insurance if so desired. Proof of delivery is a free onboard bill of lading.

Buyer will be responsible for all customs clearance and on-carriage fromthe receiving port in the destination country to the final destination.

Mexico. INCOTERM-DAF (Delivered at Frontier).HAWORTH’S U.S.A. Price List Catalogs include freight charges for normalsurface transportation to a United States point of exportation within the 48contiguous states. HAWORTH has the right to determine the carrier,method of shipment and routing.

Buyer will be responsible for all on-carriage and customs clearance fromthe point of exportation to the final destination. Buyer assumes risk of losswhen goods are delivered to a United States point of exportation.

Note: Under all shipping terms, extra expense resulting from buyer’srequest for expedited transportation, special carrier, packaging, shippingmethod and/or routing will be billed to buyer.

Return Material AuthorizationIf the return is the fault of the government, the customer must request areturn authorization through the HAWORTH Customer ServiceDepartment to return unused product. If HAWORTH agrees to repurchasethe product, the customer must return it freight prepaid to HAWORTH,F.O.B. the original shipping point. The customer must also payHAWORTH a handling charge equal to a maximum of 25 percent of theinvoice product price.

Use and Installation of ProductsHAWORTH recommends that its products be installed by certifiedinstallers according to HAWORTH’s written installation procedures. Thecustomer agrees to use HAWORTH products properly; not to remove oralter safety devices, warnings, or operating instructions placed onproducts by HAWORTH; and to instruct employees as to the proper careand use of the products according to printed instructions.

Additional HAWORTH Federal Supply Schedule Price ListsHAWORTH offers additional products under Federal Supply Scheduleprice lists. Contact your authorized HAWORTH dealer for additionalinformation.

Order Placement, Order Changes, and CancellationsAll orders (including RUSH and RUSH Wood), order changes, andcancellations MUST BE SUBMITTED TO HAWORTH IN WRITING BYTHE ORDERING ACTIVITY. NO CANCELLATION CHARGE WILLAPPLY PRIOR TO PRODUCTION. NO VERBAL ORDERS ORCHANGES WILL BE ALLOWED.

General Guidelines forComponent Arrangement

— The total of drawer and door heights cannot exceed the interior height of the case.— If total component heights do not equal the available vertical space in a custom file case, 3′′(76mm)-high filler

panels are used to fill the remaining space. These must be specified and assigned a component position numberwithin the case.

— Individual components should be specified in descending order, starting at the top position in the case.— No more than four (4) 3′′(76mm)-high drawers or roll-out shelves can be placed in one file case.— Receding doors are used to cover roll-out or stationary shelves, and must be specified separately.— 3′′(76mm) drawers or roll-out shelves cannot be configured in the bottom location.

Receding Door / ShelfConfigurations

Multiple roll-out or stationary shelves may be stacked behind one receding door.

A single-shelf or a multiple-shelf combination must be specified for the space behind each 6′′(152mm)-,9′′(229mm)-, 12′′(305mm)-, or 15′′(381mm)-high receding door.

Shelves within each configuration must be specified individually, beginning with the top-most shelf position.

In some cases, the single shelf or total configuration dimension will be less than the available vertical space.In each case, the remaining 3′′(76mm) space will be at the top, behind the receding door. A 3′′(76mm)-highroll-out shelf cannot be specified as the top component behind a receding door.

Example: 6′′(152mm) receding door can be specified with one 6′′(152mm) roll-out shelf or one 3′′(76mm) roll-outshelf only.

6′′(152mm)-, 9′′(229mm)-, 12′′(305mm)-, or 15′′(381mm)-high shelves must be individually specified as eitherroll-out or stationary. 3′′(76mm)-high shelves are available in roll-out style only.

Tie-Bar / Posting Shelf The tie-bar is a 1′′(25mm)-high structural member located on the file unit front under the case top or betweencomponents. It contains the lock or the lock knock-out. A posting shelf option, which replaces the tie-bar, isavailable on four-high and five-high files only. This feature is available in select combination files or is specified incustom files when selecting the desired case.

A structural tie-bar or optional posting shelf on a custom unit will automatically be placed in the first available spacestarting at 36′′(914mm) from the bottom of the case. Depending on how the file is configured, the tie bar/postingshelf could be located as low as 24′′(610mm) from the case bottom.

For instance, in a five-high case with two (2) 12′′(305mm)-high components in positions one and two (counting fromthe top), the posting shelf will be located 36′′(914mm) from the bottom of the case.

In a five-high case with one (1) 15′′(381mm)-high component and one (1) 12′′(305mm)-high component in positionsone and two, the posting shelf will be 33′′(838mm) from the bottom.

THERE IS NO OPTION FOR SPECIFYING THE POSITION OF THE STRUCTURAL TIE-BAR OR POSTINGSHELF WITHIN THE LATERAL FILE CASE. THE POSITION WILL BE ASSIGNED BY HAWORTH BASED UPONTHE DRAWER CONFIGURATION SPECIFIED.

Custom File Order Form Use the Haworth custom file order form on page 0 and make a photocopy for each custom file size and componentconfiguration required. Complete the custom file order form(s) and attach to a Haworth order form with all otherinformation completed. Enter the words ‘‘custom file’’ on the Haworth order form under ‘‘description.’’ Transfer unitand total prices for each complete file unit from the custom file order form to the Haworth order form.

The custom file order form contains a simplified elevation diagram showing the file interior heights and outsidewidth dimensions. This scaled guide may be used for indicating the positions and heights of interior components.Completing the diagram is optional.

Custom File Order FormInstructions

1. Enter Quantity

One order form must be prepared for each file type, edge detail, size, finish color, and component configuration.Order must be a complete unit. Parts cannot be ordered separately for service parts through this order form.Individual parts must be ordered through the service parts program. Enter quantity of like units in the box provided.

2. Draw File Elevation

A. As an option, use the file front elevation diagram on the order form to indicate the height and width of the filecase you are specifying. Use the three-inch spaced incremental marks to identify the component heights andlocations within the file case. This will help you in step 4 to list the components in descending order from thetop of the case to the bottom.

B. A horizontal tie bar, which contains the optional lock, or a specified posting shelf will automatically be placedwithin the stack of components and does not need to be included in your drawing. The tie bar or posting shelfwill be placed between components in the first available position down from the top withinthe 36′′(914mm) to 24′′(610mm) space above the floor of the case.

3. Specify Case and Trim Color

A. Select a file case from pages 0-0 and complete the specification number on the line provided. Besure to consider the following:

4. Specify Components and Trim Color

A. Select interior components from product options on pages 0-73. List the component specification numbers inorder on the lines provided beginning with the top of the case and working toward the bottom. The topcomponent will be in position 1, the next component down will be in position 2, and so on.

B. A receding door and the shelf or shelves behind it should all be listed with the same position number.In the list, always place the receding door first, followed by the shelf or multiple shelves in descending order.When specifying 3′′(76mm) roll-out shelves, see page 0 for additional instructions.

C. Indicate one trim color for all receding doors, drawer fronts, or filler panels. This color can match the casecolor specified or can contrast with it. Shelves behind receding doors will always be finished in standardblack paint and color need not be specified. Drawer bodies and all accessories will also be black. The tie baror posting shelf will automatically match the external trim color of the components.

(This North American Haworth Product Non-Obsolescence and Warranty Policy applies to products manufactured after October 31, 2010)

Haworth, Inc. or Haworth, Ltd., (each called ″Haworth″) will make a good faith effort to maintain product compatibility within our various generations ofproduct platforms to provide our customers with spaces that adapt to change. Under our non-obsolescence policy, we commit to provide our customerswith products of comparable function or operational characteristics for a term equal to the Applicable Warranty Period. Haworth fabrics and finishes mustbe updated periodically to maintain the market appeal of our products and respond to the demands and changing preferences of our customers. As aresult, we or the manufacturer may discontinue some fabrics and finishes before expiration of the Applicable Warranty Period.

If a new product purchased or leased from Haworth or from an authorized Haworth dealer proves to be defective (as defined below) while the product isstill in the possession of the initial purchaser or lessee and if they, within the Applicable Warranty Period, send notice of the defect to Haworth byelectronic mail ([email protected]), then, except as provided below, Haworth will, at Haworth’s option, either repair or replace the product, at Haworth’sexpense, or refund the purchase price of the product. Except as provided below, a product shall be considered ″defective″ if Haworth finds that it isdefective in material or workmanship and if the defect materially impairs the value of the product to the purchaser or lessee. Applicable Warranty Periodsare set forth below. Each Applicable Warranty Period begins on the day the product is manufactured, except that the Applicable Warranty Period for aflooring product begins when its installation is complete. If a product that the purchaser or lessee references in a notice of defect was not installed by aHaworth Certified installer and/or reconfigured by a Haworth-trained installer, then the product may not be considered defective and Haworth will not beobligated to repair or replace it or to refund its price.

ALL HAWORTH PRODUCTS ARE WARRANTED FOR 24 HOUR/7 DAYS USE EXCEPT AS NOTED*

WARRANTY PERIOD

All Haworth products are warranted for LIFETIMEexcept products, components and materials described below:

Very and Zody Task Chair framework and mechanisms are warranted for persons up to 300 lbs for Twelve Years

All other seating mechanisms* (excluding mechanisms in wood or wood framed chairs), electrical components, electrical accessories andfixed task lighting (excluding underfloor power), upholstery foam, seat and back mesh, seating glides and casters, stack chair frames, wallproducts and products that are at any time used in a classroom or educational environment (other than administrative areas) forexcept as limited or described below:

Ten Years

Wood or wood framed products and wood chairs including their mechanisms, gel arm caps, fabric scrims and fabrics rated ( A ) Heavy Dutyunder Association of Contract Textiles guidelines, leather, user-adjustable worksurface mechanisms, thermofused laminates, slow closemechanisms, ambient and flexible task lighting, horizontal glass or thermoplastic table assemblies and Jump Stuff products (other thanBoogie Board (lifetime)) for

Five Years

Flooring products, including underfloor power (excluding factory-applied surfaces), plastic ultraviolet light color fastness and fabrics rated( a ) General Contract under the Association of Contract Textiles guidelines for

Three Years

Products that are manufactured outside North America and sold into the North American market for One to Five**

Non-standard Specials products, soft palm rest, mouse pad insert, translucent edge marring and factory-applied surfaces on flooringproducts for

One Year

Service parts used for warranty carry the remaining balance of the assembly’s original warranty period.*The Applicable Warranty Period for these products is single shift forty hour week. If used more than this, then the Applicable Warranty Period will bereduced in proportion to the increased usage. For example, if a chair is used an average of sixty hours per week, then the Applicable WarrantyPeriod for the seating mechanism is six years, eight months instead of ten.**The Applicable Warranty Period for each such product is specified in Haworth’s price list for the product.

A product will not be considered to be defective, and Haworth will not repair, or replace it or refund its price if the product (1) is a consumable product,such as a lamp or light ballast; (2) is ″Customer’s Own Material″ (i.e. material specified by the purchaser or lessee that is not a standard Haworth productoffering, such as Haworth Alliance fabrics); (3) is not installed and used as recommended in Haworth’s written specification, installation and user guides;(4) has been otherwise misused or suffered abusive damage or (5) is a product that is manufactured by a third-party supplier from whom Haworthpurchases it for resale without incorporating it into Haworth products (in which case Haworth will assign to the purchaser or lessee any warranty that themanufacturer provides). A defect in materials or workmanship does not include damage to a product, or failure of a product to operate or performproperly or to maintain appearance, caused by (a) normal wear and tear; (b) an Act of God or transportation; (c) a product alteration made withoutHaworth’s express written authorization; (d) the natural variation of color, grain or texture found in wood and leather; (e) the natural aging found inmaterials such as wood, fabric and leather which results in colors shifting during use; (f) dye lot variations in fabric, leather or wall covering or (g) thenatural patina and ″puddling″ of leather during use.

EXCEPT AS STATED ABOVE, HAWORTH DOES NOT MAKE A WARRANTY AS TO ANY PRODUCT AND, IN PARTICULAR, DOES NOT MAKEA WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE. Product repair or replacement or refund of the price, atHaworth’s option, in accordance with this Policy, is the purchaser’s or lessee’s exclusive remedy for a product defect. Haworth shall not have tortliability with respect to a product, and Haworth shall not be liable for any consequential, economic, indirect, special, punitive or incidental damagesarising from a product defect.
