General Policies Annual Purchase Plan for APP Contract Holders

Transportation Charges – F.O.B. shipping point.1. For orders greater than $1,000.00 freight will be prepaid and not

charged via the least cost carrier and routing of 3M's choice.Exceptions will result in the premium charges being billed as aseparate line item on your invoice. (The difference in transportationcharges between the routing specified and the "lowest cost"routing).

2. All orders that are less than $1.000.00 will be prepaid and charged.This will result in the freight charges being billed as a separate lineitem on your invoice.

3. There is no minimum order requirement.

Expedited/Pick-up Order PolicyExpedited/Pick-up orders of stocked products available at our TorontoD.C. are subject to a 15% processing fee. Minimum order applies.

Stock ProductsCertain product, though listed in these price pages, are not necessarilystocked items in our Toronto Distribution Centre. Please use the 3MBusiness Centre Website or consult with a 3M customer service repre-sentative.

Customer purchaseorders should be for total quantity ordered and give set-offshipping dates for quantities or indicate that shipping date will beadvised for balance. Customer is to sign to this effect on the order.Initial shipments should be for as large a quantity as possible.

3. At the end of 11 months (if balance has not been shipped) theSales Representative concerned is asked to call on the customer toadvise that the balance is to be shipped and invoiced.

Contract OrdersFor contract orders, both Customer and 3M must enter into a signedagreement which details the type, colour and size of the product, as wellas the quantity involved. There will be stated in this agreement clearprogram start and completion dates, with estimated usage throughoutthis period. 3M shall manufacture and have product shipped to 3M'sToronto Distribution Centre and shall store product there free of charge forCustomer until program completion date. 3M will ship product as advisedby customer to customer location. Customer shall order product during itsprogram on an as needed basis and shall be invoiced upon shipmentfrom 3M's Toronto Distribution Centre. At the program completion date,3M shall ship to customer all remaining product at 3M's Toronto Distribu-tion Centre and invoice Customer on the shipping date. Return Goods PolicyTo cooperate with our customers, 3M Canada Company herein estab-lishes a Return Goods Policy with respect to goods ordered and/orshipped in error for all products sold by the Display and GraphicsMarkets group. In the mutual interest of our customers and the company,we would appreciate all concerned being governed by the provisions setforth below.The return goods procedures are to be used when either 3M or thecustomer makes an error and incorrect merchandise is received. Thereturned goods procedures are not to be used for product qualitycomplaints, which are handled according to Quality complaints below.The Display and Graphics Markets group will accept the return ofmerchandise under the following conditions:BEFORE ANY MERCHANDISE IS RETURNED BY A CUSTOMER,AUTHORIZATION MUST BE GIVEN BY THE 3M SALES REPRESENTA-TIVE. IF POSSIBLE, MERCHANDISE SHOULD BE CHECKED BY A 3MREPRESENTATIVE FOR CONDITION OF STOCK AND PACKING ANDSHIPPING PROCEDURES. WE WILL NOT AUTHORIZE THE RETURN OFMERCHANDISE THAT HAS BEEN MISHANDLED OR NOT PROPERLYPACKAGED FOR SHIPMENT.NOTE: IN ALL INSTANCES, RETURN SHIPMENTS SHOULD HAVE AMATERIAL RETURN FORM SUPPLIED BY THE SALES REPRESENTATIVE,AFFIXED TO THE SHIPPING CARTON.

3M Canada Errors (Non-Quality)Should incorrect merchandise be received by a customer due to a 3MCanada error in interpretation, filling or shipping of an order, the merchan-dise may be returned for replacement with transportation at 3M's expense,provided that the error is reported to your 3M representative and approvalis obtained within 30 days after receipt of the merchandise, and that themerchandise is in good condition.

Customer ErrorsIf a customer has made an error in ordering and requests that themerchandise be returned for credit, the goods must meet the followingrequirements:

1. The merchandise must be a 3M stocked item as to width, typeand packaging. Only full rolls and/or full cartons are acceptable.3M will not accept the return of non-stock product. Cancellationof non-stock product orders will not be allowed.

2. The merchandise must be in saleable condition. When saleabilityis questionable, samples must be sent through our local branchfor laboratory analysis. 3M reserves the right to judge saleability.

3. Stock classification and saleability requirements also apply todispensers and application equipment.

4. If a request to return merchandise meeting the aboverequirements are received within 90 days after receipt of thegoods, a 15% handling charge will be assessed per order.Transportation both ways will be charged.

5. Merchandise in the customer's possession longer than 90days or non-stock merchandise, is not returnable under anycircumstances.

6. Where handling charges apply, they are deductible from theoriginal purchase price of the material.

7. Restocking charges apply even in a situation when an enduser cancels their order.

Traffic ClaimsAll claims against 3M for loss or damage in transit to 3M goods will befiled by 3M Canada Company. Full credit will be allowed to the customer,provided s/he has met the necessary requirements enabling 3M to recoverto loss. NO claims can be accepted if shipment occurred outside theparameters of the Statute of Limitations for the appropriate Province andcarrier.

Damaged Goods Procedures1. 3M will accept responsibility to handle all claims against carriers for

damaged freight. Customer's contact for reporting damage is the3M Customer Service Representative (CSR) regardless of the pointof origin of the damaged goods. The 3M CSR will also arrange forany replacement needs as soon as possible.

2. If visibly damaged materials are received, mark "Materials receivedin damaged condition" on the Bill of Lading.

3. If concealed damage (damaged material in seemingly intactpackaging) is encountered, notify the 3M CSR as soon as possible.

4. Leaking or damaged liquid products should be accepted, notingthe damage on the Bill of Lading. Leaking or damaged liquidmaterials cannot be reshipped because of associated hazard.Notify 3M CSR immediately.

Quality ComplaintsAll suspected quality complaints will be handled in the followingmanner.

1. Customer must report suspected defective material to a 3Mrepresentative. Under no circumstances may the customer returnsuspected defective goods to 3M without first obtaining approvalfrom a 3M representative.

2. A 3M representative will arrange for return of a sample of defectivematerial where possible, or the material itself, to the 3M TechnicalDepartment for analysis.

3. If a sample is taken, the customer must retain balance of goodswhile the sample is being analysed. If the customer wishes to useall or part of the suspected defective material remaining in hispossession while the complaint is being investigated, they do so attheir own risk.

4. If the complaint is justified by the 3M Technical Department, a 3MRepresentative will arrange for the return of the balance of goods, ifany, at 3M's expense.

A surcharge of 10% above list price applies to all sheet goods.

Minimum order:600 square feet of identical sheet sizes.Example: 12" x 12" sheet = 1 square foot.

Minimum order must be 600 sheets.

Sizes available:Minimum size of 4" x 4".Maximum size of 48" x 48".

PROCESSING DATA:The RS series now has a thin, clear polyester film on thesheeting surface – which must be removed just prior to screen-ing. 3M™ Stamark Wet Reflective Removable Tape Series 780 is a highly reflective pliant polymer pavement marking material intendedfor longitudinal line applications in construction work zones where removability is required. Reflectivity is maintained in both wetand dry conditions.
