How to Become a Sponsor We are very pleased you have expressed an interest in becoming a sponsor (“you” or “Sponsor”) at one or more conferences of the 2018 Mastercard Global Risk Leadership Conference Series (each, a “Conference”). If you wish to become a sponsor, please complete this Sponsorship Agreement and submit it to globalrisk@mastercard.com. If you are accepted as a sponsor, Mastercard will return a fully executed copy of this Agreement along with an invoice detailing the amounts due for your sponsorship. Upon full execution of the document and remittance of the fees, this document shall form a legally binding agreement between you and Mastercard regarding your Conference sponsorship.

Please note: In the event that you are not accepted as a Sponsor, Mastercard reserves the right to deny you access to one or more Conferences.

Assignment of Sponsor Booth SpaceMastercard will assign booths at its sole discretion and reserves the right to assign or relocate exhibit areas or reconfigure the exhibition area at anytime. Sponsor’s booth assignment shall be conditional until full payment of all amounts is receoved. The booth space assigned to Sponsor is for the use of the named Sponsor only.

BadgesAll exhibitor badges issued by Mastercard for Sponsor and its attendees are for the sole use of such personnel identified in advance to Mastercard. Sharing of badges is not permitted. If additional badges are needed or attendees need to be modified, please contact Mastercard in advance.Payment and TermsMastercard will invoice Sponsor for the applicable Conference fees. Fees are dependent on the sponsorship package requested by you and agreed upon by Mastercard. Payment is due within thirty (30) days of receipt of the invoice from Mastercard, or if an invoice is sent less than thirty (30) days from the date of the Conference due to Sponsor’s registration date, payment is due immediately upon receipt.

Acceptable methods of payment are Mastercard credit card, check or wire transfer.

Please note: Please be sure to address any check payment to Moneta Jones for tracking purposes. If paying by Mastercard credit card, please contact moneta.jones@mastercard.com to submit and manage payment. If paying by wire transfer, instructions will be included on the invoice.

Additional Sponsor attendees must register for each conference and Sponsor will be invoiced by Mastercard for the additional attendees fee. Make certain to select “Additional Exhibitor“ during the registration process.

Please note: Sponsor shall be responsible for any and all taxes required under law, as well as any and all wire transfer or other banking fees that may be charged by your financial institution or payment service provider.

RECEIVE MULTI- CONFERENCE EXHIBITING DISCOUNT

Cancelation PolicyIn the unlikely event that Mastercard cancels one or more sessions, or the entirety of the Conference, Mastercard will refund the applicable fees paid by Sponsor within forty-five (45) days of such cancelation and will not be held responsible for other costs or expenditures incurred by the Sponsor or any of its attendees or exhibitors in relation to said Conference.

Notwithstanding the previous paragraph, Mastercard may terminate this agreement for any reason upon providing notice of such termination to Sponsor. Mastercard will return any fees paid to Sponsor no more than fourty five (45) days after notification of termination. Additionally, Mastercard may terminate this Agreement if Mastercard deems Sponsor’s conduct to reflect poorly on Mastercard. In such event, Mastercard will refund the applicable fees paid by Sponsor within forty-five (45) days of such cancelation and will not be held responsible for other costs or expenditures incurred by the Sponsor or any of its attendees or exhibitors. All cancelations by Sponsor are required to be made in writing to globalrisk@mastercard.com. Cancelations submitted thirty (30) days prior to the first day of the applicable Conference will receive a 100% refund of the Sponsor fees paid for such Conference. Cancelations submitted less than thirty (30) days of the applicable Conference are nonrefundable. For the avoidance of doubt, notices of cancellation received less than thirty (30) prior to the first day of the specified Conference creature a foreifutre of the fees paid by Sponsor. If the original Sponsor registrant is unable to attend, Sponsor may send a replacement attendee from the same Sponsor. It is the responsibility of the original Sponsor registrant to notify Mastercard, in writing, three (3) business days prior to the event confirming that they will not be able to attend and listing the name of the replacement attendee.

Force MajeureIf the performance by either party of any non-monetary obligation under this Agreement is delayed or prevented in whole or in part by any cause not reasonably within its control (including without limitation Acts of God, unusually severe weather, interruption of transportation, war, civil disturbances, acts of terrorism whether actual or threatened, accidents, damage to facilities rendering such facilities either non-operational or aesthetically unsatisfactory in the determination of either party in their reasonable discretion, labor disputes, acts of any governmental body, failure or delay of third parties, or other causes similar to those enumerated), such party shall be excused, discharged and released of performance to the extent such performance is so limited or prevented without liability of any kind. Nothing herein contained shall be construed as requiring either party to accede to any demands of labor or labor unions, suppliers, or other entities which it considers unreasonable.

InsuranceSponsor and its vendors and sub-contractors each agree to obtain and maintain appropriate commercial liability insurance for the Conference to cover equipment, staff and any damage or injuries that may occur involving Sponsor’s exhibits and property.

SecurityIn no event will Mastercard be responsible for theft, loss, or damage to Sponsor’s products, exhibit space, property, or display. Sponsor agrees it is wholly responsible for protecting its property on the venue’s premises. Mastercard will provide security in the exhibit space when it is closed.

LiabilityMastercard assumes no risk or liability in connection with your role as a Sponsor and the sole liability or rememdy which of Mastercard may provide is the return of Sponsor’s fees in accordance with this Agreement.

Public Communications/Press ReleaseMastercard does not object to Sponsor’s issuance of press release or other public communication regarding its participation in the Global Risk Leadership Conference, provided that a draft of any such press release or other public communication is submitted to and approved by Mastercard in advance of use. Such approval is at Mastercard’s sole discretion. Mastercard does not have any obligation to approve or participate with any Sponsor in any joint press events.

Data and Content Usage and Privacy PolicyMastercard may provide to Sponsor the contact information of other sponsors, general attendees, or speakers that attend the Conference, or speaker conference materials. As between Mastercard and Sponsor, Sponsor agrees to keep such contact information and materials confidential, only use the contact information for the purpose of networking and marketing opportunities with such other Conference participants, and not todisclose such contact information or materials to any third parties. Please refer to Mastercard’s Privacy Policy available on the conference website which forms a part of this Sponsorship Agreement.

Miscellaneous As a Sponsor at a Mastercard event, you agree to conduct yourself in a professional manner and to comply with such reasonable requirements that are imposed by Mastercard in connection with the Conference.

Sponsor also agrees to the following:

• Comply with the requirements for set up and break down of exhibits/booths whichare distributed approximately three (3) weeks to the applicable Conference in theSponsor package. The booths will be manned during the breaks and sessions asoutlined in the onsite details. The schedule of events is subject to change.

• Provide all requested documentation and files by the designated deadline setforth in the Sponsor package.

• Not to showcase or distribute materials that are of a competitive nature toMastercard or confidential information of third parties.

Important note: Please select the desired package and Conferences where indicated below, sign and date this Agreement and return it to Mastercard. Sponsorship is not confirmed until Mastercard has countersigned this Agreement, confirmed package availability, and returned a fully executed agreement to you. Sponsorship opportunities are limited. Mastercard selects sponsors, and activities of sponsors, at its sole discretion.
