Nurse Practitioner Association of South Dakota: Robin Arends (Exec Dir)Robin shared that NPASD met Friday with the CNMs to discuss legislative issues (Practice Authority) for 2017 session. NPASD is in process to hire a lobbyist. They also have on-going dialogue with the CRNAs.

SD Association of Nurse Anesthetists: Kara McMachen (Past President)

Kara congratulated SDNA on their 100th Anniversary. She provided an update on the federal legislation (SB 2247) regarding changes in regulations for APRNs.In addition, the group has been in conversation with NPASD r/t upcoming proposed changes and are supportive of their efforts.

XI. Unfinished Business ANA Pilot Projects:E. Ollila shared that ANA has implemented Pilot Projects regarding membership and will be working/dialoguing with its member state associations on this.

SDNA Districts will need to discuss this within the districts. In order for SDNA to consider this, it will require a Bylaws change.

District 5 and District 7 nurses volunteered on various committees and moved at a fast rate to provide education and entertainment for the annual SDNA Nurses Convention on October 2nd and 3rd . We are celebrating 100 years as an association. We have many strong members that framed this organization and many strong nurse leaders that will take us into the future.

Nurses from District 7 volunteered to provide First Aid Services at Dakota Fest held in Mitchell in August. Working in conjunction with local EMT’s and Paramedics from Mitchell Fire and Rescue and other volunteer nurses, the members provided services during the three day event.

Convention InformationStanding Rules for the

SDNA Annual Convention Business Meetings• Rule1. To obtain the floor, a Member shall rise, address the Chair (“Mr. or Madam President”), give his or her name and district and, upon recognition by the Chair, may speak.• Rule2. No Member shall speak in debate on any one motion or question for more than two minutes.• Rule3. No Member may speak more than once to a motion or question if a Member who has not spoken wishes to do so.• Rule4. Members shall limit their remarks to the merits of the pending motion or question.• Rule5. Business interrupted by a recess of the meeting shall be resumed at the next business meeting at the point where it was interrupted.

ResolutionsHonorary and Commemorative Resolutions can originate from any district or by an individual member and may be brought from the floor. The procedure for presenting Substantive Resolutions as adopted by the SDNA Board of Directors on October 7, 2012, to encourage presentation of thoughtful and constructive resolutions on the part of the Membership through approved channels, is as follows:

Substantive Resolutions must comply with the following process and timeline:1. Substantive Resolutions must be submitted to the SDNA Board of Directors (Board) on or before January 1st of the year

in which the resolution will be considered;2. The Board will review any Substantive Resolution(s) that have been submitted to the Board at its regularly scheduled

winter board meeting;3. Additional information that the Board deems appropriate may be requested. The individual submitting the Substantive

Resolution(s) must submit said information by April 1st of that year. The Board may also request that the individual submitting the Substantive Resolution(s) appear at the regularly scheduled spring board meeting to present;

4. The Board will give final consideration to the Substantive Resolution(s) at the regularly scheduled spring board meeting;5. Any Substantive Resolution(s) approved by the Board will be published to membership during the summer and presented

to membership at the SDNA Annual Meeting for a vote of the membership;6. The Board will direct appropriate action of SDNA to carry out any Substantive Resolution(s) passed by membership and

will allocate appropriate resources if and when available.

Definition of Terms:• Commemorative Resolution: deals with the commemoration of important events or developments in nursing, in specific

fields, or in government.• Honorary Resolution: gives recognition to individuals who have made significant contributions to nursing.• Substantive Resolution: deals with the basic principles and policies of the Association, or issues of statewide concern to

Presidential AddressOver the past year I have represented SDNA at the Nursing Student of South Dakota Convention and presented information about SDNA and ANA. I provided our SDNA brochure for all the students in attendance. I represented SDNA at the ANA Membership Assembly in June 2017. I met with Senator John Thune while at the Day on the Hill concerning the nursing issues/bills and health care act in general.

I also assisted members of District 4 and Rho Xi to provide a “Welcome to the Profession” for the SDSU Nursing Graduates in December 2016 and the Presentation College Nursing Graduates in May 2017 by providing the SDNA/ANA brochure and information about the organizations. I stressed that their dues for SDNA/ANA for the next two years would be half price. I, along with members of District 4, discussed what SDNA and ANA was, the services they provide, and how important it is to be active in their professional nursing organization.

On the ANA website at the following link (http://community.ana.org/newrncommunity?_ga=2.180634343.1580746127.1501702260-421748970.1448311911&ssopc=1), new graduates can access information to assist them as a new RN. The Online Community provides a variety of helpful hints for the new RN. New RN’s would create a user name and password to access the information. They can do this as a new member or as a new RN. Encourage new RN’s in your workplace to access this information.

ANA continues with the membership pilot projects and added more states to the pilot project. The states who are part of the pilot project have noted increased membership. At the present time, SDNA Board has chosen to not participate. If we participated, then new graduates would not be able to join for half price for two years after graduation.

I believe it is important for each SDNA member to continue mentoring new graduates and nursing students in the work places. It is also important to continue to provide information to seasoned nurses concerning the importance of joining SDNA and ANA. This be accomplished by providing information about SDNA’s work during the South Dakota Legislative Session, meeting with nursing students in your local districts. Another method is to provide updates about the Revised Code of Ethics for Nurses with Interpretive Statements.

Access ANA’s website: www.nursingworld.org to obtain information about the Code of Ethics, free webinars for members, and other valuable information. Not only does your membership provide you information from SDNA, but from ANA.

Individual members of SDNA participated in the Healthy Nurse Healthy Nation. I urge members to review the information and strive to incorporate the ideas into practice. If we are not healthy, then we are not able to provide the care for our patients and families. I believe it is very important for nurses to first care for themselves.

I believe 2017 SDNA Convention, “The Next 100 Years,” will be exciting. We will have excellent presentations, along with a time to network and learn about our past, present, and future!

SDNA Treasurer’s ReportDeb Fischer-Clemens, RN, BSN, MHA

Wow! Another year has passed. As the treasurer, I am always thankful that we have maintained our finances while also providing support and education for South Dakota nurses.

The team of planners for the convention on Oct. 1 and 2 in Yankton are planning a great event. I would ask that each member bring two new members to the Convention party.

As you are all aware, it is our Convention and Nurses Day at the Legislature that are the success stories for the association. We want people to attend to learn about the association and then be active participants in the association.

As the treasurer, it is these events that also keep the bills paid. Each of you must assume responsibility to increase membership, and thus increase our dollars so we can do even more for the nurses of South Dakota.

It is up to us to bring people to our events and communicate dates early, because people are busy and schedules fill-in. The Spring Workshop this year had an excellent group of presenters; I only wish more people had attended to hear the outstanding information that was presented. Plan to attend next spring as the committee is beginning preparations now.

The June 30 budget fiscal year-to-date showed our income under budget. Thanks to the fine work of Eric, our projected expenses were down a bit and thus the association showed a net profit for the year.

We need everyone to spread the word for all our events, so we can all benefit from our professional organization.

SDNA members should be proud of what they accomplished in 2016-2017. District 4 did a great job on the 2016 convention in Mitchell. The convention was well-received by speakers, attendees, and exhibitors, and also exceeded financial goals. 2017 NDL followed and was again well-received by all and exceeded financial goals. District 10’s spring workshop had terrific programming and was again well-received.

I attended two ANA events in 2016-2017, both in Washington D.C. In September 2017 I attended ANA Lobbyist meetings, and in June 2017 I attended ANA Membership Assembly. SDNA GRC Chair Carrie Clausen Hansen also attended the ANA meeting, and ANA delegates Margie Washnok and Tom Stenvig attended ANA MA; they all represented the SDNA terrifically.

A synopsis of the administrative work of the SDNA follows:

Executive Director/Office/Bookkeeping: The Association contracts for executive director and other office/bookkeeping services. These contractual relationships allow the Association to reduce overhead while maintaining the office and day-to-day operations. The Association is not responsible for office equipment, utilities, maintenance, rent, etc., but is instead benefitting from a sharing of office resources.

Lobbying/Government Relations: During the 2017 Legislative Session, Midwest Solutions lobbied on behalf of the SDNA. Legislative updates were emailed to SDNA members weekly to keep members apprised of the legislative issues and the current status of bills impacting the nursing profession and SDNA members. Additionally, teleconferences were held weekly with the Government Relations Committee to discuss bills of interest and the current status of each.

Action Alerts were emailed to membership throughout the 2017 Legislative Session. Please take action when you receive these Action Alerts and please do so within the timeframe set forth in the Action Alert. Bills move quickly through the legislative process. The Action Alerts are sent with instructions and a timeframe to allow SDNA members to participate in the legislative process and impact the ultimate disposition of bills.

We work hard to ensure that SDNA’s voice is heard, but legislators need to hear from their constituents about issues important to the nursing profession – not just during the legislative session, but throughout the year. You will never know what an impact you can have on the legislative process until you get involved!

We would like to thank the Government Relations Committee and its chair, Carrie Clausen Hansen, along with the SDNA members, nurses and students that participated in Nurses Day at the Legislature (NDL) or through the Action Alert process. We appreciate your time, talents and all that you do to engage legislators on SDNA issues. We look forward to the 2018 Legislative Session and hope to see many of you at NDL!

Communications:Newsletter: Our quarterly publication is the “South Dakota Nurse,” and we mail it to all nurses who hold a license in South Dakota. The Association currently contracts with Arthur Davis Publishing.

Website: SDNA’s website can be found at www.sdnursesassociation.org. We continue to update content on a regular basis to reflect current events and information. Don’t forget that we have a “Calendar of Events” with information on upcoming SDNA activities and events. And the SDNA should have a new website by Convention, so we’ll have something new to explore.

Facebook: If you’ve not done so, please “like” the SDNA. Our Facebook “friends” continue to grow in number. We currently have 195 likes, an increase of 44 since last Convention. We routinely post event information, surveys, articles, ANA information, etc. It’s a great way to stay informed. SDNA’s Facebook page can be found at www.facebook.com/sdnurses.

Membership: As of August 2017, the Association had 434 members, down 7 members from 2016; a CODA with those numbers is we actually added dues paying members, while dropping in non-dues-paying members (bookkeeping cleanups). We continue to reach out to individuals whose memberships are coming up for renewal prior to, at and following the renewal period. The Association continues to work hard to engage the next generation of nurses.

We also encourage each of you to recruit one new member a year. Are there colleagues that are not currently members of the Association that you could recruit? Nurses need to hear from other nurses on the value of membership in SDNA. If you would like membership applications or other membership material, please contact the office and we would be happy to provide them.

Non-Dues Revenue: Non-dues revenue accounts for much of the Association’s operating budget. The Association has developed continuing education programs and events that benefit nurses. Event registration is important for both educational and career development and revenue goals and factors. The Association evaluates these programming on an ongoing basis. The Board and districts focus on presenting topics that are relevant and interesting to our members and nurses in general.

District ReportsDistrict 1, 2, & 3No report submitted

District 4District 4 is privileged to have two members who hold positions at the SDNA State level. The President of SDNA, Margie Washnok and Carrie Hansen, a member of governance relations committee. They both keep members abreast of happenings at the State and National level. We look forward to their reports at each meeting.

A Facebook group was developed this year as a forum to communicate local, state and national newsworthy information regarding Nursing. Registered Nurses, SDNA members and non-members, within the District 4 where encouraged to give voice to decisions that impact our profession and community. At this time there are 57 members who have accepted the invitation to join the SDNA District 4 Facebook group. The Facebook page also is used to inform the group of District 4 meetings, upcoming events and for professional networking.

The SDNA District 4 members met in a few different locations throughout the year In an effort to attract nurses from a variety of specialties. The January meeting was hosted by District 4 SDNA member and CNO of Avera St Luke’s Hospital,Cory Geffre.

February meeting was held at the new Mike Miller Elementary School. School Nurses, Jeanette Hahler and Becky Hunter, gave a tour of the school and discussion was held regarding the health and needs of children in the school district.

A brief meeting was held in March at the Rho Xi Research Day.

The April meeting was held at Presentation College after District 4 hosted a “Welcome to the Profession” luncheon for graduating nursing students.

There was not a meeting held in the month of May.

The June meeting was hosted at Presentation College. After a delicious potluck meal, the group discussed nominations for awards which will be given at the SDNA state convention. Margie Washnok gave a tour of the state of the art Avera Simulation Lab.

The month of July was off for summer break.

The annual District 4 fundraiser is held in August. We managed and staffed the First Aid Station at the Brown County Fair, August 14-20. There are thirty-five 2 hour volunteer shifts to cover by two nurses per shift during fair week. Over 100 people were seen this year for minor first aid care.

Included at each meeting is the recognition of professional nursing achievement such as nurses who have obtained an advanced degree, certifications, retirements etc. We also remember nurses who recently died. Often times a SDNA member will attend the funeral, read the Nurses Prayer and present the family with a white rose.We look forward to the SDNA 2017-2018 year and will continue to invite nurses to join the only professional organization devoted to the interest of all registered nurses.

Our new meeting year begins with celebrating the Holidays at Roberta Olson’s home. There is nothing like a pot-luck to bring out great food, and desserts! Along with fellowship we do get down to basics and plan out our upcoming year. We try and use the 4th Tuesday of the month for our meetings. Along with planning comes election of the new officers for the upcoming year:

These officers, many times, are the people who keep our organization active.

Meetings in 2017 have brought a variety of events, or non-events, such as the January meeting being cancelled due to severe weather conditions. In February a number of members were able to attend NDL in Pierre, where there was a great turn-out of legislatures, RN’s, and CNP’s. It was with our help in lobbying those congress men and women that we helped advance the state’s CNPs.

Hosting our own legislative policy information gathering we met in March with Deb Fisher-Clemens. We had invited her to give us a detailed explanation of the Obama Care Health Policy, as compared to the recently failed Health Care Policy. This was an educational opportunity for local legislators, instructors, nurses, and nursing students. A lot of work goes into hosting such an event, and I would like to thank all of those who made the contacts and set up the meeting.

The April Meeting began with pizza being served to the Nursing Student Association. We wanted to congratulate the graduating seniors and we talked to the nursing students about the importance of being an active member of their professional nursing organization after graduation.

We did not hold a May meeting, but the June meeting was quite important with the start of the planning process for the 2018 Annual SDNA convention!! The group also went through the process of nominating members of our District for the prestigious state awards that are announced at the Annual SDNA Convention.

District members, we will be needing everyone’s help to put on a pleasurable, educational, and financially successful State Convention in 2018!! Looking forward to meeting more of you personally, as we look for volunteers.

District 10 tried a new meeting with a paint and wine experience. Most of the meetings were in preparation for the Spring Workshop which had great reviews. We took the summer off with everyone being busy in the summer and will resume meetings September 12 at CJ Callaway meeting at 6 PM for those that want to come. We will review the spring workshop, item to donate for the convention auction, suggestions for PAC fundraisers, and any other agenda items that may come up.

District 11As everyone knows, District 11 has been busy with the work of hosting the 2017 Annual Convention, “SDNA: The Next 100 Years.” Before I talk about what is in store during this event, I would like to take this opportunity to thank the members of District 11 for all their hard work to make this event take place. When anything was needed, the District 11 members “stepped up to the plate and got it done.”

One big event at this convention will be a tour of the Mead Building at the South Dakota Human Services Center. This building has been vacant since the 1980’s and is now being renovated to serve as a museum and to house documents from other agencies within the Yankton area. The building features a grand staircase as well as many other unique features. Many nurses have told me that they had a picture taken on that staircase—and we plan to repeat this during our convention of the attendees—so be prepared to smile! The Dakota Territory Museum staff will serve as tour guides during this novel experience. There are several interesting points to be seen during this tour! We also have many speakers and a panel of gubernatorial candidates to provide what promises to be an educational and inspirational convention! Thanks for coming and enjoy!

Besides the convention, our District members have hosted several educational speakers during local meetings. Representative Jean Hunhoff, RN, BSN, MSN spoke after the 2017 Legislative Session on the events of the legislative session. Dr. Jean Yockey gave a very interesting presentation on “Navy Hospital Care at Sea” at our February meeting. The USD Student Nurses presented a discussion on the “USD Service Project in Guatemala” for our December meeting. Our group also hosted a Fundraiser for Yankton’s free clinic, the Servant Hearts Clinic in October of 2016 at the local Pizza Ranch. After the completion of the pizza fundraiser, the Clinical Operations Director for the Servant Hearts Clinic provided an informative discussion about the Clinic for the District 11 members and several student nurses present. We also saw a presentation about the Mead Building during a local district meeting so members who have not toured this facility recently (or at all) could provide information about the Convention tour.

District Nurse of the Year award for each district is chosen by that district. The President of each district must submit the nominee by August 1. There are specific criteria for each one which can be found on the SDNA website, www.sdnurses.org. Each nominee must be a SDNA member. This is a wonderful opportunity to recognize fellow nurses who are doing an outstanding job in their jobs and communities. Nominators must provide narrative statements describing the nominee’s compliance with established criteria for the awards. The Awards Committee considers all nominations and informs the SDNA Board of Directors of the award recipients. Award recipients are invited to attend the SDNA Convention for presentation of awards. If an award recipient cannot be present, the presentation is made in absentia.

SDNA is an approved provider of continuing education. We continue to work hard to provide registered nurses across SD the opportunities for continuing education at events such as Nurses Day at the Legislature, Spring Workshop and Annual Convention. The Education Committee is always open to ideas for future learning. Be sure to complete your post-educational evaluations or contact the SDNA office with your suggestions.

I will be stepping down from my role as Primary Nurse Planner this year. If you are interested in the PNP role, the following requirements must be met.

1. The person is a member who actively practices in academia and/or continuing education and who has a baccalaureate or higher degree in nursing.

2. They are Board-appointed to chair the committee for a 4 year term. The PNP may be re-appointed for an unlimited number of terms.

3. The PNP is responsible for assessment, planning, implementation and evaluation of continuing education activities and to provide oversight and guidance in managing the SDNA Approved Provider Unit.

4. They provide assurance that the ANCC Commission on Accreditation standards and guidelines are utilized in planning continuing education activities for nurses and serve as a resource for Districts, Members, and others on CNE activities and issues.

5. The PNP will identify and guide the members of the planning committee to do the following: develop educational objectives, ensure quality of the educational event including appropriate presenters, and resolve any conflicts of interests.

6. The PNP is the chair of the continuing educations committee and must remain current on CNE criteria and help guide the committee to determine structural capacity, educational design, and quality outcomes for the provider unit based upon evaluation of the SDNA Needs Assessment data.

SDNA Committee ReportsGovernment Relations

Carrie Clausen Hansen

The Government Relations Committee uses the SDNA Health Policy Agenda to guide decisions regarding support or opposition of legislation. We met weekly via phone conference during the 2017 Legislative Session to review Bills and determine SDNA’s position on them. We followed approximately 30 bills that had potential to impact nurses, and/or nursing practice and/or the health of SD citizens. The status of these Bills was shared with all SDNA members through weekly Legislative Updates.

Communication about the need for Legislator contact was sent via email when specific Bills were scheduled for Committee Hearing or to be discussed on the House or Senate floor. Talking points that supported the SDNA position were developed and shared with SDNA members to assist in their lobbying efforts.

This year, one bill in particular received SDNA support, both as it was developed and during its journey through the Legislative process. This bill, to update the Nurse Practice Act with regards to Nurse Practitioners and Nurse Midwives, was developed through collaboration with several groups and the South Dakota Board of Nursing. It was an incredible time when ‘The House of Nursing’ came together to update the language in the SD Statutes. I want to thank our Nurse Legislators, which also happen to be SDNA members, and other nurse leaders and members who were a vital part of this work. Many worked diligently lobbying legislators and providing information to the legislators, other professional colleagues, the public and other lobbyists to clarify the intent, purpose and impact of this bill and on behalf of the GRC and SDNA, Thank You!

The GRC also planned NDL. This annual event is important to develop and maintain relationships with our Legislators and educate them about health care issues and express our appreciation for their work. This activity also serves as a platform to educate nurses and nursing students about the policy making process and the critical role that nurses play. In addition, we have been able to hear an update from the Secretaries of the Department of Health and Department of Social Services. We appreciate these partners in health care providing annual updates to the attendees at NDL.

Each District in SDNA is asked to elect at least one member to serve on the GRC. At this time we have some areas of the state without representation. Please consider this opportunity to assist us. We would love to have you work with us.

I want to thank the members of the GRC for their commitment to the policy making process and assuring that our Legislators are informed about nursing issues and how health care policy impacts South Dakota citizens. I especially want to acknowledge and thank Eric Ollila, our Executive Director, Brittany Novotny and Jennifer Stalley who served as Lobbyists and provided updates to us. We appreciate their expertise in policy making and lobbying. The GRC would not be able to accomplish all we do without their guidance and expertise.

At this writing, Eric and I are getting ready to attend the ANA Lobbyist Meeting in Washington D.C. We are excited to bring back information to share with you at convention.

No matter what your perception of politics, all nurses have a responsibility to be informed and active regarding policy that impacts our practice and the health of citizens we care for. I appreciate the opportunity to serve as GRC Chair and look forward to the next Legislative Session.

SDNA Committee Reports

Nurses’ Strategic Action Team (N-STAT) UpdateAs members of the most trusted profession in the United States, nurses can wield much political influence. I would encourage each of you to reach out to a member of Congress for any of an abundance of issues, including insurance reform, Medicare reimbursement, as well as other health care related issues.

The bedside nurse providing direct care sees the impact of health care policies on their patients and how it affects the ability to provide care. Nurses see how rules, regulations and laws impact the providers, as well as the facilities and the organizations that employ nurses.

The impact we have to lead change right now is immense and will play a critical role in the changing health care landscape.

The best place to meet members of Congress is on their home turf. Seek out opportunities to visit with them, be at events, set up an appointment or invite them to an SDNA event.

Seek out and learn the positions of both SDNA and ANA on the issues. Check out the websites for information: SDNA’s website is www.sdnursesassociation.org and ANA’s is www.nursingworld.org.

Nurses can influence policy at any level, whether it is at the bedside, the boardroom or in their communities. I believe that nurses have the obligation to serve the health of our society, and we need to know about the issues and the regulatory agencies that oversee our professions and make sure that we are advocating in a responsible and responsive way.

Thanks for being a member of SDNA. You are a valuable member of the largest nurse advocacy group in South Dakota.

South Dakota Nurses Foundation2017 Annual ReportTom Stenvig, RN, SDNF President

The South Dakota Nurses Foundation (SDNF) was established in 1999 as a charitable organization affiliated with SDNA to advance philanthropic purposes of interest to South Dakota nurses and the health care community.

SDNF continues in its partnership with the South Dakota Community Foundation (SDCF) and maintains a separate donor advised fund within SDCF, called the South Dakota Nurses Foundation Fund. This arrangement allows accumulated contributions to achieve a superior rate of investment return while allowing potential donors to take advantage of SDCF’s tax exempt IRS status.

SDNF continues to grow as an important resource for the nursing community in South Dakota. Total SDNF assets in five permanent endowments at SDCF now exceed $138,000 (an increase of over $20,000 since a year ago) and continue to grow.

Given the great need to increase nursing resources in the state and region, SDNF’s priorities continue to focus on nursing education scholarships. In the fall of 2017, up to five scholarships will be awarded:

Core Issues Task Force Marie Cissell, chair

The Core Issue Task Force focus for the year was “Healthy Nurses, Healthy Nation.TM” The Grand Challenge Model seeks to: engage nurses, improve nurses’ health and create a healthy nurse population.

During the past year, two members joined the task force, Kristi Riggs and Rochelle Reider. The task force presented the grand challenge information at the District 10 SDNA sponsored event “Healthy Nurses, Healthy Populations, and Healthy Work Environments” held in Sioux Falls in July. At this event, ideas for healthy living was collected and will be shared in the coming months. The task force has submitted healthy nurses ideas to the newsletter and to the Facebook page.

SDNA has joined the Grand Challenge Campaign at the “Friend” level. At this level of membership, the taskforce will be sharing information with SDNA members and other interested nurses about aspects of the challenge and will seek ways to encourage nurses to join the Healthy Nurse, Healthy Nation Grand Challenge as individual members.

South Dakota Board of Nursing Gloria Damgaard, RN; MS, Executive Director

Happy 100 Birthday, SDNA! 2016-2017 are important years for nursing in South Dakota. The Board of Nursing celebrates its 100th Birthday in 2017. The South Dakota State Nurses’ Association of Graduate Nurses in 1916 developed a nurse practice act and introduced a bill in the SD Legislature in 1917. The bill was signed into law by then Governor Peter Norbeck on January 24, 1917. The South Dakota State Nurse’s Examining Board was born. Appointments to the Board followed and Elizabeth Dryborough of Rapid City, Johanna Hegdahl of Redfied, Clar Ingvaldson of Flandreau and Dr. Park Jenkins of Waubay constituted the first members. The Board held its first organizational meeting in Pierre on July 20, 1917, and the registration of nurses began on August 1, 1917. We are planning to celebrate these historic events. We will keep you informed of the plans.

Board MembershipThe Board of Nursing is an eleven member Board. All appointments to the Board are made by the Governor of South Dakota. The composition of the Board includes seven RN members, two LPN members and two public members. The seven RN members include representation from RN and LPN Nursing Education, Advanced Practice Registered Nursing and nursing practice. All members are current in their appointments. The term of office for Board members is three years with the opportunity to serve three consecutive terms. Terms expire on October 30 of the third year of appointment. In 2016, we will have two RN and one public member position open.

The composition of the Board of Nursing changed on July 1, 2016; one of the three LPN positions was changed to an RN position. Carla Borchardt, RN was appointed to this new position. Other members of the Board include the officers: President Kris Possehl, RN; Vice-President Nancy Nelson RN, Secretary Mary Schmidt, LPN. Other members include: June Larson, RN; Darlene Bergeleen, RN; Deborah Letcher, RN; Robin PetersonLund, CNP; Sharon Neuharth, LPN; Rebekah Cradduck, Public Member and Betty Oldenkamp, Public Member.

Board StaffThe Board of Nursing employs nine full time staff members to conduct the business of the Board. Gloria Damgaard, RN, MS, serves as the Executive Director. She was appointed to this position in 2002. She also serves nationally as a member of the Nurse Licensure Compact Administrators organization and was elected in August 2016 to serve as Treasurer for the National Council of State Boards of Nursing’s Board of Directors. Linda Young, RN, MS is the Director of the SD Center for Nursing Workforce and also serves as the nursing practice specialist for both basic and advanced practice. Linda has been employed by the Board of Nursing since 2004. She is a co-lead for the RWJ/MRP Regional Action Coalition. Francie Miller, RN joined the Board staff as the Director of Licensure Enforcement in March of 2014. Stephanie Orth RN, MS joined our staff in 2011 as the Nursing Education Specialist. Stephanie works out of the West River office located in Spearfish, SD. She has assisted the board in developing a presence in the west river area of our state. Our non-nursing staff includes: Robert Garrigan, Business Manager; Erin Matthies, Licensure Operations manager, Ashley Kroger and Jill Vanderbush, Program Assistants and Abbey Bruner, Senior Secretary.

SDNA Committee Reports We thank all donors who have helped make this possible. Continued asset growth will allow SDNF to award additional scholarships in 2017, and to consider other program areas in addition to scholarships. The SDNF board feels this action gives credence to our charitable mission and lends tangible evidence to justify how contributions to SDNF can make a difference.

Current activities include continuing sales of limited edition prints and notecards depicting SDNF’s purposes to support research, education, and practice. Prints and notecards of the artwork will again be available for purchase at this year’s convention. A fundraising campaign targeting prior and new donors is also planned for the fall and also to celebrate SDNF’s 20th anniversary in 2019. Contact any member of the SDNF Board of Directors to make a donation, to recommend other donors, or for additional information.

Licensure OperationsThe total number of actively licensed RNs and LPNs in the state is 20,205. The licensure staff processed 2,371 new licenses in FY 2016 and renewed 9,220 existing licenses. Approximately 99% of all renewals are processed on-line. In 2016 we implemented a registry for medication aides and unlicensed diabetes aides. There are 5,298 medication aides registered to date and 27 unlicensed diabetes aides.

Legislative EffortsThe Board of Nursing had a successful year in the 2016 legislature. SB 29, an act to update the nurse practice act and to adopt a new Interstate Licensure Compact was adopted and signed into law by Governor Dennis Daugaard and became effective on July 1, 2016. This legislation was a comprehensive update to the nurse practice act in our state. The enactment of the enhanced Nurse Licensure Compact positioned South Dakota as the first state in the country to adopt the revised nurse licensure compact.The new compact becomes effective on the earlier date of when 26 states have joined or December 31, 2018. A total of 10 states enacted the enhanced compact in 2016. Another 23 states are planning to introduce the legislation in 2017. We wish to express our thanks to the SDNA for your formal support of this legislation. The Board will keep you informed of the implementation process for the new compact.

The Joint Board of Nursing and Medical and Osteopathic Examiners recently approved amendments to the administrative rules related to CNP and CNM collaboration requirements. The changes were adopted following a public hearing on September 8, 2016. The requirement that collaboration had to occur no less than twice each month unless established in the collaborative agreement that one of the twice monthly meetings may be held by telecommunication and that one of the twice monthly meetings had to be by direct personal contact was repealed. The requirement that collaboration must be by direct personal contact was retained. The definition of direct personal contact was changed to add electronic communication as a means for direct personal contact. The rule that required physicians to be on site every 90 days was repealed in its entirety. The Interim Rules Review Committee gave the final approval for the rule amendments on September 26, 2016. They have been filed with the Secretary of State and will become effective by November 1, 2016. Once again the Board would like to thank SDNA for your formal support of these rules.

The South Dakota Center for Nursing Workforce (CNW), initially funded by the Robert Wood Johnson Foundation, was established in 1996 as the SD Colleagues in Caring Project. At the completion of the grant in 2002, state legislation was enacted in the Nurse Practice Act. This legislation, SDCL 36-9-95 and 36-9-96, created the CNW and a funding source. The South Dakota Board of Nursing is the lead agency for the CNW. The mission of the CNW is to design a nursing workforce prepared to partner with South Dakota citizens to meet their changing health needs. South Dakota Nurses Association Bylaws

Article IName, Purposes, Functions

Section 1. Namea. The name of this association shall be the South Dakota Nurses Association, hereinafter referred to as SDNA.b. SDNA shall be a constituent association of the American Nurses Association, hereinafter referred to as ANA.

Section 2. Purposesa. The purposes of SDNA shall be to:

1. Work for the improvement of health standards and the availability of health care services for all people;2. Foster high standards of nursing; and3. Stimulate and promote the professional development of nurses and advance their economic

and general welfare.b. These purposes shall not be restricted by considerations of age, color, creed, disability, lifestyle, nationality, race,

religion, gender, sexual orientation or health status.

Section 3. Functions The functions of SDNA shall be to:a. Promote standards of nursing practice, nursing education, and nursing services as defined by ANA;b. Adhere to a code of ethical conduct for nurses as defined by ANA;c. Represent and speak for the nursing profession in South Dakota;d. Initiate and influence legislation for the purpose of improving health and promoting the profession;e. Promote and protect the economic and general welfare of nurses;f. Promote collaborative relationships with other groups in South Dakota that affect health care;g. Serve as the central agency in South Dakota for the collection, analysis, and dissemination of information

relevant to the nursing profession;h. Maintain communication with Members through official publications; i. Provide for representation in the ANA Membership Assembly.

Article IIMembership

Section 1. DefinitionThe Membership shall be the governing body of SDNA.

Section 2. CompositionThe Membership shall be composed of individuals who meet qualifications set forth in these Bylaws and shall not be restricted from Membership by consideration of age, color, creed, disability, lifestyle, nationality, race, religion, gender, sexual orientation, or health status.

Section 3. Qualifications An individual who is qualified for Membership is one:a. Who has been granted a license to practice as a registered nurse in at least one state, territory, possession, or the

District of Columbia of the United States and who does not have a license under suspension or revocation in any state;

b. Whose application for Membership in SDNA has been accepted in accordance with Association policy;c. Whose dues to SDNA are not delinquent;d. Whose Membership is not under revocation for violation of the ANA Code of Ethics for Nurses, the ANA Bylaws,

or these Bylaws; ande. Whose obligation is to abide by the SDNA and ANA Bylaws and Code of Ethics for Nurses.

Section 4. Membership AuthorityIn accordance with these Bylaws and relevant sections of the ANA Bylaws, the Membership shall have the authority to:a. Establish the SDNA Bylaws, dues, priorities, and policy agenda;b. Adopt a code of ethics and assure development and promulgation of nursing standards; andc. Delegate authority and define accountability for the implementation of SDNA priorities and policy agenda terms.

Section 5. Types of Membershipa. SDNA/ANA Member: Members whose participation is sanctioned in accordance with established business

arrangements between SDNA and ANA, and allows member entitlement, representation, and full participation in ANA at the national level as specified in these bylaws.

b. SDNA-Only Member: Members for whom membership is limited to SDNA only, and does not allow member entitlement, representation, or participation in ANA at the national level as specified in these bylaws.

Section 6. Member Rightsa. SDNA/ANA Members. In accordance with these Bylaws and relevant sections of the ANA Bylaws, SDNA/ANA

Members shall have the right to: 1. Participate in the elections of the SDNA Board of Directors, with exception of the President and Vice-

President, the SDNA Nominations Committee, the SDNA Delegates to the ANA Membership Assembly, one SDNA District Leadership Team, and the Core Issues Task Force Chair;

2. Hold Membership in one SDNA district;3. Hold Membership in the Core Issues Task Force;4. Participate in SDNA state and District meetings, attend the ANA Membership Assembly, and participate in

or attend other unrestricted SDNA or ANA events and activities;5. Receive a Membership card and SDNA and ANA communications and publications;6. Seek election or appointment to any SDNA or ANA position for which the Member is qualified;7. Attend the Congress of the International Council of Nurses;8. Transfer Membership from another ANA constituent entity to SDNA without incurring additional dues

payments within that Membership year;9. Other rights (grievance and appeal) as provided under common parliamentary and statutory laws.

b. SDNA-Only Members. In accordance with these Bylaws, SDNA-Only Members shall have the right to: 1. Participate in the elections of the SDNA Board of Directors, the SDNA Nominations Committee, one SDNA

District Leadership Team, and the Core Issues Task Force Chair;2. Hold Membership in one SDNA district;3. Hold Membership in the Core Issues Task Force;4. Participate in SDNA state and District meetings, and participate in or attend other unrestricted SDNA

events and activities;5. Receive a Membership card and SDNA communications and publications;6. Seek election or appointment to any SDNA position for which the Member is qualified;7. Other rights (grievance and appeal) as provided under common parliamentary and statutory laws.

Section 7. Annual Meetinga. SDNA Membership shall convene annually at a time and place to be determined by the SDNA Board of Directors;b. Notice of the annual meeting shall be published and delivered to the Membership at least one month prior to the

date of the meeting;c. The order of business of each annual meeting shall include:

1. Call to Order2. Address of the President3. Report of Officers4. Report of Standing Committees5. Report of Districts6. Report of Core Issues Task Force7. Other Business8. Announcement of Election Results9. Adjournment

d. Voting at the annual meeting shall be limited to those Members who are present.

Section 8. Special Meetingsa. A special meeting of the Membership may be called by two-thirds vote of the SDNA Board of Directors or upon

written request from twenty-five SDNA Members;b. Notice of special meetings, the agenda, and the proposed rules for conducting business shall be published and

delivered to the Membership at least one month prior to the meeting.

Section 9. Disciplinary Actiona. Members shall be subject to censure or expulsion for violation of the ANA Code of Ethics for Nurses, the ANA

Bylaws, or these Bylaws. No disciplinary action shall be taken against a Member until such Member shall have been served with written, specific charges, given a reasonable time to prepare a defense, and afforded an opportunity for a full and fair hearing;

b. Disciplinary action taken by another ANA Constituent Member against one of its individual Members shall be given full recognition and enforcement by SDNA provided that such action was taken in accordance with the disciplinary Constituent Member’s Bylaws and disciplinary procedures. If there is no provision for an appeal within the constituent association, the Member may, within ninety days after notification of such action, request the SDNA Board of Directors to review any question of law or procedure involved therein;

c. Members expelled under provisions of this section shall be eligible for reinstatement upon application approved by a two-thirds vote of the Board.

Article IIIDues

Section 1. Amount of DuesAmount and categories of dues shall be established by the Membership at its annual meeting. The amount for SDNA/ANA Members shall be sufficient to provide for individual Membership in SDNA and in ANA, and one SDNA District. The amount for SDNA-Only Members shall be sufficient to provide for individual Membership in SDNA and one SDNA District, and comply with established business arrangements between SDNA and ANA for any contribution to ANA. Any change in the present rate of assessment paid by SDNA to ANA shall be automatically incorporated into the annual dues paid by each member.

Section 2. Change of Duesa. Dues may be changed without prior notice by a three-fourths majority of SDNA Members registered and voting at

the annual meeting. Voting may occur by voice, show of hands, or secret ballot at the discretion of the Members. Proposed dues changes that are published and delivered to the Members at least six weeks prior to the annual meeting may be voted on and passed or rejected by a simple majority of the Members who are present and voting;

b. No dues shall be refunded or additional dues collected when a change in dues or in dues category is made within a Membership year.

Section 3. PaymentSDNA shall pay dues owed ANA in accordance with policy adopted by the ANA Membership Assembly.

Article IVBoard of Directors

Section 1. DefinitionThe Board of Directors, herein referred to as the Board, is the corporate body of SDNA.

Section 2. Compositiona. The Board shall consist of elected officers and directors elected as representatives of SDNA Districts;b. There shall be five elected officers: a President, a Vice President, a Secretary, a Treasurer, and a Chair of the

Government Relations Committee;c. There shall be one director elected as a representative of each SDNA District identified in Article VI.

d. There shall be one director position elected as Core Issues Task Force Chair.e. he immediate past president shall serve for one year as an ex-officio member with voice but not vote.

Section 3. Qualificationsa. Members of the Board shall be qualified Members of SDNA throughout the term of office, except for the President

and Vice President who must be SDNA/ANA Members in good standing throughout the term of office. b. No Board Member shall serve concurrently as officer or director of another organization if that service can be

expected to result in a conflict of interest with SDNA.

Section 4. Authority and Accountabilitya. The Board shall have authority delegated to it by the Membership, including the duty and power of acting

for the Membership in intervals between annual meetings;b. The Board shall report and be accountable to the SDNA Membership.

Section 5. Responsibilities The Board shall:a. Develop plans and undertake activities necessary to achieve the priorities and policy agenda established

by the Membership;b. Develop and implement SDNA policy;c. Manage SDNA finances;d. Promote SDNA policy agenda and advocate economic and professional ideals;e. Direct the management of SDNA’s office and operations;f. Promote SDNA’s public identity and provide information and education designed to foster nursing

professionalism;g. Maintain SDNA Bylaws, submitting recommendations for changes to the Membership in accordance

with provisions for amendments contained herein;h. Assume such other duties as may be described elsewhere in these Bylaws or as may be delegated to it

by the Membership.

Section 6. Terms of Office a. Officers and Directors shall be elected for two-year terms of office:

1. Ten of these: President, Vice-President, Treasurer, District Board Positions 1, 3, 5, 7, 9, & 11 and Core Issue Task Force Chair shall be elected in odd-numbered years;

2. Seven of these: Secretary, Government Relations Chair, District Board Positions 2, 4, 6, 8, & 10 shall be elected in even-numbered years;

b. No Officer or Director shall serve on the Board more than eight consecutive years, i.e. four two year terms. An Officer or Director who has served twelve months or more shall be considered to have served a full term.

c. Term of office shall expire upon announcement of a successor to the office.

Section 7. Meetingsa. The Board shall meet quarterly at such times and places to be determined by action of the Board;b. Business requiring action by the Board may be conducted by mail or other media. Such action shall be subject

to ratification at the next regular Board meeting;c. A special meeting of the Board may be called by the President or upon written request of five Board Members;d. Notice of any special meeting and of the meeting’s purpose shall be delivered to Members of the Board at least

five days prior to the date of the meeting;e. Members of SDNA may observe any meeting or portion of meeting of the Board except those meetings or portions

of meetings called for the purposes of considering personnel or legal matters.

Section 8. QuorumA majority of the Members of the Board shall constitute a quorum at any Board meeting.

Section 9. Vacanciesa. In the course of a twelve-month period, in the event a Board Member has two unexcused absences from regular

Board meetings or three absences, excused or otherwise, the Board shall declare a vacancy in that position and so notify the Member;

b. In the event of a vacancy in the office of President, the Vice President shall become President for the unexpired term;c. In the event of a vacancy of another officer position, the Board shall fill the vacancy by appointment for the

unexpired term.d. In the event of a vacancy in a District Director position, the Board shall fill the vacancy by appointment with a

Member from the respective District for the unexpired term.

Article VOfficers of the Board

Section 1. OfficersOfficers of the SDNA Board shall be a President, a Vice President, a Secretary, a Treasurer, and the Chair of the Government Relations Committee.

Section 2. Nominations and Election of OfficersSDNA Officers shall be nominated and elected in accordance with Article XI.

Section 3. General DutiesSDNA Officers shall perform the duties customary to the position held and such duties as are otherwise described in the Bylaws or as are assigned by the Board.

Section 4. Duties of the Presidenta. The President shall:

1. Serve as the official representative of SDNA and as its spokesperson on matters of policy and positions;2. Preside over meetings of Membership, the Board, and the Executive Committee;3. Serve as ex-officio Member of all SDNA committees, except Nominations Committee;4. Direct the activity and supervise performance of SDNA’s Chief Executive Officer;

b. The President may delegate duties to another Board Member as necessary and appropriate.

Section 5. Duties of the Vice PresidentThe Vice President shall:a. Assume the duties of the President in the President’s absence or at the discretion of the President;b. Succeed to the office of President for the unexpired term if the office of President is vacant;c Assume other duties as assigned.

Section 6. Duties of the SecretaryThe Secretary shall:a. Record the minutes for and ensure the maintenance of records for the annual meeting and

other meetings of the Board. Minutes will be available to the Membership;b. Conduct the general correspondence of the Board;c. Ensure meeting notice in accordance with these Bylaws;d. Ensure delivery of notice of election and appointment to SDNA Members and ANA;e. Ensure delivery of Articles of Incorporation and of Bylaws to ANA;f. Ensure preservation of all SDNA papers, letters, and transactions;g. Ensure safekeeping of the corporate seal;h. Ensure the maintenance of accurate records of the Membership.

Section 7. Duties of the TreasurerThe Treasurer shall:a. Monitor SDNA’s fiscal and financial affairs;b. Provide reports of SDNA’s financial status to the Membership, the Board, and the Executive Committee;c. Provide for the receipt, deposit, and disbursement of all SDNA funds;d. Ensure sound, accurate, timely management of SDNA books, accounts, and record-keeping

procedures, processes, and systems;e. Ensure compliance with applicable ANA, governmental, and grant financial management and

reporting requirements.

Section 8. Duties of the Chair of the Government Relations CommitteeThe Chair of the Government Relations Committee shall:a. Preside over meetings of the Government Relations Committee;b. Monitor state legislative activities to align with SDNA Health Policy Agenda;c. Report the status of events, plans, and activities of the Government Relations Committee to the Membership, the

Board, and the Executive Committee;d. Coordinate an annual Nurses Day at the Legislature;e. Collaborate with SDNA lobbyist to maintain a state legislative response network.

Section 9. Surrender of Propertya. The Secretary and the Treasurer shall surrender to their successors all SDNA records and property in their

possession within thirty days of the expiration of their terms of office.b. With the exception of the Secretary and of the Treasurer, Officers shall surrender to their successors all SDNA

records and property in their possession upon expiration of their terms of office.

Article VIDistricts and District Leadership

Section 1. DefinitionEach SDNA Member shall be assigned to one of eleven organizational SDNA entities, herein referred to as Districts.

Section 2. Compositiona. Districts shall be composed of SDNA Members who reside within the eleven largest population areas know as:

1) Deadwood/Lead/Sturgis/Spearfish/Belle Fourche2) Rapid City3) Hot Springs/Custer/Pine Ridge 4) Aberdeen5) Huron 6) Pierre7) Mitchell 8) Watertown9) Brookings 10) Sioux Falls11) Yankton/Vermillion

b. District boundaries shall be clearly defined by county and recorded by the Board. District boundaries may be changed by a two-thirds vote of the Board;

c. Members who wish to belong to a District other than the one in which they reside shall so notify the SDNA office.

Section 3. Rights and ResponsibilitiesAs entities of SDNA, Districts shall:a. Be responsible for advancing the purposes of SDNA, particularly those issues related to nursing ethics and

economic and general welfare;b. With the consent of the Board, establish such District committees as necessary to the advancement of these

purposes;c. A separate dues structure will not be established by the Districts. All monies are kept centrally with the SDNA

Treasurer. The Districts may request money for special projects from the SDNA Treasurer/Executive Director. All proceeds from SDNA functions—workshops, convention, and District or State fundraisers are deposited in the SDNA central account.

d. Abide by provisions as established in SDNA Bylaws.

Section 4. Functions of the DistrictsThe functions of the Districts shall be to:a. Serve as a conduit between the SDNA Membership and the Board;b. Promote SDNA Member recruitment and development and participation in SDNA and ANA activities which

include, but are not limited to, professional advocacy, professional recognition, and the work of standing committees;

c. Assist in the development of SDNA positions and position statements;d. Recommend areas of policy development to the Board;e. Support implementation of SDNA priorities;f. Assist in the development of SDNA plans of action; andg. Host the SDNA annual meeting.

Section 5. District Leadership and Leadership Dutiesa. Each District shall be led by an elected leadership team whose Members will work collaboratively to develop and

implement District action plans and otherwise fulfill District responsibilities and functions;b. District leadership teams shall consist of six SDNA Members, if possible, who shall be:

1. President;2. Vice President/Program Chair;3. Secretary;4. GRC Committee Representative(s);5. Membership Chair and Representative to State Committee;6. Nominations Committee Leader

Section 6. District Electionsa. Elections for District officers and representatives shall be conducted following procedures established for the

SDNA elections, but shall be focused at the District level.b. Elections should be conducted during the first month after the close of the SDNA convention (i.e. in November of

each year).c. The President and Secretary of odd numbered Districts are elected in odd years; even numbered Districts are

elected in even years.d. The Vice President of odd numbered Districts is elected in even years; The Vice President of even numbered

Districts is elected in odd years.e The Membership Chair/Representative, Government Relations Committee Representative, and Nominations

Committee Leader are elected every two years (even years for Membership and GRC; odd years for Nominations). These elected officials serve two-year terms, and are eligible for re-election for a maximum of four years, or two terms.

Section 7. Duties of the District Officersa. The District President shall:

1. Serve as the official representative of the District on the SDNA Board and as its spokesperson on matters of policy and positions;

2. Preside over meetings of Membership, the Leadership Team, and the District Officers (Vice President, Secretary, & Government Relations Representative);

3. Serve as ex-officio Member of all District committees, except Nominations Committee;4. The President may delegate duties to another District Leadership Team Member as necessary and appropriate.

b. The District Vice President shall:1. Assume the duties of the District President in the President’s absence or at the discretion of the President;2. Succeed to the office of President for the unexpired term if the office of District President is vacant;3. Coordinate District Programming Activities, including fundraisers, speakers for District meetings, and

other program-related activities.c. The District Secretary shall:

1. Keep the minutes for and ensure the maintenance of records for District meetings;2. Conduct the general correspondence of the District Leadership Team;3. Ensure meeting notice in accordance with these Bylaws;4. Ensure delivery of notice of election and appointment to the District SDNA Members;5. Ensure the maintenance of accurate records of the District Membership.

Section 8. Duties of the District Representativesa. The Membership Representative shall:

1. Serve as the liaison with the SDNA Membership Chair to facilitate recruitment and retention activities of Members in the District;

2. Set up mentor relationships with new and seasoned District Members to support meeting attendance and participation.

b. The Government Relations Representative shall:1. Serve as the Legislative liaison to the elected South Dakota Senators and Representatives in the legislative

districts within the SDNA District;2. Serve as the representative from the District on the SDNA Government Relations Committee;

c. The Nominations Committee Leader shall:1. Request that the District Leadership Team appoint two members to the District Nominations Committee

to serve on an annual basis;2. Chair the District Nominations Committee to develop a slate of officers and District Representatives in

accordance with the SDNA Bylaws Article VI; Section 6: District Elections.3. May concurrently be a candidate or member of the statewide slate for the Nominations Committee.

Section 9. Meetingsa. Districts shall meet on a planned basis at such times and places to be determined by the Members. b. Notice of District meetings shall be published and delivered to the District Membership at least two weeks prior

to the date of the meeting;c. Business requiring action by the District Officers may be conducted by mail or other media. Such action shall be

subject to ratification at the next regular meeting of the District;d. District Leadership Teams shall be nominated and elected in accordance with Article XI of these Bylaws;e. Nothing shall prevent a District Leadership Team from appointing or recognizing a District Committee Chair as

an ex-officio Member of the Leadership Team.

Section 10. Vacanciesa. A vacancy in the office of District Leadership Team shall be filled in accordance with Article IV.b. Vacancies in Nominations Chair or Membership Representative may be filled at the discretion of

the Leadership Team.

Article VIICORE ISSUES TASK FORCE

Section 1. DefinitionSDNA shall maintain Core Issues Task Force, herein referred to as CITF, through which its Members participate in improvement and advancement of the nursing profession based on current issues identified through the membership Needs Assessment.

Section 2. Compositiona. Each CITF shall be composed of SDNA Members who choose to participate in the current core issues activities.

Section 3. Rights and Responsibilities As entities of SDNA, CITF shall:a. Advance purposes of SDNA and the specific core issues;b. Be supported with SDNA resources and by funds budgeted and allocated by the Board and shall not establish a

separate dues structure; andc. Receive, deposit, and disburse funds through the SDNA office in accordance with policy adopted by the Board.

Section 4. Board Responsibilities and Leadership Dutiesa. The Core Issues Coordinator (CIC) shall be a member of the SDNA Board of Directors and elected for a two-year

term by the SDNA membership.b. The CIC shall coordinate and preside over CITF meetings, report CITF plans, propose positions and activities to

the Board.c. The CIC will prepare reports for the Annual Book of Reports and may also prepare articles for The Nurse as

necessary to keep SDNA members abreast of their progress.

Section 5. Functions of the CITFa. CIC Responsibilities:

1. Coordinate the SDNA Needs Assessment process on a timeframe as designated by the SDNA Board of Directors. This process shall be performed in such a manner that all SDNA members are given the opportunity to participate; and

2. Report the SDNA Needs Assessment results and recommendations.b. CITF Responsibilities:

1. Provide a means through which SDNA Members participate in the improvement and advancement of the profession in an area of nursing practice or issues;

2. Provide a community of peers and a Principal source of expertise in the areas of interest and serve as a forum for discussion of relevant issues and concerns;

3. Develop positions and recommendations to the Board; and4. May sponsor continuing education program(s) that reflect the CITF area of nursing practice or interest.

Section 6. Meetingsa. CITF shall meet at such times and places to be determined by action of its Members. b. CITF can conduct meetings in any manner that serves the needs of the committee (e.g. conference call).

Article VIIIStanding Committees

Section 1. DefinitionSDNA shall maintain Standing Committees that shall assume such duties as are specified in these Bylaws and such other duties as may be assigned by the Board.

Section 2. Compositiona. Standing Committees shall be the:

1. Executive Committee2. Government Relations Committee3. Nominations Committee4. Bylaws Committee5. South Dakota Continuing Nursing Education Committee6. Membership Committee

b. Business requiring action by a Standing Committee may be conducted by mail or other media. Such action shall be subject to ratification at the next regular meeting of the Committee.

Section 3. Executive Committeea. The Executive Committee of the Board shall be composed of the five officers of the Board who shall be elected in

accordance with Article XI;b. The Executive Committee of the Board shall be responsible for:

1. Preparation of the annual budget2. Advising the Board regarding the investment and management of SDNA financial accounts3. Advising the Board regarding the SDNA office’s physical plant and equipment, office operations and

procedures, and human resources management;c. The Executive Committee shall have all powers of the Board to transact business between Board meetings in

accordance with rules established by the Board. Such transactions shall be reported at the next regular Board meeting.

Section 4. Government Relations CommitteeThe Government Relations Committee shall be composed of a Chair, to be elected in accordance with Article XI, and at least eleven GRC Members with a minimum of at least one member from each District. GRC membership positions will be filled on a voluntary basis. This Committee shall be responsible for:a. Influencing the development of social policy and passage of state legislation and regulations consistent with

SDNA’s priorities, positions, and policy agenda;b. Undertaking activities and provide mechanisms through which SDNA Members are informed of emerging social

issues and state legislative and regulatory activity and through which SDNA Members are supported in individual and collective exercise of their civic rights;

c. Development and participation in coalitions whose aims are designed to monitor and/or achieve the SDNA priorities and policy agenda with Board approval;

d. Supporting the Chair in fulfillment of the duties described in Article V, Section 8.

Section 5. Nominations Committee a. The Nominations Committee shall be composed of five members, all of whom are elected by the members-at-

large to two year terms in accordance with Article XI;b. Two members will be elected in odd years and three will be elected in even years;c. The individual receiving the highest number of votes in that election cohort will serve as chair during the second

year of their term;d. Members of the Nominations Committee shall not be eligible to run for election as a Member of the Board,

as a District President or CITF Chair, nor as a Delegate to ANA Membership Assembly, nor for election to the Government Relations Committee;

e. The Nominations Committee shall be responsible for duties in accordance with ARTICLE XI Section 2.

Section 6. Bylaws Committeea. The Bylaws Committee shall consist of at least five SDNA Members, appointed by the Board of Directors for two-

year terms, with three Members appointed in odd years, and two Members appointed in even years.b. The Bylaws Committee shall be responsible for:

1. Interpretation of these Bylaws;2. Receipt and preparation of proposed amendments to these Bylaws or Articles of Incorporation, report them

to the Board of Directors, and submit them to the SDNA Membership at their annual meeting;3. Review of Bylaws to determine conformity with Articles of Incorporation and the Bylaws of the American

Nurses Association;4. Review these Bylaws every two years and report findings to the Board of Directors.5. Accountability to the membership.

Section 7. South Dakota Continuing Nursing Education Committeea. This committee shall be composed of four members. Three members will be elected in accordance with ARTICLE

XI for 4-year terms. No member may serve more than two consecutive terms. One member who actively practices in academia and/or continuing education and who has a baccalaureate or higher degree in nursing will be Board-appointed as Lead Nurse Planner (LNP) for a 4-year term. The LNP may be re-appointed for an unlimited number of terms.

b. This LNP shall be responsible for:1. Providing oversight and guidance in managing the SNDA-Approved Provider Unit;2. Assurance that the ANCC Commission on Accreditation standards and guidelines are utilized in planning

continuing education activities for nurses;3. Serving as a resource for Districts, Members, and others on CNE activities and issues.4. Identifying and guiding the members of the planning committee to do the following: develop educational

objectives, ensure quality of the educational event including appropriate presenters, resolve any conflicts of interests for all CNE.

5. Remaining current on CNE criteria. c. The committee shall be responsible for: determining structural capacity, educational design, and quality

outcomes for the provider unit based upon evaluation of the SDNA Needs Assessment data.

Section 8. Membership Committeea. The Membership Committee shall consist of five SDNA members, appointed by the SDNA Board of Directors

for two-year terms, with three members appointed in even years, and two members appointed in odd years. The committee shall elect its own chairperson.

b. The Membership Committee shall be responsible for:1. Monitoring trends in membership, and2. Development and implementation of activities to promote recruitment and retention of Members at

the District and State levels.

Article IXRepresentation at ANA Meetings

Section 1. ANA Membership Assemblya. Delegates and Alternate Delegates to the ANA Membership Assembly shall be elected from the SDNA/ANA

members for staggered two-year terms in accordance with ARTICLE XI of these Bylaws. b. The SDNA President, by virtue of his or her election to office, shall serve as a Representative to the ANA

Membership Assembly. The SDNA Vice President, by virtue of his or her election to office, shall serve as the Alternate Representative to the ANA Membership Assembly. If both the President and Vice President are unable to attend the Membership Assembly, the Alternate Representatives shall attend.

c. The Alternate Representatives to the Membership Assembly shall be elected at large from among SDNA/ANA members by SDNA/ANA members. The candidates for Alternate Representative to the ANA Membership Assembly with the highest number of votes shall be declared elected as Alternate Representatives. Vacancies in the Alternate Representatives positions may be filled by selecting the candidate with next highest number of votes.

Article XOrganizational Affiliates

Section 1. DefinitionOrganizations which share SDNA’s interest in the improvement of health and nursing standards and in the professional development and economic and general welfare of nurses may seek recognition and participation in SDNA activities as Affiliates.

Section 2. QualificationsAn Affiliate Organization shall:a. Have a mission and purpose harmonious with the purposes and functions of SDNA;b. Be comprised of and governed by a majority of registered, licensed nurses or nursing students;c. Present to SDNA a motion adopted by the governing body of the applicant organization seeking recognition as an

Affiliate Organization;d. Not be a registered labor organization.

Section 3. FeesThe amount and categories of fees for Organizational Affiliates shall be established by the Board of Directors.

Section 4. RightsIn accordance with these Bylaws and the pertinent sections of the ANA Bylaws, Organizational Affiliates shall have the right to:a. Name and register one member to the SDNA annual meeting with voice and vote;b. Submit names of representatives qualified for appointment to SDNA Councils, task forces, and ad hoc

committees;c, Submit reports or requests within its area of expertise to the SDNA annual meeting;d. Such other entitlements as the Board may periodically grant.

Section 5. Other Organizational Relationshipsa. The Nursing Student Association of South Dakota shall be regarded, in terms of rights and responsibilities, as an

Organizational Affiliate of SDNA. In addition to the rights described in Section 4 of this Article, Members of the Nursing Student Association of South Dakota shall be welcome to attend unrestricted meetings of SDNA;

b. Nothing shall prevent the Board from holding the SDNA annual meeting in conjunction with a meeting of the Nursing Student Association of South Dakota.

Article XIElections

Section 1. Qualifications of VotersSDNA Members in good standing sixty days prior to the first day of the annual meeting shall be eligible to vote in SDNA elections.

Section 2. Notice of Expiration of TermsFive months prior to the SDNA annual meeting, the Nominations Committee shall publish and deliver to the Membership the names of current Members of (1) the Board, (2) the Government Relations Committee, (3) the Nominations Committee, and (4) the Delegates to the ANA Membership Assembly, indicating those whose terms of office will expire at the next annual meeting and those eligible for re-election, and requesting that Members who are interested in serving in those capacities submit their names to the Chair of the Nominations Committee.

Section 3. Appointment of TellersAt the pre-convention board meeting, the Board shall appoint a Committee of five Tellers responsible for receiving and counting ballots. The Tellers shall not be nominees for elected SDNA positions.

Section 4. Procedure for Nomination and Electiona. Elections will be conducted electronically or by mail ballot. Positions to be elected by the

qualified Membership are:1. President 2. Vice President3. Secretary4. Treasurer5. Chair of the Government Relations Committee6. Board of Directors-District Presidents

7. Nominations Committee8. South Dakota Continuing Nursing Education Committee9. Delegates to the ANA Membership Assembly

b. Voting on all positions identified in Section 4a is open to all SDNA Members in good standing with the exception of voting for (4.a.6.) Board of Directors District Directors, in which case voting is restricted to members holding membership in the Districts represented by the respective position, and (4.a.1) President, (4.a.2) Vice- President and (4.a.9) Representatives to the ANA Membership Assembly, in which case voting is restricted to SDNA/ANA Members.The Nominations Committee shall review names of potential candidates submitted and prepare a ballot for open positions, endeavoring to present at least two nominees for each position to be filled, and providing space for write-in candidates for uncontested races;

c. No Member shall be nominated for election who has not consented to serve if elected;d. If elections are conducted by mail ballot:

1. At least thirty days prior to the annual meeting, the Nominations Committee shall mail one ballot and two return envelopes to each eligible SDNA Member. Ballots for SDNA/ANA members and SDNA Only Members shall be printed on two different colors of paper. The smaller of the two return envelopes shall be marked “ballot.” The larger shall be addressed to the SDNA office and shall bear the return address of the Member;

2. A replacement ballot shall not be given to any Member for any reason;3. Ballots shall be returned to the SDNA office at least two weeks before the first day of the annual meeting.

The Secretary shall place the unopened envelopes marked “ballot” in safekeeping and deliver them to the Committee of five Tellers that was appointed by the Board;

4. The Tellers will open the ballots and count the votes cast. e. If elections are conducted electronically:

1. The electronic balloting procedure shall open voting at least thirty days prior to the annual meeting and close voting at least two weeks before the first day of the annual meeting.

2. The Tellers will review the electronic election results.f. A plurality of votes cast by those entitled to vote shall constitute an election. g. The Tellers will deliver the election results to the SDNA Secretary, who will announce the results at the annual

meeting;h. Elections that result in a tie vote shall be determined by lot at the annual meeting.

Section 5. Care of BallotsBallots and other records of elections shall be preserved by the Secretary for one year.

Article XIIFiscal Year

The fiscal year of SDNA shall be July 1- June 30.

Article XIIIOfficial Publications

The American Nurse and the South Dakota Nurse shall be the official organs of SDNA. The American Journal of Nursing shall be the professional journal of SDNA.

Article XIVParliamentary Authority

Rules contained in Robert’s Rules of Order Newly Revised shall govern meetings of SDNA in all cases to which they are applicable and in which they are not inconsistent with these Bylaws.

Article XVAmendments

Section 1. Amendments With Noticea. These Bylaws may be amended at any annual meeting by a two-thirds vote of the Members of the voting body

present and voting, provided that previous notice has been given;b. All proposed amendments shall be delivered to the SDNA office at least five months prior to the annual

meeting and shall be published and delivered to the Membership at least one month prior to the date of the annual meeting.

Section 2. Amendments Without NoticeWith the exception of Article III, Section 2, these Bylaws may be amended without previous notice by ninety-nine percent of those SDNA Members present and voting at the annual meeting.
