CODE OF ETHICS

Realizing that whatever a Pilot touches should be ennobled by that touch, we, as

business leaders, are resolved to make our business standards high, to do our

work in every place in which we are employed as if it were our life work, never

omitting an opportunity of doing a kindness or making a friend; to put into our busi-

ness dealings a note of sympathy for humanity; to follow truth; to do our best from

dawn till night; and so to live in the discharge of our duty, so to take care of every re-

sponsibility that comes before us that we shall radiate that which is unselfish, beautiful

and true; and when we shall have finished with our tasks we shall have given an upward

impetus to human ideals and achievements.

With this resolution before us then, we believe it is our duty as Pilots:

To consider our work worthy and ourselves worthy of our work, exemplifying in it at all

times the Pilot motto, “True. Course. Ever.”

To work each day at that which is before us seriously, vigorously, calmly, cheerily; to im-

prove ourselves in every possible way; to increase our efficiency; to enlarge our visions.

To be ambitious to succeed, but always to be ethical, desiring nothing that is not

achieved by justice, honesty and fairness.

To live in the presence of the great eternal laws, which will keep us patient when the

task is irksome and calm and unspoiled when we seem to succeed.

To acquire self-control and self-reliance; to be ready to give as well as take; to develop in

ourselves an appreciation of the finer things of life; to be honest and generous; to help,

not to hinder; to be slow of criticism and quick with praise.

To cherish our visions and our ideals; to cherish the music that stirs our hearts, the

beauty that forms in our minds, knowing that on these things we can build our world,

for visions and dreams are the seedlings of reality.

To be loyal to Pilot in thought, word and deed.

To see no evil, hear no evil, speak no evil, think no evil of a Pilot, but to be no more loyal

to a Pilot in this respect than we are to every other person, for the genius of Pilot is in

its kindness, and justice is the soul and substance of life.

This Code of Ethics of Pilot International was written by Pearl Sparks of Florence, Alabama

and was first presented in 1926 at the 5th Annual Convention held in Montgomery, Alabama

with 69 Pilots attending.

Dear Pilot Friends,

I am so pleased to welcome each of you to the 2013 Pilot Interna-

tional Annual Convention and Leadership Conference here in ex-

citing New Orleans, Louisiana! This historic city is home to a rich,

creative and diverse culture unlike any other. Just like Pilot, New

Orleans honors its history – keeping fast to its beloved and im-

portant traditions - while remaining open and ready to embrace

new energy and new ideas. It is exciting to be here with you!

The Spirit of New Orleans encourages both its citizens and its visitors to find their

unique talents, to celebrate them and to excel in whatever they choose to do. More

than anything, I hope that the exhilarating energy of this city coupled with the out-

standing programming planned for you at this year’s event will help you hone your

inner strengths and talents and inspire you to excel both in your daily work and in

your Pilot service.

This year we committed ourselves to strive for Excellence, and it is time to celebrate

that accomplishment! Through your hard work and dedication, Pilot International is

ready to provide friendship and service to a new century, answering the call to “Do

More, Care More and Be More,” in our clubs and in our communities - every day. Our

fresh new tag-line itself impels us to excel, and I am proud of each and every one of

you for heeding this call. As Pilots, we not only challenge ourselves to excel in our

various projects and in our service to others, but we are called to excel in our efforts

to meet the service needs of an ever-changing world. Through your dedication and

your commitment, Pilot International is doing just that.

Thank you so very much, Pilot Friends, for joining us here this week. Every Pilot has

Ann Silverberg Williamson, Pres-

Association of Nonprofit Orga-

nizations (LANO), is a native of

Thibodaux, LA and a career-long

public servant. Since June 2009,

she and her team have guided

LANO’s mission as a statewide

member organization that ad-

vocates for the nonprofit com-

munity and strengthens the ef-

fectiveness of those committed

to improving Louisiana.

Williamson has been recog-

nized as one of the Baton Rouge

Business Report’s Influential

Women and received awards

from both Wofford College and

LSU as a Distinguished Alumna.

Williamson and her husband

Tyler live in Baton Rouge with

their three children.

Kathy is known for her optimism

as well as her ability to facilitate

forward motion. An expert in

communication and organiza-

tional development, she is wide-

ly sought for executive coach-

ing and group strategy sessions.

Her passion for noprofits is fu-

eled by her own experience as

a nonprofit leader which she

continues to utilize as an op-

portunity to test theories and

build systems. Kathy brings and

optimistic and energetic spirit

to her work which is designed

CONVENTION RULES

• The convention badge must be worn as your identification for ad-

mission to business meetings.

• All cell phones, pagers and personal electronic devises must be

silenced. (Violators will be accessed $10 donation to PI Founders

Fund.)

• Any Pilot desiring the floor for any purpose will go to the nearest

microphone, address the Chair, state their name and club.

• The voting body will be delegates from the clubs, the International

Administrative Council and Past International Presidents.

• Members of the voting body will be seated in the area designated

for the delegates. Alternates and other members will sit in other

parts of the convention hall.

• Each member of the voting body present at any meeting of the

convention will be entitled to cast one (1) vote on each question. A

majority of the registered delegates will constitute a quorum at any

meeting.

• Official ballots and tally sheets will be sealed and given to the con-

vention secretary to be preserved until the close of the convention,

at which time they will be destroyed.

• The privilege of introducing motions and voting will be limited to

members of the voting body, but any Pilot may be extended the

courtesy of the floor for limited remarks or debate.

• General debate of the assembly on any subject will be limited to

twenty (20) minutes, and no Pilot may speak more than twice on

any one subject, or longer than two (2) minutes at any one time.

• Transfer of voting privileges from a club delegate to an alternate will

be made only through the Registration Committee (staff office after

registration desk closes) and through the transfer of badges.

• If a delegate withdraws, the alternate becomes the delegate for the

remainder of the convention.

• Meetings will begin promptly at the scheduled time. Delegates are

requested to be in their seats fifteen minutes before each meeting

begins.

• A two-thirds (2/3) vote is necessary to change convention rules ex-

cept those which are bylaw requirements.

Pilot International Bylaws

ARTICLE VIII

Dues and Fees

Present reading of Bylaw:

ARTICLE VIII, SECTION 1. International.

a. Dues. Pilot International dues will be established by the vot-

ing body of the international convention and will be paid an-

nually in advance to Headquarters by July 1. For new members,

dues will be prorated starting with the month a member enters

the Club through the remainder of the current Club year.

Pilot International Dues will be waived for (a) Fifty Year Mem-

bers, (b) current students, including former Anchors, who are

seeking higher education degrees and not paying club dues, (c)

Scholarship recipients, at all levels of Pilot, who are not paying

Club dues, and (d) Emeritus Members, and (e) military person-

nel who are deployed from their home station.

Proposed reading of Bylaw:

ARTICLE VIII, SECTION 1. International.

a. Dues. Pilot International dues will be established by the vot-

ing body of the international convention. Dues will be paid an-

Rationale:

Rationale: Overhead expenses for Pilot International remain the

same throughout the year, while the current proration schedule

assumes variable operating expenses. By changing ‘prorated’ to

‘assessed’, it is possible for the Executive Committee to appro-

priately adjust the dues proration table yearly for those joining

throughout the year. To simplify the process for the Club Trea-

surers and for Pilot International HQ Staff, it is proposed that

a new member joining between July 1 and December 31 will

pay the entire amount of yearly dues while a new member who

joins between January 1 and June 30 will pay one half of the

year dues amount.

Budgetary Implications:

None to the PI budget.

Effective date: July 01, 2014

Club Financial Obligations

ARTICLE XII, SECTION 2: International Convention.

Each Club will pay the registration fee and transporta-

tion costs for at least one delegate to each international

convention and may pay lodging expenses and per diem.

In the event a delegate cannot attend a convention, the

Club will pay one registration fee to Pilot International.

Each Club will pay the registration fee for at least one

delegate to each Pilot International Annual Convention

and Leadership Conference and may pay transportation

costs, lodging expenses and per diem. In the event a del-

egate cannot attend a convention, the Club will pay one

registration fee to Pilot International.

(Effective for the 2014 Pilot International Annual Con-

vention and Leadership Conference.)

Rationale:

It has been determined that with the exception of the

registration fee, Clubs should establish the reimburse-

ment requirements for delegates attending the Pilot

International Annual Convention and Leadership Con-

ference. With the reduction of the number of members

required to charter a club, the requirement to pay all the

Club delegate expenses is a hardship for smaller clubs.

Budgetary Implications:

None to the PI budget.

Rationale:

In any organization/company, each office/job entails unique responsibilities and demands unique abilities of someone

if they are to be effective CFO, or an effective Director of Human Resources, or an effective Executive Administrative

Assistant.

It is the same in Pilot. It is a universal truth that every Pilot is a caring individual who is a member of this organization

because of a desire to help others. However, not every one of those Pilots has the skills to run an effective meeting, or

plan a successful fundraiser, or give an engaging BrainMinders presentation. Each of these duties calls for skills unique

to their activity. While the commitment to Pilot and the support of ones fellow Club members demonstrated by election

to the office of Club President is to be honored, it is nonetheless true that to be a good president one need not nec-

essarily be good at taking and distributing minutes, planning a year of programs and speakers, or keeping a checking

account and paying bills on time.

Members of the Millennium Pilot Club of Central Ohio believe that each District office should be held by a committed,

caring Pilot, but that each candidate for that office should also have the skill set demanded by the specific DAC job. For

the positions of Secretary and Treasurer, then, we believe that having held those positions in a Club is a measure of

one’s ability to do the job at the District level and that being club president should not be a required criterion for candi-

dates for these two offices.

This change will help to ensure that DAC offices are held by dedicated Pilots with the skills and experience to effectively

discharge the unique duties of the office. In addition, it will significantly increase the pool of potential qualified candi-

dates for District offices. Many Districts are finding it increasingly difficult to recruit members for District offices. As do

Clubs,

Districts are recycling officers, sometimes many times over. Enlarging the pool of members who are eligible for District

office will assist Districts in involving more members at the higher level, which in turn, may lead to these members be-

coming more involved in both their Club and their Districts.

Increased involvement by a large number of members cannot help but strengthen our Clubs, our Districts, and ultimate-

ly, International.

Budgetary Implications:

None to the PI Budget.

Effective date: Close of PI Convention.

Electronic Meetings

The Executive Committee, International Administrative

Council and all Pilot International committees and sub-

committees shall be authorized to meet by telephone

conference or through other electronic communications

media so long as all the members can simultaneously

hear each other and participate during the meeting.

Rationale:

In Roberts Rules of Order Newly Revised (RONR, 11th

edition), a section was added to address the topic of

Electronic Meetings (pg. 97-99). As indicated in RONR,

except as authorized in the bylaws, the business of an

organization or board can be validly transacted only at a

regular or properly called meeting. Adding this Article to

the Pilot International Bylaws allows for the named sub-

groups of our organization to hold electronic meetings to

quickly address issues as they are identified, rather than

waiting for the next regularly scheduled meeting - which

in the case of the International Administrative Council is

yearly at the Pilot International Annual Convention and

Leadership Conference.

Budgetary Implications:

This should have no significant impact on the budget.

Effective date: Close of PI Convention.

Note: If this proposed bylaw is approved, an editorial change

would be made as follows: the current Article XXXVI will be-

come Article XXXVII and the current Article XXXVII will be-

come Article XXXVIII.

the Foundation, and eliminate this revenue item.

A9 Heritage Center Building Rental

The Heritage Center has not been rented out this year for

special events. Expenses and the depreciation on the building

did not outweigh the income received in previous years. All Pilot

International staff have been moved to one side of the building

creating a decrease in monthly electrical bills. The other half of

the building is being marketed by a local real estate company for

professional use. We do not have a contract at this time; therefore,

we have not projected an income amount.

B Restricted

This line item encompasses all contributions for Grants and

Scholarships, Brain Related Disorders, Safe Harbor, Disaster Relief,

BrainMinders and the Heritage Center and the Heritage Garden. If

the IRS grants tax exempt status to individual clubs, there will no

longer be a need for Pass-Through Grants. Because of this, we are

not projecting an income for such grants. Should the IRS not grant

the clubs tax exempt status, Pass-Through Grants will continue.

This will result in a small amount of income for the Founders Fund.

C1 Anchor Membership Dues and Insurance Fees

Due to our new initiatives and potential partnerships for Anchor

Clubs, we are projecting a slight increase in membership this next

year. We also took into account several Anchor Clubs that were

disbanded in the 2012-2013 year. ALL Anchor Club members will

now pay $10.00 per member. After consulting with other youth

organizations regarding liability, we felt it was necessary to provide

liability insurance to our Anchor Clubs. This insurance will be $4.00

per member.

C2 Anchor Charter Fee

This amount was decreased based on the history of the number of

clubs chartered per year.

EXPENSES

F1 Pilot Club Expansion and Recognition

This figure was decreased based on the history of the number of

clubs chartered. PI Policy 303 has been revised and expenses to

charter a new club will be reimbursed up to 50% of dues paid to

Pilot International. New members will receive a complimentary new

member folder from Pilot International.

F2 Visibility/Marketing/Planning

This line item includes website maintenance. We are currently

updating our website to keep the new website current, fresh and

innovative, as well as continuing the expansion of our marketing

program into social media. When searching for an organization, the

website is most often the first place someone looks. Marketing is

the key to building and strengthening Pilot around the world.

This line item also includes monies to plan and implement our new

initiatives.

Please find the 2013-2014 budget on pages 22 & 23 for your

review. The budget committee worked hard to present a

realistic revenue figure for the coming year. At the same time,

expenditure reductions were made wherever possible.

A1 Pilot Club Revenue

The proposed FY 2013-2014 budget for Membership Revenue,

including Insurance and Initiation Fees, is based on the actual

membership as of May 21, 2013, with adjustments to take into

account the average membership loss over a 5 year period. It is

our hope that membership will experience a net increase, but we

felt we should budget conservatively in an attempt to reflect a

possible overall loss in membership.

Liability Insurance fees have been increased to $6.00 per

member. Both dues paying and non-dues paying members need

to pay for liability insurance. Our insurance costs increased

due to higher premiums, and the addition of insurance for

our international members, purchasing insurance for Anchor

members.

A2 Convention Revenue

Projected revenue for New Orleans is based on estimated

attendee registration numbers as well as an increased effort

to collect registration fees from clubs that do not attend PI

convention.

A3 Fundraiser (What’s Cooking with Pilot/Mardi Gras World/

Summer of Lagniappe)

We anticipate contributions in this amount based on projected

ticket sales, cost of events and similar fundraisers in the past,

and donations received to date.

A4 Contributions

These unrestricted contributions include the Sweetheart,

Pacesetter, Honorariums and Memorials as well as other

unrestricted donations.

A5 Emblem/Supplies Sales Revenue

Catalog Sales was outsourced last year. Contracts were

renegotiated this year, and we hope to have an increase in

sales revenue. We currently have a large supply of BrainMinder

coloring books and hope to move them as well.

A6 Other Support

Other Support includes royalties, Log ad revenue and other

miscellaneous receipts. We have included a small increase in

this amount because headquarters is working hard to secure

sponsorships from outside sources.

A7 Investment Income

The proposed amount for investment income is based on year-to

date income into this account.

A8 Ownership of the Heritage Center is to be transferred to Pilot

International. The transfer will satisfy the loan between Pilot and

PILOT INTERNATIONAL, INCBUDGET NARRATIVE FOR PROPOSED FY 2013-2014 BUDGET

F3 Supplies and Copies/F 4 Club Mailings/Postage

Use of Constant Contact and our website to send club mailings

and updates has resulted in a tremendous savings in these two

areas. Postage for club mailings and other items of business has

been moved to General Administrative Expense.

F5 The Pilot LOG

The budget includes 3 printed copies of the Log, and 1 issue will

be available only on the website. While some costs are saved

by distributing an issue on the website, the cost for layout and

setup does not decrease. We have also evaluated the number

of Logs that were printed and decreased this amount to better

reflect our current membership.

F6 Salaries/Taxes/Benefits

All salaries/taxes/benefits have been moved to General

Administrative Expenses.

F7 Overhead

This line item is the cost of liability insurance for all Pilots.

As stated in A1, we now have insurance for our international

G2 Emblem/Supplies Sales Supplies, Copies and Bank Fees

This line item is the cost of bank card fees for use of credit card

payments.

H Pilot International Convention

The actual year-to-date amounts reflect only the Las Vegas

Convention. We would have had to pay $16,000 in attrition

due to low attendance causing us not to meet our room block

and food guarantee. However, the International Administrative

Council voted to go back to Las Vegas in 2017, and the hotel

forgave this bill. Our Executive Director has also renegotiated

the contract in New Orleans in hopes that we will not have to

pay attrition cost as we have had to do for at least the past 5

years.

You will note that some line items show a significant increase,

while other line items reflect a decreased. This is only due to a

PILOT INTERNATIONAL, INCBUDGET NARRATIVE FOR PROPOSED FY 2013-2014 BUDGET

preference in how certain expenses are categorized. You should

also note that no salaries are being budgeted to the convention.

H2 Travel/Hotel/Staff Per Diem shows an increase in the line item.

However, there is not an overall increase in this expense. In past

budgets, this amount was allocated to several different line items

in other categories.

H3 Banquet meals are the other place you will see a significant

decrease in cost. In New Orleans, we will have 2 luncheon

banquets rather than 1 luncheon and 1 dinner banquet. The dinner

banquet was not affordable without a significant increase in the

cost of registration.

I 1 Governance – EC Meetings

There is a decrease in this line item for two reasons. 1) Some

money for EC travel to PI Convention was previously allocated in

this line item. 2) The EC will hold their Fall Meeting in Orlando,

FL at the convention hotel for the 2015 PI Convention. The hotel

has agreed to comp the sleeping/meeting rooms for this meeting,

saving our organization a significant amount of money.

I 2 PI Representation/Training Conference

The information obtained through the Service Club Leaders

Conference (SCLC) provides invaluable resources for our

international leaders. We are allowed to send our ED, President

and President-Elect to this conference.

I 3 Supplies/Copies/Postage

This amount was increased slightly to help decrease out-of pocket

expense for officers.

I 4 Overhead

This line item was eliminated this year. We felt this cost should

include general administration as part of the staff’s duty is to

assist EC members.

J 1 Governance at Convention (PI)

This is the actual cost for Council of Leaders.

J2 District Club Assistance

This line item was decreased due to past history of the money not

being utilized.

J 3 Club Visits

This line item was decreased slightly due to the loss of several Pilot

Clubs.

J 4 Executive Committee Representation at District Conventions

The cost of travel has increased slightly over the past year. While

there is no way of calculating the exact cost of travel because

we do not know where the ECR will be traveling from to each

convention, we are attempting to hold our anticipated expenses

down.

J 5 Copies/Postage

We do not anticipate any changes in this area.

J 6 Overhead

Again, all overhead has been moved to General Administrative

expenses.

K Other Unrestricted

K1 Donor Recognition Programs/Awards

This line item was decreased as some of the expenses previously

included, have been moved to another line item.

K2 Fundraiser Development

This includes the cost of developing our convention fundraisers.

K3 Strategic Alliances and Partnerships

Self explanatory

K4 Program Expense

This line item is for the recognition, cultivation and mailings for

the general development of new programs.

L Restricted Expenses

Restricted donations are only available for the purpose specified

by the donor. Therefore, any restricted donations received must

be spent for the purpose designated by the donor.

M Administration

As mentioned in the opening paragraph, this category appears to

be significantly increased from last year because ALL employees’

salaries and benefits as well as a majority of the overhead

are now included in this category. With the restructuring of

headquarters staff, salaries have been decreased by 15%. By

moving all of the headquarters offices to one side of the building

and controlling the temperature on the unused side of the

building, we are saving a little over 30% on utilities. All but one

service contract was canceled, again saving our organization a

significant amount of money. Every effort is being made by the

Pilot International Headquarters staff and the Executive Committee

to decrease our overhead, thus allowing us to redirect more money

to member services.

N Anchor Club

N1 Grants to Anchor Districts

This amount was increased significantly. The 2012-2013 budget

allocated money for 6 $500.00 grants. An increased emphasis will

be placed on the Anchor Program this year. Although not all 20

districts are Anchor Districts, 18 of our Pilot Districts have Anchor

Clubs. $500.00 grants will be made available to all districts with

Anchor Clubs. This money can be used for Freedoms Foundation,

Anchor Conventions or for Anchor Programs at Pilot Conventions.

N2 New Clubs

The money allocated in this line item was not being used,

therefore, it was decreased.

N4 Anchor Representation

This amount is for registration and travel for Anchor

Representation at PI Convention and is based on the history of

how many districts send Anchor Reps to PI Convention.

N6 Program Development

We are working on various partnerships to help expand our Anchor

Program.

N7 Annual Meeting and Convention

This amount decreased because there will be no room rental

charged to the Anchor program this year.

N9 Overhead

This line item increased as Anchor will be paying for a portion of

our technology and communications costs.

N10 Anchor Service Project

Although Anchors had a service project last year, there was no line

item shown in the budget. This is an in and out budgeted item.

N11 Insurance

As stated previously, after speaking with other youth service clubs,

the Executive Committee felt there was a need to provide liability

insurance to Anchor Club members.

• Pilot International is a community-based volunteer service organization, founded in

1921 in Macon, GA, on the guiding principles of “Friendship and Service.”

• Pilots are everywhere! With more than 8000 members in almost 400 Pilot Clubs,

Pilots can be found across the US, and also in The Bahamas, Canada, Singapore,

and Japan.

• Committed to “Do More. Care More. and Be More” for their communities every day,

Pilots provide financial and hands-on support for numerous national and local initia-

tives in keeping with our “A-B-C’s.”

Anchor Clubs (Youth Development & Leadership) In 1952, Pilot began to

recruit youth volunteers through the establishment of Anchor Clubs, a volun-

teer service organization for young people. Today, there are over 8000 Anchors

worldwide with new clubs and members being added monthly. Through profession-

ally developed curriculum and strategic partnerships with national organizations

such as DoSomething.org and others, Pilot encourages and provides opportunities

for Youth Development & Leadership around the globe.

Brain Safety & Fitness Since 1992, Pilot International has worked in the area

of brain-related service. In 2013, Pilot narrowed its focus to Brain Safety & Fit-

ness as the majority of our clubs were working in this area. Pilots support several

TBI camps. Pilots also participate in Pilot International’s BrainMinders brain-safety

educational program for elementary-aged children and in local safety fairs and bike

rodeos. Pilots are proud partners of Safe Kids Worldwide and are champions of our

own “Think H.A.P.P.Y. Be H.A.P.P.Y. Be BRAIN FIT!” public awareness campaign for

brain fitness and mental longevity.

Caring for Families in Times of Need In 2013, Pilot International introduced

the “Pick Me Ups” initiative for Family Caregivers that seeks to promote aware-

ness of the unique needs of these special individuals. Through both fundraising and

hands-on service work, local Pilot and Anchor Clubs provide a “little Pick Me Up”

for deserving Caregivers in their communities. Working directly with local agencies

to identify deserving Caregiver candidates, Pilot Clubs grant the specific “Pick Me

Up” experience chosen by the recipient. Pilot International was also instrumental in

establishing the second week of November as International Care & Kindness Week.
