Terms & Conditions of Exhibit SpaceAgreement

ELIGIBLE EXHIBITS: The Florida School Nutrition Association (FSNA) reserves the rightto determine the eligibility of any company or product to exhibit in the Annual Conference& Expo and further reserves the right to reject any application and/or limit space assignedto any one company. Show management also has the right to stop exhibiting companiesfrom the showing of products or services which would negatively impact the show.

LIMITATION OF LIABILITY: The exhibitor agrees to make no claim for any reasonwhatsoever against FSNA and/or Prime F Osborn III Convention Center and/or ExcelDecorators, Inc. wherein the Expo is held, for loss, theft, damage or destruction of goods,nor for any injury to self or employees while Expo is in progress, being set up or dismantled.Exhibitor agrees to indemnify and hold harmless FSNA, Prime F Osborn III ConventionCenter , Excel Decorators, Inc. and their agents and employees, against any and all claimsof any person, arising out of acts, omissions or negligence of exhibitor, its agent oremployees. Organizer makes no warranties regarding the number of persons who willattend the event. If any term of this agreement is declared invalid or unenforceable, theremainder shall continue in full force and effect. Any action arising out of this agreement orthe Event shall be brought in Palm Beach County, Florida, and governed by the law of thatlocale, exclusive of the choice of law rules of any jurisdiction. Organizer shall be entitled torecover reasonable attorneys’ fees and costs in any action to enforce this Agreement.

LIMITATION OF EXHIBITS: FSNA reserves the right to stop or remove from Expo anyexhibitor, or their representative, performing an act or practice which in the opinion ofFSNA is objectionable or detracts from the dignity of Expo or is unethical to the businesspurpose of Expo. FSNA reserves the right to refuse admittance of exhibits or materials toExpo until all dues and fees owing are paid in full. No exhibitor shall hold any social eventor entice FSNA members off Expo floor or away from conference activities during officialExpo, conference hours, or scheduled FSNA events.

ASSIGNMENT OF SPACE: Sustaining Industry Partners receive the exhibitor contract priorto non-members. Therefore, they have the opportunity to reserve and pay for booth(s)before non-members. Full payment must accompany contract in order for booth(s) to beassigned. FSNA accepts MasterCard, Visa, American Express, Discover, and checks. Ifpayment does not accompany contract, the contract will be held until received. There are alimited number of booths that may be shared by exhibiting companies. The total number ofbooths that may be shared is twenty (20). Each of these 20 booths may only be occupiedby two (2) exhibiting companies. When space is reserved to share a booth, both exhibitingcompanies must submit separate, completed contracts. A single exhibiting company maynot request a shared booth space, without an accompanying exhibiting company that iswilling to share the space. FSNA will not match single companies who want to have ashared booth space. Each company must identify which company they are sharing theexhibit booth space with at the show.

REGISTRATION: Registration packets and badges will be distributed on show site.

CANCELLATION OR WITHDRAWAL: Cancellation of space and refund is subject to thefollowing conditions. Exhibitors shall give written notice of cancellations. If written notice isreceived on or before September 30, 2020, total monies less a $25 processing fee will berefunded to Exhibitor. Cancellation requests received after September 30, 2020 will begiven a credit towards the 2021 Expo. If FSNA cancels the Expo for COVID-19 relatedreasons, all exhibitors will be refunded 100% of total monies.

EXHIBIT RESTRICTIONS: No exhibitor or part of an exhibit will be admitted to any spaceuntil rental of that space has been paid in full. Actual selling of products from the exhibitfloor is prohibited. No exhibitor may begin dismantling their exhibit until AFTER the closinghour of Expo.The exhibitor shall properly staff the exhibit during Expo hours. Exhibitorsare liable for any damage caused to building walls, floors or columns or other exhibitors’property. Vendors for whom FSNA makes exhibit space available are those who haveproducts/services that are of interest and use to the school food service industry. Theacceptance of an exhibiting firm does not constitute an endorsement or approval by FSNAof the quality or value of claims made by the firm. One exhibitor per booth. Any exceptionsmust be made in advance in writing for consideration.

BOUNDARIES: All parts of all exhibits must be exhibited within exhibitor’s assignedspace boundaries. All exhibitors and their space must follow “The InternationalAssociation of Exhibition Management (IAEM) Guidelines for Display Rules andRegulations.” To review a copy of this document, please contact FSNA or ExcelDecorators. Aisle space is under the control of FSNA.

GENERAL SHOW POLICIES: Noisy or offensive exhibits are prohibited. Childrenunder the age of 16 are not permitted in the exhibit hall. Children under the age of 18,but older than 16, must be accompanied by a chaperone. Any exceptions will have tobe cleared through FSNA. Distribution of literature or samples must be related toexhibit and distribution limited to within exhibitor’s space. Assignment or subletting ofassigned space by exhibitor is not permitted for any reason without approval of FSNA.Exhibitor must comply with all local laws, rules, regulations and ordinances in force.The exhibitor may not display signs that are not professionally prepared or in theopinion of FSNA detract from the appearance of Expo in any manner whatsoever.Expo Manager shall have sole control over all admission policies at all times.

TERMINATION OF SHOW: If FSNA determines the premises where Expo is to be heldhas become unfit for occupancy, or if the premises are materially interfered with by anyreason of strike, embargo, injunction, act of war, act of God, act of terror, any otheremergency, or any act or event not the fault of FSNA, this agreement may beterminated by FSNA. In the event of such termination, the exhibitor waives any and alldamages to FSNA, including but not limited to travel expenses and exhibit space rentalfee.

RELOCATION OF EXHIBITS: FSNA reserves the right to alter the official floor plan,and/or reassign any exhibitor’s location as deemed advisable. FSNA further reservesthe right to make such changes, amendments and additions to these rules and suchfurther regulations as it considers necessary to act in the best interest of Expo.

BOOTH CONSTRUCTION AND SHOW SERVICES: Standard booths are limited to8 ft. background drapes and 36” high side drapes. Maximum height of standard exhibitis 8 ft. and may extend only one-half the booth depth from the back wall. Height in thefront half of the exhibit space cannot exceed 36” high, except for product height whichmay exceed the 36” height limitation. Booth decorations, furniture, signs and electricalconnections are available to the exhibitor through independent contractors who willdirectly bill the exhibitor. FSNA is not responsible for any service provided byindependent contractors.

COLLECTION POLICY: The exhibitor agrees to pay the balance due before booth(s)is/are assigned.

SECURITY: Security guard(s) will be furnished by FSNA to be on duty in the exhibithall when exhibits are closed, but the safekeeping of the exhibitor’s property shallremain the responsibility of the exhibitor.

INSURANCE: It shall be the responsibility of each exhibitor to maintain insuranceagainst injury to person or damage or loss of property.

COOKING REGULATIONS: All decorations used as backdrops and partitions forbooths must be flame retardant. Locations of all fire extinguishers must be visible; fireextinguisher locations shall be marked by readily visible signs. Portable cookingequipment may be fueled by small heat sources easily extinguishable by water, i.e.,candles, solid alcohol. Such devices must be supported by a non-combustible surface.One 2A40 BC rated fire extinguisher, with current tag, must be at each booth cookingor reheating foods with heat sources. Final rulings on the safety and allowability ofbooths performing cooking and/or heating of consumable items is at the discretion ofthe local Fire Marshal.

NEW THIS YEAR: REGISTRATION PROCESS IS DIGITIZED!

STEP 1: Make your booth selection online. View the Online Map webpage. The map is updated in real time. This is whereyou will pick your booth(s) and provide your contact info to receive the online

registration form. You can select multiple booths at a time.

**Things to note: When you click on a booth, it will be added to your cart on theright side of the page. Selected booths will remain in your cart for 15 minutes,

and then released. If you are unable to click on a booth, someone else has it intheir cart – you will get a red error message on the right side of the page.

STEP 2: Complete the online Booth Registration Form.

An email will be sent to the contact information provided in the Online Mapsubmission. The email will confirm the booths that you have selected and includea link to the online registration form through the FSNA website that needs to becompleted for each company. This will look almost identical to the paper form

that’s been used in previous years. You will be able to join/renew your SIPmembership and add sponsorship and advertising opportunities to your order.

STEP 3: Pay the invoice online with a credit card or send a check.

A $25 processing fee will be added to all credit card purchases.
