ALLGEMEINE LIEFERUNGS- UND ZAHLUNGSBEDINUNGUNGEN (01|2018)

§ 1 Allgemeines - Geltungsbereich(1) Es gelten ausschließlich unsere Allgemeinen Liefer- und Zahlungsbedingungen; entgegenstehende oder von unseren Verkaufsbedingungen abweichende Bedingungen des Bestellers erkennen

wir nicht an, es sei denn, wir hätten ausdrücklich schriftlich ihrer Geltung zugestimmt. Unsere Verkaufsbedingungen gelten auch dann, wenn wir in Kenntnis entgegenstehender oder von unseren Verkaufsbedingungen abweichender Bedingungen des Bestellers die Lieferung an den Besteller vorbehaltlos ausführen.

(2) Alle Vereinbarungen, die zwischen uns und dem Besteller zwecks Ausführung dieses Vertrages getroffen werden, sind in diesem Vertrag schriftlich niedergelegt. Mündliche Vereinbarungen bedürfen unserer schriftlichen Bestätigung.

§ 2 Preise - Zahlungsbedingungen(1) Unsere Preise gelten „ab Werk“ (Nürnberg), netto, ausschließlich Versand und Verpackung; diese wird gesondert zu Selbstkosten in Rechnung gestellt. Die in den Preislisten angegebenen

Preise sind freibleibend. Sie erhalten Verbindlichkeit erst durch unsere Auftragsbestätigung bzw. Lieferung und Rechnung. Es gelten jeweils die z.Z. gültigen Listen- bzw. Tagespreise.(2) Die gesetzliche Mehrwertsteuer ist nicht in unseren Preisen eingeschlossen; sie wird in gesetzlicher Höhe am Tag der Rechnungstellung in der Rechnung gesondert ausgewiesen.(3) Wir liefern grundsätzlich nur gegen Vorauskasse. Eine Belieferung auf offene Rechnung bedarf unserer schriftlichen Bestätigung. Unsere Rechnungen sind sofort zur Zahlung fällig. Der Abzug

von Skonto bedarf besonderer schriftlicher Vereinbarung. Das Produktprogramm „Proshape“ (maßkonfektioniertes Zubehör) wird ausschließlich gegen Vorkasse ausgeliefert.(4) Zahlungsbedingungen werden grundsätzlich nach positiver Bonitätsprüfung separat schriftlich vereinbart.(5) Es gelten die gesetzlichen Regeln betreffend die Folgen des Zahlungsverzugs. Der Zahlungsverzug des Käufers entbindet uns von der Lieferverpflichtung auch aus allen weiteren Geschäftsab-

schlüssen mit diesem. Bei Zahlungsverzug des Käufers werden alle seine Zahlungsverpflichtungen/Forderungen sofort fällig, gleich welcher Berechnungs- und Benennungsart, auch, soweit es sich um gestundete

Forderungen handelt.(6) Schecks und Wechsel werden nur zahlungshalber hereingenommen. Die Hereinnahme erfolgt jeweils nur mit unserer ausdrücklichen Genehmigung. Diskontspesen gehen zu Lasten des Käu-

fers. Für den Fall, dass ein Wechsel oder Scheck nicht termingerecht eingelöst wird oder Umstände beim Käufer eintreten, die nach unserer Auffassung die Zielgewährung nicht mehr rechtfer-tigen, können wir alle Forderungen, auch wenn hierfür Wechsel oder Schecks gegeben sind, sofort fällig stellen. Zur Entgegennahme von Zahlungen sind nur Personen mit unserer schriftlichen Inkassovollmacht, unter Verwendung unserer Quittungsvordrucke berechtigt.

(7) Aufrechnungsrechte stehen dem Besteller nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt, unbestritten oder von uns anerkannt sind. Außerdem ist er zur Ausübung eines Zurück-behaltungsrechts nur befugt, wenn sein Gegenanspruch unbestritten oder rechtskräftig festgestellt ist.

§ 3 Lieferzeit(1) Die Annahme von Aufträgen bedarf der Schriftform und erfolgt freibleibend vorbehaltlich unserer Liefermöglichkeit und unter Voraussetzung der Eigenbelieferung. Liefertermine sind nur

annähernd gegeben. Wir sind berechtigt, Teillieferungen vorzunehmen. Bei teilweiser oder verspäteter Lieferung sowie Nichtlieferung hat der Käufer im diesem Fall keinen Anspruch auf Schadensersatz oder Lieferung des Restes.

(2) Der Beginn einer von uns angegebenen Lieferzeit setzt die Abklärung aller technischen Fragen voraus.(3) Die Einhaltung unserer Lieferverpflichtung setzt weiter die rechtzeitige und ordnungsgemäße Erfüllung der Verpflichtung und sämtlicher Verbindlichkeiten des Bestellers aus der gesamten

Geschäftsverbindung voraus. Die Einrede des nicht erfüllten Vertrages bleibt vorbehalten.(4) Kommt der Besteller in Annahmeverzug oder verletzt er schuldhaft sonstige Mitwirkungspflichten, so sind wir berechtigt, den uns insoweit entstehenden Schaden, einschließlich etwaiger Mehr-

aufwendungen ersetzt zu verlangen. Weitergehende Ansprüche bleiben vorbehalten.

(5) Sofern die Voraussetzungen von Abs. (4) vorliegen, geht die Gefahr eines zufälligen Untergangs oder einer zufälligen Verschlechterung der Kaufsache in dem Zeitpunkt auf den Besteller über, in dem dieser in Annahme- oder Schuldnerverzug geraten ist.

(6) Falls schlechte Auskünfte über den Käufer eingehen, gegen ihn Vollstreckungen erfolgen oder die Eröffnung des Insolvenzverfahrens über sein Vermögen beantragt wird, werden unsere Forde-rungen zur sofortigen Zahlung fällig. Wenn in diesen Fällen Lieferung noch nicht erfolgt ist, sind wir berechtigt Vorauszahlung zu verlangen. Gleiches gilt, wenn sich der Käufer mit der Bezahlung einer unserer sonstigen Forde-rungen aus der Geschäftsbeziehung mit uns in Verzug befindet.

§ 4 Mängelhaftung(1) Mängelansprüche des Bestellers setzen voraus, dass dieser seinen nach § 377 HGB geschuldeten Untersuchungs- und Rügeobliegenheiten ordnungsgemäß nachgekommen ist.(2) Bei einem Mangel der Kaufsache haften wir nach den gesetzlichen Bestimmungen und sind zunächst zur Nacherfüllung nach unserer Wahl berechtigt. Bei Anspruch auf Mangelbeseitigung

sind wir verpflichtet, alle zum Zweck der Mangelbeseitigung erforderlichen Aufwendungen, insbesondere Transport-, Wege-, Arbeits- und Materialkosten zu tragen, soweit sich diese nicht dadurch erhöhen, dass die Kaufsache nach einem anderen Ort als dem Erfüllungsort verbracht wurde.

(3) Wir haften nach den gesetzlichen Bestimmungen, sofern der Besteller Schadensersatzansprüche geltend macht, die auf Vorsatz oder grober Fahrlässigkeit, einschließlich von Vorsatz oder grober Fahrlässigkeit unserer Vertreter oder Erfüllungsgehilfen beruhen. Anderenfalls ist die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.

(4) Die Haftung wegen schuldhafter Verletzung des Lebens, des Körpers oder der Gesundheit bleibt unberührt; dies gilt auch für die zwingende Haftung nach dem Produkthaftungsgesetz.(5) Soweit nicht vorstehend etwas Abweichendes geregelt, ist die Haftung ausgeschlossen.(6) Die Verjährungsfrist für Mängelansprüche beträgt 12 Monate, gerechnet ab Gefahrenübergang.

§ 5 Gesamthaftung(1) Eine weitergehende Haftung auf Schadensersatz als in § 4 vorgesehen, ist - ohne Rücksicht auf die Rechtsnatur des geltend gemachten Anspruchs - ausgeschlossen. Dies gilt insbesondere für

Schadensersatzansprüche aus Verschulden bei Vertragsabschluss, wegen sonstiger Pflichtverletzungen oder wegen deliktischer Ansprüche auf Ersatz von Sachschäden gemäß § 823 BGB.(2) Soweit die Schadensersatzhaftung uns gegenüber ausgeschlossen oder eingeschränkt ist, gilt dies auch im Hinblick auf die persönliche Schadensersatzhaftung unserer Angestellten,

Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen.

§ 6 Eigentumsvorbehaltssicherung(1) Wir behalten uns das Eigentum an der Kaufsache bis zum Eingang aller Zahlungen aus dem Liefervertrag vor. Bei vertragswidrigem Verhalten des Bestellers, insbesondere bei Zahlungsver-

zug, sind wir berechtigt, die Kaufsache zurückzunehmen. In der Zurücknahme der Kaufsache durch uns liegt kein Rücktritt vom Vertrag, es sei denn, wir hätten dies ausdrücklich schriftlich erklärt. In der Pfändung der Kaufsache durch uns liegt stets ein Rücktritt vom Vertrag. Wir sind nach Rücknahme der Kaufsache zu deren Verwertung befugt, der Verwertungserlös ist auf die Verbindlichkeiten des Bestellers - abzüglich angemessener Verwertungskosten - anzurechnen.

(2) Der Besteller ist berechtigt, die Kaufsache im ordentlichen Geschäftsgang weiter zu verkaufen; er tritt uns jedoch bereits jetzt alle Forderungen in Höhe des Faktura-Endbetrages (einschließlich MWSt) unserer Forderung ab, die ihm aus der Weiterveräußerung gegen seine Abnehmer oder Dritte erwachsen.

§ 7 Sonstiges(1) Unsere Verkaufspreise auf Packungen oder Listen sind unverbindliche Preisempfehlungen(2) Mündliche Auskünfte über Anbringung, Verarbeitungs- und Anwendungsmöglichkeiten unserer Produkte, technische Beratung und sonstige Angaben und Hinweise erfolgen unverbindlich und

unter Ausschluss jeglicher Gewährleistung und Haftung.(3) An Abbildungen, Fotomaterial, Designs, Zeichnungen, Kalkulationen und sonstigen Unterlagen behalten wir uns Eigentums- und Urheberrechte vor. Dies gilt auch für solche schriftlichen Unter-

lagen, die als „vertraulich” bezeichnet sind. Vor ihrer Weitergabe an Dritte bedarf der Besteller unserer ausdrücklichen schriftlichen Zustimmung.

(4) Transport- und alle sonstigen Verpackungen nach Maßgabe der Verpackungsordnung werden nicht zurückgenommen; ausgenommen sind Paletten. Der Besteller ist verpflichtet, für eine Entsor-gung der Verpackungen auf eigene Kosten azu sorgen.

(5) Sollten einzelne dieser Bedingungen - gleich aus welchem Grund - nicht wirksam sein, so wird dadurch die Wirksamkeit der übrigen Bedingungen nicht berührt.

§ 8 Gerichtsstand - Erfüllungsort(1) Sofern der Besteller Kaufmann ist, ist unser Geschäftssitz Gerichtsstand; wir sind jedoch berechtigt, den Besteller auch an seinem Wohnsitzgericht zu verklagen. Gerichtsstand ist Deutschland.(2) Es gilt ausschließlich das Recht der Bundesrepublik Deutschland; die Geltung des UN-Kaufrechts ist ausgeschlossen.(3) Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist unser Geschäftssitz Erfüllungsort.

TERMS OF DELIVERY AND PAYMENT (01|2018)

§ 1 General - Scope(1) Our conditions of sale apply exclusively; we shall not accept any conditions from the ordering party which are adverse to or deviate from our conditions of sale, unless we have expressly agreed to their

validity in writing. Our conditions of sale shall also apply even if we supply goods without reservation to the ordering party in the knowledge of conditions of the ordering party which are adverse to or deviate from our conditions of sale.

(2) All the agreements made between us and the ordering party for the purpose of implementation of this contract are written down in this contract. Any verbal agreements require our confirmation in writing to be valid.

§ 2 Prices - Terms of Payment(1) Our prices are “ex factory” (Nuremberg), net and excluding postage and packaging; the latter shall be invoiced separately at cost price. Prices quoted in the price list are subject to confirmation. They

shall not be binding until they have been confirmed by our order acknowledgement or our shipment and invoice. The currently valid list or actual prices shall apply.(2) Our prices do not include the statutory value-added tax; it will be itemised separately on the invoice to the amount stipulated by law on the day the invoice is issued.(3) The deduction of a discount shall require a special agreement in writing. Generally we just deliver against prepayment. A delivery based on outstanding account must be confirmed in written form by us.

Our invoices are immediately due for payment. The product range „Proshape“ (tailor-made accessories) is only available against payment in advance.(4) Terms of payment will be generally fixed seperately after positive credit assessment.(5) The statutory regulations shall apply with regard to the consequences of any default in payment.(6) Checks and bills of exchange are accepted in payment only. They are accepted in individual cases only with our express approval. Discount charges are payable by the buyer. If a check or bill of

exchange is not honored in good time or circumstances arise for the buyer which in our opinion no longer justify the granting of a credit period we can declare all claims due for immediate payment, even where we have received bills of exchange or checks. Payment may be accepted only by persons who have our written authority to collect, using our receipt forms.

(7) The ordering party shall be entitled to rights of set-off only if his counterclaims have been declared non-appealable, are undisputed or have been recognised by us. In addition, the purchaser is only authorised a lien if their counterclaim is uncontested or declared non-appealable in court.

§ 3 Time of Delivery(1) Acceptance of orders must be confirmed in writing, is subject to our ability to deliver and provided that the goods are in stock. Delivery dates are approximate. We reserve the right to carry out part-deli-

veries. In case of part or delayed delivery, as well as non-delivery, the buyer has no right to compensation or delivery of the remainder.(2) The beginning of the time of delivery quoted by us requires that all technical issues have been clarified.(3) Compliance with our delivery obligations requires that the ordering party fulfils his obligations on time and in due form. We reserve the right to the plea of non-performance.(4) If the ordering party defaults on taking delivery or culpably violates any other duties to co-operate, we shall be entitled to demand compensation for the any damage thus incurred by us, including any

additional expenses. We reserve the right to pursue further claims.(5) Insofar as the preconditions of paragraph (4) are given, the risk of accidental loss or impairment of the object of sale shall pass to the ordering party at that moment at which the ordering party defaults

on taking delivery or on payment.(6) Should negative information about the ordering party be received, should enforcement orders be issued against him or should insolvency proceedings be filed concerning his assets, our accounts recei-

vable shall become payable with immediate effect. The same shall apply if the ordering party defaults on any of our other accounts receivable from our trading relations with him.

§ 4 Liability for Defects(1) Any warranty claims made by the ordering party shall require that this party has complied in due form with his requirements, in accordance with Section 377 of the German Commercial Code, to carry

out inspections and give notice of defects.(2) In case of faulty goods we shall accept liability in accordance with the legal requirements and initially reserve the right to discharge our obligations subsequently at our discretion. If the ordering party

is entitled to correction of defects, we shall be obliged to bear any necessary expenses for the purpose of correction of defects, in particular expenses for transport, travel, work and material, insofar as these expenses are not increased by the object of sale having been moved to a place other than the place of performance.

(3) We shall assume liability in accordance with the statutory regulations insofar as the ordering party asserts his claim for damages based on wrongful intent or gross negligence, including wrongful intent or gross negligence on the part of our agents or persons involved in performing the obligation on our behalf. Otherwise our liability for damages will be limited to foreseeable, typically occurring damage.

(4) We shall assume liability in accordance with the statutory regulations insofar as we culpably violate a fundamental contractual obligation; in this case, however, our liability for damages will be limited to foreseeable, typically occurring damage.

(5) Liability due to culpable injury to life, limb or health shall remain unaffected; this shall also apply to compulsory liability in accordance with the product liability law.(6) In so far as nothing divergent has been arranged above, liability is excluded.

§ 5 Joint and Several Liability(1) Further liability for damage claims than provided in § 4 is excluded - irrespective of the legal nature of the asserted claim. This shall apply in particular for damage claims based on faults at the conclusi-

on of the contract, due to other breach of duty or due to tortious claims for compensation for damage to property in accordance with Section 823 of the German Civil Code.(2) In so far as liability for damages against us has been excluded or limited, this shall also apply with regard to personal liability for damages on the part of our employees, associates, agents and persons

involved in performing the obligation on our behalf.

§ 6 Reservation of Ownership(1) We reserve the right of ownership of the object of sale until the payments stipulated in the sales contract have been received. In case of infringement of the contract on the part of the ordering party, in

particular in case of default in payment, we shall be entitled to take back the object of sale. Our taking back the object of sale does not entail a revocation of the contract, unless we have expressly de-clared this in writing. Seizure of the object of sale by us, however, always entails a revocation of the contract. After taking back the object of sale, we are authorised to realise the object. The proceeds of realisation shall be set off against the outstanding liabilities of the ordering party - minus appropriate realisation expenses.

(2) The ordering party is entitled to resell the object of sale in the ordinary course of business. He shall, however, transfer to us immediately any accounts receivable through resale to his customers of third parties to the sum of the final invoice total of our demand (including value-added tax).

§ 7 Miscellaneous Items(1) Our retail prices on packaging or lists are non-binding price recommendations.(2) Any verbally given information about fitting, processing or using our products, technical advise or other details and instructions are non-binding and exclude any guarantee or liability.(3) We reserve the rights to ownership and copyright for any illustrations, photo material, designs, drawings, calculations and other documents. This also applies for any documents which are marked

„confidential“. The ordering party shall require our express consent in writing prior to passing on any of these items to third parties.(4) Transport and any other packaging materials in accordance with packaging regulations - with the exception of pallets - will not be taken back. The ordering party is obliged to provide for disposal of the

packaging at his own expense.(5) Should any one of these provisions of this contract be or become invalid - irrespective of the reason - the validity of the remaining provisions shall remain unaffected.

§ 8 Place of Litigation - Place of Performance(1) Nuremberg is the place of litigation. We are entitled, however, to take legal proceedings against the ordering party in his local court. Place of jurisdiction is Germany.(2) The Law of the Federal Republic of Germany shall apply exclusively. Application of the UN law on sales is excluded.(3) In so far as our order acknowledgement contains nothing to the contrary, the place of performance shall be our place of business.
